The parties hereto desire to evidence by this
instrument their agreementp with respect to the
improvement; of grade crossing and protective devices
at the crossing of Warner .Avenue, over the tracks
and property of Railroad at or near Huntington Beach,
Orange County, California.
AGREEIMNT
NOW. THEREFORE, it is mutually agreed as follows:
1.. Railroad shill furnish all necessary labor, materials,
tools and equipment to install and shall install two (2) dashing
light grade crossing signals, equipped with automatic gate arms,
togeth.r with actuating and operating circuits and adequate instru-
ment housing, hereinafter collectively referred to as "signals",
at said crossing. Said signals shall be located as indicated on
the print of Railroad's T,os Angeles Division Drawing Sheet
No. 1, elated July 24, 1967, attached and mate a part hereof.
Install.ati.oa of and all materials for said signals shall be in
accordance with Railroad's usual. standards.
Such installation shall include removal of existing protec-
tive devices.
City agrees to reimburse Railroad for Fifty Per Cent (5"%)
of all cost and expense incurred by Railroad in connection with
the furnishing and installation of said signals and the removal
of existing signal protection.
2. Railroad, at the expense of City, will temporarily
relocate the two (2) existing flashing light signals to facilitate
street ridening. City agrees to reimburse Railroad for one
hundred percent: (10n%) of the cost and expense incurred by Railroad

AGREEMENT

tools and equipment to install and shall install two (2) flashing
light grade crossing signals, equipped: with automatic gate arms,
tngether with actuating and operating circuits and adequate instru-

the print of Railroad's Los Angeles Division Drawing D3517, Sheet
Igo. 1. dated July 24, 1967, attached and wade a part hereof.
Installation of and all materials for said signals shall be in
accordance with Railroad's usual standards.
Such installation shall include removal of existing protec-
tive devices.
City agrees to reimburse Railroad for Fifty per Cent (50%)
of all cost and expense incurred by Railroad in connection with
the furnishing and installation of said signals and the removal
of existing signal. protection.
2. Railroad, at the expense of City, vil.l temporarily

in connection therewith.
3. Railroad, t its expense, will remove the existing grade
crossing zn the track areas and prepare its tracks, including
the furnishing and installation of solid timber planking along
the rails of the track, through the existing portions of the
crossing areas.
Railroad, at the expense of City, shall install timber
planking along the rails of the track in the widened portions of
the crossing areas. City agrees to reimburse Railroad for all
cost and expense incurred by Railroad in connection therewith.
4. Railroad shall submit to City a bill for eighty per cent
(80%) of its share of the cost to Railroad in performing work for
which. City is obligated to reimburse Railroad hereunder, upon
completion of such work, which bill City agrees to promptly pay.
Should the actual cost prove, upon completion of audit, to be
more or less than such estimated cost, the difference shall be
promptly pain by City or refunded by Railroad as the case may be.
5. After installation lation of said signals has been completed,
Railroad shall maintain same so long as they remain in place.
Cost of maintaining said signals stall be borne and paid for by
the parties hereto in accordar',ce with Sections 1202.2 and 1231.1
of the California, Public Utilities Code. The precise manner
and method of determining applicable charges, manner and method
of payment and other procedures under said section shall be
governed by any applicable decisions of time California Public
'Utilities Commission.
S. Any contractor ,performing work on the property of Rail-
road shall. execute Railroad's standard form Qf -contractor 0 s
agreement prior to commencing any work on Railroad's premises.
7. City shall, obtain any necessary governmental authority
to constructs reconstruct, maintain and use said crossing.
S. Railroad, at its expense, shall maintain the portions

of the crossing lying within lines two-feet (21) outside the
rails of the tracks located thereon. City, at its expense,
shall maintain the remaining portion of the crossing, together
with all curbs, gutters, sidewalks and other street facilities.
9. The work to be performed by Railroad hereunder shall
be commenced as soon as labor and materials are available
following execution of this instrument and the issuance by the
California Public Utilities Commission of an order or resolution
approving the apportionment of the cost of maintaining said
signals and shall be completed within one (1) year thereafter.
10. This agreement shall be binding upon and inure to
the benefit of the successors and assigns of Railroad and the
assigns of City.

AGREEMENT - SOUTHERN PACIFIC CO
The Clem presented a communication from the Public Works Department trans-
mitting an agreement between. the, City and the Southern Pacific Company for
improvement of the grade crossing of Garner Avenue at the Southern Pacific
Company Railroad. The improvement wou16 consist of the installation of
two flashing light grade-crossing sign nls equipped with automatic gate arms .
The City would pay 50% of the improve-went cost with the maintenance casts
to be shared.
On motion by Green, Council approved the Agreement between the City and
the Southern Pacific Company for the improvement of the grade crossing at
Warner Avenue, and authorized the Mayor and City Clerk to execute the Agree-
ment, Motion carried.

Subject: Southern Pacific Crossing Agreements for
CC-053, CC-065, and CC-123 projects.
Gentlemen: �.
Transmitted, herewith, are three letters in duplicate constituting
agreement to modify three existing agreements between the City and Southern
Pacific Company, now succeeded by merger with the Southern Pacific Trans-
portation Company.
The agreements, which are now in effect, cover the construction and cost
responsibilities for the widening and improving of the railroad crossings on
Edinger Avenue, CC-053; Warder Avenue, ;C-065; and Heil Avenue, CC-123. The
three are submitted together, for your t. onsideration, due to the nature of
the modifications being identical. Each letter proposes to allow the crossings
to remain asphalt concrete pavement between the rails in lieu of the previously
agreed upon timber planks.
The modifications, to the agreements, meet the approval of this office
for four reasons, three of which are considered to have both time and economic
advantages, as are outlined below:
1. The original concept of the plank crossings came to us from the rail-
road company, and was interpreted to be more of a requirement than a
suggestion. We knew at the time that lengthy df-lays were common in
completing the plan-k installations with the crossing.
2. The final cost of paved crossings will result in a lower expense by
the City for its share.
3. By allowing the asphalt !.,.ved crossings we can obtain a more timely
conclusion of the final `eports to the State and County. All three
projec'zs were partially f: ianced by State Gas Tax and two were in
addition Orange County AHFP projects.
4. The conclusion of these final reports will allow us t complete final
accounting to the State and final accountings and billings to the
County. Thus, we can receive the monies due from the County and also
a portion of the crossing cost monies eliLible from the Public
Utilities Commission.

Therefore, it is recommended that your Honorable Body accept the
modifications to the agreements, authorize the Mayor to execute each letter
and its counterpart, and direct the Clerk to return all copies to this
office together with a certified copy of the minute action on this matter.

Crossing at Warner Avenue

Gentlemen:

Transmitted in duplicate is a proposed agreement
between the city of Huntington Bea&, and Southern Pacific
a Company for the purpose of improving the grade crossing
of Warner Avenue at the Southern Pacific Company Railroad.
In accordance with the agreement -the railroad company
will install two (2) flashing light grade-crossing signals
equipped with automatic gate arms, of which the City will
reimburse the railroad company for 5(Y16 of the cost. The
cost of maintaining the signals shall be shared in accord-
ance with the California Utility Code..

It is recommended that the City Council approve the
agreement and that the Mayor and City Clerk be authorized
to execute same.

AGRREMF.MT SOUTHER14 PACIFIC CO
The Clerk presented a communication from the Public: Forks Department trans-
mitting an agreement between the City and the Southern Pacific Company for
improvement of the grade crossing of Warner Avenue at the Southern Pacific
Company Railroad. The improvement would consist of the installation of
two flashing light grade-crossing signals equipped with automatic gate arms .
The City would pay 50% of the improvement cost with the maintenance costs
to be shared.
**On motion by Green) C.Council approved the Agreement between the City and
the Soutnern Pac-i fic Company for the improvement of the grade crossing at
Warmer Avenue, and authorized the Mayor and City Clerk to execute the Agree-
ment. Motion carried.
