STATEMENT OF WORK ,_ AC'.CEPTANCE or RISK CONTI.I.ACTOR shall furnish , at its own expense , all labor , plant , tools , equi;-)ment supplies , transportation , 1 . r utilities and all other items and facilities necessary to complete and construct , in a good and workmanlike manner , PROJECT. CONTRACTOR agrees to furnish all said services and material contemplated and embraced in this agreement ; and assume all less and da►rage arising out of the nature of the aforesaid work during i".s progiess or prior to acceptance from the action of the ele►rents , and from any foreseen or unforeseen difficulties which may arise or be encountered in the ;arosecution of work and for all. other risks of any description connected with the worK ; and to pay all expenses incurred by or :.n consequence of the suspension or discontinuance of work , except such as are expressly stipulated to be borne by CITY . 2 . ACCEPTANCE OF CONDITIONS OF WORK , SPECIFICATIONS CONTRACTOR acknowledge> that it is fully familiar with all the terms , conditions and obligations of the Contract Documents , as hereinafter defined , the location of the jor, site , and the conditions under which the work is to be performed , and that it enters Lnto this contract based upon its investigation of all such matters and i5 in i10 way relying upon any opinions or representations; of CITY . It is further agreed that the Contract Documents are incorporated in this contract by this reference with the same force and effect as if the same were set forth a►: length herein , 2 . and that CONTRACTOR and its subcontr7ictor.s , if any, will be and are bond by any and all of said Contract Docuir,ents insofar as they relate in part or in any way , directly or indirectly, to the WOLk covered by this contract . Bid documents including the Notice inviting Bids , the Special Instructions to riidd ers and the ContracLo.- ' s Proposal ; E . The project plains , specifications , sper,^ ial pro- visions and ,addenda applicable to the PROJFC'C. Anything 3 . • .nentl.oned in the Specifications and not indicated in the Plans or indicated in the Plans and not mentioned in the Speci- fications , shall be of like effect as if indicated and mentioned i .. both. in case of dispute or inconsistency bet.,,-.en any plan or specification , the .Matter shall be immediately sut:mitted to the Department of Public: Works of CITY , hereinafter referred to as "DPW, " without whose decisior said discrepancy shall not be adjusted by CONTRACTOR, save only at its own ri.sL and expense . Should there be any conflict between the terms of this agreement and the hid or p.oposal of CONTRACTOR , then this agreement shall control and nothing herein shall be c:onridered as an acceptance of the terms of said laid cr propos.-A which is I n conflict herewith . 3 . COM,MENC.:EMEFT OY PRO.7ECT CONTRACTOR agrees to comnence the project within ten (10) working days after not.icre to proceed is issued and shall diligently prosecute it to the completion within ninety (90) calendar d3y3 from the execution of tnis contract by CITY, excluding delays provided fcr in Section 10 herein . 4 . TIME OF THE ESSENCE Time is of the essence on this contract . (CONTRh^TOR shall prepare and obtain approval as required by the Contract Documents fcr all shop drawi.•gs , deta.ilt , samples , and do all other things necessary and incidz!ntal to the prosecution of its 4 . work in conformance with the said progress schedule . CONTRACTOR shall coordinate the work covered by this r:ont.ract with that of all r..ther contractors, subcontractors and of the CITY , in a manner that will facilitate the efficient completion of the Pr..WE(;T and in accordance with Section 3 hereir. . CITY shall have complete ccontrol of the premises on which the work is to be performed and shall have the right to decidE the time o, order in which the various portions of the work shall be installed or the priority of the work of other subcontractors and , in generpl , all matters represn.nting the timely and orderly conduct of that work of CONTRACTOR on the premises . 9 . CHANGES CONTRACTOR hec eby agrees to make any ar. � all chz.ngv!s , furnish materials end perform work as directed in writing by the DPW wbon such changes are within the scope of work of this agreement . Otherwise , CCNTRACTOR shall adhere strictly to the Plans and Specifications, L'r.der no condition, shall CONTRACTOR make any changes , either in additions or. .-seductions , wi.tho-jt a written order from the DPW. CITY will not pay any extra charges made by CONTRACTOR unless such charges have been agreed upon in writing by the DPW. When dircctee to change the wcrk , CONTRACTOR shall submit inwedi3tely to the DPW a written co.st proposal in reflecting the effect of tht% change . Should the DPW not agree to such cost proposal , any disputed work shall he performed as ordered in writing ,by the DPW and the cost, thereof , shall be negutfated by the parties upon cost and pricing data submitted by the CONIVIR CTOR. w3TY will promptly issue a change order to CONTRACTOR an?11 :ri,� contract p�- iwe will be adju4ted upward or downward accordingly , 6 . NOTICE TO PROCEED No work , services , material , or equipment shall be performed or furnished under +_hf.s agreement unless and until a notice to proceed has been given to the CONTRACTOR by CITY . CITY noes not warran,: that the work site will be available on the date the Notice to Proce,Ed is issued . in event of a dei-,iy r.n commencement: due to --u:^h unavailability, relief to the CONTRACTOR shall be limited to a time extension equal to the delay due to such availability. 7. BONUS_ CONTRACTOR shall , pr ioL to catering upon the performance of this contract , furnish the following bonds approved by the City Attorney : one-, in the amount of one hundred percent ( 2,00%) of the contract price to guarantee the CONTRACTOR' s ZpAithfui performance of the work and to warrant such, performance for a period of one (1) year att-e CITY' ti acceptance thereof , and one in the amount of fifty percent ( 50%) of the contract price to guarantee payment of all claims for, labor and materials furnished . 6 . e. wARRAN•r I ES The CONT",CTOR unco,iditiunally guarantees all work done under this agreement including , but not limited to, any workmanship, installation, fabri.�ation , materiai or structural facilities constructed. CONTRACTOR, within ten ( 10) days after notic,: by CITY of any defect in the work , shall have the option to make appropriate repairs or replace the defective item or items . Upon expiration of such ten ( lu) day period , CITY may then make appropriate repair or replacement at CONTRACTOR ` s risk and expense . g . INDEPENDENT CONTRACTOR It is further understood and agreed that the cowrRACIPOR is , and shall be , acting at all times as an independent contractor herein , and not as an employee or CITY. CONTRACTOR shall secure , at its expense , and be respc ..sible for any and all j?-►yment of income tax , social security , state disability insurance compensation , unemployment compensation and other payroll cieductionj for CONTRACTOR and its officers , agents and employees , and all business license.; , if any , in connection with the services to b-� performed hereunder . la . L1: UIDATELI DAMAGES It is agcecd by the parties hereto that in case the total work called for hereunder in all parts aild requirements is not finished or completed within the number of: calendar days as 7. set forth in paragraph s hereint damage will be sustained by CITY; and that it is , atid will be, impractical and extremely difficult to ascertain and determine the actual damage which CITY will sustain in the event of, and by reason of , such delay; and it is , therefore , agreed that CONTRACTOR will pay to CITY the sum of one hundred dollars ($100) per day for each and every working day ' s delay in Finishing the work in excess of the number of working days prescribed; and CONTRACTOR agrees to pay said damages hereir, provided for , and further agrees that CITY may deduct the amount thereof from any monies due or that may become due to CONTRACTOR hereunder . CONTRACTOR will he granted an extension of time and will not be assessed with damages for any portion of the delay in completion of the work due to unforeneeable causes beyond the control and without the fault or n(-gligence of CONTRACTOR, including , but not restricted to, ants of God or of the public enemy , fire , f loodn , epidemics , quaranr ine restrictions , st ritkes and unsuitable weather or delays of subcontcac'Zors due to such causes. CONTRACTOR shall , within fifteen ( 1.5) days from the beginning of any such delay (unlf,ss the DPri shall grant a further period of time prior to the date of final settlennn't of the contract) t notify the DPW in writing of the cause of the delay , and CITY shall extend the time for c-:�mpteting the work v w if , in its judgment, the findings of fact: thereon ustify the delay an6 its decision is conclusive on the parties hereto . Should CONTRACTOR be delayed in the prosecution or completion of the work by the act, neglect or default of CITYr or should CONTRACTOR be delayed waiting for materials , i1 said materials are required by thin contract to he furnished by CITY , or by damage caused by fire or other casualty for which CONTRACTOR is not &esponsible , oL by the combined action of the workmen, in nowise caused by or resulting from default or collusion on the par;: of CONTRACTOR, in the evert of a lockout by CITI , then the time hirein fixed for the completion of the work shall be extended the number of days the CONTRACTOR has thus been delayer? , but no allowance or extension shall he ma-ie unless a claim therefor is prese.ited in writing to CITY within fifteen ( 1 S) days of the commencement of :such delay . PROGRESS PAYMENTS Each month, the DPI will make an estimate in writing of the work per'formed and the value thereof . From each progrees estimate , ten percent (10%) plus .any sums attributable to liquidated dames pursuant. to paragraph 1.0 of this agreement will be deducted and retained by CITY and the remainder , ;.zss the amount of all previous payments si,ica commencement of the work, , will be paid to CONTRACTOR. If CONTRACTOR has , in the judgment of the DPW, faithfully executed fifty percent ( 50%) or more of the vrn lue of the work as determined from the hid schedule , and if the DPW finds that satisfactory Frogress has been and is being made , the CONTRACTOR may be paid such sur as will bring the payments of each month up to one hundred percent ( 100%) of the value or the work completed since the commencement of the work , as determined by DPW, lese. all previous payments and less all previous retained amounts . The finyl payment , if unencumbered or any part thhereof unenc:umber-.d , shall be made thirty-five (351, days after the avi-aptance of the work and the filing of a Notice of Completior. by CI'rY. AFFIDAVITS OP SATISFACTION OF CI+AIM,S After the completion of the wore contemplated by this contract , CONTRACTOR shall file with the DPW its affidavit stating that all workman and persons employed , all firms sup- plying materials , and all subcontractors upon PROJECT have been paid in full , and that there are no claims outstanding against PRO:.iECT for either labor: or material. , except certain items , if any, tt:i be set forth in an affidavit covering disputed claims , or items in connection, with Notices to Withhold which have been flied undt!r the provisions of the statutes of that. State of California . lc. WAIVER OF CLAIMS The acceptance by CONTRACTOR of the payment of the final cerrificate shall constitute a waiver of all cylsims against CITY uncle: or Arising out of this contract . 16 . INDEMNIFICATION . HOLD HARMLESS , DEFENSE CONTIRACTOR agrees to protect , defend , i ndc*„nify _'od hold and save harmless CITY , its officers , agants and employees against any and all liability. claims , jUd0M,%2nts , costs and demands including d a-h or injury to CONTRA: TOR ' s employees , and Oar.+age to property , arising directly or indirectly out of the obll.gations herein un6ertaken by CONTRACTOR or oct of the opera- Lions conducted by CONTRACTOR, regardless of the active or passive nature of any negligence by CITY , save and except those which arise out of the snle: negligence or willful misconduct of CITY. CONTRACTOR will defend any such sults at the sol& cost ano expense of CONTRACTOR when requested by CITY , and any costs of defense or attorney ' s fees incurred by CITY in enforcing Untis obligation will be reimbursed to CIT:L' or May be awarded to CITY J by a court: of competent jurisdiction . 17. WORKERS ' COMPENSATION CONTRACTOR acknowledges and undertakes its duty under the provisions of Section 3700 et seq . of the Labor Code to in- sure against: liability for Workers ' Compensation and covenants to comply with such provisions prier to commencing the per- formance of the work hereunder . CONTRRACTOR shall maintain Workers ' Compensation Insurance and otherwise comply with all or the provisions of the Workers ' Compensation and Safety .'acts of the Stare of Cal.ifoLnia , the applicable provisions of Divisions 4 and 5 of. the California Labor Codt and all amendments thereto , and all similar State or Federal. acts or laws applicable and shall furni.L'h to CITY a certificate of W-.rkers ' Compensation insurance evidencing sued compliance . The insurer shz,ll furnish to CITY a certif.'}.cate of Workers ' Compensation Insurance .
