STATEMENT OF ISSUE:
The Redevelopment Agency, at its regularly scheduled meeting of April 20, 1987,
voted unanimously to Notice Surnrnerhill Development Company :+•ith a written
"Notice of Default" as provided for within the Owner Participation :agreement
between the Redevelopmr:nt agency and Summerhill Development Company (dated
December 22, 1986).
RECOMM ENDATION:
Terminate the Owner Participation Agreement between the Redevelopment Agency
and Sumnierhill Development Company.
ANALY515:
The Sumrn%rhill project caller: for the construction of a 159 unit condorniniurn type
development located within the Main-Pier Redevelopment Project Area.
On December 22, 1936, an Owner Participation Agreement was executed between the
Redevelopment Agency of Huntington reach and Suinmerhill Development Company
which Sumrnerhill, through the Schedule of Performance provisions outlined withln
that document, was to have submitted a Final Subdivision Map for review by
April 22, 1987.
Since the Owners Participation Agreement required that a 45-day Notices of Jpfault be
noticed to Surnmerhill, if provisions within the Schedule of Performance are not
satisfied, staff requested the Redevelopment Agency's action of :April 20, 1987.

The Notice of Default to SurnrnerhIll Development Company was dated and
transmitted on April 23, 1987, triggering the 45-day cure period. During the 45-day
period, which expired June 7, 1987, SummerhIll Development has made no attempt to
cure, nor have they requested an extension. Also, staff has received written notice
from the property owner, BBC Vanderwood, Inc., that negotiations between
themselves and Sumrnerhill have been terminated.

STATEMENT OF ISSUE:
On April 6, 1987 the Redevelopment Agency authorized staff to prepare the necessary
Notice of Default pertaining to two projects within the Town Square subarea using the
existing procedures.
RECOMMENDATIONS:
Authorized staff to prepare; 1) a 45-day Notice of Default for the 5�n�rn�•rhill hrQi�rt
and 2) prepare the Letter of Agency's intent to terminate the existing Exclusive
Negotiation Agreement between ,Mola hevelo rnent Corporat'on and the Agency.
ANALYSIS:
An Exclusive Negotiation Agreement between the Redevelopment Agency and Nola
Development Corporation was entered into on April 9, 1984. Af ter a series of
extensions granted by the Agency, allowing for various design concepts to be prepared
and appraisals to be evaluated by the Agency, the city has not received from 1�1ola
Development Corporation a specific Development Proposal that meets either the
Developer's economic realisations or the City's development standards.
The Surni-nerhill Project which is an Owner's Participation A reernent was executed by
the Agency and the Developer, Summerhill Development Corporation, on December
22, 1986, called for in the schedule of performance that tt-cr Developer shall submit the
final subdivision map for review by ,March 22, 1987, which has not been submitted.
The city has not received information from the Developer, Surnmerhill Development
Corporation, that shows that negotiations have concluded regarding the land
acquisitions from the principal landowner.
This Owner's Participation Agreement requires that a 45-day Notice of Default be
submitted to Developer Surnrnerhill Development Corporation and if the Developer is
unable to cure within that time period, the Agreement would terminate.

STATEMENT OF ISSUE:
Under California Redevelopment Law, the Redevelopment ,agency is authorized to
provide certain kinds of assistance which is directed at supporting and promoting;
private sector investments in redevelopment project areas. SurnrTierhi!l De% elopment
Corporation has requested Agency assistance in helping; carry out their 159-unit
condominium project, located within the Town Square subarea of the Main-Pier
Redevelopment Project Area. The attached agreement pr(,vides limited support for
ti►e project by the Redevelopment Agency by allowing for a portion of the project to
be incorporated at a later date. Also, the agreement calls for the Surnmerhill
Corporation to be obligated to expend necessary funds to construct certain offsite
public improvements that would be reimbursed through future tax increment dollars
generated by the completed project.
Additionally, the agreement acknowledges that the project's ultimate design
configuration accomplishes an important street interconnect by Summerhill
Corporation's dedication of new street right-of-way, and the city's vacation or
&,andorhment of access street right-of-ways. This agreement is consistent with the
established redevelopment goals for the Main-Pier Project Area and authorizing;
provisions of state law.
REC&IMENDATIONS:
Approve and authorize execution by the Redevelopment Agency of the Surnrnerhill
Development Company Owner Pt.rticipation Agreement and authorize staff to have
documents fully executed by all principals.
ANALYSIS:

This agreement would commit Summerhill Development to posting the crash amount
necessary for the eventual purchase of a parcel to be ultimately incorporated into the
project as required open space. The amount estimated for eventual purchase of this
future parcel is $600,000. Additionally, it would also require Summerhill to post an
Improvement bond in an arnount necessary to construct both onsite and offsite
improvements of the parcel ultimately to be incorporated. This improvement bond is
estimated at M0,000.
The Agency would be further committed, under this agreement, to coordinate the
purchase and development of that parcel to be ultimately incorporated within the
proposed project from funds deposited by Summerhill.
ALTERNATIVES:
1. not provide support with the possibility of no project or a reduction in the scope of
the project with the ultimate street alignment being delayed.
FUNDING:
1. Advances from Summerhill Development Corporation (not to exceed $100,000) to
be reimbursed from future tax increment funds.

SUMMARY OF OWNER PARTICIPATION AGREEMENT
BETWEEN THE REDEVELOPMENT AGENCY A114D SUMME-I HILL DEVELOPMENT
WITHIN THEMAIN-PIER REDEVELOPMENT PROJECT AREA
The major business points of the above captioned Owner Participation Agreement are
summarized below. This is intended as the summary required by Section 33433 of the
California Health and Safety Code, but should not be relied upon in substitution for the
contents of the entire Agreement.
1. Initial sections of the Owner Participation Agreement discuss the purpose of the
Agreement, the Redevelopment Plan, the Site, the Parties to the Agreement,
Prohibition Against Change in Ownership, Management, and Control of
Participant.
2. Acquisition and development of properties, including City and agency's
agreement to use best efforts to review subdivision reaps that accomplish
abandonment of streets within site.
3. Scope of Development states that improvements shall be in accordance with the
Scopc of Development and shall have a value of at least SI 4,000,000.
4. Submission of Drawings. The developer is required to submit a design concept and
construction drawings, according to the Schedule of Performance, and that the
Agency is required to use best efforts to review in a timely fashion.
S. Approval of Plans. The Agency has the right to approve maps, plans, drawings,
and related documents. The Agency must approve or deny any changes within 30
days or they are deemed approved.
6. Cost of Conntruction and Schedule. [Developer shall bear all costs of the
improvements and shall perform according to the Schedule of Performance. The
Agency to reimburse developer for cost of improvements beyond centerline of
adjacent streets, said costs are estimated not to exceed $100,000.
7. Insurance. The developer rnust provide insurance pursuant to city requirements
and hold the City, Agency, officers, and employees harmless.
S. Use 61 the Site. The developer agrees to t.ise the site for the purposes intended by
the Agreement and permitted by the City's zoning regulation.
9. Certificate of Interest. AgencyMembers, officials, and employees are prohibited
from having any interest In the project.
10. The Participant will pay the Agency the sum of $600,000 to facilitate the
acquisition of Parcel 2, plus .iny additional Burns that may be required to pay
relocation benefits as prescribed by state and/or federal law.
Participant agrees to dedicate the'Dedication Portion of the Parcel 2 and the
A&.ncy agrees to vacate the Vacation Portion of the Parcel 2.

FINDINGS:
1. The Agreement will not result in costs to the: Agency beyond the legal and
administrative costs of its preparation;
2. The real property interest to be acquired by the Agency and conveyed to the
Participant is estimated to be the amount paid to the Agency by the Participant
(WO,000, plus relocation costs), and this value is based on the highest uses
permitted under the Redevelopment Plan; and
3. The purchase price of the Parcel 2 shall be $600,000 plus any and all relocation
costs incurred by the Agency and this purchase price is determined to be no less
than the fair market value of thr. Parcel 2 as determined at the highest and best
use consistent with the redevelopment pan.

The qualifications and o ' the
Participant are of particular concern to the City and th'e
Agency . It is because of those qualificat:iens and identity
that the Agency has entered into this Agreement with the
Participant . No voluntary or involuntary successor in interest
of the Participant shall acquire any rights or powers under
this Agreement except as expressly set forth herein.
The Participant shall not assign all or any part
of this hgreement or any rights hereunder without the prior
written approval of the hgency. The Agency shall "not
unreasonably withhold its approval of an assignment, provided
that: ( 1 ) the assignee corporation shall expressly assume the
obligations of the Participant pursuant tc this Agreement in
writing satisfactory to the Agency; (2) the original
Participant shall remain fully responsible for the performance � ,--

All costs for planning , designing and
constructing the Participant Impro%,ernents shall be borne
exclusively by the Participant . The Participant shalt also
bear all costs related to discharging the duties of the
Participant set forth in this Agreement . In addition, the
Participant shall construct and thereafter dedicate all-
off-site improvements located within the "Street Area" , which
is that area so designated on the Public Improvements _-lap

Agency ' s option, advance to the Agency the sum of One Hundred
Thousand Dollars ( $100,`000) to be utilized by the Agency to

SCOPE OF DEVELOPMENT
1 . Participant shall design and construe. 159 residential "units built to
condominium specifications, complete with recordation of a final
subdivision tract map. Project is to include a fully subterranean parking
structure, sufficiently sued to accommodate residents and ,•-sitors .

6 . The design, financing and construction of public improvements Within and

reimbursable pursuant to Section 306 of the Agreement.
7 . Participant and Agency shall provide easements for those public and
private utilities which remain within project 's boundaries at no cost to
utility companies.

B. Agency shall be responsible for relocation or undergrounding of Southern
California Edison Company' s 12 and 66 KV transmission lines and poles.
9. In the event that. Parcel 2 has not been purchased by either Participant or
the Redevc --pment Agency at the time of processing a final subdivision
tract map, Agency will consent to the preparation and recordation of two
( 2 ) final subdivision tract maps . one final subdivision being that which
is identified as Parcel 1 and the second which is identified as Parcel 2
(Attachment 1 ) . Agency shall thereafter acquire Parcel 2 whenever
