Statement of issue:
Federal and State laws require that all Underground Storage Tanks (UST's) meet 1988
standards for spill, overfill and corrosion protection by December 22, 1998.
Funding Source:
General Funds of $21 ,896 are budgeted in account No. E-CP-AS-142-6-39-00 (Fuel
Storage Tank Measure).
Recommended Action:
Approve the attached Professional Services Contract; thereby authorizing the Mayor and
the City Clerk to execute the contract.
Alternative Actlon s :
Reject the Recommended Action and advise staff how to proceed.

REQUEST FOR COUNCIL ACTION Meeting Date: May 6, 1996
UNDERGROUND STORAGE TANK PROGRAM
Analysis:
Pursuant to State and Federal regulations, all underground storage tanks must meet 1988
safety:standards by December 22, 1998. The City has 30 underground storage tanks at
twelve locations. Compliance with the 1988 standards could have a significant financial
impact on the City because some of the tanks may have to be removed and replaced.
Due to the seriousness of the situation, staff formed a Task Force, in August of 1995, to
determine an appropriate course of action. Representatives from Community Services,
Fire, Police, and Public Works met on a monthly basis to develop a plan of action.
On December 12, 1995, the findings of the committee were formally presented to the
Department Directors. They approved the Task Force recommendation that staff
approach the City Council for authorization to solicit proposals from qualified professional
firms to prepare a UST Modification/Cost Comparison Study.
On January 16, 1996, Council approved the proposal and staff issued an RFP to a dozen
selected firms. Eight responses were received and evaluated by the Task Force. Three
finalists were interviewed by a panel of four Task Force members, and the firm of Tait &
Associates was selected.
Under the terms of the agreement Tait and Associates will complete the required study
within 60 days of contract approval for a cost not to exceed $21,896.00. This is
acceptable to the Task Force and does not exceed the staff estimate of $25,000.00 for
such a study.
When the study is completed it will be reviewed by staff and presented to Council. It is
expected that the study will form the nucleus of a City UST corrective action plan and
come before Council at the July 15, 1996 meeting.

PROFESSIONAL SERVICES CONTRACT BETWEEN
THE CITY OF HUNTINGTON BEACH AND
TAIT &ASSOCIATES, INC. FOR A CONSULTANT STUDY
OF THE CITY'S UNDERGROUND STORAGE TANK SYSTEM
THIS AGREEMENT, made and entered into this Pvl day of
1996, by and between the City of Huntington Beach, a
municipal corporation of the State of California, hereinafter referred to as "CITY", and TAIT &
ASSOCIATES, INC., a California corporation, hereinafter referred to as "CONSULTANT."
WHEREAS, CITY desires to engage the services of a consultant for a study of CITY's
underground storage tank system and a written report thereon; and
Pursuant to documentation on file in the office of the City Clerk, the provisions of
HBMC Chapter 3.03 relating to procurement of professional service contracts has been
complied with; and
CONSULTANT has been selected to perform said services,
NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows:
1. WORK STATEMENT
CONSULTANT shall provide all services as described in the Request for
Proposal, and CONSULTANT's proposal dated February 26, 1996, (hereinafter referred to as
Exhibit"A"), which is attached hereto and incorporated into this Agreement by this reference.
Said services shall sometimes hereinafter be referred to as "PROJECT."
CONSULTANT hereby designates Bill Duree who shall represent it and be its sole
contact and agent in all consultations with CITY during the performance of this Agreement.
2. CITY STAFF ASSISTANCE
CITY shall assign a staff coordinator to work directly with CONSULTANT in the
performance of this Agreement.

3. TIME OF PERFORMANCE
Time is of the essence of this Agreement. The services of the CONSULTANT
are to commence as soon as practicable after the execution of this Agreement and all tasks
specified in Exhibit"A" shall be completed no later than two (2) months from the date of this
"'Agreement. These times may be extended with the written permission of the CITY. The time
for performance of the tasks identified in Exhibit "A" are generally to be shown in the Scope of
Services on the Work Program/Project Schedule. This schedule may be amended to benefit
the PROJECT if mutually agreed by the CITY and CONSULTANT.
4. COMPENSATION
In consideration of the performance of the services described herein, CITY
agrees to pay CONSULTANT a fee not to exceed Twenty One Thousand Eight Hundred
Ninety Six Dollars ($21,896).
5. EXTRA WORK
In the event CITY requires additional services not included in Exhibit"A," or
changes in the scope of services described in Exhibit"A," CONSULTANT will undertake such
work after receiving written authorization from CITY. Additional compensation for such extra
work shall be allowed only if the prior written approval of CITY is obtained.
6. METHOD OF PAYMENT
A. CONSULTANT shall be entitled to progress payments toward the fixed
fee set forth herein in accordance with the progress and payment schedules set forth in Exhibit
"A"
B. Delivery of work product: A copy of every technical memo and report
prepared by CONSULTANT shall be submitted to the CITY to demonstrate progress toward
completion of tasks. In the event CITY rejects or has comments on any such product, CITY

shall identify specific requirements for satisfactory completion. Any such product which has
not been formally accepted or rejected by CITY shall be deemed accepted.
C. The CONSULTANT shall submit to the CITY an invoice for each
progress payment due. Such invoice shall:
1) Reference this Agreement;
2) Describe the services performed;
3) Show the total amount of the payment due;
4) Include a certification by a principal member of the
CONSULTANT's firm that the work has been performed in accordance with the
provisions of this Agreement; and
5) For all payments include an estimate of the percentage of work
completed.
Upon submission of any such invoice, if CITY is satisfied that
CONSULTANT is making satisfactory progress toward completion of tasks in accordance with
this Agreement, CITY shall promptly approve the invoice, in which event payment shall be
made within thirty (30) days of receipt of the invoice by CITY. Such approval shall not be
unreasonably withheld. If the CITY does not approve an invoice, CITY shall notify
CONSULTANT in writing of the reasons for non-approval, within seven (7) calendar days of
receipt of the invoice, and the schedule of performance set forth in Exhibit"A" shall be
suspended until the parties agree that past performance by CONSULTANT is in, or has been
brought into compliance, or until this Agreement is terminated as provided herein.
D. Any billings for extra work or additional services authorized by CITY shall
be invoiced separately to the CITY. Such invoice shall contain all of the information required
above, and in addition shall list the hours expended and hourly rate charged for such time.
Such invoices shall be approved by CITY if the work performed is in accordance with the extra

work or additional services requested, and if CITY is satisfied that the statement of hours
worked and costs incurred is accurate. Such approval shall not be unreasonably withheld.
Any dispute between the parties concerning payment of such an invoice shall be treated as
separate and apart from the ongoing performance of the remainder of this Agreement.
7. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS
CONSULTANT agrees that all materials prepared hereunder, including all
original drawings, designs, reports, both field and office notices, calculations, maps and other
documents, shall be turned over to CITY upon termination of this Agreement or upon
PROJECT completion, whichever shall occur first. In the event this Agreement is terminated,
said materials may be used by CITY in the completion of PROJECT or as it otherwise sees fit.
Title to said materials shall pass to the CITY upon payment of fees determined to be earned by
CONSULTANT to the point of termination or completion of the PROJECT, whichever is
applicable. CONSULTANT shall be entitled to retain copies of all data prepared hereunder.
8. INDEMNIFICATION AND HOLD HARMLESS
CONSULTANT hereby agrees to indemnify, defend, and hold and save
harmless CITY, its officers and employees from any and all liability, including any claim of
liability and any and all losses or costs arising out of the negligent performance of this
Agreement by CONSULTANT, its officers or employees.
9. WORKERS COMPENSATION
CONSULTANT shall comply with all of the provisions of the Workers
Compensation Insurance and Safety Acts of the State of California, the applicable provisions
of the California Labor Code and all amendments thereto; and all similar state or federal acts
or laws applicable; and shall indemnify, defend and hold harmless CITY from and against all
claims, demands, payments, suits, actions, proceedings and judgments of every nature and
description, including attorney fees and costs presented, brought or recovered against CITY,

for or on account of any liability under any of said acts which may be incurred by reason of any
work to be performed by CONSULTANT under this Agreement.
CONSULTANT shall obtain and furnish evidence to CITY of maintenance of
statutory workers compensation insurance and employers liability in an amount of not less than
$100,000 bodily injury by accident, each occurrence, $100,000 bodily injury by disease, each
employee, and $250,000 bodily injury by disease, policy limit.
10. INSURANCE
In addition to the workers compensation insurance and CONSULTANT's
covenant to indemnify CITY, CONSULTANT shall obtain and furnish to CITY the following
insurance policies covering the PROJECT:
A. General Liability Insurance
A policy of general public liability insurance, including motor vehicle coverage.
Said policy shall indemnify CONSULTANT, its officers, agents and employees, while acting
within the scope of their duties, against any and all claims of arising out of or in connection
with the PROJECT, and shall provide coverage in not less than the following amount:
combined single limit bodily injury and property damage, including products/completed
operations liability and blanket contractual liability, of$1,000,000 per occurrence. If coverage
is provided under a form which includes a designated general aggregate limit, the aggregate
limit must be no less than $1,000,000. Said policy shall name CITY, its officers, and
employees as Additional Insureds, and shall specifically provide that any other insurance
coverage which may be applicable to the PROJECT shall be deemed excess coverage and
that CONSULTANT's insurance shall be primary.
B. Professional Liability Insurance.
CONSULTANT shall acquire a professional liability insurance policy covering the
work performed by it hereunder. Said policy shall provide coverage for CONSULTANT's

professional liability in an amount not less than $500,000 per claim. A claims made policy shall
be acceptable.
11. CERTIFICATES OF INSURANCE; ADDITIONAL INSURED ENDORSEMENTS
Prior to commencing performance of the work hereunder, CONSULTANT shall
furnish to CITY certificates of insurance subject to approval of the City Attorney evidencing the
foregoing insurance coverages as required by this Agreement; said certificates shall provide
the name and policy number of each carrier and policy, and shall state that the policy is
currently in force and shall promise to provide that such policies will not be canceled or
modified without thirty (30) days prior written notice of CITY. CONSULTANT shall maintain the
foregoing insurance coverages in force until the work under this Agreement is fully completed
and accepted by CITY.
The requirement for carrying the foregoing insurance coverages shall not
derogate from the provisions for indemnification of CITY by CONSULTANT under the
Agreement. CITY or its representative shall at all times have the right to demand the original
or a copy of all said policies of insurance. CONSULTANT shall pay, in a prompt and timely
manner, the premiums on all insurance hereinabove required.
A separate copy of the additional insured endorsement to each of
CONSULTANT's insurance policies, naming the CITY, its officers and employees as Additional
Insureds shall be provided to the City Attorney for approval prior to any payment hereunder.
12. INDEPENDENT CONTRACTOR
CONSULTANT is, and shall be, acting at all times in the performance of this
Agreement as an independent contractor. CONSULTANT shall secure at its expense, and be
responsible for any and all payment of all taxes, social security, state disability insurance
compensation, unemployment compensation and other payroll deductions for CONSULTANT

and its officers, agents and employees and all business licenses, if any, in connection with the
services to be performed hereunder.
13. TERMINATION OF AGREEMENT
All work required hereunder shall be performed in a good and workmanlike
manner. CITY may terminate CONSULTANT's services hereunder at any time with or without
cause, and whether or not PROJECT is fully complete. Any termination of this Agreement by
CITY shall be made in writing, notice of which shall be delivered to CONSULTANT as provided
herein.
14. ASSIGNMENT AND SUBCONTRACTING
This Agreement is a personal service contract and the supervisory work
hereunder shall not be delegated by CONSULTANT to any other person or entity without the
consent of CITY.
15. COPYRIGHTS/PATENTS
CITY shall own all rights to any patent or copyright on any work, item or material
produced as a result of this Agreement.
1B. CITY EMPLOYEES AND OFFICIALS
CONSULTANT shall employ no CITY official nor any regular CITY employee in
the work performed pursuant to this Agreement. No officer or employee of CITY shall have
any financial interest in this Agreement in violation of the applicable provisions of the California
Government Code.
17. NOTICES
Any notice or special instructions required to be given in writing under this
Agreement shall be given either by personal delivery to CONSULTANT's agent (as designated
in Section 1 hereinabove) or to CITY's Director of Public Works as the situation shall warrant,

or by enclosing the same in a sealed envelope, postage prepaid, and depositing the same in
the United States Postal Service, addressed as follows:

18. IMMIGRATION
CONSULTANT shall be responsible for full compliance with the immigration and
naturalization laws of the United States and shall, in particular, comply with the provisions of
the United States Code regarding employment verification.
19. LEGAL SERVICES SUBCONTRACTING PROHIBITED
CONTRACTOR and CITY agree that CITY is not liable for payment of any
subcontractor work involving legal services, and that such legal services are expressly outside
the scope of services contemplated hereunder. CONSULTANT understands that pursuant to
Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel for
! CITY; and CITY shall not be liable for payment of any legal services expenses incurred by
CONSULTANT.
20. ATTORNEY'S FEES
In the event suit is brought by either party to enforce the terms and provisions of
this agreement or to secure the performance hereof, each party shall bear its own attorney's
fees.

21. ENTIRETY
The foregoing, and Exhibit"A": attached hereto, set forth the entire Agreement
between the parties.

REFERENCES Tait & Associates performed the design, specifications and
construction documents for the final compliance phase of
OCTA fueling systems at three locations.The project included
the removal of 28 underground storage tanks and the instal-
lation of 13 new tanks for diesel, unleaded gasoline, ATF and
motor oil, as well as all delivery and dispensing systems. The

Industry Sheriffs Station Helipad
Tait&Associates performed complete design, specifications,
contract documents and construction inspection for the re-
placement of the helicopter fueling system including Jet-A

General Telephone & Electric (GTE) of California
Throughout California
Tait & Associates prepared standard tank and system instal-
lation designs and maintains and updates those standards on
a regular basis. The project is on-going. Contact person is Mr.

Tait & Associates also manages all aspects of GTE's 1998
USTcompliance program, including strategic planning, prepa-
ration & permitting of engineering 1 construction 1 permit
documents, and construction management. These projects

County of Santa Barbara
Lompoc, Santa Barbara, Santa Ynez, and Santa Maria
Tait & Associates performed the design, specifications and
permitting of four fuel systems for Road Department Mainte-
nance Yards. The first three projects were completed in 1990
and the Santa Maria Road Yard was completed in 1994.

Los Angeles County Automotive Maintenance Shop
Tait & Associates performed complete design, construction
documents and specifications and obtained all permits for a
new vehicle fueling facility at the Automotive Shop. The
project consisted of four new USTs, new fueling island with
four dispensers, kiosk, card reader system, and canopy. The
project also included an above-ground tank system for emer-
gency generator fuel supply and was completed in 1994.

Division 90 Bus Maintenance Facility
Tait&Associates is currently performing the design,construc-
tion documents and specifications for the replacement of 15
USTs for diesel, gasoline, ATF & motor oil, antifreeze, waste
oil, waste fuel, solvent as well as all delivery and dispensing
systems. The design is currently 85% complete. Contact

UNOCAL
Tait & Associates was responsible for a major update of the
UST engineering standards as utilized in Unocal's fuel sys-
tems compliance program. Tasks included research of cur-
rent hardware, technologies& regulatory compliance require-
ments, in addition to actual plan preparation. This project was

DESCRIPTION Mr. Tracy J. Letzring, P.E., R.E.A. will be the Project Manager
OF STAFF and has extensive experience in fuel storage facilities and han-
dling projects. Mr. Letzring will also serve as the Altemate Project
Representative. He was the Project Manager for Phase III of the
Orange County Transportation Authority's new fueling facilities
project. He has also supervised the development of more than 40
service stations in Southern California for many of the major oil
companies, including Arco, BP Oil, Conoco, Exxon, Mobil, Shell
and Unocal. He holds a Bachelor of Science in Civil Engineering
from the University of North Dakota and is a Registered Civil
Engineer and Registered Environmental Assessor in California.
Mr. Thomas R. Turner will serve as the Principal-in-Charge and
Primary Representative on the project. Mr. Turner will be in
charge of Tait & Associates' duties from contract negotiations
through project completion. Mr. Turner is a principal of Tait &
Associates and has more than 30 years of experience in the
petrochemical field and has been directly involved in hundreds of
commercial and retail projects,with an emphasis on underground
storage tanks for major oil companies. He holds an Associate of
Arts in Civil Engineering Technology from Mt. San Antonio
College in Walnut, California.

Mr. Bill Duree will be the lead Mechanical Designer and Fueling
Specialistfor the project. He has more than 20 years of experience
and has developed an unrivaled expertise in the design of fueling
systems in the petrochemical field. He is one of the most re-
spected and renowned designers of underground storage tank-
based fueling systems in California. Mr. Duree has designed
several unique systems and has established design concepts
and standards for a large segment of the petroleum industry. He
has a Mechanical Drafting Degree from Foothill Vocational I
Technical School in Searcy, Arkansas.
Mr. Bob Dippell will be the Construction Cost Estimator. Mr.
Dippell has over 17 years of experience associated with all
phases of fueling facility construction. This includes project cost
estimating, permitting, scheduling, and on-site management. He
has functioned as a bid coordinator for a major oil company for 7
years. He also has had 10 years experience with service station,
environmental and construction companies.
Experience with Governmental Agencies
Tait&Associates has successfully maintained a positive relation-
ship with the various governmental agencies involved in fueling
projects,while processing literally hundreds of applications through
Health, Air Polution Control Districts, Fire and Building Depart-
ments from San Francisco to San Diego. We are confident that

UNDERSTANDING After a detailed review of the Request For Proposal (RFP), and a
OF THE PROJECT meeting at the City Yard, our firm recognizes the goal of the
proposed study is to determine the most cost effective method of
achieving compliance with the 1998 California Underground
Storage Tank (UST) regulations as they relate to the 30 USTs
owned and operated by the City of Huntington Beach.
It is our understanding that the tanks are distributed within the City

PROJECT The objectives, as outlined in the RFP, are to:

1. Evaluate the current UST system and determine what
modifications are necessary to meet 1998 regulations
2. Consider cost efficient alterations to the current system
including but not limited to consolidation of sites, a "card
lock" system, or some combination of the two.
3. Provide a written Modification / Cost Comparison Study
(M/CCS) with recommendations and alternatives.
PROJECT I Tait&Associates' approach to the study will include the following
APPROACH five items.
1. In-depth research with staff to determine and verify the
following information for each site:
A) Type, age, condition of existing fueling facilities.
B) Annual throughput (gasoline/diesel).

C) Detail of users, both existing and proposed or potential.
D) Projections of future usage.
2. Tait & Associates will visit each site and:
A) Verify existing facilities.
B) Determine of condition of equipment.

1) Room for new tank hole; reuse old hole if possible.
2) Building & structure locations
3) Utility conflicts
4) Room for facilities expansion
D) Address any traffic concerns.
E) Interview facility manager and operations staff.
F) Address any security - safety issues.
3. Compile all research data, prepare schematic and/or prelimi-
nary layouts, cost estimates.
A) Review with the City of Huntington Beach representative.
4. Prepare final modification / cost comparison study (M/CCS)
as follows:
A) Detailed location maps, including all existing and pro-
posed new fueling facilities, proposed consolidated facili-
ties, and proposed facility closures.
B) Planning studies for each fueling system site proposed to
remain snowing the proposed facilities to be installed with
traffic pattern, and ingress, egress defined.
C) Detailed alternative compliance strategies per site with
cost comparisons for the various options.
5. Review final documents with the City's representative and
other personnel at the discretion of the City.
Throughout the study, Tait&Associates will solicit input from both
management of governing agencies, as well as from employees
at the operational or maintenance level, to the degree agreed
upon by the City's representative with the philosophy that more
"practical input" creates a more "workable" plan.

Statement of Issue:
Federal and State laws require that all Underground Storage Tanks (UST's) meet 1988
standards for spill, overfill and corrosion protection by December 22, 1998.

Analysis:
Pursuant to State and Fedeal Regulations, all underground fuel storage tanks must meet
1988 safety standards by December 22, 1998. The City has 30 underground storage at
twelve locations. Compliance with the 1988 standards could have a significant financial
impact on the City because some of the tanks may have to be removed and replaced.
Due to the seriousness of the situation, staff formed a Task Force Committee, in August
of 1995, to determine an appropriate course of action. Representatives from Community
Service, Fire, Police and Public Works met on a monthly basis to develop a plan of action.
On December 12, 1995, the findings of the Committee were formally presented to the
Department Directors. This issue can, and probably shall, involve soil and groundwater
remediations; therefore, it is recommended that Council authorize staff to solicit proposals
from qualified professional firms to prepare a LIST 'Modification/Cost Comparison Study.
The decision to obtain a professional consultant, for this matter, can be summarized by the
following:
1. Expertise
The investigation, summary and alternative recommendations must come from a
source which specializes in underground fuel storage, as the issue can, and probably
shall, include soil and groundwater remediation. The City has been involved before
in soil and groundwater remediation efforts. These efforts can be very expensive and
prolonged therefore, it is essential that an individual with specific credentials and
expertise be retained to recommend the most effective and economical methods for
remediation.
In addition, the City will be required to afford an alternative means of providing fuel
when the old tanks are removed. There are several ways to achieve this end and
these alternatives must be explored, explained, and cost estimates applied in order
for the City to identify the best for its needs.
2. Timing
The City is required to comply with State Law by December 1998. Staff believes
that, due to the possible cost consequences of this legislation and subsequent
evaluation, extensions may be granted if the City has shown good faith and effort in
reaching compliance. Therefore, a timely and complete evaluation is necessary in
order to determine a time frame for action and the potential costs as soon as
possible. Staff does not believe that, given current workload, this can be done in-
house in a reasonable time frame.

3. Objectivity
It is possible that the best alternative may not favor an individual department or
group. It is essential however, that impartiality and cost effectiveness be foremost in
the recommendation.
Pursuant to this recommendation, staff has attached the following documents:
1. A preliminary Work Schedule
2. The Request for Proposals
3. The appropriate"Sample" Consultant Contract
Based on the Work Schedule a final study, with recommendations, will be presented to
Council in June.

UNDERGROUND STORAGE TANK (UST) PROGRAM
DECEMBER 12, 1995
ISSUES:
Federal and State laws require that all underground storage tanks (UST's) meet 1988
standards for spill, overfill and corrosion protection by December 22, 1998. The City of
Huntington Beach has thirty underground storage tanks at twelve different locations, many
of which do not meet 1988 standards. Those which do not will have to be replaced or
abandoned in place, and, if leakage has occurred, the cost to upgrade nonconforming
UST's could be as much as $500,000 per tank.
ACTIONS:
Due to the seriousness of the situation, staff has formed a UST Task Force to study the
issues and formulate a workable program. Task Force members were appointed by the
department heads of Police, Fire, Community Services and Public Works, all UST
operators.
The Task Force has been meeting regularly since August. They have examined available
data and considered alternatives. It is their recommendation that an outside consultant
be retained to draft a plan by which the City can best conform to the requirements of the
mandate. This option was selected because staff lacks the resources and expertise
which a consultant could focus on the problem.
Staff has prepared a draft RFP, a sample professional services contract and a tentative
work schedule. The schedule proposes going to City Council in January for approval to
hire a consultant, selecting a consultant in March, and returning to Council with a final
report in June.
FUNDING:
Existing UST legislation constitutes another unfunded Federal mandate which is
complicated by the need to comply with State regulations. City General Fund monies in
the amount of $66,200 are available in the current (FY 95-96) budget (Account Number
E-CP-AS-142-6-39-00). Limited reimbursement for selected items can be obtained from
the State through the RUST Fund, but payments come only after the expenditures are
made.
RECOMMENDATION:
Proceed with a report (RCA) to the City Council and, upon approval, begin the process
of selecting a consultant.

REQUEST FOR PROPOSALS
for
Professional Services
for
City Compliance with 1988 Underground Storage Tank Regulations
L INTRODUCTION AND OBJECTIVE
The City of Huntington Beach desires to bring our Underground Storage Tank (UST) program
into conformance with 1988 regulations (State and Federal) in the most cost efficient manner.
However, the City is uncertain how to do so. Simple replacement of all existing tanks may be
unnecessary and cost prohibitive, and the City could profit from professional expertise in the
development of an alternative system or systems. The objectives of the consultant are as follows:
A. Evaluate the current UST system and determine what modifications are necessary
to meet 1988 regulations.
B. Consider cost efficient alterations to the current system including but not
limited to consolidation of sites, a "card lock" system, or some
combination of the two.
C. Provide a written Modification/Cost Comparison Study (M/CCS) with
recommendations and alternatives.
H. INFORMATION AVAILABLE FROM THE CITY
The City will provide copies of all available record information on file at the City as well as a
copy of a 1994 study conducted by City staff.
III. CONSULTANT's REPRESENTATIVE
The consultant will assign a responsible representative and an alternate, who both shall be
identified in the proposal. The consultant's representative shall remain in responsible charge of
the consultant duties from contract negotiations through project completion. If the consultant's
primary representative should be unable to complete the project, the alternate shall become the
primary representative. Any other changes in responsible representative shall be approved by the
City in writing in advance. The City will have the right to reject other proposed changes in
personnel and may consider any other changes in responsible personnel as a breach of contract.
IV. CITY'S REPRESENTATIVE
The City will assign a responsible representative to administer the contract, answer questions,
and assist the consultant in obtaining information regarding the project. All correspondence from
the consultant to the City shall be addressed to the attention of the City responsible
representative.
V. MEETING ATTENDANCE
The consultant shall attend a minimum three (3) staff progress meetings. Payments for meetings
shall be included in the cost of the proposal.
VI. EXPENSES
No expenses are authorized. The City will not pay for unauthorized expenses. The consultant's
expenses for travel, in house reproduction, other reproduction used in the analytical process, or
any other expenses not listed below will be considered as a non reimbursable, overhead
expenses.
VII. SCHEDULE
The proposal shall include a schedule of work showing completion of the M/CCS by March 29,
1996. The schedule should include the items-listed under "scope of work" (Section XII). The
consultant will not be held responsible for delays on the part of the City.
VIII. INSURANCE REQUIREMENTS
The consultant shall maintain the following minimum insurance during the duration of the
project:
A. General Liability Coverage - $1,000,000 CSL (Combined Single Limits) per
occurrence (note: If provided coverage is under a form which includes a
designated general aggregate limit, the aggregate limit must be no less that
$1,000,000).
B. Professional Liability Coverage - $500,000 per occurrence (note: A "claims
made" policy is acceptable).
C. Worker's Compensation Coverage - $100,000 bodily injury by accident,
each accident; $100,000 bodily injury by disease, each employee; $250,000
bodily injury by disease, policy limit.

IX. FORM OF AGREEMENT
The consultant will enter an agreement with the City based on the contents of this RFP, the
consultant's proposal, and standard form of agreement, if required. Please see attachment
Number 2 -- Standard Agreement. The consultant should describe any exceptions to the standard
form of agreement in the proposal. Any such exceptions will be considered advisory, and will
not be considered in the selection process.
X. PROPOSAL REQUIREMENTS
Proposals must be delivered to the City of Huntington Beach, Department of Public Works, First
floor, City Hall, no later than Friday, February 16, 1996, 4:00 P.M. Eight copies of the
proposal should be submitted in a sealed envelope. Three copies on the fee proposal should be
submitted in a separate, sealed envelope, marked "FEE PROPOSAL". Late proposals and/or
proposals not conforming to the above requirements will not be considered.
_Proposals should contain no more than 10 pages, at 12 point minimum font size, including
exhibits. Resumes are exempt from the page limit. Fee proposals should contain only enough
pages to clearly indicate the breakdown of proposed fees. Do not include a breakdown of labor
hours.

XI. INTERVIEWS
Interviews are anticipated. Once the proposals are evaluated, qualifying consultants will be short
listed and asked to participate in the interview process. These interviews will be held the week
of March 5 to 9, 1996.

X111. SCOPE OF WORK AND FEE
The work items enumerated below will be performed on either a fixed fee basis or an hourly rate
not to exceed the basis as indicated. Casts of items not specifically listed, but must be
accomplished to complete the work described herein, should be included with other items of
work.
1. Prepare a UST Modification/Cost Comparison Study (fixed fee).
2. Meet with City UST Task Force (three meetings-hourly NTE).
I Research recorded information. City staff will provide copies of relevant documents
(fixed fee).
4. Conduct field reconnaissance and staff interviews for familiarity with project (fixed
fee).
5. Provide biweekly written progress reports through the project (fixed fee).
6. Prepare probable construction cost estimates for all system modifications/alternatives
proposed(fixed fee).
7. Provide ten copies of the MICCS (fixed fee).
8. Advise and assist City staff with efforts to-obtain financial reimbursements from the
State of California UST Cleanup Fund (hourly-NTE).
The consultant shall prepare monthly progress billings in accordance with City standards and
regulations.
XIII. EVALUATION CRITERIA
The criteria below will be used in evaluating proposals. A point value system will be established
based on the approximate weighting indicated below.
1. Quality and clarity of proposals.
2. Qualifications and experience of key individuals.
3. Ability to devote the necessary resources to complete the project.
4. References.
5. Successful completion of similar projects, by key individuals.
Only after the consultant is selected will the sealed Fee Proposal envelope be opened. The City
then reserves the right to negotiate modifications in services requested.

STORAGE TANK SYSTEM
THIS AGREEMENT, made and entered into this day of
1995, by and between the City of Huntington Beach, a
municipal corporation of the State of California, hereinafter referred to as "CITY", and
a California corporation, hereinafter referred to as
"CONSULTANT."
WHEREAS, CITY desires to engage the services of a consultant for a study of CITY's
underground storage tank system and a written report thereon; and
Pursuant-to documentation on file in the office of the City Clerk, the provisions of
HBMC Chapter 3.03 relating to procurement of professional service contracts has been
complied with; and
CONSULTANT has been selected to perform said services,
NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows:
1. WORK STATEMENT
CONSULTANT shall provide all services as described in the Request for
Proposal, and CONSULTANT's proposal dated (hereinafter referred to as
Exhibit"A"), which is attached hereto and incorporated into this Agreement by this reference.
Said services shall sometimes hereinafter be referred to as "PROJECT."
CONSULTANT hereby designates , who shall represent it and
be its sole contact and agent in all consultations with CITY during the performance of this
Agreement.

2. CITY STAFF ASSISTANCE
CITY shall assign a staff coordinator to work directly with CONSULTANT in the
performance of this Agreement.
3. TIME OF PERFORMANCE
Time is of the essence of this Agreement. The services of the CONSULTANT
are to commence as soon as practicable after the execution of this Agreement and all tasks
specified in Exhibit"A" shall be completed no later than months from the date of this
Agreement. These times may be extended with the written permission of the CITY. The time
for performance of the tasks identified in Exhibit"A" are generally to be shown in the Scope of
Services on the Work Program/Project Schedule. This schedule may be amended to benefit
the PROJECT if mutually agreed by the CITY and CONSULTANT.
4. COMPENSATION
In consideration of the performance of the services described herein, CITY
agrees to pay CONSULTANT a fee not to exceed Dollars

In the event CITY requires additional services not included in Exhibit "A," or
changes in the scope of services described in Exhibit"A," CONSULTANT will undertake such
work after receiving written authorization from CITY. Additional compensation for such extra
work shall be allowed only if the prior written approval of CITY is obtained.

6. METHOD OF PAYMENT
A. CONSULTANT shall be entitled to progress payments toward the fixed
fee set forth herein in accordance with the progress and payment schedules set forth in Exhibit
"Alt.
B. Delivery of work product: A copy of every technical memo and report
prepared by CONSULTANT shall be submitted to the CITY to demonstrate progress toward
completion of tasks. In the event CITY rejects or has comments on any such product, CITY
shall identify specific requirements for satisfactory completion. Any such product which has
not been formally accepted or rejected by CITY shall be deemed accepted.
C. The CONSULTANT shall submit to the CITY an invoice for each
progress payment due. Such invoice shall:
1) Reference this Agreement;
2) Describe the services performed;
3) Show the total amount of the payment due;
4) Include a certification by a principal member of the
CONSULTANT's firm that the work has been performed in accordance with the
provisions of this Agreement; and
5) For all payments include an estimate of the percentage of work
completed.
Upon submission of any such invoice, if CITY is satisfied that
CONSULTANT is making satisfactory progress toward completion of tasks in accordance with
this Agreement, CITY shall promptly approve the invoice, in which event payment shall be
made within thirty (30) days of receipt of the invoice by CITY. Such approval shall not be
unreasonably withheld. If the CITY does not approve an invoice, CITY shall notify
CONSULTANT in writing of the reasons for non-approval, within seven (7) calendar days of

receipt of the invoice, and the schedule of performance set forth in Exhibit"A" shall be
suspended until the parties agree that past performance by CONSULTANT is in, or has been
brought into compliance, or until this Agreement is terminated as provided herein.
D. Any billings for extra work or additional services authorized by CITY shall
be invoiced separately to the CITY. Such invoice shall contain all of the information required
above, and in addition shall list the hours expended and hourly rate charged for such time.
Such invoices shall be approved by CITY if the work performed is in accordance with the extra
work or additional services requested, and if CITY is satisfied that the statement of hours
worked and costs incurred is accurate. Such approval shall not be unreasonably withheld.
Any dispute between the parties concerning payment of such an invoice shall be treated as
separate and apart from the ongoing performance of the remainder of this Agreement.
7. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS
CONSULTANT agrees that all materials prepared hereunder, including all
original drawings, designs, reports, both field and office notices, calculations, maps and other
documents, shall be turned over to CITY upon termination of this Agreement or upon
PROJECT completion, whichever shall occur first. In the event this Agreement is terminated,
said-materials may be used by CITY in the completion of PROJECT or as it otherwise sees fit.
Title to said materials shall pass to the CITY upon payment of fees determined to be earned by
CONSULTANT to the point of termination or completion of the PROJECT, whichever is
applicable. CONSULTANT shall be entitled to retain copies of all data prepared hereunder.
8. INDEMNIFICATION AND HOLD HARMLESS
CONSULTANT hereby agrees to indemnify, defend, and hold and save
harmless CITY, its officers and employees from any and all liability, including any claim of
liability and any and all losses or costs arising out of the negligent performance of this
Agreement by CONSULTANT, its officers or employees.

9. WORKgRS COMPENSATION
CONSULTANT shall comply with all of the provisions of the Workers
Compensation Insurance and Safety Acts of the State of California, the applicable provisions
of the California Labor Code and all amendments thereto; and all similar state or federal acts
or laws applicable; and shall indemnify, defend and hold harmless CITY from and against all
claims, demands, payments, suits, actions, proceedings and judgments of every nature and
description, including attorney fees and costs presented, brought or recovered against CITY,
for or..on account of any liability under any of said acts which may be incurred by reason of any
work to be performed py CONSULTANT under this Agreement.
CONSULTANT shall obtain and furnish evidence to CITY of maintenance of
statutory workers compensation insurance and employers liability in an amount of not less than
$100,000 bodily injury.by accident, each occurrence, $100,000 bodily injury by disease, each
employee, and $250,000 bodily injury by disease, policy limit.
10. INSURANCE
In addition to the workers compensation insurance and CONSULTANT's
covenant to indemnify CITY, CONSULTANT shall obtain and furnish to CITY the following
insurance policies covering the PROJECT:
A. General Liability.Insurance
A policy of general public liability insurance, including motor vehicle coverage.
Said policy shall indemnify CONSULTANT, its officers, agents and employees, while acting
within the scope of their duties, against any and all claims of arising out of or in connection
with the PROJECT, and shall provide coverage in not less than the following amount:
combined single limit bodily injury and property damage, including products/completed
operations liability and blanket contractual liability, of$1,000,000 per occurrence. If coverage
is provided under a form which includes a designated general aggregate limit, the aggregate

limit must be no less than $1,000,000. Said policy shall name CITY, its officers, and
employees as Additional Insureds, and shall specifically provide that any other insurance
coverage which may be applicable to the PROJECT shall be deemed excess coverage and
that CONSULTANT's insurance shall be primary.
B. Professional Liability Insurance.
CONSULTANT shall acquire a professional liability insurance policy covering the
work performed by it hereunder. Said policy shall provide coverage for CONSULTANT's
professional liability in an amount not less than $500,000 per claim. A claims made policy shall
be acceptable.
11. CERTIFICATES OF INSURANCE; ADDITIONAL INSURED ENDORSEMENTS
Prior to commencing performance of the work hereunder, CONSULTANT shall
furnish to CITY certificates of insurance subject to approval of the City Attorney evidencing the
foregoing insurance coverages as required by this Agreement; said certificates shall provide
the name and policy number of each carrier and policy, and shall state that the policy is
currently In force and shall promise to provide that such policies will not be canceled or
modified without thirty (30) days prior written notice of CITY. CONSULTANT shall maintain the
foregoing insurance coverages in force until the work under this Agreement is fully completed
and accepted by CITY.
The requirement for carrying the foregoing insurance coverages shall not
derogate from the provisions for indemnification of CITY by CONSULTANT under the
Agreement. CITY or its representative shall at all times have the right to demand the original
or a copy of all said policies of insurance. CONSULTANT shall pay, in a prompt and timely
manner, the premiums on all insurance hereinabove required.

A separate copy of the additional insured endorsement to each of
CONSULTANT's insurance policies, naming the CITY, its officers and employees as Additional
Insureds shall be provided to the City Attorney for approval prior to any payment hereunder.
12. INDEPENDENT CQNTRACTOR
CONSULTANT is, and shall be, acting at all times in the performance of this
Agreement as an independent contractor. CONSULTANT shall secure at its expense, and be
responsible for any and all payment of all taxes, social security, state disability insurance
compensation, unemployment compensation and other payroll deductions for CONSULTANT
and its officers, agents and employees and all business licenses, if any, in connection with the
services to be performed hereunder.
13. TERMINATION OF AGREEMENT
All work required hereunder shall be performed in a good and workmanlike
manner. CITY may terminate CONSULTANT's services hereunder at any time with or without
cause, and whether or not PROJECT is fully-complete. Any termination of this Agreement by
CITY shall be made in writing, notice of which shall be delivered to CONSULTANT as provided
herein.
14. ASSIGNMENT AND SUBCONTRACTING
This Agreement is a personal service contract and the supervisory work
hereunder shall not be delegated by CONSULTANT to any other person or entity without the
consent of CITY.
15. COPYRIGHTS/PATENTS
CITY shall own all rights to any patent or copyright on any work, item or material
produced as a result of this Agreement.

16. CITY EMPLOYEES AND OFFICIALS
CONSULTANT shall employ no CITY official nor any regular CITY employee in
the work performed pursuant to this Agreement. No officer or employee of CITY shall have
any financial interest in this Agreement in violation of the applicable provisions of the California
Government Co e.
17. NOTICES
Any notice or special instructions required to be given in writing under this
Agreement shall be given either by personal delivery to CONSULTANT's agent (as designated
in Section 1 hereinabove) or to CITY's Director of Public Works as the situation shall warrant,
or by enclosing the same in a sealed envelope, postage prepaid, and depositing the same in
the United States Postal Service, addressed as follows:

18. IMMIGRATION
CONSULTANT shall be responsible for full compliance with the immigration and
naturalization laws of the United States and shall, in particular, comply with the provisions of
the United Statep Code regarding employment verification.
19. L GAL SERVICES SUBCONTRACTING PROHIBITED
CONTRACTOR and CITY agree that CITY is not liable for payment of any
subcontractor work involving legal services, and that such legal services are expressly outside
the scope of services contemplated hereunder. CONSULTANT understands that pursuant to
Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel for

CITY; and CITY shall not be liable for payment of any legal services expenses incurred by
CONSULTANT.
20. ATTORNEY'S FEES
In the event suit is brought by either party to enforce the terms and provisions of
this agreement or to secure the performance hereof, each party shall bear its own attorney's
fees.
21. ENTIRETY
The foregoing, and Exhibit"A": attached hereto, set forth the entire Agreement
between the parties.
