Statement of Issue: A Master Plan for the renovation of .Shipley Nature Center has been
completed, and Friends of Shipley Nature Center (FSNC) has been working to re-open the
center and complete the renovation. There is a need to approve the Master Plan for
renovation of the Shipley Nature Center.
Funding Source: N/A. Council previously approved funding for preparation of the Master
Plan. FNSC is seeking funding for improvements identified in the Master Plan.
Recommended Action: Motion to:
Approve the Master Plan for renovation of the Shipley Nature Center in Huntington Central
Park as prepared by Tatsumi and Stivers, LLA.
Alternative Action(s):
Do not approve the Master Plan for renovation of the Shipley Nature Center.
Analysis: In 2000, a subcommittee of the Environmental Board was formed to address
improvements to the Shipley Nature Center in Central Park. Members of the subcommittee
worked with staff to identify areas of improvement for the center, and sought the
establishment of a Friends of Shipley Nature Center group. However, the Shipley Nature
Center was closed in 2001 due to budget reductions before all of the improvements were
made.
The goals of FSNC are to improve and restore the center and eventually reopen it to the
public. The center is currently opened periodically with city approval for workdays,
fundraisers, and limited tours.

In September of 2002, even though the center was closed to the public, City Council
approved hiring a landscape architect firm to prepare a Master Plan based on the renovation
being completed by FSNC. The firm of Tatsumi and Partners, Inc. has completed the Master
Plan, which will provide direction for improvements, and will help FSNC in applying for
grants.
FSNC, with assistance from the city, has been working to restore the center in Huntington
Central Park. Mr. Guy Stivers of Tatsumi and Partner, Inc., had worked closely with FSNC
throughout preparation of the Master Plan. Based on FSNC input, the plan calls for the
replanting of many of the areas within the center with species native to southern California
and, specifically, Orange County. The plan created by Mr. Stivers also incorporates
environmental education, and emphasizes water conservation. Specific elements of the plan
include improved trails, an enhanced entryway, demonstration gardens, and restoration of
Blackbird Pond. The plan has been designed in segments allowing for improvements to be
made incrementally as funding becomes available.
The Master Plan does not include structures to be built over 3,000 square feet or $100,000.
Therefore, it is the City Attorney's opinion that the Master Plan does not fall under the
provisions of Charter Section 612 (Measure C).
The Community Services Commission has approved the Master Plan. Given the budget
restrictions of the city and the desire and efforts of FSNC to restore and reopen the Shipley
Nature Center, staff is recommending Council approval of the Master Plan.
Environmental Status: The Master Plan has received a Notice of Exemption on August 18,
2003 from the County of Orange.

Statement of Issue: There is a need to create a master plan for the DonalEr D.�Shipley
Nature Center in Huntington Central Park to provide direction for the rehabilitation of the
facility and to apply for grants.
Funding Source: $5,000 from Park Acquisition and Development Fund Unencumbered
Fund Balance Account # 209.31100.1999; $10,000 from the U. S. Fish and Wildlife Grant
(Revenue Account RAA633); and $6,000 from the sale of palm trees previously approved by
City Council. (General Fund Unencumbered Fund Balance Account #100.31100.1999 to loan
the $6,000 for the project and be reimbursed after the sale of the palm trees).
Recommended Action: Motions to:
1. Authorize the appropriation of $21,000 into Park Acquisition and Development,.Fund,
Professional Services Account#20945101.69365 to hire a consultant to prepare a master
plan for the Donald D. Shipley Nature Center in. Huntington Central Park with the following
funding: $5,000 from the Park Acquisition and Development Fund; with $6,000 to be a
loan from the General Fund Unencumbered Fund Balance Account #100.31100.1999 that
will be reimbursed after the Council-approved sale of the palm trees; and $10,000 from
the U. S. Fish and Wildlife Grant Revenue Account#RAA633.
2. Approve an agreement with Tatsumi and Partners, Inc. for the preparation of a landscape
architectural master plan for the Shipley Nature Center in Huntington Central Park, and
authorize the Mayor and City Clerk to execute same.
Alternative Action(s):

Analysis: A subcommittee of the Environmental Board has been working with staff to
improve the Donald D. Shipley Nature Center (Center) in Huntington Central Park. Part of

this process has included seeking grants as well as establishing a Friends of the Nature
Center group to support activities in the Center. Mayor Debbie Cook and Councilmember
Shirley Dettloff are liaisons to the Friends and the subcommittee.
There has been considerable work done to date to eliminate dead Monterrey Pine trees and
non-native, invasive vegetation in the park. Council approved $50,000 for the removal of the
pines. The city received a grant to utilize the Orange County Conservation Corps to remove
the non-native vegetation. Council approved allowing a contractor to remove six non-native
palms in the Center and paying $6,000 that was approved for use within the Center. The
contractor will pay the city upon removing the palms for a specific job at a later date.
The Center subcommittee received proposals from three landscape architects to create a
master plan for the Center. With staff assistance, the committee selected Tatsumi and
Partners, Inc. to prepare the master plan. Their proposal is set forth in Attachment. 1. An
agreement with Tatsumi and Partners, Inc. (Attachment 2) has been prepared by the City
Attorney for preparation of the Center master plan at a cost of $21,000. The subcommittee
would like to utilize the $6,000 from the sale of palm trees, (a General Fund loan will be
required until the contractor's payment is received), $10,000 previously received for the
Center from a U. S. Fish and Wildlife grant, and $5,000 from the Park Acquisition and
Development Fund, for a total of$21,000 to pay for the master plan.
On April 10, 2002, the Community Services Commission received a presentation from Dave
Winkler, Park Naturalist, on the overall efforts of the committee, and a request for $5,000
from the Park Acquisition and Development Fund. The commission voted in favor of utilizing
the Park Acquisition and Development'Fund to cover the shortfall of $5,000. This master
plan, when completed, will be processed through the Environmental Board and the
Community Services Commission.
Pursuant to a request by Tatsumi, city staff processed an insurance and indemnification
waiver (Attachment 3) to delete language in the city's standard indemnification provision and
requested a deductible for the professional liability insurance required by the agreement.
Fundina Criteria: In March 1998, Council adopted criteria for requests for appropriation of
funds. The criteria included unanticipated emergencies, required to implement labor
negotiations, or a new expense offset by related new revenues. The requested appropriation
from the General Fund will be offset by new revenues from a contractor, so the $6,000 from
the sale of the palms will be reimbursed to the General Fund. The remainder of the money to
pay for a consultant to prepare the master plan comes from a grant and the Park Acquisition
and Development Fund.
Environmental Status: The master plan will be processed through the Environmental
Board.

for experienced consultants to submit proposals for site analysis, plan development and
master plan services, is pleased to submit for your review six (6) sets of our Proposal as

site was developed during the early California Conservation Corps era. The
surrounding community was very aggressive and vocal about maintaining the image
and spirit of the original park character. Previously having experienced another design
jfirm that lacked sensitivity to the desires of the community, Tatsumi conducted a series
of interactive meetings with the community that educated both the community
participants and the design team. This, in turn, created a strong and productive
partnership, which resulted in designs that met the goals and objectives of both the
community and the City of Los Angeles. And as previously mentioned, the community
was very appreciative of our efforts.
' While the Tatsumi Stivers team hosts a number of capabilities, none are more
/ p ,
important than our main asset...our staff and experience. The focal point of our team
for your services contract will be Guy Stivers - he will serve as the overall Project
Manager. With over two decades of experience in the field, he will ensure that
schedules, contractual obligations and quality control measures are all met. He will
personally lead the input sessions and provide "hands on" participation in the design.
This high level of participation on his part will result in the optimum plan and exhibit
design for Shipley Nature Center's Blackbird Pond and create a truly unique and
"special place" for the enjoyment of all visitors.
With respect to the term "special place", as we were reviewing the project, we noticed
the wildlife corridor that exists from Bolsa Chica to Wieder Regional Park to
Huntington Central Park (where Shipley Nature Center is located). It is very timely and
appropriate that Shipley Nature Center be restored to what it once was—a viable fresh
water wetland. This restoration will serve to further enhance and attract wildlife into
the natural areas of urban Huntington Beach.
' In preparation for writing this proposal, we visited the Environmental Nature Center in
Newport Beach. They have developed 14 native California habitats on 3.5-acres of
urban-locked land. They have also done an extraordinary job of educating the public
on California's diverse habitats. We believe Shipley Nature Center is uniquely
positioned to develop a center which is focused on educating the public on "Orange
County's" habitats which include: riparian, fresh water pond and stream, fresh water
seeps, vernal pools, oak woodland, oak woodland savannahs, and coastal sage scrub
habitat.
To assist us in the development of the master plan elements, we have enlisted the
assistance of several expert consultants on our project team. Based on our
1 observations, we have anticipated the design/engineering needs for stream
development and have, thus, included FPL and Associates (Civil Engineering). FPL will
provide the grading/drainage engineering assistance for the stream. Additionally, we
have enlisted The Acorn Group for their expertise in exhibit and program designing
and will consult with Dan Ordugo, the current Grounds Keeper at the Environmental

Nature Center on Newport Beach, for his hands-on experience of facility management
and daily maintenance issues. Mr. Ordugo's insight will assist the planning/design team
on issues relative to "real world" operations and maintenance of a nature center. In
other words, regardless of how nice a set of drawings looks, he knows what "really
does work and what doesn't work" from personal experience.
"Habitat Restoration" has begun to capture the imagination of the public. Some
people see habitat restoration as a civic duty while others look upon it as a healthy
' form of "recreation." In response to the public's desire for "restoration/revitalization,"
the City of Huntington Beach has a tremendous opportunity to make "restoration
education" a part of Shipley Nature Center's new mission.
' The Tatsumi and Partners team is prepared to utilize all of our knowledge and
experience to provide the City of Huntington Beach's Community Services Department
with the level of services that very few others may claim. We are prepared to work
diligently as an extension of Department staff in assisting to provide the optimum blend
of education and recreation elements in a efficient, creative and managed manner. As
the principals of Tatsumi and Partners and Stivers and Associates, we are authorized to
submit this proposal on behalf of the team and 1 would like to convey our personal

INTRODUCTION
The human need to create a living environment for oneself often conflicts with the natural
environment. Today's lifestyles demand massive areas of land to be constructed upon for homes,
' streets and other man-made structures. These facilities are needed in which to travel, work and live.
The human need to recreate or play at leisure is, many times, the single most significant activity
humans engage in which compliments nature. Names of many of these areas are parks, open spaces,
greenbelts and a number of other contemporary designations. However, they all boil down to one
thing...an area in which people from all walks of life can experience nature and greenery.
The value of these park or recreation areas has been documented time and time again. It is the one
of the major components in today's modern world that forms the foundation of the quality of life.
Therefore, it can be said that these recreation areas should be experienced by all but must also be
' managed and protected.
It is with these thoughts in response to the City of Huntington Beach Department of Community
Services' request for assistance to provide landscape architecture services for the revitalization of the
Shipley Nature Center that the team of landscape architects and recreation planners of Tatsumi and

' ANALYSIS AND METHODOLOGY
The team's objective to make Shipley Nature Center a "model" urban reserve for the education of the
public on environmental issues such as habitat restoration, native vegetation and wildlife protection
and enhancements.
To accomplish these goals the team will use scientific methods: research and analysis of the site;
development of a comprehensive program with the client; design and development of plans and
specifications; and follow up with implementation and management recommendations.
Research will be comprehensive and will include, but not necessarily be limited to:
inventory of soil types, determination of site drainage, inventory of existing vegetation and
habitat types, review of current land uses, review of similar sites (such as the Newport
Beach Environmental Nature Center), program development with the client, and
review of any previous research on the site.
TThe team will analyze the data obtained by the research, investigate any
opportunities and constraints, and brainstorm conceptual solutions. This information
will then be presented to the Department of Community Services in a workshop
format to solicit additional input from the Department for the Nature Center design
' and program development.
Guy Stivers possesses a project-proven track record of successful integration of
community participation into the design process. The cornerstone of his success is his

process. He carefully describes their role in the design process as primary stakeholders and then he
listens to their opinions, concerns and desires. His ability to make participants comfortable in the
discussion process is well known in the profession and had led to productive and cooperative
' discussions. These, in turn, have resulted in higher quality of designs, which reflects the true spirit of
the community while enhance their quality of life.
tIn addition to his manner of creating a comfortable and cooperative environment, Mr. Stivers also uses
a number of materials to assist in his presentation. These include graphics, photographs, photo-
realistic simulations and product samples. He blends all of these devices together to generate a solid
understanding of the proposed designs. This level of understanding creates awareness and trust in the
participants and promotes meaningful responses.
' Based on the outcome of the workshop, the team will take the additional input and
develop preliminary plans. These preliminary plans will consist of a scaled site
conceptual plan, cross sections of prime areas, and graphics of the overall project and
specific elements such as stream and exhibit diorama. The preliminary plans will be
presented to the Department of Community Services for their consideration and
' recommendations.
Based on feedback from the preliminary plan presentation a "master plan" will
be developed. This master plan will consist of a scaled site plan illustrating the
entire program. The plan will depict habitat and vegetation recommendations,
quantities and sizes of recommended plants, the enhanced trail system, picnic
)_'•`. facilities (if any), maintenance and nursery yards, the stream and pond system,
and any ADA requirements. Cross sections of the Nature Center, stream, and
habitats would be included. Color graphics illustrating the diorama exhibit will
also be provided. As requested, a brief report will be submitted with the master
' f plan. The report will cover site research and analysis, description of the design
theme and program, cost estimates for construction, sample installation
timetables, and discussion of maintenance and life cycle issues.
The master plan will be the Departments starting point and roadmap for the development of this
' model reserve. The plan will have enough information to use for soliciting grants, restoring and
maintaining the reserve, and educating the public on the value of urban habitats.

TIMELINE
Primavera is a computer-based project management program developed for projects such as this. It
enables the firm to input into the computer all pertinent project data such as dates of milestones,
coordination, review dates, and human resource requirements for specific tasks. The computer
program then allocates staffing across all projects in the office in the most efficient manner possible to
insure that all clients receive their projects when they need them. It is programmed to reserve 20%of
available human resources to accommodate unforeseen or emergency project tasks. If slippage in
progress is observed, Tatsumi and Partners initiates its "Schedule Conformance Procedures" to insure
that Project deadlines are met.
The following timeline was generated directly from our Primavera system and illustrates the critical

1 Following is a listing of the proposed team members for the Shipley Nature Center Blackbird Pond
Revitalization Project. The key personnel listed below are landscape architectural, environmental,
design and engineering professionals with experience in restoration design.
Guy Stivers,ASLA— Project Manager/Principal Designer
Mr. Stivers will be responsible for the management and design of the project. He will work with the
City of Huntington Beach's Department of Community Services in implementing the vision and
concept created for the revitalization, overseeing the production of exhibits, being present at the
' meetings and being responsible for all reports and deliverables. Mr. Stivers will serve as the primary
contact for the Department during the course of this project and will serve as the QA/QC oversight
manager.

Mr. Sabin will utilize his experience to assist in the preparation of the project deliverables. All day-to-

' Guy Stivers is currently working on the Seal Beach National Wildlife Refuge Nature Center on the Seal
Beach Naval Weapons Center. Guy serves as master planner and technical advisor for the development of
a four acre"Native Plant Garden". When finish the garden will display several habitats including, fresh

Tatsumi and Partners, Inc.
Tatsumi and Partners, Inc. is a landscape architectural/planning firm serving the public sector municipal
landscape design requirements. Since its initial formation in 1981, Tatsumi and Partners, Inc. has grown
to become a leader in the field of municipal-oriented landscape design. The firm now includes
professionals with such expertise as design, planning, horticulture, irrigation design, public outreach,
1 lifecycle management, visual resource management, image enhancement, liability risk management, site
graphics, and water management. Based in Orange County, California and serving the entire Southwest,
the firm hosts a staff which includes licensed landscape architects with project-proven experience in
' public infrastructure systems and street design/planning with an emphasis on maintenance, safety and
cost-effectiveness.
Tatsumi and Partners is very successful in the renovation of highly sensitive facilities. O'Melveny Park in
Granada Hills for the City of Los Angeles is an illustration of how Tatsumi and Partners can
accommodate current park design standards while preserving the historic character of a park site.
O'Melveny Park involved the restoration of the original California Conservation Corps era park nestled
in the foothills of Los Angeles. Tatsumi and Partners successfully restored the park site to its original
spirit and atmosphere while addressing current ADA and building code requirements. Realizing the
' tremendous degree of ownership the local community has taken to the park site, the City of Los Angeles
agreed to have representatives of the community participate in the design process. The local
community, very concerned about the level of sensitivity applied to the O'Melveny Park site, was very
pleased with the results of our planning and design efforts as illustrated by their standing ovation.
Another example of sensitive renovation design by Tatsumi and Partners was demonstrated on the
current Manhattan Beach Parkway project. This project for the City of Manhattan Beach, was to
' improve the existing parkway trail which runs along an abandoned railroad easement. Over the years,
the parkway has taken on a very natural, rustic, causal image, an image highly prized by the local
community. Tatsumi and Partners held a series of community workshops designed to educate, inform
' and to obtain input from the interested residence of this seaside community. While the City of
Manhattan Beach wanted various improvements to be made to the existing parkway to improvement
maintenance efficiency and minimize potential liability, the community wanted the parkway preserved
' in its original state. Tatsumi and Partners, with our ability to listen to the concerns of the community,
was able to develop creative design solutions which satisfied the community's concerns for preserving
the natural state of the parkway while meeting the City's goals for improved maintenance and liability.
Again, this was accomplished by creating a partnership with both the City and the community.
Additional wilderness and/or vegetation and habitat restoration projects include a recently completed
project for the Point Loma Submarine Base in San Diego. This project required a high level of
restoration accuracy because the project site was located within a nature preserve. The preserve
mandated an accurate restoration of the native vegetation, not merely an approximate re-vegetation. To
accomplish this, Tatsumi and Partners conducted extensive investigation and inventory of the existing
plant communities found in the area. Additionally, the nesting habitats for the local crane population
had to be preserved. All of these issues had to be met while meeting the functional goals of the United
States Navy. Any of the final design solution required intensive on-site supervision of restoration

preserve.

Irrigation Design Expertise

Recognizing that irrigation system design is an important and integral part of the landscape design
process, it should be noted that Tatsumi and Partners, Inc. produces 100% of its irrigation designs in-
house. Irrigation design is never subcontracted to an outside firm. In insures fully integrated planting
and irrigation designs - Tatsumi and Partners, Inc. feels that optimum water conservation control is
achieved only when the irrigation systems are designed concurrent with the development of the planting
design. This is not possible when the irrigation design is prepared after-the-fact by an outside irrigation
consultant.
' Response and Commitment
Mr. David Tatsumi, ASLA, President of Tatsumi and Partners, Inc. will serve as the overall Tatsumi and
Partners' Team Project Oversight Manager for this project. Having full authority over the firm, he can
guarantee the human resources required and full commitment of the organization needed to serve the
City of Huntington Beach's Project in the most timely manner possible.
Project Progress/Schedule Control System
Prior to the start of each project, Tatsumi and Partners, Inc. will prepare a work schedule for the project.
A printout of the Primavera-generated work plan schedule illustrating personnel assignments will be
included. It will be generated directly from our Primavera system and will illustrate the critical path of
all tasks involved in the this project projects including the detailed breakdowns of Milestones, each task
within those Milestones and the number of hours an individual will be allocated for that task.
Primavera is a computer-based project management program developed for projects such as this
project. It enables the firm to input into the computer all pertinent project data such as dates of
milestones, coordination, review dates, and human resource requirements for specific tasks. The
computer program then allocates staffing across all projects in the office in the most efficient manner
' possible to insure that all clients receive their projects when they need them. It is programmed to
reserve 20% of available human resources to accommodate unforeseen or emergency project tasks. If
slippage in progress is observed, Tatsumi and Partners initiates its "Schedule Conformance Procedures"
1 to insure that project deadlines are met.

Computer Imaging Systems
Tatsumi and Partners possesses the capabilities to produce 100% computer-generated images of
proposed designs or enhance actual photographs with proposed improvements, both to photo-realistic
quality. In-house facilities include photo editing and manipulation software integrated with the CADD
systems for accurate renderings of project sites.
In-House AUTOCADD/Intergraph CADD Systems
Tatsumi and Partners, Inc. possesses powerful CADD systems incorporating both Intergraph and
AutoCAD platforms. This allows complete compatibility with CADD data from most engineering firms,
control over CADD quality and schedule control. Full conformance to Caltrans' CADD standards and
other construction contract requirements is 100% maintained. Tatsumi and Partners currently possesses
six CADD workstations as well as digitizing and plotting capabilities.
Quality Control Operations and Procedures
Many firms which profess to having QA/QC procedures many times repeat a task over and over again
until they finally get it right. Doing things over and over again until its right causes delays in the entire
project schedule and eventually causes costs to rise (i.e. someone eventually has to pay for repeating
tasks again and again). During the past few years, most municipalities have become to realize the
importance of a properly developed and executed quality control program.
Tatsumi and Partners, Inc. views quality assurance/ uality control as an integral part of landscape

architecture, not merely as a necessary evil. Its passion for "getting it right the first time" has lead to the
' development of a 5th generation quality assurance/quality control system called "Quality Control
Operations and Procedures" (QCOP). This systematized method of plan checking construction
document plans to insure that all critical elements have not been omitted was originally developed by
Tatsumi and Partners, Inc. in 1988 and is being continually updated.

FPL and Associates, Inc
' FPL and Associates Inc. (FPL), founded in 1988 by Mr. Fong-Ping Lee, Ph.D., P.E., T.E. at his house in
Fountain Valley at that time and then moved to the current office at the Irvine Corporate Park in 1993,
has grown to a multi-discipline engineering firm with expertise in traffic, transportation, civil, structural,
architectural and electrical engineering, and is mostly known for its large scale traffic design and
operation capabilities. FPL is certified by Caltrans as DBE and SMBE. FPL participated in various
landmark transportation projects such as the San Joaquin Hills Transportation Corridor ($800M,
design/build), Eastern Transportation Corridor ($800M, design/build) and the SR-91 Toll Lane ($126M,
design/build, BOT) in Orange County, California, as well as being responsible for lighting analysis and
design of the 1-15 Reconstruction in Salt Lake City, Utah ($1,300M, design/build). With this
participation, FPL is very accustomed to providing traffic engineering for large-scale projects with fast
pace and intensive coordination requirements.

OWELVENY PARK
Granada Hills, California
O'Melveny Park is a 690-acre regional park of the City of Los Angeles. Tatsumi and Partners, Inc., as the
resident design consultant for the Recreation and Parks Department, was given the responsibility of
preparing a park renovation master plan. The goal was to make maximum use of the $1 million budget.
Renovation tasks were identified and discussed during numerous meetings with local residences and the
local Councilman and his staff. Recent meetings ended with agreement and applause from the
t residence. All tasks were prioritized and allocated a budget in concert with the City staff and their
FEMA liaison. The funding sources were a State of California bond and FEMA.
The site itself is a nature experience, hidden in the hills of Granada Hills. Used extensively by local
residences and equestrian riders, the design goal was to retain the natural, woody image of the original
park design while bring them up to current standards and requirements. All parking facilities were re-
configured, a new visual theme was established, self-guided tour materials and trails were arranged and
areas exhibiting significant storm-related damage were engineered. Old concrete curbs were replaced
with new log and stone curbs and drinking fountains were replaced with current standard City of Los
Angeles fountains, modified to blend in with the character of O'Melveny Park.
The park hosts a new equestrian center, hiking trails, a renovated restroom, updated irrigation systems
' and enhanced security features.

' Leading the team of designers and engineers, Tatsumi & Partners developed contemporary recreation
designs which were creative and cost-effective, producing a dynamic park which meets the varying
needs of the community and special interest groups, as well as complying with budgetary restrictions
and the incorporation of the County of Riverside's valley-wide recreational master plan.
' Visually and functionally, the California Oaks Sports Park revolves around the theme plaza. This plaza
connects all major functions of the park through a promenade lined with palm trees leading from a
convenient automobile drop-off point. Other amenities include a competition-quality swimming pool, a
' smaller wading pool and pool building/structure, which serves as the park administration office, dressing
rooms, restrooms, and storage. Also included is a tournament-level ballfield featuring permanent seating
for spectators and sports lighting for which Tatsumi & Partner's designers developed a grading concept
which allowed the use of grade changes to act as additional seating for the ballfield. Another practice
ballfield is adjacent to the main field and a regulation soccer field is incorporated into the design of the
park in the southern portion of the site. California Oaks Park contains numerous picnicking facilities
' including cooking grills and tables with seating. Other features are volleyball courts, tennis courts, hard
surface courts for basketball and a tot lot.
The-irrigation system was designed "in-house" by Tatsumi & Partners staff and features a complex loop
main system. The complex calculations for the loop main system were developed and verified by
computer. The entire irrigation system is designed to adequately water the entire park site within a
specific "watering window" of time and is controlled by a central, computerized irrigation controller
system. All irrigation circuits are sectioned to precisely reflect the plant material growing in the section
and its solar orientation, thus conserving water and energy. Utilizing a computer program developed by
' Tatsumi & Partners as part of the irrigation design, a pro forma was developed for the irrigation
controller scheduling to illustrate a projection of the controller scheduling for the entire year divided
into seasons and months. This allowed for estimations of the total water usage on an annual basis along
' with annual water and energy costs.

accommodates several classifications of ball play, and includes dugouts, protected "on-deck" areas,
pitcher's warm-up cages, an electronic scoreboard/public address system, permanent spectator seating,
sports lighting and a concession/park storage building with restrooms. Due to a change in the market,
the entire park site was dismantled and relocated onto a different site.

tTatsumi & Partners was retained to assess an existing recreation trail system along an abandoned railroad
easement within the City of Manhattan Beach. Stretching for approximately 3.1 miles, the project site
1 required detailed on-site assessment of potential liabilities and potential recreational uses. Major
emphasis in the study involved the review of existing liability and maintenance problems. The study
resulted in a report of recommendations regarding liability risk management techniques for the trail
system and renovation of existing planting and irrigation to minimize maintenance costs and increase
security. These recommendations were accepted by the City Council and authorized for
implementation in a phase manner.

THE CITY.OF HUNTINGTON BEACH AND
TATSUMI AND PARTNERS, INC.
FOR
PROFESSIONAL DESIGN AND PLANNING SERVICES RELATED TO
PREPARING A MASTER PLAN AND REPORT FOR RESTORATION
OF THE SHIPLEY NATURE CENTER
THIS AGREEMENT ("Agreement") is made and entered into this 3rd day of
September , 2002, by and between the City of Huntington Beach, a municipal
corporation of the State of California, hereinafter referred to as "CITY, and Tatsumi and
Partners, Inc., a California corporation,hereinafter referred to as "CONSULTANT."
WHEREAS, CITY desires to engage the services of a consultant for professional
design and planning services related to preparing a-master plan and report for.restoration of
the Shipley Nature Center; and
Pursuant to documentation on file in the office of the City Clerk,.the-provisions of .
the Huntington Beach Municipal Code, Chapter 3.03, relating to procurement of
professional service contracts have been complied with; and
CONSULTANT has been selected to perform these services,
NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows:
1. SCOPE OF SERVICES
CONSULTANT shall provide all services as described in Exhibit ".A,"
which is attached hereto and incorporated into this Agreement by this reference. These .
services shall sometimes hereinafter be referred to as the "PROJECT.

CONSULTANT hereby designates David H. Tatsumi, who shall represent it
and be its sole contact and agent in all consultations with CITY during the performance of
this Agreement.
2. CITY STAFF ASSISTANCE
CITY shall assign a staff coordinator to work directly with'CONSULTANT
in the performance of this Agreement.
3. TERM; TIME OF PERFORMANCE
Time is of the essence of this Agreement. The services of CONSULTANT
are to commence as-soon as practicable after the execution of this Agreement by CITY (the
"Commencement Date"). This Agreement shall expire.on December 31, 2002, unless
sooner terminated as provided herein. All tasks specified in Exhibit "A" shall be
completed no later than November 27, 2002. These times may be extended with the
written permission of CITY. The time for performance of the tasks identified in Exhibit
"A" are generally to be shown,in Exhibit "A." This schedule may be amended to benefit
the PROJECT if mutually agreed to in writing by CITY and CONSULTANT..
4. COMPENSATION
In consideration of the performance of the services described herein, CITY
agrees to, pay CONSULTANT on a time and materials basis at the rates specified in
Exhibit "B," which is attached hereto and incorporated into this_ Agreement by this
reference, a fee, including all costs and expenses., not to exceed Twenty Thousand.One
Hundred Thirty-nine Dollars ($20,139:00).

5. EXTRA WORK
In the event CITY requires additional services not included in Exhibit "A"
or changes in the scope of services described in Exhibit "A," CONSULTANT will
undertake such work only after receiving written authorization from CITY. Additional
compensation for such extra work shall be allowed only if the prior written approval of
CITY is obtained.
6. METHOD OF PAYMENT
CONSULTANT shall be paid pursuant to the terms of Exhibit "B."
7. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS
CONSULTANT agrees that title to all materials prepared hereunder,
including, without limitation, all original drawings, designs, reports, both field and office
notices, calculations, computer code, language, data -or programs, maps, memoranda,
letters and other documents, shall belong to CITY, and CONSULTANT shall turn these
materials over to CITY upon expiration or termination of this Agreement or upon
PROJECT completion, whichever shall occur first. These materials may be used by CITY,
with respect to the PROJECT, as it sees fit.
8. HOLD HARMLESS
CONSULTANT hereby agrees to protect, defend, indemnify and hold
harmless CITY, its officers, elected or appointed officials, employees, agents and
volunteers from and against any and all claims, damages, losses, expenses, judgments,
demands and defense costs (including, without'limitation, costs and fees of litigation of
every nature or liability of any kind or nature) arising out of or in connection with
CONSULTANT's (or CONSULTANT's subcontractors, if any) performance of this

Agreement or its failure to comply with any of its obligations contained in this Agreement
by CONSULTANT, its officers, agents or employees except such loss or damage which
was caused by the sole negligence or willful misconduct of CITY. CITY shall be
reimbursed by CONSULTANT for all costs and attorneys fees incurred by CITY in
enforcing this obligation. CONSULTANT will conduct all defense at its sole cost and
expense and CITY shall approve selection of CONSULTANT's counsel.
9. PROFESSIONAL LIABILITY INSURANCE
CONSULTANT shall obtain and furnish to CITY a professional liability
insurance policy covering the work performed by it hereunder. This policy shall provide
coverage for CONSULTANT's professional liability in an amount not less than One
Million Dollars ($1,000,000.00) per occurrence and in the aggregate. The above-
mentioned insurance shall not contain a self-insured retention, "deductible" or any other
similar form of limitation on the required coverage except with the express written consent
of CITY. A claims-made policy shall be acceptable if the policy further provides that:
A. The policy retroactive date coincides with or precedes the initiation
of the scope of work (including subsequent policies purchased as
renewals or replacements).
B. CONSULTANT shall notify CITY of circumstances or incidents
that might give rise to future claims.
CONSULTANT will make every effort to maintain similar insurance during
the required extended period of coverage following PROJECT completion. If insurance is
terminated for any reason, CONSULTANT-_agrees to .purchase an extended reporting

provision of at least two (2) years to report claims arising from work performed in
connection with this Agreement.
10. . CERTIFICATE OF INSURANCE
Prior to commencing performance of the work hereunder, CONSULTANT
shall furnish to CITY a certificate of insurance subject to approval of the City Attorney
evidencing the foregoing insurance coverage as required by this Agreement; the certificate
shall:
A. provide the name and policy number of each carrier and policy;
B. shall state that the policy,is.currently in force; and '
C. shall promise that such policy shall, not be suspended, voided or
canceled by either party, reduced.,in coverage or in limits except
after thirty (30) days' prior written notice;.however, ten (10) days'
prior written notice in the event of cancellation for nonpayment of .
premium.
CONSULTANT shall maintain the foregoing insurance coverage in force
until the work under this Agreement is fully completed and accepted by CITY.
The requirement for carrying the foregoing insurance coverage shall not
derogate from CONSULTANT's defense, hold harmless and indemnification obligations as
set forth in this Agreement. CITY or its representative shall at.all times have the right to
demand the original or a copy of the policy of insurance. CONSULTANT shall pay, in a
prompt and timely manner, the premiums on the insurance hereinabove required.

11. INDEPENDENT CONTRACTOR
CONSULTANT is, and shall be, acting dt all times in the performance of
this Agreement as an independent contractor herein and not as an employee of CITY.
CONSULTANT shall secure at its own cost and expense, and be responsible for any and
all payment of all taxes,* social security, state disability insurance compensation,
unemployment compensation and other payroll deductions for CONSULTANT and its
officers, agents and employees and all business licenses, if any, in connection- with the
PROJECT and/or the services to be performed hereunder.
12. TERMINATION OF AGREEMENT
All work required hereunder shall be performed in a good and workmanlike
manner. CITY may terminate CONSULTANT's services hereunder at any time with or
without cause, and whether or not the PROJECT is fully complete. Any termination of this
Agreement by CITY shall be made in writing, notice of which shall be delivered to
CONSULTANT as provided herein. In the event of termination, all finished and
unfinished documents, exhibits, report, and evidence shall, at the option of CITY, become
its property and shall be promptly delivered to it by CONSULTANT.
'13. ASSIGNMENT AND DELEGATION
This Agreement is a personal service contract and the work hereunder shall
not be assigned, delegated or subcontracted by CONSULTANT to any other person or
entity without the prior express written consent of CITY's Director of Community
Services, except that CITY consents to the subcontracting of services under this
Agreement to Stivers and Associates, Inc. If an assignment, delegation or subcontract is

approved, all approved assignees, delegates and-subconsultants must satisfy the insurance
requirements as set forth'in Sections 9 and 10 hereinabove.
14. COPYRIGHTS/PATENTS
CITY shall own all rights to any patent or copyright on any work,,item or
material produced as a result of this Agreement.
15. CITY EMPLOYEES AND OFFICIALS
CONSULTANT shall employ no CITY official ,nor any regular-CITY,
employee in the work performed pursuant to this Agreement. No officer or employee of
CITY shall have any financial interest in this Agreement in violation of the applicable
provisions of the California Government Code.
,16. , NOTICES
Any notices, certificates, or other communications hereunder shall•be given
either by personal delivery to CONSULTANT's agent (as designated in Section 1
hereinabove) or to CITY as the situation shall warrant, or by enclosing the same,in a sealed
envelope, postage prepaid, and depositing the same in the United States Postal Service, to
the addresses specified below. CITY and CONSULTANT may designate different
addresses to which subsequent notices, certificates or other communications will be sent by
notifying the other party via personal delivery, a reputable overnight carrier or U. S.
certified mail-return receipt requested:

17. CONSENT
Wien CITY's consent/approval is required under this Agreement, its
consent/approval for one transaction or event shall not be deemed to be a consent/approval
to any subsequent occurrence of the same or any other transaction or event.
18. MODIFICATION
No waiver or modification of any language in this Agreement shall-be valid )
unless in writing and duly executed by both parties.
19. SECTION HEADINGS
The titles captions section,paragraph and subject headings, and descriptive
phrases 'at the beginning of the various sections in this Agreement are merely-descriptive
and are included solely for convenience•of reference only and are not representative of
matters included or excluded from such provisions, and do not interpret, define,-limit or
describe, or construe the intent of the parties or affect the construction or interpretation of

any provision of this Agreement.
20. INTERPRETATION OF THIS AGREEMENT
The language of all parts of this Agreement shall in all cases be construed
as a whole, according to its fair meaning, and not.strictly for or against any'of the parties.
If any provision of this Agreement is held by an arbitrator or court of competent
jurisdiction to be unenforceable, void, illegal or invalid, such holding shall not invalidate
or affect the remaining covenants and provisions of this Agreement., No covenant or
provision shall be deemed dependent upon any other unless so expressly provided here.,
As used in this Agreement, the masculine or neuter gender and singular or plural number
shall''be deemed to include the other whenever the context so, indicates or requires.

Nothing contained herein shall be construed so as to require the commission of any act
contrary to law, and wherever there is any conflict between any provision contained herein
and any present or future statute, law, ordinance or regulation contrary to which the parties
have no right to contract, then the latter shall prevail, and the'-provision of this Agreement
which is hereby affected shall be curtailed and limited only to the extent necessary to bring
it within the requirements of the law.
21. DUPLICATE ORIGINAL'
The original of this Agreement and one or'more copies hereto have been
prepared and signed in counterparts as duplicate originals, each ofwhich so executed shall,
irrespective of the date of its execution and delivery, be' deemed an original. Each
duplicate original shall-be deemed an original instrument as against any.party who has
signed it.
22. IMMIGRATION
CONSULTANT shall be .responsible for full compliance with the
immigration and naturalization laws of the United States and shall, in particular, comply
with the provisions of the United States Code regarding employment verification.
23. LEGAL SERVICES SUBCONTRACTING PROHIBITED
CONSULTANT and CITY agree that CITY is not liable for payment of any
,
subcontractor work involving legal services, and that such legal services are expressly
outside the scope of services contemplated hereunder. CONSULTANT understands that
pursuant to Huntington Beach City Charter Section 309, the City Attorney is the exclusive
legal counsel for CITY; and CITY shall not be liable for payment of any legal services
expenses incurred by CONSULTANT. _

understandings and agreements whether oral or in writing between the parties respecting
the subject matter hereof.

EXHIBIT "A"
A. STATEMENT OF WORK:
Prepare a master plan for the restoration of the Shipley Nature Center in Huntington
Central Park. The master plan shall include presentation documents, assessment of
current site conditions and design themes, and elements of new master planned Shipley
Nature Center.
B. CONSULTANT'S DUTIES AND RESPONSIBILITIES:
1. Conduct site analysis to determine opportunities and constraints of Shipley
Nature Center.
2. Prepare preliminary and final master plan and a list of probable costs for
intended improvements.
3. Participate in design workshops and conduct presentation meetings during
plan development.
C. CITY'S DUTIES AND RESPONSIBILITIES:
1. Provide available documents, site plans, and studies as background information
to CONSULTANT.
D. WORK PROGRAM/PROJECT SCHEDULE:
CONSULTANT shall complete all tasks by no later than November 27, 2002.

EXHIBIT "B"
Payment Schedule(Hourly Payment)
A. Hourly

CONSULTANT'S fees for such services shall be based upon the following hourly rate and
II cost schedule:
Principal-- $100.00/hour
Senior Staff-- $79.00/hour
Technical Staff--$67.00/hour
B. Travel
1. Charges for time during travel are normally not reimbursable and will only be paid
if such time is actually used in performing services for CITY or as otherwise
arranged with CITY.
2. As CITY sometimes uses consultants that are outside of the nearest metropolitan
area, CITY is very conscious of travel costs. Subject to agreement otherwise,
CONSULTANT will be held to charging no fees on travel time to or from
Huntington Beach.
3. Automobile expenses are limited to Twenty-seven Cents ($0.27)per mile. All other
travel expenses must be approved in advance by CITY in writing. Requests for
approval shall be submitted at least fourteen (14) days in advance, to allow for
reduced transportation fares. Meals are not billable to CITY, without prior written
• consent of CITY.
C. Billing
1. All billing shall be done monthly in one-tenth-hour (0.10) increments and matched
to an appropriate breakdown of the time that was taken to perform that work and
who performed it.
Minimum billing charges are unacceptable. CONSULTANT shall only charge for
actual time spent. For example, minimum of 0.2 hours for phone calls or 0.4.hours
for letters is unreasonable unless that is an accurate measure of time spent.
2. Each month's bill should include a total to date. That total should provide, at a
glance, the total fees and costs incurred to date for the case or matter.
3. Telephone, cellular phone and postage charges are billable at actual cost. A copy of
all service bills/costs should accompany the billing for each single item that exceeds
Seventy-Five,Dollars ($75.00). The fee for the sending or receiving of facsimiles
shall not exceed Twenty-five Cents ($0.25) per page. CITY will not pay a fee or
charge for telephone calls or facsimiles to CITY. Photocopier costs should be no

more than the actual cost of duplication, or Ten Cents ($0.10) per page, whichever
is less.
4. CITY will not pay for secretarial time or secretarial overtime. CITY will not pay
for secretarial tasks or .,tasks that should be subsumed into CONSULTANT's
overhead. For example,. time spent for faxing, mailing, arranging for messengers
and calendaring are not acceptable charges.
5. CITY will not pay for word processing charges. This includes per page or hourly
charges.
6. CITY will not pay for billing or discussion of bills. If CITY has questions about
billing or needs additional information on bills, that is not a chargeable event;
CONSULTANT should respond without charging CITY for the time required.
7. CITY appreciates when CONSULTANT has researched an issue previously and
uses that research on the present case. CITY has retained CONSULTANT because
of its past experience. CONSULTANT shall not charge CITY for work it has done
and billed another client for in the past.
8. Delivery of work product: A copy of every memorandum, letter, report, calculation
and other documentation prepared by CONSULTANT shall be submitted to CITY to
demonstrate progress toward completion of tasks. In the event CITY rejects or has
comments on any such product, CITY shall identify specific requirements for
satisfactory completion.
9. CONSULTANT shall submit to CITY an invoice for each monthly payment due. Such
invoice shall:
A) Reference this Agreement;
B) Describe the services performed;
C) Show the total amount of the payment due;
D) Include a certification by a principal member of CONSULTANT's firm that
the work has been 'performed. in accordance with the provisions of this
Agreement; and
E) For all payments include an estimate of the percentage of work completed.
Upon submission of any such invoice, if CITY is satisfied that CONSULTANT is
making satisfactory progress toward completion of tasks in accordance with this
Agreement, CITY shall approve the invoice, in which event payment shall be made
within thirty (30) days of receipt of the invoice by CITY. Such approval shall not be
unreasonably withheld. If CITY does not approve an invoice, CITY shall notify
CONSULTANT in writing of the reasons for non-approval and the schedule of
performance set forth in.Exhibit "A" may at the option of CITY be suspended until the
parties agree that past performance by CONSULTANT is in, or has been brought into
compliance, or until this Agreement has expired or is terminated as provided herein.

10. Any billings for extra work or additional services authorized in advance and in writing
by CITY shall be invoiced separately to CITY. Such invoice shall contain all of the
information required above, and in addition shall list the hours expended and hourly
rate charged for such time. Such invoices shall be approved by CITY if the work
performed is in accordance with the extra work or additional services requested, and if
CITY is satisfied that the statement of hours worked and costs incurred is accurate.
Such approval shall not be unreasonably withheld. Any dispute between the parties
concerning payment of such an invoice shall be treated as separate and apart from the
ongoing performance of the remainder of this Agreement.

5. EXTRA WORK
In the event CITY requires additional services not included in Exhibit "A"
or changes in the scope of services described in Exhibit "A," CONSULTANT will
undertake such work only after receiving written authorization from CITY. Additional
compensation for such extra work shall be allowed only if the prior written approval of
CITY is obtained.
6. METHOD OF PAYMENT
CONSULTANT shall be paid pursuant to the terms of Exhibit "B."
7. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS
CONSULTANT agrees that title to all materials prepared hereunder,
including, without limitation, all original drawings, designs, reports, both field and office
notices, calculations, computer code, language, data or programs, maps, memoranda,
letters and other documents, shall belong to CITY, and CONSULTANT shall turn these
materials over to CITY upon expiration or termination of this Agreement or upon
PROJECT completion, whichever shall occur first. These materials may be used by CITY
as it sees fit.
8. HOLD HARMLESS
CONSULTANT hereby agrees to protect, defend, indemnify and hold
harmless CITY, its officers, elected or appointed officials, employees, agents and
volunteers from and against any and all claims, damages, losses, expenses, judgments,
demands and defense costs (including, without iimitation, costs and fees of litigation of
every nature or liability of any kind or nature) arising out of or in connection with
CONSULTANT's (or CONSULTANT's subcontractors, if any) performance of this

Agreement or its failure to comply with any of its obligations contained in this Agreement
by CONSULTANT, its officers, agents or employees except such loss or damage which
was caused by the sole negligence or willful misconduct of CITY. CITY shall be
reimbursed by CONSULTANT for all costs and attorney's fees incurred by CITY in
enforcing this obligation. CONSULTANT will conduct all defense at its sole cost and
expense and CITY shall approve selection of CONSULTANT's counsel. This V

9. PROFESSIONAL LIABILITY INSURANCE
CONSULTANT shall obtain and furnish to CITY a professional liability
insurance policy covering the work performed by it hereunder. This policy shall provide
coverage for CONSULTANT's professional liability in an amount not less than One
Million Dollars ($1,000,000.00) per occurrence and in the aggregate. The above-
mentioned insurance shall not contain a self-insured retention, "deductible" or any other
similar form of limitation on the required coverage except with the express written consent
of CITY. A claims-made policy shall be acceptable if the policy further provides that:
A. The policy retroactive date coincides with or precedes the initiation
of the scope of work (including subsequent policies purchased as
renewals or replacements).
B. CONSULTANT shall notify CITY of circumstances or incidents
that might give rise to future claims.

Recommendations Re: the Use of Proceeds from the Sale of Non-Native Palm
Trees (920.60)
Communication from Mayor Debbie Cook and Councilmember Shirley Dettloff, Council
Liaisons to the Shipley Nature Center Subcommittee of the Environmental Board,
transmitting that the Shipley Nature Center Subcommittee has found a buyer for several
non-native palm trees in the Nature Center. The Subcommittee is now engaged in a
program for redesigning the various habitat areas found at Shipley and is doing all of this
work through grants. Currently, much of the non-native specimens found at the Nature
Center are being removed through the efforts of the California Conservation Corp. The
Subcommittee became aware that there were several palms that landscapers were
interested in buying. We have a landscaper who wishes to purchase these trees and
remove them. It is appropriate for the money to be used for additional work at the
Nature Center since we will need funding for non-native plant removal and the design of
habitat areas that reflect Southern California habitats.
Recommended Action:
Our request of Council is that the money obtained from the sale of these trees remains
at Shipley Nature Center so that the work we have started can continue. It will be used
to rent a chipper for the non-natives and the design of a Master Plan for Shipley Nature
Center.
