HOPKINS, PE, DIRECTOR F PU C WOR SUBJECT: Approve Agreement with TestAmerica, Inc., for Water Quality Analysis and Sampling Services Statement of Issue,Funding Source,Recommended Action,Alternative Action(s),Analysis,Environmental Status,Attachment(s) Statement of Issue: As a retail water supplier)the City of Huntington Beach is mandated to report the results of routine water quality analyses and sampling per State and Federal guidelines. As is common practice with most municipal water utilities, an outside, State- approved, laboratory is used for analysis and reporting of water samples. Funding Source: Funds for this service are budgeted in Water Fund Account 50685802.69365. The contract is for a three-year period in an amount not to exceed $120,000/year. Funding for subsequent years of the agreement will be submitted for City Council approval as part of the annual budget process. Recommended Action: Motion to: Approve and authorize the Mayor and City Clerk to execute the Professional Services Contract between the City of Huntington Beach and TestAmerica, Inc., for Water Quality Analysis and Sampling. Alternative Action(s): Do not approve the agreement and instruct staff on how to proceed. Failure to perform and report the results of routine water quality analyses would put the City in violation of Federal and State law. REQUEST FOR CITY COUNCIL ACTION MEETING DATE: 11/2/09 DEPARTMENT ID NUMBER: PW 09-53 Analysis: Since purchasing the water system in the mid 1960s, the City has contracted with a State-approved laboratory to collect and analyze bacteriological samples throughout the water distribution system. The State Department of Public Health licenses each water system that serves a municipality and requires records of the amount of water pumped; any chemicals that are added to the system; bacteriological samples; and, any new additions to the system such as new water mains, new water wells and reservoirs. In prior years the annual cost of this service was less than $100,000 and was included in the list of professional services submitted to City Council each year with the new fiscal year budget. New testing and reporting requirements have since put the annual cost over the $100K threshold. Therefore, this contract is presented for City Council approval. It is for a duration of three years and is in a not to exceed annual amount of $120,000. A Request for Proposals was issued on May 14, 2009 for Water Quality Analysis and Sampling Services. Six qualified laboratories submitted proposals. After review of the proposals and associated fee proposals, staff selected TestAmerica Laboratories, Inc., of Irvine to perform these services. WHEREAS, CITY desires to engage the services of a consultant to perform water quality analysis and sampling services ; and Pursuant to documentation on file in the office of the City Clerk, the provisions of the Huntington Beach Municipal Code, Chapter 3.03, relating to procurement of professional service contracts have been complied with; and CONSULTANT has been selected to perform these services, NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows: 1. SCOPE OF SERVICES CONSULTANT shall provide all services as described in Exhibit "A," which is attached hereto and incorporated into this Agreement by this reference. These services shall sometimes hereinafter be referred to as the 'PROJECT." CONSULTANT hereby designates Theresa Tyrrell who shall represent it and be its sole contact and agent in all consultations with CITY during the performance of this Agreement. agree/surfnet/professional svcs mayor 1 of 11 12/07 2. CITY STAFF ASSISTANCE CITY shall assign a staff coordinator to work directly with CONSULTANT in the performance of this Agreement. 3. TERM; TIME OF PERFORMANCE Time is of the essence of this Agreement. The services of CONSULTANT are to commence on t 2009 (the "Commencement Date"). This Agreement shall automatically terminate three (3) years from the Commencement Date, unless extended or sooner terminated as provided herein. All tasks specified in Exhibit "A" shall be completed no later than three (3) years from the Commencement Date. The time for performance of the tasks identified in Exhibit "A" are generally to be shown in Exhibit "A." This schedule may be amended to benefit the PROJECT if mutually agreed to in writing by CITY and CONSULTANT. In the event the Commencement Date precedes the Effective Date, CONSULTANT shall be bound by all terms and conditions as provided herein. 4. COMPENSATION In consideration of the performance of the services described herein, CITY agrees to pay CONSULTANT on a time and materials basis at the rates specified in Exhibit "B," which is attached hereto and incorporated by reference into this Agreement, a fee, including all costs and expenses, not to exceedone hundred twenty thousand Dollars/year ($ 120,000.00 )`/year. 5. EXTRA WORK In the event CITY requires additional services not included in Exhibit "A" or changes in the scope of services described in Exhibit "A," CONSULTANT will undertake agree/surfnet/professional sves mayor 2 of 11 12/07 such work only after receiving written authorization from CITY. Additional compensation for such extra work shall be allowed only if the prior written approval of CITY is obtained. 6. METHOD OF PAYMENT CONSULTANT shall be paid pursuant to the terms of Exhibit "B." 7. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS CONSULTANT agrees that title to all materials prepared hereunder, including, without limitation, all original drawings, designs, reports, both field and office notices, calculations, computer code, language, data or programs, maps, memoranda, letters and other documents, shall belong to CITY, and CONSULTANT shall turn these materials over to CITY upon expiration or termination of this Agreement or upon PROJECT completion, whichever shall occur first. These materials may be used by CITY as it sees fit. 8. HOLD HARMLESS CONSULTANT hereby agrees to protect, defend, indemnify and hold harmless CITY, its officers, elected or appointed officials, employees, agents and volunteers from and against any and all claims, damages, losses, expenses, judgments, demands and defense costs (including, without limitation, costs and fees of litigation of every nature or liability of any kind or nature) arising out of or in connection with CONSULTANT's (or CONSULTANT's subcontractors, if any) negligent (or alleged negligent) performance of this Agreement or its failure to comply with any of its obligations contained in this Agreement by CONSULTANT, its officers, agents or employees except such loss or damage which was caused by the sole negligence or willful misconduct of CITY. CONSULTANT will conduct all defense at its sole cost and expense and CITY shall approve selection of CONSULTANT's counsel. This indemnity shall apply to all claims and liability regardless of whether any agree/surfnet/professional sves mayor 3 of 11 12/07 insurance policies are applicable. The policy limits do not act as limitation upon the amount of indemnification to be provided by CONSULTANT. 9. PROFESSIONAL LIABILITY INSURANCE CONSULTANT shall obtain and furnish to CITY a professional liability insurance policy covering the work performed by it hereunder. This policy shall provide coverage for CONSULTANT's professional liability in an amount not less than One Million Dollars ($1,000,000.00)per occurrence and in the aggregate. The above-mentioned insurance shall not contain a self-insured retention without the express written consent of CITY; however an insurance policy "deductible" of Ten Thousand Dollars ($10,000.00) or less is permitted. A claims-made policy shall be acceptable if the policy further provides that: A. The policy retroactive date coincides with or precedes the initiation of the scope of work(including subsequent policies purchased as renewals or replacements). B. CONSULTANT shall notify CITY of circumstances or incidents that might give rise to future claims. CONSULTANT will make every effort to maintain similar insurance during the required extended period of coverage following PROJECT completion. If insurance is terminated for any reason, CONSULTANT agrees to purchase an extended reporting provision of at least two (2) years to report claims arising from work performed in connection with this Agreement. If CONSULTANT fails or refuses to produce or maintain the insurance required by this section or fails or refuses to furnish the CITY with required proof that insurance has been procured and is in force and paid for, the CITY shall have the right, at the CITY's election, to forthwith terminate this Agreement. Such termination shall not effect agree/surfnebprofessional svcs mayor 4 of 11 12/07 Consultant's right to be paid for its time and materials expended prior to notification of termination. CONSULTANT waives the right to receive compensation and agrees to indemnify the CITY for any work performed prior to approval of insurance by the CITY. 10. CERTIFICATE OF INSURANCE Prior to commencing performance of the work hereunder, CONSULTANT shall furnish to CITY a certificate of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverage as required by this Agreement; the certificate shall: A. provide the name and policy number of each carrier and policy; B. state that the policy is currently in force; and C. shall promise that such policy shall not be suspended, voided or canceled by either party, reduced in coverage or in limits except after thirty (30) days' prior written notice; however, ten (10) days' prior written notice in the event of cancellation for nonpayment of premium. CONSULTANT shall maintain the foregoing insurance coverage in force until the work under this Agreement is fully completed and accepted by CITY. The requirement for carrying the foregoing insurance coverage shall not derogate from CONSULTANT's defense, hold harmless and indemnification obligations as set forth in this Agreement. CITY or its representative shall at all times have the right to demand the original or a copy of the policy of insurance. CONSULTANT shall pay, in a prompt and timely manner,the premiums on the insurance hereinabove required. 11. INDEPENDENT CONTRACTOR CONSULTANT is, and shall be, acting at all times in the performance of this Agreement as an independent contractor herein and not as an employee of CITY. agree/surfnet/professional sves mayor 5 of 11 12/07 CONSULTANT shall secure at its own cost and expense, and be responsible for any and all payment of all taxes, social security, state disability insurance compensation, unemployment compensation and other payroll deductions for CONSULTANT and its officers, agents and employees and all business licenses, if any, in connection with the PROJECT and/or the services to be performed hereunder. 12. TERMINATION OF AGREEMENT All work required hereunder shall be performed in a good and workmanlike manner. CITY may terminate CONSULTANT's services hereunder at any time with or without cause, and whether or not the PROJECT is fully complete. Any termination of this Agreement by CITY shall be made in writing, notice of which shall be delivered to CONSULTANT as provided herein. In the event of termination, all finished and unfinished documents, exhibits, report, and evidence shall, at the option of CITY, become its property and shall be promptly delivered to it by CONSULTANT. 13. ASSIGNMENT AND DELEGATION This Agreement is a personal service contract and the work hereunder shall not be assigned, delegated or subcontracted by CONSULTANT to any other person or entity without the prior express written consent of CITY. If an assignment, delegation or subcontract is approved, all approved assignees, delegates and subconsultants must satisfy the insurance requirements as set forth in Sections 9 and 10 hereinabove. 14. COPYRIGHTS/PATENTS CITY shall own all rights to any patent or copyright on any work, item or material produced as a result of this Agreement. agree/surfnet/professional svcs mayor 6 of 11 12/07 15. CITY EMPLOYEES AND OFFICIALS CONSULTANT shall employ no CITY official nor any regular CITY employee in the work performed pursuant to this Agreement. No officer or employee of CITY shall have any financial interest in this Agreement in violation of the applicable provisions of the California Government Code. 16. NOTICES Any notices, certificates, or other communications hereunder shall be given either by personal delivery to CONSULTANT's agent (as designated in Section 1 hereinabove) or to CITY as the situation shall warrant, or by enclosing the same in a sealed envelope, postage prepaid, and depositing the same in the United States Postal Service, to the addresses specified below. CITY and CONSULTANT may designate different addresses to which subsequent notices, certificates or other communications will be sent by notifying the other party via personal delivery, a reputable overnight carrier or U. CONSENT When CITY's consent/approval is required under this Agreement, its consent/approval for one transaction or event shall not be deemed to be a consent/approval to any subsequent occurrence of the same or any other transaction or event. agree/surfnet/professional svcs mayor 7 of 11 12/07 18. MODIFICATION No waiver or modification of any language in this Agreement shall be valid unless in writing and duly executed by both parties. 19. SECTION HEADINGS The titles, captions, section, paragraph and subject headings, and descriptive phrases at the beginning of the various sections in this Agreement are merely descriptive and are included solely for convenience of reference only and are not representative of matters included or excluded from such provisions, and do not interpret, define, limit or describe, or construe the intent of the parties or affect the construction or interpretation of any provision of this Agreement. 20. INTERPRETATION OF THIS AGREEMENT The language of all parts of this Agreement shall in all cases be construed as a whole, according to its fair meaning, and not strictly for or against any of the parties. If any provision of this Agreement is held by an arbitrator or court of competent jurisdiction to be unenforceable, void, illegal or invalid, such holding shall not invalidate or affect the remaining covenants and provisions of this Agreement. No covenant or provision shall be deemed dependent upon any other unless so expressly provided here. As used in this Agreement, the masculine or neuter gender and singular or plural number shall be deemed to include the other whenever the context so indicates or requires. Nothing contained herein shall be construed so as to require the commission of any act contrary to law, and wherever there is any conflict between any provision contained herein and any present or future statute, law, ordinance or regulation contrary to which the parties have no right to contract, then the latter shall prevail, and the provision of this Agreement which is hereby affected shall be agree/surfnet/professional Svcs mayor 8 of 11 12/07 curtailed and limited only to the extent necessary to bring it within the requirements of the law. 21. DUPLICATE ORIGINAL The original of this Agreement and one or more copies hereto have been prepared and signed in counterparts as duplicate originals, each of which so executed shall, irrespective of the date of its execution and delivery, be deemed an original. Each duplicate original shall be deemed an original instrument as against any party who has signed it. 22. IMMIGRATION CONSULTANT shall be responsible for full compliance with the immigration and naturalization laws of the United States and shall, in particular, comply with the provisions of the United States Code regarding employment verification. 23. LEGAL SERVICES SUBCONTRACTING PROHIBITED CONSULTANT and CITY agree that CITY is not liable for payment of any subcontractor work involving legal services, and that such legal services are expressly outside the scope of services contemplated hereunder. CONSULTANT understands that pursuant to Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel for CITY; and CITY shall not be liable for payment of any legal services expenses incurred by CONSULTANT. 24. ATTORNEY'S FEES In the event suit is brought by either party to construe, interpret and/or enforce the terms and/or provisions of this Agreement or to secure the performance hereof, each party shall bear its own attorney's fees, such that the prevailing party shall not be entitled to recover its attorney's fees from the nonprevailing party. agree/surfnet/professional svcs mayor 9 of I ] 12/07 25. SURVIVAL Terms and conditions of this Agreement, which by their sense and context survive the expiration or termination of this Agreement, shall so survive. 26. GOVERNING LAW This Agreement shall be governed and construed in accordance with the laws of the State of California. 27. SIGNATORIES Each undersigned represents and warrants that its signature hereinbelow has the power, authority and right to bind their respective parties to each of the terms of this Agreement, and shall indemnify CITY fully for any injuries or damages to CITY in the event that such authority or power is not, in fact, held by the signatory or is withdrawn. ENTIRETY The parties acknowledge and agree that they are entering into this Agreement freely and voluntarily following extensive arm's length negotiation, and that each has had the opportunity to consult with legal counsel prior to executing this Agreement. The parties also acknowledge and agree that no representations, inducements, promises, agreements or warranties, oral or otherwise, have been made by that party or anyone acting on that party's behalf, which are not embodied in this Agreement, and that that party has not executed this Agreement in reliance on any representation, inducement, promise, agreement, warranty, fact or circumstance not expressly set forth in this Agreement. This Agreement, and the attached exhibits, contain the entire agreement between the parties respecting the subject matter of this Agreement, and supersede all prior understandings and agreements whether oral or in writing between the parties respecting the subject matter hereof. agree/surfnet/professional svcs mayor 10 of 11 12/07 29. EFFECTIVE DATE IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed by and through their authorized officers. This Agreement shall be effective on the date of its approval by the City Council. This Agreement shall expire when terminated as provided herein. Statement: TestAmerica Laboratories is to be paid on monthly basis for performing collection and analysis of various drinking water samples. The samples are collected at designated monitoring taps within the distribution system, new construction sites, and other various types of taps as needed. Weekly, lab analysis consists of Free and Total Chlorine residuals, temperature, 24-hour Coliform presence/absence, Fecal/E-Coli presence/absence, and Heterotrophic Plate Count measurement. Quarterly, lab analysis also consists of Disinfection Byproducts monitoring of Trihalomethanes and Haloacetic Acids. B. Consultant's Duties: 1. Perform the collection and analyses of routine weekly bacteriological samples at 40 distribution system taps. 2. Perform the collection and analyses of bacteriological samples at new construction sites. 3. Perform the transport and analyses of special bacteriological samples collected by City staff for water sources and repairs on the distribution system. 4. Perform the collection and analyses of chlorine residuals when performing collection of all samples. Perform chlorine residual tests in accordance with DOHS requirements using DPD method on those samples. 5. Perform transport and analyses of other various types of specialized city- collected samples as needed. These may consist of Lead & Copper, General Physicals, Volatile Organic Compounds, Synthetic Organic Compounds, or other various types of specialized water analyses. 6. Samples are transported in ice chests designated for drinking water samples. 7. Perform the quarterly collection and analyses of water samples for the presence of Total Trihalomethanes (TTHM) and Haloacedic Acids (HAA5), using approved DOHS method, at four(4) locations designated by the City. Actual dates and times for collection shall be scheduled with the Water Quality Section. 8. Within 4 hours of testing conclusion, all results will be electronically mailed to City. Hard copy to be sent via postal service within 48 hours. 9. Lab will notify designated City contact personnel within 24 hours, whenever total coliforms, fecal coliforms, or E. coli is present in a sample, or when a sample is invalidated due to interference problems. C. City's Duties: 1. City staff to perform the collection of weekly bacteriological samples at water wells, surface water entry taps, repairs on the distribution system, and various other types of specialized water samples. 2. City staff to perform the collection and analyses of chlorine residuals when performing collection of all city-collected samples. City to perform chlorine residual tests in accordance with DOHS requirements using DPD method on those samples. 3. City staff to perform the collection of other miscellaneous specialized samples at water wells and distribution taps as needed. 4. City staff to notify lab 24-hours in advance when lab transport is needed on city-collected samples. 5. City staff to notify lab 24-hours in advance when lab collection is needed on specialized samples. 6. City staff to determine when/where follow-up sampling is needed whenever total coliforms, fecal coliforms, or E. coli is present in a sample. D. Work Program/Project Schedule: 1. Weekly: a. Lab staff performs bacteriological collections and analyses at all 40 designated distribution taps. b. City staff performs bacteriological collections at all water wells, reservoirs, and surface water entry taps. c. We have carefully reviewed all documents and we are prepared to deliver the scope of services per the bid specifications. TestAmerica is excited for the opportunity to provide testing services under this proposed contract. TestAmerica is well qualified to provide analytical testing services for the City of Huntington Beach. Volatiles Supervisor, Yuriy Bondarenko Mr. Bondarenko has been the Volatiles Supervisor for several months. Previously, he worked in the volatiles department of another TestAmerica facility where he preformed GCMS analysis of environmental samples including, water, air, soil, and hazardous waste. He also has experience in analyzing samples and performing routine maintenance and trouble shooting of instruments including the GCMS, GC, and HPLC. Serni-Volatiles Supervisor, David Schiessel Mr. Schiessel has 6 years of experience in the analysis of environmental samples. He is currently supervising the Semi-Volatiles department which includes sample analysis by GC- ECD and HPLC instruments, and the sample preparations for each of the methods. His previous experience includes troubleshooting, maintaining and running of samples on GC and GCMS instruments, supervising organic extraction methods, and development and maintenance of HPLC instruments. 5. Detailed Listing of Services A. TestAmerica will perform the collection and analyses of routine bacteriological samples weekly forty-four (44) sites within the city distribution system.as directed by the City. Additionally, TestAmerica offers courier service to transport and the analysis of nineteen (19) weekly source and supply bacteriological samples. The following is a detailed description on our field services support and capacity chart to manage bacteriological samples. 11 of 20 TestAmedca THE LEADER IN ENVIRONMENTAL TESTING Field Services Support Courier Services TestAmerica provides courier services for bottle orders and sample pick-up through our trained in-house staff. This assures that samples are picked up.in a timely manner and that sample custody and integrity is maintained. Project managers communicate closely with the couriers to ensure timely pick-up and return of samples with short holding times. Courier services are provided free of charge during normal business hours with availability of on-call couriers on the weekend. Sample Kits TestAmerica has integrated our bottle order process with our project management module of our Laboratory Information Management System (LIMS). This allows for project managers to quickly generate bottle orders that match the specific analytical methods established for each client project. This also allows project managers to provide an "inventory" of bottles that are included in each bottle order. Our neatly organized kits are stocked with properly preserved sample containers and are provided in clean coolers with chain-of custody documents and sampling instructions. Custom sampling kits will be delivered to the Department within 48 hours of request. The sampling kits will include ice chests, packing material and pre-labeled sample containers with preservatives corresponding to the constituents being tested. We also include temperature blanks to verify that samples are received chilled according to required sample preservation guidelines. Trip Blanks will be provided if volatile organic analyses are required. Chain of Custody TestAmerica maintains written policies and procedures to ensure that Chain-of Custody (COC) is maintained. A complete description of TestAmerica's sample handling, Chain-of- Custody, documentation and sample receiving polices can be found in our Quality Assurance Manual. The assigned Project Manager will notify the City to resolve any discrepancies or inconsistencies with the samples. A work-order acknowledgement will be provided within 24 hours of receipt of samples via our TotalAccess website. Our Internet TotalAccess service provides for an email notification for new work-orders and allows viewing of the work-order and signed copies of chain-of custody documents. A complete, signed copy will also be provided with the final report. Sampling Services Composite and Grab sampling services are available by our trained, in-house, staff. TestAmerica maintains numerous automatic samplers that are available for field sampling. All of our field samplers are employees of TestAmerica and they're very familiar with well- head sampling under the California's Title 22 testing program. In addition, all of our samplers have undergone training with the department manager and/or an experienced technician and they've demonstrated their proficiency prior to being able to perform the sampling independently. The procedures performed by our technicians in the field are 12 of 20 TestAmenoca THE LEADER IN ENVIRONMENTAL TESTING carried out according to TestAmerica's Field Sampling Standard of Operating Procedure (SOP) in a professional and courteous manner. TestAmerica will follow the procedures found in Item H of the RFP. Estimates! Laboratory Capacity TestAmerica constantly monitors commitments made by our laboratory using a sophisticated forecasting database. We can reserve capacity by shifting other work to other TAL laboratories or by shifting the work focus of cross-trained staff. We can ensure that the personnel necessary to perform the scope of work will be available. The following table provides estimated monthly capacity for a variety of analyses. Sample Tracking Module As samples are received at the laboratory, they are logged into the LIMS which immediately assigns a unique laboratory identification number to each sample. With this laboratory ID number, samples can be monitored through every stage, providing an accurate account of sample status from analysis to QA review to report generation and through sample disposal. Our clients can also view status online via our website. Project Management Module The client database is linked directly with the sample-tracking module. Project specifications, including price quotes, turnaround time, analytes of interest, specific reporting limits, permit limits, and/or holding times, are stored for each individual project. This information is also linked to all other modules to provide the Analysts, QA department, and Project Managers with accurate information concerning projects. Project Managers can monitor the status of samples through every stage of the analytical, approval and reporting process through this module. Data Integrity Module Instruments at TestAmerica are equipped with computerized data management programs and instrument control systems. Data is electronically transferred directly into the LIMS, reducing or eliminating transcription errors. The Microsoft SQL server is set up to provide safeguards against multiple entries of the same data, unauthorized entries, or unauthorized users. Data is not reported until a Department Supervisor and/or Senior Chemist has reviewed it. After the data has been approved, the system will not allow any manual changes to the data without proper authorization. All changes made are automatically documented. TestAmerica also utilizes software (Mint MinerTM) to perform electronic evaluations of GCMS and GC raw data to help ensure the integrity of reported data. Data Verification TestAmerica utilizes several approaches for recognizing anomalous results including: • Project Set-up • Documentation • Communication • Compliance verification • Final review As part of the project set-up, the project manager will discuss with the client the background and nature of the samples. For groundwater samples historical data may be requested so the analytical staff are informed of the potential need for dilutions, clean-up methods or other precautions. By understanding what the expected results are, the laboratory can immediately recheck results and alert the client when unexpected results are found. Project information is entered into our laboratory Information Management System (LIMS) that includes test methods, target analyte lists, reporting limits, pricing, and project specific notes. The project managers can.setup individual projects for various types of sampling events, adding specific information about each project. Our ability to store information and utilize the test information and comments each time samples arrive ensures that project requirements will be maintained throughout the duration of the project. The project managers and laboratory supervisors meet daily to discuss status and communicate any critical needs. This forum allows the project managers an opportunity to reiterate special needs and query results. The project managers can also utilize the LIMS to check results and status on an on-going basis. TestAmerica has developed a compliance checker program that allows the project manager to run a query that compares the analytical results against a set of predetermined limits set by the client. Upon completion a report is generated that lists any results outside the limits. This report is provided with the final report. A final check of results is done during the project manager's review of the completed report. The project manager checks for completeness, performs a reasonability check,,and writes a case narrative to accompany the report. TestAmerica will utilize all of these systems and make every effort to immediately recheck results and quickly disseminate this information to the appropriate the City contact. In the event that the City has questions regarding data validity, the laboratory will verify results and re-run samples if deemed necessary. Revised reports and EDDs will be issued for any samples that required re-analysis, upon determination of the City and the laboratory, that the original results were anomalous or invalid. 15 of 20 TestAmerica THE LEADER IN ENVIRONMENTAL TESTING Report & EDD Generation Upon completion of data review and approval, the Project Managers utilize the report module to generate reports and EDDs. All of our electronic deliverables obtain their data from the same data source as the reports, which insures data integrity between the hard copy and electronic versions of the data. Electronic Data Deliverables (EDD) processing is automated through the LIMS reporting module and EDDS are created at the time the final reports are generated. Compliance Verification Reports TestAmerica has developed a program that allows analytical results to be compared to pre- set limits provided by clients. This system allows instant notification to the client any time a permit exceedance has occurred on a particular analyte of interest. A copy of the compliance report can be included with the final report package. Data Reporting Options (QC Reporting) TestAmerica routinely provides a Tier 11 report package. For projects that require a more in-depth validation of data, TestAmerica can provide different levels of documentation, including Tier III and IV packages. TestAmerica will perform the transport and analyses of special bacteriological samples collected by the City for new construction or repairs on the distribution system and will submit results to the City as per item E. E. Within four hours of testing samples, results of as many samples that are completed will be electronically mailed to the City in PDF on TestAmerica letterhead. A hardcopy will also be mailed to the City within 48 hours. Additionally, results will be electronically mailed to the City on an Excel template supplied by the City. Turn-Around Time TestAmerica is dedicated to providing the best possible service to our clients. Our goals are to provide high quality data and on-time performance at fair market prices. Some of the factors that can be attributed to our ability to successfully meet TAT include: ➢ Our systems are designed, from bottle preparation through data delivery, to provide accurate and timely results. ➢ Our highly qualified staff is well trained and experienced to manage complex project requirements. ➢ We routinely perform rush TAT analysis for a variety of methods ➢ Instrumentation systems are linked to our LIMS to provide direct download of data, to enhance data quality, and speed up the data reporting process. ➢ EDDs are generated automatically when final reports are printed. ➢ Our TofalAccess services allow our clients to view and download final reports 24 hours a day. ➢ We employ in-house couriers to guarantee that samples are picked up in a timely manner and ensure that sample custody and integrity is maintained. ➢ Our Laboratory Information Management System (LIMS) provides the tools for tracking samples from the point of login through report generation. This allows the staff to manage sample flow and workload throughout the laboratory. ➢ We monitor our TAT and make operational and or system changes if necessary to ensure on-time performance. Electronic Data Deliverables TestAmerica is able to provide laboratory results to the City in an Electronic Data Deliverables (EDD) format that is compatible with the existing site database. This custom created EDD format will seamlessly link the data in our LIMS system to the City of Huntington Beach customized EDD format with no manipulation on the client for it to work with the existing database. EDD processing is automated through the LIMS reporting module and is created at the time the final reports are generated. EDDs allow clients to populate databases and effectively generate final report tables, saving time and money. F. The laboratory will notify the designated City contact immediately when total coliforms, fecal coliforms, or E. coli is present, when HPC is > 500 in sample results, or when a sample is invalidated due to interference problems. This will be done automatically through the LIMS. Our LIMS allows analytical results to be compared to pre-set limits 17 of 20 TestAmedca THE LEADER IN ENVIRONMENTAL TESTING provided by clients. This system allows instant notification to the client any time ar permit exceedance has occurred on a particular analyte of interest. A copy of the compliance report can be included with the final report package. G. TestAmerica will notify the Water Quality Section of any problems concerning cancellation or delays regarding sample collections. TestAmerica will notify Water Quality immediately of any problems or delays concerning analysis of samples already taken or scheduled to be taken. All communication with. the client will be via the project manager, Ms. Tyrrell. H. All TestAmerica personnel working with the City will follow,procedures and guidelines for collecting samples that are acceptable by the City.Water Quality Section per Special Procedural Guidelines for Laboratory Technician in Appendix A of the RFP. A detailed description of sampling procedures and approach is found in Item 6 in this proposal. 1. TestAmerica will be able to respond to private contactors that.,require re-check bacteriological samples be collected and tested for on construction projects in Huntington Beach and Seal Beach. The contractor will be invoiced directly. J. TestAmerica possesses a HACH Pocket Colorimeter II and will perform the collection and analysis of chlorine residuals using this meter in accordance with,the CA DHS. Results will be submitted to the City per item E. K. TestAmerica will perform the quarterly collection and analyses of water samples for the presence of Total Trihalomethnes (TTHM) and Haloacedic Acids (HAA5), using approved DHS methods, at sixteen (16) locations_ designated by the City. Results will be submitted to the City per item E. L. Only TestAmerica personnel will collect and test the City's samples. M. TestAmerica will be available to the City with 24 hour notification for sample collection and/or transport as needed by the City. Contingency Resources TestAmerica is committed to being available to perform services under the proposed contract for the entire term of the contract. We have developed systems to ensure that analytical services will not be interrupted. Key elements include: ■ Emergency Telephone Numbers ■ On-call and urgent analyses services ■ Back-up instrumentation ■ Instrument Specialists ■ In-house Information Technologies (IT) department 18 of 20 TestAmedca THE LEADER IN ENVIRONMENTAL TESTING Each location maintains a list of emergency contact numbers that include numbers for Laboratory Directors, Project Managers and other key staff. Emergency contact numbers will be provided to all appropriate personnel upon award of a contract. We maintain a twenty-four hour emergency contact number specifically for our Microbiology department to provide urgent analyses for bacteriological samples. Our after-hours phone system also has recorded information for emergency contacts. We maintain evening and weekend shifts to accommodate emergency, rush and short holding time analysis. We routinely have staff available on-call to perform urgent analyses, such as re-sampling for compliance monitoring. Back-up instrumentation is available, either at the same location, or within our Laboratory Network. In addition to the capabilities and capacity of the TestAmerica Network, we also have available the resources of the TestAmerica Network. We have established relationships with pre-qualified subcontract laboratories to provide analytical services that we do not perform as well as provide back-up capacity in case we are unable to meet a specified turn-around time. TestAmerica employees a staff of Instrument Specialists that are available to all departments for methods development, instrument repair and troubleshooting. These specialists have extensive experience in all areas of laboratory instrumentation to ensure that we maintain a high level of capacity for all operating groups. Our IT department is a key component of our ability to successfully provide uninterrupted services to our clients. We employee an in-house staff of experienced database, hardware and software specialists to provide technical support to operations. Our IT department maintains emergency and on-call schedules to ensure continuous information management services. 6. Expected Time of Response TestAmerica will organize a regular time schedule to perform weekly collection and analysis of bacteriological samples at the 44 locations specified by the City. We estimate the collection of sample at each site will take approximately 10 minutes and 10 minutes to travel to the next location. Therefore, a total of three samples can be collected per hour. Total sample collection/travel time is estimated to be 15 hours per week for all 44 locations. We propose to take samples over two days. The sampling procedure is as follows: (15-30 minutes) Travel time from Irvine laboratory to Huntington Beach location. (1 minute) The valve is sterilized via either a flame or sodium hypochlorite depending on the type of valve. (2 minutes) The water is run through the lines for at least two minutes to ensure all stagnate water is cleared from the pipes. (<1 minute) The sample bottles are filled to the line on the bottle. 19 of 20 TestAmerica THE LEADER IN ENVIRONMENTAL TESTING (5 minutes) Chlorine residuals are tested with the HACH meter and recorded at each site. (10 minutes) Put sample on bagged ice in cooler and travel to the next site. (10 minutes) The samples will be collected and transported on ice per the Special Procedural Guidelines in Appendix A to the Irvine laboratory. (< 1 hour) Login samples in the Irvine laboratory. (1-2 hours) From the Irvine laboratory, any samples analyzed in the Ontario facility will be split and a courier will transport them to that laboratory. Daily courier drop offs at the Ontario facility occur twice every day. (< 1 hour) Login samples at the Ontario laboratory. (2-3 hours) Analysis and review results of samples in either laboratory. (immediate) Any exceedances are immediately reported to the City. Exceedances automatically generate notification to the department and project managers. The Project Manager is in constant communication with the City for any discrepancies with the samples or results. (1 hour) Review and report results to the City via electronically mailed PDF within four hours of analysis or as samples complete analysis. 7. Fees TestAmerica has submitted unit costs in a separate envelope marked "Fee Proposal for Water Quality Analyses and Sampling Services" for the Construction Site, Distribution System and Additional Analyses noted in the RFP, but not listed in numbers 8 and 9. 8. Fees — Construction Site TestAmerica has submitted unit costs in a separate envelope marked "Fee Proposal for Water Quality Analyses and Sampling Services". 9. Fees — Distribution System TestAmerica has submitted unit costs in a separate envelope marked "Fee Proposal for Water Quality Analyses and Sampling Services". A per sample cost for the sampling fee has been used instead of an hourly rate. We understand that it will take time to develop the best methods possible to achieve the most efficient process to provide the City with weekly sampling. Therefore, a per sample charge will ensure the City receives the fairest price. 20 of 20 EXHIBIT "B" Payment Schedule (Hourly Payment) A. Hourly CONSULTANT'S fees for such services shall be based upon the following hourly rate and cost schedule: See attached Fee Schedule. B. Travel Charges for time during travel are not reimbursable. C. Billing 1. All billing shall be done monthly in fifteen (15) minute increments and matched to an appropriate breakdown of the time that was taken to perform that work and who performed it. 2. Each month's bill should include a total to date. That total should provide, at a glance, the total fees and costs incurred to date for the project. 3. A copy of memoranda, letters, reports, calculations and other documentation prepared by CONSULTANT may be required to be submitted to CITY to demonstrate progress toward completion of tasks. In the event CITY rejects or has comments on any such product, CITY shall identify specific requirements for satisfactory completion. 4. CONSULTANT shall submit to CITY an invoice for each monthly payment due. Such invoice shall: A) Reference this Agreement; B) Describe the services performed; C) Show the total amount of the payment due; D) Include a certification by a principal member of CONSULTANT's firm that the work has been performed in accordance with the provisions of this Agreement; and E) For all payments include an estimate of the percentage of work completed. Upon submission of any such invoice, if CITY is satisfied that CONSULTANT is making satisfactory progress toward completion of tasks in accordance with this Agreement, CITY shall approve the invoice, in which event payment shall be made within thirty (30) days of receipt of the invoice by CITY. Such approval shall not be unreasonably withheld. If CITY does not approve an invoice, CITY shall notify CONSULTANT in writing of the reasons for non-approval and the schedule of performance set forth in Exhibit "A" may at the option of CITY be suspended until the parties agree that past performance by CONSULTANT is in, or has been brought into compliance, or until this Agreement has expired or is terminated as provided herein. 1 Exhibit B 5.
