HomeMy WebLinkAboutTHE ARCHITECTS GROUP, INC - 1982-07-19 WAN A G R E E M E N T THIS AGREEMENT, made and entered into this_��day of 1982, by and between the CITY OF HUNTINGTO14 BEACH, a municipal corporation, hereinafter referred to as "CITY," and THE ARCHITECT'S GROUP, INC. , a Califcrnia corporation, herein- after referred to as "ARCHITECT. " R E C I T A L S The City Council of CITY desires to engage the services of a professional -architecture firm for the performance of necessary design services in connection with the "Request for Proposal for the Newland House Baru," herein as RFP, hereinafter referred to as t7PROJECT. " Said RFP is attached hereto, marked Exhibit "B" , and by this reference incorporated herein and inade a part hereof; { and ARCHITECT has Tesponded to said RFP and has offered to perform such work in ace- lance with its Propos5:ls, a. copy of which is attached hereto as Exhibit "A" and incorporated by reference here- in, Thi CITY and ARCHITECT hereto desire to set forth their rights, duties and liabilities in connection with the services to be per- formed under this PROJECT NOW, THEREFORE, the parties covenant and agree as follows: TBT:bb /6/82 1 f ' 1. STATEMENT OF WORK A. ARCHTTECT shall provide all architectural services as described in Exhibit "B" including, but not limited to: 1) Prepare all preliminary plans, working drawings and cost estimates . 2) Perforn all necessary investigations and measure- ments required to prLpare the preliminary plans and working drawings . Such tasks shall include, but not be limited to, obtaining topographic and soil report data as necessa.r- for building. 3) Make presentations of schematic plans and estimateb of quantities and costs to city staff and council. 4) Process plans and specifications through Building Department of CITY, as necessary, for building permit issuance. 5) Attend periodic meetings with CITY staff during preparation of' Preliminary and working drawings. 6) Coordinate alb ;necessary utility- connections. 7) Coordinate, direct and maintain responsibility for the activities of the str* _,tural and civil engineers listed in Exhibit "A" 8. Provide 40 sets of the final plans and specifi- catio.ls . B. During bid advertisement and construction, ARCHITECT shall provide on and off site technical support incl.>>'ing, but not limited to, interpretation of plans and specifications , reviewing shop drawings and reviewing change order, requests . C. CITY shall be responsible for bid advertisement, contract administration, and all applicable building inspections . D. If the scope of the PROJECT or of the ARCHITECT' s services is changed materially, ARCHITECT reserves the right to present alternate terms and conditions for approvalby CITY . E. ARCHITECT shall designate one of its employee; is licensed in the State of Califc=ia who shall be a principal and who shall represent ARCHITECT and be its sole contact and agent in all consultations vith CITY during fulfillment of the terms of this Agreement. 2. DISPOSITION OF FLANS, ESTIMATES AND OTHER DOCUMENTS : ARCHITECT agrees that all original drawings, report,, both field and office notes, calculations, maps and other documents , herein. as "DATA;." is the property of CITY and shall he Burned over to CITY upon completion or earlier terminatiG:i of PROJECT. Provided, however, that ARCHITECT shah -ot be Yield responsible for any use of DATA excepting for use in the "PROJECT. " l/ /1 3. DISCRIMINATION ARCHITECT agrees that in the performance of the terms of this Agreement, it will not engage in, nor permit its agents or employees to engage in, discrimination in employment of persons b-acause of race, religious belief, color, national origin ance� Gry, physical handicap, medical condition, marital atus or sex of such persons, except as provided in California Lab Code §1420. Viola- tion of this provision may result in the imposition of the penalties, including but not limited to penalties and forfeitures sit forth in Division 2, part 7, Chapter 1 of the California Laboi, Code. 4 . INDEMNIFICATION, DEFENSE, HOLD HARMLESS : ARCHITECT hereby agrees to defend, indemnify and hold harmless CITY, its officers, agents and employees from and against any and all liability, damages , costs , losses, claims and expenses, howe7er caused, resulting directly or indirectly from or connected with ARCHITECT' s performance of this Agreement (including, but not limited to, such liability, cost, dar.age, loss, claim or expense arising from the death of or injury to members of the general public, or damage to the property of members of the general public; or arising from the death of or injury to an agent or employee of ARCHITFCT, subcontractor, or of CITY, or damage to the prop_rty of ARCHITECT, subcontractor or of CITY, or of any agent or employee or ARCHITECT, subcontractor or of CITY) , except where such liability, damages, costs, losses, claims or expenses are caused by the _ 4 0 negligent or wrongful acts or omissions of CITY, its agents or employees, ,.n connection with the work to be performed hereunder. 5. COMPLIANCE WITH STATE WORKERS ' COMPENSATION CODE: ARCHITECT shall comply with all, provisions of the Workers '- Compensation insurance and. Safety Acts of the State of California, the applicable provisions of Division 4 and 5 of the California Labor Code and all amendments tLareto; and all similar state or federal acts or laws applicable; and shall indemnify, defend and hold harmless CITY from and: against all claims, demands, payments, suits, actions, proceedings and judgments of every nature and description, including attorney' s fees and costs, presented, brought or recovered against CITY, for or on accoL- .ny liability under any of said acts which may be incurred by rt of any wor'r to be performed by ARCHITECT under this Agreement. 6. TNSTiRANCE: ARCHITECT agrees to maintain in forc L the completion of PROJECT policies of general liability and workers ' compensation insurance in which CITY, its officers, agenti and ern, ._ogees are named as additional named insureds . Such policies shall insure CITY, its offJ:cers and employees, while acting within the scope of their duties, against any and all claims for injury or death to person or property arising our; nf or in connection with PROJECT, including injury to death to _ARCHITECT's employees. The policy shall provide for not lens than the following amounts: General Public Liability Combined single limit bodily injury acid/or property damage of $300,000 per nccurrence, Workers ' Compen,,ation - Statutory l riits . Such policies shall specifically provide that any other insurance carried by CITY which may be applicable shall be d.e�nr'ry Fxeess and ARCHITECT's insurance primary despite any c(_ it provisions in ARCHITECT's policy to the contrary. A certificate of insurance and hold harmless agreement acceptable to the City Attorney and on CITY's form, Exhibit "C" attached hereto and made a p�:.rz hereof, shall be delivered to CITY as a condition precedent to this Agreement. 1. INDEPENDENT CONTRACTOR: It i:; further understood and agreed that ARCHITECT is, and shall be, acting at all times as an independent contractor herein and not as an erployEf.: of CITY . ARCHITECT shall secure at its expense, and be responsible for any and all payment of income tax, social security, state disability insurance comp. nsation, unemploy- ment compensation and other payroll deductions for ARCHITECT and its principals, agents and employees and all business licenses, if any, in connection with the services to be performed hereunder. 8. CITY STAFF ASSISTANCE: CITY shall assign a staff coordinator to worm directly with ARCHITECT in connection with the services to be performed under this Agreement. 9. PR©?IS ION FOR PAY1 ENT: In consideration of the performance d-V the above-described architectural services and data, CITY agrees to pay ARCHITECT an amount based upon the fee ;schedule set forth on page 9 of Exhibit "A" as follows: A total surr- of Fifteen Thousand Dollars ($15,000) for architec•- zural services plus Three Hundred Dollars ($-00) for reproduction, for a total of Fifteen Thousand Three Hundred Dollars 015, 00) . Said sum shall be paid in the following increment s: Ten percent (10%) in advance as an initial. retainer; eighty percent (80%) upon acceptance Uf hid documents by CITY: ten per-ent (10%) upon completion of PROJECT and delivery of DATA. 10. TIME The parties herein agree that time is of the essence and that the services contemplatt:d by this Agi,eement shall be completed or or before the date ten (10) months from the �-Isning hereof. 11.. EXTRA WORK: A. In the event %.f authorization in writing, by the city staff coordinator provided for in Section 8 or other person designa- ted by CITY of changes from the work as indicated.ed in Exhibit,- "Al or for other writtenn permission authorizing additional work not f;ontem. plated herein, additional compensation shall be allowed for such e-xtra work, based upon the fee schedule set forth on page 9 of Lmhib-a i 11-f7, -so long as the prior written approval of CITY is obtained., B. ARCHITECT shall submit monthly invokes which specify the .area where work was completed and the associate� t time. for completion to the city staff coordinator for a0proval. Work performed, at the request of CITY, outside the limit specified in this Agreement is to be designated as "extra -wDrk" on monthly invoices. Work performed in connection with an authorized written change order scull be so designated on said invoice. 12. TERMINATION Or CONTRACT: All services performed hereunder shall be performed in a good and workmanlike manner, in keeping with the highest stanch-ds of the architectural profession. CITY reserves the right to ter- minate services hereunder at any time with or without cause, and whether or not PROJECT has been fully completed. Any notice of termination hereof, and Pny special iiistructi ons hereunder from CITY shall be made through the city staff coordinator or other such person �s the CITY shall designate, and in writing, which may be deliverec: in person to ARCHITECT or nailed through the normal course of mail to its now established business address. In the event this Agreement is cancelled, all drawings, designs, specifications, estimates and appurtenant data may be used by CITY without additional cost to CITY. Should CITY decide ' :) terminate this Agreement for any reason or for no reason, ARCNITECm shall be entitled to payment on an hourly basis in accordance with tl rate schedule set Lorth on page 9 of Exhibit "4", but in no circumstance pore than the total contract price set forth in section, 9 above. 13. DELEGATION, SUBCONTRACTORS The parties further agree that this is a personal service 8 contract and the profeGsional and supervisory work hereunder shall not be assigned or delegated to any person or entity without the �! prior written consent of CITY 14 . ADDITIONAL PROVISIONS - ARCHITECT agrees that no regular employee of CITY or any member of any board or commission of CITY shall be employed by its firm during the time that this Agreement :is in effect . DETAILED SITE UTILIZATION STUDIES: .A more detailed analy is of the particular site, to develop fully its utilization capabilities and the optimum location of facilities It includes, review of the existing conditions, the topographic survey, the soils report and all codes and planning requirements to establish all facility locations and ground improvements 2. ON AND OFF "ILITY STUDIES: Includes development studies of all on and off site utility requirements to determine practical and economical solutions prior to preparing for design review, engineering and final .4orking drawings 3. ARCHITEt'TURAL SCHEMATIC DESIGN:, Schematic design studies may offer one or more possible solutions to the Client for selection and approval. Studies may include simple diagrammatic plans, vertical sections and perspective sketches illustrating the project program. 4. ARCHITECTURAL DESIGN DEVELOPMENT: With the approval of one schematic design study, the architectural design may then be developed in three dimensional design . This includes more detailed development of the building size, appearance and form with sketches , perspectives and drawings of plans , elevations, sections aiyd ce. tain critical construction details. The various engineering systems analyzed are carefully considered in order that the final architectural design concept can be carried out efficiently and economically. Client approval of the final architectural design is essential . A Statement of probable construction cost may '.;hen be made using the enclosure method With in-place units of cost based on the design approval by the Client. c. STAIEMENTS OF PROBABLE COST: The probable construction cost of any project can only be estimated to a degree of accuracy commensurate with the level of design developed by the documents prepared for the project. The size, quality and complexity of this project must be considered when the cost is to be pre-determined. Service includes preparing statements of probabie construction cost using the cost per square foot of floor area method for approved schematic design:, developed before the contractor's overhead and profit percentage is added . This service does not include a detailed estimate of construction cost with a quantity survey of ma4-?rial. PHASE 1II:. CONSTRUCTION- DOCUMENT- PHASE, BIDDING & ADMINISTRATION OF THE CONSTRUCTION CONTRACT_ 1 Base:; on the approved design development documents and any further adjustments in the scope or quality of the project or in the project budget authorized by the Client, the Architect prepare for approval by the Client, construction documents c - -)f c -ing and specifications setting forth in detail the ?u, tea the construction of the project. 2. The construction of this facility, to be located on the east of Beach Blvd. , north of Adams Avenue, is the second and final phase of the Newland House restoration project. The foot size and location of this proposed barn, see Exhibit "A" , has already been established. In addition, it has been determined that the structure shall be a two story facility consisting of a lower level recept.on center and an upper level caretaker' s apartment. The design of the barn shall be corsistant with the Newland House and the adjacent shopping center. Enclosed for your reference is a sample conceptual rendering, see Exhibit "B" , meeting the basic design criteria. The scope of the work, for which proposals are being sought, includes the following tasks: 1. Preparation of preliminary plans and cost estimates. 2. Performing all necessary investigations and measurements required to prepare the preliminary plans and working drawings. Such tasks shall include, but not be i-mited to, obtaining topographic and soil report data as necessary for building. 5. Making presentations of schematic plans to City staff and council. 4. Processing plans and specifications through 'City Build..-,ig Dept. as necessary for building permit issua ce. 3. During bid advertisement and construction, the architect shall be required to provide techinical support such as but not limited to, interpretating plans and specifications, reviewing shop drawings and g� change order requests. The City will be responsible for: 1. Bid advertising. 2. Contract administration. 3. All applicable building inspections. Proposals for this proje.:t are to be submitted to this office by with the notation "Newland Barn" on the envelope. Each proposal should include the following information: 1. A list of similar projects. 2. A statement of your understanding of the scope of work (a visit to the site is suggested) and the steps necessary to complete the project. 3. A list of those personnel who will be -4 � to work on this project and a brief resurme for each. 4. A brief outline of how you propose to handle this project, if award&4o your firm, and a time-line for completing the plans and specifications. 5. Your fee based on an hourly rate or percentage of the final cost estimate. A maximum,. not to exceed fee, should- also be `specified. Selection of an architectural, firm will be based on the following criteria 1. Expertise and experience. 2. The approach: to be used as outlined in the proposal. 1 1 3. Proposals were re^eived and reviewed by City staff on June 3, 1982. Staff is recommending the selection of "The Architect's Group." PECCx14ENDATION: Approve the selection of "T-he Architect's Group" and authorize the Mayor and City Clerk to execute the attached architectural services agreement. ANALYSIS: The approved conceptual plans for the restoration of the Newland House include construecing a barn. This barn will be a two story structure, similar in architectural appearance to the Newland House, and will include living quarters for a resident caretaker and facill- Fies for rental to the public for multi-purpose functions, such as wedding receptions, etc. The Huntington Beach Historical Society will have use of all meting roans therein free of charge. Requests were solicited from seven architectural firms.
