Statement of Issue,Funding Source,Recommended Action,Alternative Action(s),Analysis,Environmental Status,'Attachment(s) Statement of Issue: Transmitted for City Council and Redevelopment Agency consideration is a- professional services agreement for the purpose of completing an economic development analysis related to the revitalization of Beach, Boulevard and Edinger_Avenue. This project is being initiated based on direction from the City Council in Fail 2005 and as a result of public input relative to the Edinger Corridor. On September 5, 2006, City Council approved a professional services agreement with Freedman, Tung and Bottomley in the amount of $599,775 for the planning portion of this project. At that time, the Council was asked to postpone the award of the economic portion of the project. This delay allowed staff the time to refine the objectives of the analysis and reissue the Request for Proposals. Funding Source: Funds in the amount of $141,230 were budgeted and are available in Redevelopment Agency Professional Services Account 30580101.69325. Recommended Action: Motion to: I. Approve the Professional Services agreement between the City of Huntington Beach Redevelopment Agency and Tierra West Advisors, LLC, in the amount of $141,230 for preparation of a corridor revitalization strategy for Beach Boulevard and Edinger Corridor, and authorize the Chairman and Agency Clerk to execute the agreement and appropriate $141,230 from undesignated Redevelopment Agency Merged Capital Funds Balance to account 30580101.69365. REQUEST FOR ACTION MEETING DATE: 12/18/2006 DEPARTMENT ID NUMBER`:ED 06-45 Alternative Action(s): The Redevelopment Agency may make the following alternative motion(s): 1. Deny the Professional Services Contract between the Agency and Tierra West Advisors, LLC. 2. Continue the item and direct staff accordingly. Analysis: A. PROJECT BACKGROUND Beach Boulevard, also designated State Route 39, is the main traffic artery in the City of Huntington Beach. An eight lane (divided) principal artery, Beach Boulevard runs six miles from Pacific Coast Highway in the South to the City's northern border at Interstate 405. Beach Boulevard ultimately continues beyond the City through Westminster, Stanton, and Buena Park into the City of Azusa at the base of the San Gabriel Mountains. Beach Boulevard and Edinger;Avenue are two primary economic engines for the City of Huntington Beach, including auto sales, various commercial developments, supermarkets, both large and small retail, as well as residential, institutional, and many other land-use functions. Key retail establishments along or proximate to Beach Boulevard include The Beach Boulevard of Cars, Bella Terra Regional Shopping Mall, 5-Points Shopping Center, Wal-Mart, and the Hyatt Regency Resort & Spa. Edinger Avenue includes Bella Terra and a number of retail centers. It is the City's desire to enhance and maximize the potential of these major thoroughfares. Although the City, has some success improving economic opportunities along Beach Boulevard, this artery lacks`the characteristics that provide identity and clarity of location, incorporating various nondescript strip commercial centers, auto dealerships, 'and big box development projects (Wal-Mart) with office and residential uses. While individual establishments along the corridor have had various degrees of success, it has not been enough to spur economic growth within the corridor. Likewise, efforts to create a strategy for the Edinger Corridor have not come to fruition. The Beach Boulevard Revitalization Strategy and Specific Plan is intended to determine and implement a clear vision for growth and change along the Beach Boulevard Corridor. This effort will incorporate Edinger Avenue. A planning process involving city officials, citizens, stakeholders and city staff, will determine the specific configuration that new public and private investment along the corridor will take. Planning consultant, Freedman, Tung and Bottomley are tasked with developing specifications to guide Land use and development intensity, site layout, building design, site landscaping and signage will be detailed in the document created from this effort. The Economic Development Consultant 'shall provide preliminary market data, land use and zoning recommendations from this study to FTB to provide the necessary basic information that needs to be incorporated into the planning study. The Economic Revitalization Strategic Plan for Beach Boulevard and Edinger Corridor will support the rationale for possible land-use intensification and/or recommend a change of use based upon economic trends and community goals. To this end, a real estate market analysis of existing conditions will be conducted that will include a detailed in-field and economic data analysis of the existing businesses. The analysis will prioritize site-specific opportunities for economic revitalization and make recommendations on land-use and zoning changes that will support new development. In addition, the consultant will provide funding strategies to create or improve infrastructure within the study areas." The economic strategy portion of the study will examine and recommend possible incentives for private investment within the study areas and, develop short and long-term economic strategies while incorporating current development proposals. The goal of the Plan is to provide a strategy for development that will improve the economic viability of these two important commercial corridors. B. CONSULTANT SELECTION PROCESS Economic Development Staff solicited proposals from seven qualified consultants for the economic market analysis aspect of this project: ■ CBRE, Sedway Group Rosenow Spevacek Group Inc. ■ Economic Research Associates Strategic Economics ■ Keyser Marston Associates Inc. Tierra West Advisors, LLC ■ Mundie & Associates Tierra West Advisors, LLC (Tierra West) was selected from the four respondent firms by panel comprised of Planning and Economic Development staff. Tierra West's consultant team brings a wealth of knowledge in real estate economics, with first-hand experience in real estate brokerage, development, and project design. The Tierra West team will perform in-depth economic analysis, supply and demand, and prospects for the future that will impact the feasibility of investments along the Beach Boulevard and Edinger Avenue corridors, This analysis will be used to-create the tools for economic revitalization to enhance and maximize the potential of these major thoroughfares. C. STAFF RECOMMENDATION Based on their expertise in this field, knowledge of Huntington Beach markets and familiarity of the area, understanding of the City's request and competitive rates, staff recommends approval of the professional services agreement with Tierra West Advisors, LLC. Professional Services Agreement between the Agency and Tierra West Advisors, LLC G:\Doris Powell\Beach-Edinger Project\RCA&Contract\RCA Revised.doc -4- 12/4/2006 10:55 AM ATTACHMENT # 1 PROFESSIONAL SERVICES CONTRACT BETWEEN THE REDEVELOPMENT AGENCY OF THE CITY OF HUNt TINGTON BEACH AND TIERRA WEST ADVISORS,LLC FOR PREPARATION OF AN ECONOMIC REVITALIZATION PLAN FOR THE BEACH BOULEVARD AND EDINGER CORRIDORS THIS AGREEMENT ("Agreement") is made and entered into by and between the Redevelopment Agency of the City of Huntington Beach, a public body of the State of California,hereinafter referred to as "AGENCY, and TIERRA WEST ADVISORS,LLC,a California limited liability company,hereinafter referred to as "CONSULTANT." WHEREAS,AGENCY desires to engage the services of a consultant to prepare an economic revitalization plan for the Beach Boulevard and Edinger Corridors; and Pursuant to documentation on file in the office of the Agency Clerk,the provisions of the Huntington Beach Municipal Code, Chapter 3.03, relating to procurement of professional service contracts have been complied with;and CONSULTANT has been selected to perform these services, NOW,THEREFORE, it is agreed by AGENCY and CONSULTANT as follows: 1. SCOPE OF SERVICES CONSULTANT shall provide all as described in Exhibt "A," which is attached hereto and incorporated into this Agreement by this reference. These services shall sometimes hereinafter be referred to as the "PROJECT." CONSULTANT hereby designates nates John Yonai and Tim Mulrenan who 1 shall represent it and be its sole contact and agent in all consultations with AGENCY during the performance of this Agreement. 06-360/5468 1 2. AGENCY STAFF ASSISTANCE AGENCY shall assign a staff coordinator to work directly with CONSULTANT in the performance of this Agreement, 3. TERM,• TIME OF PERFORMANCE Time is of the essence of this Agreement. The services of CONSULTANT are to commence as soon as practicable after the execution of this Agreement by AGENCY (the "Commencement Date"). This Agreement shall expire on November 20, 2008, unless sooner terminated as provided herein. All tasks specified in Exhibit "A" shall be completed no later than two years from the Commencement Date of this Agreement. These times may be extended with the written permission of AGENCY. The time for performance of the tasks identified in Exhibit"A" are generally to be shown in Exhibit "A." This schedule may be amended to benefit the PROJECT if mutually agreed to in ' writing by AGENCY and CONSULTANT. 4. COMPENSATION In consideration of the performance of the services described herein, AGENCY agrees to pay CONSULTANT on a time and materials basis at the rates specified in Exhibit "B," which is attached hereto and incorporated by reference into this Agreement, a fee, including all costs and expenses, not to exceed One Hundred Forty One Thousand Two Hundred Thirty Dollars($141,230.00). 5. EXTRA WORK In the event AGENCY requires additional services not included in Exhibit "A" or changes in the scope of services described in Exhibit "A," CONSULTANT will undertake such work only after receiving written authorization from AGENCY. 06-360/5468 2 i Additional compensation for such extra work shall be allowed only if the prior written approval of AGENCY is obtained. 6. METHOD OF PAYMENT CONSULTANT shall be pursuant ursuant to the terms of Exhibit"B." p 7. DISPOSITION OF PLANS ESTIMATES AND OTHER DOCUMENTS CONSULTANT agrees that title to all materials prepared hereunder, ' including, without limitation, all original drawin s, designs, reports, both field and office gg g P notices, calculations, computer code, language, data or programs, maps, memoranda, letters and other documents, shall belong to AGENCY, and CONSULTANT shall turn these materials over to AGENCY upon expiration or termination of this Agreement or upon PROJECT completion, whichever shall occur first. These materials may be used by AGENCY as it sees fit. 8. HOLD HARMLESS CONSULTANT hereby agrees to protect, defend, indemnify and hold harmless AGENCY, its o ers, elected or appointed officials employees, agents and volunteers from and against any and all claims, damages, losses, expenses, judgments, demands and defense costs (including, without limitation, costs and fees of litigation of every nature or liabilityof an kind or nature arising out of or in connection with Y ) CONSULTANT's (or CONSULTANT's subcontractors, if any) negligent performance of this Agreement or its failure to comply with any of its obligations contained in this Agreement by CONSULTANT, its officers, agents or employees except such loss or damage which was caused by the sole negligence or willful misconduct of AGENCY. CONSULTANT will conduct all defense at its sole cost and expense and AGENCY shall 06-360/5468 3 l L approve selection of CONSULTANT's counsel. This indemnity shall apply to all claims and liability regardless of whether any insurance policies are applicable. The policy limits do not act as limitation upon the amount of indemnification to be provided by CONSULTANT. 9. PROFESSIONAL LIABILITY INSURANCE CONSULTANT shall obtain and furnish to AGENCY a professional liability insurance policy covering the work performed b it hereunder. This policy shall p g P Y provide coverage for CONSULTANT's professional liability in an amount not less than One Million Dollars ($1,000,000.00) per occurrence and in the aggregate. The above ■ mentioned insurance shall not contain a self-insured retention, "deductible" or any other similar form of limitation on the required coverage except with the express written consent of AGENCY. A claims-made policy shall be acceptable if the policy further provides that: A. The policy retroactive date coincides with or precedes the initiation of the scope of work (including subsequent policies purchased as renewals or replacements). B. CONSULTANT shall notify AGENCY of circumstances or incidents that might give rise to future claims. CONSULTANT will make every effort to maintain similar insurance during the required extended period of coverage following PROJECT completion, If insurance is terminated for any reason, CONSULTANT agrees to purchase an extended reporting provision of at least two (2) years to report claims arising from work performed in P connection with this Agreement. i 06-360/5468 4 i i 1 l 10. 9ERTIFICATE OF INSI,jMN Prior to commencing performance of the work hereunder, CONSULTANT shall furnish to AGENCY a certificate of insurance subject to approval of the City - IAttorney evidencing the foregoing insurance coverage as required by this Agreement; the ■ certificate shall: A. provide the name and policy number of each carrier and policy; B. state that the policy is currently in force;and 1C. promise that such policy shall not be suspended, voided or canceled by either party, reduced in coverage or in limits except after thirty (30)days' prior written notice; however,ten(10) days' prior written notice in the event of cancellation for nonpayment of premium. CONSULTANT shall maintain the foregoing insurance coverage in force until the work under this Agreement is fully completed and accepted by AGENCY. The requirement for carrying the foregoing insurance coverage shall not derogate from CONSULTANT's defense,hold harmless and indemnification obligations as set forth in this Agreement. AGENCY or its representative shall at all times have the right to demand the original or a copy of the policy of insurance. CONSULTANT shall pay, in a prompt and timely manner,the premiums on the insurance hereinabove required. 11. INDEPENDENT CONTRACTOR CONSULTANT is, and shall be, acting at all times in the performance of this Agreement as an independent contractor herein and not as an employee of AGENCY. CONSULTANT shall secure at its own cost and expense, and be responsible for any and all payment of all taxes, social security, state disability insurance compensation, 06-360/5468 5 unemployment compensation and other payroll deductions for CONSULTANT and its officers, agents and employees and all business licenses, if any, in connection with the PROJECT and/or the services to be performed hereunder. 12. TERMINATION OF AGREEMENT All work required hereunder shall be performed in a good and workmanlike manner. AGENCY may terminate CONSULTANT's services hereunder at any time with or without cause, and whether or not the PROJECT is fully complete. Any termination of this Agreement by AGENCY shall be made in writing, notice of which shall be delivered to CONSULTANT as provided herein. In the event of termination, all finished and unfinished documents, exhibits, report, and evidence shall, at the option of AGENCY, become its property and shall be promptly delivered to it by CONSULTANT. 13. ASSIGNMENT AND DELEGATION This Agreement is a personal service contract and the work hereunder shall not be assigned, delegated or subcontracted by CONSULTANT to any other person or entitywithout the prior express written consent of AGENCY. If an assignment, delegation P P g � g jor subcontract is approved, all approved assignees, delegates and subconsultants must satisfy the insurance requirements as set forth in Sections 9 and 10 hereinabove. 14. COPYRIGHTS/PATENTS AGENCY shall own all rights to any patent or copyright on any work, item or material produced as a result of this Agreement. 15. AGENCY EMPLOYEES AND OFFICIALS CONSULTANT shall employ no AGENCY official nor any regular AGENCY employee in the work performed pursuant to this Agreement. No officer or 06-360/5469 6 1 employee of AGENCY shall have any financial interest in this Agreement in violation of the applicable provisions of the California Government Code. 16. NOTICES An notices certificates or other communications hereunder shall be given y � either by personal delivery to CONSULTANT's agent (as designated in Section 1 hereinabove) or to AGENCY as the situation shall warrant, or by enclosing the same in a sealed envelope, postage prepaid, and depositing the same in the United States Postal Service, to the addresses specified below. MODIFICATION No waiver or modification of any language in this Agreement shall be valid unless in writing and duly executed by both parties. 06-360/5468 7 19. INTERPRETATION OF THIS AGREEMENT The language of all parts of this Agreement shall in all cases be construed as a whole, according to its fair meaning, and not strictly for or against any of the parties. If any provision of this Agreement is held by an arbitrator or court of competent jurisdiction to be unenforceable, void, illegal or invalid, such holding shall not invalidate tor affect the remaining covenants and provisions of this Agreement. No covenant or provision shall be deemed dependent upon any other unless so expressly provided here. As used in this Agreement, the masculine or neuter gender and singular or plural number shall be deemed to include the other whenever`the context so indicates or requires. Nothing contained herein shall be construed so as to require the commission of any act contrary to law, and wherever there is any conflict between any provision contained herein and any present or future statute, law, ordinance or regulation contrary to which the parties have no right to contract, then the latter shall prevail, and the provision of this Agreement which is herebyaffected shall be curtailed and limited only to the extent necessary'to brin Y g it within the requirements of the law. i06-360/5468 8 21. IWPLIC�ATE QRIQINA,I The original of this Agreement and one or more copies hereto have been prepared and signed in counterparts as duplicate originals,each of which so executed shall, irrespective of the date of its execution and delivery, be deemed an original. IMMIGRATION CONSULTANT shall be responsible for full compliance with the immigration and naturalization laws of the United States and shall, in particular, comply with the provisions of the United States Code regarding employment verification. 23. LEGAL SERVICES SUBCONTRACTING PROHIBITED CONSULTANT and AGENCY agree that AGENCY is not liable for rpayment of any subcontractor work involving legal services, and that such legal services are expressly outside the scope of services contemplated hereunder. CONSULTANT understands that pursuant to Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel for AGENCY; and AGENCY shall not be liable for payment of any legal services expenses incurred by CONSULTANT. 24. ATTORNEY'S FEES In the event suit is brought by either party to construe, interpret and/or enforce the terms and/or provisions of this Agreement or to secure the performance hereof, Ieach party shall bear its own attorney's fees, such that the prevailing party shall not be entitled to recover its attorney's fees from the non-prevailing party. I 06-360/5468 9 25. SJRVIVAL Terms and conditions of this Agreement, which by their sense and context survive the expiration or termination of this Agreement, shall so survive. 26. GOVERNING LAW This Agreement shall be governed and construed in accordance with the laws of the State of California. 27. ENTIRETY The parties acknowledge and agree that they are entering into this Agreement freely and voluntarily following extensive arm's length negotiation, and that each has had the opportunity to consult with legal counsel prior to executing this Agreement. The parties also acknowledge-and agree that no representations, inducements, promises, agreements or warranties, oral or otherwise, have been made by that party or ' anyone acting on that party's behalf, which are not embodied in this Agreement, and that that party has not executed this Agreement in reliance on any representation, inducement, promise, agreement, warranty, fact or circumstance not expressly set forth in this Agreement. STATEMENT OF WORK: (Narrative of work to be performed) Tierra West Advisors, LLC ("Tierra West") will review the Edinger and Beach Corridors and: (1) synthesize the opinions of community stakeholders with the realities of the current market and the potential for market growth along the Corridors, (2) identify infrastructure and public facility deficiencies in the Corridors; (3) identify revenue sources that will aid in the implementation of projects vital to the revitalization of the Corridors; (4) recommend changes in land use patterns that can assist with economic growth in the Corridors; and (5) develop strategies that tie the economic analysis for the Corridors together with the City's current and future economic outlook. B. CONSULTANT'S DUTIES AND RESPONSIBILITIES: Task No. PROJECT TEAM PARTICIPATION 1 Be able to participate as part of an integrated team consisting of community stakeholders, city staff, and planning firm FTB. For the short term, identify immediate opportunities Participate in the project team by attending community workshops, study 2 sessions, public hearings, and core team meetings. This includes a half-day kick off meeting with city staff and FT13 to refine the scope of work. 3 Coordinate schedule and work flow with that of the planning firm. MARKET STUDY Prepare a market study for each corridor, including residential, commercial, and institutional uses. Include a discussion about current 4 building forms and industry trends in terms of physical space. Include a fiscal analysis of multi-family (mixed use) housing to demonstrate how residential could work on these two major streets. Provide preliminary information to planning firm FTB. Perform necessary research, investigation, and documentation to develop an economic strategy for revitalizingeach study area within the 5 broader citywide economics. Incorporate current development proposals into the strategy to expedite City consideration and approval of proposals and thereby encourage new investment. Review economic data including taxable sales, property tax data, and 6 other financial records from businesses within and proximate to the study areas to be analyzed and summarized in the final report. Assist in prioritizing site-specific opportunities for economic 7 revitalization, and recommend specific types of uses for each corridor and provide sample pro-forma analysis for those uses. jmp/contracts group/exA/10/30/06 EXHIBIT "A" ECONOMIC STRATEGY Analyze the feasibility of developing commercial (including retail and office) and institutional uses within a mixed use environment, including 8 for-sale and for-rent housing. Provide financial projections of mixed use projects demonstrating the financial feasibility at current market prices, rents, and development costs. Provide a strategy for development along the corridors that allows for higher densities at high traffic intersections to accommodate mixed-use 9 development, as well as compatible development between the intersections that mitigates the impact upon lower density residential adjoining the corridors_ Consider the regional competitiveness of the car dealerships along Beach Boulevard and provide recommendations on how to integrate the 10 dealers into new development along Beach Blvd. while improving their competitive position. Develop'economic strategies including short-term and long-term 11 strategies, including possible incentives for private investment within the study areas. 12 Provide for funding strategies to create or improve infrastructure within the study areas. Provide a final report for each study area that is copy ready and prepared as an electronic document that can be posted on the City's website. The documents must be electronically indexed and 13 searchable in a Microsoft Word format. BACKGROUND Introduction This RFP has two components that will result in an Economic Development Revitalization Strategic Plan for two important corridors: l)Beach Boulevard and 2) Edinger Corridor. The Economic Development Revitalization Strategic Plan will support the rationale for possible land-use intensification and/or recommend a change of use based upon economic trends and community goals. Within citywide economics,the economic analysis for these two corridors needs to be tied together given their direct relationship. Beach Boulevard In September 2005, a workshop was held with the City Council and staff'on Beach Boulevard planning and revitalization. In February 2006, a Request for Proposals (RFP) was issued to select'a consultant to formulate a study of Beach Boulevard that would develop a clear and comprehensive strategy to maximize the utility of Beach Boulevard. Freedman Tung & Bottomley(FTB) has been selected to study land-use,mobility functions,and integration with surrounding neighborhoods,as well as proposing implementation tools for use in defining the City's vision and instigating change. Beach Boulevard is a primary north-south entry to the City for residents, shoppers and visitors. As State Route 39, Beach Boulevard is a six-mile, eight-lane divided thoroughfare that is home to the majority of the City's revenue generating uses, from the redeveloped Bella Terra commercial center, to the destination resort hotels along Pacific Coast Highway. Although new development along Beach Boulevard has remained consistent with the City's General Plan and Zoning Code, efforts to create a unique vision for Beach Boulevard have not been realized. Beach Boulevard lacks continuity and identification. Auto dealerships predominate the boulevard where smaller retail centers, medical facilities, residential, and underutilized properties are also located. Public improvements such as sidewalks are missing where there are either vacant or older developments, Edinger Corridor In 2000, the City Council approved this corridor as an important economic area for the City. A Specific Plan was drafted for the area, but due to recent discussions desiring increased intensification along the corridor, it is necessary to re-issue an RFP for that effort. As background, the economic study done in 2001 will be made available to the selected firm. The Draft Edinger Corridor Specific Plan is available on the City's website at: http://www.surfcity-hb.org/citydepartments/ED/current_proj ects/planning.cfin The Edinger Corridor encompasses approximately 242.8± acres in the northeastern section of the City of Huntington Beach, adjacent to the City of Westminster and southwest of the San Diego Freeway (1-405). A part of the corridor is within the Huntington Beach Redevelopment Project Area, Huntington Center sub i area. The newly developed Bella Terra entertainment/retail center is an economic cornerstone located at Beach Boulevard and Edinger is within The Crossings Specific Plan and within the redevelopment area. Although the Edinger Corridor excludes Bella Terra, the City desires that the economic and design influences of Bella Terra impact the surrounding area. The Edinger Corridor study area might be reconfigured before the start of the consultant's study. OBJECTIVES: The initial objectives of the Economic Development Revitalization Strategic Plan is to ensure that the City is doing everything it canto encourage private sector investment and success for these two corridors. EVALUATION CRITERIA The City's consultant evaluation and selection process is based upon Qualifications Based Selection(QBS)for professional services. The evaluation committee shall not be obligated to accept the lowest priced proposal, but shall make an award in the best interests of the City. Tierra West has served in this capacity for other public agencies and have prepared or advised on Disposition and Development Agreements (DDA), Owner Participation Agreements (OPA) Summary Reports and Reuse Analyses required under Health& Safety Code section 33433, acquisition services, purchase agreements, promissory notes, covenants, regulatory agreements, and other transactional documents required for developments. A differentiating aspect of Tierra West's experience and capabilities is that its experience encompasses not only the appreciation of financial market, and regulatory aspects of economic development typical of many consultants,'but also includes the skills necessary to interact with developers, investors, and property owners to make a deal and document a transaction. This proposal contemplates a comprehensive`analysis of these two key corridors of the City, incorporating significant outreach to existing property owners, tenants, residents,potential investors,brokers, and City staff, to assure that recommendations incorporate the perspective and inclinations of these key stakeholders. In order to assure that recommendations are based upon dependable information on current market conditions,Tierra West has included the market analysis firm of Linda S. Congleton& Associates ("LSCA") as a subcontractor. "LSCA will undertake a thorough analysis of the existing market to assess the strengths and weaknesses of existing uses, including the car dealerships, and then prioritize and recommend strategies to bring the corridors up to date with current land use and development trends. Tierra West and LSCA anticipate a close working relationship with the City's planning consultant,Freedman,Tung, and Bottomley("FTB"), to assure a seamless joint effort for the City in advising on the update of these corridors. Once a kickoff meeting has been held to commence coordination of the respective tasks,LSCA will commence its market research efforts. The early commencement of the market research phase of the assignment will provide FTB the market based information that will be valuable in providing that firm a basis with which to develop densities, land use,traffic,layout,and other aspects of their work: ' Tierra West will in turn utilize the market analysis findings by LSCA,and the design parameters developed by FTB, to produce financial projections, or proformas,illustrating the costs, revenue, and financial returns investors would realize from undertaking the recommended project types. Tim Mulrenan has over 30 years of real estate investment experience, encompassing in excess of$0.75 billion in investments as a developer,broker,investor,contractor and consultant. Due to his residency, he is intimately aware of the City's appeal, as well as its shortcomings, as a place to invest capital. This familiarity will infuse the strategic plan with a pragmatism reflecting the unique Huntington Beach culture towards business along with an awareness of investor requirements. Mr.Mulrenan,as project manager,will manage the assignment from his home office located at 5821 Bellfield Lane, Huntington Beach, 92648. This location is approximately 10 minutes and 2 miles from City Hall, and approximately 15'minutes or 5 miles from the Beach Blvd.and Edinger Ave.corridors. This close proximity will allow Mr. Mulrenan to respond on short notice to requests for meetings within the City. Mike Garcia lives in the South Coast Metro area of Santa Ana,approximately 15`minutes from the.City,and can therefore also be responsive to requests for meetings; The proposal provides an estimate that the cost of the assignment will not exceed$141,230,based upon a time and materials billing at hourly rates included elsewhere in this proposal. This price proposal will remain valid for one hundred eighty(180)days from the date of this proposal. Finally, the Tierra West Strategic Plan will be a report that the City will be able to present to parties it wishes to attract to the corridors,_whether developers or merchants, that will provide assurance that the corridors`present an attractive investment opportunity on a larger scale. Tierra West is very familiar with the°historical development of the City,current development trends and proposals,and the relationship of the Corridors to the City as a whole based upon consulting services the team members assigned to the Project have provided to the City for over eight(8)years.'Tim Mulrenan will be leading the team for this assignment and is a 20+year resident of the City. The City developed principally as a bedroom community during the 1960's and 70's. At thattime the City did not effectively address the commercial development needs of their residents or the surrounding community that could provide for sufficient financial and economic benefits to the City by way of sales tax revenue. Recent big box development projects-(WalMart and Home Depot) and the repositioning of Huntington Beach Mallas a lifestyle center (The Bella Terra project) should strengthen the City's, sales tax revenue base and draw consumers from surrounding cities. Projects along the City's coast,such as the development of the Hyatt Regency,the Hilton Hotel development,and the redevelopment of the downtown area along Main Street, have assisted greatly in capitalizing on the City's potential for tourism revenue. The Corridors present a challenge for redevelopment. The City has benefited from increases in land value;however, along Beach Boulevard and portions of Edinger Avenue many of the lots are not sufficiently deep for current commercial standards. Older architecture, low floor area ratios, and 1-story wood frame construction present a challenge for prospective investors who are faced with demolition costs to provide buildings that meet accessibility standards and site layouts that are expected in current retail establishments` (sufficient space for parking and convenient ingress/egress of delivery vehicles). Specifically along Beach Boulevard the number of auto dealerships presents a challenge for the City because these uses provide a good base for sales tax revenue, but can be an inefficient land use based on the amount of land required for these uses given the desire to intensify uses: Tierra West's services will lead to the development of a Plan that will accomplish the following: 1. Synthesize the opinions of community stakeholders with the realities of the current market and the potential for market growth along the Corridors. 2. Identify infrastructure and public facility deficiencies in the Corridors.` 3. identify revenue sources that will aid in the implementation of projects vital to the revitalization of the Corridors 4. Recommend changes in land use patterns that can assist with economic growth in the Corridors. 5. Develop strategies that tie the economic analysis for the Corridors together with the City's current and future'economic outlook. METHODOLOGY Tierra West proposes to manage'this project through the assignment of principal of the firm and a director in order to provide experienced'staff to interface with City staff. The Principal and Director will ensure that communication with City staff is properly conveyed to other Tierra West team members. After an initial scoping meeting with City staff and representatives of Freedman,Tung&Bottomley(``FTB"),Tierra West will confirm a schedule with FTB and City Staff that will outline all important meetings,project team responsibilities, and assignment deadlines to allow City staff the opportunity to address any issues with the proposed schedule at the beginning of the Project.- Tierra West proposes to attend community meetings organized by FTB and City staff to ascertain the opinions of stakeholders. Tierra West views the community meetings to be vital to the success of the Plan and the implementation of future economic revitalization activities along the Corridors. The client may contact any member of the Tierra West team,but through informal meetings and communications the Principal and Project Manager facilitates 2-way communications, assuring all members of the team stay focused on the same goals. Tierra West's current technology is to utilize the Microsoft Outlook software to set up meetings, assign tasks,and keep track of progress and milestones. Tierra West's methodology for soliciting and documenting views of internal and external stakeholders is,whenever possible, to be personally present or communicating with the stakeholder so there is less reliance on secondhand information. Through direct contact Tierra West staff can be assured of getting views unfiltered by the perspectives or prejudices of intermediaries who may, either consciously or unconsciously, relay views inaccurately. Communications are reduced to notes and correspondence, either electronically in the form of electronic mail, or notes to files,that are stored digitally in a project directory file for later retrieval. Tierra West views the contact with the stakeholders and solicitation of views,perspectives, and initiatives, as a critical part of this assignment. No matter how good a recommendation is, if it does not have the support of the stakeholders, it will not be successful. The input from the stakeholders will have a strong impact upon the recommendations, by creating either more ambitious development initiatives or more conservative, but realistic, programs. The work plan of the Tierra West team consists of the following tasks undertaken by the indicated team members: PROJECT TEAM PARTICIPATION Task l Attend Kickoff meeting with City staff and FTB Principals of Tierra West and LSCA will attend a kickoff meeting with City staff and FTB to • Refine the scope of the work • Coordinate schedules and tasks • Discuss the goals of the combined assignments between FTB&the Tierra West team. Task 2 Tierra West will Organize,and Direct Meetings and Workshops with Stakeholders, • Parallel to Task 1 of the market analysis,Tierra West will commence outreach to stakeholders to bring the community into the process and take advantage of the opinions and resources of key participants. • Tierra West will also survey the corridors,identifying viable existing projects that will be expected to continue to prosper,as well as areas that will be targeted for new investment. • Tierra West will also attend meetings and workshops organized by FTB with stakeholders, and the community at large to gauge initial response to plans to upgrade the corridors. • Tierra-West & LSCA will contact the Beach Blvd. car dealers to invite their suggestions and recommendations,with the intent of integrating these uses into the overall revitalization strategy, and improving their competitive position. REAL ESTATE MARKET ANALYSIS Once the kickoff meeting with FTB and City Staff has been held,the Tierra West team will commence the market analysis portion of the assignment. Tierra West will be working with sub consultant LSCA,to undertake the Real' Estate Market Analysis portion of the assignment. LSCA is an experienced market consulting firm that is located in Orange County and has been providing real estate market analysis services for over 20 years_'A more detailed description of the background,experience,and capabilities of LSCA is attached as an exhibit to this proposal. Formed in 1984,LSCA brings over 20 years of commercial/mixed-use experience to this assignment. Redevelopment mixed- use consultation is one of the company's key focuses,with City-clients using the company's background to assist them in determining market-based strategies that are appealing to private sector developers. Similar assignments to the Beach Boulevard/Edinger Corridor include: • Downtown Redevelopment Study(waterfront corridor or"Heart of the City") Study for the City of Redondo Beach;working with Freedman Tung&Bottomley(responsible for the City's Downtown Specific Plan). ■ Retail Redevelopment Study for Balboa Peninsula and Pacific Coast Highway for the City of Newport Beach. ■ Reseda/Canoga Park/Winnetka Redevelopment Project Study for six blocks along Sherman Way,eight blocks on Reseda Boulevard and two blocks on Saticoy Street and Sherman Way for the Community Redevelopment Agency of Los Angeles. LSCA has also been retained for about four years by the Sparks Redevelopment Agency (near Reno, Nevada) as their real estate consultant responsible for market research;mixed-use recommendations;creation of the mixed-use site plan with the planning/architectural firm of RTKL; developer negotiation assistance; participation in the selection committee that chose The Trammell Crow Company as developer; and on-going implementation consultation. Named Victorian Square,the master plan jointly developed by LSCA and RTKL was awarded a Gold Nugget Merit Award at the 2006 Pacific Coast Builders Conference. An outline of the tasks that will be undertaken by the Tierra West/LSCA team for the Real Estate Market Analysis, and the relative costs,follows: Task l—Corridor Market Analysis&Economic Data Study A market analysis and economic data review of the Beach Boulevard and Edinger Corridors will be prepared based on over 20 years of collective experience with commercial/mixed-use developments. Work conducted as part of this market analysis and economic`review will include a detailed in-field and economic data analysis of the Beach Boulevard and Edinger Corridor existing businesses,including the following: ■ Identification of'strengths and weaknesses of the Corridors with respect to the most state-of-the art commercial/retail and mixed-use industry trends. Identification of strong shopping/commercial centers or uses that are thriving and should be retained as part of the long-term plan. ■ Identification of weak, struggling or under-performing commercial/retail uses that are not likely to survive over the long-term and are likely to further deteriorate in appearance and retail sales (and retail sales tax) potential. Identification of modest or marginal commercial operations. Identification of commercial uses that are not located in optimal locations,but are successful businesses generating successful retail sales. ■ Review of City's taxable sales,property tax data and other financial records from businesses within the Corridors and proximate to the study areas,to assess the stronger and weaker retail operations that exist in the Corridors. In addition,this analysis will be used to determine which operations may be under-performing and may not likely survive along the Corridors over along-term horizon. ■ Analyze the regional competitiveness of the car dealers along Beach Boulevard and consider how these retailers may be integrated into future new development along that Corridor: ■ Prepare a rental rate analysis of major existing commercial nodes or centers in the Corridors to determine the commercial health and vitality of the areas. Provide an overview of what these rental rates mean in a broad County-wide context in terms of long-term economic vitality. Determine which sites are the most likely to be opportunities for short-term, mixed-use revitalization based on the economic analysis of existing businesses. Analyze and review current development proposals to determine whether those proposals have strong,market- based potential for thriving in the Corridors; ■ -Prepare exhibits highlighting our market-based and economic findings concerning the Corridor businesses in terms of strengths,weaknesses and opportunities: ■ Participate in three meetings, including a kick-off meeting, an interim meeting with Freedman Tung & Bottomley and apresentation meeting. Task 2 Prioritization&Recommendations-Market Analysis Task 2-will emphasize prioritization of site-specific opportunities for economic revitalization,and will recommend specific types of uses, including consideration of mixed-use residential. Pricing and feasibility analysis will be conducted in terms of market prices,rents and overall regional development costs. Moreover,industry-wide trends with respect to mixed-use projects will be highlighted in terms of types and products that are likely to succeed along the Corridors. Additional tasks will include: ■ Determination of mixed-use residential products,including pricing ranges. • Demonstration of financial feasibility,including examples. ■ Determination of the customer segments likely to be attracted to the new mixed-use products. ■ Preparation of exhibits highlighting recommended products,recommended sites and priorities. ■ Work with Freedman Tung&Bottomley with respect to product types,timing and development programs. ■ Participate in two meetings,including one presentation meeting. Task 3 LCSA Final Report&Presentation Task 3 will include the preparation of a final executive summary report with supporting exhibits that incorporates the work conducted above. LSCA will participate in a final presentation to the City upon completion of the work. This report and exhibits will be incorporated into the final Tierra West Report. Total cost for the LSCA services is $60,000. ECONOMIC STRATEGY Task I Baseline Economic Study • Tierra West will be undertaking an analysis of current economic conditions of the respective corridors parallel to LSCA efforts while undertaking the market analysis. Information developed by Tierra West will include o Current assessed values, o 'Property tax payments, o Sales tax revenue to the City,insofar as this can be isolated to the target properties. • Much of this information will complement and corroborate the efforts and information developed under the market analysis tasks. Ms. Janet Lockhart, Senior Administrative Analyst CITY OF HUNTINGTON BEACH October 9,2006 Page 7 Task 2 Tierra West will identify pending development proposals and facilitate • Development proposals within the corridors will be identified and prioritized • Tierra West will have discussions with the project proponents to determine goals, scheduling requirements;project hurdles(lease or financing commitments),and challenges or gaps. • Tierra West will facilitate FTB's attention to these proposals to incorporate them as part of their planning work,and seek to encourage City planning"fast track"processing of these proposals. • Tierra West will incorporate these fast track proposals into its own strategic plan,and incorporate the developer projections into its own sample proformas to illustrate the feasibility of alternative design concepts. Task 3 Tierra West will Develop Financial Projections and Pro Formas Illustrating the Costs, Revenues,and Returns on Investment for New Capital • Familiarize stakeholders with actual costs, revenues, and return on investment for alternative development models. Task 4 Identify Funding Strategies Tierra West staff is experienced in public sector financing,having projected revenue to fund tax allocation `bonds, and acted as fiscal consultant in many bond issues. Tierra West will draw on this experience to consider potential funding sources to finance corridor improvements. • Tierra West will analyze potential funding structures for public sector investment. Potential structures may include o Business Improvement; Districts ("BID"s), whereby property owners and/or tenants voluntarily agree to participate in a non-profit association that will finance upgrades to specific sections of the respective corridors. o Community Facilities Districts or Mello-Roos Bonds, whereby property owners allow their properties to be assessed for taxes to pay off bonds that will be issued to pay for public infrastructure improvements_ This structure in all likelihood is a low probability technique, since the property owners will likely resist voluntarily raising their taxes unless a-significant, immediate,personal benefit can be demonstrated. o Potential funding from the State Highway funds as part of the upgrade of State Highway 39 (Beach Blvd). o " County and regional mass transit agencies will be contacted for information on upcoming projects`along the corridors that can be leveraged as part of the investment in the corridor upgrades. o City Public works funds that may be available. o Potential redevelopment tax allocation bonds. Task 5 Develop Strategies • Taking the findings of the tasks outlined above into consideration, Tierra West will develop strategies for stimulating investment in the Beach Boulevard and Edinger Avenue corridors. • As part of its continuing outreach efforts,Tierra West will share these strategies with key stakeholders, including City staff,City leaders,developers,investors,owners,and tenants. Tierra West will consider the response from these stakeholders to refine the strategies • Tierra West will develop preliminary promotional concepts for making the investment community aware of the opportunities the corridors present. • Tierra West will solicit preliminary interest from developers and investors with specific skills in the products, land,uses, and densities being developed for the revitalization strategy to determine their interest,and utilize their response to further refine the strategy. Task 6 Prepare Report Presenting the Revitalization Strategy • Tierra West will prepare a draft report for review by City Staff presenting the preliminary findings and recommendation for the economic strategy. The report will include the market research findings of LSCA identified under the Real Estate Market Analysis tasks described above. • Once preliminary results have been reviewed in a draft format with City staff,the final report will be prepared and,if required by City staff, presented to the public and City Council in a public hearing including_a Power Point presentation. Electronic versions of the report and Power Point will be provided to staff for future use and distribution on the City Website. Total cost for Tierra West's services for tasks 1 to 9 is$81,230. Combined between Tierra West and LSCA the assignment total is $141,230. Efforts to Assure Client Satisfaction Tierra West and LSCA will assure client satisfaction`by staying in contact with City staff, being accessible, and soliciting feedback along the way to assure the efforts and product are meeting the goals of the City. Tierra West's staff will coordinate closely with the City's planning consultant,FTB,to assure that the early information developed by LSCA is made available to FTB,which can than utilize this information as a basis for their own design efforts. In addition to the close contact with City staff and among the consultants,Tierra West will,to the extent allowed by existing City codes and requirements,manage the project from the Huntington Beach home office of Principal Tim Mulrenan. Mr. Mulrenan lives at 5821 Bellfield Lane,Huntington Beach, which is 10 minutes and about 3 miles away from City Hall,and approximately 15 minutes and 5 miles away from the Beach Boulevard and Edinger Avenue corridors, This proximity will allow Mr.Mulrenan to respond on short notice to requests for meetings with City staff,property owners,residents,and merchants. Mr. Mulrenan currently works from his home office approximately 70%of the time and, although he does not take business visitors at his home office,will be available on short notice for meetings at public facilities within the City.
