WHEREAS, the parties mutually desire that CITY pe!-unit TSC to construct twenty (20) transit advertzsl.ng s.,eiters la the CITY and upon CITY sidewalks. NOW, THEREFORE, Dhe parties covenant and agree as follows: ; 1 DURATION,: This agi,ee m ent skull remaic. in force for the teriA of tsz (10) years frnm , unless pre- viou3ly terminated as hereafter provided. 2. TYPE OF SHE'LTr;R: TSC will b�jild the shelters in approximately the following dimensions: a. 171 in length bR 51 in depth C. 816" in height The shape shall conform to Exhibit "All attached hereto and incor- poeated by retferen^e as though fully set forth in this part. The materia?.s to be used will be* a. Aluminum for the roaf structure and the advertis- ing box hign.. b. Aluminum for the poles and door frames of the advertising box and safety tempered glass: )n all glass panels. c. Back glass panel gated for more sun, prots�,.:tion. 1. - k 3I ; s d. Lighting fiat zres :.nstali•,d in the advertising box h and on top of the roof. k PERMITS AND FEES: T�,; will obtain and pay for all fees, costs and rermit eharges regularly imposed by CITY, and all # f shelters will be constructed 7 conformity with all applicable � c building codes. 4. INDEMNIFICATIGN 'fS' will indemnify and save harmless CITY, its officers, agents, servants and employoes, against all " ..' h claims, costs, expenses, damages, lia')ilities and julgments of :t s every kind and character, resulting by reason of the erection, maintenance, operation or removal of any of the ..hel.ters referred 7 to in this agreement, sustained or claimed by a.iy person, firm or corporation whomsoever and whatsoever, caused or alleged to have been caused, directly or indirectly, by an act or omission, negligent or otherwise, of TSC, its agents, servants and employees, or occaslaned by any work p,irformed by TSC, or by the permission granted by CITY herein, and shall defend any su�- action or suit brot,:ght against these so indemnified, and shall pay all casts and expenses of whatsoever nature resulting therefrom, and in connection therewith and to pay, on behalf of those so indemni,",6.d the amount of any judgment that may be entered against 4ny of them in any such action or suit. 5. INSURANCE: TSC shall .at all tames tarry on all opera- tions hereunder, bodily injury* and property damage liability insurance, including automotive bodily n jury and property damage liability insurance, in forms and underwritten Ly insurance 2. X °.Y compat_es satisfactory t�) CITY for all operaLlons, subcontract work, contractual obligations, product nr completed operation, all owned vehicles and non--owned vehicles. Said insurance coverage obtained by TSC she'll_ name CITY, Its officers, agents R�=p aid emp oyees and all public agencies as determined by CITY as $ additional insureds on said policies, i'SC shall require its insurer to waive its eubrogation r,�-gnts against CITY and agrees to provide certificates evidencing the same. Before TSC performs any work at, or prepares or delivers materials to the sites of constru-,tion, TSB; shall fur- nish to CITY certificates of insurance subject to approval of the City .Attorney. Certificates shall provide the name and policy nuciber of each carrier and policy and indicate that the ins -ante is in force and will not be cancelled „ithout thirty (30) days' written notiex to CITY. All of the foregoing insurance coverages shall be mainta;..ned in force until: the work under this agreement is fully completed and accepted by CITY. The requirement for carrying the foregoing insurance shall not derogate from the provisions .for µ.nd,,mnifieation under this agrAement. The following insurance coverage shall. be obtained and maintained: not less than 4hree hundred thousand dollars ($300,000) combined single limit t overage for all items: A. Bodily injury Liability and Automotive Bodily Injury Liability (including non- ownership and hired cars) 3. PUSMAM e 4 f � u } a B. Products Liability Insurance The City Attorney shall at all times have the right to demand the original or a copy of all said policies of insurance . All premiums on the insurance hereinabove required shall be pre- paid by the principal insure-i and snal.l not be an obligation of k` CITY. J 6. MAINTENANCE: TSC shall be at liberty t;: enter upon and into the shelters at any reasonable time with workmen and all necessary electric wires, meLors, clock work machine-y and other things reasonably necessary for making the said shelter effec- tive, all if which Mork shall be done at the sole expense of TSC. Cleaning of shelter and within a ten-foot perimeter of the shelter shall be done a minimum of twice weekly. 7.1 PAYMENT ELECT !Qj TSC' shall furnish and pay for all charges for electrical connections and the energy used supplied to the and shall indemnify CITY against any and all costs and charges arising from the use, maintenance and construction thereof. TYPES OF ADYERTISIG: TSC shall utilize the shelters only for advertising material and will not permit advertising material to be displayed which ls, in the sole opinion,. of CITY, obscene, indecent or wilgar. CSC will ,i,thdraw any shelter advertising which the CITY in its sole discretion shall determine 4. , w,.. i fN to be inappropriate and such dvertising shall be removed upon, krt r ° twenty-four (.24) hours' notice of anv such determination. n NON-EXCLUSIVE RIGHT TO ERECT S,�ELTERS: The rights P; .j . granted herein are not exclusive, and during the tern of this agreement CITY may grant to any other company or individual the right to erect advertising shelters on public streets and side- '' 4 walks within its corporate limits. 10. SITE LOCA�T ONS: The locations of the shelters will be chosen by mutual agreement of the Public Works Director and an z authorized representative of ToC. In the event relocation of the bus shelters is requested by CITY; due to development or redevelopment of certain areas, changes in the bus routes, or at the discretion of the public Works Director, TSC will remove and relocate such shelters and bear all costs of restoring the site and relocating each shelter. ll. REMOVAL. OFF SHELTERS: TSC: retzsns the right tr% remove: any shelters '.,iithout notice to CITY in tt4e event any restriction on the construction or maintenance of aavertising is imposed by statute or by ot^dinan^e of CITY or state in which the shelter is located, or in the event federal., state, county, or other proper authorities should hereafter establish any rules, regulations or taxation which shall have the effec of so restricting location, construction, or maintenance or operation of the nhelters so as to dimin.isa the value of said shelters for advertising purposes. 12. j1h 0" ECTIQN OE_SkELTERS: Time is of the essenoe hereof. TSC shall erect its first sloe lter within 120 days from 5> } i f t i' E ,� dA the date of this agreement. 13. CONDITIONS: TSC shill not be required to provide or retain any shelter in the event advertising contracts sufficient in number to maze the project economically feasible shall not be }; securable. TSC agrees to use its best efforts to provide for4` shelters which are economically feasible. 14. COMPENSATION TO THE CITY: T ,A. TSC will pay to CITY ten percent (10%) of the gross advertising revenues received by it for the rental of space in the shelters. B. Payments will be made on a quarterly basis, said payment to commence six (6) months from the receipt of adverbs- rt, ing revenues by TSC. TSC shall file quarterly statements with CITY iteniz ng the gross revenue received from advertising on each shelter, certified under oath as to accuracy. C. TSC will allow a reasonable Inspection and audit of applicable books and records by authorized CITY officials and firms authorised by CITY to perform su,-h fu ations at TSL's office during reasonable business hours for the sole purposA, of determining that :.he revenues due to CITY are accurately made. 15. DUTY TO REMOVE: In the event CITY fails to receive notice of renewal of any permit, bond or policy of insurance with in twenty (20) days of the expiration date of any such permit, bond or policy, or any cancellation thereof, and no evidence of a replacement bond or coverage is exhibited to CITY within twenty (20) days prior to the expiration date of any bond or coverage, 6. SITE REST011ATI:ON: Upon removal of any or all shelters ereoted by TSC hereunder, all material will be removed from the site and sue;: site rea>vred to condition existing prior to in,tellation. All wires will be removed and holes fired, 19. WORKERS' COMPS. SATION: TSC shall, comply with all applicable provisions of the Wo.*ers' Compensation Insurance and Safety Acts of the State of California, the aapl ::able provisions of Divisions 4 and 5 of the California Labor Cade and all amend- ments thereto; and all similar state or federal acts or laws applic-ai ..e and shall indemnify* aad hold harmless CITY from and against all claims, demands, payments, stilts, actions, proceed- ings and Judgmears of +very natura and description, including attorneys' tees and co4jts presented, 1-Frougnt er recovered against CITY, for or on aco,)nnt of any liability for failure to obtain Workers' Compensation Insurance f,.,r employYees employed under t"r is agraement. RECOMMENDATION: Apz v e the-Agreement with Transit Shelters of California, Inc. for the nstal.lation of up to twenty transit advertising shelters at locations to be approved by the Public Work: Department, ANALYIS: On September 20, 1�'32 the City Council adopted Ordinar.:e No. 2574 which eliminated the requirement of an exclusive franchise fox installation and maintenance of transit shelters. Approximately one year ago the City approved an agreement for the installation of up to twenty transit shelters by American Bus S; slter Company. Since that time only four shelters have been installed. The approval of an additional agreement: for installation of bus shelters should generate some competition between companieC for installation of advertising transit shelters at the most desirable loca- tions. The shelters will all, be similar to the one on Main Street serving City Hall and will provide: a lighted, covered area to wait for buses, The shelter program will also provide a source of .revenue to the City. FUNDING SOURCE The transit shelter prograzr will generate a positive cash flow to the City.
