STATEMNT OF ISSUE,
` Proposals were requested from qualified construction inspection
firms to provide the inspection and quality control for Phase I of
the Water Warehouse and Yard Improvement project, CC-719.
RSCO"KENDAT'ION:
1. Approve the selection of United Inspection and Testing Co. to
provide the inspection and quality control for Phase I of the wa
,,, •� Water Warehouse and Yard Improvement project, CC-719.
2. Authorize the Mayor and City Clerk to execute the attached
Consultant Agreement with United Inspection and Testing Company
for a fee not to exceed $16,800.

3. Establish a budget of $18,500, this includes the $16,800 in
Consultant Contract costs and $1 ,700 in miecellaneous costs such

AND UNITED INSPECTION AND TESTING COMPANY
TO PROVIDE INSPECTION AND QUALITY CONTROL FOR THE
WATER WAREHOUSE PROJECT
THIS AGREEMENT, made and entered into this _„Z-IL day
of Zhaldu.., 1990, by and between the CITY OF HUrtTINGTON BEACH, a
municipal corporation of the State of California, hereinafter
referred to as "CITY," and UNITED INSPECTION AND TESTING COMPANY, a
California corporation, hereinafter referred to as 'CONTRACTOR. "
WHEREAS, CITY desires to engage the services of a
construction inspection and materials testing contractor to inspect
the Wbter Warehouse Project as to its construction and feasibility
and to advise the City thereon; and
CONTRACTOR has been selected to perform said services,
NOW, THEREFORE, it is agreed by CITY and CONTRACTOR as
follows:
1. WORKSTATMNT
•'f CONTRACTOR shall provide all inspection and quality control
during the entire construction of the protect and all of the tasks
.� stated in the request for proposal dated January 26, 1990, and
CONTRACTOR'S proposal dated February 2, 1990, hereinafter
collectively referred to as Exhibit "A, " attached hereto and made a
part hereof..
2. CITY STAFF ASSISTAN'.
' CITY shall assign a staff coordinator to work directly with
CONTRACTOR in the performance of this Agre ;menu.

3 . TI1KE__OF PERFORMANCE
The services of the CONTRACTOR are to commence as soon as

practicable after the execution of this Rgreement and each task
specified in the draft enforceable agreement between R014AN E.C.D.
shall be reviewed within three (3) weeks at submittal to contractor.
4� r.OM.KNSATION
CONTRACTOR shall be paid for work performed at the hourly
rates contained in Exhibit "A." The total compensation under this
agreement shall not exceed RIXTEnN THOUSAND EIGHT HUNDRED DOLLARS
($16,500.00. )
5. EXTRA WORK
In the event of authorisation, in writing by the CITY, for
other written permission authorizing additional work not
contemplated herein, additional compensation shall be allowed for
such Extra Work, so long as the prior written approval of CITY is
obtained.
6. METHOD 0E PgX NT
A. Delivery of work product: A. copy of every
technical memo and report prepared by CONTRACTOR shall be submitted
to the CITY to demonstrate progress toward completion of tasks . In
the event CITY rejects or has comments on any such product, CITY
t shall identify specific requirements for satisfactory completion.
Any such product which has not been formally accepted or rejected by
CITY shall be deemed accepted.
B. The CONTRACTOR shall submit to the CITY an

invoice for each progress payment due. Such invoice shall:

4) Include a certification by a responsible
professional member of the CONTRACTOR'S
firm that they work has been performed in
accordance with the provisions of this
Agreement; and
5) For all. payments include an estimate of the
percentage of work completed.
Upon submission of any such invoice, if CITY is satisfied
that COX MCTOR is making satisfactory progress toward completion of
tasks in accordance with this Agreement, CITY shall promptly approve
the invoice, in which event payment shall be made vrithin thirty (30)
days' of receipt of the invoice by CITY. Such approval shall not be
unreasonably withheld. If the CITY does not approve an invoice,
CITY shall notify CONTRACTOR in writing of the reasons For
non-approval, within seven (7) calendar days of receipt of the
invoice.
C. Any billings for extra work or additional
services authorized by the CITY shall be invoiced separately to the
CITY. Such invoice shall contain all of the information required
under paragraph 6C, and in addition shall list the hours expended
and hourly rate charged for such time. Such invoices shall be
approved by CIVi if the work performed is in accordance with the
extra work or additional services requested, and if CITY is
satisfied that the statement of hours worked and costs incurred is
accurate. Such approval shall not be unreasonably withheld. Any
4 dispute between the parties concerning payment of such an invoice
shall be treated as separate and apart from the ongoing performance
of the remainder of this Agreement.

7. DISPDSTTION OF pyMI, _ESTIMATES AIR DOCUMENTS
CONTRACTOR agrees that all materials prepared hereunder,
including all original drawings, designs, reports, both field and
office notes, calculations, maps and other documents, shall be
turned over to CITY upon termination of this Agreement or upon
PROJECT completion, whichever shall occur first. In the event this
Agreement is terminated, said materials may be used by CITY in the
completion of PROJECT. Title to said materials shall pass to the
CITY upon payment of fees determined to be earned by CONTRACTOR to
the point of termination or completion of the PROJECT, whichever is
applicable. CONTRACTOR shall be entitled to retain copies of all
data prepared hereunder.
8. jNd IFICAT10N. T)EFENSE, HOLD H&RMLM
CONTRACTOR hereby agrees to protect, desend, indemnify and
hold and save harmless CITY, its Officers, and employees against any
and all liability, claims, judgmants, costs and demands, however
caused, including those resulting, from death or injury to
CONTRACTOR'S employees amd damage to CONTRACTOR'S property, arising

directly or indirectly out of the obligations or operations herein
undertaken by CONTRACTOR, including those arising from the passive
concurrent negligence of CI'T'Y, but save and except those which arise
cut of the activa concurrent negligence, sole negligence or the
r sole willful misconduct of CITY. CONTRACTOR will conduct all
defense at its solo cost and expense. CITY shall be reimbursed by
CONTRACTOR for all costs or attorney' s fees incurred by CITY in
enforcing this obligation. r'

3 . H&=RE' CMENS TIDE
CONTRACTOR shall comply with all of the provisions of the
Workers* Compensation Insurance and Safety xets of the 6tate of
Caflifornia, the applicable provisions of Division # and 5 of the
Califnrnia egg Code and all amendments thereto; and all similar
state or federal acts or laws applicable; and shall indemnify,
defend and hold harmless CXTY from and against all claims, demands,
payments, suitar actions, proceedings and judgments of every nature
avid description, including attorney's fees and costs presented,
brought or recovered against CITY, for or on account of any

any work to be performed by CONTRACTOR under this Agreement.
CON'.MACTOR shall obtain and furnish evidence to CITY Of
maintenance of statutory workers' compensation insurance and
employers' liability in .an amount of not less than $500,000 bodily ,
injury by accident, each accident, $500,000 bodily injury by
disease, each employee, and $1,000#000 bodily injury by disease,
policy limit.
10. SLMSCE
In addition to the workers' compensation insurance and
CONTRACTOR'S covenant to indemnify CITY, CONTRACTOR shall obtain and
furnish to CITY the fallowing insurance policies covering the
PROJECT:

A policy of general public liability insurance,
including motor vehicle coverage. Said policy shall
indemnify CONTRACTOR, its officers, agents and
employees, while acting within the scope of their

duties, against any and all claims of arising out of or
in connection with the (PROJECT, and shall provide
coverage in not less than the following amount:
combined single limit bodily injury and property
damage, including products/completed operations
liability and blanket contractual liability, of
$1,000,000 per occurrences. If coverage is provided
under a form which includes a designated general
aggregate limit, the aggregate limit must be no less
than twice the occurrence limit. . Said policy shall
name CITY, its officers, an,1 employees as Additional
Insureds, and shall specifically provide that: any other
insurance coverage which nay be applicable to the
PROJECT shall be deemed excess Coverage and that
CONTRACTOR'S insurance shall be primary.
H. Erg lama Liability Ynsurahce.
CONTRACTOR shall acquire a professional liability
insurance policy covering the work performed by it
hereunder. Said policy shall provide coverags for
CONTRACTOR'S professional liability in an amount not
less than $500,000 per claim. A claims made policy
shall be Acceptable.
Certificates of Insurance for said policies shall be approved
in writing by the City Attorney prior to the commencement of any
work hereunder. All Certificates of Insurance (and the policies of
insurance or endorsements thereof) shall pruvi,de that any such
Certificates and policies shall not be cancelled or modified without
thirty (30) days' prior written notice to CITY. CONTRACTOR shall

11. 1 3REMZHT.._cQNTHM=
coNTRACTOR is, and shall be, acting at all times in the
performance of this Agreement as an independent contractor.
CONTRACTOR shall secure at its expense, and be responsible for any
and all payments of all taxes, social security, state disability
insurance compensation, unemployment compensation and other payroll
deductions for COFTRACTOR and its officers, agents and employees and
all business licenses, if any, in connection with the services to be
performed hereunder.
12. NA119H Of AOREEiINT
All work required hereunder shall be performed in a good and
workmanlike manner. CITY may terminate CONTRACTOR'S services
hereunder at any time with or without cause, and whether or not
PROJECT is fully complete. Any termination of this Agreement by
CIZrY shall be made in writing through the City Engineer, notice of
which shall be delivered to CONTRACTOR as provided in Section 16
herein.
13 . ACT XG
This Agreement is a personal service contract and the
supervisory work hereunder shall not be delegated by CONTRACTOR to
any other person or entity without the consent of CITY.
14 . COPYRIGN'P9 ATENTS
CONTRACTOR shall not apply for a patent or copyright on any
item or material produced as a result of this Agreement, as set
forth in 41 CFR 1-9.1.

of the quality assurance needs for the Water Warehouse Prgiect. This section will
address these needs and identify how we intend to service them.
Desk spree will be required from time to time in order for our technical staff to
perform their administrative duties. A permanent office will not be required for this
project, We feel we can meet the quality assurance needs of the City without putting
,.'. an added strain on your staff: All copies of inspection reports and test results will
kept on. file at United Inspection & Testing Company. In addition, copies will be sent .
s; out to all the designated people to keep everyone: abreast of the,project.
Unit'_d will coordinate our work with the City of Huntington Beech Ruuding Department.
All pertinent communication will be documented and on.file at the Water Department

amount of experience in the construction industry. In their capacity, they
will identify critical areas of work, monitor the performance, and report on

product data, and samples. From time to time, Chung Tsung and Bill

S. Review Test Results and Mix Designs:
As the Civil Engineer for United inspection & Testing Company, Chung
Tsung will conduct the tasks required 'under this section. He will review
all the mix designs. In addition, he will work closely with Bill Fullington
in the review of the test results.
United will review the mix design prior to the pours. This will ensure the
City of Huntington Reach that the mix design meet the specification
requirements prior to the placement.
In addition, test results will be sent to our field inspectors immediately
through the use of their beepers. This will give the city the ability to
respond to the test results immediately. Our field inspector
will receive the information at the project site without ever tying
up the city's telephone lines.

United will provide the following inspectors for the primary support of this project:

2. Loi Van Tran
3. John Wong
4. Bruce Lewis
In order to remain flexible to the city's needs we may from time to time use other
inspectors. These additional inspectors would be fully certified and work under the
direction of Hill Fullington. In accordance with the plans and specifications we will
provide inspection services on the following work:
1. Soi!s:
United will provide soils compaction, moisture density tests, and certification
as required by the plans and specifications. The tests will be conducted
in accordance with ASTM D1557 - 70.

In providing concrete inspection, United will:
A. Manor tho slump.
B. Cast cylinders for oorn scion testing according to ASTM C17Z.
C. Prior to the placement, Uait.d's inspector will verify the condition
and the, cleanliness of the forms and the reinforcing steel.
D. Ensure concrete is of the required quality and consistency during
placement.

3. Masonry:
In providing masonry inspection, United will:
A. Sample and test in accordance with ASTM C140 to comply with
requirements of ASTM C.SS.
B. One fair of 2 x 4 mortar cylinders shall be sampled and tested
on each of the first three consecutive days of work.
C. Sample and tes► grout prisms at the same frequency as the mortar
by filling cells in concrete brick used for construction. Molds
will broken away after specimen has set. Sampl:: will be tested
in vertical position.
D. Composite prisms will be taken and tester] as per
U.B.C. Section 7404 (c).
4. Structural Steel:
oF; All field welding of structural steel shall be performed continuously
by a certified deputy inspector from United Inspection & Testing
Company.
OPTIONAL SERVICES
R Core tests will be rcquired. only if the workmanship or materials are questionable. If
core tests ace taken it will be at the direction of the City of Huntington Beach and at
r the expense of the General Contractor, unless otherwise directed by the City.
Sieve Analysis per ASTM C136 and to Conform to grading Tables will be performed
` only if the material is of questionable origin, or at the City's request.
Specific Gravity per ASTM Designation C127 and C123 will be performed only if the
material is of questionable origin, or at the City's request.

Laboratory Testing is included in this proposal in order to give the city complete
control of the project with consistent information. It is our belief the City of Huntington
Beach would be much better off to have one company provide both the: inspection and
testing services.

As you requested, we have identified the amount ref time and tents
that will be required to accomplish the quality assurance
requirements of the Water Warehouse Repair Shop Project., Please
refer to the scope of services enclosed in our original proposal
for an explanation of services that will be performed.
We understand that this would be a "Not-To-Exceed" contract with
the City of Huntington Beact►. Under normal circumstances the
total amount should not exceed this amount. It additional costs
are incurred that were not originally figured into this proposal
the total amount could be affected. The City will be kept
abreast of all potential cost over--runs.
The hourly rates and charges quoted will be good for the duration
of the project. All rates not specifically mentioned, will
charged per our Schedul:- of Fees (1989,/90) . We bppreciate the
