SUPPLEMENTAL AGREEMENT NO. 3

NOW, THEREFORE, the parti-s covenant and agree as follows:
1. Parag:apl 1Ii. - Time of Completion �f the Agreement
dated Febriiary 8, 1978 is amended to delete the words "six
calendar months" and substitute therefor the words "twenty-
calendar mont' s" .
2. Paragraph IV - Consultant's Compensation dated
February S. 1978 is amended by deleting from line five thereof
the figure "$30,00'j" and by substitutlig therefor the figure
"$85,750., and by deleting from line seven thereof the figure
"$5,000" and substituting therefor the figure "$3, 750"; and
by deleting the fourth paragraph thereof in its entiroti.

"Consultant").

1 . RECITALS:

Huntington Beach;
WHEREAS, in order to accompl&sdi th!?. purpose, it is necessary
to obtain the secvic-s (if a firm qualif;ed in tic field of rchcbilitation
loan administration an6 procescinq;
WHEREAS, Consultant is a firm with experienced and skilled
personncl qualified to render consultinq services in connect,on with
establishing such rehabilitation loan programs anti -elated activities;
NCW, THEREFORE, the parties hereb rmutu-illy agree as follows:
It. SERitiiES - SCOPE OF WORK
Upon specific request of the Contracting Officer (hereinafter
referred to as "CV) or his designated repr:-sentaLive, Consultant shall
attend meetings , prepare work programs , negotiate with lenders,
prepare forms ;and procedures, prepare a public information pro-
gram, and tarry out a piotedure, of public: c:ontacr in selected
areas to impl�?mvat a rehabilitation loan program, all in accord-
ance with items I . II , I? I and I of Consultant ' s proposal letter
of Dec tmher 27 , 1977 , at �ached %vreto as I`,rhibir A. Such work

V. TERMINATION
Either party may terminate this Agreement upon thirty days
written notice to the other following first ninety days of `he initial
Contract period. In the event of such termination by City, Consultant
shall be :-ompensated for all prior services performed and expenses incurred
to the date of termination less any amounts theretofore paid by City. In
the event of termination by Consultant, Consultant shall be compensated for
its services and expenses incurred to the date of termination is reflected
in a written report prepared by Consultant addressed to the City specifying
the reasons for termination and the services rendered uo to that point.
Upon termination, all cc-nplete.: work shall become the property of the City.
VI. SUCCESSORS AND ASSIGNS

tracted for the personal service of Consultant. Accordingly, Consultant
shall not assign, transfer, convey or otherwise dispose of this Agreement
or any title or interest therein nor sublet ni)r sub-contract any of the
work provided for herein withCut first obtaining written consent from the

THIS SUPPLEMENTAL AGREEMENT NO. 1, made and entered inter

and eighth month following the date of this Contract and in the
amount of $4 .000 thereafter. "

ANALYSIS:
In return for the contract fee, Url-,x Inc. will conduct

1. a public information prouram,-
2. negotiation with a ban:; for _-,,articipatior

tation Loans Program,;
3. evaluation of nee kled improvoments in partioipants' homes;
4, preparation of wost estimates;
5. assistance to homeowners with credit application;
6. assistance to homeowners with bid procedures;
7. advice to homeowners during rehabilitation and assistance with
"completion certificate" to ensure that rehabilitation is com-
pleted to specifications; and

This contract will permit the implementation of ti�q Rehabili-
tation Loans Program with a minimum of City staff tii,,,q. Of
course, the program will be monitored by the HCD staff of the
Planninq Department and in addition, some secretarial support
will be reauired but this will not exceed a one-half time
basis.
