MENT AGENCY, a body corporate and politic in the City of Huntington Beach,
California (hereinafter called "Agency") and URBAN PROJECTS, INC. , a
California Corporation, located at 11777 San Vicente Boulevard, Suite 601 ,
Los Angeles, California 90049 (hereinafter called "Consultant") to that
certain Agreement heretofore entered into between the parties dated March
3, 1976.
W I T N E S S E T H
WHEREAS, the parties have heretofore entered into an agreement for
the provision of certain services by Consultant to Agency; and
The agreement as originally entered into contained a limitation of
time for performance of such services and the parties mutually desire to en-
large upon the time for performance,
NOW, THEREFORE, the parties covenant and agree as follows:
Paragraph 111 - Time of Completion of the Agreement dated March 3,
1976 and amended January 17, 1977, is further amended to delete the words
"to .June 30, 1977" and substitute therefore the words "to June 30, 1979"•

STATEMENT OF ISSUE: B
Urban Projects, Inc. has assisted the City with redevelopment
studies since March 1976. Urban Projects was called upon again
to assist the City with a financial feasibility analysis of all
proposals received for the Senior Housing and Recreation Facility
on the Old Civic Center Site. Extension of this contract will
permit expenditure of Housing and Community Development Funds
previously committed to the redevelopment accounts and will not
require further commitment of City funds.-
RECO�tMENDATION:
Approve and order the Clerk to execute Supplemental Agreement
No. 7 to extend the contract with Urban Projects, Inc. for the
period of July 1, 1978 to June 30, - 1979 (not to exceed $8,000) .
ANALYSIS:
At the time studies regarding Downtown Redevelopment were begun
(early 1976) , the City contracted for consultant services with
Urban Projects, Inc. As these studies continued, the UPI contract
was renewed on an annual basis and services were billed to the
City on a time and materials basis. The studies performed by UPI
under this contractual agreement were paid with Housing and
Community Development Block Grant Funds. When the redevelopment
public hearings were concluded, there remained approximately
$8, 000 in HCD funds committed to but unexpended for redevelopment
studies.
The .complexity and significance- 'of the senior housing and recre-
ation facilities planned for the Old Civic Center Site warranted
an in-depth analysis of each proposal received by the City.
Of particular concern in this analysis was an assessment of the

financial feasibility of each proposal. To assist with this
assessment, Urban Projects was again called upon to provide
consultant services both because of the firm' s familiarity
with the City and because of the firm' s expertise in market
and feasibility studies for private development projects.
This extension of the contract will provide the assistance of
Urban Projects, Inc. through the selection and subsequent
lease negotiation.processes necessary to implement the plans
for the Old Civic Center Site. It will also provide these
services without the new commitment of City or HCD funds.
For these reasons, the contract extension is recommended.

SUBJECT: AMENDMENT TO AGENCY CONTRACT WITH URBAN PROJECTS, INC.
On June 30, the Agency's contract with Urban Projects, Inc. , for planning
and economic services will expire.
Urban Projects is currently assisting in the preparation of the Warner-
Goldenwest Small Lot Redevelopment Plan as well as a revised Downtown
Redevelopment Plan. We estimate that need for such services will continue
into next year. Approximately $17,200 remains of the current allocation
to this contract.
We, therefore, recommend that you adopt Resolution No. �y. extending the I}�'
existing contract to June 30, 1978 .

SUBJECT: CONSULTANT ASSISTANCE TO THE REDEVELOPMENT AGENCY
In a December memo, we indicated that invoices from Agency consultants
in excess of approved contract amounts could be expected due to the
unanticipated length and complexity of the public hearing process on
the proposed Downtown Redevelopment Plan. We have now received final
billings from both Joseph E. Coomes, Jr. , and Urban Projects, Incorporated
and find that insufficient funds are authorized to cover these costs.
The Agency authorized 'a $2500 contract with Coomes in September for
legal services leading to the October 11 public hearing. Because of
the continuation of the hearing through November and into January,
additional legal assistance was necessary. The final billing for
services totalled $6567.11. The authorized $2500 has been paid leaving
a balance due of $4067.11.
The contract authorization for UPI first approved in riarch, 1976, currently
totals $35,000. (This includes work on the Downtown Plan, Sunset Heights,
and the Small Lot areas. ) To date, $33, 648.17 in invoices have been paid
and $1, 351. 83 remains authorized but unencumbered. The final invoice sub-
mitted by UPI, however, totals $4,905.84 leaving a balance due of $3,554.01.
The performance of both consultants has been excellent and their services
invaluable during the tumultuous hearing period from October to January.
It is our recommendation that the Agency authorize payment of these final
invoices - totalling $7,621.12 - from existing Agency funds budgeted for
consultant services but not previously allocated.
New Authorizations
At the January 31 public hearing, the Council directed reconsideration of
the Downtown Plan during 1977. On February 10, the Redevelopment Com-
mission authorized a work program for preparation of a new plan that
will necessitate additional consultant assistance. This work program
(as attached) will require UPI participation in terms of reanalysis of
conditions of blight, preliminary feasibility studies for new boundary
proposals, negotiations with taxing agencies, and preparation of draft
plans through June, 1977, when the existing contract expires. UPI has
estimated a cost of $15,000 for this work on a time and materials basis.

Work is also proceeding - as directed by the Agency - on a redevelopment
plan for the Warner-Goldenwest small lot area and consultant assistance
is needed here, too. To conduct required economic feasibility studies,
assist in plan preparation, and coordinate implementation activities,
UPI proposes a cost of $5,000. Total contract authorizations needed for
UPI consultant work through June on both projects equal $20,000.
Legal assistance for both projects will also be necessary. Procedures
are now underway to receive proposals and the results of this effort will
be forthcoming as soon as possible.
The existing Redevelopment Agency consultant services budgeted is unable
to absorb these additional costs. As you know, the scope of activity in
redevelopment has gone far beyond what we envisioned last year when the
Agency budget was prepared. We therefore recommend that these consultant
services be funded from the $200,000 Agency Contingency Fund.
Last week, the Agency authorized $130,000 from the Contingency Fund for
purchase of property in the Downtown Area. This money will eventually
be returned to the Account, but even with its expenditure, sufficient
funds remain to cover our needed $20, 000 for UPI assistance as well as
future legal costs.
A Resolution authorizing the UPI contract amendment is attached.
Recommendations:
1. Authorize payment of final invoices in excess of contract amounts (UPI
$3,554.01; and Coomes, $4,067.11) from existing agency funds budgeted
for consultant services but not previously allocated.
2. In the preparation of redevelopment plans during 1977, outside expertise
will again be necessary. UPI has provided such expertise in the past
and is well acquainted with our on-going programs. Staff has been
extremely pleased with the performance of this consultant and recommends
that the Agency continue to utilize its talents.
3. An amendment should be executed with UPI increasing the dollar amount
of the existing contract by $20,000 for work on the Downtown Plan
through June, 1977, and work on the Warner-Goldenwest project.
4. The Agency should adopt Resolution authorizing execution of
above contract with funds from the Agency's contingency fund.

Gentlemen.
It is our understanding that your firm wishes to have the City of
Huntington Beach perform certain legal research and services in
connection with a proposed development which would be located within
the city of Huntington Beach in the vicinity of Goldenwest and Warner
Avenues.
The City, acting through its Redevelopment Agency, is willing to
authorize such services to be performed by the City's special
redevelopment counsel under its existing contract and to direct
such effort provided that prior to the authorization of any such
services, you deposit the sum of Five Thousand Dollars ($5,000) with
the City Treasurer. The City will then proceed to authorize the
research and legal services and will deduct the cost thereof from
the sum deposited. Any funds remaining after completion will be
returned to you by the City.
Any services directed by the City or its Redevelopment Agency under
this arrangement will be at the sole discretion of the City, its
officers, agents and employees . Neither the City, its special
redevelopment counsel, or its Redevelopment Agency warrants such
services in any way, nor does any party guarantee that the SUM
advanced by you_ will be adequate to complete any desired or requested
effort . Any • work product generated by the use of Much funds will

As requested by the City Administrator, this transmittal presents a status
report on costs related to Downtown Redevelopment activities including:
a. Summary of Redevelopment Agency Operating Expenses; b. Estimate of
personnel and other expenditures incurred by City departments; c. Status
of consultant contracts; and d. Estimate of future funding needs.
Agency Aerating Expenses
Attached Exhibit A itemizes Redevelopment Agency Fund expenditures from 114
July 1 to November 30. Of the beginning operating budget of $89,500
(HCD funds) , $52, 519. 81 has been spent or encumbered to date. The major
Agency expenditures were for legal notification and public information
($7,427.50) and consultant assistance ($37,500) . Approximately $36,980
remains in the Agency operating fund for the remainder of the fiscal year.
Department Expenditures
Agency fund expenditures do not present a total picture of costs incurred
as a result of the Downtown Redevelopment Plan. Considerable personnel
commitments have been made by many City departments, Exhibit B presents
an estimate of these costs since January 1.
While the bulk of the personnel costs crime from the Planning Department,
other department contributions were also significant. Total redevelop-
ment expenditures amounted to 4033 hours or $50,457. 00. These costs
may be charged to the Agency budget now, billed later, or absorbed by
each Department.
Consultant Contracts
During the course of the Downtown Redevelopment effort to date, $37,500
have been allocated for consultant assistance.
In March, 1976, the Redevelopment Agency authorized a $10,000 contract
with Urban Projects, Inc. for redevelopment-related economic analysis.
In June, 1976, the contract was expanded by $15,000 to cover additional
economic planning and financial studies related to the Downtown Redevelop-
ment Plan. In August, 1976, an additional $10,000 was approved to cover
costs relating to redevelopment planning in Sunset freights and the Small
Lot Areas. As of November 30, $28, 580 has been spent or encumbered. The
UPI contract will expire January 3, 1977. '

To insure UPI's services up to and including the January 31 public
hearing - and to continue work on the Sunset Heights and Small Lot
plans - it will be necessary to extend the contract prior to January 3.
If redevelopment activities continue past January 31, additional funding
will be required 'at a later date. Such funding, however, is budgeted
in the Redevelopment Agency account.
In September, the Agency authorized a $2,500 contract with consultant
Joseph E. Coomes, Jr. for legal services leading up to the October 11 '
public hearing on the Downtown Redevelopment Plan. fir. Coomes also
provided legal assistance leading to the November 18 public hearing.
To date, his expenses total an estimated $5,000, $2,500 over his original
contract. Air. Coomes is willing to abide by his original contract despite
his expanded scope of services. The Agency may wish to increase this
contract, however, to cover his actual cost.
Estimate of Future Funding Needs
.To date, approximately $104, 500 have been spent on Redevelopment activities.
If a Redevelopment Plan for the Downtown Area is to be pursued during 1977,
future funding needs should be anticipated. Our legal consultant has
estimated nine months for adoption of a plan. Assuming this time period,
the following expenditures may be required:
a. A continuation of Agency operating expenses already encountered
amounting to about $22, 000 (excluding contractual costs) .
b. A continuation of department expenditures at rates somewhat less than
currently required, approximately $30,500.
c. An additional $23,000 for economic consultation from Urban Projects.
d. An additional $10,000 for legal consultation.
These estimated expenditures (excluding expenses incurred by City Depart-
ments) amount to about $19,500 more than currently budgeted for Redevelop-
ment activities.
Recommendation:
It is the recommendation of the Planning Department that:
1. The Agency authorize payment of actual fees due fir. Coomes for his
services in relation to the public hearings of October 11 and November 18.
2. The attached Supplemental Agreement No. -3 be approved authorizing an
extension of time on the UPI contract to June 30, 1977. Any additional
funding needed after the January 31 public hearing could be funded from
the Agency budget.

3. Council be prepared after January 31 to allocate an additional $25,000
(perhaps from the $200,000 Agency contingency fund) to the Agency
Budget to cover costs related to adopting a Downtown Plan during 1977.

AGREEMENT FOR CONSULTANT SERVICES
Recently the City Council authorized the formation of two project
areas for redevelopment. At that time the Agency agreed on the
need for consultant assistance in the preparation of these two
additional redevelopment plans.
The attached supplemental agreement is to amend our present contract
with Urban Projects, Inc. to include the plans for these two
additional areas. - The supplement provides for a contract period
to run through January 2, 1977 and increases the contract amount
from $25, 000 to $35, 000. The additional $10,000 will cover complete
services to assist the Planning Staff in preparing the redevelopment
plans.
This is the second supplement to the Urban Projects, Inc. contract.
The original contract was approved March 3, 1976 for $10, 000 with
a 6 month time of performance. The first supplement was approved
on June 22, 1976 and increased this contract from $10,000 to $25,000
and the time of performance to 8 months. This was necessary to
cover the costs of analyzing the VTN plan and the change in the
scope of the financial analysis.
The Staff uses the services of Urban Projects only in those areas
where in-house capabilities are lacking. When their services are
used the Department is billed on a time and material basis. The
Planning Department feels this is the optimum manner in which the
City Planning Staff' s expertise can be supplemented. In addition, the
Staff feels that a base contract with supplements as needed provide
an effective way for the Agency to monitor the consultants' performance.
The Planning Department recommends that the Agency approve the
attached Supplemental Agreement No. 2.

Dear Mr. Harlow:
Urban Projects, Inc. (UPI) is pleased to submit this proposal to provide
supplementary redevelopment planning services in connection with two ad-
ditional proposed redevelopment projects: Sunset Heights, and the non-
contiguous-parcel Small Lot Redevelopment Area.
We understand from conversations with members of your staff that the
Agency desires, with respect to these two new projects, consulting ser-
vices essentially similar to those currently underway for the downtown
redevelopment project. The following is presented to summarize the nature
and intent of such consulting services:
1 . Financial Feasibility Analysis: Working in cooperation with your plan-
ning department as to the physical plan and related criteria, we will
evaluate the financial feasibility of each proposed project based upon
Agency cost versus land sale revenues as well as cash flow requirements.
It will be important in each of these proposed project areas for the
Agency to have an assessment of total maximum potential costs as com-
pared to the likely return from the sale of acquired land given the re-
uses to which such land may be put under existing General Plan and zon-
ing criteria. While it may not be the intent of the Agency to assemble
all land included within the project it nevertheless will be important
that such cost be known should such an eventuality indeed occur.
2. Consultation on Redevelopment Plan Preparation: UPI will provide guid-
ance, direction and such supporting staff work as required by the Agency
in the preparation of each Redevelopment plan and its accompanying Re-
port to City Council , its Owner Participation Rules and Environmental
Impact Reports, Relocation Plans and the like.

In each instance our work shall be performed in a logical sequence
and delivered to the Agency and/or Agency Planning Staff in written
letter, memorandum, and/or verbal ccmmunication as appropriate to
the subject matter. Services will to performed upon specific request
of the Agency Contracting Officer or his designated representative.
In addition, we shall be available to attend meetings as requested
by the Agency representative.
It is our understanding that you desire these supplementary consulting
services to be contracted as a supplement to the existing agreement for
services. Therefore,-we are prepared to provide same at the hourly rates
listed in Exhibit A of Agreement No. 1. In recognition of the expanded
scope of services reflected in this proposed Supplement No. 2 we will sug-
gest that total cost for -these two new project areas be anticipated in an
amount not to exceed $10,000.
Enclosed herewith please find a draft Supplemental Agreement reflecting
the content of this proposal .

RE: EXTENDING CONTRACT WITH URBAN PROJECTS, INC.
On March 3, 1976, the Redevelopment Agency entered into a contract
for professional services with Urban Projects, Inc. The intent
of the contract was for financial analysis and services in areas
where the City Staff lacked redevelopment expertise. The contract
was on a time and material basis with a dollar limit of $10,000.
This was intended to suffice through the adoption of the Redevelop-
ment Plan. It is now evident that an additional $15,000 will have
to be added to the contract to get through the plan adoption phase.
The reasons for the increase are as follows:
1. The direction of the financial analysis changed with the
inclusion of the April 6, 1976 VTN concept.
2. The original estimate was low as the financial analysis was
expanded to include the Townlot Area resulting in the project
consuming more man hours than anticipated.
3. UPI was directed to analyze the April 6, 1976 VTN concept,
a cost not anticipated when the contract was let.
The funds for this will come out of the $88,500 first year funds
HCD loan to the Redevelopment Agency that was approved by the
City Council March 29, 1976.
The staff recommends that the Redevelopment Agency approve the
attached resolution amending the professional services agreement
with Urban Projects, Inc. to provide for a dollar limit of $25,000
(the original $10,000 plus the requested $15,000 addition) .

activities;
NOW, THEREFORE, the parties hereby mutually agree as follows:
II. SERVICES - SCOPE OF WORK
Upon specific request the Agency Contracting Officer (hereinafter
referred to as "ACO") or his designated representative, Consultant
shall attend meetings, prepare work programs, prepare financial
and economic analyses, provide criteria, guidance and advice on
the preparation of a Redevelopment Plan. Such work shall be per-
formed in a logical sequence, and delivered to Agency in written
letter, memorandum and verbal communication as appropriate to the
request and the subject matter. Consultant shall use those of its
staff members who in its judgment are best qualified to carry out
the work: Consultant shall be given reasonable notice of required
attendance at meetings. ACO will keep Consultant reasonably informed
of schedules, programs in which it is expected to participate, and
shall promptly furnish information to Consultant as needed in the
performance of Consultant's work.
III. TIME OF COMPLETION
Consultant' s work shall extend over a period of six calendar
months from the original date of authorization. This contract
shall terminate on that date unless otherwise extended by mutual
consent of the parties. The date of authorization shall be the
date of execution of this Agreement by Agency's duly authorized
representative.
IV. CONSULTANT'S COMPENSATION
As full payment for services to be rendered under this Agreement,
Consultant shall be paid in the amounts and at the times described
in this paragraph. For the services described above under paragraph II,
Consultant shall be paid at a total cost not to exceed $10,000.00
for the time of personnel employed to carry out the work at the
hourly rates listed in Exhibit A, attached hereto, entitled "Billing
Rates" . The hourly rates listed cover Consultant's personnel costs,
office overhead, profit, local communication expenses between
Consultant and the Agency, and local travel of Consultant's personnel.
Within ten (10) days after the end of each calendar month following
the date of this Contract, Consultant shall submit an itemized invoice
to ACO listing the name, title of personnel and hours spent rendering
the services called for, and the charges therefore, computed at the
rates shown in Exhibit A attached. Agency shall pay Consultant's
invoices within a ' reasonable time after receipt of said invoices.
In addition to the hourly rates described above, Consultant
shall be reimbursed at his actual cost for local communication
expenses in connection with solicitations, reproduction in quantity
of solicitation letters, offerings, brochures, plans and other
materials (other than ordinary letters and memos) required in
carrying out the assignment and for any travel or communication
expenses outside of the Los Angeles area, said travel or cormunicati.on
expenses subject to prior written approval by the ACO. Consultant
shall be reimbursed at cost for any subcontract services paid for
by Consultant, required from planners, designers, engineers, graphics
specialists, etc. Subcontract services shall receive prior written
approval by the ACO. -

V. TERMINATION
Either party may terminate this Agreement upon thirty days
written notice to the other. In the event of such termination by
Agency, Consultant shall be compensated for all -prior authorized services
performed and expenses incurred to the date of termination less
any amounts theretofore paid by Agency. In the event of termination
by Consultant, Consultant shall be compensated for its services
and expenses incurred to the date of termination as reflected in
a written report prepared by Consultant addressed to the Agency
specifying the reasons for termination and the services rendered
up to that point. Upon termination, all completed work shall become
the property of the Agency.
VI. SUCCESSORS AND ASSIGNS
Agency reposes personal confidence in Consultant and has
contracted for the personal service of Consultant. Accordingly,
Consultant shall not assign, transfer, convey or otherwise dispose
of this Agreement or any title or interest therein nor sublet nor
sub-contract any of the work provided for herein without first ob-
taining written consent from the Agency Director.
VII. NOTICES
Notices pursuant to this Agreement shall be given by United
States Mail, postage prepaid, addressed to the parties hereto as
follows:

RE: CONSULTING SERVICES FOR REDEVELOPMENT AGENCY
On October 6, 1976, the Planning Department forwarded the attached
recommendation that Urban Projects Inc. be contracted with to
provide assistance to City Staff in those portions of the redevelop-
ment process that City Staff does not have the expertise
needed to move the redevelopment effort along in an expeditious `
manner.
The October 6, 1975, request was referred to the Economic Advisory
Commission since it involved entering a contract in excess of funds
in the Downtown Development Account. This was considered at the
November 11, 1975, EAC meeting at which time the EAC stated that
if the contract involved unbudgeted funds there was no money avail-
able for it. The Planning Department requested this to be continued
to work out a way to finance the contract and the EAC concurred.
However, only one EAC meeting has been held since then and the
Urban Projects Inc. representative was unable to attend that meeting.
The result of this delay is that the Planning Department has passed
the point where outside expertise is desirable and is now an
absolute necessity if this effort is to move expeditiously. Thus
the Department is resubmitting this item to the City Council with
some modifications. The proposal is as follows:
1. That Urban Projects Inc. be retained on a time and materials
contract to assist Staff only when the Staff lacks the expertise
to perform the function or reaches a point where the redevelop-
ment effort is being held up.
Funds for this - are presently available in the Downtown Develop-
ment Account, with approximately $10,000 unencumbered as of
February 1, 1976. This will probably be sufficient to carry
through the fiscal year. In addition the Council concurred
with setting a public hearing to transfer $89,500 of 1975 HCD
funds to Downtown Redevelopment. A portion of these funds
could be used for this purpose if the $10,000 is exceeded.

2. The Department feels that the City Council should move this
item along by doing one of the following:
a. Authorizing advertisements for bids if that is the only
way this contract can be let
or
b. Authorizing Staff to have a time and materials contract
with Urban Projects Inc. before the City Council on
March 1, 1976 for approval.
The Department recommends that the City Council accept recommendation
b. as the most logical and expeditious manner in which to proceed.

In order to move ahead with the adoption of a- redevelopment
plan for the Downtown Area, it is . now essential to retain
outside expertise on a consultant basis. As previously
indicated to the City Council, the Staff feels the need.- to
have redevelopment experts retained to assist in these
final phases of preparing the redevelopment plan.
The project area boundary has been established and it is
anticipated that the General Land Use and Circulation Plan
�.� for the project area will be before the Council shortly. The
next step is for the Council to appoint a Project Area Committee
to advise in the formulation of a Preliminary Redevelopment
Plan. Concurrent with the activation of the Project Area
Committee is when Staff- feels that the redevelopment consultant
should begin to provide planning services to the City.
Briefly, the Staff feels the consultant should act as an
extension of the Staff, providing assistance in the technical
aspects of the establishment and initial operations of a
redevelopment agency. Generally, the areas where assistance
is needed is in community relations and public information on
the redevelopment process, real estate economics and marketing
of the redevelopment plan, and financial feasibility and operation
of the redevelopment agency.
Specifically, the consultant would be required to perform the
following:
• Assist in the documentation of physical and economic blight.
• Perform tax increment feasibility study.
• Assist in working with the Project Area Committee.
. Prepare the redevelopment plan, including all necessary legal
components to meet the California Redevelopment Law require-
ments.

. Preparation of the Environmental Impact Report on the
Redevelopment Plan.
In requesting proposals for the Economic Study that is currently
underway, the Staff extensively researched qualified consultants
and prepared a list of potential consultants, ten of which sub-
mitted proposals. The four consultants interviewed were
chosen not only on their ability to provide the basic economic
study, but also for their ability to continue as a redevelop-
ment consultant in the event that the Redevelopment Agency
was activated.
There are many other highly qualified consulting firms whose
names are associated with redevelopment. Most of the large
firms are primarily multi disciplinary - Planning firms who
also have redevelopment capabilities. Most of them, however,
joint venture with other firms to put together a full team
for redevelopment projects. With the planning of previous
years, as well as recent work by VTN and the Planning Department,
the Staff does not see the need to engage a multi disciplinary
firm, but rather a firm that expressly provides assistance
in the formation and operation of a redevelopment agency.
The performance of Urban Projects Inc. in the Economic Study
has been excellent and the Staff would recommend engaging
this firm as an extension .of the initial service they are provid5...,4.
The firm and staff members are, by now, .well acquainted with
the Downtown Planning Area and retention of this firm would
provide continuity. Also, since time is. a critical factor in
establishing the Redevelopment Plan, retaining this firm would
save time in not having to orient a new firm as well as
eliminating the request for proposal and interview process.
t However, if the Council wishes to open consideration to other
qualified firms, Staff recommends following the established
procedure of requesting proposals from qualified consultants and
interviewing firms submitting the best proposals. It is
estimated that this would take a minimum of five weeks. Attached
is a list of the consultants originally submitting proposals
for the current economic study as well as a list of larger
multi disciplinary firms with redevelopment capabilities.
