SUBJECT: Approve Professional Services Contracts for On -Call Civil Engineering
Design Services with AECOM Corp., Lee and Ro, Inc., Tetra Tech,
Inc., Pacific Advanced Civil Engineering, Inc. (PACE), and VA
Consulting, Inc.
Statement of Issue: The Public Works Department requires professional civil engineering
services on an on -call or as -needed basis to support staff for the design and construction of
capital improvement projects.
Financial Impact: Funds are available within the budgeted capital improvement projects.
Additional City Council authorization will be requested for unbudgeted projects if necessary.
Recommended Action: Motion to:
A) Approve and authorize the Mayor and City Clerk to execute Professional Services
Contracts between the City of Huntington Beach and AECOM Corporation, Lee and Ro, Inc.,
and Tetra Tech, Inc. for On -Call Civil Engineering Design Services in the amount of $750,000
each;
B) Approve and authorize the Mayor and City Clerk to execute Professional Services
Contracts between the City of Huntington Beach and Pacific Advanced Civil Engineering, Inc.
(PACE) and VA Consulting, Inc. for On -Call Civil Engineering Design Services in the amount of
$500,000 each; an
C) Authorize the City Manager to approve a one-year time extension.

REQUEST FOR COUNCIL ACTION

Analysis: The City's Capital Improvement Program (CIP) is approximately $35 million in
Fiscal Year 2011/12. Water improvement projects are the largest expenditure category
followed by sewer improvement projects, street improvement projects, and storm drain
improvement projects. Design for the projects is assigned to firms specializing in these
disciplines, as it is not possible to complete this large workload with just City staff. It is in the
City's interest to retain qualified firms for capital improvement project design and engineering.
Project assignments are rotated among the consultants, taking advantage of each
consultant's specializations. Project assignments over $50,000 associated with these on -
call contracts will require City Manager approval.
Proposals were requested and submitted in compliance with Chapter 3.03 of the Huntington
Beach Municipal Code. Thirty (30) proposals were received, and ranked based on
qualifications listed in the proposals. The proposed new contracts allow for a three-year term
with a total not to exceed amount per contract. Funding sources will be from capital
improvement project accounts, using the approved project budgets.
Staff does its best to align expected design schedules with the terms of the consultant
agreement. However, there are circumstances such as availability of grant funds that result
in project completion going past contract terms. Therefore, staff is requesting City Council to
also authorize the City Manager to discretionarily approve a one-year time extension to allow
consultants to complete assigned projects.
An evaluation has been completed to estimate the services required for the next three years
and is provided in the following chart. In addition to the projected services required the chart
also provides the previous three years use of consultant services.

PROFESSIONAL SERVICES CONTRACT BETWEEN
THE CITY OF HUNTINGTON BEACH AND
VA CONSULTING, INC.
FOR
ON CALL CIVIL ENGINEERING SERVICES
THIS AGREEMENT ("Agreement") is made and entered into by and between the
City of Huntington Beach, a municipal corporation of the State of California, hereinafter
referred to as "CITY, and VA Consulting, Inc... a California corporation, hereinafter referred
to as "CONSULTANT."
WHEREAS, CITY desires to engage the services of a consultant to provide civil
engineering services on an as -needed basis; and
Pursuant to documentation on file in the office of the City Clerk, the provisions of the
Huntington Beach Municipal Code, Chapter 3.03, relating to procurement of professional
service contracts have been complied with; and
CONSULTANT has been selected to perform these services,
NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows:
I. SCOPE OF SERVICES
CONSULTANT shall provide all services as described in Exhibit "A," which
is attached hereto and incorporated into this Agreement by this reference. These services
shall sometimes hereinafter be referred to as the "PROJECT."

shall represent it and be its sole contact and agent in all consultations with CITY during the
performance of this Agreement.

2. CITY STAFF ASSISTANCE
CITY shall assign a staff coordinator to work directly with CONSULTANT in
the performance of this Agreement.
3. TERM: TIME OF PERFORMANCE
Time is of the essence of this Agreement. The services of CONSULTANT are
to commence on 114` A4 �, 20// (the "Commencement Date"). This
Agreement shall automatically terminate three (3) years from the Commencement Date,
unless extended or sooner terminated as provided herein. All tasks specified in Exhibit "A"
shall be completed no later than three (3) years from the Commencement Date. The time for
performance of the tasks identified in Exhibit "A" are generally to be shown in Exhibit "A."
This schedule may be amended to benefit the PROJECT if mutually agreed to in writing by
CITY and CONSULTANT.
In the event the Commencement Date precedes the Effective Date,
CONSULTANT shall be bound by all terms and conditions as provided herein.
4. COMPENSATION
In consideration of the performance of the services described herein, CITY
agrees to pay CONSULTANT on a time and materials basis at the rates specified in Exhibit
"B," which is attached hereto and incorporated by reference into this Agreement, a fee,
including all costs and expenses, not to exceed Five Hundred Thousand Dollars
($500,000.00).
5. EXTRA WORK
In the event CITY requires additional services not included in Exhibit "A" or
changes in the scope of services described in Exhibit "A," CONSULTANT will undertake

such work only after receiving written authorization from CITY. Additional compensation
for such extra work shall be allowed only if the prior written approval of CITY is obtained.
6. METHOD OF PAYMENT
CONSULTANT shall be paid pursuant to the terms of Exhibit "B "
7. DISPOSITION OF PLANS ESTIMATES AND OTHER DOCUMENTS
CONSULTANT agrees that title to all materials prepared hereunder, including,
without limitation, all original drawings, designs, reports, both field and office notices,
calculations, computer code, language, data or programs, maps, memoranda, letters and other
documents, shall belong to CITY, and CONSULTANT shall turn these materials over to
CITY upon expiration or termination of this Agreement or upon PROJECT completion,
whichever shall occur first. These materials may be used by CITY as it sees ft.
8. HOLD HARMLESS
CONSULTANT hereby agrees to protect, defend, indemnify and hold
harmless CITY, its officers, elected or appointed officials, employees, agents and volunteers
from and against any and all claims, damages, losses, expenses, judgments, demands and
defense costs (including, without limitation, costs and fees of litigation of every nature or
liability of any kind or nature) arising out of or in connection with CONSULTANT's (or
CONSULTANT's subcontractors, if any) negligent (or alleged negligent) performance of this
Agreement or its failure to comply with any of its obligations contained in this Agreement by
CONSULTANT, its officers, agents or employees except such loss or damage which was
caused by the sole negligence or willful misconduct of CITY. CONSULTANT will conduct
all defense at its sole cost and expense and CITY shall approve selection of CONSULTANT's
counsel. This indemnity shall apply to all claims and liability regardless of whether any

insurance policies are applicable. The policy limits do not act as limitation upon the amount
of indemnification to be provided by CONSULTANT.
9. PROFESSIONAL LIABILITY INSURANCE
CONSULTANT shall obtain and furnish to CITY a professional liability
insurance policy covering the work performed by it hereunder. This policy shall provide
coverage for CONSULTANT's professional liability in an amount not less than One Million
Dollars ($1,000,000.00) per occurrence and in the aggregate. The above -mentioned insurance
shall not contain a self -insured retention without the express written consent of CITY;
however an insurance policy "deductible" of Ten Thousand Dollars ($10,000.00) or less is
permitted. A claims -made policy shall be acceptable if the policy further provides that:
A. The policy retroactive date coincides with or precedes the initiation of
the scope of work (including subsequent policies purchased as renewals
or replacements).
B. CONSULTANT shall notify CITY of circumstances or incidents that
might give rise to future claims.
CONSULTANT will make every effort to maintain similar insurance during
the required extended period of coverage following PROJECT completion. If insurance is
terminated for any reason, CONSULTANT agrees to purchase an extended reporting
provision of at least two (2) years to report claims arising from work performed in connection
with this Agreement.
If CONSULTANT fails or refuses to produce or maintain the insurance
required by this section or fails or refuses to furnish the CITY with required proof that
insurance has been procured and is in force and paid for, the CITY shall have the right, at the
CITY's election, to forthwith terminate this Agreement. Such termination shall not effect

Consultant's right to be paid for its time and materials expended prior to notification of
termination. CONSULTANT waives the right to receive compensation and agrees to
indemnify the CITY for any work performed prior to approval of insurance by the CITY.
10. CERTIFICATE OF INSURANCE
Prior to commencing performance of the work hereunder, CONSULTANT
shall furnish to CITY a certificate of insurance subject to approval of the City Attorney
evidencing the foregoing insurance coverage as required by this Agreement; the certificate
shall:
A. provide the name and policy number of each carrier and policy;
B. state that the policy is currently in force; and
C. shall promise that such policy shall not be suspended, voided or
canceled by either party, reduced in coverage or in limits except after
thirty (30) days' prior written notice; however, ten (10) days' prior
written notice in the event of cancellation for nonpayment of premium.
CONSULTANT shall maintain the foregoing insurance coverage in force until
the work under this Agreement is fully completed and accepted by CITY.
The requirement for carrying the foregoing insurance coverage shall not
derogate from CONSULTANT's defense, hold harmless and indemnification obligations as
set forth in this Agreement. CITY or its representative shall at all times have the right to
demand the original or a copy of the policy of insurance. CONSULTANT shall pay, in a
prompt and timely manner, the premiums on the insurance hereinabove required.
11. INDEPENDENT CONTRACTOR
CONSULTANT is, and shall be, acting at all times in the performance of this
Agreement as an independent contractor herein and not as an employee of CITY.

CONSULTANT shall secure at its own cost and expense, and be responsible for any and all
payment of all taxes, social security. state disability insurance compensation, unemployment
compensation and other payroll deductions for CONSULTANT and its officers, agents and
employees and all business licenses, if any, in connection with the PROJECT and/or the
services to be performed hereunder.
12. TERMINATION OF AGREEMENT
All work required hereunder shall be performed in a good and workmanlike
manner. CITY may terminate CONSULTANT's services hereunder at any time with or
without cause, and whether or not the PROJECT is fully complete. Any termination of this
Agreement by CITY shall be made in writing, notice of which shall be delivered to
CONSULTANT as provided herein. In the event of termination, all finished and unfinished
documents, exhibits, report, and evidence shall, at the option of CITY, become its property
and shall be promptly delivered to it by CONSULTANT.
13. ASSIGNMENT AND DELEGATION
This Agreement is a personal service contract and the work hereunder shall not
be assigned, delegated or subcontracted by CONSULTANT to any other person or entity
without the prior express written consent of CITY. If an assignment, delegation or
subcontract is approved, all approved assignees, delegates and subconsultants must satisfy the
insurance requirements as set forth in Sections 9 and 10 hereinabove.
14. COPYRIGHTS/PATENTS
CITY shall own all rights to any patent or copyright on any work, item or
material produced as a result of this Agreement.

15. CITY EMPLOYEES AND OFFICIALS
CONSULTANT shall employ no CITY official nor any regular CITY
employee in the work perfonned pursuant to this Agreement. No officer or employee of
CITY shall have any financial interest in this Agreement in violation of the applicable
provisions of the California Government Code.
16. NOTICES
Any notices, certificates, or other communications hereunder shall be given
either by personal delivery to CONSULTANT's agent (as designated in Section I
hereinabove) or to CITY as the situation shall warrant, or by enclosing the same in a sealed
envelope, postage prepaid, and depositing the same in the United States Postal Service, to the
addresses specified below. CITY and CONSULTANT may designate different addresses to
which subsequent notices, certificates or other communications will be sent by notifying the
other party via personal delivery, a reputable overnight carrier or U. S. certified mail -return
receipt requested:

17. CONSENT

When CITY's consent/approval is required under this Agreement, its
consent/approval for one transaction or event shall not be deemed to be a consent/approval to
any subsequent occurrence of the same or any other transaction or event.

18. MODIFICATION
No waiver or modification of any language in this Agreement shall be valid
unless in writing and duly executed by both parties.
19. SECTION HEADINGS
The titles, captions, section, paragraph and subject headings, and descriptive
phrases at the beginning of the various sections in this Agreement are merely descriptive and
are included solely for convenience of reference only and are not representative of matters
included or excluded from such provisions, and do not interpret, define, limit or describe, or
construe the intent of the parties or affect the construction or interpretation of any provision of
this Agreement.
20. INTERPRETATION OF THIS AGREEMENT
The language of all parts of this Agreement shall in all cases be construed as a
whole, according to its fair meaning, and not strictly for or against any of the parties._ If any
provision of this Agreement is held by an arbitrator or court of competent jurisdiction to be
unenforceable, void, illegal or invalid, such holding shall not invalidate or affect the
remaining covenants and provisions of this Agreement. No covenant or provision shall be
deemed dependent upon any other unless so expressly provided here. As used in this
Agreement, the masculine or neuter gender and singular or plural number shall be deemed to
include the other whenever the context so indicates or requires. Nothing contained herein
shall be construed so as to require the commission of any act contrary to law, and wherever
there is any conflict between any provision contained herein and any present or future statute,
law, ordinance or regulation contrary to which the parties have no right to contract, then the
latter shall prevail, and the provision of this Agreement which is hereby affected shall be

curtailed and limited only to the extent necessary to bring it within the requirements of the
law.
21. DUPLICATE ORIGINAL
The original of this Agreement and one or more copies hereto have been
prepared and signed in counterparts as duplicate originals, each of which so executed shall,
irrespective of the date of its execution and delivery, be deemed an original. Each duplicate
original shall be deemed an original instrument as against any parry who has signed it.
22. IMMIGRATION
CONSULTANT shall be responsible for full compliance with the immigration
and naturalization laws of the United States and shall, in particular, comply with the
provisions of the United States Code regarding employment verification.
23. LEGAL SERVICES SUBCONTRACTING PROHIBITED
CONSULTANT and CITY agree that CITY is not liable for payment of any
subcontractor work involving legal services, and that such legal services are expressly outside
the scope of services contemplated hereunder. CONSULTANT understands that pursuant to
Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel
for CITY; and CITY shall not be liable for payment of any legal services expenses incurred
by CONSULTANT.
24. ATTORNEY' S FEES
In the event suit is brought by either party to construe, interpret and/or enforce
the terms and/or provisions of this Agreement or to secure the performance hereof, each party
shall bear its own attorneys fees, such that the prevailing party shall not be entitled to recover
its attorney's fees from the nonprevailing party.

25. SURVIVAL
Terms and conditions of this Agreement, which by their sense and context
survive the expiration or termination of this Agreement, shall so survive.
26. GOVERNING LAW
This Agreement shall be governed and construed in accordance with the laws
of the State of California.
27. SIGNATORIES
Each undersigned represents and warrants that its signature hereinbelow has
the power, authority and right to bind their respective parties to each of the terms of this
Agreement, and shall indemnify CITY fully for any injuries or damages to CITY in the event
that such authority or power is not, in fact, held by the signatory or is withdrawn.

28. ENTIRETY
The parties acknowledge and agree that they are entering into this Agreement
freely and voluntarily following extensive arm's length negotiation, and that each has had the
opportunity to consult with legal counsel prior to executing this Agreement. The parties also
acknowledge and agree that no representations, inducements, promises, agreements or
warranties, oral or otherwise, have been made by that party or anyone acting on that party's
behalf, which are not embodied in this Agreement, and that that party has not executed this
Agreement in reliance on any representation, inducement, promise, agreement, warranty, fact
or circumstance not expressly set forth in this Agreement. This Agreement, and the attached
exhibits, contain the entire agreement between the parties respecting the subject matter of this
Agreement, and supersede all prior understandings and agreements whether oral or in writing
between the parties respecting the subject matter hereof.

29. EFFECTIVE DATE
IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be
executed by and through their authorized officers. This Agreement shall be effective on the
date of its approval by the City Council. This Agreement shall expire when terminated as
provided herein.

EXHIBIT "A"
A. STATEMENT OF WORK: (Narrative of work to be performed)
CONSULTANT shall provide consulting services on an 'as -needed' basis for STREET
IMPROVEMENT & WATER IMPROVEMENT projects to be determined during the term of
the agreement. During the term of this agreement, CITY may electe to solicit proposals from
CONSULTANT. CITY shall issue task order for each project based upon the scope of servces,
work sccedule, and fee proposal submitted to CITY for its review and approval.
B. CONSULTANT'S DUTIES AND RESPONSIBILITIES:
CONSULTANT's duties and responsibilities shall follow provisions specified in the City of
Huntington Beach On -Call Civil Engineering Services Scope of Work (Exhibit A.1). Detailed
services shall include but is not limited to the following scope of work shown in Exhibit A.2
Upon award and the contract period, if CONSULTANT chooses to assign different personnel to
the project, CONSULTANT must submit the names and qulaification of these staff to CITY for
approval before commencing work.
C. CITY'S DUTIES AND RESPONSIBILITIES:
I. Furnish scope of work request for each project assigned.
2. Furnish construction plans and specifications to the consultant.
D. WORK PROGRAM/PROJECT SCHEDULE:
A project schedule will be developed for each project assigned by CITY.

City of Huntington Beach On -Call Engineering Services Scope of Work
In general, the Consultant shall perform civil engineering services on an "on call or as -
needed" basis for various projects assigned by the City. The scope of work for any one
project may involve all phases of project development and may include but not be limited
to the following:
Preliminary Engineering
s Prepare alternative preliminary layouts, surveying, geotechnical services, and
estimates of probable cost for alternatives.
e Prepare engineering details and calculations.
® Present alternatives and provide recommendations and analyses of the advantages
of each alternative.
Permits
® Assist the City in obtaining approvals from applicable agencies including County
of Orange, CALTRANS, City of Huntington Beach Planning Department for
environmental, and/or other permits as may be required.
® Construction Documents
® Prepare engineering calculations and designs, plans, specifications, cost estimates,
and contract bidding documents. The City will provide the General Provisions and
bid forms in a Microsoft Word and/or Excel Version 2003 format; the Consultant
shall modify the documents by adding the necessary special provisions and
project bid schedule. The City shall review the construction documents at the
preliminary engineering, sixty (60%), ninety percent (90%), and final documents
stages or as deemed necessary by the City. All project calculations,
supporting/reference information, correspondence, photos, Microsoft office files,
etc. shall be provided to City with the final submittal or upon request.
® Drawings shall be prepared in a standard engineering scale using AutoCAD
version 2007. All drawings shall have their bearings based upon and translated to
be consistent with the California Coordinate System (Zone 6). Final Drawings
shall be wet signed and stamped on 24-inch by 36-inch Mylar media. All project
AutoCAD files (i.e. drawings, x-refs, blocks, fonts, etc.) shall be provided to the
City on CD or DVD format. Construction specifications and bidding documents
shall be provided in Microsoft Word Version 2007.
Bidding Stage
s Assist the City in answering bidders' questions, attend pre -bid conferences and
job walks, perform constructability review of other firms or own plans and
specifications, prepare addenda, analyze bids, and recommend award.
Construction Stage
v Attend pre -construction conference.
o Monitor construction schedule, visit construction site as required for progress and
quality of work evaluation.
o Assist the engineer, contractor, and construction manager/contract administrator
with interpretation of the plans and specifications, analysis of changed
conditions, development of corrective action, review of shop drawings and
other submittals, and the review and negotiation of change orders.
® Upon completion of construction, the Consultant shall prepare "as -built" drawings
to the satisfaction of the City. Additionally, the Consultant may also be
required to perform construction staking.
Special Requirement: Due to the fact that some of the City projects will be funded by
Federal or State grants, the selected consulting firm must comply with requirements of
Caltrans' Local Assistance Procedures Manual and the City of Huntington Beach Quality
Assurance Plan for Federal and State Funded Projects and all applicable prevailing wage
laws.

E. METHODOLOGY

ON -CALL CIVIL ENGINEERING DESIGN SERVICES
The VA Team approach to a project assignment will be to satisfy the City's objectives in a timely and cost
effective manner through diligent project management, team work and application of state of the art technical
skills and analysis tools by highly qualified staff. All services will be performed in a manner to be approved
by the City under direct guidance of City staff. City will be included in all communications regarding all stages
of project. The key element in the management of the project will be to assign experienced staff who will
dedicate their efforts to advance the design in an efficient and timely manner, using a comprehensive Project
Work Plan (PWP) and schedule. With this in mind, VA has assembled a project team who can fulfill all of
these goals. The core VA team will be comprised of experienced individuals who will be dedicated to the
assignment from start to finish, participating in all aspects of the work.
In response to a defined City scope for a specific assignment, the VA Team of appropriately skilled staff will
be assembled and a detailed PWP, schedule, and cost estimate will be prepared for review and approval by
the City. If necessary, VA will meet with the City to receive City staff input, review and refine the scope of
services and schedule, and to negotiate the corresponding contract. As part of this process, coordination
with all agencies and stakeholders involved with the project, and incorporation of their interests/comments
into the development of Project Concept Design and Final PS&E will be included as part of scope of wrok for
the project. Once the City agrees with the project scope and budget, and the notice to proceed is issued, the
VA Team will undertake the project tasks and manage the project through to satisfactory completion.
During the course of work all documents will also undergo a thorough constructability review and QA/QC by
our senior staff. Value Engineering services will be conducted to explore opportunities to reduce costs for
the City and to add value to the project. Prior to each submittal, meticulous attention to detail will ensure that
the plans from each design discipline are well coordinated. This will be accomplished both by electronic file
sharing, face-to-face coordination meetings, and in-house quality control reviews prior to each project
progress phase deliverables. The QA/QC will be performed by a separate senior level team under the
direction of VA's QA/QC manager, the comments will be incorporated into the project documents and the
final review will be will be made, documented and signed by VA's QA/QC manager prior to each submittal to
City and/or other agencies.
Project control will be established and maintained by the use of good communication, project management
software (Deltek Vision, Microsoft Office Suite, etc.), internet based tools and accurate documentation. We
understand that meeting submittal deadlines and schedules is critical to the successful implementation of
projects. Our commitment and success in meeting project deadlines is reflected in VA's repeat business rate of
over 75%. VA's methodology in monitoring and controlling projects is provided below.
Labor Resource Requirements and Allocation
The anticipated labor -hour requirements and allocations will be developed for each project when details are
known to be able to manage multiple projects simultaneously. The VA personnel assigned to each
assignment will be available to commit the required hours for project completion with additional personnel
available should the need arise.
Cost Control System
VA has a computerized accounting system which maintains detailed records by individual and activity, and
allows tasks to be monitored against established budgets. The Project Manager receives regular reports to
track project status. The system is totally integrated and easily audited. Supporting data can be provided to
the City in any format required.

Quality Control Plan

A comprehensive quality control plan will be developed specifically for a project. The quality control plan will
emphasize the need to clearly define requirements and standards, and the need to independently check all
work before it is issued to the City or other reviewing agencies. An independent senior manager from VA will
oversee the quality control program and will audit the quality activities to see that all checks are completed
properly. The VA quality control program will ensure that the project documents:
m Conform with the contract documents and scope of work;
• Are neat, well organized, clear, concise, and complete;
is Are technically and grammatically correct;
a Comply with generally accepted standards of engineering and applicable laws;
® Are signed, dated, and stamped as required; and
13 Are consistent with other related plans.
Software and Output Capabilities
VA has the required state of the art software programs and output capabilities to deliver quality work
products in both hard copies and electronic format.
Sustainable Design
VA is committed to sustainable design, making it a core part of our professional practice by providing an
environmentally sensitive solution to our client's projects. VA is a member of the U. S. Green Building
Council and has four (4) LEED Accredited Professionals on staff. VA has designed innovative pavement
recycling projects, leading storm water management projects catching first flush storm runoff and dry
weather nuisance flows with water quality wetlands, and recharging groundwater through catching all storm
water in infiltration basins. Recognizing environmental impacts, we create mitigating designs at each stage of
the project that will reduce the negative impact without substantially increasing the bottom line. VA supports
sustainable design practices through the following services:
The Scope of Work for any one project may involve all phases of project development. For most general on -
call engineering services requests, VA will prepare preliminary engineering and/or design concepts, obtain
approval of preliminary engineering and/or design concepts from City Project Manager prior to start of final
engineering, and prepare final engineering design plans, reports, specifications, and estimates (PS&E) for
construction. The phases of work for a typical project will include Preliminary Engineering, Design
Development (Final PS&E documents) and Construction Support Services.
The objective of the Preliminary Engineering Phase is to identify and address major project design issues
before work commences on the construction documents. To initiate this phase, the applicable VA Team
representatives will meet with City Staff to gain an understanding of the project objectives, timing, budget,
and views of internal and external stakeholders (for example, County, State, etc.). Research and discovery
will be performed to understand existing conditions, development procedures and criteria, and to identify
opportunities and constraints. We will review the available plans and supporting documents and provide a
report summarizing our findings and recommendations for the project design. VA will then develop
alternative conceptual plans, technical studies and cost estimates as required. Typically a preferred
alternative is selected and developed into preliminary plans (approximately 35% level complete construction
documents). The conceptual studies and plans developed during the Preliminary Engineering Phase of the
work will be used as the basis for the Design Development drawings and documents.
This Preliminary phase of work is instrumental in confirming design objectives and bringing to light project
opportunities for cost savings. We believe we can also expedite the design and approval process by
thorough research and design efforts in the Preliminary Phase, and through early examination of all
opportunities and constraints in collaboration with the City Project Team.

The Design Development Phase of work will be used to develop the PS&E that will comprise the final
construction documents. The Design Development Phase will involve producing progress plans,
specifications, and estimates at the 60%, 90% and 100% complete levels, and submittal to the appropriate
City Departments and/or other required Agencies. As part of this phase, VA will assist the City in obtaining
permits and approval from applicable agencies such as the County of Orange, Caltrans, Regional Water
Quality Control Board, US Army Corps of Engineers and State Department of Fish and Game. Towards the
later phase of Design Development, the technical specifications and estimates will typically be prepared.
Upon final approval, VA will sign all applicable documents and obtain Agency signatures necessary for
permitting. As Projects are generally bid out to contractors after this phase of work, VA can also provide bid
support services, including assisting the City Staff in evaluating the Bids to best serve your needs. During
the bidding process, we may review substitution requests by contractors that may provide additional cost
savings.
During the Construction Support and Management Stage of the Project, VA Team will be available for
pre -proposal, pre -construction, and other on -site meetings. VA will address the contractors' questions and
requests for information (RFI) in writing. This phase of the work will also include reviewing the progress of
the work, reviewing shop drawing submittals, reviewing proposed field modifications, field inspection,
preparing a punch list, and preparing Record Drawings. Construction staking and verifications for line and
grades (if required) will also be performed during the Construction Phase. The VA Team will closely monitor
the contractor's work and progress to ensure compliance with any mitigation measures and schedule
constraints that may be outlined in the specifications. In addition, we will communicate as necessary with the
residents to ensure all issues and concerns are responded to immediately and minimize construction
impacts.
PROJECT SCHEDULE
At the beginning of the project, VA will prepare a detailed project Work Breakdown Structure (WBS) and
CPM scheduling software tools that will describe all of the work tasks necessary to complete the project. A

The following tasks illustrate the basic approach for successful completion of Plans, Specifications, Cost
Estimate, Right -of -Way (R/W) Engineering or Dedication and Construction Support process for the four
categories identified in the RFP.
PRELIMINARY ENGINEERING
Task 1 - Background Research and Data Collection
The initial task will include obtaining available as -built record drawings, right of way maps and any other
pertinent information for the project from the City, County or Caltrans, as appropriate. VA will visit the site
and conduct an inventory of project site to verify and supplement the available as -built drawings and to
confirm the scope of work identified in the RFP.
Task 2 — Design Survey
VA will perform the survey services for creation of the topographic data and base maps. The City will provide
the centerline ties and vertical controls. For projects that require major reconstruction, such as widening and
curb and gutter replacement, full survey will be required to prepare "Plan & Profile" plans as follows:
Q Survey street sections at intervals necessary (25 feet to 50 feet maximum) to graphically represent
actual field conditions, including top of curb, flow line, edge of pavement, and street centerline.
• Survey all driveways, localized drainage problem areas, existing surface features of utilities and existing
ramps for compliance with ADA requirements. Survey tree diameter/type, fences and property
monuments.
® Pick up all existing topography R/W to R/W line. Survey will be extended outside R/W limits sufficiently to
collect join points and for verification of intersection sight distances.
• Survey a minimum of 200 feet beyond the limits of project and a minimum of 50 feet beyond the BCR's in
each direction on each side of street.
For projects that require a "Plan Only" format, consisting of mainly overlay, signage and/or traffic signal
modifications, the following aerial survey may be performed:
® Perform "aerial survey" to prepare 1" = 20' or 40' scale base maps;
a Establish ground targets by field crew for aerial photos; and
Perform localized survey for reconstruction of localized damaged areas or drainage problems.
Task 3 — Geotechnical Engineering, Material / Pavement Value Engineering
For roadway projects, this task will include determination of the existing pavement condition and underlying
soil, and the recommendation for rehabilitation or reconstruction strategies which will include thicknesses
and types for both pavement and base material and specify whether or not base material is required beneath
curb and gutter, sidewalk and driveways. Choosing an economical pavement design section is important to
meet the City's objectives. The Project Team will evaluate the existing pavement conditions with an
engineered systems approach to:
Inventory pavement conditions;
Analyze the extent and severity of pavement distress;
Identify cost-effective repair or reconstruction recommendations; and
® Investigate "Green" opportunities for use of recycled content materials or salvaged materials reuse.
Our Geotechnical Engineer will evaluate alternative pavement structural sections with a 20-year design life, and
provide a recommendation to the City. In this manner the VA Team will engineer the pavement design
section(s) that best meets the City's needs.

For pipeline and pump station projects, VA's Geotechnical Engineer will conduct an exploratory field
investigation including borings and/or trenches, soils samples collection and laboratory tests for collected
field samples, prepare a report summarizing the findings and provides interpretation of data and
recommended design criteria as basis for the design of pipelines and pump stations projects. The final
geotechnical report will be signed and stamped by a Geotechnical Engineer and a Certified Engineering
Geologist licensed by the State of California. If required, corrosion analyses will be provided as part of this
task.
Task 4 — Discuss Preliminary Findings / Alternatives / Value Engineering
This task will include value engineering analysis and identification of both design and construction
alternatives that may be employed to reduce project costs and minimize conflicts between the proposed
improvements, existing site improvements and utilities. VA will submit any alternatives to the City for review
and discussion during the concept/preliminary design phase with preliminary cost estimate.
CONSTRUCTION DOCUMENTS
Task 1 — Roadway and Storm Drain Construction Plan Preparation
Following completion of survey and confirmation of the design concept, roadway construction plans will be
prepared in "Plan and Profile" or "Plan View Only" format at 1" = 20' or 40' scales for the required
improvements. Roadway construction plans will be prepared in CADD, under the City's logo, in accordance
with City format and design standards. VA will maintain current editions of the design reference publications
as applicable to the project.
Project PS&E will include a single plan set incorporating a title sheet that will provide vicinity and key maps
and index to drawings. Sheet 2 will show all construction and general notes, construction symbols, plan
references, etc. in standard City format. Sheet 3 will show all the roadway typical sections and other details
that apply to several locations in the project. Individual plan sheets will include all topographic information,
prominent features and proposed improvements.
Plans also shall indicate removal/replacement of curbs, gutters, sidewalks, access ramps, driveways, cross
gutters, parkway/curb drains; construction of concrete bus pads; and protection of existing facilities. Each
sheet will contain a north arrow, scale, match lines with station and sheet reference, plan and profile
construction notes for all improvements on the sheet. Existing R/W, proposed R/W and proposed temporary
construction easement (TCE) will be clearly labeled and dimensioned. Profile will show existing tops of curb
elevations with corresponding station and slope of curb between each grade break. For corner access
ramps, station and elevation at BCR and ECR and label as "join existing" will be provided. Elevations and
dimensions will also be provided at quarter points.
If required, a separate plan sheet providing various intersection details will be included showing elevation
grids every 20 feet through the intersection. Plans will also include retaining wall/structural, curb ramp and
driveway detail sheets, grading plan sheet and erosion control plan sheets, if required. Cross sections at 25
feet intervals will be provided (not part of construction plans).
Task 2 — Pipelines Construction Plans Preparation: VA will prepare Final PS&E for various water and sewer
pipelines elements including the following: water pipeline elements, above or below ground PRV's; water
pipeline elements impacted by roadway realignments, and sewer lines and structures elements.
Task 3 — Pump Stations Construction Plans Preparation: VA will prepare drawings including construction
drawings, detail drawings, for the proposed construction work. Drawings will include the following: Title
sheet, location map, vicinity map, and signature blocks applicable to the project; General civil site plan with
appropriate general excavation, retaining walls, shoring and miscellaneous notes; Symbols and
abbreviations; record information regarding utilities, obstructions, property lines; civil (piping, appurtenances);
mechanical (pumps and tanks); architectural; structural; electrical and power; instrumentation and controls;
landscaping; and erosion control.

Task 4 - Replacement Pump Station Design Considerations: VA will analyze and design for: demolition
considerations including disposal of any hazardous materials, conflicts with utilities and structures, operation
and maintenance concerns, site storm drainage, including preparation of a conceptual Water Quality
Management Plan, landscaping pump station piping design, corrosion, security and access control, and site
access. Prepare a preliminary civil site plan. The design consideration will also include building structure and
architecture; structural design will include geotechnical considerations; corrosion protection; landscape; civil
site planning; temporary pumping and Piping; traffic Control; electrical; SCADA; and back-up systems.
Task 5 — Signing & Striping and Traffic Signal Plan Preparation
Signing and striping plans will be prepared at 1" = 40' scale for the required improvements as identified in the
RFP and as confirmed by VA. Signing and striping plans will be prepared in CADD, under the City's Public
Works' logo, in accordance with City/Caltrans formats and design standards. Traffic signal plans will be
prepared at 1" = 20' scale for each location where existing signal equipment will be impacted by the proposed
roadway improvements or for installation of new traffic signals. Traffic signal plans will be prepared in CADD,
under the City Public Works' logo, in accordance with City format and design standards. The Signing and
Striping and Traffic Signal Plans will be incorporated into the project plan set.
Task 6 — Traffic Control Plan Preparation
The project scope may include the preparation of traffic control plans for the accommodation of traffic and
pedestrians during project construction. Traffic control plans will be prepared at 1" = 40' scale in CADD and
will show traffic control measures required for the implementation of each construction phase including all
traffic control devices, temporary lane delineation, and construction signing. Traffic control plan preparation
will follow the guidelines established in the Caltrans Manual of Traffic Controls for Construction and
Maintenance Work Zones and the Work Area Traffic Control Handbook (WATCH Manual), latest editions.
Task 7- Street Lights Plan Preparation
The existing street lights within the roadway right of way may need to be relocated to accommodate
proposed street improvements, and/or additional street lights may be needed to satisfy the City's
requirement for adequate street lighting. VA will determine the required "luminaire" additions, relocations,
conduit, wiring, metering and points of connection. These design details will be added to the roadway plans
in accordance with City standards for street lighting and included in the project specifications and
construction cost estimate.
Task 8- Drainage Design and Reports, and Water Quality Documents
This task will include preparation of preliminary and final hydraulic/hydrology analyses and reports as well as
preparation of storm drain improvement plans. Drainage PS&E will be incorporated into the project plan set.
VA will prepare Storm Water Pollution Prevention Plan (SWPPP) or Water Pollution Control Program
(WPCP) for the construction phase and the Water Quality Management Plan (WQMP) document consistent
with NPDES regulations for the post construction. VA will prepare the required plans/documentation
including the Best Management Practices (BMP) recommendation for the project.
Task 9 — Specifications and Construction Cost Estimates Preparation
VA will prepare the technical specifications in CSI format or City's template for the project. This task will also
include computing the quantities construction materials broken down by sheet and provide a construction
cost estimate in accordance with the City or Caltrans format for the items of work included in the project. A
Critical Path Method (CPM) schedule will be prepared to support the number of working days for
construction.
Task 10 — Right of Way (R/W) Engineering Services
When required by proposed roadway widening, VA Team will prepare R/W maps to identify the required R/W
for project construction. Right of way maps will be prepared in "Plan Only" format at 1" = 20' scale and show
existing property lines, all required right of way, permit to enter and easement areas. VA will provide

Payment Schedule (Fixed Fee Payment)
1. CONSULTANT shall be entitled to monthly progress payments toward the fixed fee
set forth herein in accordance with the following progress and payment schedules.
See Exhibit B.1 — Proposed Hourly Fee Schedule
Total fees shall not exceed Five Hundred Thousand Dollars ($500,000.00). CONSULTANT agrees
to inform the CITY when CONSULTANT is at the point of reaching the maximum limit.
CONSULTANT shall not continue with any work effort over the amount of the maximum limit
unless first authorized in writing by City authorized representative(s).
2. Delivery of work product: A copy of every memorandum, letter, report, calculation
and other documentation prepared by CONSULTANT shall be submitted to CITY to demonstrate
progress toward completion of tasks. In the event CITY rejects or has comments on any such
product, CITY shall identify specific requirements for satisfactory completion.
3. CONSULTANT shall submit to CITY an invoice for each monthly progress payment
due. Such invoice shall:
A) Reference this Agreement;
B) Describe the services performed:
C) Show the total amount of the payment due and remaining balance;
D) Include a certification by a principal member of CONSULTANT's firm that
the work has been performed in accordance with the provisions of this
Agreement; and
E) For all payments include an estimate of the percentage of work completed.
Upon submission of any such invoice, if CITY is satisfied that CONSULTANT is making
satisfactory progress toward completion of tasks in accordance with this Agreement, CITY shall
approve the invoice, in which event payment shall be made within thirty (30) days of receipt of the
invoice by CITY. Such approval shall not be unreasonably withheld. If CITY does not approve an
invoice, CITY shall notify CONSULTANT in writing of the reasons for non -approval and the
schedule of performance set forth in Exhibit "A" may at the option of CITY be suspended until the
parties agree that past performance by CONSULTANT is in, or has been brought into compliance, or
until this Agreement has expired or is terminated as provided herein.
4. Any billings for extra work or additional services authorized in advance and in
writing by CITY shall be invoiced separately to CITY. Such invoice shall contain all of the
information required above, and in addition shall list the hours expended and hourly rate charged for
such time. Such invoices shall be approved by CITY if the work performed is in accordance with the
extra work or additional services requested, and if CITY is satisfied that the statement of hours
worked and costs incurred is accurate. Such approval shall not be unreasonably withheld. Any
dispute between the parties concerning payment of such an invoice shall be treated as separate and
apart from the ongoing performance of the remainder of this Agreement.

Staff assignments depend on availability of personnel, site location, and the level of experience that will satisfy the technical requirements of
the project and meet the prevailing standard of professional care. The above schedule is for straight time. Overtime will be charged at 1.5
times, and Sundays and holidays, 2.0 times the standard rates. Travel time to and from the job site will be charged atthe hourly rates for the
appropriate personnel. Blueprinting, reproduction, messenger services, and printing will be invoiced at cost plus fifteen percent (15%). A
subconsultant management fee of fifteen percent (15%) will be added to the direct cost of all subconsultant services to provide for the cost
of administration, consultation, and coordination. Mileage/Field Vehicle usage will be charged atthe rate of $.50/mile or $5 per hour, subject
to negotiation. The rates will be subjected to a 4% annual escalation and will be automatically adjusted in the invoices.

Unit rates presented are for routinely performed geotechnical and construction material laboratory tests. Other tests can be performed in our
laboratory, including rock core, soil cement, and soil lime tests. Additional tests will be quoted on request. The rates will remain firm for a
period of 120 days from the date of this submittal. Unit rates presented herein assume samples are uncontaminated and do not contain
heavy metals, acids, carcinogens, or volatile organic compounds that can be measured by an OVA or PID with concentrations greater than
50 ppm. Wilidan will not accept contaminated samples, Uncontaminated samples will be disposed of 30 days after presentation of test
results. The rates will be subjected to a 4% annual escalation and will be automatically adjusted in the invoices.

1) Briefly provide the purpose for the agreement:
Request to advertise RFP for On -Call Civil Engineering Services. Civil Engineering firms have
assisted the PW Staff in projects where either manpower or expertise is required to design the
city's infrastructure including arterials, water and sewer. The current three-year contracts for
On -Call Civil Engineering Services are due to expire on November 17, 2011 and an RFP and
selection of the best qualified consultants (usually 3 to 6 firms) is required to ensure that the PW
staff has the ability to hire an approved firm when the CIP budget allows such expenditures.
These will be 3 year with a 2 year written extension contracts.
2) Estimated cost of the services being sought: $ 500,000 - $750,000 depending on firm's
capabilities and City's needs. (See Attachment for the existing and projected civil engineering
consultant needs)
