SUBJECT: Approve and authorize execution of Professional Services Contracts with Towill,
Inc, VA Consulting, Inc, and Guida Surveying, Inc, each in an amount of
$200,000 with a three-year term for On -Call Survey Engineering Services
Statement of Issue
The Public Works Department requires professional civil engineering services on an on -call or as -
needed basis to support staff for the design and construction of the capital improvement projects
requiring survey services
Financial Impact
The City's FY 2014/15 Capital Improvement Program (CIP) Budget was adopted on September 2,
2014, and totals $42 8 million (All Funds) for approved projects citywide Each approved CIP
project has a budget containing sufficient funding for design, environmental, engineering,
construction, project management, and other required costs The three (3) recommended civil
engineering contracts, totaling $600,000, will be funded within each project's individual CIP budget,
as needed As such, no additional funding is required by this action
Recommended Action
A) Approve and authorize the Mayor and City Clerk to execute $200,000 Professional Services
Contract between the City of Huntington Beach and Towill, Inc for On Call Civil Engineering Design
Services, and,
B) Approve and authorize the Mayor and City Clerk to execute $200,000 Professional Servi
Contract between the City of Huntington Beach and VA Consulting, Inc for On Call Civil
Engineering Design Services, and
C) Approve and authorize the Mayor and City Clerk to execute $200,000 Professional Services
Contract between the City of Huntington Beach and Guida Surveying, Inc for On Call Civil
Engineering Design Services

Analysis
On January 26, 2015, the City advertised a Request for Qualifications ("RFQ") for On -Call
Engineering & Professional Consulting Services Proposals were requested and submitted in
compliance with Chapter 303 of the Huntington Beach Municipal Code Seventy eight (78)
proposals were received for the following eight categories of Civil Engineering services Water
Engineering, Development Plan Checking and Entitlement Review Services, Civil/Sewer
Engineering, Geotechnical and Materials Testing, Traffic Engineering, Survey, Ocean Engineering,
and Architectural Services In accordance with qualifications based selected procurement per the
Federal "Brooks Act", State SB 419 and the City of Huntington Beach Municipal Code Section 3 03
"Professional Services" the Public Works Department established a review board Each firm stated
their engineering category of expertise with their proposal Proposals were then evaluated and
ranked by eight (8) review boards established by the Public Works Department At a minimum the
top three (3) firms were selected for each category to increase opportunity for competitive
proposals for future projects from qualified on -call consultants
The three (3) contracts recommended in this request for council action (RCA) are survey
engineering services for the design and construction of the capital improvement projects related to
all types of CIP projects These services have historically been utilized to supplement City staff to
meet annual CIP goals, as an extension of staff and/or to provide required expertise for unique
projects It is anticipated that these services will be required based on past years Each project is
evaluated on a case -by -case basis to determine if these as -needed contract services are
necessary Other categories and groupings of On -Call consulting services will be brought to the
City Council separately for approval
The City's Capital Improvement Program ("CIP") is approximately $42 8 million in Fiscal Year
2014/15, and exceeds $52 million with continuing of funds for projects approved from previous
years Typical design and construction support cost from use of consultants on a CIP project can
vary between ten (10) to twenty (20) percent of total costs for a CIP project Therefore, it is
practical to conservatively assume minimum annual consultant costs would be around $5 million to
the City for total CIP projects, or approximately $15 million over the next three (3) years
Survey services are typically required for all types of CIP projects, such as facilities, streets, water,
or sewer While the preference is to have City survey crew provide design survey data as well as
construction staking for quality control, outside survey services are necessary to meet annual
workload The sum of these contracts is $600,000 over the term of the contract, or an annual
average of $200,000

PROFESSIONAL SERVICES CONTRACT BETWEEN
THE CITY OF HUNTINGTON BEACH AND
VA CONSULTING, INC
FOR
ON CALL CIVIL ENGINEERING SERVICES
THIS AGREEMENT ("Agreement") is made and entered into by and between the City of
Huntington Beach, a municipal corporation of the State of California, hereinafter referred to as
"CITY," and VA Consulting, Inc, a California corporation, hereinafter referred to as
"CONSULTANT"
WHEREAS, CITY desires to engage the services of a consultant to provide on call civil
engineering services, and
Pursuant to documentation on file in the office of the City Clerk, the provisions of the
Huntington Beach Municipal Code, Chapter 3 03, relating to procurement of professional service
contracts have been complied with, and
CONSULTANT has been selected to perform these services,
NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows
1 SCOPE OF SERVICES
CONSULTANT shall provide all services as described in Exhibit "A," which is
attached hereto and incorporated into this Agreement by this reference These services shall
sometimes hereinafter be referred to as the "PROJECT "
CONSULTANT hereby designates Max Valud, who shall represent it and be its sole
contact and agent in all consultations with CITY during the performance of this Agreement
2 CITY STAFF ASSISTANCE
CITY shall assign a staff coordinator to work directly with CONSULTANT in the
performance of this Agreement

3 TERM, TIME OF PERFORMANCE
Time is of the essence of this Agreement The services of CONSULTANT are to
commence on kl.CL.Y to 20,e�r (the "Commencement Date") This Agreement

shall automatically terminate three (3) years from the Commencement Date, unless extended or
sooner terminated as provided herein All tasks specified in Exhibit "A" shall be completed no
later than three (3) years from the Commencement Date The time for performance of the tasks
identified in Exhibit "A" are generally to be shown in Exhibit "A." This schedule may be
amended to benefit the PROJECT if mutually agreed to in writing by CITY and CONSULTANT
In the event the Commencement Date precedes the Effective Date, CONSULTANT
shall be bound by all terms and conditions as provided herein
4 COMPENSATION
In consideration of the performance of the services described herein, CITY agrees to
pay CONSULTANT on a time and materials basis at the rates specified in Exhibit "B," which is
attached hereto and incorporated by reference into this Agreement, a fee, including all costs and
expenses, not to exceed Two Hundred Thousand Dollars ($ 200,000 )
5 EXTRA WORK
In the event CITY requires additional services not included in Exhibit "A" or
changes in the scope of services described in Exhibit "A," CONSULTANT will undertake such
work only after receiving written authorization from CITY Additional compensation for such extra
work shall be allowed only if the prior written approval of CITY is obtained
6 METHOD OF PAYMENT
CONSULTANT shall be paid pursuant to the terms of Exhibit "B."

7 DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS
CONSULTANT agrees that title to all materials prepared hereunder, including,
without limitation, all original drawings, designs, reports, both field and office notices, calculations,
computer code, language, data or programs, maps, memoranda, letters and other documents, shall
belong to CITY, and CONSULTANT shall turn these materials over to CITY upon expiration or
termination of this Agreement or upon PROJECT completion, whichever shall occur first These
materials may be used by CITY as it sees fit
8 HOLD HARMLESS
CONSULTANT hereby agrees to protect, defend, indemnify and hold harmless
CITY, its officers, elected or appointed officials, employees, agents and volunteers from and against
any and all claims, damages, losses, expenses, judgments, demands and defense costs (including,
without limitation, costs and fees of litigation of every nature or liability of any kind or nature)
arising out of or in connection with CONSULTANT's (or CONSULTANT's subcontractors, if any)
negligent (or alleged negligent) performance of this Agreement or its failure to comply with any of
its obligations contained in this Agreement by CONSULTANT, its officers, agents or employees
except such loss or damage which was caused by the sole negligence or willful misconduct of
CITY CONSULTANT will conduct all defense at its sole cost and expense and CITY shall
approve selection of CONSULTANT's counsel This indemnity shall apply to all claims and
liability regardless of whether any insurance policies are applicable The policy limits do not act as
limitation upon the amount of indemnification to be provided by CONSULTANT
9 PROFESSIONAL LIABILITY INSURANCE
CONSULTANT shall obtain and furnish to CITY a professional liability insurance
policy covering the work performed by it hereunder This policy shall provide coverage for
CONSULTANT's professional liability in an amount not less than One Million Dollars

($1,000,000 00) per occurrence and in the aggregate The above -mentioned insurance shall not
contain a self -insured retention without the express written consent of CITY, however an insurance
policy "deductible" of Ten Thousand Dollars ($10,000 00) or less is permitted A claims -made
policy shall be acceptable if the policy further provides that
A The policy retroactive date coincides with or precedes the initiation of the
scope of work (including subsequent policies purchased as renewals or
replacements)
B CONSULTANT shall notify CITY of circumstances or incidents that might
give rise to future claims
CONSULTANT will make every effort to maintain similar insurance during the
required extended period of coverage following PROJECT completion If insurance is terminated
for any reason, CONSULTANT agrees to purchase an extended reporting provision of at least two
(2) years to report claims ansing from work performed in connection with this Agreement
If CONSULTANT fails or refuses to produce or maintain the insurance required by
this section or fails or refuses to furnish the CITY with required proof that insurance has been
procured and is in force and paid for, the CITY shall have the right, at the CITY's election, to
forthwith terminate this Agreement Such termination shall not effect Consultant's right to be paid
for its time and materials expended prior to notification of termination CONSULTANT waives the
right to receive compensation and agrees to indemnify the CITY for any work performed prior to
approval of insurance by the CITY
10 CERTIFICATE OF INSURANCE
Prior to commencing performance of the work hereunder, CONSULTANT shall
furnish to CITY a certificate of insurance subject to approval of the City Attorney evidencing the
foregoing insurance coverage as required by this Agreement, the certificate shall

A provide the name and policy number of each carrier and policy,
B state that the policy is currently in force, and
C shall promise that such policy shall not be suspended, voided or canceled by
either party, reduced in coverage or in limits except after thirty (30) days'
prior written notice, however, ten (10) days' prior written notice in the event
of cancellation for nonpayment of premium
CONSULTANT shall maintain the foregoing insurance coverage in force until the
work under this Agreement is fully completed and accepted by CITY
The requirement for carrying the foregoing insurance coverage shall not derogate
from CONSULTANT's defense, hold harmless and indemnification obligations as set forth in this
Agreement CITY or its representative shall at all times have the right to demand the original or a
copy of the policy of insurance CONSULTANT shall pay, in a prompt and timely manner, the
premiums on the insurance hereinabove required
11 INDEPENDENT CONTRACTOR
CONSULTANT is, and shall be, acting at all times in the performance of this
Agreement as an independent contractor herein and not as an employee of CITY CONSULTANT
shall secure at its own cost and expense, and be responsible for any and all payment of all taxes,
social security, state disability insurance compensation, unemployment compensation and other
payroll deductions for CONSULTANT and its officers, agents and employees and all business
licenses, if any, in connection with the PROJECT and/or the services to be performed hereunder
12 TERMINATION OF AGREEMENT
All work required hereunder shall be performed in a good and workmanlike manner
CITY may terminate CONSULTANT's services hereunder at any time with or without cause, and
whether or not the PROJECT is fully complete Any termination of this Agreement by CITY shall

be made in writing, notice of which shall be delivered to CONSULTANT as provided herein In the
event of termination, all finished and unfinished documents, exhibits, report, and evidence shall, at
the option of CITY, become its property and shall be promptly delivered to it by CONSULTANT
13 ASSIGNMENT AND DELEGATION
This Agreement is a personal service contract and the work hereunder shall not be
assigned, delegated or subcontracted by CONSULTANT to any other person or entity without the
prior express written consent of CITY If an assignment, delegation or subcontract is approved, all
approved assignees, delegates and subconsultants must satisfy the insurance requirements as set
forth in Sections 9 and 10 heremabove
14 COPYRIGHTS/PATENTS
CITY shall own all rights to any patent or copyright on any work, item or material
produced as a result of this Agreement
15 CITY EMPLOYEES AND OFFICIALS
CONSULTANT shall employ no CITY official nor any regular CITY employee in
the work performed pursuant to this Agreement No officer or employee of CITY shall have any
financial interest in this Agreement in violation of the applicable provisions of the California
Government Code
16 NOTICES
Any notices, certificates, or other communications hereunder shall be given either by
personal delivery to CONSULTANT's agent (as designated in Section 1 heremabove) or to CITY as
the situation shall warrant, or by enclosing the same in a sealed envelope, postage prepaid, and
depositing the same in the United States Postal Service, to the addresses specified below CITY and
CONSULTANT may designate different addresses to which subsequent notices, certificates or

other communications will be sent by notifying the other party via personal delivery, a reputable
overnight carrier or U S certified mail -return receipt requested

17 CONSENT

18 MODIFICATION
No waiver or modification of any language in this Agreement shall be valid unless in
writing and duly executed by both parties
19 SECTION HEADINGS
The titles, captions, section, paragraph and subject headings, and descriptive phrases
at the beginning of the various sections in this Agreement are merely descriptive and are included
solely for convenience of reference only and are not representative of matters included or excluded
from such provisions, and do not interpret, define, limit or describe, or construe the intent of the
parties or affect the construction or interpretation of any provision of this Agreement
20 INTERPRETATION OF THIS AGREEMENT
The language of all parts of this Agreement shall in all cases be construed as a
whole, according to its fair meaning, and not strictly for or against any of the parties If any
provision of this Agreement is held by an arbitrator or court of competent jurisdiction to be
unenforceable, void, illegal or invalid, such holding shall not invalidate or affect the remaining

covenants and provisions of this Agreement No covenant or provision shall be deemed dependent
upon any other unless so expressly provided here As used in this Agreement, the masculine or
neuter gender and singular or plural number shall be deemed to include the other whenever the
context so indicates or requires Nothing contained herein shall be construed so as to require the
commission of any act contrary to law, and wherever there is any conflict between any provision
contained herein and any present or future statute, law, ordinance or regulation contrary to which
the parties have no right to contract, then the latter shall prevail, and the provision of this
Agreement which is hereby affected shall be curtailed and limited only to the extent necessary to
bring it within the requirements of the law
21 DUPLICATE ORIGINAL
The original of this Agreement and one or more copies hereto have been prepared
and signed in counterparts as duplicate originals, each of which so executed shall, irrespective of the
date of its execution and delivery, be deemed an original Each duplicate original shall be deemed
an original instrument as against any party who has signed it
22 IMMIGRATION
CONSULTANT shall be responsible for full compliance with the immigration and
naturalization laws of the United States and shall, in particular, comply with the provisions of the
United States Code regarding employment verification
23 LEGAL SERVICES SUBCONTRACTING PROHIBITED
CONSULTANT and CITY agree that CITY is not liable for payment of any
subcontractor work involving legal services, and that such legal services are expressly outside the
scope of services contemplated hereunder CONSULTANT understands that pursuant to
Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel for

CITY, and CITY shall not be liable for payment of any legal services expenses incurred by
CONSULTANT
24 ATTORNEY' S FEES
In the event suit is brought by either party to construe, interpret and/or enforce the
terms and/or provisions of this Agreement or to secure the performance hereof, each party shall bear
its own attorney's fees, such that the prevailing party shall not be entitled to recover its attomey's
fees from the nonprevailing party
25 SURVIVAL
Terms and conditions of this Agreement, which by their sense and context survive
the expiration or termination of this Agreement, shall so survive
26 GOVERNING LAW
This Agreement shall be governed and construed in accordance with the laws of the
State of California
27 SIGNATORIES
Each undersigned represents and warrants that its signature hereinbelow has the
power, authority and right to bind their respective parties to each of the terms of this Agreement,
and shall indemnify CITY fully for any injuries or damages to CITY in the event that such authority
or power is not, in fact, held by the signatory or is withdrawn
28 ENTIRETY
The parties acknowledge and agree that they are entering into this Agreement freely
and voluntarily following extensive arm's length negotiation, and that each has had the opportunity
to consult with legal counsel prior to executing this Agreement The parties also acknowledge and
agree that no representations, inducements, promises, agreements or warranties, oral or otherwise,
have been made by that party or anyone acting on that party's behalf, which are not embodied in this

Agreement, and that that party has not executed this Agreement in reliance on any representation,
inducement, promise, agreement, warranty, fact or circumstance not expressly set forth in this
Agreement This Agreement, and the attached exhibits, contain the entire agreement between the
parties respecting the subject matter of this Agreement, and supersede all prior understandings and
agreements whether oral or in writing between the parties respecting the subject matter hereof
29 EFFECTIVE DATE
This Agreement shall be effective on the date of its approval by the City Council
This Agreement shall expire when terminated as provided herein

CONSULTANT shall provide consulting services on an 'as -needed' basis for projects to be
determined during the term of the agreement During the term of the agreement, CITY may elect to
solicit proposals from CONSULTANT CITY shall issue task order for each project based upon the
scope of services, work schedule, and fee proposal submitted to CITY for its review and approval

currently completing construction documents for this project. VA also provided engineering

The City's professional service needs will be met with VA's high quality work, good
' communications, and effective project management. As a well -established local firm, VA has
extensive experience working with multiple municipalities in Southern California. Over the past 41
' years, VA staff has provided similar on -call engineering services to various public agencies
including OC Public Works, County of Los Angeles, and Cities of Huntington Beach, Irvine, Laguna
Beach, Lake Forest, Mission Viejo, Newport Beach, Rancho Santa Margarita, Pomona, Downey,
Burbank, South Gate, Lomita, and Manhattan Beach. Services have included surveying,
' preparation of studies, recommended solutions, and design PS&E for street improvements, bike

Understanding and Methodology
VA understands the City's Public Works Department is seeking experienced Consultant firms to
assist the City staff on an "on -call" basis for projects assigned by the City. The scope of work for
any one project may involve all phases of project development and may include civil engineering,
building/structural engineering and wastewater (sanitary sewer) engineering. The Consultant must
be well versed in all aspects of design/engineering/surveying and administration including, but not
limited to project controls (estimating, cost and schedule), planning, QA/QC, change control and
risk management. The Consultant must have knowledge and understanding of the latest version
of APWA's Greenbook, CSI Codes, as well as the standard plans and specifications of Caltrans and
the City of Huntington Beach.
The City will benefit from VA's extensive experience in the anticipated capital project categories:
street improvements, storm drain improvements, sewer improvements, and water improvements.
VA has the ability to provide survey and mapping, traffic engineering, and structural design
services in-house. The VA Team is committed to sustainable designs which address "green" issues
such as energy consumption, water resources, transportation needs, urban development,
recreational assets, and the exceptional natural environment in "Surf City".
We have reviewed the Request for Qualifications (RFQ) Scope of Work, and are confident that we
can successfully perform the services required for each of the anticipated project categories. Our
Team is familiar with and will comply with the following design standards and specifications: City
of Huntington Beach, Caltrans, Standard Plans and Specifications for Public Works Construction,
Orange County Standards, Army Corps of Engineers requirements, and the California Building
Code. For City projects being funded by Federal or State Grants, the VA Team will comply with
requirements of Caltrans Local Assistance Procedures Manual, the City of Huntington Beach
Quality Assurance Plan, and all applicable prevailing wage laws.
VA's approach to a pending contract will be to satisfy the City's objectives in a timely and cost
effective manner through the application of good project management and state of the art

technical skills for any design project. All design plans will be prepared in a manner to be
approved by the City with no more than three (3) plan check submittals (The goal is to submit
100% complete documents for first plan check to minimize the number of plan submittal reviews).
In response to a specific design assignment, VA will assemble those skills required for the work and
prepare a detailed work plan, schedule and cost estimate for review and approval by the City. VA
will meet with the City to review and refine the scope of services and schedule, and to negotiate
the corresponding contract amount. Once the City agrees with the project plan and cost, and the
notice to proceed is issued, VA will assign the tasks and manage the project through to satisfactory
completion.
During the course of work all documents will also undergo a thorough constructability review and
QA/QC by our senior staff. Value Engineering services will be conducted to explore opportunities
to reduce costs for the City and to add value to the project. Prior to each submittal, meticulous
attention to detail will ensure that the plans from each design discipline are well coordinated. This
will be accomplished both by electronic file sharing, face-to-face coordination meetings, and in-
house quality control reviews prior to each project progress phase deliverables.
The project workflow diagram in Figure 1 on the following page provides a simple breakdown of
the various components and steps that make up the process for completion of a typical public
works engineering design project. VA understands that time is of the essence to the City in the
performance of duties for the requested on -call civil engineering work. The City can count on VA to
have ample staff resources to respond to multiple project authorizations and complete all tasks
within the City's desired timeline for projects.

Project control will be established and maintained by the use of good communications and
documentation. VA's methodology in monitoring and controlling projects is provided below:
III Schedules: At the beginning of the project, VA will prepare a detailed project Work
Breakdown Structure (WBS) that describes all of the work tasks necessary to complete the
project. A Master Project Schedule will be prepared following the WBS showing the
relationship between tasks and the expected start date and duration for each item. This
schedule will serve as the guide to conducting and monitoring the progress of the work. VA
will meet all agreed -upon deadlines. Should an unforeseen project delay occur, VA has ample
staff resources to bring the project back on schedule at no additional cost to the City.
■ Labor Resource Requirements and Allocation: The anticipated labor -hour requirements and
allocations will be developed for each project when details are known. The VA personnel
assigned to each assignment will be available to commit the required hours for project
completion with additional personnel available should the need arise.
■ Cost Control System: VA has a computerized accounting system which maintains detailed
records by individual and activity, and allows tasks to be monitored against established budgets.
The Project Manager receives regular reports to track project status. The system is totally
integrated and easily audited. Supporting data can be provided to the City in any format
required.
■ Quality Control Plan: A comprehensive quality control plan will be developed specifically for
the project. The quality control plan will emphasize the need to clearly define requirements
and standards, and the need to independently check all work before it is issued to the City or
other reviewing agencies. An independent senior manager from VA will oversee the quality
control program and will audit the quality activities to see that all checks are completed
properly and all deliverables are free of errors. The VA quality control program will ensure
that the project documents: conform with contract documents and scope of work; are neat,
well organized, clear, concise, and complete; are technically and grammatically correct;
comply with generally accepted standards of engineering and applicable laws; are signed,
dated, and stamped as required; and are consistent with other related plans.

mapping staff have broad backgrounds in their respective expertise and in-depth knowledge that
places them at the forefront of the industry. Our Survey and Mapping Department is staffed with
an exceptional level of qualified management, mapping technicians and field surveyors, who have
extensive experience in providing design and construction surveying services for various municipal
facilities, roadways, traffic signals, walls, bridges, bike trails, storm drains and channels, utilities,
land development and construction projects throughout southern California. Our Survey and
Mapping Department prides itself with always having the latest technology on hand to service its
clients in the most accurate and economic way. VA embraces the latest technological advances
that bring our finished products to the forefront of the industry. We are trained in and use the
latest software from Leica, Trimble, Carlson, Micro Survey, Star*Net, and others to produce the

latest industry hardware including multi -frequency global positioning systems (GPS), reflectorless

Personnel resources include six (6) fully equipped field crews, certified party chiefs and

VA performs all survey and mapping tasks in accordance with State Law and local regulation. In
addition, VA recognizes when working in conjunction with Caltrans, all work will follow the
Caltrans Right of Way and Surveying Manual and Right of Way Engineering Quality Assurance Plan
for the preparation of documents and maps.
VA understands that time is of the essence to the City in the performance of duties for the
requested on -call survey work. The City can count on VA to have ample staff resources to respond
to multiple project authorizations and complete all tasks within the City's desired timeline for

Staffing
The Project Manager and single point of contact person for VA will be Greg Sebourn P.L.S Mr.
Sebourn is a licensed Land Surveyor in the State of California with over 14 years of experience
performing both field and office land surveying services. He is highly knowledgeable of the
principles, practices and standards of care as it pertains to Land Surveying, as well as, applicable
State laws as they pertain to Land Surveying. He is very active in the land surveying professional
community serving presently as Director of the California Land Surveyors Association (CLSA) and
President of the CLSA Orange County Chapter. He has extensive knowledge of Public Works
construction, topographic, boundary, engineering, and geodetic survey control methods. He has
worked on numerous municipal survey projects using sound principles of land surveying, and
understands and correctly interprets construction plans and specifications. He is very familiar with
City and Caltrans typical design standards and codes related to public improvements. He will
assemble the appropriate technical capabilities from VA personnel, supervise technical tasks, track
costs, monitor schedules and milestones, prepare status reports, and manage critical path activities

Mr. Heiat is a Registered Engineer in the State of California with over 33 years of professional civil
engineering experience. His experience includes an extensive list of capital improvement projects
including street rehabilitation and reconstruction, street widening improvements, intersection
widening and improvements, storm drainage improvements and water and sewer design
improvements. He is highly knowledgeable of Caltrans manuals and policies, State Standard Plans
and Specifications, and the "Greenbook" Standard Specifications for Public Works Construction.

Understanding and Methodology
VA understands the City's Public Works Department is seeking experienced Consultant firms to
assist the City staff on an "on -call" basis for projects assigned by the City. The scope of work for
any one project may involve all phases of project development. The Consultant must be well
versed in all aspects of surveying and administration; and provide experienced personnel,
equipment and facilities to perform the requested survey services.
The VA approach to the pending contract will be to satisfy the City's objectives in a timely and cost
effective manner through the application of good project management and state of the art
technical skills. In response to a specific assignment, VA will assemble those skills required for the
work and provide a detailed work plan, schedule, Critical Path Method schedule and cost estimate
for review and approval by the City within five (5) working days after receiving assignment notice.
Once the City agrees with the project plan and cost, and the notice to proceed is issued VA will
assign the tasks and manage the project through to satisfactory completion. The following tasks
illustrate the basic approach and application for successful completion of survey projects.
■ Records Research and Title Report Review: VA will research public records from the County
Surveyor's Office, City, Caltrans, and other agencies for maps, plats, centerline ties, and exhibits
which may be necessary for the reestablishment of rights -of -way and boundary lines. A title
report for the some properties will be ordered and reviewed as needed. The location of the
boundary and easements noted in the report will be determined from a field survey. VA will
research utilities for as needed to determine their rights -of -way.
■ Survey Control: VA will locate horizontal and vertical control for the basis of all surveying and
mapping efforts. Unless otherwise directed by the City, all horizontal control will be based on
the County GPS network and vertical control will be based on City Bench Marks. All horizontal
control positions will be determined using Leica dual frequency static GPS receivers tied to
Continuous GPS receivers (CGPS) and post -processed using Leica Geo Office software and
adjusted with Star*Net least squares software. Some positions may be determined using total
stations and processed using Star*Net. All vertical control positions will be determined using
Leica digital levels and adjusted using Star*Net least squares software. Additional survey

control will be established in areas where construction is anticipated to facilitate and support
construction activities. As noted below, a Record of Survey or Corner Record may be filed with
the County Survey for all control found and set.
■ Right -of -Way Survey and Mapping: Based on the City's needs and the results of our research,
VA will provide right-of-way surveying and mapping services to support the design of roads,
paths, and utilities. This will provide centerline and right-of-way information for a base -map of
the project site and will help facilitate planning and design tasks. Right-of-way mapping will
typically be tied to survey monuments that control the alignment and direction of rights -of -
way.
• Topographic/As-Built Surveying and Mapping: VA will locate topographic features such as
sidewalks, trees, curbs, driveways, fences/walls, breaklines/gradebreaks, fire hydrants, water
meters, sewer manholes, storm drain manholes, manhole inverts, catch basins, flowlines, water
vales, gas vales, traffic control features, power/telephone poles, and other evidence of utility
location within the public rights -of -way or as may be directed by the City. VA will also set aerial
targets for photogrammetric surveying if the project area and local conditions support the use
of aerial data. Photogrammetry services will be provided by a sub -consultant approved by the
City. Typically, topographic mapping will be compiled at 40-scale with 1ft contours and overlaid
with the right-of-way mapping unless otherwise directed by the City.
■ Utility Mapping: The record position of underground utilities will be mapped for design and
construction. Where possible, the position of these underground utilities will be verified based
on visible surface evidence.
■ Record of Survey Map: A record of survey will be prepared if a field survey discloses any
matters defined in the Professional Land Surveyors Act, Chapter 15, Article 5, Section 8762(b)
(1)-(5) relating to the survey performed or as directed by the City. The record of survey will be
filed with the County Surveyor.
■ Corner Records — Monument Preservation: VA will file Corner Records with the County
Surveyor for all survey monuments and accessories thereto which may be disturbed or
destroyed by construction as may be required by the Professional Land Surveyors Act, Chapter
15, Article 5, Section 8771 and as directed by the City.

Construction Staking: VA will dedicate the necessary resources to ensure no delays due to
survey tasks within one day of receiving a written request. VA professionals will attend
meetings, review plans, maintain records, provide weekly reports, maintain excellent public
relations, and provide construction staking services when necessary. VA will coordinate closely
with the City to provide constructions stakes and related surveying services to support
construction efforts. Survey party chiefs will complete the necessary cut sheets on City -
approved forms on a daily basis or as directed by the City. Whenever possible or directed by
the City, field crews will be dedicated entirely to the construction project for the duration of
the project to ensure efficient communication and service.
■ Official Map Preparation: As requested by the City, VA's team of professionals will provide
official maps, parcel and final maps, plats, and other mapping products that comply with state
law and local custom.
Project control will be established and maintained by the use of good communications and
documentation. VA has a computerized accounting system which maintains detailed records by
individual and activity, and allows tasks to be monitored against established budgets. The Project
Manager receives regular reports to track project status. The system is totally integrated and easily
audited. Supporting data can be provided to the City in any format required. All GPS data is
collected using fast -static sessions followed by post -processing through Trimble Business Center
software. All terrestrial data is collected in a raw data format for future inclusion and adjustment
with GPS data. A utilizes Star*Net least squares adjustment software to ensure the integrity of
survey data. STAR*NET handles networks containing conventional observations combined with
GPS vectors, with up to 10,000 adjustable stations. Differential leveling observations are also
included within a 3D adjustment. Whether a survey consists of a single -loop traverse or a complex
network of interconnecting traverses, all observations are adjusted simultaneously to produce a
single best -fit solution. STAR*NET can reduce observations to NAD27, NAD83 or UTM with
separate grid factors calculated for all distances and t-T corrections calculated for all angles. Using
Star*Net ensures all field data achieves a predetermined level of positional accuracy that is second
to none.

Firm Qualifications
VA has extensive experience working with multiple municipalities in Southern California. Over the
past 41 years, VA staff has provided similar traffic engineering services to various public agencies
including County of Los Angeles, OC Public Works, and Cities of Huntington Beach, Burbank,
Downey, El Segundo, Lomita, Manhattan Beach, Irvine, Lake Forest, Mission Viejo, Laguna Beach,
Rancho Santa Margarita and Orange. Services have included traffic forecasting for future study
year scenarios, operational and capacity analysis, preparation of traffic study reports, calculation
of traffic indices (TI's) for pavement structural section design, recommendations and associated
cost estimates to improve traffic operations; all classes of bicycle route engineering, pedestrian
and ADA roadway and traffic related engineering, preparation of plans, specifications, and
estimates for traffic signal design and modifications, intersection widening, roadway rehabilitation,
and pavement resurfacing.
VA staff has the required experience and knowledge of the appropriate City, State and Federal,
codes, regulations, and applicable design standards for the successful completion of projects. VA
staff is well versed and adheres to the Highway Capacity Manual (HCM) Method for Los Angeles as
well as Orange County Intelligent Control Systems (ICS). In addition, VA staff has knowledge and
experience preparing traffic and civil plans, specifications and estimates for the City of Huntington
Beach. VA has successfully completed the preliminary design, feasibility study and finding
application assistance for the improvement of the intersection of Beach Boulevard and Warner
Avenue for the City and is currently completing construction plans and documents for this project.
Table 1 on the following page illustrates VA's expertise in assisting public agencies upgrade their
existing traffic signal system including traffic signals, video vehicle detection, fiber optic signal
system communications, Closed Circuit Television (CCTV), signing and striping and other elements
such as traffic studies, traffic calming devices, traffic control/detour plans, Caltrans permits and
Federal/State funding assistance.

Staffing
The Project Manager and primary contact person for VA will be Keith Rutherfurd, TE. Keith is a
California registered Traffic Engineer with a Master's degree in civil and transportation
engineering. While a research assistant at the Institute of Transportation Studies at the University
of California (Irvine) he developed TIMEOPTER, a signal optimization computer program that could
be integrated with the TRAF roadway network simulation model developed by the Federal
Highway Administration (FHWA). He offers over 27 years of professional transportation and traffic
engineering experience with a broad background in transportation analysis and the preparation of
traffic design plans. Over this time period, he has worked on a large number of roadway
improvement and traffic enhancement projects within the Counties of Los Angeles, Orange,
Riverside and San Bernardino that required extensive traffic operational analysis and design, and
close coordination with Caltrans, local cities and other agencies. His specific transportation and
traffic engineering experience includes: vehicle and rail traffic analysis, safety and capacity
analyses of existing or planned roadways, site impact studies, parking and bikeway studies,
bus/truck operations, speed limits studies, road alignment studies; highway and street widening,
street rehabilitation, traffic signal design and modifications, signing and striping, and traffic control
plan design. While at VA, he has developed several in-house computer models for analysis of
intersection capacity, vehicle queuing, and parking analysis.
His experience demonstrates his ability to efficiently reach common goals by working and
communicating successfully with a diverse group of stakeholders including public agencies, private
parties, private consultants and environmental groups. Keith is more than qualified to assemble
the appropriate technical capabilities from the proposed team of VA personnel and qualified sub -
consultants, supervise technical tasks, track costs, monitor schedules and milestones, prepare

VA understands the City's Public Works Department is seeking experienced Consultant firms to
assist the City staff on an "on -call" basis for projects assigned by the City. The Consultant must be
well versed in all aspects of transportation services and administration; and provide experienced
personnel, equipment and facilities to perform the requested traffic engineering services. The VA
Team approach to a project assignment will be to satisfy the City's objectives in a timely and cost
effective manner through diligent project management and application of state of the art technical
skills and analysis tools by highly qualified staff. The key element in the management of the project
will be to assign experienced staff who will dedicate their efforts to advance the design in an
efficient and timely manner, using a comprehensive project work plan and schedule. The core VA
team will be comprised of experienced individuals who will be dedicated to the assignment from
start to finish, participating in all aspects of the work.
Traffic Signal Design: VA's approach to traffic signal design is to emphasize adherence to City
design criteria and requirements and to conduct thorough research of existing conditions
including documentation of existing utilities and design constraints. VA typically performs a
field review, including photographs and field notes, of existing conditions at all new and
modified traffic signal locations to verify improvements shown on record drawings and to
identify any noteworthy features to be considered in the final design process. Early
identification and resolution of potential utility conflicts and coordination with utility agencies
for new electrical service is a critical component of managing these projects and VA stresses
timely and well documented communications. VA prepares traffic signal plans in CADD,
typically at 1" = 20' scale, in accordance with the City format and standards. Project

with new signs to meet current standards. VA prepares traffic signing and striping plans in
' CADD, typically at 1" = 40' scale, in accordance with City or approving agency format and
standards. Project specifications are prepared as required for each project based on agency
' standards and format incorporating the improvements shown on the plans. VA calculates the

' Traffic Control/Construction Staging Plan Preparation: The VA approach to traffic control
plan preparation is to identify construction staging that allows efficient construction of the
project improvements while providing a safe work zone for construction personnel that
minimizes impacts to motorists and adjacent properties. The success of many projects is

' judged from a public perspective as a function of the impacts associated during
implementation. VA keeps this in mind throughout development of traffic control/construction
staging plans. Traffic control plans are prepared in accordance with the California Manual on
' Uniform Traffic Control Devices (CA MUTCD) and applicable City standards in CADD at a typical
scale of 1" = 40', from project base plans and aerial photos of existing street improvements
' supplemented and verified by VA in the field. VA traffic control plans show all traffic control
measures required for the construction of each project phase including all traffic control
devices, temporary lane delineation, and construction signing.
Traffic/Parking Studies, Signal Timing and Coordination Studies, and Operational Analysis:
VA's approach to the wide variety of traffic studies and analyses we offer is to conduct
thorough background research, data collection, analysis, and findings, conclusions and
recommendations documentation for each project. VA commonly uses TRAFFIX software for
level of service analysis for traffic impact studies and SYNCHRO software for traffic simulation
analysis and traffic signal timing/coordination. VA's suite of traffic analysis software also
' includes AUTOTURN and several traffic operations tools developed in-house for Intersection
Capacity Utilization (ICU) and queuing analysis. A typical VA traffic or parking study will also
include additional analyses that will include as appropriate, but may not be limited to, project
access assessment including location and review of geometric configurations, neighborhood
' impacts, pedestrian access, traffic signal warrant analysis, project on -site circulation analysis
including turning radius, emergency vehicle access, queuing, and parking. Parking studies
' completed by VA have included inventories of parking supply, documentation of site demand
and occupancy studies, compliance with city code, and shared parking analysis. When new
' traffic volume data is required for a project, VA includes specialized traffic data collection
' companies as part of our team. VA has worked successfully with several of these firms on
large and small projects and closely coordinates and manages the data collection
' requirements. VA prepares a summary report for each project including text, tables, and
exhibits presenting the methodology, findings, conclusions, and recommendations of the

' Firm Qualifications
The City's professional service needs will be met with VA's high quality work, good
' communications, and effective project management. As a well -established local firm, VA has
extensive experience working with multiple municipalities and water districts in Southern
' California. Over the past 41 years, VA staff has provided similar potable water pipeline engineering
and water production infrastructure services to various public agencies including the Cities of
tHuntington Beach, Irvine, Mission Viejo, Anaheim, Placentia, Cerritos, Downey, and South Gate,
the County of Los Angeles, Irvine Ranch Water District, Moulton Niguel Water District and Orange

McKinley is a licensed civil engineer in the State of California with over 28 years of professional
experience managing and performing civil engineering services for water pipeline design and
water production infrastructure projects. He has a strong background in public works engineering
and extensive experience coordinating and obtaining approval from local, state and federal
agencies in southern California area. He has successfully managed major public works projects,
including numerous pipeline and water production infrastructure projects that required extensive
analysis to determine cost-effective recommendations to improve operations. He is very familiar
with the City's infrastructure requirements and standards as well as the County of Orange and the
California Department of Public Health. His recent experience includes successfully completing
construction PS&E for the replacement of 4,400 linear feet of substandard waterlines in
constrained alleys in the Sunset Beach area. In addition, pavement design was provided in the
alleys which required pavement grind and overlay, or profile reconstruction to provide positive
drainage. He also obtained an encroachment permit with Caltrans for a portion of the work

in an efficient and timely manner, using a comprehensive project work plan and schedule. The
core VA team will be comprised of experienced individuals who will be dedicated to the
assignment from start to finish, participating in all aspects of the work. The following tasks include
the typical items of work that the VA will provide to the City for planning, design and project
management of water pipeline design projects and related work:
Task 1— Project Scope of Work
Consult with the City to define the scope of work and associated effort for each specific Project.
Task 2 — Background Research, Data Collection and Field Investigations
Following the kick-off meeting, the initial task is to obtain all available as -built record drawings
from the City and local jurisdiction, right-of-way data, utility company information, and any other
pertinent information for the Project. VA will visit the project site and identify noteworthy
features to verify and supplement the available information. We will research the best available
records to locate utilities or other physical features, which will be impacted by Project
improvements.
Task 3 — Project Management, Coordination and Meetings
VA's Project Manager will be our team's point of contact and will conduct project review meetings
during design and construction period, including kick off, plan submittals and pre -bid, with

representatives from the City on a monthly basis, or as required. VA will prepare and distribute an
agenda and minutes for each meeting, as well as necessary graphics and exhibits to facilitate
discussion. VA will provide an updated monthly progress report which summarizes the activities
completed during the period, activities to be completed during the next period, any scope
changes, schedule update, budget summary and any other issues that may impact the project.
Task 4—Alignment/Design Alternatives Formulation and Evaluation
VA will assist in formulating Project alignment/design alternatives to be evaluated by the Project
team, if unresolved utility conflicts or other issues remain from the PDR phase. Workshops will be
conducted with the team as part of Task 3, and VA will prepare alternative configuration studies,
conceptual plans and preliminary construction cost estimates for comparison and evaluation
purposes. VA will prepare for and attend any City or public meetings that may be involved in this
phase.
Task 5 — Initiate Permitting and Grants Support
VA will provide plans and technical studies necessary to support regulatory permitting needs. This
effort may include compiling the PDR with supplemental utility data, hydraulic analyses, pipe
material and class evaluation, capacity analyses and pipe sizing, corrosion engineering, structural
calculations and other calculations needed to support the selection of the preferred alternative. In
addition, VA will process the preliminary project plans and documents through regulatory agencies
such as the County of Orange, The U.S. Army Corp. of Engineers, State Department of Fish &
Game, Santa Ana (8) or San Diego (9) Regional Water Quality Control Boards, and Caltrans as
necessary to obtain permits or clearances. VA will also provide needed services in support of
applicable grant applications.
Task 6 - Final Design
Environmental Compliance Support and Final Permits: It is understood that Projects may
require California Environmental Quality Act (CEQA) documentation in varying levels of
complexity. VA will provide technical support to the City's environmental team. VA will

complete the permitting process begun in the Preliminary Engineering phase, from the
appropriate agencies.
. Topographic Survey and Mapping Coordination: VA will provide survey and mapping for
projects. VA will ensure that the project topography datum is matched with record drawings,
and provide final research and confirmation of property, right-of-way and easement
boundaries.
Utility Research / Potholing Coordination: VA will provide full service utility coordination,
including utility research, submit utility information request, review and note utility conflicts
and any plan improvements for the project area, and distribute preliminary and final plans to
the utility companies. We will research the best available records to locate utilities or other
physical features, which may be in conflict with the selected alignment. VA will coordinate
with the City's pothole vendor for data at critical utility crossings with potential conflicts with
proposed underground improvements. Copies of all transmittal letters to and from the utility
companies will be submitted to the City with the final plans. VA typically records all utility data
in a matrix that is continually updated throughout design and construction.
Construction Drawings: VA will prepare detailed construction drawings in Autodesk Civil 3D
format using the City's standard base sheet. Design Deliverables (PS&E) are typically provided
at 60%, 90% and 100% submittals. The plans will be stamped and signed by a California
Registered Civil Engineer.
Contract Documents: We will prepare the Contract Documents including City front-end
provisions, Special Provisions and Technical Specifications.
Construction Cost Estimate: VA will prepare an itemized construction cost estimate at each
stage in the Project development beginning with the 60% Design Submittal. The detail in the
estimate will be increased at each stage, along with the accuracy of the estimate and reduction
of the contingency.

Bay Avenue Improvements; Newport Beach, CA

Project Manager responsible for the civil engineering and surveying services for the improvement of over one mile of
streets and alleys within the Bay Avenue area in Newport Beach. The city's main concerns were to provide adequate
pavement surface and drainage for these streets and alleys. The project was divided into two phases to better
coordinate the concurrent undergrounding of electrical facilities. The project involved the design of a storm drain
system in an already -developed neighborhood, which required potholing of extensive underground utilities. The flat
topography of the site at sea level required the design of storm drains with high -tide flood gates. Other design
challenges included relocation of existing 8" domestic water main to install a new storm drain at a very shallow
elevation.
Los Serranos Infrastructure Improvements Under the Safe Routes to Schools Program Phase 3

' Santa Ana Canyon Road serves as a major transportation artery for North Orange County. With more than 20,000
commuters each day relying on this corridor for access to regional services, surveying activities were carefully
managed to provide the greatest free -flow of traffic while expediting the delivery of meaningful data to city design
' staff. The project took the survey team through nearly 100 years of legal records and engineering notes in order to
re-establish the historic dual alignments. Dozens of monuments and ties were found, reset, and re-established in an
effort to perpetuate survey evidence and comply with state laws. Greg's noninvasive approach was appreciated by
' commuters and City staff alike. This project was completed in February 2010.
On -Call Surveying and Mapping
Metropolitan Water District (MWD) of Southern California
' Greg led the effort to conduct boundary and topographic surveys over portions of MWD pipeline easements and
related properties. The project included several miles of pipeline as well as dozens of properties and easements.
The boundary covered several Public Land Survey System Sections as well as rancho boundaries. Deliverables
' included CADD files, point files, GIS .SHP files, and a record of survey map filed with the Riverside County Surveyor.
City -Wide Sanitary Sewer Improvement Program; Anaheim, California
' Sr. Survey Project Manager
This project comprised several miles of new pipelines together with short segments to repair the aging
infrastructure. Greg's ability to deploy substantial resources quickly meant that several construction sites were
served simultaneously. Services provided included design topographic surveying, construction surveying, and
monument preservation. With several thousands of feet of new sanitary sewer lines being laid simultaneously,
quality assurance and quality control procedures were an integral part of daily activities. This project was completed
in August 2009.
Fullerton Road Grade Separation; Industry, California
Alameda Corridor East— Construction Authority
' Task Manager for land surveying and right-of-way engineering tasks for this $140 million grade separation project
that will lower Fullerton Road under the existing Union Pacific Railroad tracks in the City of Industry, and
unincorporated area of Los Angeles County, between Rowland Street and State Route 60. Plans call for constructing
' a six -lane roadway underpass on Fullerton Road with retaining walls and a new railroad bridge. The complex project
includes addressing impacts to the adjacent roads (Gale Avenue and Railroad Street), and multiple properties and
utilities. Greg also coordinated special safety training and security screening for work within railroad right-of-way as
part of this project.

a new access ramp and pedestrian barricades and traffic signal modifications. The project required coordination with
Caltrans for submittal of an encroachment permit for construction.
Lakewood Boulevard Improvements, Phases 30 and 3C; Downey, California

' Traffic Design Task Manager for the design and construction of street improvements and enhancements along
Lakewood Boulevard from Florence Avenue to Telegraph Road. This project will construct new raised medians
including new landscaping and irrigation improvements. The Phase 3B and 3C improvements will also include
' widening of the roadway. The minimum half -section of the improved roadway will provide a 14-foot median and
three (3) continuous through lanes in each direction throughout the project limits. Within the Phase 3C segment,
between the 1-5 southbound and northbound on -ramps, a northbound auxiliary lane may also be provided. Traffic

highway routes which included over 50 miles of roadway and 142 signalized intersections and 126 mid -block locations.
Project study included analysis of all existing data, identifying future planned projects within the study area, and
analyzing Year 2006 and 2021 conditions with anticipated traffic growth. For future year conditions, recommended

Project Manager for preliminary and final engineering design and

Projects for the City of South Gate. The project involves the abandonment
of a number of City water mains and replacing them with new mains
(approximately 17,705 LF); and replacing existing sewer mains with higher
capacity mains (approximately 1,215 LF) as directed in the City's Sewer
Management Plan.
Jamboree/1-5 Interchange Widening Recycled Water Facilities Relocation,
Irvine Ranch Water District, Irvine, CA
Project Manager responsible for coordination of the relocation and re-
construction of IRWD recycled water facilities as part of a City of Irvine
project to widen Jamboree Road. Conducted extensive coordination with the
various existing utilities at the site, including field investigations with District
operations staff. A basis of design report and plans and specifications were
prepared in a complete biddable set of Contract Documents for the work,
including 12-inch DIP mains, air/vacs, meters, and CP test stations. Several
legal plats and descriptions for easements were prepared for the new

Payment Schedule (Hourly Payment)
A. Hourly Rate
CONSULTANT'S fees for such services shall be based upon the following hourly rate and cost
schedule:
B. Travel Charges for time during travel are not reimbursable.
C. Billing
1. All billing shall be done monthly in fifteen (15) minute increments and matched to an
appropriate breakdown of the time that was taken to perform that work and who
performed it.
2. Each month's bill should include a total to date. That total should provide, at a glance,
the total fees and costs incurred to date for the project.
3. A copy of memoranda, letters, reports, calculations and other documentation prepared
by CONSULTANT may be required to be submitted to CITY to demonstrate progress
toward completion of tasks. In the event CITY rejects or has comments on any such
product, CITY shall identify specific requirements for satisfactory completion.
4. CONSULTANT shall submit to CITY an invoice for each monthly payment due.
Such invoice shall:
A) Reference this Agreement;
B) Describe the services performed;
C) Show the total amount of the payment due;
D) Include a certification by a principal member of CONSULTANT's firm that
the work has been performed in accordance with the provisions of this
Agreement; and
E) For all payments include an estimate of the percentage of work completed.
Upon submission of any such invoice, if CITY is satisfied that CONSULTANT is
making satisfactory progress toward completion of tasks in accordance with this
Agreement, CITY shall approve the invoice, in which event payment shall be made
within thirty (30) days of receipt of the invoice by CITY. Such approval shall not be
unreasonably withheld. If CITY does not approve an invoice, CITY shall notify
CONSULTANT in writing of the reasons for non -approval and the schedule of
performance set forth in Exhibit "A" may at the option of CITY be suspended until
the parties agree that past performance by CONSULTANT is in, or has been brought
into compliance, or until this Agreement has expired or is terminated as provided
herein.
Exhibit B
5. Any billings for extra work or additional services authorized in advance and in writing
by CITY shall be invoiced separately to CITY. Such invoice shall contain all of the
information required above, and in addition shall list the hours expended and hourly
rate charged for such time. Such invoices shall be approved by CITY if the work
performed is in accordance with the extra work or additional services requested, and if
CITY is satisfied that the statement of hours worked and costs incurred is accurate.
Such approval shall not be unreasonably withheld. Any dispute between the parties
concerning payment of such an invoice shall be treated as separate and apart from the
ongoing performance of the remainder of this Agreement.
