Statement of Issue: Approve a Memorandum of Understanding for operation and
marketing of the Surf City Savings program and a License Agreement for use of the City of
Huntington Beach logo as directed at the City Council meeting of July 20, 2009.
Funding Source: Funds are available in the Economic Development Business
Development budget (Account 10080101.69450).
Recommended Action: Motion to:
1. Approve and authorize the Mayor and City Clerk to execute the Memorandum of
Understanding between the City of Huntington Beach and Victoria Alberty-deGoede for
Marketing and Website Operation.
Approve and authorize the Mayor and City Clerk to execute the License Agreement
between the City of Huntington Beach, Domenic lorfino, and Victoria Alberty-deGoede for

Alternative Action(s):

Analysis: The current economic climate has affected many of our retailers, restaurants and
services. This not only impacts the merchants' ability to stay in business, but also the
amount of sales tax the City receives, which supports vital services to our citizens. In
response to these concerns, Council Member Joe Carchio introduced the concept of the Surf
City Savings program at a Council meeting in the spring of 2009. The program was officially
launched on May 19, 2009 in an effort to help consumers save money by encouraging them
to shop locally to generate increased business for Huntington Beach merchants and to help
generate sales tax.
Surf City Savings was introduced as a six-month pilot effort for merchants at Five Points
Shopping Center, Bella Terra, and Old World, offered on a voluntary basis and free of charge
to businesses and shoppers. Participating businesses developed money-saving discounts or
incentives to encourage shopping in their establishments. The discounts are then turned into
coupons placed on the Surf City Savings website —www.surfcitysavings.com — along with the
merchant's logo. Program merchants are given a Surf City Savings program decal to place
in their store window, indicating that discounts can be found wherever the logo is seen. The
pilot program is still in place and there are currently 34 businesses participating among the
three pilot locations.
The program website has been operated on a volunteer basis by Victoria Alberty-deGoede,
who is the owner and webmaster of www.TheLocalHB.com. Ms. Alberty-deGoede previously
purchased the domain name and volunteered her services to operate and maintain the site
free of charge during the pilot program. Staff provided support for the program by responding
to merchant inquiries, creating and providing program materials to participating merchants,
and marketing the program via printed and electronic media.
Since the program began, many businesses outside of the pilot area have requested the
opportunity to participate. At the City Council meeting of July 20, 2009, Council Member
Carchio sought and received approval for staff to take the necessary steps to expand the
program citywide. Once the program is implemented, all businesses operating in Huntington
Beach may participate free of charge.
A Memorandum of Understanding (MOU) has been developed with Ms. Alberty-deGoede for
the operation of the expanded program. In addition to continued ownership, operation and
maintenance of the program website, Ms. Alberty-deGoede will market the program, verify
eligibility of merchants and offers, distribute program materials to participating businesses,
and conduct a quarterly program evaluation. The City will continue to provide program
materials and advertise in various City publications, and will reimburse Ms. Alberty-deGoede
$10.00 per month for the cost of hosting the site and $8.00 annually for domain name
registration, for a total of not to exceed $130.00 annually. The MOU has a term of one year
and may be extended for up to two (2) additional one (1) year terms.
Surf City Savings will remain free of charge to merchants and consumers. The MOU
provides Ms. Alberty-deGoede the opportunity to designate a space on the program website
for participating merchants wishing to pay for additional advertising. The cost of the service

will be determined by Ms. Alberty-deGoede. The City will not receive any revenues paid to
her for this service. Although this service will be available, paying for additional advertising
on the site is not a condition to participate in the free program.
The Surf City Savings program logo was designed free of charge as part of the pilot program
by Domenic lorfino, the owner of HB Digital. The logo includes a trademarked Huntington
Beach design and also incorporates original artwork created by Mr. lorfino. To that end, a
License Agreement has been developed for the use of the City of Huntington Beach logo and
the Surf City Savings program logo to ensure its proper use.

MEMORANDUM OF UNDERSTANDING
BETWEEN THE CITY OF HUNTINGTON BEACH
AND VICTORIA ALBERTY-DeGOEDE
FOR MARKETING AND WEBSITE OPERATION
THIS MEMORANDUM OF UNDERSTANDING ("MOU") is made and entered into on
oezo eC -' 19 , 20 0 , by and between the CITY OF HUNTINGTON
BEACH, a municipal corporation of the State of California (hereinafter referred to as "City"), and
VICTORIA ALBERTY-DeGOEDE, a sole proprietor(hereinafter referred to as "Operator").
WHEREAS, Operator is the owner of a website that is the primary informational program
for City's Surf City Savings Program; and
The Surf City Savings Program ("Program") is a voluntary program in which businesses
can elect, free of charge, to offer discounts or incentives to encourage shopping in their
establishment. The discounts are turned into coupons, which are then placed on the Surf City
Savings website, www.surfcitysavings.com along with the merchant's logo. Participating
businesses are given a Surf City Savings decal to remind shoppers that wherever they see the
program decal, discounts can be found; and
Operator has volunteered the website free of charge during a pilot program; and
Operator and City now wish to enter into an agreement to define their respective rights and
obligations in continuing and expanding the Program citywide in accordance with established
principals of free speech.
NOW, THEREFORE, for and in consideration of the promises and covenants hereinafter
contained and intending to be legally bound,the parties covenant and agree as follows:

SECTION 1. TERM
This MOU will become effective on the date it is approved by the City Council of the City
of Huntington Beach and shall terminate one (1) year thereafter, except with respect to any
obligations hereunder which are to be performed thereafter. Upon mutual written consent of the
parties, this MOU may be extended for up to two (2) additional one (1) year terms.
SECTION 2. OBLIGATIONS OF CITY
The obligations of City pursuant to this MOU shall be as follows:
1. City will provide advertising of the Program in various City publications and
media.
2. City will reimburse vendor pursuant to invoices submittd to City, for the cost of
hosting the site on the server of ten dollars ($10.00) per month and eight dollars ($8.00) annually
for domain name registration,total not to exceed $130.00 annually.
SECTION 3. OBLIGATIONS OF OPERATOR
The obligations of Operator pursuant to this MOU shall be as follows:
1. Operator will market the Program to businesses, verify eligibility, create and
maintain Program discount coupons, and distribute decals and Program information to
participating businesses and will post coupons to the website surfcitysavings.com.
2. Operator will conduct quarterly Program evaluations with ten (10) participating
businesses on a form to be provided by City.
3. Operator will maintain ownership of surfcitysavings.com. (domain name).
4. All businesses operating in Huntington Beach may participate in the Program free
of charge. Operator may offer featured advertising for a fee of Operator's choosing. City shall
approve the amount of space proposed to be available for featured advertising.

SECTION 4. HOLD HARMLESS
Operator shall protect, defend, indemnify and hold harmless City, its officers, officials,
employees, and agents from and against any and all liability, loss, damage, expenses, costs
(including without limitation, costs and fees of litigation of every nature) arising out of or in
connection with performance of this MOU or its failure to comply with any of its obligations
contained in this MOU except such loss or damage which was caused by the sole negligence or
willful misconduct of City.
SECTION 5. WORKERS' COMPENSATION INSURANCE
Pursuant to California Labor Code Section 1861, Operator acknowledges awareness of
Section 3700 et seq. of said Code, which requires every employer to be insured against liability for
workers' compensation; Operator represents to City that she has no employees.
SECTION 6. GENERAL LIABILITY INSURANCE
In addition to Operator's covenant to indemnify City, Operator shall obtain and furnish to
City, a policy of general public liability insurance, including motor vehicle coverage. Said policy
shall indemnify Operator, its officers, agents and employees, while acting within the scope of their
duties, against any and all claims arising out of or in connection with this MOU, and shall provide
coverage in not less than the following amount: combined single limit bodily injury and property
damage, including products/completed operations liability and blanket contractual liability, of
$1,000,000 per occurrence. If coverage is provided under a form which includes a designated
general aggregate limit, the aggregate limit must be no less than $1,000,000. Said policy shall
name City, its agents, its officers, employees and volunteers as Additional Insureds, and shall
specifically provide that any other insurance coverage which may be applicable shall be deemed
excess coverage and that Operator's insurance shall be primary.

Under no circumstances shall the above-mentioned insurance contain a self-insured
retention, or a"deductible" or any other similar form of limitation on the required coverage.
SECTION 7. ASSIGNING AS BREACH
Neither party shall encumber, assign, or otherwise transfer this MOU, or any right or
interest in this MOU, without the express written consent of the other party first had and obtained.
A consent by a party to one assignment or transfer to another person shall not be deemed to be a
consent to any subsequent assignment or transfer to another person. Any encumbrance,
assignment or transfer, without the prior written consent of the other party, whether it be voluntary
or involuntary, by operation of law or otherwise, is void and shall, at the option of the other party,
terminate this
SECTION 8. TERMS BINDING ON SUCCESSORS
All the terms, covenants and conditions of this MOU shall inure to the benefit of and be binding
upon the parties and their successors and assigns. The provisions of this Section shall not be deemed as a
waiver of any of the conditions against assignment hereinbefore set forth.
SECTION 9. CONFLICT OF INTEREST
Operator shall employ no City official nor any regular City employee in the work
performed pursuant to this MOU. No officer or employee of City shall have any financial interest
in this MOU in violation of the applicable provisions of the California Government Code.
SECTION 10. NONDISCLOSURES/PRESS RELEASES
Operator shall consult with City prior to issuing any press releases or otherwise making
any public statements with respect to this MOU, the transactions contemplated herein, or matters
arising herefrom.

SECTION 11. NOTICE
Any written notice, given under the terms of this MOU, shall be either delivered personally or
mailed, certified mail, postage prepaid, addressed to the party concerned, as follows:

SECTION 12. ATTORNEY'S FEES
In the event suit is brought by either party to enforce the terms and provisions of this MOU
or to secure the performance hereof, each party shall bear its own attorney's fees. The prevailing
party shall not be entitled to recover its attorney's fees from the non-prevailing party.
SECTION 13. CONTROLLING LAW AND VENUE
This MOU shall be deemed to be made in, and the rights and liabilities of the parties, and the
interpretation and construction of this MOU, determined in accordance with the laws of the State of
California. Any controversy arising out of or under this MOU, if litigated, shall be adjudicated in a
court of competent jurisdiction in Orange County, California.
SECTION 14. SECTION TITLES
The section titles in this MOU are inserted only as a matter of convenience and for reference,
and in no way define, limit or describe the scope of intent of this MOU or in any way affect this
MOU.
SECTION 15. SURVIVAL OF INDEMNITIES
Termination of this MOU shall not affect the right of City to enforce any and all indemnities
given or made by Operator under this MOU, nor shall it affect any provision of this MOU that
expressly states that the provision shall survive termination thereof.

SECTION 16. NONLIABILITY OF CITY OFFICIAL, EMPLOYEES OR AGENTS
No elective or appointed City or City affiliated board, commission or member thereof, or
officer, official, employee or agent of City shall be personally liable to Operator, its successors and
assigns, of any default or breach by City under this MOU or for any amount which may become due
to Operator, its successors and assigns, under this MOU or for any obligation of City under this
MOU.
SECTION 17. TERMINATION
This MOU may be terminated by either party with or without cause upon thirty (30) days
notice in writing.
SECTION 18. MOU IN WRITING
This MOU contains and embraces the entire agreement between the parties hereto and neither
it nor any part of it may be changed, altered, modified, limited or extended orally or by any other
agreement between the parties unless such agreement be expressed in writing, signed and
acknowledged by City and Operator, or their successors in interest.
SECTION 19. PARTIAL INVALIDITY
Should any provision of this MOU be held by a court of competent jurisdiction to be either
invalid, void, or unenforceable, the remaining provisions of this MOU shall remain in full force and
effect unimpaired by the holding, so long as the reasonable expectations of the parties hereto are not
materially impaired.
SECTION 20. MOU IN COUNTERPARTS
This MOU may be executed in counterparts, each of which shall be deemed an original, but
all of which taken together shall constitute one and the same document.

SECTION 21. ENTIRETY
The foregoing sets forth the entire MOU between the parties.
