AMENDMENT NO. 2 TO COOPERATIVE AGREEMENT BETWEEN THE CITY OF HUNTINGTON BEACH AND VISIT HUNTINGTON BEACH FOR SPECIAL EVENT SHUTTLE SERVICES THIS AMENDMENT is made and entered into by and between the CITY OF HUNTINGTON BEACH, a California municipal corporation, hereinafter referred to as "CITY," and VISIT HUNTINGTON BEACH, a non-profit 501(c)(6) organization, hereinafter referred to as VHB. WHEREAS, CITY and VHB are parties to that certain amended Agreement, dated June 6, 2016, entitled"Amendment No. 1 to Cooperative Agreement Between the City of Huntington Beach and VHB for Special Event Shuttle Services," which Agreement shall hereinafter be referred to as the "First Amended Agreement," and WHEREAS, CITY and VHB are parties to that certain Agreement, dated May 2, 2016, entitled"Cooperative Agreement Between the City of Huntington Beach and VHB for Special Event Shuttle Services," which agreement shall hereinafter be referred to as the "Original Agreement," and CITY and VHB wish to amend the First Amended Agreement to reflect the amendments to the First Amended Agreement as agreed upon by CITY and VHB, NOW,THEREFORE, it is agreed by CITY and VHB as follows: 1. Subsection A of Article 3, Responsibilities of City, is hereby amended to read as follows, with the remainder of Article 3 to remain the same: A. The CITY will reimburse VHB $80.61 per hour to a maximum of 452 hours or a total amount of the Agreement not to exceed ($45,000) for operation of: 1. Up to six (6) shuttle vehicles on 4`h of July operating at a maximum of sixteen (16) hours each, operating from the Orange County Transportation Authority Goldenwest Transportation Center; and 2. Up to four(4) shuttle vehicles on 4th of July operating at a maximum of eleven(11) hours each from Huntington Beach City Hall; and 3. Up to four(4) shuttle vehicles per day during the first Saturday and Sunday of the US Open of Surfing operating at a maximum of ten (10) hours per day each from Huntington Beach High School and Edison High School, pending final approval by the Huntington Beach Union High School District; and 19-7442/200778 1 4. Up to two (2) additional shuttle vehicles per day on the second Saturday and Sunday of the US Open of Surfing, operating at a maximum of nine (9)hours per day each from Huntington Beach City Hall. 5. Up to seven (7) shuttle vehicles per day during the Saturday and Sunday of The Great Pacific Airshow, operating at a maximum of eight(8) hours each, from Huntington Beach City Hall, Huntington Beach High School and Edison High School,pending final approval by the Huntington Beach Union High School District. 2. Subsection J of Article 4, Responsibilities of VHB, is hereby added to read as follows, with the remainder of Article 4 to remain the same: J. VHB shall be responsible for the rental of Global Positioning System (GPS) units for up to eight(8) vehicles, all of which shall be utilized during Special Event Shuttle Services referenced in this Agreement. The CITY will reimburse VHB a maximum of One Thousand Two Hundred Dollars ($1,200)towards the cost of rental of GPS units related to the Shuttle Program referenced in this Agreement. 3. REAFFIRMATION Except as specifically modified herein, all other terms and conditions of the Original Agreement shall remain in full force and effect. The Original Term of this Agreement is one year from the date of execution, with an option to extend it for up to an additional three years which shall remain. The CITY will reimburse VHB $75.40 per hour to a maximum of 344 hours for operation of: 1. Up to four (4) shuttle vehicles on 41h of July operating at a maximum of twelve (12)hours each from Huntington Beach City Hall; and 3. Up to four (4) shuttle vehicles per day during the first Saturday and Sunday of the US Open of Surfing operating at a maximum of twelve (12)hours per day each from Huntington Beach High School and Edison High School, pending final approval by the Huntington Beach Union High School District; and 4. the amount of $26,216 80 between the City and Visit Huntington Beach (VHB) for Summer 2016 Special Event Shuttle Services Statement of Issue The City has operated free summer shuttle services from City Hall to Downtown since 2010 The program was scaled back in 2014 and 2015 due to reduced funding, but continued to operate on July 4th and during the US Open of Surfing weekends as a result of grant funding For the 2016 season, the City proposes a partnership with Visit Huntington Beach (VHB), combining the City's special event shuttle with VHB's wider-ranging shuttle service this summer This will provide both consistency of service and efficiency to passengers visiting Huntington Beach, as well as a cost savings to the City Financial Impact The total 2016 program cost is $26,216 80 Funding is included in the Fiscal Year 2015-16 budget Of this amount, $20,946 40 is advanced through the AQMD Grant Funds (Account 20185201 69450) and $12,912 48 will be reimbursed by OCTA at the conclusion of the season The remaining $5,270 40 is budgeted and available in the City's Parking In-Lieu Funds (Account 30880101 69505) Recommended Action Approve and authorize the Mayor and City Clerk to execute the "Cooperative Agreement Between the City of Huntington Beach and Visit Huntington Beach for Special Event Shuttle Services" in the amount of$26,216 80 Alternative Action(s) Do not approve the Cooperative Agreement and provide further direction to staff Analysis The City Council is requested to approve an Agreement between the City and Visit Huntington Beach (VHB) to provide free shuttle service on July 4th and during the weekends of the US Open of Surfing This partnership greatly increases the efficiency and cost-effectiveness of the program, resulting in a seamless and enjoyable experience, and discouraging the use of cars to reach the Downtown on some of the busiest days of the year Huntington Beach has provided free shuttle service to approximately 8,000 passengers to the public on weekends from 2010-2013, using funds provided by the Air Quality Management District xB -l > 1- Item 9. - I Dept ID ED 16-12 Page 2 of 2 Meeting Date 5/2/2016 (AQMD) In 2014, the City received a grant from the Orange County Transportation Authority (OCTA) to expand the service to July 4th and weekends of the US Open through 2020, with AQMD funds accounting for the total matching requirement of 30% However, just prior to the launch of the 2014 shuttle season, AQMD determined that the program was no longer meeting their cost effectiveness requirements and eliminated funding for summer weekends They instead agreed to provide the annual matching funds for the OCTA grant and $2,500 in annual advertising costs Thus, in 2014 and 2015 the City was able to provide service on July 4tn and on the weekends during the US Open of Surfing The City also saw a-need to meet additional service demands on three of the five days and utilized Parking In-Lieu Funds to support the additional costs to meet the demand VHB and the City jointly released an RFP for the City's special events shuttle and the pilot program for VHB Summer Shuttle in 2015 The City was unable to secure a qualified operator with an available fleet size and pricing to meet program requirements for the summer special events However, the VHB pilot summer shuttle did receive a response Both programs were able to secure their own operators, but the two programs were forced to operate independently In addition, costs for the City's program were higher than anticipated due to contracting for only five days of service as opposed to 30 or more total days, for which costs would be significantly lower when partnered with VHB's program VHB achieved success with their 2015 program using an experienced, professional operator that had been awarded a contract from 2012-2014 for the City's program VHB has again contracted with this operator for the upcoming season to provide service from June 17 through Labor Day on Fridays, Saturdays and Sundays and-has proposed to assume the City's operation on July 4th and weekends during the US Open VHB will oversee all aspects of the program, including marketing, supervision and management of the operator The marketing reach and resources of VHB to operate and promote the combined program is far greater than the City's Individual capacity and staff believes in VHB's efforts to successfully operate the shuttle program in 2016 Staff will continue to monitor the program Environmental Status None Strategic Plan will reimburse VHB $73.20 per hour to a maximum of 324 hours for operation of 1 Up to five (5) shuttle vehicles on 4th of July operating at a maximum of twelve (12) hours each operating from the Orange County Transportation Authority Goldenwest Transportation Center, 16-5115/131853 2 2 Up to three (3) shuttle vehicles on 4t' of July operating at a maximum of twelve (12) hours each operating from Huntington Beach City Hall, and 3 Up to four (4) shuttle vehicles per day during the first Saturday and Sunday of the US Open of Surfing operating at a maximum of twelve (12)hours per day each from Huntington Beach High School and Edison High School, pending final approval by the Huntington Beach Union High School District, and 4 Up to two (2) additional shuttle vehicles per day on the second Saturday and Sunday of the US Open of Surfing, operating at a maximum of rune (9) hours per day each from Huntington Beach City Hall B All route and operating hours information will be provided to VHB and any operator by CITY and all operating hours and routes will be within the CITY only C The CITY shall coordinate with VHB to request facility reservations at Huntington Beach High School and Edison High School for the use of their parking lots during the US Open of Surfing weekend shuttle service The CITY shall request that each location bill the CITY directly for each facility use fee D The CITY shall provide the necessary insurance annually as required by the Master License Agreement between the Orange County Transportation Authority and the CITY for use of the Orange County Transportation Authority Goldenwest Transportation Center E The operation of the CITY's shuttle program is partially funded through Project V funds granted by the Orange County Transportation Authority, Air Quality Management District funds and the CITY's in-lieu parking funds The CITY has sole discretion to determine how the funds will be allocated from each source F CITY will provide all grant requirements to VHB G The CITY will provide VHB with ridership log forms which must be used by the operator in each vehicle on a daily basis Logs must include time of stop; riders embarking/disembarking at each location, starting and ending mileage of each vehicle each day, and detail the number of trips made in each direction 16-5115/131853 3 H The CITY will not pay any invoices to VHB without having venfied receipt of clear and complete copies of all daily log sheets and copies of operator invoices Article 4 Responsibilities of VHB A VHB will combine the CITY's program with their ongomg shuttle program and will assume responsibility for procuring and contracting with a qualified, experienced. insured operator, and provide service on behalf of the CITY for the Project The CITY has the right to reject VHB's selected operator and terminate the Agreement in the event it objects to the selected operator B Each shuttle shall seat a minimum of 20 passengers C All shuttle vehicles must be ADA compliant D The operation of gasoline-alternative shuttle vehicles is preferred and encouraged E VHB will bill the CITY directly for the operation of the shuttle program F Shuttle service provided pursuant to this Agreement may not be combined with any other routes and must be exclusive to the CITY's program only G Each vehicle and each location must have its own log sheet Log sheets for the CITY's shuttle program may not be combined with the log for VHB's general program for reporting purposes H Copies of July 4, 2016 logs shall be provided to the CITY's designated contact by July 11, 2016 Copies of all logs from the US Open of Surfing weekend shall be provided as soon as possible after the conclusion of each weekend, but no later than Thursday of the following week, unless other arrangements are mutually agreed upon I VHB shall be responsible for executing all advertising for the Program and coordinating with the CITY for use of any of its own resources, including, but not limited to the Auto Dealers Readerboard, the CITY's website, the Sands Magazine and social media channels The CITY will reimburse VHB a maximum of$2.500 00 for advertising costs directly related to the shuttle program referenced in this Agreement 16-5115/131853 4 Article 5 Delegated Authonly The action required to be taken by CITY in the implementation of this Agreement are delegated to the Deputy Director of the Office of Business Development, or his/her designee, and the actions required to be taken by VHB in the implementation of this Agreement are delegated to VHB's r,rPsident Article 6 Audit and Inspection CITY and VHB shall maintain a complete set of records in accordance with generally accepted accounting principles Upon reasonable notice, VHB shall permit the authonzed representatives of CITY to inspect and audit all work, materials, payroll. books, accounts; and other data and records of VHB for a period of five (5) years after final payment, or completion of audit by CITY, or after final payment of debt service, whichever is longer For purposes of audit, the date of completion of this Agreement shall be date of CITY's payment of VHB's final billing under this Agreement CITY shall have the nght to reproduce any such books, records, and accounts The above provision with respect to audits shall extend to and/or be included in contracts with VHB's contractor(s) Article 7 INDEMNIFICATION A To the fullest extent permitted by law, VHB shall defend (at VHB's sole cost and expense with legal counsel reasonably acceptable to CITY), indemnify, protect, and hold harmless CITY, its officers, directors, employees, and agents (collectively the "Indemnified Parties"), from and against any and all liabilities, actions, suits, claims, demands. losses, costs,judgments, arbitration awards; settlements. damages. demands, orders, penalties, and expenses including legal costs and attorney fees (collectively "Claims"), including but not limited to Claims arising from injuries to or death of persons (VHB's employees included), for damage to property, including property owned by CITY, or from any violation of any federal,
