STATION, UNITS 6 - 11" 7 B THIS AGREEMENT made and entered intra the 22 day of May 1973, by and g bey.-;een the City of Huntington Beach hereinafter referred to as "CITY" and VTN 10 Consolidated hereinafter referred to as "CONSULTANT':. 11 12 W I T N E S S E T H 13 14 WHEREAS, CONSULTANT is an Architectural -Engineering -Planning firm, 15 presently engaged in the preparation of Environmental Impact Reports, and 16 WHEREAS, the Chairman of Environmental Review Board hereinafter re,, -erred 17 to as "CHAIRMAN" is the representative of the CITY, 16 NOW, THEREFORE, IT IS MUTUALLY AGREED between the parties hereto that; 19 20 I. CONSULTANT AGREED 21 CONSULTANT agrees as follows: 22. CONSULTANT services, in general, shall provide a final Environmental Impact 23 Report which will be referred to'as EIR hereafter, for the Southern California 24 Edison Huntington Beach Generating Station, Units 6 - 11, in accordance with 25 the following: 26 a The_Envronmental Impa.c Report shall be incompliance;with State 27 of California law, it shall be in accordance with guidelines adopted 28 by, the 'Resources Agency of California, Office of the Secretary of s9 Resources under Guidelines for Implementation of the California 5 l 31 32 .1- I VTV orange county 4, 1 s 3 4 z 5I 6 7 s 9 10 i a 12 13� 14 15 16 17 1.8 19 20 21 22 23 24 25 26 �7 i r -�nvironm(-sntal Quality Act of 1970, and it shall be in accordance with guidelines in use by th- .City of Huntington Beach. b. The general procedures to be followed in the review and preparation of the final EIR,from the preliminary environmental report submitted by Southern California Edison Company of this projecic shall include an assessment of statements presented, shall verify data, shall include additional requi-•rad information where necessary, and shall include the follow41g; (1) Describe the present environment. (2) Establish objectives for environmental quality. (3)Define laws and regulations affecting environmental quality. (4) Prepare report in format required by_appropriate ,guidelines. (5) Describe proposed acticas, (6) Identifychap it the resent environment caused b the es 9 p Y proposed actions. Measure them against the objectives and constraints to determine if they are beneficial or adverse, and if adverse, whether they are within acceptable limits. (7) Describe or synthesize alternatives to the planned project, integrate alternative influences and effects on the environment, and make comparative analysis among alternatives, evaluate and • i qu?1°ty need as determined by benefits derived. (8) Define ways of minimizing adverse effects and taking advantage of opportunities to create benefits. Establish these mitigation measures and alternatives to the proposed actions to lessen any potential adverse condition. (9). Determine future program to assure environmental quality. 1 li c. The study approach by CONSULTANT shall be addressed to the individual ? impacts discussed separately for each of the major potential impacts 3 I ' of the project. The total effect of the p,-oposed action will then be 4 presented as a summary of all `componential .action. a d. Sp:cifically, a major area of emphasis for the investigation by the 6 CONSULTAv1T shall be the identification and evaluation of potential :- _i problem areas as descrbtd in the preliminary Environmental Report 8 and as outlines as follows: .' g 1, Physical and Ecological Impacts to include the following: 10 (a) Thermal -water quality and effects on marine ecology, 11 (b) Air Quality, 12 (c) Aesthetics, 13 (d) Effects on economy and employment, 14 (e) Potential hazards -safety and resulting -impacts, 15 (f) Traffic generated by employees and service vehicles, 16� (g) Construction disruption, and 17 -(h) Potential loss of wildlife habit` and effects on 15 endangered species. 19 2. Sociological Impacts.to include the followings 20 (a) Direct and indirect effects to surrounding community. 21 (b) Public "awareness of perceived versus physical impacts.. 22 3. FeasibViity of Resultant Impacts of Alternatives. 23 4. Conformance to Environmental and "Community Identity" Goals of 24 the City of Huntington Beach. 2% 5. Monitoring Programs to include the following: 26 (a) Water Quality, 27 (b) Marine vegL —ion and wildlife,_ 28 (c) Air emissions, a.)d- 29 (d) Noise emissions. 30' 31 32 VTN orange county r 1 6. Mitigative Measures to include the following:, 2 (a) ' Construction mitigation measures and 3 (b) Maintenance mitigation measures, 4 e. In addition, the -CONSULTANT shall identify and expand upon areas 5 outlined as follows- 6 1. Growth inducing impact. - 7 2. Boundaries of the affected area. 8 3. Relationship between local s;;ort-term uses of man's environment 9 and the maintenance and enhancement of long-term productivity. 10 4. Irreversible envir-nmental changes. 5. Unavoidable adverse effects.-' 12 6. Statement of the project, as viewed from the broad perspective of 13 public interest. 1.4 f. CONSULTANT shall provide all pertinent public and governmental 15 agency comments and the CONSULT,"NT's answers thereto. 16 g. CONSULTANT shall assign Dr. Paul i., Epley and Mr, Richard B. Bell to 17 , provide project direction, review, management, and specific work 18 efforts, and will assign Miss Mary C. Battershill and Mr. Richard M. 19 Holbrook together with an environmental assistant or environmental 20 specialist, to perform the required study. 21 22 II. CITY AGREES 23 CITY agrees as follows:- 24 a. CITY shall furnish CONSULTANT all data it has available pertaining 25 to the areas involved in this report, including copies of all 26 environmental studies and Reports conducted to date and the EIR 27 provided by the proponents of the proposed action. 2$ l 2 f 30 31 -4- 32 VTN orange county k l b. CITY shall pay to CONSULTANTS for their professional, services ire the pump: sum of $18,000.00 for the tasks- outlined. Said fee includes 3 administrative costs and shall be paid to CONSULTANT a;3 follows., 4 1. 25% of the fee forthwith as a retainer; ;i 5 2. 50% of Pee when final rough draft of EIR is submitted; 6 3. 25% of fee shall be withheld until CITY' has approved the formal_ 7 EIR; however, if CITY fails to act within forty-five (45) days 8 a' er the final EIR has bean submitted, the withheld fee sha11 be 9 paid forthwith to CONSULTANT." 10 C. CITY shall pay CONSULTANT in the event that additional professional 11 services are requested of CONSULTANT before•or after the final EIR 12 has been submitted on the following basis: 13 1. Other: At consultants standard hourly rates on a hourly basis 14 as requestedbyCITY. 15 d. CITY shall not unreasgnabl,y withhold approval of the final EIR. e. CONSULTANT shall file fifty (50) copies of the final EIR prepared 17 hereunder with the CITY. f� 18 f. The EIR shall be submitted to the CITY for review no later than eight 19 weeks. A draft shall be submitted for review by the CITY no later Char 20 six weeks after approval of this contract by City of Huntington Beach. 21 g. CONSULTANT shall provide repr ::;entatives who will appear ;with, and 22 on behalf of the CITY, whenever requested by CITY, at meetings 23 required relative to the EIR reviews and/or hearings until and to 45 34 days submittal of the formal EIR, or until said formal EIR is 25 approved by CITY, whicheveroccurs first. 26 27 I11. GENERAL 28 a. If laboratory tests or marine ecology data other than that readily 29 available will be necessary, VTN shall obtain said data. 34 31 -5-' 32 I r VTN orange county 5 I b Termination. CITY may tarmi hate this contract upon written notice 2 to the CONSULTANT. Upon termination, CONSULTANT shall be entitled 3to be compensated in proportion to the s;,rvices performed t,,o date of 4 termination. Upon request, CONSULTANT shall make available and turn S over to CITY's possession, all work done to date to termination 6'•1 relating to the project he 7 C. Ownership of Documents: The final report prepared under the terms 8 of this agreement shall be and remain the property of CITY and. may be, 9 used by CITY as it may require, Without any additional cost to CITY. 10 d. For CITY, administration of this contract shall be by the secretary 11 of the Environmental Review Board or his duly appointed and authorized 12 representative.
