THIS AGREEMENT is made by and between the CITY OF
HUNTINGTON BEACH, a municipal corporation, hereinafter
s
referred to as "CITY" and VTN CONSOLIDATED, INC., a California
corporation, hereinafter referred to as "CONSULTANT."
WHEREAS, CITY is desirous of identifying the needs, both
functional and spatial for the constituent users, especially
the senior citizens of the proposed community center; and
WHEREAS, CONSULTANT has expertise in this area and has
acted asa consultant in a similar capacity for other muni-
cipalities;
NOW, THEREFORE. the parties hereby mutually agree as
follows:

CONSULTANT shall prepare a report identifying the needs,
both functional and spatial, for the users of the proposed
community center with speciS;.c emphasis on the needs of'the
senior citizens. Said repor •; shall encompass, but will not be
limited'to, the. following:
SECTION 1
A. Identification of spatial needs for the various userr3,
particularly senior citizens.
B. Summary of square footages following priority
analysis.
C. Evaluation of alternative sites and recommendations.
D. Development of anticipated project budget.
E. Supporting documentation as required to support the
application by the CITY to the county for funding of the pro --
posed development.
SECTION 2
TIME OF COMPLETION
CONSULTANT shall complete said report within forty --five
(45) days from the date of execution of this agreement.

CITY
agrees to :compensate CONSULTANT for the services
indicated
on the following basis
Compensation will b'e the equivalent of
two and one-half (2-1/2) times the Direct
Personnel Expenses plus reimbursement for
-
all extended travel (beyond fifty miles
on any one trip ), Tong --distance telephone
calls, reproduction of final documents,
and similar out-of-pocket disbursements
incurred by CONSULTANT in connection with
such services. Direct Personnel Expenses
shall include: basic individual payroll

rate (straight time only) including salary
related costs, Such Salary related costs
include: vacation, holiday and sick pay;
health and welfare; employee welfare;
health insurance; workmen's compensation;
and payroll taxes. For the duration of
the agreement indicated such salary related
costs shall be limited to 27.6 percent of
Direct Personnel Expenses.
CONSULTANT shall submit to CITY on a mc,ithly basis an
accounting of the individual payroll rate expenditures, out -
of --pocket disbursements, and total compensation resulting
from same. CONSULTANT shall supply to CITY upon demand, the
individual payroll rates of the employees utilized to fulfill
the agreement.
Compensation for the services and duration indicated shall
not exceed the limit stipulated in the agreement, unless adjusted
by written amendment to this agreement and signed by CITY and
CONSULTANT.

As you are aware, the V.T.N. proposed plan indicates parking in the
third blocks adjacent to Main Street, and the D.M.G. has requested
that the City Council meet with them to discuss a multiple of issues
applicable to the downtown project. One of those issues involves the
purchase of properties within the project area for the purpose of
parking..
I Mayor Gibbs appointed a committee of throe Councilpersons, who will be
meeting with the legislative committee and executive boar3 of the
Downtown Merchants' Guild on Septe,rber 25, 1975, in the downtown
development office. In anticipation of trk�t meeting, I contacted the
property owners in the thlyd block and inquired by letter if they
were interested in liquidating their properties. I had the opportun-
ity to discuss this matter with them personally prior to aW.?.etter
of communication dated Ai gust 12, 1975• (See attached.)
1 have received from Mr. Henricksen and Phillips Petroleum Corrrpany,
proposals for their property and I do feel that you and the City Coun-
cil should have this information prior to the meeting of the D.M.G.
I have discussed this with Mr. Harlow and other members of the Downtown
Project Team, and it was our opinion and recommendation that if funds
could be made available, this property should be purchased, as the
property could be speculative for other individuals. This would result
in a higher cost to the cy�f, if we had to acquire it at a later date.
Obviously, it is a matter of priorities within the city. Most important
is that we are aware that we have a very critical cash situation. Ibis
is a muter that I sincerely feel should be discussed in some detail
with the City Council, EAC, and the Dotantovin Merchants' Guild, In a
sense, it is speculative, in that the city has not officially approved
the project in toto. But, what are our alternatives? If this property
is to be used for parking and is so designated in the plan and we do not
buy it now, we would have to buy it later at a higher price, probably,
through condemnation. We could delay purchase until that exact location
was agreed upon and approved, and pay the inflated price.
In discussing this matter with the staff, it was our mutual opinion that
if the cash flow could to created, we should acquire the property now,
clear off the limited structures and put the property isntn ;?-productive
parking lot for the downtown business area, which has been needed for many
years. This will provide the downtown area with much needed resource, ,W

a.: real - commitment on behalf of the City Council of the city `of` lluntint
ton Beach -to bring about an effective recycling of that portion of bur
city. If, for some reason, the development plan were to be amerided at:
-a later date, the Redevelopment Agency or the city could use this prop-
erty for the purpose of negotiation of trade or converting to cash for
the purpose of meeting the needs of any unforeseen possible change in the
plan. The property values in the downtown area or anything new, the
coastal zone will continue to escalate.Therefore, it is not a'poor in --
vestment. When you get down to the bottom lire, it is a decision of
do we want to invest now and capitalize on the lowest purchase price or
welt until the project is adopted and pay a higher premium for the
same property.
This is a decision that you and the City Council need to make in the
very near future, in that the offer to sell the property to the city
(both offers) have a very limited time factor in them.
I do know that there w--a other parties negotiating for this property
and a decision should be made at the earliest date possible in order that
escrow papers could be'entered into or vie could advise the sellers that
we are unable to buy at.this time.

The a.ttached.agreement between the City and VTN calls,for
the corlsu].tant to study the spatial and functional needs of
senior citizens with regard to. the proposed community, center
and to evaluate alternative sites, , develop a projected
budget, and supply documentation to -,support the City's
application for funding on the project.
The City will pay VTN $3,200 out of the Recreation contractual
services account for this service.
RECOMMENDATION
Execute the agreement so as to expedite the conversion of
the center for use by our senior citizens.
