AGREEMENT
THIS AGREEMENT, made and entered into this 5th day of December
1972, by and betw en the CITY OF HUNT MGTON BEACH, a municipal corpora-
tion, hereinafter referred to as "City" and VTN ORANGE COUNTY, a pro -
fessional engineering firm located in Irvine, California, hereinafter
referred to as "Engineer
W I T N E S S E T H
WHEREAS, City desires to engage the services of a professional
e.ngi neeri.ng firm to provide the City with engineering services for the
preparation of a project report, design plans, specifications, and cngi-
neeri.ng esti mates for the construction of a traffic s.i gnat interconnect
system along Beach Boulevard (State Route 39), between Pacific Coast
Highway and Edinger Avenue, all in the City of Huntington Beach; and
WHEREAS, Engineer is qualified and willi.ng to provide such
services as more fully described hereinafter and in accordance with'the
terms and conrditions as herein stated;
NOW THEREFORE, IT IS AGREED by the parties hereto as follows:
1. Engineer shall furnish and perform the following services:
(a) Prepare a protect report for review and approval by
the City or its designated staff and transmittal of
the City approved report to the California State
Division of Highways, District VII, Los Angeles, for
its review and approval. It shall be Engineer's
responsibility to make such modifications as appropriate
to obtain approval from the City, State Division of
Highways, and FHWA (Federal Highway Administration).
(b) Prepare P.S. and E.s (plans, specifications, and
engineering estimates) for the project which basically
consists of providing a centrally located master con-
troller/computer; an interconnect system consisting of
either a City owned "hard wire" system or leased tele-
phone wires reserved for City use; replacement of
intersection controllers with equipment compatible
with the master controller/computer; providing longer
mast arms and dual signal heads on Beach Boulevard;
installation of internally lighted street name signs
at each leg of each signalized intersection; installa-
tion of speed progression s.igns; improvement of inter-
section traffic safety lighting; and consideration of
other ancillary features such as surveillance by video
tape camera, telemetry for fire reporting and water
system operation.
(c) Provide sufficient copies of the project report and
P.S. and E.s to the City and State as required for
review and checking; provide the number of final pro-
ject reports and approved sets of P.S. and E.s as
required by State and provide City with five copies
of final project report and five sets of final P.S.
and E.s together with the originals of the project
report and P.S. and E.s.

(d') prepare all plans and specifications in a manner
acceptable to the City and to the California State
Division of Highways.
(e) Provide above described services and other basic
services as described in ASCE Manual 453 ('1972)2
a guide for the Engagement of Engi neeri.ng Services.

(f) Verification of equipment operation.

(h ) Trai ni.ng of operating personnel.
The City shall cooperate with the Engineer and assist in
making available such information as the City may have in
its files which would assist the Engineer in providing the
required professional services to the City.
The Engineer will provide the City with a project report
and substantially complete P.S. and E.s by January 15, 1973,
for review and return to Engineer by January 22. Engineer
will make necessary modifications and submit the completed

project reploart and'P.S. and E.s to the State by February 1,
1973.* Engineer will subsequently continue liaison with the
City and the State so that the State will be able to authorize
advertising of the project by June 30, 1973. The City will
then have until June 30, 1974, to initiate construction.
In consideration of the basic professional engineering services
as described, City shall reimburse Engineer a fee equal to six
(6) percent of the approved engineering estimate. Based on
a preliminary engineering estimate of $374,300 (including
$262,000 FAU funds), the engineering fee will be $22,450.
City shall make payment to Engineer as follows:
(a) City will pay Engineer 75% of the total fee upon submittal
to the City of the completed project report and substantially
completed P.S. and E.s within the established time schedule.
(b) City will pay Engineer on additional 15% of the total fee
upon submittal to the State Division of Highways of the
completed project report and completed P.S. and E.s for
State review within the established time schedule.
(c) City will pay Engineer the balance of his fee, 10% of the
total fee, a: such time as the State indicates its final
approval of the project report and P.S. and F.s.
Redesign or redrafting necessitated by conditions beyond the
control of Engineer will be considered as extra work and will
constitute a basis for negotiation of additional fee. No
claim for said additional work shall be made onl ess speci-
fically au thori zed in wri ti_ng by authoH zed �,epresentati ve
of City.
8. Special services by Engineer such as those indicated in
paragraph 3., will be provided on a time and materials
basis in accordance with Engineer's standard rate schedule
as adopted August 1, 1972, and subject to modification
August 1 of each subsequent year. A copy of the present
rate schedule is attached. Any special services not pro-
vided by Engineer, such as materials or soils testing,
will be billed to City as invoiced to Engineer plus a 10%
administrative overhead fee.
Cost of reproductions in excess of those included within
the scope of basic engineering services will be billed as
invoiced to Engineer.
The parties hereto cause this Agreement to be executed on the day
and year first above written.

Gentlemen:
Attached is a copy of the proposed agreement to cover
the engineering for the above -named projects. Gas Tax
Engineering Funds will be used until such time as the
Project Report is approved for the use of F.A.U. and State
funds.
It is recommended that your Honorable Body enter into
an agreement with Voorheis-Trindle-Nelson to produce the
plans, specifications and estimate.
