BEARDSLEY, PE, DIRECTOR LIC WORKS SUBJECT: Approve Amendment #3 to Walden & Associates Professional Services Agreement Statement of Issue, Funding Source, Recommended Action, Alternative Action(s), Analysis, Environmental Status, Attachment(s) Statement of Issue: The professional services agreement with Walden & Associates requires an amendment to extend the contract and authorize additional funding. Funding Source: Funds are budgeted in 20685201.82300 Newland Street Widening, Traffic Impact Fund. Additional work will not exceed $40,000. Recommended Action: Motion to: 1. Authorize an exemption to Section 3.03.120 of the Huntington Beach Municipal Code to allow extension of a professional services contract beyond the term of three years. 2. Approve and authorize the Mayor and City Clerk to execute Amendment No. 3 to the Agreement Between the City of Huntington Beach and Walden & Associates for Engineering Services. Alternative Action(s): Do not authorize the exemption and direct staff to request proposals from other engineering firms to complete these projects. This action would result in additional unbudgeted expenditures to cover services already rendered. Projects will be delayed a minimum of one year. REQUEST FOR ACTION MEETING DATE: 6/5/2006 DEPARTMENT ID NUMBER:PW 06-024 Analysis: On January 20, 2004, the City Council approved the professional services contract, for on -call engineering services, with Walden & Associates. Amendment No. 2 extended the term by two additional years. Due to special circumstances affecting the Newland Street Widening project, it is necessary to extend the term of the contract for an additional two years to complete the design and construction of the Newland Street Widening Project. No new projects will be assigned to Walden & Associates as part of this contract amendment. The design is approximately 90% complete. Environmental permitting issues delayed the project, which is anticipated to go to construction this Fiscal Year. Revisions to the design will incorporate improvements identified by the Southeast Coastal Redevelopment Area Capital Improvement Program and the recently proposed development of the northeast corner of Newland Street and Edison Avenue. The contract amount will be increased by $40,000 for project revisions and any other unanticipated costs. Walden & Associates will provide construction support, and prepare as -built drawings upon completion of construction. WHEREAS, City and Consultant are parties to that certain agreement, dated July 19, 1999, entitled "Professional Services Contract Between the City of Huntington Beach and Orange County Walden, Inc., dba Walden & Associates for Engineering Services" which agreement shall hereinafter be referred to as the "Original Agreement," and City and Consultant wish to amend the Original Agreement to extend the Term and to set forth additional compensation to be paid in consideration thereof, NOW, THEREFORE, it is agreed. by City and Consultant as follows: 1. EXTENSION OF TERM The purpose of this extension is to allow Consultant to complete all duties, tasks and obligations, as set forth in the On Sinai Agreement. Since execution of the Original Agreement, the project has been delayed due to City issues, such as environmental permitting and design revisions. The Term of the Original Agreement is hereby extended for an additional two-year period. The Original Agreement shall now expire on July 19, 2008. 2. ADDITIONAL COMPENSATION In consideration of the Terns extension, City agrees to pay Consultant an additional fee not to exceed Forty Thousand Dollars ($40,000.00). 3. REAFFIRMATION Except as specifically modified herein, all other terms and conditions of the Original Agreement shall remain in full force and effect. Amendment No. 1 extended the term by one additional year. Due to special circumstances affecting several of the projects assigned to Walden & Associates, it is necessary to extend the term of the contract for an additional two years to complete the projects currently underway. No new projects will be assigned to Walden & Associates as part of this contract amendment. Below is a list of the projects with the current status, and circumstances, which led to the prolongation of project schedules: Speer & Liberty Street Improvements, CC1142 Construction was recently completed. Walden & Associates will prepare as -built drawings as part of the contract. Real estate acquisition as well as budgetary issues caused delays in awarding the project for construction as originally scheduled. No additional funds are required. Brookhurst & Adams Intersection Improvements, CC1162 Design is complete. Real estate acquisition is nearing completion but has taken a year longer than planned. Walden will provide construction support, and prepare as -built drawings upon completion of construction. Approximate cost is $10,000. Michaels Drive Storm Drain Project, CC1166 Design is 90% complete. The project was placed on hold as the location conflicts with the OC- 9 Transmission Main Water Project, which is anticipated to be completed by the fall of 2004. Walden will provide construction support, and as -built drawings. Approximate cost is $20,000. Newland Street Widening Project, CC1095 The design was 75% complete. The project was put on hold to align it with the new Southeast Coastal Redevelopment Area and an expanded scope. Construction is now budgeted for Fiscal Year 2004/2005. Revisions to the design will incorporate improvements identified by the Southeast Coastal Redevelopment Area CIP program. Upon design completion, Walden & Associates will provide construction support, and prepare as -built drawings upon completion of construction. Approximate cost is $45,000. WHEREAS, CITY desires to engage the services of a consultant for a civil engineering services on an "as needed" basis for projects to be determined during the term of the Agreement, in the City of Huntington Beach; and Pursuant to documentation on file in the office of the City Clerk, the provisions of HBMC Chapter 3.03 relating to procurement of professional service contracts has been complied with; and CONSULTANT has been selected to perform said services, NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows: 1. ADDITIONAL SERVICES In the event CITY requires additional services not included in Exhibit 'A" or changes in the scope of services described in Exhibit "A," CONSULTANT will undertake such services after receiving written authorization from CITY. Additional compensation for such services shall be allowed only if the prior written approval of CITY is obtained. 7 METHOD OF PAYMENT A. CONSULTANT shall be entitled to progress payments toward the fixed fee set forth herein in accordance with the progress and payment schedules set forth in Exhibit "A." B. Delivery of Instruments of Service: A copy of every technical memo and report prepared by CONSULTANT shall be submitted to the CITY to demonstrate progress toward completion of tasks. In the event CITY rejects or has comments on any such services, CITY shall identify specific requirements for satisfactory completion. Any such services which have not been formally accepted or rejected by CITY shall be deemed accepted. C. The CONSULTANT shall submit to the CITY an invoice for each progress payment due. Such invoice shall: 1) Reference this Agreement; 2) Describe the services performed; 3) Show the total amount of the payment due; 4) Include a certification by a principal member of the CONSULTANT's firm that the services have has been performed in accordance with the provisions of this Agreement; and 5) For all payments include an estimate of the percentage of services completed. Upon submission of any such invoice, if CITY is satisfied that CONSULTANT is making satisfactory progress toward completion of tasks in accordance with 3 g/agree/walden/06/23/99 • this Agreement, CITY shall promptly approve the invoice, in which event payment shall be made within thirty (30) days of receipt of the invoice by CITY. Such approval shall not be unreasonably withheld. If the CITY does not approve an invoice, CITY shall notify CONSULTANT in writing of the reasons for nonapproval, within seven (7) calendar days of receipt of the invoice, and the schedule of performance set forth in Exhibit "A" shall be suspended until the parties agree that past performance by CONSULTANT is in, or has been brought into compliance, or until this Agreement is terminated as provided herein. D. Any billings for additional services authorized by CITY shall be invoiced separately to the CITY. Such invoices shall be approved by CITY if the services performed are in accordance with the additional services requested, and if CITY is satisfied that the statement of hours worked and costs incurred is accurate. Such approval shall not be unreasonably withheld. Any dispute between the parties concerning payment of such an invoice shall be treated as separate and apart from the ongoing performance of the remainder of this Agreement. 8. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS CONSULTANT agrees that all materials prepared hereunder, including all original drawings, designs, reports, both field and office notices, calculations, maps and other documents, shall be turned over to CITY upon termination of this Agreement or upon PROJECT completion, whichever shall occur first. In the event this Agreement is terminated, said materials may be used by CITY in the completion of PROJECT or as it otherwise sees fit. Title to said materials shall pass to the CITY upon payment of fees determined to be earned by CONSULTANT to the point of termination or completion of the PROJECT, whichever is applicable. CONSULTANT shall be entitled to retain copies of all data prepared hereunder. 4 g/agree/walden/06/23/99 0 01 9. HOLD HARMLESS CONSULTANT shall indemnify and hold harmless CITY, its officers, officials, and employees from and against any and all liability, loss, damage, expenses, costs (including reasonable costs and fees of litigation) arising out of or in connection with CONSULTANT's negligent performance of its services under this Agreement, or its negligent failure to comply with any of its obligations contained in this Agreement by CONSULTANT, its officers, or employees, except such loss or damage which was caused by the negligence or willful misconduct of the CITY. 10. WORKERS' COMPENSATION INSURANCE Pursuant to California Labor Code section 1861, CONSULTANT acknowledges awareness of section 3700 et seq. of said Code, which requires every employer to be insured against liability for workers compensation; CONSULTANT covenants that it will comply with such provisions prior to commencing performance of the services hereunder CONSULTANT shall maintain workers' compensation insurance in an amount of not less than One Hundred Thousand Dollars ($100,000) bodily injury by accident, each occurrence, One Hundred Thousand Dollars ($100,000) bodily injury by disease, each employee, Two Hundred Fifty Thousand Dollars ($250,000) bodily injury by disease, policy limit. CONSULTANT shall require all subconsultants to provide such workers compensation insurance for all of the subconsultants' employees. CONSULTANT shall furnish to CITY a certificate of waiver of subrogation under the terms of the workers compensation insurance and CONSULTANT shall similarly require all subconsultants to waive subrogation. 11. GENERAL LIABILITY INSURANCE In addition to the workers compensation insurance and CONSULTANT's covenant to indemnify CITY, CONSULTANT shall obtain and furnish to CITY, a policy of general public liability insurance, including motor vehicle coverage covering the PROJECT. Said policy shall indemnify CONSULTANT, its officers, agents and employees, while acting 5 g/agree/walden/07/06/99 • within the scope of their duties, against any and all claims of arising out of or in connection with the PROJECT, and shall provide coverage in not less than the following amount: combined single limit bodily injury and property damage, including products/completed operations liability and blanket contractual liability, of $1,000,000 per occurrence. If coverage is provided under a form which includes a designated general aggregate limit, the aggregate limit must be no less than $1,000,000. Said policy shall name CITY, its officers, and employees as Additional Insureds, and shall specifically provide that any other insurance coverage which may be applicable to the PROJECT shall be deemed excess coverage and that CONSULTANT's insurance shall be primary. 12. PROFESSIONAL LIABILITY INSURANCE CONSULTANT shall furnish a professional liability insurance policy covering the services performed by it hereunder. Said policy shall provide coverage for CONSULTANT's professional liability in an amount not less than $1,000,000 per claim and in the aggregate. A claims made policy shall be acceptable if the policy further provides that: A. The policy retroactive date coincides with or precedes the professional services CONSULTANT's start of services (including subsequent policies purchased as renewals or replacements). B. CONSULTANT will make every effort to maintain similar insurance during the required extended period of coverage following project completion. C. If insurance is terminated for any reason, CONSULTANT agrees to purchase an extended reporting provision of at least two (2) years to report claims arising from services performed in connection with this Agreement. D. The reporting of circumstances or incidents that might give rise to future claims. 6 g/agree/walden/07/06/99 13. CERTIFICATES OF INSURANCE Prior to commencing performance of the services hereunder, CONSULTANT shall furnish to CITY certificates of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverages as required by this Agreement; said certificates shall: A. provide the name and policy number of each carrier and policy; B. shall state that the policy is currently in force; and C. shall state that such policies shall not be suspended, voided or canceled except after thirty days prior written notice; however, ten days prior written notice in the event of cancellation for nonpayment of premium. CONSULTANT shall maintain the foregoing insurance coverages in force until the services under this Agreement is fully completed and accepted by City. The requirement for carrying the foregoing insurance coverages shall not derogate from the provisions for indemnification of City by CONSULTANT under the Agreement. City or its representative shall at all times have the right to demand the original or a copy of all said policies of insurance. CONSULTANT shall pay, in a prompt and timely manner, the premiums on all insurance hereinabove required. 14. INDEPENDENT CONTRACTOR CONSULTANT is, and shall be, acting at all times in the performance of this Agreement as an independent contractor. CONSULTANT shall secure at its expense, and be responsible for any and all payment of all taxes, social security, state disability insurance compensation, unemployment compensation and other payroll deductions for CONSULTANT and its officers, agents and employees and all business licenses, if any, in connection with the services to be performed hereunder. 15. TERMINATION OF AGREEMENT All work required hereunder shall be performed in a good and workmanlike manner. CITY may terminate CONSULTANT's services hereunder at any time with or without 7 g/agree/walden/06/23/99 • cause, and whether or not PROJECT is fully complete. Any termination of this Agreement by CITY shall be made in writing, notice of which shall be delivered to CONSULTANT as provided herein. 16. ASSIGNMENT AND SUBCONTRACTING This Agreement is a personal service contract and the supervisory work hereunder shall not be delegated by CONSULTANT to any other person or entity without the consent of CITY. 17. COPYRIGHTS/PATENTS CITY shall own all rights to any patent or copyright on any work, item or material produced as a result of this Agreement. 18. CITY EMPLOYEES AND OFFICIALS CONSULTANT shall employ no CITY official nor any regular CITY employee in the work performed pursuant to this Agreement. No officer or employee of CITY shall have any financial interest in this Agreement in violation of the applicable provisions of the California Government Code. 19. The following" generalized description highlights the major steps the City & Walden team will take to design and build a successful street/highway project. Clear Understanding of Goals, Schedule and Budgets The key -ingredient to making any project successful, is to have knowledgeable, experienced people, who have clear and open communication, and make timely decisions regarding: The Goal: Define what the goal is to consist of in both form and content and determine if there are acceptable alternatives. The Schedule: The team must be cognizant of all deadlines, approval dates, funding dates and outside influences (permitting/approvals by others, special events, R/W, etc.) and must commit to meet the schedule. The Budget: Define the viable options and the opportunities for alternative solutions. Identify constraints that could impact costs (R/W, relocations, other agencies, third party agreements, etc.). There must be clear communication and cooperation between the City & Walden project managers to get this project pointed in the right direction from the start. Research and Review of Available Documents Research and obtain all available plans, documents and guidelines from city records and other agencies and utility companies. We will review all data for existing facilities, criteria and constraints, substantiate project limits and needs, and evaluate potential options and alternatives for the project. This review and evaluation will allow us to determine the needs for surveying, geotechnical work, permits, outside agency involvement and any other consultants. Coordination with the City regarding project goals, schedules and budgets will be continuous. Design Development This phase of the work may be one of the most important in evaluating the realistic goals, schedule and budget, given our first look at hard data. We will evaluate the preliminary surveys and geotechnical work and create base sheets for the project. Preparation of preliminary layouts, calculations and designs gives us a chance to determine any special needs or constraints. We will evaluate the needs/constraints and prepare, if necessary, alternative designs, methods and cost recommendations for presentation to the City for review and approval. A preliminary report and an estimate of probable costs will be submitted to the City as a basis for proceeding. Notification to all affected outside agencies and utilities should be made. This is where our realistic evaluations and design approach to problem solving, coupled with our knowledge of the City's requirements, needs, etc., sets the basis for the project proceeding in a timely and efficient manner. Construction Plans, Specifications and Cost Estimates Using the Design Development documents as a basis, we will evaluate the completed surveys, geotechnical reports and special needs to finalize the horizontal calculations needed for centerline, R/W, station equations, joins and relocations. Survey cross sections, utilizing our "field -to -finish" CAD system, allow us to adjust any preliminary profiles, or join conditions, as part of finalizing our profiles. Design details, joins and conflict potentials, plus the evaluation of outside agency and utility criteria and schedules, will be thoroughly analyzed. In the event design options are needed, we will prepare CAD based alternatives, discuss and finalize them with the City and proceed with final plans. This is where our 14 years of AutoCAD experience will pay huge dividends in creating exhibits, alternative designs and spin-off applications. We will complete the design plans, calculations, reports, � SSOC & 1 SSOCIATES specifications and probable construction cost estimates for review by the City at the 60%, 90% and final plan approval stages. Because this is the longest and most detailed task in the process, the need for clear, continuous communication of experienced City & Walden project managers is critical. Both parties have the people to get the job done right. • Bidding Phase Having completed the above tasks, in a thorough professional manner, the City has the best chance of getting the most cost effective bids. The design goal is to eliminate unknown or questionable items that the contractor may cover in his bid on a basis that protects him but may not be his best price. In that regard we will attend the pre -bid conference and job walk to answer any questions the bidders may have. We will resolve the bidders questions and prepare addenda if required. At the conclusion of the bid cycle, we will assist the City in analyzing the bids, checking for unbalanced items and recommending the firm to be awarded the contract. Construction Phase Services As part of ensuring continuity between design intent and actual construction we will attend the pre - construction conference to answer or clear up any questions the contractor may have prior to starting work. As the construction progresses, we will make periodic site observations to assess progress of the work and the quality of construction. A timely report of our observations will be provided to the City. Should the need arise we will assist the contractor, inspector and project manager with interpretation of plans, specifications and changed conditions. We will analyze any changed conditions and develop a corrective action plan to minimize delays and costs. We will review and negotiate change orders based on changed conditions. Assistance in the review of shop drawings and other contractor submittals will be made as the job progresses. At the conclusion of the project we will prepare "as -built", or record drawings, based on a contractors set of red -lined drawings and survey verifications. Construction Staking Option We offer the City the services of our own in-house surveyors who are equipped with total stations and data collectors. This is part of the "field -to -finish" capability that allows us to load or download project data directly from our surveyors to our computers and vice versa. We will assist the City in developing a scope of field staking services to provide the contractor. Our surveyors will act as the eyes and ears for the City during construction. Providing timely field and office services enables the contractor to maintain schedule and allows minimal time delay in coordinating and checking changed conditions. The ability to check work and to certify when required, is a timely process with our own surveyors. "As-builts" become a routine part of the process with our surveyors on site. The total fees to consultant for all assignments authorized during each year shall not exceed $250,000. PROJECT DESCRIPTION The City's Engineering Division has a large annual capital improvement program budget. The Division, from time to time, has the need to retain the services of a consulting civil engineering firm to supplement City engineering staff and assist in performing the design and the preparation of plans, specifications, cost estimates, and contract documents for various kinds of projects included in the budget. Mostly the projects involve street/highway improvement design or site design. Additionally, assistance is required in the cost estimating for capital projects identified in the City's Integrated Infrastructure Management Program (limp). The City is desirous of contracting with a civil engineering firm to be available to perform services on an "as -needed" basis when supplemental resources are needed. The City will issue Task Orders for each project based upon a scope of services, work schedule, and fee proposal submitted to the City for its review and approval. IV. SCOPE OF WORK In general, the consultant shall perform civil engineering, including geotechnical and surveying, services on an "as -needed" basis for various projects assigned by the City. The scope of work for any one project may involve all phases of project development and may include but not be limited to the following: 1. Preliminary Engineering Prepare alternative preliminary layouts, surveying, geothechnical services, and estimates of probable cost for alternatives, and prepare engineering details, and calculations. Permits Assist the City in obtaining approvals from applicable agencies for environmental, and/or other permits as may be required. 3. Construction Documents Prepare engineering calculations and designs, plans, specifications, cost estimates, and contract bidding documents. The construction documents shall be reviewed by the City at the preliminary engineering, sixty (60%), ninety percent (90%), and final documents stages. The drawings shall be 24-inch X 36-inch ink on mylar media. Drawings shall be in AutoCad Release 14 and submitted on 3.5 inch disk, 1.44 Mbytes. Construction specifications and bidding documents will be provided in Microsoft Word Version 6.0 or later. The City will provide a Microsoft Word Version 6.0 of the General Provisions and bid forms; the Consultant shall modify the documents by adding the necessary special provisions and bid items. 4. Bidding Stage Assist the City in answering bidders' questions, attend pre -bid conferences and job walks, prepare addenda, analyze bids, and recommend award. 5. Construction Stage Attend pre -construction conference. Monitor construction schedule, visit construction site as required for progress and quality of work. Content & Format The City requests that proposals submitted be organized and presented in a neat and logical format and be relevant to these services. Consultant's proposals shall be clear, accurate, and comprehensive. Excessive or irrelevant material will not be favorably received. Proposals shall contain no more than 10 typed pages using a 10 point minimum font size, including transmittal/offer letter and resumes of key people, but excluding Index/Table of Contents, tables, charts, and graphic exhibits. The purpose of these restrictions is to minimize the costs of proposal preparation and to ensure that the response to the RFP is fully relevant to the project. The proposal should include the following: • Transmittal/offer letter. • Page numbering. • Index/Table of Contents. • Approach. • Team Organization including an organization diagram. • Statement of Qualifications including descriptions of similar projects by key staff to be assigned during the term of the contract. • Brief resumes of key staff. • Schedule of Hourly Rates. 2. Approach A description of the firm's approach and work program for a typical street/highway improvement project shall be included in this section. It should explain the technical approach, methodology, and specific tasks and activities that will be performed to address the specific issues and work items. 3. Team Organization The purpose of this section is to describe the organization of the project team including subconsultants and key staff. A project manager and CITY10HUNTINGTON BEACH As -needed Engineering Services RFP APRIL 1999 Page 5 an alternate project manager shall be named who shall be the prime contact and be responsible for coordinating all activities with the City. An organization diagram shall be submitted showing all key team members and illustrating the relationship between the City, the project manager, key staff, and subconsultants. There also should be a brief description of the role and responsibilities of all key staff and subconsultants identified in the team organization. 4. Statement of Qualifications The information provided in this section should describe the qualifications of the firm and key staff in performing projects within the past five years that are similar in scope and size to demonstrate competence to perform these services. The projects listed should be those that the key staff named for this project were responsible for performing services. Information shall include: • Names of key staff that participated on named projects and their specific responsibilities. • The client's name, contact person, addresses, and telephone numbers. • A brief description of type and extent of services provided. • Completion dates (estimated, if not yet completed). • Total costs of the projects. A sample format for presentation of the above prescribed information is included as Attachment B for the consultant's reference. There should be included in the section brief resumes of key personnel who will provide these services demonstrating their qualifications and experience. Resumes should highlight education, experience, licenses, relevant experience, and specific responsibilities for services described. 5. Schedule of Hourly Rates The firm's schedule of hourly rates shall be included with the proposal. The percentage mark up of reimbursable expenses, if any, shall also be specified in the proposal. Price escalations during the contract term shall be approved in negotiations prior to a contract. CITY9HUNTINGTON BEACH As -needed Engineering Services RFP APRIL 1999 Page 6 6. Statement of Offer & Signature The Proposal shall contain a statement that the proposals are a firm offer for a 60-day period and signed by an individual authorized to act on behalf of the firm. VI. GENERAL REQUIREMENTS 1. Insurance Requirements The consultant shall furnish with the proposal proof of the following minimum insurance coverage. These minimum levels of coverage are required to be maintained for the duration of the project: A. General Liability Coverage - $1,000,000 per occurrence for bodily injury and property damage. If Commercial General Liability Insurance or other form with a general limit is used, either the general aggregate limit shall apply separately to this project/location or the general aggregate limit shall be twice the required occurrence limit. B. Professional Liability Coverage - $1,000,000 per occurrence (note: A "claims made" policy is acceptable). C. Worker's Compensation Coverage: State statutory limits. Deductibles, Self -Insurance Retentions, or Similar Forms of Coverage Limitations or Modifications, must be declared to and approved by the City of Huntington Beach. A sample certificate is included as Attachment C. The consultant is encouraged to contact its insurance carriers during the proposal stage to ensure that the insurance requirements can be met if selected for negotiation of a contract agreement. 2. Standard Form of Agreement The consultant will enter into an agreement with the City based upon the contents of the RFP and the consultant's proposal. The City's standard form of agreement is included as Attachment A. The consultant shall carefully review the agreement, especially with regard to the indemnity and insurance provisions, and include with the proposal a description of any exceptions requested to the standard CITY0HUNTINGTON BEACH As -needed Engineering Services RFP APRIL 1999 Page 7 contract. If there are no exceptions, a statement to that effect shall be included in the proposal. 3. Disclaimer This RFP does not commit the City to award a contract, or to pay any costs incurred in the preparation of the proposal. The City reserves the right to extend the due date for the proposal, to accept or reject any or all proposals received as a result of this request, to negotiate with any qualified consultant, or to cancel this RFP in part or in its entirety. The City may require the selected consultant to participate in negotiations and to submit such technical, fee, or other revisions of their proposals as may result from negotiations. 4. Assigned Representatives The City will assign a responsible representative to administer the contract, and to assist the consultant in obtaining information. The consultant also shall assign a responsible representative (project manager) and an alternate, who shall be identified in the proposal. The consultant's representative will remain in responsible charge of the consultant's duties from the notice -to -proceed through project completion. If the consultant's primary representative should be unable to continue with the project, then the alternate representative identified in the proposal shall become the project manager. The City's representative shall first approve any substitution of representatives or subconsultants identified in the proposal in writing. The City reserves the right to review and approve/disapprove all key staff and subconsultant substitution or removal, and may consider such changes not approved to be a breach of contract. VII. CONSULTANT EVALUATION & SELECTION PROCESS The City's consultant evaluation and selection process is based upon Qualifications Based Selection (QBS) for professional services. The following criteria will be used in evaluating the proposals using a point value system (100 points) based upon the weighting indicated below. 1. Approach and work plan for a typical street/highway project. (25 points) 2. Qualifications and experience of the project manager and other key individuals. (40 points) 3. Results of reference checks. (15 points) Reference checks will only be conducted for a short list of firms or the top rated firm. 4. Clarity of proposal. (10 points) + CITS HUNTINGTON BEACH As -needed Engineering Services RFP APRIL 1999 Page 8 5. Compliance with proposal requirements including the 10 page limitation. (10 points) The City may elect to interview a short list of qualified firms or to interview only the top rated firm based upon the proposals submitted for the project. The City staff will negotiate a contract with the best qualified firm for the desired consulting services. Should the City staff be unable to negotiate a satisfactory contract with the firm considered to be the most qualified, negotiations with that firm shall be formally terminated. Negotiations will then be undertaken with the next most qualified firm. Failing accord with the second most qualified firm, the City staff will terminate negotiations and continue the negotiation process with the next most qualified firms in order of their evaluation ranking until an agreement is reached and a firm is selected and an agreement is executed.
