PROFESSIONAL SERVICES CONTRACT

Westec Services, Inc.," a California corporation, hereinafter
called the Contractor, hereby agrees to perform the following services
in accordance with all pertinent guidelines set forth by the State of
California in the Public Resources Code Sections 2:1100-21107, Attorney '
General Reports, any pertinent guidelines adopted by the local agency
and the Guidelines for Environmental Impact Reports as provided by the
Resource Agency of the State of California:
A. Provide a detailed statement of the environmental impact of the
Lusk Industrial Park in Huntington Beach. Such report shall in-
clude
1. A detailed statement of any adverse environmental effects
which cannot be avoided if the proposal is implemented.
2. A detailed statement as to mitigation measures proposed to
minimize the impact.
3. Alternatives to the proposed action.
4. A detailed statement of the relaticaship between local short-
term uses o1 man's environment and the maintenance and en-
hancement of long-term productivity.
5. A detailed statement of any irreversible environmental changes
which would be involved in the proposed action should it be
implemented.
6 A detailed statement of the growth -inducing impact of the
proposed action.
-7. A detailed statement of the boundaries of the area which may
be significantly affected by the proposed action.
$. All items included in Exhibit A, which is hereby made a part
of this contract
9. Any ether information or data which may be required by the En-
vironmental Review Board, in accordance with section 9721.1(e)
of the Huntington Beach Ordinance Code.
B. Provide copies and consultation
1. Provide a draft EIR in 50 copies for review by said Agency
within six weeks of the signing of this contract.
2. Provide a Final EIR within two (2) weeks of the Environmental
Review Board's public hearing. Such Final EIR will be in
50 copies and will include:
a. Written comments received on the Draft EIR'and comments
from the public hearing.
b. Responses to pertinent comments and communications and
reconciliation of problem areas, insofar as possible.
c. Revisions to the Draft EIR, as required,
3. Appear at two (2) meetings of the Bnvironmental Review Board,
a Planning Commission meeting, and possibly a City Council
meeting.
4. Provide representatives who will meet with and on behalf of
the Agency, whenever requested by Agency, at meetings required
.relative to the Environmental Reports reviews and/or hear-
ings until and to 45 days after submittal of the Final EIR,
or until said Final EIR is approved by Agency, whichever
occurs first.
5. Provide an indemnification policy in an amount sufficient to
protect the local agency from any and all claims which the
Agency may sustain or incur as a result of the negligence of
the contractor, or contractor's agents.
PART rI
The City of Huntington Beach, heretowith and hereinafter called
the Agency, in consideration of the foregoing services, hereby agrees
to the following
1. To provide contractor with copies of relevant environmental
reports conducted to date for the City.
2. To provide all existing data pertinent to the completion of
the final environmental impact report.
3. To seek cooperation from the Agency's developer in providing
access to the real property which is the subject matter of
the proposed action and all information or documents, studies
and,/or reports pertaining to the proposed development and to
the completion of the environmental impact report.
4. To pay 'a fixed fee to Westec Services, Inc. for their profes-
sional services in the suns of not more than nine thousand and
six hundred dollars ($9,600.00) for tasks outlined in this
contract{ Said fee includes administrative costs. The fee
shall be paid to Contractor per the schedule contained in
Exhibit B, which is hereby made a part of t:his -.ontract.
PART III
The Contractor and Agency agree to the further terms and condi-
tions set forth in this PART III:
1. The Contractor keep all information and data relating to
or connected with the contract documents and the work confi-
dential in all. respects, and shall not, without prior written
cons�:nt of the Agency, publicize any information to third
persons;

2. Contractor shall start work on the proposed action at the sign-
ing of the contract.
3. Agency may extend the time of completion and/or any of the due
dates specified herein upon written notice to the Contractor.
Without such Written notice no extension of time is Valid..
4. In the event an action be brought for recovery of moneys due
or to become due under this contract or by reason of any breach
of any covenant herein contained the prevailing party shall be
entitled to all of the costs in connection therewith.
5. Contractor warrants the accuracy of statements made in their
reports, that their reports shall be based upon data believed
to be accurate and correct ,and shall be prepared in a profes-
sional and expert manner.
6. Termination: Agency may term ^t this contract upon written
notice to the Contractor. �" .er``-lation, Contractor shall be
entitled to compensation in ` -:;.on to the services per-
formed to date of termination. apon request, Contractor shall
make available and turn over t Agency':; possession, all work
done to date of termination relating to the project herein.
,'. Tor Agency, administration of this contract shall be by the
secretary of the Environmental Review Board or his duly appointed
and authorized representative.
8. All notices from Contractor required. herein must be written and
directed to said secretary or representative and those from
Agency must be by said secretary or his representative to Con-
tractor, to bind Agency.
WHEREFORE, in witness of each other we set our hands hereto this
day of October, 1973.

EXHIBIT A
Scope of Contractor's Services
This project is an environmental impact report on the Lusk Indus-
trial Park. The 00 acres of industrially zoned land, northerly of the
park property at Bolsa Chica Road and Bolsa Avm will be included as
part of the overall discussion in the report; ,,"ile the 36 acres of
property located southerly of Tentative Tract 6948 will be discussed as
to its current zoning and current use, conclusions for its ultimate use
will not be discussed in this report.
Data collection and analysis will include the following:
1. A complete and thorough physical and human interest resources
survey including:
a. A field inspection of the property by a qualified
Biologist.
b. A field inspection of the property by a qualified
Geologist.
c. .An archaeological survey of the site.
d. A paleontological .Purvey of the site.
2. A comparison of the proposed project with other developments
having essentially the same characteristics. This process
will include on -site observation and accumulation of data in
the vicinity of the proposed project and at three to five
existing, similar industrial parks. These observations will,
generate new information involving:
a• Types of uses.
b. Employment needs
c. Traffic flows, volumes, and types and their effect on
arterials, ingress and egress.
d. Ambient noise levels.
e.. Public facilities and services, including but not limited
to:
(1) Loads on the sewer system.
(2) Natural gas consumption rates.
(3) Electrical usage rates.
(4) Water consumption rates
(5) Storm drains.
Where appropriate, qualifying statements regarding the compar-
isons made and the conclusions drawn wi'Ll be offered.
3. Assemblage and analysis of available data, including but not
Limited to.
a. Information previously gathered by WESTEC Services during
the preparation of reports on similar industrial parks.
b Existing site plans
c. Existing soils reports.
d. Engineering studies
e. Project data.
f. Land use plans.
g. Zoning requirements.
h. The availabilityof community services
i. Existing air and water quality data.
Following the gen; a.tion and accumulation of the data as out-
lined above, WETEC Services, with F. 0. Round, Jr., serving as study
director, will prepare the Environmental Impact Report for the project
using, the format oatlined in Attachment 1. The report will provide a
detailed_statemen! of the Environmental Impacts that will be malt if
the project is approved. This statement will include at a minimum:
1. Physical impacts dealing with:
a. Geologic and soils conditions
b. Water quality,
c. Air quality. In order to accomplish this, the air pol-
lutant contribution of the project will be estimated and
applied to existing air quality data for the regional
air cell.
2. Biological impacts with regard to vegetative cover and wild-
life, endemic and endangered species and other flora and
fauna related assessments.
3. Human environmental impacts of the project related to:
a. Land use.
b. Manpower requirements and employment generators.
c. Effects on public facilities and services
d. Aesthetic and visual characteristics
e. Transportation effects.
Noise` effects.
g. Any significant changes in age, race, income, family size,
and other population characteristics.
h. Any archaeological or historic resources.
i. Possible deletion from the Master Plan of Streets and: Art-
erials of McFadden Street from Graham westerly to the
Rl area.
The report will include:
1. The names and qualifications of the individuals who partici-
pated in the study and the role each played in the preparation
of the report.

2. A'list
of the Governmental agencies, private organizations,
and private individuals consulted in preparing the Environ-
mental
Impact Report.
3. A list
of the references used in the preparation of the EIR.

SCHEDULE OF PAYMBNT
1. 25 forthwith as a retainer.
2. 25% upon determination by the Secretary of the Bn.-
vironmental Review Board that the Draft BIR is of
adequate quality to be distributed for review.
3. 254 upon submission of the Final BIR to the Envir-
onmental Review Board.
4. 2S% upon acceptance of Final FIR by the City; however,
if Agency fails to act within forty-five (45) days
after the Final BIR has been submitted, the withheld
fee shall be paid forthwith to Contractor.
