Hunt? nE;ton Beach sha:l.l prepare plans Ind speci- fi,c,atioiis for the installat3 on of a traffic: signal system at the intersection of MaPedden at Gothard Street -and Vermont Street . WSA: er 1. y 7 s , 3. Westminster shall have the right of approval. of such plans . 4. After approval by Westminster, Huntington Beach shall advertise for bids , pursuant to State law. 5. IIu:ntington Beach Engineering Department shall supervise the performance of said work. 6. The cost of the street improvements , the injtalla- tion of the traffic signal system, and the railroad crossing nrotcction devices shall be paid by the partiez, hereto as follows : A. Construction of street improvements on McFadden Avenue between Gcthard Street an the San Diego Freeway: cost to each party shall be :.' e quantity of improvements placed within the boundaries of each. paid at the contract unit prices for said improvements, or if lump sum, proportioned by the portion installed within the boundaries of each. B. Installation of a traffic signal system at the instersection of McFadden Avenue and Gothard Street/ Vermont St):,eot : Westminster - 50% Huntington Beach - 50 C. Installation of railroad crossing protection devices at the intersection of McFadden Avenue and the Southern Pacific Transportation Company 's Stanton Branch line (Crossing No. BAA 519 .09 ) Westminster - 50°, Huntington Beach - 5n 2. i. Westminster will pay _ts proportionate share within thirty (30) days after notice of completion of the construction contract . 8. Huntington -Peach wi:Ll require the contractor who receives the bid to keep an exact accounting of the expenditures t on the project . 9. Huntington Beach shall not issue any contract W change orders without firFz; having obtained approval from Director of Community Development of the City of Westminster. 5 10 . Upon completion of the installatio.,, of the traffic signal system at the intersection of fke�'adden Avenue and Gothard Street/Vermont Street , the maintenance of said system shall be performed by or, under the direction of Huntington Beach. The cost of said maintenance shall be proportioned between the parties hereto as follows : Westminster - 500 k Huntington Beach 11 . Any controversy or claim arising out of or related to this agreement or to the interpretation, breach or enforcement thereof shall be submitted to three (3) arbitrators, one being the County Road Commissioner, County of Orange, or an engineer member of his staff, and the remaining two ,(2) t o be chosen by the respective cities or b engineer associated with the � Y an 5� Public Works Department of a municipality. Any decision made by the majority of said arbitrators shall be final, binding and not appealable . 12. Each party hereto pledges its full faith and t ,x credit to ^ass said necessary resolution and take proper le�;a1 3. I w+ 7 • a • steps to perform and to effect this agreement .
