CONTRACT FOR ARCHITECTURAL SERVICES
THIS AGREVILNT, by and between the CITY OF HUNTINGTON BEACH, a municipal
corLngation of the State of California, hereinafter .alled "CITY," and
WILLIAM BLUROCK d PARTNERS, hereinafter called "ARCHITECT,"
W I T N E S S E T H:
WHEREAS, CITY proposes to construct a municipal corporation yard on
Gothard Street,
ARCHITECT is an architectural fi—r—, the principal members of which are
fully registered under the laws of the State of California, and the Director
of Public Works is the representative of the CITY,
NOW, THEREFORE, IT 1S MUTUALLY AGREED between the parties hereto that:
1. ARCHITECT shall prepare and furnish to CITY, complete and ready for
use, all necessary studies, dcetches, estimates, working drawings and specifi-
cations, shall check shop drawings, catalog cuts, material lists as submitted
by the construction contractor, shall furnish consultation and advice as
requested by CITY during construction,including evaluation of specified tests
as further defined herein (but not including any supervision of the construction
work), and shall furnish all other architectural services, including without
limitation those specified hereinafter and required for the municipal corpora-
tion yard, Phase II, having an estimated construction cost of Six Hundred Thousand
Dollars ($500,000.00), and more specifically su.1 forth in items F, G, portions
of I, and J as per memorandum of January 20, 1972, attacb?d hereto and made a
part hereof, excepting estimates, being two shop buildings, administration building,
one tyr,ical garage, and warehouse. ARCHITECT agrees to deL_gn facilities which

can be constructed within the amount hereinabove set forth. The project design,
including utilities, plumbing, electrical and paving shall conform to rill
applicable CITY code requirements. ARCHITECT shall also conform to the technical

instructions as issued by the Director of Public Works.
If, after receipt of competitive bids. it is found that a construction
contract cannot be awarded within ten percent (107) of the afore•.entioned
estimated construction cost, ARCHITECT will, as a part of this agreement, and
at no additional cost to CITY, perform such redesign, re -estimating and other

services as may, in the opinion of the Director of Public Works, be required
to produce a usable facility within tt.e estimated construction cost. In
connection with the t regoing, ARCHITECT sMl'+ '^ igated to perform such
additional services at no increase in contract price only when CITY has received
competitive bids within two (2) months from date of final approval of plans
and specifications.
2. All drawings, designs, specifications, and other incidental architec-
tural and engineering we o. materials furnished hereunder shall be and regain
the property of CITY, except that said drawings, etc., cannot be used for other
municipal corporation yards, except the typical garage may be repeatedly coL-
structed under City direction at the same P:ce.
3. ARCHITECT shall, if necessary, visit the site and shall ho,.d such
conferences with representatives of CITY and take such other action as may
be necessary to obtain the data upon which to develop the design showing t.1
contemplatt-d project in accoFdance with the followings
4. As an architectural design requirement, CITY will provide as -built
topographic maps, engineering street improvement plans, grading plans and
complete s,'.l analysis of the existing sites.

^ (A) Design Development Phases The ARCHITECT shall complete the
design development phase to include the development of design site plans,
elevations and other drawings -Ath outline specifications Covering the project,

and including materials and equipmetit, as are necessary to integrate the.
design, explain the project fully, and enable a preliminary estimate of
construction cost. This phase shall be submitted to the Director of Public
Works for signature approval within ninety (90) days after approval of the
contract. ARCHITECT shall change the design deve?,pmentplans for the project

to the extent necessary to meet the requirements of the Director of Public

Works. After approval by signature of the Director, the ARCHITECT .hall furnish
necessary prints of the approved design development plans to the Divector.
(B) The Construction Documents Phases After approval of the design

G development phase plans and estimates, ARCHITECT shall procee;J with the pre-
paration of complete worki,.g drawings and specifications as required by the
" Director of Public Works for the construction of said project. One set of
reproducible transparencies of the working drayrings, specifications, and

estimates shall be deliveTod to the Director of Public Works within sixty (60)
drays after approval of the design development phes . After working drawings
and specifications have been approved by CITY, ac indicat,ld by the signature

thereon of the Director, ARCHITECT shall furnish sets -+f prints of the approved
working drawings and sets of the approved specifications as may be required

5. Upon approval of find plans, ARCHITECT shall deliver to CITY one
set of tracings, in such medium and on such materials as may be required by
t:!e Director of Public Works, suitable for blueprinting, showing complete
}' approved construction requiremetits. Such tracings as are delivered shall be

signed by the Director as in indication of approval thereof and shall become
and remain the property of CITY.
6. ARCHITECT 3ha11 perform and provide all necessary architectural
services of every kind in connection with the studies, designs and the pre-
paration of drawings and specifications, but said services shall not, unless

t otherwise stipulated include sureeys, engineering services, soil tests, or
supervision of construction work executed from the drawings and specifications;
proviaed, however, that ARCH11'ECT shall furnish upon request and ..ithout addi-

tional compensatiun, such amplifications avid explanations and attend such,
�;nferen�.es as may, in the opinion of the Director of Public Works, be necessary

? to clarify ti-.a intent of the drawings and specifications snd shall afford the
benefit of hip advice on questions that may arise in connection wi;.i the
construction of the project.
7. ARCHITECT shall, without additional fee, correct or revive the drawings
and ;pecifications if the Director of Public Works finds that such revision is
necessary r.o correct errors or deficien.-.ies for. which ARCHITECT is resi;onsible.
J. All -;services to be rendered hereunder shall be subject totbe direction
' end approval of the Director of Public Works. Approval by said Director of
drawings., designs, L. ifications and other incidental architectural work or
materials furnished hereunder shall not in any way relieve ARCHITECT of respon-
sibility for the technical adequacy of the work.
9. The cost to CITY f-r the aforementioned architectural services shall
be a sum equal. to six percent (6%) of the Wontract price of said items being
two shop huildinus, administr,;tion building,, one typical gnroyp; And wrrehouse,
estimated to be Six Hundred ehousard 'Dollars ($600,000.00).

11. ARCHITECT will keep accurate accounting records of time and

12. CITY may, of any time, by written order o the Director of Public
Works; make any changes in the services to be perforned hereuxider. If couch
changes cause an increase in the cost of doing the work under this agreement
or in the time required for its performance, an adjustment shall be made bas-2d

ment under this clause must be made in writing to the Director of Public Works

on his behalf.
14. CITY may cancel this agreement upon written notice to the ARCHITECT
and shall thereafter be liable for fees and costs accrued to date of the
receipt of notice by ARCHITECT but not to exceed the maxima. set forth in
paragraph 9 hereinabove, and for no other fees or costs.

such other action as may be necessary to obtain the data upon which
to develop the design showing the contemplated project in accord-
ance with the following:
4. As an architectural design requirement, CITY will
provide as -built topographic maps, engineering street improvement `
plans, grading plans and complete soil analysis of the existing
sites.
(A) Design Development Phase: The ARCHITECT shall
complete th- design development phase to include the development of
design site plans, elevations and other drawings with outline speci-
fications covering the project, and includf.ng materials and equipmez.t,
as are necessary to integrate the design, explain the project fully,
and enable a prelixr_ir.a.ry estimate of cons;;ruction cost. This phase
shall b,: submitted to the Director of Public Works .for signature
apprc•al within sixty (60) days after approval of the contract.
ARCHITECT shall change the design development plans for the pro-
ject to the extent necessary to meet; the requirements of the
Director of Public Works. After approval by signature of the
Director, the ARCHITECT shall furnish necessary prints of the:
approved design development plans to the Director.
(B) The Construction Documents Phase: After
approval of the design development phase plans and estimates,

drawings and specifications as required by t..e Director of Public
Works for the construction of said project. One set of reproduc-
ible transparencies oi' the working drawings, specifications, and
estimates shall be delivered to the Director of Public Works within

thirty (.30) days after approval of ifthedesign, development phase.
After h-)rki.ng drawings and specifications have been approved by
CITY, as indicated by tie signature thereon of the Director,
ARCHITECT shall furnish sets of prints of the approved working
drawings and seta of the approved specification:; as may be required
by the Director.
5. Upon F.ppr•oval of final plans, ARCHITECT shall deliver
to CITY one set of tracings, in such medium and on such materials
-as may be required by the Director of Public Works, suitable for
blueprinting, showing complete approved constructJ_on requirements.
Such tracings as are delivered shall be signed by the Director as
an indication of approval thereof and shall become and remain the
property of CITY.
6. ARCHITECT shall perform and provide all necessary
architect)tral services of c;,.ery kind in connection with the studies,
designs and the preparation of drawings ai.a specifications, but
said services shall not, unless otherwise stipulated Inc1r,le surveys,
engineering services, soil tests, or supervision of construction

ings and specifications and shall afford the benefit of his advice
on questions that may arise in connection with the construction of
the project.
7. ARCHI.TE,;T shall, without additional fee, correct
or revise :,ne drawings ,.end spec;ifi^ations if the Director of Public
Works finds that such ievision is necessary to correct errors or
deficienci,�s for which ARCHITECT is responsible.
. All services to be rendered hereunder shall be sub-
.iect to the direction and approval of the Director of Public Works.
Approval by said Director of drawings, designs, specifications and
other incidental architectural work or materials .furnished hereunder
shall nct in any way relieve ARCHITECT of responsibility for the
technical adequacy of the work.
9. The cost to CITY for the aforementioned architectural
servie�s shall be a sum equal to five and one-hulf percent (5 1/2%)
of the contract price of said items B and C, being central garage
and fuel islands, estimRted to be Five fiu_.dred Thousand Dollars
($500,000.00).
10. The cost for the work,, including the fear's and
reimbursement items, will be billed by ARCHIT':dCT to CITY monthly in
proportion to the work accomplished and to the extent that the
reimbursable items are incurred, said bills to be submitted to the
Director of Public Works for his approval before payment may be
made by CTTY Finance Director. Such bills will be payable upon
receipt and approval, provided that payment of the basic fee shall
