THIS AGREEMENT is made and entered into this 1

day o f 99- -2� 1965, by and between the City of
Huntington Beac , California, hereinafter called City, and
World Associates Inc., hereinafter called World:
WHEREAS, the City is anticipating the purchase of a
helicopter or helicopters for police patrol work; and
WHEREAS, NTorld represents that it has in its employ,
personnel who are properly licensed, trained and qualified to
give such flight training; and
WHEREAS, City desires to obtain tre services of World for
such services and World is willing to provide such services;
NOW, THEREFORE, in consideration of the mutual terms and
conditions hereinafter set forth, it is agreed as follows:
1. World shall provide flight training and supervision
for two (2) individuals selected by City.

Said training and supervision shall commence on or
about February 1, 1969, and be completed within six (6) months
tn.ereof.
3. The flight training program shall consist of:
(a) Each pilot trainee to receive two hundred (200)
hours of instruction and supervision so as to qualify each trainee
for an examination to be given by the Federal Aviation Agency
for a commercial helicopter pilot's license. This training to
be the same even if the trainee is already a Licensed pilot.
(b) Selected pilot trainee or trainees, based upon
ability and aptitude as determined by World, will be trained so
as to qualify for an examination to be given by the Federal
Aviation Agency for a helicopter instructor's license
(c) Said training and supervision shall be conducted
for one hundred (100) hours, (fifty (50) hours each man)
at Long Beach, California, and three hundred, (300) hours
(one hundred fifty (150) hours each man) at Huntington
Beach, California.
4. World shall provide instruction and supervision for
two (2) observer trainees, in the techniques of aerial observation,
communication and reporting.
5. World gill consult with the cognizant police department
personnel 1.n the following areas:
(a) Patrc'. route establishment
(b) Safety Corridor establishment
(c) Heliports
(d) Communication
(e) Administrative and Operational Scheduling
{ (f) Departmental Familiarization
(g) Public Relations
as well as all other matters pertinent to the establishment of
helicopter police patrol.
6. City shall provide helicopters for the full training
and supervision program; and all costs including, but not
limited to, maintenance, insurance, fuel and oil shall be
borne by City.
7,, All costs, including, but not limited to, transportation,
room and board for pilot trainees shall be borne by City.
8. For said training and supervision, City 'shall pay to
World the sum of Ten Thousand Dollars ($10,000.00) as follows:
(a) Five Thousand Dollars ($5,000.00) at the
execution of this agreement.
(b) Two Thousand Five Hundred Dollars ($2,500.00)
sixty (60) days after the executioL of this agreement.
(c) Two Thousand Five. Hundred Dollars ($2,500.00)
at the completion of this agreement,

9, In the event one (1) or more of the individuals being
trained by World fails or is unable to continue with said
training, any replacement student shall be trained at an
additional cost to City of Twenty Dollars ($20.00) per flight
hour for additional flight training hours as required. }
10. The parties hereby hold each other harmless for any
injury or damage to persons or property occurring during said
flight training and supervision arising from fault of each
other's agents, servants or employees.
IN WITNESS WHEREOF, the parties hereto have caused these'
presents to he du?,y executed with all the formalities required
by law on the respective dates set forth opposite their signatures.};

February 4 concernin,g fuel arrangements for the City
of Huntington Beach helicopter during the training
program. It is the City's desire to exercise the
(wet) option of $23.50 hourly service charge which
includes refueling. At such time as other arrange-
