Funding Source: Funds are available in the Water Capital Improvements and Water Master Plan Budget. Recommended Action: Motion to: 1- Approve the attached Professional Services Contract with AKM and authorize the Director of Public Works to expend monies to cover contract expenditures not to exceed $250,000 per contract year; and, authorize the Mayor and City Clerk to execute said agreement. 2. Amend the requirement under Professional Liability to allow a deductible not to exceed $25,000. Alternative Action(s): Deny approval of the contract andd direct staff accordingly. Services RCA -2- 10/07/99 4:26 PM AUEST FOR COUNCIL ACTIM MEETING DATE: October 18, 1999 DEPARTMENT ID NUMBER: 99-101 Analysis: The Public Works Department occasionally has the need to retain the services of a consulting civil engineering firm to supplement City engineering staff and assist in performing preliminary engineering, studies and project design for water capital improvement projects. Tasks may include the preparation of plans, specifications, cost estimates, and contract documents for various projects. The projects will generally involve new and replacement water main design, but may include aspects of water storage, pumping, treatment and distribution. An as -needed contract will allow a civil engineering firm to be available to perform various services when supplemental resources are needed. On July 20, 1999, staff mailed Requests for Qualifications (RFQ's) to the following engineering consultants: 1. AKM Consulting Engineers* 2. Daniel Boyle Engineering, Inc.* 3. Dudek & Associates, Inc.* 4. Hall & Foreman, Inc.* 5. Lee & Ro, Inc* 6. Robert Bein, William Frost 7. Tait & Associates, Inc. 8. Toal Engineering, Inc. 9. Willdan Associates Five engineering firms (those denoted with an asterisk, above) submitted Statements of Qualifications (SOQ's). A three member City team evaluated each of the SOQ's on the basis of the firm's understanding and stated approach to a typical project, their qualifications and experience, and their responsiveness to the RFQ. The evaluations were ranked, and AKM Consulting Engineers was selected as the best qualified response. Fee Schedules of all five firms were similar and were not a determining factor in the selection. The City will issue individual Task Orders for each project, which will be based upon an approved scope of services, work schedule and fee proposal. Fee Proposals will be negotiated for each specific project with a defined Not -to -Exceed amount. The total fees to the consultant for all assignments authorized during each year shall not exceed $250,000. Consultant services for major or highly specialized capital projects, such as reservoir construction will be selected through a separate process. Public Works Commission Review: Not required, per Municipal Code Chapter 2.111. As the design of each individual project is completed, the specific project will be presented to both the Public Works Commission and City Council for review and approval, prior to bidding. Environmental Status: Not applicable. Each individual project will be brought forth before City Council in accordance with current practice. Water Eng. WHEREAS, CITY desires to engage the services of a consultant to provide CITY with as -needed water engineering services; and Pursuant to documentation on file in the office of the City Clerk, the provisions of the Huntington Beach Municipal Code, Chapter 3.03, relating to procurement of professional service contracts have been complied with; and CONSULTANT has been selected to perform said services, NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows: 1. WORK STATEMENT CONSULTANT shall provide all services as described in the Request for Proposal ("RFP"), and CONSULTANT's Proposal dated August 9, 1999 (both of which are hereinafter referred to as Exhibit "A"), which are attached hereto and incorporated into this AGREEMENT by this reference. These services shall sometimes hereinafter be referred to as the "PROJECT." CONSULTANT hereby designates Mr. John Loague who shall represent it and be its sole contact and agent in all consultations with CITY during the performance of this AGREEMENT. j mVwatrengr-09109: 99 2. CITY STAFF ASSISTANCE CITY shall assign a staff coordinator to work directly with CONSULTANT in the performance of this AGREEMENT. 3. TIME OF PERFORMANCE Time is of the essence of this AGREEMENT. The services of CONSULTANT are to commence as soon as practicable after the execution of this AGREEMENT and -all tasks specified in Exhibit "A" shall be completed no later than two (2) years from the date of this AGREEMENT. These times may be extended with the written permission of CITY. The time for performance of the tasks identified in Exhibit "A" are generally to be shown in the Scope of Services on the Work Program/Project Schedule. This schedule may be amended to benefit the PROJECT if mutually agreed by CITY and CONSULTANT. 4. COMPENSATION In consideration of the -performance of the services described herein, CITY agrees to pay CONSULTANT a fee not to exceed Two Hundred Fifty Thousand Dollars (S250,000). 5. PRIORITIES In the event there are any conflicts or inconsistencies between this AGREEMENT, the CITY's RFP, or the CONSULTANT's Proposal, the following order of precedence shall govern: 1) AGREEMENT, 2) the CONSULTANT's Proposal, and 3) the CITY's RFP. b. EXTRA WORK In the event CITY requires additional services not included in Exhibit "A," or changes in the scope of services described in Exhibit "A," CONSULTANT will undertake such 2 j m! 1 titi atrengr.'09%09?99 • • work only after receiving written authorization from CITY. Additional compensation for such extra work shall be allowed only if the prior written approval of CITY is obtained. 7. METHOD OF PAYMENT A. CONSULTANT -shall be entitled to progress payments toward the fixed fee set forth -herein in accordance with the progress and payment. schedules set forth in Exhibit "A." B. Delivery of work product: A copy of everymemorandum; letter, report, calculation and other documentation prepared by CONSULTANT shall be submitted to CITY to demonstrate progress toward completion of tasks. In the event CITY rejects or.has comments on any such product, CITY shall identify specific requirements for satisfactory completion.. Any such product which has not been.formally accepted or rejected by CITY shall be deemed accepted. C. CONSULTANT shall summit to CITY an invoice for each progress payment due. Such invoice shall: 1) Reference this AGREEMENT; 2) Describe the services performed; 3) Show the total amount of the payment due; 4) Include a certification by a principal member of CONSULTANT's firm that the work has been performed in accordance with the provisions of this AGREEMENT; and 5) For all payments include an estimate of the percentage of work completed. 3 jr•.-iP`w•aIre ngr:`09 G9.'99 Upon submission of any such invoice, if CITY is satisfied that CONSULTANT is making satisfactory progress toward completion of tasks in accordance with this AGREEMENT, CITY shall promptly approve the invoice, in which event payment shall be made within thirty (30) days of receipt of the invoice by. CITY. Such approval shall not be unreasonably -withheld. If CITY does not approve an invoice, CITY shall notify CONSULTANT in -writing of the ,reasons for non -approval within seven (7) calendar days of receipt of.the invoice, and the schedule of performance set forth in Exhibit "A" shall be suspended until the parties agree that past performance by CONSULTANT is in, or has been brought into compliance, or until this AGREEMENT is terminated as provided herein. D. Any billings -for extra work or additional. -services authorized.by.CITY shall be invoiced: separately to CITY. Such -invoice shall contain-all.of-the=information.required above, and in addition shall list -the hours -expended and -hourly rate:charged.for, such. time. Such -invoices shall be approved by -CITY if the-.,,vork performed is in accordance with -the extra.work or additional services requested, and if CITY is satisfied that the statement of hours worked and costs incurred is accurate. Such approval shall not be unreasonably withheld. Any dispute between the parties concerning payment of such an invoice shall be treated as separate and apart from the ongoing performance of the remainder of this AGREEMENT. 8. DISPOSITION OF PLANS ESTIMATES AND OTHER DOCUMENTS CONSULTANT agrees that all materials prepared hereunder, including all original drawings, designs, reports, both field and office notices, calculations, maps, memoranda, letters and other documents, shall be turned over to CITY upon termination of this AGREEMENT or upon PROJECT completion, whichever shall occur first. In the event this AGREEMENT is terminated, said materials may be used by CITY in the completion of the 4 j mfrwatrengr, 09!09?99 PROJECT or as it otherwise sees fit. Title to said materials shall pass to CITY upon payment of fees determined to be earned by CONSULTANT to the point of termination or completion of the PROJECT, whichever is applicable. CONSULTANT shall be entitled to retain copies of all data prepared hereunder. 9. • HOLD HARMLESS CONSULTANT:shall-protect, defend, indemnify and save and -hold harmless CITY; its officers, officials, and employees, and agents from and against -any and -all liability, loss, damage, expenses, costs (including without limitation, costs and fees of litigation of every nature) arising out of or in -connection with CONSULTANT's performance of this AGREEMENT or its failure to comply with -any of its obligations contained in this AGREEMENT by CONSULTANT, .,Its officers, agents or employees -except such loss -or damage which was caused by the sole negligence or willful misconduct of CITY. 10. - WORKERS"COMPENSATION INSURANCE Pursuant to California Labor Code Section 1861, CONSULTANT acknowledges awareness of Section 3700 et seq. of said Code, which requires every employer to be insured against liability for workers' compensation; CONSULTANT covenants that it will comply with such provisions prior to commencing performance of the work hereunder. CONSULTANT shall maintain workers' compensation insurance in an amount of not less than One Hundred Thousand Dollars (5100,000) bodily injury by accident, each occurrence, One Hundred Thousand Dollars ($100,000) bodily injury by disease, each employee, Two Hundred Fifty Thousand Dollars ($250,000) bodily injury by disease, policy limit. CONSULTANT shall require all subcontractors to provide such workers' compensation insurance for all of the subcontractors' employees. CONSULTANT shall furnish 5 jmt-watrengr 09 09 99 0 to CITY a certificate of waiver of subrogation under the terms of the workers' compensation insurance and CONSULTANT shall similarly require all subcontractors to waive subrogation. 11. GENERAL LIABILITY INSURANCE In addition to the workers'. compensation insurance and CONSULTANT's -•• covenant -to indemnify CITY, CONSULTANT shall obtain and furnish to CITY; a policy of general pub Iic-liability insurance, including motor vehicle coverage :covering.the_P.ROJECT. Said -policy shall indemnify CONSULTANT, its officers, -agents and.employees, while acting within the scope of their duties, against any and all claims arising out of or in connection with the PROJECT, and shall provide coverage -in not less than the following amount: combined ,.single limit bodily injury and property damage, including prod ucts/completed.operations .liability - and blanket contractual -liability, of S1,000,000 per occurrence.. -If coverage. is,provided under a form which includes=a-designated -generataggregate:limit, the-aggregatetlimit:must.be no -less than $1,000,000 for this -PROJECT. bSaid-policy shall name'CITY,-its agents,.its officers, employees and volunteers as Additional Insureds, and shall specifically provide that any other insurance coverage which may be applicable to the PROJECT shall be deemed excess coverage and that CONSULTANT's insurance shall be primary. Under no circumstances shall the above -mentioned insurance contain a self - insured retention, or a "deductible" or any other similar form of limitation on the required coverage. 12. PROFESSIONAL LIABILITY INSURANCE CONSULTANT shall furnish a professional liability insurance policy covering the work performed by it hereunder. Said policy shall provide coverage for CONSULTANT's 6 jmt"aatrengriOM9/99 professional liability in an amount not less than $1,000,000 per occurrence and in the aggregate. A claims -made policy shall be acceptable if the policy further provides that: A. The policy retroactive date coincides with or precedes the professional services contractor's• start of work (including subsequent policies purchased as renewals or replacements). B. CONSULTANT will make every effort to -maintain -similar -insurance during the required extended period of coverage. following project completion, including the requirement of adding all additional insureds. C. If insurance is terminated for any reason, CONSULTANT agrees to purchase an extended reporting provision of at least two (2) .years to report claims arising from work performed in connection with this AGREEMENT. D. The reporting of circumstances or incidents that might give -rise to future claims. 13. CERTIFICATES OF INSURANCE Prior to commencing performance of the work hereunder, CONSULTANT shall furnish to CITY certificates of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverages as required by this AGREEMENT; said certificates shall: A. provide the name and policy number of each carrier and policy; B. shall state that the policy is currently in force; and C. shall promise that such policies shall not be suspended, voided or canceled by either party, reduced in coverage or in limits except after thirty (30) 7 jmfwatrengr09i09 99 days prior written notice; however, ten ( 10) days prior written notice in the event of cancellation for nonpayment of premium. CONSULTANT shall maintain the foregoing insurance coverages in force until the work under this AGREEMENT is fully completed and accepted by CITY. - % The requirement for carrying the foregoing: insurance coverages shall not derogate from the provisions for indemnification of CITY by CONS ULTANT:.under-the AGREEMENT. CITY or its representative shall at all times have the right to demand -the original -or a-copy.of all said policies of insurance. CONSULTANT shall pay, in a prompt and timely manner, the premiums on all insurance hereinabove required. 14. INDEPENDENT CONTRACTOR CONSULTANT- is, and shall be, acting at all times in the performance of this - .. ,- AGREEMENT .as,an independent- contractor. 'CONSULTANT shall.secure°.at:its.expense, and be responsible -for any atid-all payment of all taxes, social security, state idisability,:insurance compensation, unemployment compensation and other payroll deductions for CONSULTANT and its officers, agents and employees and all business licenses, if any, in connection with the services to be performed hereunder. 15. TERMINATION OF AGREEMENT All work required hereunder shall be performed in a good and workmanlike manner. CITY may terminate CONSULTANT's services hereunder at any time with or without cause, and whether or not PROJECT is fully complete. Any termination of this AGREEMENT by CITY shall be made in writing, notice of which shall be delivered to CONSULTANT as provided herein. 8 jmC!w•aarengr 09 09.'99 16. ASSIGNMENT AND SUBCONTRACTING This AGREEMENT is a personal service contract and the supervisory work hereunder shall not be delegated by CONSULTANT to any other person or entity without the consent of CITY. 17. COPYRIGHTS/PATENTS CITY shall -own- all rights -to any patent. or- copyright on any work; item -or material produced as a result of this AGREEMENT. 18. CITY EMPLOYEES AND OFFICIALS CONSULTANT shall employ no CITY official nor any regular CITY employee • •.. -in the work performed. pursuant. to this • AGREEMENT. • No officer or employee of CITY -shall -:•have-any financial interest in •this AGREEMENT- in.violation of -the applicable provisions.of the California Government Code. 19. NOTICES Any notice or special instructions required to be given in writing under this AGREEMENT shall be given either by personal delivery to CONSULTANT's agent (as designated in Section 1 hereinabove) or to CITY's Director of Public Works as the situation shall warrant, or by enclosing the same in a sealed envelope, postage prepaid, and depositing the same in the United States Postal Service, addressed as follows: TO CITY: Director of Public Works City of Huntington Beach 2000 Main Street Huntington Beach, CA 92648 TO CONSULTANT: Jaime E. LEGAL SERVICES SUBCONTRACTING PROHIBITED CONSULTANT- and'CITY•agree that CITY is -not liable_ifor paymenvof any .subcontractor work -involving legal services, and that such legal.services=are-express]y. outside the scope of services contemplated hereunder. CONSULTANT understands that pursuant to Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel for CITY; and CITY shall -not be liable for payment.of.any legal services:expenses incurred by. CONSULTANT. 22. ATTORNEY'S FEES In the event -suit is brought by -either party to -enforce the terms and provisions of this AGREEMENT or to secure the performance hereof, each party shall bear its own attorney's fees. City staff to perform various engineering services related water facilities. These services may include preliminary engineering studies and design of waterworks mostly involving new and replacement water mains. We have prepared the following scope of work to illustrate our approach and work program for a typical water distribution main project. Project Management Protect Schedule AKM will prepare a work plan and initial schedule with the milestones for the major tasks involved in the project. The schedule will be updated monthly. Meetings AKM Teams will meet with the City staff at least once each month during the Preliminary and Final Engineering Design phases of the Project. We will also meet at regular intervals as determined by the City during the Construction Contract Administration Phase. Appropriate engineering specialty staff or principals, and appropriate subcontractor's representatives will accompany the Project Manager to attend the meetings with the City. AKM will prepare the agenda for each meeting, record the minutes of all meetings and - submit a copy of the minutes to the City for its review within five working days after each meeting and prior to distribution. Preliminary Engineering Services Research and Analyze Existing Conditions AKM Consulting Engineers will research and obtain record data from the City, utility companies, railroad companies and any other agencies ii1th existing or proposed facilities or jurisdiction in the project area, and will coordinate with those agencies to obtain facility information and to verify the horizontal and vertical locations of existing and proposed parallel and intersecting facilities. The latest street improvement plans from the City will be obtained and incorporated into the design and plans of the water improvement projects. Based on AKM's prior experience on main replacement projects, it may be more cost effective to obtain aerial topography as the basis of design rather than to rely on existing street improvement plans unless they are relatively new developments. If the aerial topography is not readily available, AKM can make arrangements for new flights and scribing. The survey party(ies) shall be under the direction of a Licensed Land Surveyor. AKM will obtain all right-of-way entry permits required for the design. Potholing At critical locations and as approved by the City, AKM will perform potholing to determine locations and elevations of existing underground utilities, improvements and related facilities. AKM will obtain all right-of-way entry permits required for potholing. Cost for potholing will be born by the City Preliminary Design Our preliminary engineering services will consist of the following: Preliminary design of the proposed water facility improvements and an evaluation of the impact on the existing water, other utility facilities, adjacent residences and businesses in the area. This will include a -temporary water supply plan that shall be approved by the City prior to proceeding with final design; • We will identify existing property lines, existing and proposed easements and right-of- way; including research of records and obtaining preliminary title reports as required to determine easements necessary to perform the construction and maintain the water facilities; including identifying addresses of properties affected by the Project on the plans; • AKM will determine requirements for obtaining necessary permits from the City, various utility companies, railroad company and County, State and Federal agencies as required to construct. • AKM will coordinate with the City staff to develop the methods of maintaining safe vehicular traffic flow with a minimum of traffic congestion and inconvenience to the residents and businesses in the area during construction. Crossing of the major arterial "XYZ" street will be carefully evaluated. "Bore and jack" method .of installation will be compared to open -cut and cover operation based on construction costs and traffic and community impacts. Based on our investigations and designs, we will prepare relevant documents to support our findings in the Preliminary Engineering Design Report. The Preliminary Engineering Design Report will include: a) Plans showing all record and proposed information regarding utilities, obstructions, appurtenant data and street or public works improvements; b) A summary of the impacts of the proposed alignment and list of the significant issues that could potentially impact the schedule and cost of the Project. Deliverables AKM will prepare preliminary plans, specifications and preliminary engineer's estimate in MS Word (on 3'/2" diskettes) for all reports and specifications. Final Engineering Documents and Preparation .of Contract Documents AKM's Final Engineering Documents will include all engineering required to carry out the concepts agreed on in the Preliminary Engineering Design Phase. Final Engineering will include detailed engineering calculations, designs, right-of-way maps and legal descriptions of easements and fee title parcels, if any, construction plans, specifications and special provisions and engineer's estimates for the Project. The plans, specifications and the cost estimate will be complete and sufficient to advertise the construction contract for the project. Required Permits and Easements AKM will, on behalf of the City, discuss, review, apply for and obtain the permits and easements required by the appropriate companies and agencies, as directed by the City. We will prepare necessary legal descriptions and maps, in a form approved by the City to process and acquire the necessary easements. We will identify property lines, existing easements and proposed easements, if any are required, of a permanent or temporary nature, for construction of the Project. The City shall acquire any required right-of-way or easement and file them with the County of Orange; however, AKM will prepare any sketches and legal descriptions necessary to effect these transactions. All permit fees shall be borne by the City. Final Design Based on our investigations and designs, AKM will prepare the documents and contract specification in the City's format. They will include the City's Standard Specifications, contract documents, detailed construction plans, specifications, special provisions and an itemized cost estimate of the proposed work, including acceptance procedures. AKM will prepare all necessary documents, including the following: • Title sheet, location map, vicinity map, and signature blocks applicable to the Project; • General notes sheet with appropriate general excavation, shoring and miscellaneous notes and symbols and abbreviations; Plan and profile drawings for the installation and/or replacement of water maims), temporary water (if required), hydrants, valves (including existing and proposed valve numbering), appurtenances and utility lines, related details; AKM Proposal No. 89-2075 3 1 CITY OF HUNTINGTON BE* AS-NEA WATER ENGINEERING SERVICES `,.. AKM will submit to the City's Traffic and Transportation Division plans for review and approval. Deliverables We will prepare contract documents including bid proposals, specifications, special provisions and final engineer's construction cost estimate in the latest version of MS Word. All drawings will be provided in AutoCAD Release 14 for Windows or Microstation format depending on City's preference and upon completion of the Project. We will also provide to the City complete plans drawn in ink on Mylar film on the City's approved standard size sheets, with the City's standard title block format. Construction Phase Services Construction Administration and Inspection AKM will assist the City's Public Works Department in general contract administration for the construction of the Project. Review of Shop Drawings, Equipment and Material Tests Coordination AKM will review -all construction shop drawings for complete conformance with the contract plans, specifications and documents. AKM will determine and certify to the City that any deviations or substitutions submitted by the Contractor to be equal to or of better quality than specified in the contract documents. We will make our recommendations and review with the City's staff all substitutions and receive the City's concurrence prior to approving any substitution. Our proposal is based on two reviews of the shop drawings. Any additional reviews, costs shall be born by the Contractor. AKM will coordinate and assist in verification of intermediate and final operation. Final acceptance will require the replaced pipelines to be fully operational, and work in unison including hydrostatic testing, disinfection, and transfer of all of the respective portions of each substantially completed pipeline from its construction phase to the City operation phase. Preparation of Record Drawings AKM will obtain as -built drawings as marked by the inspectors and/or Contractor during the course of construction. This information will be used in preparation of the construction record drawings. The project included relining of 4,000 feet of 10-inch cast iron pipe (CIP) and 1,400 feet of 12-inch CIP and replacement of 5,000 feet of 4 and 6-inch CIP's with 8-inch and 12-inch pipes. • Zone 11 Water Main in Antonio Parkway for the Santa Margarita Water District -- Mr. Serna prepared design plans, contract documents and cost estimates for approximately 4,000 feet of 30-inch diameter steel transmission pipeline. • OSRS Pipeline at Calleguas Creek for Calleguas Municipal Water District - Mr. Serna provided design, bidding, and construction support services on the relocation of approximately 400 feet of 39-inch welded steel pipeline. • Flynn Road Pipeline Relocation for Calleguas Municipal Water District - Mr. Serna prepared design plans, contract documents and provided bidding support for the relocation of the 39-inch Oxnard Santa Rosa Feeder which included over 500 linear feet of 39-inch welded steel pipeline, access structure, and pipeline appurtenances. ■ South Irvine Regional Facilities Evaluation for Irvine Ranch Water District - Mr. Serna prepared a Facility Sizing Analysis for future wastewater, domestic water, and nonpotable water facilities within PA 26 of the District • Sunnyside Addition Sewer Project for the City of Douglas, Arizona - Mr. Serna provided .design engineering services, including preparation of plans and specifications for the for four miles of gravity sewer pipeline, ranging from 8-inch to 18-inch in diameter. • Water System Master Plan, City of Douglas, Arizona - Mr. Serna assisted in this Master Plan which evaluated the existing water supply and distribution systems at existing and ultimate conditions, identified areas of deficiency, recommended proposed capital improvements, and developed a phased implementation program.
