SUBJECT: Approve and authorize execution of an Amendment to the Special Utility
Easement and Maintenance Agreement for dedication of Water Easements and
maintenance of public water facilities located at 7777 Edinger Avenue (Bella
Terra Shopping Center)
Statement of Issue:
The Public Works Department is seeking approval of an Amendment to a Special Utility Easement
and Maintenance Agreement for public water facilities located at 7777 Edinger Avenue (Bella Terra
Shopping Center).
Financial Impact:
Not applicable.
Recommended Action:
Approve and authorize the Mayor to execute the "Amendment to Special Utility Easement and
Maintenance Agreement" for public water facilities located at 7777 Edinger Avenue (Bella Terra
Shopping Center).
Alternative Action(s):
Deny the recommended action and direct staff on how to proceed.
Analysis:
The property at 7777 Edinger Avenue for the Bella Terra Shopping Center (also known as the Bella
Terra 1) and the proposed Bella Terra 2 Mixed Use Development have constructed new public
water lines over a portion of the site that serves the Bella Terra 1 and 2 Developments. The public
water lines are over a portion of Parcel 4 of Lot Line Adjustment No. 10-006, recorded October 21,
2011 as Instrument No. 2011000527951 of official records in the Office of the Orange County
Recorder, State of California.
This Amendment will amend the Original Special Utility Easement and Maintenance Agreement for
the Bella Terra Shopping Center that was recorded as Document No. 2007000003422 of official
records of Orange County on January 3, 2007. The amended agreement will be for the dedication
of new water easements to the City and for the additional maintenance responsibilities to the City
and the property owner for the new public water lines, fire hydrants, water meter assemblies,
services and other water facilities that were constructed to serve water to the site.
The Bella Terra development currently consists of four (4) major areas: the Bella Terra Shopping
Center, Costco, residential village, and the southwesterly retail pads. Each area will require

separate Special Utility Easement and Maintenance Agreements for dedication of Water
Easements and Maintenance of public water facilities.

AMENDMENT
TO
SPECIAL UTILITY EASEMENT AND MAINTENANCE AGREEMENT
(Bella Terra Shopping Center, Huntington Beach, CA)
THIS AMENDMENT TO SPECIAL UTILITY EASEMENT AND
MAINTENANCE AGREEMENT ("Amendment") is entered into as of this r day of
2013 by and between BELLA TERRA ASSOCIATES, LLC, a
Delaware limited liability company ("BTA"), and the CITY OF HUNTINGTON
BEACH, a municipal corporation of the State of California, ("City"), with reference to
the following:
Recitals
A. BTA and City are parties to that certain Special Utility Easement and
Maintenance Agreement recorded as Document No. 2007000003422 of the official
records of Orange County, California on January 3, 2007 (the "Agreement").
B. Certain of the easements granted by BTA to City by the Agreement have
been vacated and terminated, as further described in the City's Resolution Number 2011-
81 recorded as Document No. 2012000030828 of the official records of Orange County,
California on January 19, 2012. As a result, the Easement Areas (as defined in the
Agreement) have been modified.

C. The parties wish to further modify the Easement Areas (as defined in the
Agreement), and otherwise amend the Agreement, on the terms and conditions set forth
herein.
NOW, THEREFORE, for good and valuable consideration, the receipt and
sufficiency of which is hereby acknowledged, the parties hereto do hereby agree as
follows:
1. Legal Description of the BTA Property. Exhibit "A" to the Agreement,
which is entitled "Legal Description of BTA Property," is hereby deleted (and shall
hereafter be void and of no further force or effect) and is replaced with Exhibit "A"
attached to this Amendment.
2. Additional BTA Property Easement Areas. The Easement Areas (as
defined in the Agreement) are hereby modified to include the additional areas described
on Exhibit "B" attached to this Amendment.
3. Counterparts. This Amendment may be executed in counterpart, each
counterpart shall be regarded as an original for all purposes, and such counterparts, when
taken together, shall constitute one and the same original.

CONSENT AND JOINDER

Morgan Chase Commercial Mortgage Securities Corp., Commercial Mortgage Pass -Through Certificates,
