Boyle is currently providing services to you for the projects listed herein. As you may be aware,
AECOM Technology Corporation, our parent company, is integrating its North American operations.
The organizational changes will allow better coordination of AECOM expertise and resources
across business lines and regions.
As part of this integration, Boyle will be merged into AECOM USA, Inc., effective January 3, 2009.
Through this integration, Boyle will become a member of an integrated engineering practice in North
America. In addition to performing its traditional design, engineering and professional services,

Statement of Issue: The Public Works Department requires professional civil engineering
services on an as needed basis to support staff for the design and construction of capital
improvement projects.
Funding Source: Funds are available within the budgeted capital improvement projects.
Additional City Council authorization will be requested for unbudgeted projects if necessary.
Recommended Action: Motion to:

Alternative Action(s): Do not authorize the contracts and direct staff to request proposals
from other engineering firms for design services for various capital projects. Projects could
be delayed up to one year.
Analysis: The City's Capital Improvement Program (CIP) exceeds $38 million in Fiscal
Year 2008/09. Additionally, $15 million of continuing appropriations for projects approved
last year will be brought forward into the new fiscal year. Transportation, water, sewer and
park improvements are the largest expenditure categories. Projects include street, sewer,
and water improvement projects. Design for these projects is assigned to firms specializing
in these disciplines, as it is not possible to complete this large workload with just city staff. It
is in the City's benefit to retain qualified firms for capital improvement project design and
engineering.
The contract would be for a three-year term with task order assignments awarded such that
they do not exceed the specified duration and the dollar amount of the contract. Project
assignments are rotated among the consultants, taking advantage of each consultant's
specializations. Proposals were requested and submitted in compliance with Chapter 3.03 of
the Huntington Beach Municipal Code. Thirty-four 34) proposals were received, and ranked
based on qualifications listed in the proposals. The proposed new contracts allow for a
three-year term with a total not to exceed $2 million per contract. Funding sources will be
from capital improvement project accounts, using the approved project budgets.
Public Works Commission Action: Not required.
Strategic Plan Goal:
(1-1) Improve the City's plan for funding and completing infrastructure needs, and develop
strategies for resolving crucial infrastructure problems to preserve the physical foundation of
the community and enable to community's value to grow.
(C-2) Provide quality public services with the highest professional standards to meet
community expectations and needs, assuring that the city is sufficiently staffed and equipped
overall.

PROFESSIONAL SERVICES CONTRACT BETWEEN
THE CITY OF HUNTINGTON BEACH AND
BOYLE ENGINEERING CORPORATION FOR
AS NEEDED ENGINEERING SERVICES
THIS AGREEMENT ("Agreement") is made and entered into by and between the
City of Huntington Beach, a municipal corporation of the State of California, hereinafter
referred to as "CITY," and BOYLE ENGINEERING CORPORATION, a California
corporation, hereinafter referred to as "CONSULTANT."
WHEREAS, CITY desires to engage the services of a consultant to provide
engineering services on an "as needed" basis; and
Pursuant to documentation on file in the office of the City Clerk, the provisions of the
Huntington Beach Municipal Code, Chapter 3.03, relating to procurement of professional
service contracts have been complied with; and
CONSULTANT has been selected to perform these services,
NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows:
1. SCOPE OF SERVICES
CONSULTANT shall provide, on an "as -needed" basis, engineering services
such as the itemized tasks set forth in Exhibit "A," which is attached hereto and incorporated
by this reference. These services shall sometimes hereinafter be referred to as the
"PROJECT." All engineering services shall, prior to the commencement of any work, be set
forth in a written Scope of Work to be provided by CITY in advance of each PROJECT.
CONSULTANT hereby designates Allen J. Randall, P.E., who shall represent
it and be its sole contact and agent in all consultations with CITY during the performance of
this Agreement.

2. CITY STAFF ASSISTANCE
CITY shall assign a staff coordinator to work directly with CONSULTANT in
the performance of this Agreement.
3. TERM; TIME OF PERFORMANCE
Time is of the essence of this Agreement. The services of CONSULTANT are
to commence on ��� 20 0 6 (the "Commencement Date"). This
Agreement shall automatically terminate three (3) years from the Commencement Date,
unless extended or sooner terminated as provided herein. All tasks specified in the Scope of
Services shall be completed no later than 3 years from the Commencement Date; however, if
any tasks are not completed 3 years from the Commencement Date, the parties may mutually
agree to extend this Agreement for such time as is necessary to complete such tasks. In no
event shall this Agreement be extended more than two additional years from the original
termination date. The time for performance of the tasks identified in the Scope of Services
are generally to be shown in the Scope of Services. This schedule may be amended to benefit
the PROJECT if mutually agreed to in writing by CITY and CONSULTANT.
In the event the Commencement Date precedes the date of final execution,
CONSULTANT shall be bound by all terms and conditions as provided herein.
4. COMPENSATION
In consideration of the performance of the services described herein, CITY
agrees to pay CONSULTANT on a time and materials basis at the rates specified in Exhibit
"B," which is attached hereto and incorporated by reference into this Agreement, a fee,
including all costs and expenses, not to exceed Two Million Dollars ($2,000,000.00).

5. EXTRA WORK
In the event CITY requires additional services not included in the Scope of
Services or changes in the scope of services described in the Scope of Services
CONSULTANT will undertake such work only after receiving written authorization from
CITY. Additional compensation for such extra work shall be allowed only if the prior
written approval of CITY is obtained.
6. METHOD OF PAYMENT
CONSULTANT shall be paid pursuant to Exhibit "B."
7. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS
CONSULTANT agrees that title to all materials prepared hereunder,
including, without limitation, all original drawings, designs, reports, both field and office
notices, calculations, computer code, language, data or programs, maps, memoranda,
letters and other documents, shall belong to CITY, and CONSULTANT shall turn these
materials over to CITY upon expiration or termination of this Agreement or upon
PROJECT completion, whichever shall occur first. These materials may be used by CITY
as it sees fit.
8. HOLD HARMLESS
To the fullest extent permitted by law (including, without limitation,
California Civil Code Sections 2782 and 2782.6), CONSULTANT hereby agrees to
protect, defend, indemnify and hold harmless CITY, its officers, elected or appointed
officials, employees, agents and volunteers from and against any and all claims, damages,
losses, expenses, demands and defense costs (including, without limitation, costs and fees
of litigation of every nature or liability of any kind or nature) arising out of or in
connection with CONSULTANT's (or CONSULTANT's subcontractors, if any)

negligence, recklessness or willful misconduct related to performance of this Agreement or
its failure to comply with any of its obligations contained in this Agreement by
CONSULTANT, its officers, agents or employees. CITY shall be reimbursed by
CONSULTANT for all costs and attorney's fees incurred by CITY in enforcing this
obligation. CONSULTANT will conduct all defense at its sole cost and expense, and
CITY shall approve selection of CONSULTANT's counsel. This indemnity shall apply to
all claims and liability regardless of whether any insurance policies are applicable. The
policy limits do not act as a limitation upon the amount of indemnification to be provided
by CONSULTANT.
9. PROFESSIONAL LIABILITY INSURANCE
CONSULTANT shall furnish a professional liability insurance policy
covering the work performed by it hereunder. This policy shall provide coverage for
CONSULTANT's professional liability in an amount not less than One Million Dollars
($1,000,000) per occurrence and in the aggregate. The above -mentioned insurance shall
not contain a self -insured retention, "deductible" or any other similar form of limitation on
the required coverage except with the express written consent of CITY. A claims -made
policy shall be acceptable if the policy further provides that:
A. The policy retroactive date coincides with or precedes the initiation
of the scope of work (including subsequent policies purchased as
renewals or replacements).
B. CONSULTANT shall notify CITY of circumstances or incidents
that might give rise to future claims.

CONSULTANT will make every effort to maintain similar insurance during
the required extended period of coverage following PROJECT completion. If insurance is
terminated for any reason, CONSULTANT agrees to purchase an extended reporting
provision of at least two (2) years to report claims arising from work performed in
connection with this Agreement.
10. CERTIFICATE OF INSURANCE
Prior to commencing performance of the work hereunder, CONSULTANT
shall furnish to CITY a certificate of insurance subject to approval of the City Attorney
evidencing the foregoing insurance coverage as required by this Agreement; the certificate
shall:
A. provide the name and policy number of each carrier and policy;
B. state that the policy is currently in force; and
C. promise that such policy shall not be suspended, voided or canceled
by either party, reduced in coverage or in limits except after thirty
(30) days' prior written notice; however, ten (10) days' prior written
notice in the event of cancellation for nonpayment of premium.
CONSULTANT shall maintain the foregoing insurance coverage in force
until the work under this Agreement is fully completed and accepted by CITY.
The requirement for carrying the foregoing insurance coverage shall not
derogate from the provisions for indemnification of CITY by CONSULTANT under the
Agreement. CITY or its representative shall at all times have the right to demand the
original or a copy of the policy of insurance. CONSULTANT shall pay, in a prompt and
timely manner, the premiums on the insurance hereinabove required.

11. INDEPENDENT CONTRACTOR
CONSULTANT is, and shall be, acting at all times in the performance of
this Agreement as an independent contractor herein and not as an employee of CITY.
CONSULTANT shall secure at its own cost and expense, and be responsible for any and
all payment of all taxes, social security, state disability insurance compensation,
unemployment compensation and other payroll deductions for CONSULTANT and its
officers, agents and employees and all business licenses, if any, in connection with the
PROJECT and/or the services to be performed hereunder.
12. TERMINATION OF AGREEMENT
All work required hereunder shall be performed in a good and workmanlike
manner. CITY may terminate CONSULTANT's services hereunder at any time with or
without cause, and whether or not the PROJECT is fully complete. Any termination of this
Agreement by CITY shall be made in writing, notice of which shall be delivered to
CONSULTANT as provided herein. In the event of termination, all finished and
unfinished documents, exhibits, report, and evidence shall, at the option of CITY, become
its property and shall be promptly delivered to it by CONSULTANT.
13. ASSIGNMENT AND DELEGATION
This Agreement is a personal service contract and the work hereunder shall
not be assigned, delegated or subcontracted by CONSULTANT to any other person or
entity without the prior express written consent of CITY. If an assignment, delegation or
subcontract is approved, all approved assignees, delegates and subconsultants must satisfy
the insurance requirements as set forth in Sections 9 and 10 hereinabove.

14. COPYRIGHTS/PATENTS
CITY shall own all rights to any patent or copyright on any work, item or
material produced as a result of this Agreement.
15. CITY EMPLOYEES AND OFFICIALS
CONSULTANT shall employ no CITY official nor any regular CITY
employee in the work performed pursuant to this Agreement. No officer or employee of
CITY shall have any financial interest in this Agreement in violation of the applicable
provisions of the California Government Code.
16. NOTICES
Any notices, certificates, or other communications hereunder shall be given
either by personal delivery to CONSULTANT's agent (as designated in Section 1
hereinabove) or to CITY as the situation shall warrant, or by enclosing the same in a sealed
envelope, postage prepaid, and depositing the same in the United States Postal Service, to
the addresses specified below; provided that CITY and CONSULTANT, by notice given
hereunder, may designate different addresses to which subsequent notices, certificates or
other communications will be sent:

17. CONSENT

When CITY's consent/approval is required under this Agreement, its
consent/approval for one transaction or event shall not be deemed to be a consent/approval
to any subsequent occurrence of the same or any other transaction or event.

18. MODIFICATION
No waiver or modification of any language in this Agreement shall be valid
unless in writing and duly executed by both parties.
19. SECTION HEADINGS
The titles, captions, section, paragraph and subject headings, and descriptive
phrases at the beginning of the various sections in this Agreement are merely descriptive
and are included solely for convenience of reference only and are not representative of
matters included or excluded from such provisions, and do not interpret, define, limit or
describe, or construe the intent of the parties or affect the construction or interpretation of
any provision of this Agreement.
20. INTERPRETATION OF THIS AGREEMENT
The language of all parts of this Agreement shall in all cases be construed
as a whole, according to its fair meaning, and not strictly for or against any of the parties.
If any provision of this Agreement is held by an arbitrator or court of competent
jurisdiction to be unenforceable, void, illegal or invalid, such holding shall not invalidate
or affect the remaining covenants and provisions of this Agreement. No covenant or
provision shall be deemed dependent upon any other unless so expressly provided here.
As used in this Agreement, the masculine or neuter gender and singular or plural number
shall be deemed to include the other whenever the context so indicates or requires.
Nothing contained herein shall be construed so as to require the commission of any act
contrary to law, and wherever there is any conflict between any provision contained herein
and any present or future statute, law, ordinance or regulation contrary to which the parties
have no right to contract, then the latter shall prevail, and the provision of this Agreement

which is hereby affected shall be curtailed and limited only to the extent necessary to bring
it within the requirements of the law.
21. DUPLICATE ORIGINAL
The original of this Agreement and one or more copies hereto have been
prepared and signed in counterparts as duplicate originals, each of which so executed shall,
irrespective of the date of its execution and delivery, be deemed an original. Each
duplicate original shall be deemed an original instrument as against any party who has
signed it.
22. IMMIGRATION
CONSULTANT shall be responsible for full compliance with the
immigration and naturalization laws of the United States and shall, in particular, comply
with the provisions of the United States Code regarding employment verification.
23. LEGAL SERVICES SUBCONTRACTING PROHIBITED
CONSULTANT and CITY agree that CITY is not liable for payment of any
subcontractor work involving legal services, and that such legal services are expressly
outside the scope of services contemplated hereunder. CONSULTANT understands that
pursuant to Huntington Beach City Charter Section 309, the City Attorney is the exclusive
legal counsel for CITY; and CITY shall not be liable for payment of any legal services
expenses incurred by CONSULTANT.
24. ATTORNEY' S FEES
In the event suit is brought by either party to construe, interpret and/or
enforce the terms and/or provisions of this Agreement or to secure the performance hereof,

each party shall bear its own attorney's fees, such that prevailing party shall not be entitled
to recover its attorney's fees from the nonprevailing party.
25. SURVIVAL
Terms and conditions of this Agreement, which by their sense and context
survive the expiration or termination of this Agreement shall so survive.
26. GOVERNING LAW
This Agreement shall be governed and construed in accordance with the
laws of the State of California.
27. SIGNATORIES
Each undersigned represents and warrants that its signature hereinbelow has
the power, authority and right to bind their respective parties to each of the terms of this
Agreement, and shall indemnify CITY fully for any injuries or damages to CITY in the
event that such authority or power is not, in fact, held by the signatory or is withdrawn.
27. ENTIRETY
The parties acknowledge and agree that they are entering into this
Agreement freely and voluntarily following extensive arm's length negotiation, and that
each has had the opportunity to consult with legal counsel prior to executing this
Agreement. The parties also acknowledge and agree that no representations, inducements,
promises, agreements or warranties, oral or otherwise, have been made by that party or
anyone acting on that party's behalf, which are not embodied in this Agreement, and that
that party has not executed this Agreement in reliance on any representation, inducement,
promise, agreement, warranty, fact or circumstance not expressly set forth in this
Agreement. This Agreement, and the attached exhibits, contain the entire agreement

between the parties respecting the subject matter of this Agreement, and supersedes all
prior understandings and agreements whether oral or in writing between the parties
respecting the subject matter hereof.

A. STATEMENT OF WORD:
CONSULTANT shall provide consulting services on an "as -needed" basis for Street, Storm
Drain, Sewer & Water improvement projects to be determined during the term of the agremeent.
During the term of this agreement, CITY may elect to solicit proposals from CONSULTANT.
CITY shall issue task orders for each project based upon the scope of services, work schedule,
and fee proposal submitted to CITY for its review and approval.
B. CONSULTANT'S DUTIES AND RESPONSIBILITIES:
CONSULTANT's duties and responsibilities shall follow provisions specified in the City of
Huntington Beach On -Call Civil Engineering Services Scope of Work (Exhibit A.1). Detailed
services shall include but is not limited to the following scope of work shown in Exhibit A.2.
Upon award and during the contract period, if CONSULTANT chooses to assign different
personnel to the project, CONSULTANT must submit the names and qualifications of those staff
to CITY for approval before commencing work.
C. CITY'S DUTIES AND RESPONSIBILITIES:
1. Furnish scope of work request for each project assigned.
2. Furnish construction plans and specifications to the consultant.
D. WORK PROGRAM/PROJECT SCHEDULE:
A project schedule will be developed for each project assigned by CITY.

City of Huntington Beach On -Call Engineering Services Scope of Work
In general, the Consultant shall perform civil engineering services on an "on call or as -
needed" basis for various projects assigned by the City. The scope of work for any one
project may involve all phases of project development and may include but not be limited
to the following:
Preliminary Engineering
♦ Prepare alternative preliminary layouts, surveying, geotechnical services, and
estimates of probable cost for alternatives.
♦ Prepare engineering details and calculations.
♦ Present alternatives and provide recommendations and analyses of the advantages of
each alternative.
Permits
♦ Assist the City in obtaining approvals from applicable agencies including County of
Orange, CALTRANS, City of Huntington Beach Planning Department for
environmental, and/or other permits as may be required.
Construction Documents
♦ Prepare engineering calculations and designs, plans, specifications, cost estimates,
and contract bidding documents. The City will provide the General Provisions and
bid forms in a Microsoft Word and/or Excel Version 2003 format; the Consultant
shall modify the documents by adding the necessary special provisions and project
bid schedule. The City shall review the construction documents at the preliminary
engineering, sixty (60%), ninety percent (90%), and final documents stages or as
deemed necessary by the City. All project calculations, supporting/reference
information, correspondence, photos, Microsoft office files, etc. shall be provided to
City with the final submittal or upon request.
♦ Drawings shall be prepared in a standard engineering scale using AutoCAD version
2000, 2004, or 2007. All drawings shall have their bearings based upon and
translated to be consistent with the California Coordinate System (Zone 6). Final
Drawings shall be wet signed and stamped on 24-inch by 36-inch Mylar media. All
project AutoCAD files (i.e. drawings, x-refs, blocks, fonts, etc.) shall be provided to
the City on CD or DVD format. Construction specifications and bidding documents
shall be provided in Microsoft Word Version 2003.
Bidding Stage
♦ Assist the City in answering bidders' questions, attend pre -bid conferences and job
walks, perform constructability review of other firms or own plans and specifications,
prepare addenda, analyze bids, and recommend award.
Construction Stage
♦ Attend pre -construction conference.
♦ Monitor construction schedule, visit construction site as required for progress and
quality of work evaluation.
♦ Assist the engineer, contractor, and construction manager/contract administrator with
interpretation of the plans and specifications, analysis of changed conditions,
development of corrective action, review of shop drawings and other submittals, and
the review and negotiation of change orders.
♦ Upon completion of construction, the Consultant shall prepare "as -built" drawings to
the satisfaction of the City. Additionally, the Consultant may also be required to
perform construction staking.
Special Requirement: Due to the fact that some of the City projects will be funded by
Federal or State grants, the selected consulting firm must comply with requirements of
Caltrans' Local Assistance Procedures Manual and the City of Huntington Beach Quality
Assurance Plan for Federal and State Funded Projects and all applicable prevailing wage
laws.

Organization to Meet the Scope of Work
The organization of all the work starts with a methodical system to ensure project deliverables are high quality, on
time, and within budget. The following describes task order development, management, and execution. There
are key staff members for every task order:
® Client Service Manager (CSM) — Matt Thomas will be the overall agreement/contract coordinator; he will be
the primary liaison with the City and the person with ultimate responsibility for Boyle's performance. Matt will
support the specific Project Manager or Task Leader when multiple tasks are assigned. This will add
assurance to client service.
• Project Manager/Task Leader (PM/TL) — Highly qualified person selected from the organization chart, or
Boyle's other resources, based on the type of work and disciplines required. This person will be responsible
for the TO or scope execution, team management, coordination of tasks and deliverables.
in Quality Technical Reviewer (QTR) — An independent senior staff person, qualified in the type of work
included in the TO, responsible for reviewing the deliverables. The QTR will not otherwise be involved in the
project on a daily basis, thereby ensuring an unbiased assessment of activities and products.
Understanding Needs and Expectations
Reflecting the makeup of the Public Works Department, the needs of the City Engineering staff to fulfill its mission
are diverse. Establishing, administering and implementing engineering projects involves identifying needs,
development of project concepts, performing feasibility studies, determining appropriate budgeting and financing,
program management, providing public outreach and interface with elected officials and management personnel,
facility design, permitting, construction administration and management, and more.
ON -CALL CIVIL ENGINEERING SERVICES
As our Client Service Manager for this engagement, Matt Thomas is specifically tasked with implementing
frequent communication with City Engineering staff to discuss present and future needs and develop strategies
and approaches to address those needs. As specific needs and expectations emerge, Mr. Thomas will bring the
appropriate expertise to bear by engaging the right experts from our organization to weigh in on what needs to be
done, and to work with the City Engineering staff to develop a work plan.
Detailed Project Definition
Once the specific project needs and expectations are established, the Boyle team will develop a detailed scope of
services, schedule, and budget for the work. This work plan will become the foundation for implementing the
tasks ahead in a systematic fashion. When called upon, we can lead projects independently, augment your
staff to help you execute your efforts, develop assignments at your direction, or provide technical experts to
solve problems and offer solutions. Because of Boyle's size, we can respond quickly to crises, and because of
the commitment of our team members, you will always be treated as among our most important clients.
After having successfully completed the work planning process for a specific assignment, Boyle engineers will
utilize the following general process:
1. As concurrent activities, we will develop a detailed project schedule, begin data collection and/or utility
verification, and prepare a written communications protocol and a project -specific quality control plan for
larger assignments.
2. Begin fieldwork such as surveying, geotechnical investigations, and environmental evaluations.
3. Determine with City staff the final format and criteria for preparing necessary documentation, reports,
drawings and specifications.
4. Produce the final work product. At each milestone, Boyle will complete quality control reviews. Boyle and
City staff will evaluate the review comments to determine what design revisions and changes in project scope
may be required to ensure that the finished project serves its intended purpose.
5. Provide the City with completed work products. Depending on the type of project, Boyle staff will provide the
necessary post design/study services. These services may include construction phase services for capital
improvements projects, presentations of reports and studies to the City's governing body and the public, etc.
Significant Approach Items — What Determines Success
Thorough Scope of Services
Boyle has often been complimented on the thoroughness of our scopes of services. It is important to clearly
establish the work to be done and to anticipate challenges and potential problems at the proposal stage so that
both the City and Boyle understand the work. Can all conditions be anticipated? ...Certainly not, but by having a
clear scope, the parties have a solid base to discuss those changes. Thoroughness is accomplished by:
. Field research — physically view the site. Review engineering aspects as well as community aspects including
adjacency of residents or businesses. Review traffic, access and contractor storage and staging area
opportunities.
• Discussions with the City personnel.
. Selection of subconsultants who share our concern for thoroughness.
Q Research of critical available utility information.
® Research of permitting requirements, California Department of Fish and Game, California Department of
Health Services, Regional Water Quality Control Board, Caltrans, etc. are involved.
■ Review the timing or funding constraints as these can impact the progression of the project — incorporate these
into our work plan.

Quality Control Program
Quality control is central to a successful project. Boyle has an excellent quality
control program, because it is actually implemented —and we know that it yields
positive results. As mentioned above, Boyle's program involves the assignment of
a Qualified Technical Reviewer (QTR) for all projects. rrxrar «rota
The reviews are scheduled to precede the work product submittals, and we have a
tracking system that begins with the opening of a work order. A standard form, the QC Transmittal/Report form, is
used for tracking the QC review process.
m The QTR conducts the review, completes the form, and returns it with comments to the PM.
The PM incorporates the review comments or resolves issues with the QTR,- -After the PM and reviewer agree
on the changes that are to be made, the PM signs the Transmittal Report Form certifying that review
comments have been or will be incorporated to the QTR's satisfaction.
Thoroughness of Support Studies and Investigations
Experience has shown that the surveying/mapping and the geotechnical investigations must be thorough for
project success. Lack of needed information, while it may not hinder the design, typically causes delays during
construction, exceeding the cost to properly perform these design phase items. As examples, we offer the
following comments:
R For pipeline projects, adequate extent of mapping is important so that impacts of adjacent facilities are
incorporated as well as important tie-in points.
• For reservoir and buildings, the geotechnical investigations need to address all of the design parameters,
including response spectra analysis.
• For retaining walls and other structures, the soils must be properly characterized, and often this may actually
save money by avoiding the need to over -design footings.
Utilities Research
If there is one area that has caused problems over the years during construction, it
is conflicts with utilities and improper understanding of what exists underground.
Part of the challenge, of course, is that these are not visible. Also, part of the
problem is the lack of adequate record drawings, particularly for old utilities.
However, the potential for problems can be reduced by employing the following:
Diligent research and use of Underground Service Alert.
Not accepting no response as the final answer. Perhaps a request would be
sitting on someone's desk. We always follow-up to get an answer.
® Use of potholing, both prior to finalizing design and during construction (contractor responsibility).
® Review by utility companies/agencies of final plans and specifications.
Contract language placing certain burdens on the contractor.
Agency Coordination
ON -CALL CIVIL ENGINEERING SERVICES
Projects often involve agency coordination, and if not aggressively pursued, there can be surprises in terms of
designs or in terms of costs or timing for work. Boyle's project managers
understand this. Following are some of the steps we will take:
Contact agencies early (except in some instances where clients ask us to hold
off until a later date).
Contact agencies often and provide updates.
• Obtain commitments in writing.
• Negotiate the terms where appropriate. Do not accept requirements that are impossible to meet just to obtain
a permit.
• Where railroads are involved, again start early; they are notorious for delays in projects. The same can be
said if Caltrans is involved.
Is Be friendly, professional, but firm. Boyle and the City need to work with agencies on other projects
Land Acquisition
This is another potential problem area... the process always seems to take longer than one would normally
expect. That is the process, particularly when a public agency is doing the acquiring. What can be done?
• Start early identifying the needs, although appraisers do not want to work on preliminary requirements.
• Consider land and/or easement requirements in the designs.
• Legal descriptions must be correct and in the correct format. This is particularly true of Caltrans interface where
their format is critical.
• Be available to answer the question: are there other alternatives?
Permit Understandings
Permits are necessary for most construction projects. Some are relatively straightforward, such as City
encroachment permits. Others are complex and can take a long time, such as railroad encroachment permits,
404 permits, streambed alteration permits, 1601 permits, and permits for any project involving endangered or
protected species. The permit process can be mitigated through:
• Early start, as with other aspects mentioned above.
• Client selection of a consultant who is familiar with permit agencies, such as
Boyle. - -
• Having staff members and/or subconsultants with specialized expertise.
• Very thorough submittals that are easily understood. Permit agencies put aside
incomplete or difficult -to -understand applications.
• Follow-up phone calls, if responses are not timely.

Boyle offers:
• E-mail between all our offices and clients.
• Boyle Intranet for internal documents, forms, and technical information.
• Full CAD and Microstation capabilities, including over 60 stations in the Newport Beach and Ontario offices.
• Highly sophisticated project tracking system for costs (MIS).
• The latest in civil design software packages.
• Multiple water and wastewater computer simulation programs.

Thoroughness of Work Products
Boyle believes in thoroughness of work products. On drawings, this means that we provide additional details so
that the contractor better understands project requirements. Within specifications, that means using Boyle's CSI-
formatted specifications that are updated on a company -wide basis to provide our clients with updated and
complete specifications. We also note that we can use a variety of client -furnished specifications, where
requested. On reports, it involves providing complete discussions and the use of appendices to provide additional
documentation.
Client Communications
Our communications will be open and regular, which requires constant attention and dedication. We operate
under the system of a single project manager or task leader who serves as the primary point of contact. Verbal
communications will be confirmed in writing. He or she will distribute communication to staff via e-mail and at
regular meetings. The various disciplines are brought into discussions as needed. Our project managers are
equipped with pagers and cell phones, so they can usually be reached (or an assigned back-up person if he/she
is not available).
Bid and Construction Phase Work
Boyle can provide a wide range of bid phase and construction phase services ranging from casual support to full
construction management. That is what a company such as Boyle offers with our vast resources. We are flexible
in those services, understanding that some cities have staff construction observers or in some cases elect to have
separate construction observation consultants from those who do the design. In fact, we have recently performed
construction observation/construction administration on several projects where the design was by others. These
services can include:
• Constructability and/or value engineering.
• Attendance at pre -bid or pre -construction meetings.
IN Distribution of bid packages.
Bid phase assistance with addenda and requests for clarifications.
■ Evaluation of bids and recommendations.
Shop drawings and submittals.
Contract change orders and RFIs.
Construction administration.
Occasional site visits... or full observation, including well drilling, pipelines, booster pumping stations, reservoirs
and other facilities.
Coordination of materials testing and surveying
Monthly reports of construction progress, along with daily and/or weekly reports.
Permit agency coordination.
■ Project closeout and record drawings.
Public information.
Capacity and Resources to Accomplish the Work
Unforeseen high work loads are okay. Boyle has an impressive depth of resources
that will be used to support this contract. Many of our staff members are senior - o
level and accustomed to workload fluctuations. Moreover, since our recent merger
with AECOM Technology Corporation, an international consulting firm with values ,
and a client commitment that parallel our own, our resources have expanded. As
an AECOM firm, Boyle can draw upon professional resources numbering in the MIS_ , i

thousands for specialty services, if required. Further, a review of our current projects and backlog for the
next 12 months indicates that Boyle is capable of undertaking multiple task orders and performing them to the
City's expectations.
EXHIBIT "B"
Payment Schedule (Fixed Fee Payment)
1. CONSULTANT shall be entitled to monthly progress payments toward the fixed fee
set forth herein in accordance with the following progress and payment schedules.
See Exhibit B.1 — Proposed Hourly Fee Schedule
Total fees shall not exceed Two Million Dollars ($2,000,000.00). CONSULTANT agrees to inform
the CITY when CONSULTANT is at the point of reaching the maximum limit. CONSULTANT
shall not continue with any work effort over the amount of the maximum limit unless first authorized
in writing by City authorized representative(s).
2. Delivery of work product: A copy of every memorandum, letter, report, calculation
and other documentation prepared by CONSULTANT shall be submitted to CITY to demonstrate
progress toward completion of tasks. In the event CITY rejects or has comments on any such
product, CITY shall identify specific requirements for satisfactory completion.
3. CONSULTANT shall submit to CITY an invoice for each monthly progress payment
due. Such invoice shall:
A) Reference this Agreement;
B) Describe the services performed;
C) Show the total amount of the payment due and remaining balance;
D) Include a certification by a principal member of CONSULTANT's firm that
the work has been performed in accordance with the provisions of this
Agreement; and
E) For all payments include an estimate of the percentage of work completed.
Upon submission of any such invoice, if CITY is satisfied that CONSULTANT is making
satisfactory progress toward completion of tasks in accordance with this Agreement, CITY shall
approve the invoice, in which event payment shall be made within thirty (30) days of receipt of the
invoice by CITY. Such approval shall not be unreasonably withheld. If CITY does not approve an
invoice, CITY shall notify CONSULTANT in writing of the reasons for non -approval and the
schedule of performance set forth in Exhibit "A" may at the option of CITY be suspended until the
parties agree that past performance by CONSULTANT is in, or has been brought into compliance, or
until this Agreement has expired or is terminated as provided herein.
4. Any billings for extra work or additional services authorized in advance and in
writing by CITY shall be invoiced separately to CITY. Such invoice shall contain all of the
information required above, and in addition shall list the hours expended and hourly rate charged for
such time. Such invoices shall be approved by CITY if the work performed is in accordance with the
extra work or additional services requested, and if CITY is satisfied that the statement of hours
worked and costs incurred is accurate. Such approval shall not be unreasonably withheld. Any
dispute between the parties concerning payment of such an invoice shall be treated as separate and
apart from the ongoing performance of the remainder of this Agreement.
