Funding Source: Not applicable. Recommended Action: Motion to: Approve the Memorandum of Understanding (MOU) between the City of Huntington Beach and the Boys and Girls Club of Huntington Valley to provide support services for the Pioneer Family Resource Center. Alternative Action(s): 1) Do not approve the Memorandum of Understanding (MOU) between the City of Huntington Beach and the Boys and Girls Club of Huntington Valley to provide support services for the Pioneer Family Resource Center; 2) Recommend changes to terms of Memorandum of Understanding. Analysis: The Children's Needs Task Force (CNTF) obtained a Capacity Grant from the Children and Families Commission to study the need for an additional Family Resource Center (FRC) in Huntington Beach. A family resource center currently operates within the Oak View community. The CNTF held several town hall meetings and met with a number of community groups to gather information on the availability of programs and services for children and families. After studying the issue, the CNTF recommended a new FRC be opened at the Pioneer Boys and Girls Club of Huntington Valley. With Council approval of the MOU (Attachment 1), the City will partner with the Club to provide services such as publicity of the FRC and participation in the Partner Advisory Council as outlined in Section 2. 03-031 Approve MOUs for Family Resource Center 10130/2003 2:51 PM 0 REQUEST FOR ACTION r MEETING DATE: 11/17/03 DEPARTMENT ID NUMBER: CS 03-031 Council liaisons Green and Coerper have reviewed the terms presented herein. The MOU outlines the responsibilities of the city and the Boys and Girls Club of Huntington Valley. In the event of financial constraints on the city, or unforeseen circumstances, the MOU contains a 60 day cancellation clause. The following is a brief overview of each party's contributions to the Family Resources Center: City Contributions: 1. Provide access to classroom and/or meeting space at city -owned or operated facilities in the community at no cost when available; 2. Provide assistance in the production of informational flyers, not to exceed 500 single - side copies per quarter; 3. Include Center -related information in the "City News" portion of the SANDS; 4. Post information related to the Center's activities on HBTV information scroll; 5. Provide participation in the Partner Advisory Council Club Contributions: 1. Provide the Center's facility for coordination of services; 2. Provide classroom and/or office space for providing Center's services; 3. Provide a part-time coordinator position for scheduling of services, information, referral, and client follow-up; 4. Provide a telephone to make and receive calls and access to a copier and FAX machine for materials related to Center's business; 5. Provide resources and materials of other services available throughout the community, and referrals to such services upon request; 6. Provide an electronic CDX management system for tracking Center's clients; 7. Provide participation in the Partner Advisory Council; 8. Protect, defend, indemnify and hold harmless city, its officers, officials, employees, and agents from and against any and all liability, loss, damage, expenses, costs (including without limitation, costs and fees of litigation of every nature) arising out of or in connection with performances of this MOU or its failure to comply with any of its obligations contained in this MOU except such loss or damage which was caused by the sole negligence or willful misconduct of city; 9. Pursuant to California Labor Code Section 1861, acknowledge awareness of Section 3700 et seq, of said Code, which requires every employer to be insured against liability for workers' compensation; and covenant that it will comply with such provisions prior to commencing performance of the work hereunder (One Hundred Thousand Dollars bodily injury by accident, each occurrence, One Hundred Thousand Dollars bodily injury by disease, each employee, Two Hundred Fifty Thousand Dollars bodily injury by disease, policy limit.) Club shall require all subcontractors to provide such workers' compensation insurance for all of the subcontractors' employees. 10. Obtain and furnish a policy of general public liability insurance, including motor vehicle coverage ($1 million per occurrence) Staff has been working with the CNTF and the Club on this project for the past 18 months, and believes there is a need for additional services in the city for families and children. Environmental Status: NIA Attachment(s): RCA Author: jl G:IRCA12003103-031 Approve MOUs for Family Resource Center.doc -3- 10/30/2003 2:51 PM • ATTACHMENT #1 11 CC MEMORANDUM OF UNDERSTANDING BETWEEN THE CITY OF HUNTINGTON BEACH AND THE BOYS AND GIRLS CLUB OF HUNTINGTON VALLEY THIS MEMORANDUM OF UNDERSTANDING ("MOU") is made and entered into onOVE-I►'lfE(� 2003, by and between the CITY OF HUNTINGTON BEACH, a municipal corporation of the State of California (hereinafter referred to as "City"), and the BOYS AND GIRLS CLUB OF HUNTINGTON VALLEY, a California corporation (hereinafter referred to as "Club") WHEREAS, City currently provides its citizens with numerous community services programs; and Club wishes to enter into an agreement with City to provide support services for the Family Resource Center (the "Center') located at Pioneer Avenue in the City of Huntington Beach, NOW, THEREFORE, for and in consideration of the promises and covenants hereinafter contained and intending to be legally bound, the parties covenant and agree as follows: SECTION 1. TERM This MOU will become effective on the date it is approved by the City Council of the City and shall terminate �WO (I) years thereafter, except with respect to any obligations hereunder which are to be performed thereafter. Upon mutual written consent of the parties, this Agreement may be extended for an additional 4 o (_2,) year term. SECTION 2. HOLD HARMLESS Club shall protect, defend. indemnify and hold harmless City, its officers, officials, employees, and agents from and against any and all liability, loss, damage, expenses. costs (including without limitation, costs and fees of litigation of every nature) arising out of or in connection with performance of this MOU or its failure to comply with any of its obligations contained in this MOU except such loss or damage which was caused by the sole negligence or willful misconduct of City. SECTION 5. WORKERS' COMPENSATION INSURANCE Pursuant to California Labor Code Section 1861, Club acknowledges awareness of Section 3700 et seq. of said Code, which requires every employer to be insured against liability for workers' compensation; Club covenants that it will comply with such provisions prior to commencing performance of the work hereunder. Club shall maintain workers' compensation insurance in an amount of not less than One Hundred Thousand Dollars ($100,000) bodily injury by accident, each occurrence, One Hundred Thousand Dollars ($100.000) bodily injury by disease, each employee, Two Hundred Fifty Thousand Dollars ($250,000) bodily injury by disease, policy limit. Club shall require all subcontractors to provide such workers' compensation insurance for all of the subcontractors' employees. Club shall furnish to City a certificate of waiver of subrogation under the terms of the workers' compensation insurance and Club shall similarly require all subcontractors to waive subrogation. 03 agreeihocs-girEs,:5130:'03 SECTION 6. GENERAL LIABILITY INSURANCE In addition to the workers' compensation insurance and Club's covenant to indemnify City. Club shall obtain and furnish to City, a policy of general public liability insurance, including motor vehicle coverage. Said policy shall indemnify Club, its officers, agents and employees, while acting within the scope of their duties, against any and all claims arising out of or in connection with this Agreement, and shall provide coverage in not less than the following amount: combined single limit bodily injury and property damage, including products/completed operations liability and blanket contractual liability, of $1,000,000 per occurrence. If coverage is provided under a form which includes a designated general aggregate limit, the aggregate limit must be no less than $1,000,000. Said policy shall name City, its agents, its officers, employees and volunteers as Additional Insureds, and shall specifically provide that any other insurance coverage which may be applicable shall be deemed excess coverage and that Club's insurance shall be primary. Under no circumstances shall the above -mentioned insurance contain a self - insured retention, or a `'deductible" or any other similar form of limitation on the required coverage. SECTION 7. ASSIGNING AS BREACH Neither party shall encumber, assign, or otherwise transfer this MOU, or any right or interest in this MOU, without the express written consent of the other party first had and obtained. A consent by a party to one assignment or transfer to another person shall not be deemed to be a consent to any subsequent assignment or transfer to another person. Any encumbrance, assignment or transfer, without the prior written consent of 03agrreerho,s-girls/5130/03 4 LI LI the other party, whether it be voluntary or involuntary, by operation of law or otherwise, is void and shall, at the option of the other party, terminate this SECTION 8. TERMS BINDING ON SUCCESSORS All the terms, covenants and conditions of this MOU shall inure to the benefit of and be binding upon the parties and their successors and assigns. The provisions of this Section shall not be deemed as a waiver of any of the conditions against assignment hereinbefore set forth. SECTION 9. CONFLICT OF INTEREST Club shall employ no City official nor any regular City employee in the work performed pursuant to this MOU. No officer or employee of City shall have any financial interest in this MOU in violation of the applicable provisions of California Government Code. SECTION 10. NONDISCLOSURES/PRESS RELEASES Club shall consult with City prior to issuing any press releases or otherwise making any public statements with respect to this MOU, the transactions contemplated herein, or matters arising herefrom. SECTION 11. CUMULATIVE REMEDIES The remedies given to the parties in this MOU shall not be exclusive but shall be cumulative and in addition to all remedies now or hereafter allowed by law or elsewhere provided in this MOU. SECTION 12. WAIVER OF BREACH The waiver by City of any breach by Club of any of the provisions of this MOU, irrespective of the length of time for which such failure continues, shall not constitute a 03 aereeiboys-girlsh130iO3 waiver of such breach or a waiver of any subsequent breach by Club either of the same or another provision of this MOU. SECTION 13. FORCE MAJEURE - UNAVOIDABLE DELAYS Should the performance of any act required by this MOU to be performed by either City or Chub be prevented or delayed by reason of an act of God, strike, lockout, labor troubles, inability to secure materials, restrictive governmental laws or regulations, or any other cause (except financial inability) not the fault of the party required to perform the act. the time for performance of the act will be extended for a period equivalent to the period of delay and performance of the act during the period of delay will be excused. SECTION 14. NOTICE Any written notice, given under the terms of this MOU, shall be either delivered personally or mailed, certified mail, postage prepaid, addressed to the party concerned, as follows: City Director of Community Services City of Huntington Beach 2000 Main Street, P.O. CONTROLLING LAW AND VENUE This MOU shall be deemed to be made in, and the rights and liabilities of the parties, and the interpretation and construction of this MOU, determined in accordance with the laws of the State of California. Any controversy arising out of or under this MOU, if litigated, shall be adjudicated in a court of competent jurisdiction in Orange County, California. SECTION 17. SECTION TITLES The section titles in this MOU are inserted only as a matter of convenience and for reference, and in no way define, limit or describe the scope of intent of this MOU or in any way affect this MOU. SECTION 18. TIME OF ESSENCE Time is of the essence with respect to all provisions of this MOU in which a definite time for performance is specified including, but not limited to, the expiration of this MOU. SECTION 19. SURVIVAL OF INDEMNITIES Termination of this MOU shall not affect the right of City to enforce any and all indemnities given or made by Club under this MOU, nor shall it affect any provision of this MOU that expressly states that the provision shall survive termination thereof. SECTION 20. NONLIABILITY OF CITY OFFICIAL, EMPLOYEES OR AGENTS No elective or appointed City or City affiliated board, commission or member thereof, or officer, official, employee or agent of City shall be personally liable to Club, its successors and assigns, of any default or breach by City under this MOU or for any amount 03agrcciboys-girlsl5/30l03 7 r�L which may become due to Club, its successors and assigns, under this MOU or for any obligation of Cite under this MOU. SECTION 21. TERMINATION This MOU may be terminated by either party with or without cause upon sixty (60) days notice in writing. SECTION 22. MOU IN WRITNG This MOU contains and embraces the entire agreement between the parties hereto and neither it nor any part of it may be changed, altered, modified, limited or extended orally or by any other agreement between the parties unless such agreement be expressed in writing, signed and acknowledged by City and Club, or their successors in interest. SECTION 23. PARTIAL INVALIDITY Should any provision of this VIOL" be held by a court of competent jurisdiction to be either invalid, void, or unenforceable, the remaining provisions of this MOU shall remain in full force and effect unimpaired by the holding, so long as the reasonable expectations of the parties hereto are not materially impaired. SECTION 24. MOU IN COLNTERPARTS This MOLT may be executed in counterparts, each of which shall be deemed an original, but all of which taken together shall constitute one and the same document.
