RECOMMENDATION Approve Supplemental Agreement #3 to agreement with Cardoza DiLallo Associates and authorize Mayor to execute same. ANALYSIS In order to move forward on some ongoing projects, it is necessary to extend the contract for the landscape architect to prepare cost estimates, plans and specifications. Working drawings and specifications are needed to proceed with the development of McCallen Park and the softball fields in Huntington Central Park. Other projects to be addressed include the master planning of Huntington Central Park, including a natatorium, community center, gymnasium, renovation of the gun range and other park projects as directed by Council. The estimated cost for this contract for the remainder of FY 85/86 is $10,000 to $12,000. The current landscape architectual firm of Cardoza DiLallo Associates will maintain its existing rate of charges with regard to percentage charged for services for major park projects. This is the primary form for charges. The secondary rate of charge for hourly work performed has been adjusted based on the cost of living as was set forth in the original agreement. On September 11, the Community Services Commission voted to recommend to Council the hiring of the landscape architect for the above projects. The schematic master plan for Huntington Beach Community Park, located at 17th and Main Streets (Exhibit 1) was approved by the Community Services Commission and the City Council in December of 1981. Special meetings were also held with neighborhood residents that year to obtain input and concerns. Plans and specifications for the development of this park are now complete and staff seeks authorization to advertise for construction bids. 2. A southerly portion of the park, per the plat map in the agreement with the Huntington Beach Company (Exhibit 2), is.not city property; however, this portion of land is an integral part of the park concept and is essential for vehicular ingress and egress. Therefore, staff recommends approval of this agreement. 3. The Pay-N-Play Racquetball Service Corporation has agreed to build and operate at its expense ten indoor racquetball courts on park property per the attached agreement (Exhibit 3). The schedule of costs, fees and reimbursements for Cardoza-DiLallo will remain the same as the present contract. No increases have been requested. In that Cardoza-DiLallo is already working on the designs of the remaining parks, it would be cost effective to continue its contract rather than go out to bid for a new landscape architectural firm. In that the Council has publicly indicated they wish to design the remaining undeveloped City parks, a contract must be approved with a landscape architectural firm. Cardoza-Dilallo has performed well for the City since November, 1979, when their initial contract was signed. At that time the Purchasing Division sent out requests for proposals for this work and six were received from highly respected firms. The proposal from Cardoza-Dilallo of Costa Mesa was deemed the best by both staff and purchasing at that time. The terms of the proposed new contract with them are still better than those proposed in 1979 by the other firms. RECOMMENDATION: Approve the contract between the City and Cardoza-Dilallo of Costa Mesa for landscape architectural services to complete working drawings and specifications of City parks through January I, 1983. ANALYSIS: T e�existing contract we have with Alan Ribera, in-house Landscape Architect, to do the designs of our neighborhood and community parks, as well as various elements of Huntington Central Park, and for the firm of Cardoza-Dilallo to do the follow up detail plans and specifications, has proven to be a very statisfactory arrangement for the City as far as aesthetics, financial savings and efficiency in management. We would recommend approval of this contract to allow us to complete the designs and detail plans for the remainder of our park system. FUNDING SOURCE: Park Acquisition and Development Fund. ALTERNATIVES: I. Request proposals again from several reputable firms. 2. Hire additional support staff (Landscape Drafters) to complete the working drawings and specifications in-house. PIO 3/78 LANDSCAPE ARCHITECT CONSULTANT AGREEMENT a• , THIS AGREEMENT, made and entered into this day of J- , 1981, by and between the CITY OF HUNTINGTON BEACH, State of California, a municipal corporation, hereinafter referred to as "CITY," and CARDOZA DILALLO ASSOCIATES, INC., a California corporation, hereinafter referred to as "ARCHITECT," RECITALS 1. CITY wishes to engage a landscape architect on a contractual basis with terms and conditions as provided herein. 2. ARCHITECT,shall be employed by CITY as an independent contractor. 3. In its search to fulfill the position of landscape architect, CITY has made a selection from its Professional Register in accordance with Huntington Beach Municipal Code Section 3.03.050. NOW, THEREFORE, the parties to this agreement agree as follows: 1. EMPLOYMENT. ARCHITECT is hereby engaged to perform those architectural services as are more fully described in Exhibit "A," which is attached hereto,and incorporated herein by reference as though fully set forth herein. Additionally, ARCHITECT shall perform such other work as may be assigned to him by contract administrator, subject to the article of this agreement which provides for changes to the scope of work to be performed hereunder. 2. TERM. Subject to prior termination of this agreement as hereinafter provided, and subject to the maximum number of hours of service permitted to be provided per paragraph 4 herein, the work to be performed hereunder shall be performed by ARCHITECT at such times as are desired by CITY subsequent to the effective date hereof and prior to January 1, 1983. -1- t- 3. TERMINATION. CITY may terminate this agreement at any time after the effective date of this agreement upon written notice to the other party for cause when in its sound discretion it determines that ARTCHITECT is not progressing or proceeding with the work in an orderly or deliberate manner or when it determines after due consideration that ARCHITECT'S performance of the work is unsatisfactory or for its own convenience due to lack of funds or upon the determination that the work is not necessary. Upon termination for convenience, ARCHITECT will be entitled to claim for the reasonable value of its expended or committed work and materials and a reasonable fee or profit based upon work actually performed but not for loss of prospective profit or for any incidental damages. 4. COMPENSATION. As compensation for services under this agreement, ARCHITECT shall be entitled to receive from CITY the percentage fees shown on Exhibit "B," attached hereto and incorporated by reference herein. For such additional services which are performed at the specific request of CITY's Director of Community Services, ARCHITECT will receive compensation at the hourly rates shown on Exhibit "B." (a) Billings shall occur monthly on a percentage of work accomplished. Total payment is not to exceed the designated fee for each park. (b) There shall be a retention of 22 percent of assigned project fees for on -site supervision as required in "Exhibit A" Section 2-(c) until such time as said supervision has been performed. If construction does not commence within six months after submittal of final construction documents to CITY, project supervision shall be paid for on an hourly basis as requested in writing by CITY. 5. AUTHORIZATION TO PROCEED WITH PHASES OF WORK. ARCHITECT understands and agrees that the work to be performed hereunder will be performed in -2- increments, as determined by CITY, and that CITY will incur no liability for any work performed prior to receipt of a written authorization to proceed issued by the Contract Administrator. 6. ADMINISTRATION OF CONTRACT. The CITY's Director of Community Services is designated as CITY's Contract Administrator for this agreement. 7. ENTIRETY. This written agreement contains the sole and entire agreement between the parties. It supersedes any and all other agreements, either orally or in writing, between the parties. The parties acknowledge and agree that neither of them has made any representation with respect to the subject matter of this agreement or any representations including the execution and delivery hereof except such representations as are specifically set forth herein, and each party acknowledges that it has re 1 i ed on its own judgment in entering into this agreement. The parties further acknowledge that any statements or representations that may have heretofore been made by either of them to the other are void and of no effect and that neither of them has relief thereon in connection with its dealings with the other. 8. WAIVER. No waiver or subsequent modification of this agreement or of any covenant, condition, or limitation herein contained shall be valid unless in writing and duly executed by the party to be charged therewith. Furthermore, no evidence of any waiver or modification shall be offered or received in evidence in any proceeding, arbitration, or litigation between the parties arising out of or affecting this agreement, or the rights or obligations of any party hereunder, unless such waiver or modification is in writing, duly executed as aforesaid. The provisions of this paragraph may not be waived except as herein set forth. 9. WORKERS' COMPENSATION INSURANCE. ARCHITECT shall, in accordance with the provisions of Section 3700 of the California Labor Code, furnish to CITY a -3- certificate of workers' compensation insurance prior to undertaking any work hereunder. Such certificate shall be subject to approval as to form by the City Attorney. 10. LIABILITY INSURANCE, ADDITIONAL INSURED. Prior to performance of any work hereunder, ARCHITECT shall provide to CITY evidence of a policy of comprehensive bodily injury and property damage liability insurance. Minimum limits of coverage of the policy shall be $300,000 combined single limits including property damage, each occurrence. ARCHITECT shall not cancel or modify policy without 30 days prior written notice to CITY. Such policy shall name CITY as additional insured and ARCHITECT will execute CITY'S standard form hold harmless agreement. All such documents shall be furnished to CITY prior to performance of any work hereunder and shall be subject to approval as to form by the City Attorney. 11. CHANGES. The Contract Administrator may, at any time, by written change order, make any change in the work within the general scope of the agreement. If any such change causes an increase or decrease in ARCHITECT'S cost or the time for performance of any of the work under this Agreement, including work not changed, then an equitable adjustment shall be made in the time for performance or in the fee to be paid to ARCHITECT. 12. HOLD HARMLESS AGREEMENT. It is contemplated that the actual park development will be performed by contract entered into after receipt of public bids. In this connection, ARCHITECT will provide the following at a minimum to the satisfaction of the contract agreement: (a) One reproducible,transparency set of all necessary working drawings and a complete bidder's package for each park site development project. (Only one comprehensive, reproducible set of specifications will be required for each GROUP of parks anticipated to be bid as a single package); (b) An estimate of the development costs for each park development project; . IN (c) Changes to plans requested by CITY after CITY approvals shall be compensated at quoted hourly rates. (d) Required travel outside of a twenty-five (25) mile radius from consultant's office shall be charged to CITY at twenty three ($0.23) cents per mile. (e) Hourly rates shall be increased by ten percent (10%) on each anniversary of this agreement for future work 'assigned after said anniversaries. 2. CITY will supply ARCHITECT with a target cost estimate for the cost of construction for each development project. In no case shall such estimate be exceeded unless directed in writing by City's contract administrator. In the event that CITY is unable to secure at least one acceptable bid for site development within ten percent (10%) of the cost estimate targeted, ARCHITECT will revise the bid package to allow for receipt of an acceptable bid or bids at no cost to CITY and any such modification shall be subject to approval and acceptance by CITY. 3. Fifty percent (50%) of meetings required with CITY staff shall be held at the offices of Cardoza-DiLallo Associates, Inc. 4. The remainder of the budgeted funds were allocated to complete the working drawings and specifications. Due to the limitation of knowledge and ability that a Landscape Draftsman would have compared to the expertise that could be drawn from an architectural firm and since the cost would be approximately the same, (i.e. a year's wages for one draftsman completing an equal amount of work the firm can produce in 60-90 days) staff recommended having the landscape firm complete the work. (b) Coordination of any and all outside subcon- sultants required shall be billed to CITY at the rate of ten percent (10%) of the fee for said subcontractors' services. Any subconsultant required and authorized by CITY other than ARCHITECT and engineers (specifically, civil, structural, mechanical and electrical) shall be billed to CITY at direct cost). (c) Changes to plans requested by CITY after CITY approvals shall be compensated at quoted hourly rates. (d) Required travel outside of a twenty-five (25) mile radius from consultant's office shall be charged to CITY at eighteen ($0.18) cents per mile. (e) The above rates shall increase semi-annually at the rate of one-half of one percent. These increased rates shall apply only to new project assignments made after "rate increase dates." The first such adjustment shall be made com- mencing January 1, 1980. (f) Hourly rates shall be increased by ten percent (10%) on each anniversary of this agreement for future work only. 2. CITY will supply ARCHITECT with a target cost estimate for the cost of construction for each development project. In no case shall such estimate be exceeded.
