The site is currently zoned for open space I would urge you to support Councilman Peterson's "H" Item (Item 29 on the Agenda) to direct the City Manager to prepare a written, 10-day notice to Christopher Homes for termination of the Exclusive Negotiating Agreement REBUTTAL TO ARGUMENT AGAINST MEASURE T Good News!! Your Yes vote on Measure T will not cost you one cent. A successful Yes Vote sets aside 1.4% (5 acres), of Central lark for a Senior Center_ No money is included in this measure. The only issue to be noted on is fire acres! A proposal to fund the oenter teaith developer fees owed to the city is under discussion by the Council. Any commitment as to cost and building size is contingent on this funding. No decision will be made without public input. The statements made by the opponents on this measure are inaccurate. Even if the developer financed proposal goes forward, there will be no adverse effects on other park projects. They will go forward as planned. it is projected that due to a more energy, efficient modern building design the net operating cost of the center will be no more than the existing 1940's rehabilitated building. Thus there will be no adverse financial impact on Police, Fire, Libraries, Beaches and infrastructure. The label "Palace in the Park" is unfair. The preliminary proposal by the consultant is similar to centers in surrounding cities An added benefit is returning the existing senior center to all downtowns residents use. The new center is not a commercial enterprise, but a humanitarian facility, which will provide needed programs for all seniors, present and future. We the people have struggled with the redevelopment of the historic downtown Huntington Beach over the years. As we visit other cities, witnessing the successful renovations of their historic old buildings, and insightful city planning, we are saddened by the lack of insight and foresight of Huntington city planning. We are amazed that the city management is quick to add liquor licenses yet there is little done for families, especially children. The property on 17th and Orange known as the Roger's Senior Center is a crucial planning opportunity for the City of Huntington Beach. This project was promised to the downtown residents as a future park. As with other projects in Huntington downtown, promises are not always to be honored. If the City management truly represent the people, have a conscious, and want to make a correct and proper choice, they will support the creation of a beautiful park at the property known as Roger's Senior Center. Let this small jewel represent a beautiful rest area for families to meet and greet one another; a neighborhood zone for children to play, rather than their alley ways. I am asking as a resident that the city planners reevaluate the importance of consciously making moral decisions based on our most viable city attribute; families. Let not monetary incentives cloud a morally correct decision. I'm disappointed that some want to sell the property and attempt to change it from recreational use to residential, I urge you to reconsider this action, for the following reasons: 1. That it is not in the spirit of the original contract about this property no matter what new law you were able to utilize. 2. That it is not what people came to expect when they voted for the new senior center. 3 1 believe it to be disastrous for numbered street children who drive to get to a park and don't have a sense of community here. Residents who live in and around Orange avenue put up with traffic Issues, PCH detours, constant burglaries, dog beach waste, the 4t" of July parade, the surf contest and beach parking issues most of the year. Why would you take away the only bright spot here that could really enhance our neighborhood? Or do we have to move to Newport Beach? They just got a beautiful park. I am telling everyone I see about this situation, and they are all horrified actually that you want to turn this park land Into more housing when it is already so crowded down here. While flying over the downtown area this week, my husband noticed that the Senior Center is on the only block between Goldenwest and Pacific City that is not filled with housing or businesses. Frankly, I'll be shocked if residents choose to vote against a park for children in downtown HB, most people will vote for something favorable like the Senior Center, but most won't vote against a park, it's very mean spirited. I recognize that this is not the place to express my dismay with our elected public officials' betrayal. This is the forum to express my concerns about the environmental impact of this proposed plan. The question is which use, public park or high density housing project, has the potential to have a positive impact on the local environment and which has the potential to have a negative impact? The issues for consideration: 1. aesthetics and visual resources - a green space would be more pleasing to the eye than more housing units, more concrete and paved areas with only one tiny corner of planted area; 2. air quality - while more housing units would bring increased traffic and resultant exhaust fumes, air pollution and other toxic automotive waste, green space would actually improve the local air quality; 3. biological resources - increased housing would place a strain on the biological resources, a small two acre green space would provide habitat for small creatures and refresh local biological resources; 1 4. cultural resources - increased housing does nothing to enhance cultural resources but add more residents which places additional drain on the existing cultural resources, while a small green space has the potential to be a site for fairs, concerts and art exhibits; 5. geology and soils - setting aside the question of what might be dredged up when this site is developed for housing, the single small pocket park planned is insufficient drainage to meet the local water permeable and water permeable drainage goals. The reverse would be true if this becomes a small local park; 6. greenhouse gas emissions -just the added exhaust from the increased traffic would have a negative impact on the greenhouse gas emissions, while a green space full of plants and trees would produce fresh oxygen, counteracting existing greenhouse gas emissions; 7. hazards and hazardous materials - green space does not produce hazardous materials, increased human occupation does; 8. hydrology and water quality - as planned, the housing development is almost all paved over proving little opportunity to improve the water quality for the increased population to the area, but natural plantings improve our water quality; 9. land use and planning - almost a century of planning for the use of this parcel of land has been designed for public use, first as a resource for HB's senior citizens and after that to be a small park for the use of the citizens of HB, but increased housing will place an additional burden on planning for all HB resources; 10. noise and vibration - while the construction of a high density housing project will no doubt bring a temporary increase in noise and vibration pollution, the bigger concern is the continuing increase due to increased population and resulting traffic, as opposed to the peaceful respite a park would bring; 11. population, housing and employment - employment opportunities in HB have not kept pace with this increased population and housing, this specific proposed project affects two areas that are the areas with the z third and the eighth highest density population in HB, but a small park would not place any additional strain on the city for employment; 12 - public services - the development of several high density housing projects in HB over the last few years, most notably Bella Terra and Pacific City, places additional demand on all of the public services provided by the city of HB and cannot fail but to result in the need for increased budgets across all city departments or a default to the ability to adequately provide these services to its citizens; 13. recreation - high density housing places increased demand on existing recreation resources, even a small park provides an additional resource to meet the existing demand; 14. traffic and transportation -this proposal will bring increased traffic to an already congested area and does not include any accompanying increase in transportation resources or any increased parking resources which are already stressed on the streets surrounding the proposed project. These would not be an issue with a public park as many users of the park would simply walk to it; 15. utilities and service systems - the infrastructure in HB is not getting any younger. We need to direct resources toward updating it rather than adding population which will place more demand on a crumbling system. Almost 100 years ago when this parcel of land was gifted to HB, the grantors had no idea that by 2015 our environment would be so threatened that every new project would be required to submit to an onerous California Environmental Quality Act and Environmental Impact Report process. But even then, they knew the value of green space, clean air, and water resources for the citizens of HB. For this reason, they stipulated public use for the future citizens of HB. If a corporate entity can demonstrate this act of humanity toward the citizens of HB, can our elected officials do anything less for all of the current and future residents of HB? C This EIR process includes recommendations for mitigation. These problems would not need to be mitigated when they can so easily be avoided in the first place. Why would the HBCC and the planning and zoning departments approve anything that does not positively enhance our city? My biggest concern is that, since this plan as stated with 22 new housing units is consistent with the surrounding neighborhood, I don't understand why this process is necessary. This leads me to wonder if when this process is complete the developer won't say, "Oops my mistake, I meant 220 units" or some other switcheroo. That's why voters also voted for Measure C with the intent and purpose of a public vote before any public space is rezoned for another use. By entering into an exclusive agreement with a developer, the city has effectively hired a lobbyist to push voters towards building homes clearly not the intent of Measure C. 4. The current exclusive agreement with Christopher Homes suggests an $11 Million sales price which is $3 Million less than the previous agreement with Shea Homes. Are we expected to believe that the value of 2 acres in the middle of downtown Huntington Beach has declined 20% in less than a year while real estate prices citywide have been on the rise? Voters expect that before the city enters into exclusive agreements with developers to build homes on public land, the public votes on changing the land use from public to private. We expect that if or when city property is sold we receive fair market value and not a penny less. Voters expect that every city council member past and present makes decisions based on maintaining our quality of life and what is best for our city long term. And most importantly, voters expect that city council members elected to represent the residents will keep the promises made at the voting booth. Instead of spending $250,000 on an EIR to build homes, why don't you use the money to renovate the property and KEEP THE PROMISE made in 2006? I recently moved to 19th St and Orange St in Huntington beach just around the corner from the Rodger's Park location In the short time that I have lived here, that overlapped with the operation of the Rodger's senior center, I walked by numerous gatherings at the senior center These gatherings exuded a simple and happy community atmosphere that made me feel quite comfortable in my new neighborhood When I learned that the city planned to sell a portion of the senior center site to a private developer, I was saddened that such a well off municipality would consider selling a public gathering space. The residents of the City of Huntington Beach will not benefit from the sale of a portion of the Rodgers Senior Center property to a private developer Adding 22 more high density homes to that neighborhood would be like adding another hot dog vendor in Disneyland. There doesn't seem to be a housing shortage in that neighborhood, so how will 22 more high density homes benefit the residents of said neighborhood9 This project would only benefit the developer and the profit made by the City of Huntington Beach would probably be misappropriated instead of being fully invested back in the community surrounding Rodgers Senior Center Bottom line is Huntington Beach is not in NEED of more housing, especially in the area surrounding Rodgers Senior Center However, a high density residential city (like Huntington Beach) is always in need of as much public open space that it can get. 1 HB -1090- Dept ID ED 15-30 Page 2 of 3 Meeting Date 111212015 On May 18, 2015, a Request for Qualification/Proposals (RFQ/P) was released on Planet Bids (the City's procurement site) and sent to interested parties including the Building Industry Association, Orange County Building Council, the Chamber of Commerce, and other known developers The RFQ/P stated that the City's desired project consisted of 22 single family residential units with up to a 17,500 square foot park The RFQ/P stated that selected developer will be required to submit the project and obtain the necessary approvals, elections, and entitlements to develop the property Per City Council direction, all risk for potentially developing the site would be borne by the developer An Exclusive Negotiation Agreement (ENA) will be established between the City and developer for a maximum term of two (2) years Additionally, the selected developer is to be responsible for community outreach, meetings, California Environmental Quality Act (CEQA) documents, entitlements, and approvals from the City More importantly, the RFQ/P required the developer to be responsible for the "Measure U election along with all associated costs to develop the property, including any portion thereof intended for City purposes, such as the park, sidewalk, alleys, etc The City received four (4) proposals from Christopher Homes, Pinnacle Residential, Shea Homes, and Woodbridge Pacific Group A four (4) member panel reviewed the proposals and the two top - ranked proposals (Shea Homes and Woodbridge) were selected to participate in an interview process After the interview process, based upon the weighted scores of the proposal and interview, the total score for both Shea and Woodbridge were tied The panel concluded that both developers could successfully complete the project and conduct the required environmental studies and community outreach At the City Council meeting scheduled for August 17, 2015, the City Council was asked to hear presentations from both developers and select a developer to enter into an ENA However, during public comments at the Study Session prior to the City Council Meeting, Woodbridge Pacific Group withdrew their proposal due to funding criteria standards being modified by their investor Accordingly, at the City Council meeting, Staff was directed to move forward with an ENA with Shea Homes City Staff and Shea Homes negotiated the ENA and placed the item on the September 8, 2015, City Council meeting, however, Shea Homes requested a continuance of the item to finalize their intra-parties agreements On September 23, 2015, Shea Homes officially withdrew their proposal for development of the project site Staff reviewed the remaining qualified proposer and met with Christopher Homes regarding interest in the project Christopher Homes has built over 800 homes in Huntington Beach and the Ralph Bauer Park on Newland Christopher Homes was still interested in the project, however, due to a re-evaluation of the risk presented by gaining a successful "Measure U vote for the project, they reduced their original offer for the land Given the re- evaluation of the risk posed by a "Measure U vote and to be fair to all three (3) qualified bidders, a last and final offer was requested from each Christopher Homes was the sole responsive bidder Their last and final proposal is for $11 million, which is $3M less than their original offer The City's financial consultant reviewed the proposals and determined that, based on a developer's financial risks of the project which includes all entitlements, the Environmental Impact Report, and the "Measure U election to be paid by Christopher Homes, the offer of $11 million was fair As stated previously, the City will not be part of the Measure C campaign The attached Exclusive Negotiation Agreement (ENA) consists of the following Term — Valid through December 20, 2016 Purchase Price - 3 xs -1092- ATTACHMENT 1 EXCLUSIVE NEGOTIATION AGRFJNENT FOR REDEVELOPMENT OF NUCHAEL K RODGERS SENIORS' CENTER SITE By and Between the CITY OF HUNTINGTON BEACH And CHRISTOPHER HOMES This EXCLUSIVE NEGOTIATI N AGREEMENT ( "Agreement"), dated for purposes of identification only as of , 2015 ( "Date of Agreement"), is hereby entered into by and between the CITY OF HUNTINGTON BEACH, a California municipal corporation ( "City"), and CHRISTOPHER DEVELOPMENT GROUP, a California Corporation ( "Developer"). RECITALS A The City owns certain real property, as described in the legal description attached hereto as Exhibit "A" and incorporated by this reference as though fully set forth herein (the "Site"). The Site is currently used as the Rodgers Seniors' Center. B. Developer desires to develop the Site by demolishing the existing building and constructing a residential project ("Project") Developer has submitted a proposal ("Development Proposal") in response to the City's RFP/Q Developer was subsequently identified by the City as the most qualified. C. The City and Developer (individually referred to as a "Party" and collectively referred to as the "Parties") desire to enter into this Agreement to negotiate the Sale and Purchase Price as well as the cost and liability for all aspects of the protect including environmental review, election challenge and any other legal obligations required to be completed as part of the purchase and sale of the Site. (collectively, the "Terms to be Negotiated") D. The primary purpose of this Agreement is to establish a period during which the Parties shall exclusively negotiate the Terms to be Negotiated. As well as establish who will pay for certain upfront cost and liability associated with the protect such as environmental review and election challenge. It is not the purpose of this Agreement to enter into a binding agreement for the sale of the Site to Developer (the "Definitive Agreement"). E. F. Developer acknowledges and understands fully that under Section 612 of the City's Charter, a CEQA compliant environmental analysis of the Developer's proposed Project for the Site must be conducted, completed, and certified by the City Council prior to the aforesaid vote of the people (Measure C Ballot Measure) G. Developer acknowledges and understands fully that the current deed/title on the Site has a reversionary interest to the Huntington Beach Company or its successor -in -interest, Chevron Corporation.. The City has obtained title insurance in the amount of $11,000,000 from First American Title to support the City's position that pursuant to the California Marketable Title Act, said reversion is inoperable and no longer valid and therefore the entirety of interest in the Site is vested with the City. NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS Section 1. Negotiating Period. The Parties agree to use commercially reasonable best efforts to negotiate diligently and in good faith with one another commencing upon the Effective Date of this Agreement (as hereinafter defined in Section 17) and terminating December 20, 2016 (the "Negotiating Period"), in order to agree upon mutually acceptable Terms to be Negotiated. The term may be extended or terminated as provided in this Agreement, provided that Developer shall have the right, in addition to the right of the City to extend this Agreement for one sixty (60) day period by providing written notice to the City prior to the expiration of the then current term. Section 2. Terms to be Negotiated. The terms to be negotiated will include, but not be limited to, purchase price including a "Purchase Price Adjustment" where the Developer and the City shall share an amount, if any, with the City, over the determined market rate of the individual homes Please see Exhibit B for Developer's Proposed Purchase Price and other terms. Section 3. Developer's Submission of Documents for City Review and Comment. Within sixty (60) days of the Effective Date of this Agreement, Developer shall use commercially reasonable best efforts to submit the following information to the City with respect to the Project: • Project Description • Concept drawings and elevations 2of12 15-4863 / 124781_4 • Site plan generally describing the Project using schematic drawings • A proposed construction schedule of development • Economic analysis for the proposed development, including: • An estimate of development costs, including construction and non -construction costs • An estimate of project income, a financial statement and pro forma statement of project return adequate to enable the City to evaluate the economic feasibility of the Project • A description of the proposed method of construction and permanent financing and amounts and sources of equity and debt capital Developer shall resubmit a revised site plan(s), pro forma(s), financing plan(s) and/or development schedule(s) to the City, as necessary to respond to the City's requirements on the versions of each submission. Developer has previously submitted a deposit of Twenty Thousand Dollars ($20,000.00) with Developer's Response to the City's RFQ/P. The timing and terms upon which portions of the deposit may become non-refundable, if any, will be negotiated during the ENA period. The Developer acknowledges and agrees that design and architectural review by the City and its consultants will be required following each submittal, and that sketches, plans, and ultimately working drawings, specifications and similar documents will be required to be submitted for review and approval pursuant to any Definitive Agreement (the City's Design Review"). Developer further acknowledges and agrees that the City, acting under its general police powers as a municipal corporation, may conduct a similar review and that building design, including, but not limited to, the selection of building elevations, construction materials, parking layout and landscaping will not be final until approved by the City. Developer further acknowledges and agrees that the City may exercise the City's Design Review distinct and separate from those additional rights which the City may exercise under its general police powers as a municipal corporation. This review does not include future Zoning Approvals as may be required by the Huntington Beach Municipal/Zoning and Subdivision Code. Section 4. The City's Evaluation of Developer's Proposal. Upon receipt of the last of Developer's submissions as provided in Section 3 hereof, the City shall use commercially reasonable best efforts to conduct or cause to be conducted a complete economic evaluation of Developer's ENA Final submittals and proposed Project. If the Parties are unable to mutually agree upon the Terms to be Negotiated prior to the expiration of the Negotiating Period, the City may, upon written notice to Developer, elect to extend the Negotiating Period by up to thirty (30) days (the "Extended Negotiating Period") or terminate this Agreement. In either event, 3of12 154863 / 124781_4 this Agreement shall automatically terminate upon the expiration of the Negotiating Period or the Extended Negotiating Period in accordance with Section 8.3 hereof. Following mutual agreement upon the Terms to be Negotiated, the parties agree to negotiate and execute, in good faith, a Definitive Agreement that incorporates the agreed upon Terms to be Negotiated. Section 5. Environmental Requirements. Certain State and local environmental requirements (including without limitations, the California Environmental Quality Act, Public Resources Code Section 21000, et seq.) are applicable to the Project. Pursuant to such requirements, certain environmental documents may be required to be prepared prior to consideration by the City Council prior to execution of a Definitive Agreement. Developer agrees to cooperate with the City in obtaining information to determine the environmental impacts of the proposed Project and the scope of the environmental documentation necessary to evaluate such environmental impacts. Developer agrees to pay at Developer's sole cost and expense all costs to prepare or cause to be prepared such environmental impact documents as the City may cause to be completed. However, if the City decides not to certify the EIR or approve the project entitlements, all reimbursement costs affiliated with the EIR that were paid by Christopher Homes will be returned to Christopher Homes within 30 days of Developer's request for said reimbursement. This shall not apply if the City decides not to certify the EIR or approve the project entitlements because of litigation, a court order or otherwise because any portion of this agreement is held invalid by a court of competent jurisdiction. The Developer shall not be entitled to any cost other than the cost to prepare the EIR. Any remaining costs shall be paid by Developer within fifteen (15) days after invoice by the City. The City will act as lead agency in regard to the Project. Section 6. City Charter Section 612 Requirements. Per Section 612(a) of City's Charter, park land may not be sold, leased, exchanged, or otherwise transferred or disposed of unless authorized by a majority vote of the City Council and by a majority of the voting public on such proposition at a general or special election. Therefore, any transfer of the Site will require voter approval from a general election, in order to obtain the people's authorization to the potential transfer as proposed in the RFQ/P. The Developer understands fully and acknowledges that the City cannot advocate for this project in any way and Developer cannot act as the City's agent or in any way represent that the City is advocating one way or another regarding a "Measure C" Ballot 4of12 15-4863 / 124781_4 Measure vote. As such Developer is responsible for the non- governmental process of the election. Section 7. Indemnity. Section 7.1 CEQA/Environmental. Developer hereby agrees to indemnify, defend and hold harmless the City, its elected and appointed officials, officers, employees, agents, and volunteers, from and against any and all obligations, liabilities, claims, lawsuits, liens, encumbrances, losses, damages, costs and expenses, including without limitation, attorneys' fees, whether direct, contingent, or consequential, incurred by the City relating to this Agreement and/or ansing from acts, occurrences, or matters that take place in furtherance of this Agreement, regardless of the nature of any such claim, act, occurrence or matter including but not limited to any required CEQA-comphant environmental studies, the sufficiency and/or adequacy of any CEQA-related environmental studies, environmental certifications, any environmental - related cause of action, any approval granted by the City Council, Planning Commission, or Design Review Board concerning the Project, any challenge to the City's adherence to any federal, State, or local law with regard to CEQA studies and certification. Section 7.2 Measure C Ballot Measure. Developer hereby agrees to indemnify, defend and hold harmless the City, its elected and appointed officials, officets, employees, agents, and volunteers, from and against any and all obligations, liabilities, claims, lawsuits, liens, encumbrances, losses, damages, costs and expenses, including without limitation, attorneys' fees, whether direct, contingent, or consequential, incurred by the City relating to this Agreement and/or ansing from acts, occurrences, or matters that take place in furtherance of this Agreement, regardless of the nature of any such claim, act, occurrence or matter including but not limited to the City Charter required Election (Measure C Ballot Measure) and/or any related cause of action, and/or any cause of action related to a challenge to the City's adherence to any federal, State, or local law 5of12 15-4863/124781_4 with regard to the Election (Measure C Ballot Measure). Section 7.3 Deed/Title. Developer agrees, subordinate to First American Title's indemnification an defense, to indemnify, defend and hold harmless the City, its elected and appointed officials, officers, employees, agents, and volunteers, from and against any and all obligations, liabilities, claims, lawsuits, liens, encumbrances, losses, damages, costs and expenses, including without limitation, attorneys' fees, whether direct, contingent, or consequential, incurred by the City relating to this Agreement and/or ansing from acts, occurrences, or matters that take place in furtherance of this Agreement, regardless of the nature of any such claim, act, occurrence or matter including but not limited to any present or future claim by Chevron Corporation, its successors, heirs, affiliates, or any third party, set forth or made during the time of this Agreement, and at, and after, the time of Developer's acquisition of the Site, that the ownership, vesting, and/or interest in real property in the subject Site, or portion thereof, reverted, reverts, or will revert back to the Chevron Corporation according to the terms of the deed/title as currently stated in the deed/title as of the date of this Agreement. Section 7.4 Breach. Developer agrees to indemnify, defend and hold harmless the City, its elected and appointed officials, officers, employees, agents, and volunteers, from and against any and all obligations, liabilities, claims, lawsuits, liens, encumbrances, losses, damages, costs and expenses, including without limitation, attorneys' fees, whether direct, contingent, or consequential, incurred by the City relating to this Agreement and/or ansing from acts, occurrences, or matters that take place in furtherance of this Agreement, regardless of the nature of any such claim, act, occurrence or matter including but not limited to any breach by Developer of any of its Agreement warranties or representations set forth in this Agreement. 6of12 154863/124781_4 Section 7.5 Contamination/Site. In the event Developer acquires the Site from the City, and only then, Developer agrees to indemnify, defend and hold harmless the City, its elected and appointed officials, officers, employees, agents, and volunteers, from and against any and all obligations, liabilities, claims, lawsuits, liens, encumbrances, losses, damages, costs and expenses, including without limitation, attorneys' fees, whether direct, contingent, or consequential, incurred by the City relating to this Agreement and/or arising from acts, occurrences, or matters that take place in furtherance of tins Agreement, regardless of the nature of any such claim, act, occurrence or matter including but not limited to any CERCLA claim, repair to Site, mitigation measures, cleanup, environmental cleanup or detoxification, or preparation and implementation of any removal, remedial, response, closure, or other plan concerning any hazardous substance on, under, or about the Site, regardless of whether undertaken due to governmental action To the fullest extent permitted by law, the foregoing indemnification shall apply regardless of the fault, active or passive negligence, breach of warranty or contract, of the City. The foregoing indemnity is intended to operate as an agreement pursuant to CERCLA Section 107(e), of 42 United States Code Section 9607(E), and California Health and Safety Code Section 25364, to insure, protect, hold harmless and indemnify the City from any liability pursuant to such sections The indemnity against special, consequential and punitive damages shall refer to the damages of third parties brought against the indemnified parties, and not to direct damages experienced by such indemnified parties. Section 8. Effect of this Agreement; Termination. Section 8.1 Nature of Agreement. Neither this Agreement nor the Development Proposal is a complete statement of all terms and conditions of the proposed Project nor any possible conveyance or financing of the Site. Neither Party intends, by setting forth herein the provisions of a possible transaction, to create for itself or any other person or entity any legally binding obligation or liability, except as specifically stated herein. No subsequent oral agreement or 7of12 15-4863 / 124781_4 conduct of the Parties (including partial performance) will be deemed to impose any such obligation or liability. This Agreement is not intended to constitute a binding agreement by City to convey all or any portion of the Site, to financially participate with Developer in the assembly or acquisition of land or construction or other costs for the Project or any other endeavor of Developer, or to construct or operate the Project, nor is it intended to constitute a binding agreement to agree on the Terms to be Negotiated or to agree on or enter into a new exclusive negotiation agreement or Definitive Agreement or any other contract. Except as otherwise set forth herein, Developer shall be responsible for all cost and liability, specifically including, but not limited to, all costs associated with any and all Federal, State and local environmental requirements. No Party shall be legally bound to consummate the sale, purchase, construction or operation of the Site or a Project, as outlined herein unless and until a Definitive Agreement or other contract has been executed and delivered by the Parties Any Definitive Agreement or other document, to be legally binding on the City, must satisfy various conditions of the City, including, without limitation, approval by the City Council, in accordance with all applicable laws. Section 8.2 Exclusive Nature of Negotiations. The Parties intend that certain aspects of the negotiations conducted pursuant to this Agreement be negotiated exclusively between the Parties. Accordingly, during the Negotiating Period, the City shall negotiate exclusively with Developer with respect to the development of the Site. Section 8.3 Termination of this Agreement. Prior to the expiration of the Negotiating Period, either Party may terminate this Agreement, with or without cause, upon ten (10) days prior written notice to the other Party. Developer shall remain liable for any cost associated with the environmental analysis as set 8of12 154863 / 124781_4 forth in the Agreement between the City and the environmental consultant; provided that such costs shall be linuted to those costs incurred up until the date the City receives notice that Developer has elected to terminate this Agreement The Parties, by their respective execution hereof, knowingly agree, notwithstanding anything herein to the contrary, that neither of them shall have any right to specific performance of this Agreement, nor any other equitable nor damage remedies under the law. Each Party makes such release with full knowledge of Civil Code Section 1542 and hereby waive any and all rights thereunder to the extent of this release, if such Section 1542 is applicable. Section 1542 of the Civil Code provides as follows: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor." If this Agreement is not sooner terminated pursuant to the foregoing paragraphs, this Agreement shall automatically terminate upon the expiration of the Negotiating Period or Extended Negotiating Period and neither Party shall remain bound hereby. Sections, 5, 7, 8.1, 8.3, 8.4, 9, 10, 11, 12, 13, 14, 15 and 16 shall survive the termination or expiration of this Agreement. Section 8.4 Mutual Confidentiality. To the extent permitted by applicable law, the Parties shall maintain all information concerning this Agreement and any pending or subsequent negotiations between the Parties as confidential, disclosing information only to those individuals and representatives as designated by the other Party provided that such individuals acknowledge and agree to maintain the confidentiality of such information. Section 9. Notices. Any notices, requests or approvals given under this Agreement from one Party to another may be personally delivered, or deposited with the United States Postal Service for mailing, 9 of 12 15-4863 / 124781_4 postage prepaid, to the address of the other Party as stated in this paragraph, and shall be deemed to have been given at the time of personal delivery or, if mailed, on the third day following the date of deposit in the course of transmission with the United States Postal Service. To the extent permitted by law, any legal action brought under this Agreement must be instituted in the Superior Court of Orange County, State of California in an appropriate court in that county, or in the Federal District Court in the Central District of California. Section 11. Attorneys' Fees. If any legal action is brought to enforce, construe, interpret or invalidate the terms of this Agreement, each Party shall bear its own costs and attorneys' fees, except as provided for in Section 7 of this Agreement. The prevailing party shall not be entitled to recover any costs and expenses incurred in any such action, including court costs and reasonable attorneys' fees, from the non -prevailing party. Section 12. Interpretation. This Agreement shall be interpreted as a whole and in accordance with its fair meaning and as if each Party participated equally in its drafting. Captions are for reference only and are not to be used in construing meaning. The recitals are deemed incorporated into this Agreement. Section 13. Real Estate Commissions. Each of the Parties represents and warrants to the other Party that no real estate commission, broker's fees, or finder's fees which may accrue by means of the acquisition of any interest in the Site is due to any person, firm or entity except as set forth herein. Each Party agrees to indemnify and hold the 10 of 12 15-4863/124781_4 other Party harmless with respect to any judgment, damages, legal fees, court costs, and any and all liabilities of any nature whatsoever arising from a breach of such representation. Section 14. Amendment of Agreement. No modification, rescission, waiver, release or amendment of any provision of this Agreement shall be made except by a written agreement executed by each of the Parties. Section 15. Entire Agreement. This Agreement constitutes the entire understanding and agreement of the Parties concerning this subject. This Agreement integrates all of the terms and conditions mentioned herein or incidental thereto, and supersedes all prior negotiations, discussions and previous agreements between the Parties concerning all or any part of the subject matter of this Agreement. Section 16. Implementation of Agreement. The City shall maintain authority to implement this Agreement through the City Manager. The City Manager shall have the authority to issue interpretations, waive provisions, and/or enter into certain amendments of this Agreement on behalf of the City so long as such actions do not materially or substantially change the uses or development contemplated hereunder, or add to the costs incurred or to be incurred by the City as specified herein, and such interpretations, waivers and/or amendments may include extensions of time to perform. All other materials and/or substantive interpretations, waivers, or amendments shall require the consideration, action and written consent of the City Council. 11 of 12 15-4863 / 124781_4 Section 17. Conceived in the late 198Os and begun in the early 199Os, Huntington Seacliff required City of Huntington Beach and California Coastal Commission approval of a major general plan amendment, two specific plans, an environmental impact report, numerous conditional use permits and subdivision maps, and a development agreement. The comprehensive master plan provided new community identity and landscape design standards for new development, and included dedication of significant regional County open space and park land, construction of several new local neighborhood parks, a new elementary school, new neighborhood retail center, new City fire station and water reservoir, and significant improvements to the City's public streets, drainage, sewer and water infrastructure systems. As part of the community outreach effort for this large scale multi -year development, the developer created the Friends and Neighbors of Seacliff, Inc. (FANS, Inc) non-profit corporation to inform and engage Huntington Beach residents and businesses about the new Huntington Seacliff Master Plan and development. FANS, Inc. held monthly briefings with the developer and guest builders to learn about new neighborhoods and the status of community open space and infrastructure improvements. This process proved very beneficial in proactively dealing with questions and issues from the community and made the public hearings before the Planning Commission and City Council very efficient Also, through the efforts of its many active volunteer members and local businesses, FANS, Inc organized the funding, design, approvals, construction and construction of the FANS Central Park Bandstand, which was dedicated to the City and citizens of Huntington Beach in 2000. The FANS Central Park Bandstand is a popular and well - used amenity for outdoor concerts in the park. Item 14. - 11 HB -1100- 4. Proposer's Approach to Proiect The Rodgers site presents a fantastic opportunity to provide contemporary new homes in an eclectic coastal California neighborhood that is steps from the beach and abundant outdoor recreational opportunities. The proposed site development plan adheres to existing neighborhood patterns, building forms, orientation and massing, while preserving a welcoming corner of open space at a major local neighborhood intersection. The site is within walking or biking distance of local restaurants, retail shops and services, de-emphasizing dependence on the automobile for basic convenience purchases, recreation and social activity The design of the proposed 22 homes onents living spaces and patios to the pedestrian friendly streets of downtown Huntington Beach. Christopher Homes has developed an outstanding reputation for working with local neighborhoods and communities and being mindful of residents' concerns about new development and neighborhood change. We work closely with City staffs, Planning Commissions and City Councils to foster a sense of mutual trust and respect, and are careful to identify and understand all potential interests and stakeholders at the earliest stages of a project to be able to conduct an open dialog and make plan adjustments where necessary to garner public support for successful project approvals Required Approvals The proposed re -use of the Rodgers Senior Center site has been under consideration for many years. Once a local park and baseball field, the tremendous demand for social, health and wellness services for Huntington Beach's aging senior population soon led to changes and additions to the structures and parking improvements upon the site. Now that the new Central Park Senior Center development is moving forward, the Rodgers site is being considered for re -use and development of new homes and a public park. Development of the site for 22 new homes will require Planning Commission and City Council approval of a General Plan Amendment, Zoning Map Amendment, Conditional Use Permit, Tentative and Final Tract Maps, and a Focused Environmental Impact Report. Conveyance of all or a portion of the City -owned site will also require a special citywide election in compliance with Measure C, Section 612 of the City Charter. The community outreach and public review and hearing process for project approval will extend over a year's time. Although the proposed 22 home and park development is relatively small and has only minor localized impacts, the requirement for a citywide Measure C election has the potential to elevate the level of review and discussion and wider concerns about growth, development, loss of open space and neighborhood change. For this reason, a broad -based coalition of supporters will be needed to ensure approval of the required entitlements and a successful election outcome. 7 HB -1101- Item 14. - 12 Community Outreach The sale and proposed redevelopment of the existing senior center site with compatible, contemporary new homes offers numerous public benefits to the City of Huntington Beach, including: • One-time revenues from the land sale, which can be used for specific community needs as determined by the City Council. These could include: o Contribution toward construction of the new Senior Center in Huntington Central Park. o Contribution toward enhanced senior or community recreation services a Community infrastructure improvements o Enhancement of other community open space and recreation facilities • Ongoing property tax revenues from the sale of the lots and construction of high - value single family homes to pay for public safety services, local infrastructure repairs and improvements and other necessary municipal services. • Generally increased home values in the surrounding neighborhood as a result of new home sales. • New home residents' patronage and support for local restaurants, retailers and service businesses. • Development of a new public park at the corner of 17th Street and Orange Avenue for residents of the downtown neighborhood and surrounding areas. In spite of the many public benefits that the project will provide, we anticipate there will be spirited opposition from some local residents and the larger community over the issue of loss of open space and more development in a city some feel is already overcrowded. In order to identify potential project opponents and supporters, we recommend a vigorous and visible community outreach effort and campaign to fully vet the project and develop support for its approval by the Planning Commission, City Council and, ultimately, the voters of Huntington Beach. This effort would include polling on community attitudes toward new development in general, crafting effective messaging to develop community - wide support for the project and its significant public benefits, and ensuring that supporters vote in favor of the project at the special election. Christopher Homes, with its experience in the development of large master -planned communities in Huntington Beach (Huntington Seacliff) and Azusa (Rosedale) over multiple year cycles, understands and is uniquely qualified to carry out complex entitlement processes and community outreach programs resulting in successful developments Christopher Homes believes in using and supporting knowledgeable and capable local consultants, contractors, vendors and services wherever possible. We also support sharing our successes with local non-profit organizations and community groups to help foster a sense of local pride in our communities Item 14. - 13 xB -1102- 5. Content of Proposal Christopher Homes has developed preliminary architecture and a conceptual site plan showing the proposed development of 22 detached single family homes and a 17,000 square foot public park at the corner of 171h Street and Orange Avenue. A copy of the conceptual site plan is attached at Appendix B. The new homes feature two plans, each with three bedrooms and three bathrooms and averaging 2,800 square feet. The homes have living areas oriented toward the front of the home and alley -accessed two -car garages, as is typical for homes in the Townlot neighborhood. Private open space is provided either by a front porch, open California room, internal courtyard or rooftop deck. Similar to other new homes in this unique beach - oriented neighborhood, pricing would be in the $1.5-2.0 million range. The public park is programmed to include a small children's adventure play structure and shaded seating area for recreation and socialization opportunities at this key neighborhood intersection, while providing privacy for the abutting new homes The landscape palette has been designed to incorporate drought -tolerant native materials to minimize water use yet provide a peaceful, attractive environment for passive recreational use. Christopher Homes will be responsible for developing and coordinating all architectural, landscape and civil engineering and utility plans for redevelopment of this site, including demolition and removal of the existing structures and improvements on the property. Christopher will work closely with City staff departments, Community Services Commission, Planning Commission and City Council to assure that the new homes and park are compatible with the neighborhood and represent a high quality of execution and construction. We will also cooperate with City staff in coordinating all environmental consultants necessary for preparation of a focused Environmental Impact Report for the project. We understand that the technical studies and documents will be prepared under the direction of and per the scopes of work determined by the City of Huntington Beach staff, with all costs reimbursed by the developer Christopher will partner closely with the City Clerk and staff to schedule the special Measure C election after all necessary entitlements and CEQA documents have been approved by the City Council. We anticipate the entire entitlement and election process will take 18-24 months from inception, as shown on the preliminary schedule attached as Appendix F. Our proposal assumes that the residential lots will be acquired by the developer 90 days following certification of the special election, or approximately October 2017, with models open and initial home sales in April 2018. Christopher proposes to conduct bi-weekly meetings with key City staff to ensure that all departmental comments are addressed in a timely manner. Milstein, Adelmen is counsel representing the homeowners The 37 homes are spread across three different projects out of total 200+ homes that Christopher Homes built in Sycamore Creek. The nature of the alleged defects are wide ranging, however, many are focused on minor stucco cracking and paint issues. It appears many of the alleged defects are due to homeowner lack of maintenance issues. Many of the homes listed are not original homebuyers, and several of the units have gone through foreclosure. We have provided copies of all relevant plans specifications, soils reports, DRE public reports, etc. as requested by plaintiffs Inspection observations have now been completed on all the 37 homes. There is currently a stay of the SB 800 procedures. There has been no activity on tlus case for over a year. Our counsel has reached out to plaintiff's counsel, yet has not received any response. At this point, we do not know if plaintiff intend to further prosecute this claim. Plaintiffs have never produced a defect list or cost to repair and have made no settlement demands. Nabua vs Dash Network, Christopher Homes, Inc: et al On April 16, 2009 a pedestrian (15 year old walking to school bus stop) was hit and killed on Coral Canyon Rd in Corona. The street is located within the Heritage project, constructed by Christopher Homes, Inc. and completed in 2007. The driver, in a pickup truck working on behalf of Dish Network, stated he was traveling 20 to 25mph and did not have time to brake when Nabua ran right in front of the vehicle An onsite witness stated that Nabua was wearing earphones and did not look before he ran across the street. The investigating police officer concluded that the cause of the collision was Nabua's failure to yield the right of way as he crossed Coral Canyon Road. The driver of the vehicle was not cited Other defendants named in the complaint include Jorge Avila, the driver of the vehicle and Dish Network, who plaintiffs allege that Avila was operating the vehicle in the course and scope of his employment with Dish. The roadway was designed and constructed in accordance with County of Riverside standards All plans were approved by the County and all construction was inspected by County personnel. -Oil t- UH I E - 11 I LU31I This case was settled on the first day of trial in June, 2014 Dish/Zoom Network agreed to pay $1 million to plaintiffs (this was the amount of their insurance policy) and plaintiffs agreed to fully release all defendants. Christopher Homes did not contribute any money to the settlement and Dish did not file any cross complaint against Christopher Homes Anonical vs. PLC,Harveston LLC Claim brought by 13 homeowners in Harveston community in Temecula, CA in February, 2013 (93 unit project completed in 2006) alleging various construction defects. Site inspections were performed on the homes with the results reinforcing our belief that any needed repairs were generally minor in nature. Case was settled in June, 2014 for approximately $bk per unit, partially funded by insurance in excess of SIR. Clark vs. PLC 45 Ranch LLC Claim brought by 7 homeowners in 4S Ranch community in San Diego, CA in April, 2013 (108 unit project completed in 2003) alleging various constructions defects. 3 additional homeowners subsequently added. It appears that 2 of the homes are time barred due to 10 year statute of limitation Site inspections are scheduled for this summer. We have not experienced any unusual warranty request volume for these homes. Mediation is scheduled for late 2014, with a likely outcome of a nominal settlement in exchange for full release from homeowners. Tinker vs Lennar Homes, Lennar homesvs. PLC Land Compan J Claim brought by a single homeowner in Seacliff community in Huntington Beach against Lennar Homes for distress to their backyard and pool installed several years after home purchase. Lennar has filed cross complaint against PLC for improper grading and fill PLC sold lot to Lennar in 2002 after completion of grading (Lennar was also a partner in the land seller), however homeowner brought complaint against Lennar just within 10 year statute of purchasing home. It appears homeowner's pool contractor re -graded site and installed retaining wall that was insufficient to support pool. We have provided all original soils reports, compaction testing, etc. Lennar filed cross complaint against PLC in order to access the underlying land venture's insurance coverage.
