THIS AGREEMENT, made and entered into this 16th day of
August , 1999, by and between the City of Westminster, a municipal
corporation of the State of California, hereinafter designated as "WESTMINSTER", and
the City of Huntington Beach, a municipal corporation of the State of California, hereinafter
designated as "HUNTINGTON BEACH".
WfTNESSETH
WHEREAS, WESTMINSTER and HUNTINGTON BEACH have a traffic signal
project at Newland Street and Edinger Avenue that is partially in areas under jurisdiction
of HUNTINGTON BEACH and partially in areas under jurisdiction of WESTMINSTER, and
WHEREAS, WESTMINSTER and HUNTINGTON BEACH desire to specify the
procedure for equitably distributing the construction costs for said project; and
WHEREAS, HUNTINGTON BEACH has prepared plans and specifications and will
perform the construction, electrical and final inspection totally at its sole cost and expense;
and
WHEREAS, WESTMINSTER will advertise, award, provide daily inspection and
administrate the project totally at its sole cost and expense; and
WHEREAS, the provision of Title I, Division 7, Chapter 5, Article 1, of the California
Government Code entitled "Joint Powers Agreement" authorizes two or more public
agencies to jointly exercise any power common to the contracting parties.

NOW, THEREFORE, IT IS AGREED by the parties hereto as follows:
1. Entire Agreement
This Agreement shall supersede all previous agreements between the
parties hereto with respect to construction of the traffic signal at the intersection of
Newland Street and Edinger Avenue.
2. Statement of Work
Construction work will include all work as advertised and awarded in
WESTMINSTER's Notice Inviting Bids for Traffic Signal Improvements at Newland Street
and Edinger Avenue which include HUNTINGTON BEACH Plans NESHTI-5 sheets, all
of which are attached hereto as Exhibit "A", and incorporated herein by this reference.
3. Allocation of Construction Costs
The costs for the traffic signal project shall be borne equally by the parties
hereto, and these costs are currently estimated to be $143,000. Such cost shall be borne
initially by the Growth Management Area ("GMA') approved funding in the amount of Fifty
Thousand Dollars ($50,000.00) awarded to WESTMINSTER, and Fifty Thousand Dollars
($50,000.00) provided by HUNTINGTON BEACH. All construction costs above and
beyond these amounts shall be shared equally between WESTMINSTER and
HUNTINGTON BEACH on a fifty percent (50%) basis.
4. Eauipment and Materials to be provided by -Huntington Beach
HUNTINGTON BEACH agrees to provide all items and appurtenances in a

timely manner as shown on the equipment list, attached hereto as Exhibit "B" and
incorporated herein by this reference. All assemblies shall be complete and include
anchor bolts, washers, nuts, tendon bolts, hand hole covers, and mounting hardware as
needed. The cost of this equipment and material is currently estimated to be $45,200,
which cost will be offset against the first $50,000.00 provided by HUNTINGTON BEACH.
The remainder of the first $50,000.00 provided by HUNTINGTON BEACH shall be paid
in cash as set forth herein.
5. Payments to Westminster by Huntington Beach
After both parties have each expended the initial outlay of $50,000.00
WESTMINSTER shall invoice HUNTINGTON BEACH for its fifty percent (50%) share of
the construction costs which exceed the initial outlay of $50,000.00 per party.
HUNTINGTON BEACH shall pay WESTMINSTER within ninety (90) days of receipt of
invoices from WESTMINSTER, but not prior to delivery of Materials. Reimbursement to
WESTMINSTER by HUNTINGTON BEACH for construction costs is estimated to be
$27,000. This amount shall be increased by HUNTINGTON BEACH'S pro rata share, if
any, of any extra work costs.
6. Traffic Signal Maintenance
Throughout construction of the project, HUNTINGTON BEACH shall be
responsible for maintenance of the traffic signal pursuant to existing Joint Powers
Agreements.
7. Mutual Indemnification and Release of Liability
It is mutually understood and agreed:

A. That neither HUNTINGTON BEACH nor any official, agent, officer or
employee thereof shall be responsible for any damage or liability occurring by reason of
anything done or omitted to be done by WESTMINSTER under or in connection with any
work, authority, or jurisdiction delegated to WESTMINSTER under this Agreement. It is
also understood and agreed that, pursuant to Government Code Section 895.4,
WESTMINSTER shall fully indemnify and hold HUNTINGTON BEACH harmless from any
liability imposed for injury (as defined by Government Code Section 810.8), including
attorneys fees and costs, occurring by reason of anything done or omitted to be done by
WESTMINSTER under or in connection with any work, authority, or jurisdiction delegated
to WESTMINSTER under this Agreement.
B. That neither WESTMINSTER nor any official, agent, officer or
employee thereof shall be responsible for any damage or liability occurring by reason of
anything done or omitted to be done by HUNTINGTON BEACH under or in connection
with any work, authority, or jurisdiction delegated to HUNTINGTON BEACH under this
Agreement. It is also understood and agreed that, pursuant to Government Code Section
895.4, HUNTINGTON BEACH shall fully indemnify and hold WESTMINSTER harmless
from any liability imposed for injury (as defined by Government Code Section 810.8),
occurring by reason of anything done or omitted to be done by HUNTINGTON BEACH
under or in connection with any work, authority, or jurisdiction delegated to HUNTINGTON
BEACH under this Agreement.
8. No Liability for Non -Employee Compensation
WESTMINSTER shall not be liable for the direct payment of any salaries,

wages, or other compensation to any HUNTINGTON BEACH official, agent, officer or
employee, performing any services hereunder, nor for any injury or sickness arising out
of his/her employment, except as herein otherwise specified.
HUNTINGTON BEACH shall not be liable for the direct payment of any

employee, performing any services hereunder, nor for any injury or sickness arising out

9. Effective Date
This Agreement shall become effective on the date herein above written and
shall continue in full force and effect through December 31, 1999.
10. Attorneys Fees
In the event any legal proceeding is instituted to enforce any term or
provision of this Agreement, the prevailing party in said legal proceeding shall be
entitled to recover attorneys' fees and costs from the opposing party in an amount
determined by the Court to be reasonable.
11. Insurance Requirements
WESTMINSTER will ensure that any contractor's and/or subcontractors
selected to complete the work contemplated by this Agreement will obtain and maintain
insurance in the quantity and form to comply with both WESTMINSTER and
HUNTINGTON BEACH`s insurance requirements and that both parties are named as
additional insureds on all insurance policies so required.

Statement of Issue: The City of Huntington Beach and the City of Westminster share the
intersection of Newland Street and Edinger Avenue. Should Huntington Beach enter into an
agreement to modify and improve the traffic signal at this location?
Funding Source: Sufficient funds are available in Measure M.
Recommended Action: Motion to:
Authorize the Mayor and City Clerk to execute the agreement with the City of Westminster for
signal modifications at Newland Street and Edinger Avenue.
Alternative Actions :
Do not authorize the Mayor and City Clerk to execute the agreement with the City of
Westminster for signal modifications at Newland Street and Edinger Avenue and recommend
how to proceed.

Analysis: The costs for the traffic signal project will be equally divided between the City of
Westminster and the City of Huntington Beach. The project costs are estimated to be
$143,000. Each City will contribute $50,000 initially and any construction costs above this
amount will be shared equally. The City of Westminster will invoice the City of Huntington
Beach should construction costs exceed the initial contribution.
This signal modification will add emergency vehicle pre-emption in all directions. In addition,
protected left turn phasing will be installed for the north/south direction. The existing left turn
phasing for the east/west direction will be relocated from the median to the new signal mast
arms.
Environmental Status: This project is categorically exempt pursuant to the California
Environmental Quality Act, Section 1503 (c).

Bidders are hereby notified that pursuant to Sections 1770 et seq. of the Labor Code
of the State of California, the City Council of the City of Westminster incorporates
herein by reference the general prevailing rate of per diem wages as determined by
the Director of Industrial Relations of the State of California. Copies of the prevailing
wages are on file in the office of the City Engineer and will be made available to any
interested party on request. In accordance with the Labor Code, no worker employed
upon work under contract to the City shall be paid less than the above referenced
prevailing wage rate. Any classification omitted therein shall be paid not less than the
prevailing wage scale as established for similar work in the particular area. Sunday
and holiday time shall be paid at the wage rates determined by the Director of
Industrial Relations. In addition, bidders are hereby notified that pursuant to Section
177Z I of the Labor Code, contractors who are ineligible to bid or work on a Public
Works project as determined by the Labor Commissioner, are prohibited to act as a
subcontractor, prohibited to employ an Ineligible subcontractor, and prohibited to
submit a bid on this project.
All bids shall be based on the content of the contract documents which consist of the
Notice Inviting Bids, Information Required of Bidder, Contract, all Provisions,
Construction Plans, Drawings and Details, the Bid, and any .Technical Specifications,
which are by this reference incorporated herein and are available for examination or
may be obtained upon payment of Thirty -Five dollars ($35.00) plus $5.00 if mailed,
non-refundable, at the Westminster Engineering Department, City of Westminster,
8200 Westminster Boulevard, Westminster, California 92683. The work shall be
done in accordance with these plans and specifications. Any questions regarding
these specifications should be addressed to Peter Mackprang at 714/898-3311,
extension 217.
The latest Edition of the Standard Specifications for Public Works Construction (Green
Book), including any supplements, is included by reference as a part of the
Specifications for this project.
The City of Westminster reserves the right to accept or reject any bids presented, to
waive any irregularity and informality in the bids and bid process, and to retain all bids
and guarantees for a period of thirty (30) days for examination and comparison, all
as specified in the contract documents.

The bid shall be made on the forms bound herein and the pages shall not be removed
from the bound package. Fill in all indicated blanks in the bound package.
The bid form must be filled out in full giving the price bid on the schedule provided
therefore, and must be signed by the bidder or his authorized representative,
accompanied by proof of authority to bind the bidder. The bid must be accompanied
by a filled -out executed Information Required of Bidders form.
The complete bidders package shall be enclosed in a sealed envelope bearing the
name of the bidder and name of the project and shall be delivered by the time and to
the place stipulated in the Notice Inviting Bids. It is the bidder's sole responsibility
to see that his bid is received in proper time. Any bid received after the scheduled
closing time for receipt of bids will be returned to the bidder unopened. The bid may
be withdrawn by the bidder by means of a written request, signed by the bidder or
his properly authorized representative. Such written request must be delivered to the
Place stipulated in the Notice Inviting Bids for receipt of bids prior to the scheduled
closing time for receipt of bids. The bids will be publicly opened and read at the time
and place stipulated in the Notice Inviting Bids.
Failure to furnish a bid price for all bid items or unauthorized conditions, limitations,
or provisos attached to a bid will render it informal and may cause its rejection. The
completed bid forms shall be without interlineation, alterations, or erasures. Oral,
.telegraphic, or telephonic proposals or modifications will not be considered. In the
event the total indicated bid schedule does not agree with the sum of the prices bid
on the individual items, the prices bid on the individual items shall govern and the
total for the schedule will be corrected accordingly.
The City reserves the right to reject any and all bids and to waive any irregularity or
informality in the bids and in the bid process.
All bids shall be presented under sealed cover and shall be accompanied by cash,
cashier's check, certified check, or a bidder's bond executed by an admitted
corporate surety insurer authorized to issue such bonds in the State of California and
secured through an authorized agent with an office in California, made payable to the
City of Westminster in an amount equal to at least 10% of the aggregate sum of the
bid, and no bid shall be considered unless such cash, cashier's check, certified check,
or bidder's bond is enclosed therewith. Surety bonds will not be accepted unless
they are on the form bound herein and are approved as to form by the City Attorney.

The award of contract, if it is to be awarded, will be made to the lowest responsible

The bidder to whom the contract is awarded agrees to enter into a contract with the
City and to furnish City all required contract documents, including bonds and
insurance certificates and endorsements, within fourteen (14) consecutive calendar
days following notification of award.
Accompanying this proposal is (insert the words

be) in an amount equal to at least ten percent (10%) of the total bid price, payable
to the City of Westminster, to guarantee that the bidder will, if awarded the contract,

property of the City of Westminster.

5. Insurance: The Contractor shall take out and maintain, during the life of
the contract, the following public liability and property damage insurance in which the
City of Westminster, its officers, officials, employees, and volunteers are to be
covered as insured with respect to liability arising out of automobiles owned, leased,
hired, or borrowed, by or on behalf of the contractor; and with respect to liability
arising out of work -or operations performed by or on behalf of the contractor
including materials, parts, or equipment furnished in connection with such work or
operations. Coverage shall not extend to any indemnity coverage for the active
negligence of the additional insured in any case where an agreement to indemnify the
additional insured would be invalid under Civil Code § 2782(b). General liability
coverage can be provided in the form of an endorsement to the contractor's
Insurance, or a separate owner's policy. In addition, the City shall be held harmless
for all losses except those losses arising from the active negligence of the City. The
limit of liability for such insurance shall be as follows and as noted on the attached
insurance requirements for Contractors:
A. Minimum limit of general liability:
$1,000,000 combined single limit per occurrence for
bodily injury, personal injury, and property damage
B. Minimum limit of automobile liability:
$1,000,000 combined single limit per accident for bodily

C. Workers' compensation limits as required by the Labor Code of the

The Contractor shall furnish the City with satisfactory proof of carrying the
insurance required by submitting endorsements, certificates, or policies of insurance
on City insurance forms only, to the City Engineer prior to the commencement of the
work under this contract. The policies shall be endorsed as follows: "It is hereby
understood and agreed that the policy to which this certificate refers may not be
canceled, mutually changed, nor the amount of coverage thereof reduced nor the
policy allowed to lapse until thirty (30) days after receipt by the City Clerk of the City
of Westminster, Westminster, California, of a registered written notice of such
cancellation or reduction in coverage".
Nothing herein contained shall be construed as limiting in any way the extent
to which the Contractor may be held responsible for payment of damages to persons
or property resulting from the Contractor's operations or the operations of any
subcontractors. The Contractor shall sign and file with the City the following
certification prior to performing the work of the contract: "I am aware of the
provisions of Section 3700 of the Labor Code which requires every employer to be
insured against liability for Workers' Compensation or to undertake self-insurance in
accordance with the provisions of that code; and l will comply with such provisions
before commencing the performance of the work of this contract".
6. 10% Retention Option: It is understood and agreed by and between
the parties that the Contractor can substitute securities for any monies withheld by
the City to ensure performance retention under this contract. At the request and
expense of the Contractor, securities equivalent to the amount withheld shall be
deposited with the City Clerk or Federally chartered bank as the escrow agent who
shall pay such monies to the Contractor upon satisfactory completion of the contract.
The Contractor shall be the beneficial owner of any securities substituted for monies

1773.3. An awarding agency whose public works contract
falls within the jurisdiction of Section 1777.5 shall, within five
days of the award, send a copy of the award to the Division of
Apprenticeship Standards. When specifically requested by a local
joint apprenticeship committee, the division shall notify the local joint
apprenticeship committee regarding all Stich awards applicable to
the joint apprenticeship committee making the request. Within five
days of a finding of any discrepancy regarding the ratio of apprentices
'o journeymen, pursuant to the certificated fixed number of appren-
,.ices to journeymen, the awarding agency shall notify the Division of
Apprenticeship Standards.

1776. (a) Each contractor and subcontractor shall keep an accu-
rate payroll record, showing the name, address, social security num-
ber, work classification, straight time and overtime hours worked each
day and week, and the actual per diem wttiges paid to each journey-
man, apprentice, worker, or other employee employed by him or her
in connection with the public work.
(b) The payroll records enumerated under subdivision (a) shall be
certified and shall be available for inspection at all reasonable hours
at the principal office of the contractor on the folloxing basis:
(1) A certified copy of an employee's payroll record shall be made
available for inspection or furnished to the employee or his or her
authorized representative on request.
(2) A certified copy of all payroll records enumerated in sub-
division. (a) shall be made available for inspection or furnished upon
request to a representative of the body awarding the contract, the Di-
vision of Labor Standards Enforcement and the Division of Appren-
ticeship Standards of the Department of Industrial Relations.
(3) A certified copy of all payroll records enumerated in sub-
division (a) shall be made available upon request by the public for in-
spection or copies thereof made; provided, however, that a request by
the public shall be made through either the body awarding the con-
tract, the Division of Apprenticeship Standards, or the Division of
Labor Standards Enforcement. If the requested payroll records have
not been provided pursuant to paragraph (2), the requesting party
shall, prior to being provided the records, reimburse the costs of
preparation by the contractor, subcontractors, and the entity through
which the request was made. The public shall not be given access to
the records at the principal office of the contractor.
(c) Each contractor shall file a certified copy of the records enu-
merated in subdivision (a) with the entity that requested the records
vithis 10 days after receipt of a written request.
(d) Any copy of records trade available for Inspection as copies
and furnished upon request to the public or any public agency by the
awarding body, the Division of Apprenticeship Standards or the Divi-
sion of Labor Standards Enforcement shall be marked or obliterated
in such a manner as to prevent disclosure of an individual's name,
address and social security number. The name and address of the
contractor awarded the contract or performing the contract shall not
be marked or obliterated.
(a) The contractor shall inform the body awarding the contract of
the location of.the records enumerated under subdivision (a), includ-
ing the strest address, city and county, and shall, within five working
days, provide a notice of a change of location and address.
(f) In the event of noncompliance with the requirements of this
section, the contractor shall have 10 days in which to comply subse-
quent to receipt of written notice spedfying in what respects the con-
tractor must comply with this section. Should noncompliance still be
evident after the 10-day period, the contractor shall, as a penalty to
the state or political subdivision on whose behalf the contract is made
or awarded, forfeit twenty-five dollars (S25) for each calendar day, or
portion thereof, for each worker, until strict compliance is effectuated.
Upon the request of the Division of Apprenticeship Standards or the
Division of Labor Standards Enforcement, these penalties shall be
withheld from progress payments then due.
(g) The body awarding the contract shall cause to be in-
serted in the contract stipulations to effectuate this section.
These stipulations shall fix the responsibility for compliance
with this section on the prime contractor.
(h) The director shall adopt rules consistent with the California
Public Records Act (Ch. 3.5 (commencing with Sec. 6250), of Div. 7,
Title 1, Gov. C.) and the Information Practices Act of 1977, (Title 1.8
(commencing with Sec. 1798) Pt. 4, Div. 3, Civ. C.) governing the re-
lease of these records, including the establishment of seasonable fees
to be charged for reproducing copies of records required by this
section.

1777.5. Nothing in this chapter shall prevent the employment of
properly registered apprentices upon public works.
Every such apprentice shall be Paid the standard wage paid to ap.
prentices under the regulations of the craft or trade at which he or she
is employed, and shall be employed only at the work of the craft or
trade to which he or she Is registered.
Only apprentices, as defined in Section 3077, who are in training
under apprenticeship standards and written apprentice agreements
under Chapter 4 (commencing with Section 3070) of Division 3, are
eligible to be employed on public works. The employment and
training for each apprentice shall be in accordance with the appren-
ticeship standards and apprentice agreements under which he or she
is training.
When the contractor to whom the contract is awarded by the state
or any political subdivision, or any subcontractor under him or her, In
performing any of the work under the contract or subcontract, em-
ploys workers in any apprenticeable craft or trade, the contractor and
subcontractor shall apply to the pint apprenticeship committee ad-
ministering the apprenticeship standards of the craft or trade In the
area of the site of the public work for a certificate approving the con-
tractor or subcontractor under the apprenticeship standards for the
employment and training of apprentices in the area or industry af-
fected. However, approval as established by the pint apprenticeship
committee or committees shall be subject to the approval of the Ad-
udnistrator of Apprenticeship. The joint apprenticeship committee
or committees, subsequent to approving the subject contractor or
subcontractor, shalt arrange for the dispatch of apptentices to the
contractor or subcontractor in order to comply with this section. Every
contractor and subcontractor shall submit contract award information
to the applicable joint apprenticeship committee which shall include
an estimate of journeyman hours to be performed under the contract,
the number of apprentices to be employed, and the approximate
dates the apprentices will be employed. Thae shall be an affirmative
duty upon the joint apprenticeship committee or committees admin-
istering the apprenticeship standards of the craft or trade in the area
of the site of the public work to ensure equal employment and affir-
mative action in apprenticeship for women and minorities. Contrac-
tors or subcontractors shall not be required to submit individual ap-

Only bona fide plans are acceptable. For example, some plans
provide that administrators and fiduciaries have no duty to require

SECTION 1. APPLICABILITY OF STANDARD PROVISIONS
The work embraced herein shall be done in accordance with
"Standard Specifications for Public Works Construction" (Green Book), latest edition,
including any supplements, (hereinafter referred to as "Standard Specifications"), the
State Standard Specifications, July, 1992 Edition, where applicable, and in
accordance with these Special Provisions, and the detail drawings and as shown on
Plan No. NESWTI (5 sheets).
Where in the Standard Specifications, Special Provisions, and all
other contract documents the following terms are used, the intent and meaning shall
be interpreted as follows: State - City of Westminster; Department of Transportation
- City Council; Director or Engineer - City Engineer.
In case of conflict between the Standard Specifications and these
contract specifications, these contract specifications shall take precedence.
SECTION 2. PROSECUTION AND PROGRESS

Attention is directed to the provisions in Section 6-2, "Prosecution
of Work", and Section 6-7, "Time of Completion", of the Standard Specifications and
these Special Provisions. The Contractor shall not perform any work at the site of the
project until notified by the City. The Contractor shall notify the City Engineer, in
writing, of the date when materials will be available.
The Contractor agrees to begin work within fourteen (14) calendar
days from the Notice to Proceed. Construction shall be completed within 60 calendar
days from the date of the Notice to Proceed.

At the time of execution of the contract, the Contractor will be
required to furnish surety company bonds for faithful performance, and labor and
materials, in the sum of not less than one hundred percent (100%) of the total
amount of the contract in accordance with the provisions of State laws. Alterations,
extensions of time, extra and additional work, and changes authorized by these
specifications or any part of the contract may be made without securing the consent
of the surety or sureties on the contract bond.
Contract Bonds from off -shore insurance companies and non-
registered California State insurance companies wX not be accepted. The Contract
Bonds shall be duly executed by a responsible corporate surety, authorized to issue
such bonds in the State of California and secured through an authorized agent with
an office in California. The Contractor shall pay all bond premiums, costs, and
incidentals. Each bond shall be signed by both the Contractor and surety, and the

as shown on the plans and described in the specifications. Any temporary wiring of
the traffic signal system and the safety lighting and temporary traffic signal system
shall be provided and installed by the contractor without charge. Should any details
to make a complete installation be found missing from the plans and specifications,
same shall be supplied as if distinctly specified without charge.
SECTION 4. LEGAL RELATIONS & RESPONSIBILITY
Full compensation for conforming to all of the requirements in this
Section shall be considered as included in the prices paid for the lump sum bid of
work and no additional compensation will be allowed unless otherwise specifically
provided.

It is the intent of this contract to obtain a finished workmanlike
job, complete -in -place. The contract includes all miscellaneous work required to
complete the project.

The contractor and all its subcontractors shall obtain and pay for
a City business license from the City of Westminster. A City encroachment permit
is required; however, it will be issued at no cost. A City of Huntington Beach
encroachment permit is required. See "City of Huntington Beach" for requirements.
The contractor and all his subcontractors shall comply with the
Clean Air and Federal Water Pollution Control Acts and the regulations of the
Environmental Protection Agency. The contractor and/or the contractor's
subcontractors shall pay for and obtain all necessary permits to comply with these
acts and regulations.
It is prohibited for the contractor and/or any of the contractor's
subcontractors to influence or attempt to influence an officer or employee of any
Federal local agency in connection with the awarding of any Federal contract.

Add the following to Subsection 7-8.1 "Cleanup and Dust Control"

The contractor shall furnish and operate a self -loading motor sweeper with
spray nozzles twice each working day, first during construction to keep paved
areas reasonably clean, and second at the end of each working day. The
contractor shall at all times never leave the construction premises dirty and
dusty.
All spillage and any excessive dirt or debris resulting from hauling operations,

All utilities designated on the plans to be protected in place shall
be carefully uncovered if located within the lines of excavation and time shall be
allowed for the engineer to field -check the location of such utilities to make certain
that they will not interfere with construction. In the event a utility conflict exists, the
City will either arrange for utility owner to relocate the utility or adjust grade and/or
alignment of the proposed improvement. In the event any such facility should be
disturbed or damaged, the contractor shall at once make repairs to the satisfaction
of the owner, or arrange with the owner to make repairs at no cost to the City.

located, contact the responsible agency at least 48 hours prior to construction in the
immediate vicinity of the utility:

Contractor's attention is directed to the utility notification service
provided by UNDERGROUND SERVICE ALERT (USA). USA member utilities will
provide the contractor with the locations of their substructures in the construction
area when the contractor gives at least 48 hours notice to the USA by calling 1-800-
422-4133.

Full compensation for conforming to the requirements of this
article shall be considered as included in the contract bid prices for the various items
of work, and no additional compensation will be allowed therefor.
Public convenience and traffic control shall conform to Section 7-1.08,
"Public Convenience", and these Special Provisions.
The contractor shall not obstruct or restrict any portion of roadway until proper
arrangements for the conduct of traffic have been approved by the engineer.
The contractor shall provide to the engineer, in writing prior to the start of

construction shall be in accordance with those shown on the latest "Uniform
Sign Chart" as published by the California Department of Transportation, or as
directed by the engineer.
Method in which signs, barriers and other miscellaneous traffic devices are
used during construction shall be in accordance with those instructions on the
plans and in the latest publication of the State of California Department of
Public Works Manual titled "Manual of Warning Signs, Lights, and Devices for
Use in Performance of Work Upon Highways". The C211 "Road Closed" sign
shall not be used except at those locations specifically approved by the
engineer. Methods. described in the "Watch" handbook published by the
Building News are also acceptable.
The cost of furnishing, maintaining, and removing all temporary traffic control
devices, barricades, detours, flagmen, warning lights, flares, signs, etc., used
for public safety and convenience, shall be included in the lump sum contract
price and no additional compensation will be allowed. The contractor shall field
check all temporary traffic control signs, barricades, and other devices at least
once every day, including Saturdays, Sundays, and holidays, to ensure their
proper maintenance and conformance to plans, specifications, and detailed
instructions of the engineer.
If attention is directed to the existence of a hazard and the contractor fails to
provide such devices, said devices will be placed or caused to be placed, by
the City. The cost of placement of these devices shall be the sole
responsibility of the contractor and shall be paid for at the rate of $30.00 per
hour for labor and pickup truck, $5.00 per day per barricade, and any other
costs incurred by the City relative to traffic control. Said costs, if any, shall
be deducted from the progress payments and from the total contract price for
the work.
All existing permanent traffic control signs, barricades, and devices shall be as
shown no the plans and shall remain in effective operation at all times.
The "Work Area Traffic Control Handbook" published by Building
News, Inc., and the City's Standard Plans shall be used in addition to those specified
in the Standard Specifications. Signs, lights, flags, and other warning and safety
devices shall conform to the requirements set forth in the current "Manual of Warning
Signs, Lights, and Devices for the Use in Performance of Work upon Highways", of
the State of California Traffic Manual.
If attention is directed to the existence of a hazard and the
contractor fails to provide such devices, said devices will be placed or caused to be
placed by the City. The cost of placement of these devices shall be the sole
responsibility of the contractor and shall be paid for at the rate of thirty dollars
($30.00) per hour for labor and the pickup truck, five dollars ($5.00) per day per

The use of City Water Department fire hydrants as a source of water supply as
provided in Section 4.02 shall be authorized only by the City Engineer or authorized
representative.
All contractors and subcontractors performing work shown on or
related to these plans shall conduct their operations so that all employees are
provided a safe place to work and the public is protected. All contractors and
subcontractors shall comply with the "Occupational Safety and Health Regulations"
of the U.S. Department of Labor and with the State of California Department of
Industrial Relations "Construction Safety Orders", and the City Engineer shall not be
responsible in any way for this compliance.
Contractor further agrees that the Contractor will assume sole and
complete responsibility for job site conditions during the course of construction of this
project, including safety of all persons and property; that this requirement shall apply
continuously and not be limited to normal working hours; and that the Contractor
shall defend, indemnify and hold the owner and City Engineer harmless from any and
all liability, real or alleged, in connection with the performance of work on the project,
except for liability arising from sole negligence of the owner or the City Engineer.
Street pavements, curbs, sidewalks, driveways, and gutters
damaged as a result of the contractor's operation shall be repaired in accordance with
the City's standard drawings and specifications at the contractor's expense.

The contractor shall not obstruct or restrict any portion of
roadway until proper arrangements for the conduct of traffic has been approved by
the City Engineer. Contractor shall provide and maintain a minimum of one 11-foot-
wide travel lane, in each direction, on the street at all times. No trenches shall be left
open overnight. Contractor shall be prepared to discuss a detour plan for all phases
of th0work at the preconstruction conference. The contractor shall provide to the
engineer, in writing prior to the start of construction, a description of the method of
construction, traffic control, and a Brhedule of Work. Each traffic control plan must
provide for 30:1 tapers and be approved by the City Engineer or designated
representative. Contractor shall not be allowed to start construction until said
Schedule of Work and traffic control plan has been submitted to the City. Any
variation from the above general description and schedule will require written approval

for in part by the City or any material furnished by the City to be incorporated in the
work is or becomes the property of the City. Any salvageable materials or
installations existing at the site of the work, including but not limited to manhole rings
and covers, gratings, angle iron, pipe railings, valve boxes, traffic posts, traffic signs,
lampholes boxes, etc., within the road right-of-way, are the property of the City. If
they are to be removed, they are to be delivered to a storage yard designated by the
City. The salvageable materials shall be cleaned. of clinging concrete and debris and
delivered to the storage yard unless the contractor is instructed otherwise. Excavated .
dirt, A.G., and concrete not incorporated into the work shall become the property of
the contractor.
Full compensation in conforming to the above requirements shall
be included in the various items of work.
The plans and specifications to which the proposal forms refer are
on file and open to inspection in the Office of the City Engineer. The plans indicate
conditions at the site of the work as they are believed to exist, but it is not intended,
nor to be inferred, that such indication constitutes a presentation by the City, or any
officer thereof, that the conditions so indicated are actually existent, nor shall the City
or any officer or employee thereof, be liable for any loss sustained by a contractor as
a result or consequence of any variance between such conditions as indicated and
those actually revealed during the progress of the work, or otherwise. Therefore,
bidders will be required to carefully examine the plans and specifications, and the site
of the proposed work, and to judge for themselves as to the nature and location of
the work to be done and the general conditions relative thereto; and the submission
of a proposal hereunder will be considered prima -facie evidence that the bidder has
made the necessary investigation and is satisfied with respect to the conditions to be
encountered, the character, quantity, and quality of the work or materials to be
performed or furnished, and the requirements and provisions of the plans and
specifications.

The quantities shown in the proposal form shall be considered as
approximate only, being listed therein for materials to be performed or furnished, and
as a basis for the comparison of bids; and the City Engineer of the City of
Westminster does not guarantee or agree, either expressly or by implication that the
actual amounts required will correspond therewith, but reserves the right to increase
or decrease the amount of any item or portion of work or material to be performed

material suppliers, without written approval of the engineer.
Attention is directed to Section 6-1.05, "Trade Names and Alternatives",
of the Caltrans Standard Specifications. The engineer reserves the exclusive right to
determine if proposed alternative equipment shall be acceptable.
Before the start of work, the contractor shall furnish the engineer with
a statement from the vendors. Said statements shall state the date that any
equipment ordered is shipped. The City shall not be liable for any delay to
performance prior to delivery of these required submittals.

Equipment lists and drawings of electrical equipment and material shall
conform to the provisions in Section 86-1.03, "Equipment List and Drawings", and
these Special Provisions.
The controller cabinet schematic wiring diagram and intersection sketch
shall be combined into one drawing so that when the cabinet door is full open the
drawing is oriented with the intersection. A minimum of four prints must be provided.
The contractor shall furnish two maintenance manuals for all controller
units, auxiliary equipment, vehicle detector sensor units, control units, and amplifiers.
The maintenance manual and operation manual may be combined into one manual.
The maintenance manual or combined maintenance/operation manual shall be
submitted at the time the controllers are delivered for testing or, if ordered by the
engineer, previous to purchase. The maintenance manual shall include, but need not
be limited to, the following items:

The heavy duty plastic envelope specified in Section 86-1.03 shall be

1. The contractor shall notify the engineer forty-eight (48) hours in advance
of the time and date that the work will begin on this project.
2. The contractor shall give twenty-four (24) hours notice, in writing, when
he will require the services of the engineer, or his agent, for laying out
any portion of the work.
Materials and workmanship on electrical and mechanical equipment
installed pursuant to said contract shall be guaranteed for a period of one year
following project acceptance. Manufacturers' warranties or guarantees on all
equipment shall apply. Should any equipment prove defective or should the system
as a whole prove defective due to faulty workmanship, material furnished or methods
of installation, or should said system or any part thereof fail to operate as planned
due to any of the foregoing causes, the contractor agrees that the repairs shall be
made and such material as necessary shall be furnished and installed within thirty (30)
days after receipt of demand from the City. In the event repairs are not made within
thirty (30) days, the City shall have the unqualified option to make any needed repairs
or replacements itself or by any other contractor. The contractor agrees to reimburse
the City, upon demand, for its expenses incurred in restoring said systems to the
condition specified in said contract, including the cost of any equipment or materials
replaced or, upon demand by the City, to replace any such equipment and repair said
systems completely without cost to the City so they will operate successfully as
originally contemplated.
Emergency repairs must necessarily be made by the City. Therefore,
when defective material or workmanship results in emergency repairs, the contractor
agrees to reimburse the City, upon demand, for the expenses incurred. Emergency
repairs will be deemed as those repairs necessary due to malfunctions of equipment
that interrupt the normal flow of traffic. Said systems will be deemed defective
within the meaning of this guarantee in the event that they fail to operate as originally
intended by the manufacturers thereof and in accordance with the plans and
specifications included in said contract.
No above -ground work shall be performed by the contractor until all
materials are on hand. Below -ground work can be completed at the contractor's
convenience. All concrete which is removed for the installation of conduit, pull
boxes, foundations, etc., must be immediately brought to finished grade and
resurfaced with a minimum one (1) inches temporary asphalt paving. Additional cost

TRAFFIC SIGNALS AND STREET LIGHTING
IN
THE CITY OF HUNTINGTON BEACH

Installation of new or modification of existing traffic signal systems, lighting systems and
Emergency Vehicle Pre-emption equipment shall conform to the provisions in Section
86, "Signals, Lighting and Electrical Systems" of the Standard Specifications, and the
Standard PIans of the State of California, Department of Transportation dated July,
1992, applicable sections of the National Electrical Code, current City of Huntington
Beach Standard Plans, the plans and these Special Provisions.
The City of Huntington Beach Transportation Manager shall be the sole arbiter of the
prevailing specification should a conflict arise between Section 86 of the Standard
Specifications and the Standard Plans of the State of California, Department of
Transportation, the National Electrical Code, current City of Huntington Beach Standard
Plans, the plans, and these Special Provisions. Such other items or details not
mentioned, that are required by the plans, Caltrans Standard Specifications, Caltrans
Standard Plans, the National Electrical Code, current City of Huntington Beach Public
Works Department Standard Plans, or these Special Provisions shall be performed,
placed, constructed or installed to provide a totally functioning operation as intended.
The contractor shall supply all materials and equipment necessary to perform the work
as specified herein unless noted otherwise on the plans or in the contract Bid Schedule.
The following items are modifications to specific portions of Section 86, "Signals,
Lighting and Electrical Systems" of the July 1992, Standard Specifications and Standard
Plans of the Department of Transportation (Caltrans) of the State of California.

86-1.015 Definitions
The following terms and definitions shall be added to §86-1.015:
The city shall be defined as the City of Huntington Beach.
The Engineer shall be defined as the City of Huntington Beach Transportation
Manager or his representative.

86-1.0$ Scheduling of Work
The ninth paragraph shall be amended to read as follows:
Functional tests shall start on any working day except Friday, or the day
preceding or following a legal holiday, between 9:00 a.m. and 1:00 p.m.
The following shall be added to §86-1.06:
The initial turn -on shall be made between 9:00 a.m. and 12:00 p.m., noon, unless
specified otherwise in writing by the Transportation Manager. Prior to turn -on, all
equipment as shown on the plans shall be installed and operable including
pedestrian signals, pedestrian push buttons, vehicle detectors, lighting, signs,
and pavement delineation. All louvers, visors, and signal faces shall be directed
to provide maximum visibility.
86-2.01 Excavating and Backfilling
The following shall be added to §86-2.01:
Conduit runs shall be shaded with one: (1) foot of sand backfill or as directed by
the Engineer.
Backfilling in roadway areas shall be with one (1) sack Portland Cement
Concrete (P.C.C.) slurry to bottom of roadway surfacing material unless
otherwise directed by the Engineer or shown on the plans.
Backfill in all trenches .and pull box sumps not in roadway areas shall be
compacted to 90% Relative Compaction unless directed otherwise by the
Engineer.
86-2.02 Removing and Replacing Improvements
The second paragraph shall be amended to read as follows:
Whenever a part of a square or slab of existing concrete sidewalk, curb, gutter,
or driveway is broken or damaged, the sidewalk, curb, gutter, or driveway shall
be removed completely from score line to score line. Sidewalk shall be replaced
per the City of Huntington Beach Standard Plan No. 217. Driveways shall be
replaced per the City of Huntington Beach Standard Plan No. 209. Portland
Cement Concrete (P.C.C.) shall conform to §303-5 of the latest Standard
Specifications for Public Works Construction (commonly referred to as the
"Green Book"). Improvements shall be installed per the latest City of Huntington
Beach Public Works Department Standard Plans. Signal and lighting systems

86-2.05C Installation
The eleventh paragraph shall be amended to read:
A No. 12 copper pull wire shall be installed in all conduits, which are to receive
future conductors. At least 2 feet of pull wire shall be doubled back into the
conduit at each termination.
The thirteenth paragraph shall be amended to read;
Conduit shall be laid to a depth not less than 18 inches or greater than 36 inches
below grade in P.C.C. sidewalk areas and curbed paved median areas, and not
less than 30 inches below grade or greater than 48 inches below finished grade
in all other areas, unless shown otherwise on the plans.
The sixteenth paragraph shall be amended to read:
The "Trenching in Pavement Method" is disallowed in the City of Huntington
Beach unless previously authorized in writing by the Transportation Manager for
the individual installation location as shown on the plans. The following conduit
installation methods shall be the approved installation methods unless noted
otherwise on the plan:
Conduit shall be installed using drilling or jacking methods, except in the
following situations:
1. Conduit may be installed using mechanical trenching methods if the conduit is to
be installed in a new street that has not been paved prior to conduit trenching.
2. Conduit may be installed via manual trenching methods in an existing paved
street if:
a. Jacking or drilling methods have been tried three times and subsurface
conditions have prevented the successful installation of conduit.
b. The -inspector has determined that underground conditions or underground
s utilities make the use of jacking or drilling methods unsafe. if this condition is.
applied, manual -trenching methods will be acceptable. No machine trenching
method - will be allowed, unless otherwise approved in writing the
Transportation Manager.
The twenty-seventh paragraph shall have these additional requirements:
Conduit entering pull boxes shall terminate a minimum of 2" above the grouted
bottom of the pull box and not less than 8" from the top of the pull box. The
conduit shall be placed in a manner that facilitates pulling of conductors in a
straight line and clearing box wall by 2" (angle of exit).

non -grouted pull box is disturbed by the contractor's operations, the sump shall
be reconstructed and new grout and roofing paper shall be placed as described
above.
The following shall be added to §86-23.06C:
No new or existing pull box shall be located in or within one (1) foot of any
wheelchair ramp.
86-2.08 Conductors
The following shall be added to §86-2.08:
Emergency vehicle pre-emption (EVP) cable shall be continuous, without splices,
from optical detector to controller cabinet. It shall be tagged with a numbered
label indicating the phase and direction.
The manufacturer shall submit a Certificate of Compliance conforming to the
provisions in §6-1.07, "Certificates of Compliance," with each type of cable to be
used on a project.
86-2.08A Conductor Identification
The following shall be added to §86-2.08A:
Insulation color for individual bicycle push button conductors shall be solid blue.
86-2.08D Signal Cable
The following shall be added to §86-2.08D:
The insulation color for bicycle push button conductors shall be identical to the
corresponding pedestrian push button color as specified for twenty-eight (28)
Conductor Cable.
86-2.08E Signal Interconnect Cable
The first sentence of the first paragraph shall be amended to read:
Signal Interconnect Cable (SIC) shall consist of AWG No. 22 (minimum)
stranded, copper conductors with the number of pairs as specified on the plans
(six pairs minimum).

Splices in lighting conductors shall conform to §86-2.09E and Caltrans Standard

86-2.10 Bondin-q and Groundin
Add the following after the second sentence of the first paragraph to read:
The jumper size shall be increased to match the load or the circuit breaker size,
or shall be as shown on the plans, whichever is greater.
The first sentence of the sixth paragraph shall be amended to read:
For equipment grounding purposes in all non-metallic type conduits, a No. 6
copper wire shall be run continuously in circuits used for series lighting, and a
No. 8, minimum, copper wire shall be run continuously in all other circuits.
Add the following after the first sentence of the sixth paragraph to read:
The bonding wire size shall be increased to match the circuit breaker size, or
shall be as shown on the plans, whichever is greater.
The second sentence of the seventh paragraph shall be amended to read:
Ground electrodes shall be one piece, 10-foot length, 5/8-inch nominal diameter
stainless steel and meet the requirement of the Code. The ground electrodes
shall be installed in a one -inch PVC sleeve through concrete areas.
86-2.11 Service
The following shall be added to §86-2.11:
Traffic signal service equipment enclosures shall be furnished with the following
uhless shown otherwise on the plans:
1. 50 amp breaker for traffic signals (120V metered).
2. 30 amp breaker for safety lighting (120V unmetered).
3. 20 amp breaker for internally illuminated street name sign (120V metered).
4. Safety lighting contactor, (GE Model No. CR353AD2BA1) and test switch.
5. 3 - #2 AWG copper service conductors shall be installed by the contractor
from the SCE handhole to the service pedestal.

.The second sentence of the first paragraph shall be amended to read:
The costs of all equipment and materials testing, except as noted otherwise in
this section, shall be the contractor's responsibility.
The fourth paragraph shall be amended to read:
The Contractor shall allow 30 days for material and equipment testing from the
date the material or equipment is delivered to the test site. When the equipment
or material being tested has been rejected for failure to comply with these
specifications, the contractor shall allow 30 days for subsequent retesting. The
retesting period shall begin when the corrected equipment or materials are made
available at the test site.
The sixth paragraph shall be amended to read:
It is the contractor's responsibility to pick up and deliver all required materials and
equipment to and from the point of purchase, the test site, and the work site. The
City shall not be responsible for pick up or delivery of any materials or equipment
unless noted otherwise on the plans or in these specifications. The contractor
shall notify the City 24-hours in advance to pickup any city -supplied materials or
equipment. The contractor shall be responsible for all damage, loss, or theft of
any city -supplied materials or equipment from the time of pickup to the
acceptance of the construction.
86-2.14C Functional Testing
The first sentence of the fifth paragraph shall be amended to read:
The City shall be responsible for the costs of electrical energy for testing of
modified, city -owned lighting and traffic signal systems.
The following shall be added to §86-2.14C:
The contractor shall, at his own expense, arrange to have a signal technician,
qualified to work on the controller assembly and employed by the controller
assembly manufacturer or his representative, present at the time the equipment
is turned on, unless the controller cabinet is supplied by the City.

detector lead-in cable shall be Canoga Controls Corporation 30003 polyethylene
jacketed cable, with water blocking per Type B. loop detector lead-in cable.

Contractor shall furnish and install the following cable for support of the
above Video Detection System: Belden 8281 Coaxial cable. The coaxial
cable shall be one continuous run from the camera to the cabinet, no
splices shall be allowed. Power cable shall be Belden 16/3-stranded
fuel/oil resistant SJO. No splices are allowed.
86-5.02 Pedestrian Push Buttons
The following shall be added to §86-5.02:
Pedestrian push buttons shall be Standard Plan ES-5C, Type B. Push button
assemblies shall have polycarbonate push button cover. All exposed fasteners
shall have anti -seize compound (NOA-Lox or approved equal) applied before

Intersection safety lighting luminaires shah comply with §86-9 of these Special
Provisions. The luminaires shall be the type specified for arterial streets.
86-6.065 Internally Illuminated Street Name Signs
The fifth paragraph shall be amended to read:
The Internally Illuminated Street Name Sign shall be Metro -Mark, Catalog No.
MM-2-6/4-200-D, single face with 2 lamp unit with two each standard mounting
bracket for specified round pole shaft or City approved equal.
The following shall be added to §86-6.065:
A solid box superimposed upon the traffic signal mast arm symbol on the plans
shall indicate that a complete Internally Illuminated Street Name Sign assembly
shall be installed on the signal pole as shown on the pole and equipment
schedule.

Street Name Suffixes shall not be used.

workmanlike manner.
2. The contractor shall modify the traffic signal using equipment and
material supplied by the City of Huntington Beach as listed herein on

material and equipment and material necessary for the completion of
the work shall be supplied by the contractor.
I The contractor will be required to obtain all permits, licenses and
insurance as required by both the City of Westminster and the City of
