Statement of Issue:
The purpose of this RCA is approval of a contract to install the regional jail booking system
with CDI. CDI has developed a photo data base of career criminals, and other serious
offenders that have been arrested and booked at.the county jail. This system is currently
owned by the Orange County Sheriff. This contract is to install the same booking system
at the Huntington Beach Police Department Jail.
Other components of the system will allow rapid retrieval of arrest information by all
agencies currently booking prisoners into the Huntington Beach Jail. The system will also
permit quicker booking times and automated arrest reporting to decrease the time officers
are out of service. The system will also provide for positive identification of an arrestee.
Funding Source:
The funds will be derived from the unencumbered funds in account E BK PD 329 390-00.
The funds are approved for reimbursement from the California Office of Criminal Justice
Planning (OCJP) grant funds. The contract amount is $ 34,700.
Recommended Action:
1. Respectfully request the City Council approve the attached sole source contract with
CDI.
2. Waive the requirement for Professional Liability Insurance.

Analysis:
This contract with CDI will provide a regional booking system that will permit access to
information and photographs of all persons arrested and booked into the Orange County
Jail, Santa Ana jail, Huntington Beach Jail, Newport Beach Jail, and arrested persons from
Westminster, Fountain Valley and Irvine. The system will speed booking and arrest
reporting to free officers to return to the field quicker. The system is also designed to solve
some of the arrestee identification problems.
This contract is for software development, installation and connecting computers together.
There is no reasonable likelihood that a mistake could be made in the development, or
installation of the software that would create liability for the city that would require
professional liability insurance. This insurance is not required by other agencies currently
employing CDI. Professional liability insurance would cost CDI $5000. This cost would be
passed on to the city in the form of a price increase. There is no reasonable justification
for this requirement.

INSTALLATION OF THE JAIL BOOKING SYSTEM
THIS AGREEMENT, made and entered into this 4./M day of

municipal corporation of the State of California, hereinafter referred to as "CITY", and
COMPUTER DEDUCTIONS, INC., a California corporation, hereinafter referred to as
"CONTRACTOR."
WHEREAS, CITY desires to engage the services of a contractor to provide goods and
services in connection with a regional booking system which will permit access to information
and photographs relative to arrestee identification in the City of Huntington Beach; and
Pursuant to documentation on file in the office of the City Clerk, the provisions of
HBMC Chapter 3.03 relating to procurement of professional service contracts has been
complied with; and
CONTRACTOR has been selected to perform said services,
NOW, THEREFORE, it is agreed by CITY and CONTRACTOR as follows:
1. WORK STATEMENT
CONTRACTOR shall provide all services as described in the Request for
Proposal, and CONTRACTOR`s proposal dated December 15, 1995, (hereinafter referred to
as Exhibit "A"), which is attached hereto and incorporated into this Agreement by this
reference. Said services shall sometimes hereinafter be referred to as "PROJECT."
CONTRACTOR shall further deliver a piece of computer hardware described as a
Twelve Port Hub to be used to complete necessary computer interface. CITY agrees to
purchase the Twelve Port Hub from CONTRACTOR for the sum set forth in Paragraph No. 4
below

CONTRACTOR hereby designates Allan MacDonnell, who shall represent it and be its
sole contact and agent in all consultations with CITY during the performance of this
Agreement.
2. CITY STAFF ASSISTANCE
CITY shall assign a staff coordinator to work directly with CONTRACTOR in the
performance of this Agreement.
3. TIME OF PERFORMANCE
Time is of the essence of this Agreement. The services of the CONTRACTOR
are to commence as soon as practicable after the execution of this Agreement and all tasks
specified in Exhibit "A" shall be completed no later than five (5) months from the date of this
Agreement. These times may be extended with the written permission of the CITY:
4. COMPENSATION
In consideration of the performance of the services described herein, CITY
agrees to pay CONTRACTOR a.fee not to exceed Thirty Three Thousand Dollars ($33,000).
In consideration of the purchase of the Twelve Port Hub, CITY agrees to pay
CONTRACTOR the sum of Seventeen Hundred Dollars ($9,700).
5. EXTRA WORK
In the event CITY requires additional services not included in Exhibit "A," or
changes in the scope of services described -in Exhibit "A," CONTRACTOR will undertake such
work after receiving written authorization from CITY. Additional compensation for such extra
work shall be allowed only if the prior written approval of CITY is obtained.
B. METHOD OF PAYMENT
A. CONTRACTOR shall be entitled to payment upon invoice at completion
of PROJECT.
B. Delivery of work product: A copy of every technical memo and report
prepared by CONTRACTOR shall be submitted to the CITY to demonstrate progress toward
completion of tasks. In the event CITY rejects or has comments on any such product, CITY

shall identify specific requirements for satisfactory completion. Any such product which has
not been formally accepted or rejected by CITY shall be deemed accepted.
C. The CONTRACTOR shall submit to the CITY an invoice for payment
due. Such invoice shall:
1) Reference this Agreement;
2) Describe the services performed and goods delivered;
3) Show the total amount of the payment due;
4) Include a certification by a principal member of the
CONTRACTOR's firm that the work has been performed in accordance with the
provisions of this Agreement.
Upon submission of any such invoice, if CITY is satisfied that
CONTRACTOR has satisfactory completed the PROJECT in accordance with this Agreement,
CITY shall promptly approve the invoice.
D. Any billings for extra work.or additional services authorized by CITY shall
be invoiced separately to the CITY. Such invoice shall contain all of the information required
above, and in addition shall list the hours expended and hourly rate charged for such time.
Such invoices shall be approved by CITY if the work -performed is in accordance with the extra
work or additional services requested, and if CITY is satisfied that the statement of hours
worked and costs incurred is accurate. Such approval shall not be unreasonably withheld.
Any dispute between the parties concerning payment of such an invoice shall be treated as
separate and apart from the ongoing performance of the remainder of this Agreement.
7. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS
CONTRACTOR agrees that all materials prepared hereunder, if any, including
all original drawings, designs, reports, both field and office notices, calculations, maps and
other documents, shall be turned over to CITY upon termination of this Agreement or upon
PROJECT completion, whichever shall occur first. In the event this Agreement is terminated,
said materials may be used by CITY in the completion of PROJECT or as it otherwise sees fit.

Title to said materials shall pass to the CITY upon payment of fees determined to be earned by
CONTRACTOR to the point of termination or completion of the PROJECT, whichever is
applicable. CONTRACTOR shall be entitled to retain copies of all data prepared hereunder.
8. INDEMNIFICATION AND HOLD HARMLESS
CONTRACTOR hereby agrees to indemnify, defend, and hold and save
harmless CITY, its officers and employees from any and all liability, including any claim of
liability and any and all losses or costs arising out of the negligent performance of this
Agreement by CONTRACTOR, its officers br employees.
9. WORKERS COMPENSATION
CONTRACTOR shall comply with all of the provisions of the Workers
Compensation Insurance and Safety Acts of the State of California, the applicable provisions
of the California Labor Code and all amendments thereto; and all similar state or federal acts
or laws applicable; and shall indemnify, defend and hold harmless CITY from and against all
claims, demands, payments, suits, actions, proceedings and judgments of every nature and
description, including attorney fees and costs presented, brought or recovered against CITY,
for or on account of any liability under any of said acts which may be incurred by reason of any
work to be performed by CONTRACTOR Under this Agreement.
CONTRACTOR shall obtain and furnish evidence to CITY of maintenance of
statutory workers compensation insurance and employers liability in an amount of not less than
$100,000 bodily injury by accident, each occurrence, $100,000 bodily injury by disease, each
employee, and $250,000 bodily injury by disease, policy limit,
10. INSURANCE
In addition to the workers compensation insurance and CONTRACTOR's
covenant to indemnify CITY, CONTRACTOR shall obtain and furnish to CITY the following
insurance policies covering the PROJECT:

A. General Liability Insurance
A policy of general public liability insurance, including motor vehicle coverage.
Said policy shall indemnify CONTRACTOR, its officers, agents and employees, while acting
within the scope of their duties, against any and all claims of arising out of or in connection
with the PROJECT, and shall provide coverage in not less than the following amount:
combined single limit bodily injury and property damage, including products/completed
operations liability and blanket contractual liability, of $1,000,000 per occurrence. If coverage
is provided under a form which includes a designated general aggregate limit, the aggregate
limit must be no less than $1,000,000. Said policy shall name CITY, its officers, and
employees as Additional Insureds, and shall specifically provide that any other insurance
coverage which may be applicable to the PROJECT shall be deemed excess coverage and
that CONTRACTOR's insurance shall be primary.
B. Professional Liabilily Insurance.
CONTRACTOR shall acquire a professional liability insurance policy covering
the work performed by it hereunder. Said policy shall provide coverage for CONTRACTOR's
professional liability in an amount not less than $500,000 per claim. A claims made policy shall
be acceptable.
11. CERTIFICATES OF INSURANCE: ADDITIONAL INSURED ENDORSEMENTS
Prior to commencing performance of the work hereunder, CONTRACTOR shall
famish. to CITY certificates of insurance subject to approval of the City Attorney evidencing the
foregoing insurance coverages as required by this Agreement; said certificates shall provide
the name and policy number of each carrier and policy, and shall state that the policy is
currently in force and shall promise to provide that such policies will not be canceled or
modified without thirty (30) days prior written notice of CITY. CONTRACTOR shall maintain
the foregoing insurance coverages in force until the work under this Agreement is fully
completed and accepted by CITY.

The requirement for carrying the foregoing insurance coverages shall not
derogate from the provisions for indemnification of CITY by CONTRACTOR under the
Agreement. CITY or its representative shall at all times have the right to demand the original
or a copy of all said policies of insurance. CONTRACTOR shall pay, in a prompt and timely
manner, the premiums on all -insurance hereinabove required.
A separate copy of the additional insured endorsement to each of
CONTRACTOR's insurance policies, naming the CITY, its officers and employees as
Additional Insureds shall be provided to the City Attorney for approval prior to any payment
hereunder.
12. INDEPENDENT CONTRACTOR
CONTRACTOR is, and shall be, acting at all times in the performance of this
Agreement as an independent contractor. CONTRACTOR shall secure at its expense, and be
responsible for any and all payment of all taxes, social security, state disability insurance
compensation, unemployment compensation and other payroll deductions for CONTRACTOR
and its officers, agents and employees and all business licenses, if any, in connection with the
services to be performed hereunder.
13. TERMINATION OF AGREEMENT
All work required hereunder shall be performed in a good and workmanlike
manner. CITY may terminate CONTRACTOR's services hereunder at anytime with or without
cause, and whether or not PROJECT is fully complete. Any termination of this Agreement by
CITY shall be made in writing, notice of which shall be delivered to CONTRACTOR as provided
herein.
14. ASSIGNMENT AND SUBCONTRACTING
This Agreement is a personal service contract and the supervisory work
hereunder shall not be delegated by CONTRACTOR to any other person or entity without the
consent of CITY.

15. COPYRIGHTS/PATENTS
CITY shall own all rights to any patent or copyright on any work, item or material
produced as a result of this Agreement.
16. CITY EMPLOYEES AND OFFICIALS
CONTRACTOR shall employ no CITY official nor any regular CITY employee in
the work performed pursuant to this Agreement. No officer or employee of C" shall have
any financial interest in this Agreement in violation of the applicable provisions of the California
Government Code.
17. NOTICES
Any notice or special instructions required to be given in writing under this
Agreement shall be given either by personal delivery to CONTRACTOR's agent (as designated
in Section 1 hereinabove) or to CITY's Police Chief as the situation shall warrant, or by
enclosing the same in a sealed envelope, postage prepaid, and depositing the same in the
United States Postal Service, addressed as follows:

18. IMMIGRATION

CONTRACTOR shall be responsible for full compliance with the immigration and
naturalization laws of the United. States and shall, in particular, comply with the provisions of
the United States Code regarding employment verification.
19. LEGAL SERVICES SUBCONTRACTING PROHIBITED
CONTRACTOR and CITY agree that CITY is not liable for payment of any
subcontractor work involving legal services, and that such legal services are expressly outside
the scope of services contemplated hereunder. CONTRACTOR understands that pursuant to

Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel for
CITY; and CITY shall not be liable for payment of any legal services expenses incurred by
CONTRACTOR.
20. ATTORNEY'S FEES
In the event suit is brought by either party to enforce the terms and provisions of
this agreement or to secure the performance hereof, each party shall bear its own attorney's
fees.
21. ENTIRETY
The foregoing, and Exhibit "A": attached hereto, set forth the entire Agreement
between the parties.

Huntington Beach Jail Management System
Overview
The Huntington Beach Jail Management System (HBJMS) is a PC -based system
which possesses key functionality of the Orange County Jail System. The
HBJMS will be developed under Windows NT using Microsoft Visual Basic, "
Microsoft Access and SQL Server. The system will adhere to the standards
used within the.Windows environment. Except for data entry, all functions are
performed using a mouse.
For example, the mouse drag and drop function would be used to move an
inmate within the system. A picture of -the entire jail will be. presented along with
booking numbers in every bunk that is occupied. When the mouse is clicked on
a bunk, the name of the inmate will be displayed. When a booking number is
dragged to an unoccupied bunk,'the inmate will automatically be moved to that
bunk.
Daia.- Files
The HBJMS will have three unique inmate data files; Current Housing File,
Historical Housing file, and a Repeat Offenders file.
• Current Housing File
This file contains information regarding all inmates currently housed in the
Huntington Beach Jail.
• Historical Housing File
This file contains selected information on inmates that have been booked
in the Huntington Beach Jail. This data may be used for historical ad hoc
queries.
, • Repeat Offenders File
This file contains inmates that are frequent visitors to the jail. The deputy
need only indicate that -the person is a frequent visitor and all prior data
for the inmate will be automatically moved to the Current Housing file.
The data will be displayed and portions may be modified for this new
arrest. This process.will reduce the time that would be spent inputting
similar data for different arrests.

JMS/RMS
CDI will work with the Records Management system (RMS) vendor to establish a
TCP/IP interface between the Jail Management System (JMS) and RMS
computers. -CDI will electronically send inmate information when either the
booking process is complete or when the booking process is complete and the
OCN number has been assigned. The format of the information to be
electronically transferred will be defined by the RMS vendor. COI will meet with
the vendor to discuss the data elements to be transferred. CDI would like at
least one week of notice prior to the meeting.
Live Scan Print Interface
CDI will download demographicibooking data from the JMS to any Live Scan
device in use at Huntington Beach using TPC/IP protocol. The demographic
data will be downloaded after the booking processes is complete.
AS Functionality
The transactions for the jail system are presented in chronological order. The
format of the transactions may be different at implementation time, but the
functionality will not change. New formats will be presented to the Huntington
Beach Police Department for approval. The formats are presented in Appendix
HBMENU - The HBMENU screen allows the operator to access any JMS
screen by typing an 'X' in the appropriate data field and enter the booking
number, if required. The requested screen will then be displayed.
• HBDE1 - The HBDE1 transaction is the first screen used to enter inmate
information into the JMS. The transaction can be performed while the inmate
is at the counter or the data can be entered at a later time from already
completed forms. All data fields are validated according to NCIC standards.
If all information is correct, the system will automatically assign the inmate a
booking number. Booking numbers are assigned in ascending order. The
JMS will automatically perform a warrant check in the following data bases:
AWSS, WPS, Restraining Order and NCIC. The responses can be sent to
any. Datamax or CAD terminal. An inquiry is also made to the LARS data
base anticipating that a single fingerprint will be taken. The inmate will then
be housed in receiving (RE).

• HBDE2, HBJV2, and HBJV3 screens will be presented to the operator
following a successful entry of the HBDE1 screen.
• HBMED - The HBMED screen can be completed at any time. The screen is
accessed from the menu and the information is entered by the operator.
Data from this screen will be printed in the current medical forms format upon
request.
« HBVIS - The HBVIS screen can be completed at any time. The screen is
accessed from the menu and the information is entered by the operator.
Data from this screen will be printed at the bottom of the medical form upon
request.
• PHOTO - The next steps in the process are to photograph the inmate and to
obtain a single print. When the booking number is entered, an inquiry is
made to JMS to display the inmate's name and date of birth. If the name is
.correct, the inmate may then be photographed. The photo can be taken as
many times as necessary to obtain the desirable image on the video screen.
Next, the inmate's single fingerprint is obtained. The LARS data base is then
searched for possible matches using the data entered at time of intake. If a
match is made in LARS, the two most likely OCN matches are returned. The
_ single print is then sent to CAL -ID along with the two possible OCNs, booking
number, name, date of birth, physical descriptions, time of booking, and time
of print. If CAL -ID matches the print in their data base using the QCNs. sent,
they will enter the corresponding OCN into the JMS. The system will
automatically update the JMS with the CII and FBI numbers if available. if no
match is made, CAL -ID will notify JMS to take a set of ten prints. This is
dcne by electronically transferring the inmate data to the DBI Live Scan
device via JMS. The operator then selects the inmate and initiates the ten
print scanning. Huntington Beach PD can either FAX or hand carry the.finger
Print cards to CAL -ID to do a technical search. CAL -ID will notify Huntington
Beach PD of the OCN to be entered into the JMS.
H13INQ - The HBINQ screen allows an inquiry to be made using any one or
combination of the following data elements: booking number, OCN, CI1, FBI,
DR#, SOC, JUV, VEH LIC, MONIKER or name. The response will display all
of the data entered for the inmate.
• HBVLOG -The HBVLOG screen allows reports to be generated for a given
time period or booking number. These reports contain an audit trail of all
updates made to the inmate's Personal Data Record (PDR). Additional data
elements may be added to the HBVLOG screen.

• HBRPT - The HBRPT screen allows ad hoc reports to be selected for a given
time frame. JMS will keep an historical record of all inmates booked.
HBTABM - The HBTABM screen is a list of all tables used in validating the
information entered in the Sheriff's jail system. There are over ninety unique
tables required for the county jail system. Huntington Beach will use
approximately twenty of these tables. The table most frequently used is the
Charge Code Table which consists of all charges used to book into the
county jail system. This table contains the charge code, the description of
the charge, whether the charge is considered retainable, and the UCR code.
• HBTABU -The HBTABU screen allows an operator to update or modify any
entry in any table. The Charge Code Table would be updated most
frequently by Huntington Beach PO in order to add Huntington Beach
municipal codes.
• PHOTO LINEUP - CDI will provide inquiry capability into the Huntington
Beach photo data base for the purpose of creating a "six pack" lineup.
The operator will inquire into the Huntington Beach photo data base using
selected fields (height, sex, race, facial characteristics, etc.). The
selected booking numbers will be displayed on the screen. The operator

photo will appear in the desired window. This process will continue until
all windows have photos. The photos may be rearranged, dropped or
replaced until the six pack is satisfactory. Photos from the Sheriffs data
base may be added to the six pack using the appropriate booking
number. CDI will not provide a generalized search capability against the
Sheriffs photo data base. The six pack may be printed on either the color
or laser printer.
CAL -PHOTO STANDARDS - If the Cal -Photo standards change and the
Orange County Sheriff converts its data base to the new standard, CDI will
convert Huntington Beach's photos to the new standard.
PHOTO RESPONSE TIMES - If an operator requests a photo from the
Huntington Beach data base, the photo will appear on the screen in less than
five seconds. The photo may be printed in less than sixty seconds. If the
selected photo is retrieved from the Sheriffs data base, the photo will appear
on the screen in less than fifteen seconds, if the 56KB communication line is
not in use.
• REPORTS - The following Huntington Beach reports will be produced
automatically by the system on a HP Laser IV printer.
• Orange County Pre -Booking form
• Huntington Beach Prebooking/Medical screening information
• DMV Form
• Arrest Report
INSTALLATION - Huntington Beach Police Department will be responsible
for installation of all the required wiring in the facility for electrical and
communications. CDI will be responsible for the connection between the wall
and the computer equipment.
• EQUIPMENT - Huntington Beach will deliver computer systems to CDI for
installation of Systems Software and the Applications. CDI will install the
= software Tor a cost of $200.00 per computer. Huntington Beach will be
responsible for returning the equipment back to the City. If the hardware is
supplied by CDI, CDI will install the Systems Software and the Applications at
no charge.
`The arrest report cannot be produced on a laser printer in its current form.
An impact printer must be used. The approximate cost of a impact printer is
$1, 500.00.

CDI is a California Corporation, based in Sacramento California, with a remote office in Orange
County, California. CDI was incorporated in 1970 and has been providing services to various agencies
since that time. In 1989, CDI began its Southern Californian operations, providing services to the
County of Orange, and surrounding communities. CDI is committed to upholding its reputation of
providing quality goods and services to our customers, and maintains a consistent track record in the
Law Enforcement Community to that end.
At California Department of Justice, we successfully designed, implemented, and migrated to three
dissimilar hardware platforms, the CLETS Message Switching System. We currently provide on -site
support for this complex network which services over 27,000 terminals, and processes over I Million
transactions per day. We also designed and led the design and implementation effort at DOJ for the
following Database Applications:

Criminal History System (CHS)

At California Department of Motor Vehicles, we implemented the Largest Message Switch in the
State. This network services over 300 remote computer system interfaces and processes over 2.5
Million transactions per day. We also designed and led the implementation of the DMV Field Office
Automation Drivers License and Vehicle Registration system. This system employs IBM Series I
processors, in a distributed environment which spans the entire state. We are currently assisting the
Departments Director of Data Processing in formulating the departments strategic and tactical direction
for the next 5 years. CDI is also leading the analysis and definition of the Drivers License, Vehicle
Registration, Titling and Occupational Licensing programs. These new systems are being built
employing information engineering methodology using the Information Engineering Facility and
Integrated Case Tools as supplied by Texas Instruments.
At Orange County, California, Sheriffs Department, we have implemented and currently maintain a
state of the art, automated Jail system (AJS). This sophisticated database system tracks all county jail
inmates, from booking to release and includes fingerprint and photo image capture and retrieval of every
inmate. This system is implemented using multiple hardware platforms, from the Unisys 2200
mainframes to UNIX servers and PC image workstations. We are also in the process of installing our
message switch software on the Unisys 2200 systems at the county. This switch will provide access to
CLETS for all law enforcement agencies in the County.
At California Office of Emergency Services, we have implemented and currently maintain a UNIX
based Message Switch system. This system provides access to vital state information services such as
CLETS for the department.

CDI is currently implementing a State-wide CAL -ID Fingerprint switching and verification network
under sub -contract to NEC, for the State of California Depart of Justice, Bureau of Criminal
Identification and Information. This system will provide 10 UNIX hubs to accepting electronic
fingerprint cards from LiveScan devices throughout the State. These cards will be processed
electronically, verified against the states AFIS and On -Line databases, then ultimately forwarded to both
California and Federal Databases for storage.
CDI is currently migrating the California Department of Justice CLETS system from the UNISYS
2200/200 mainframes to the new 2200/5xx mainframe platform.
Developed, implemented and under contract to maintain a Digitized Photo/Fingerprint System for
Orange County Sheriffs Department Jail Facility. All the capture and viewing stations are connected
via Ethernet LAN.

THIS AGREEMENT, made and entered into this d/m day of

municipal corporation of the State of California, hereinafter referred to as "CITY", and
COMPUTER DEDUCTIONS, INC., a California corporation, hereinafter referred to as
"CONTRACTOR."
WHEREAS, CITY desires to engage the services of a contractor to provide goods and
services in connection with a regional booking system which will permit access to information
and photographs relative to arrestee identification in the City of Huntington Beach; and
Pursuant to documentation on file in the office of the City Clerk, the provisions of
HBMC Chapter 3.03 relating to procurement of professional service contracts has been
complied with; and
CONTRACTOR has been selected to perform said services,
NOW, THEREFORE, it is agreed by CITY and CONTRACTOR as follows:
WORK STATEMENT
CONTRACTOR shall provide all services as described in the Request for
Proposal, and CONTRACTOR's proposal dated December 15, 1995, (hereinafter referred to
as Exhibit "A"), which is attached hereto and incorporated into this Agreement by this
reference. Said services shall sometimes hereinafter be referred to as "PROJECT."
CONTRACTOR shall further deliver a piece of computer hardware described as a
Twelve Port Hub to be used to complete necessary computer interface. CITY agrees to
purchase the Twelve Port Hub from CONTRACTOR for the sum set forth in Paragraph No. 4
below.

CONTRACTOR hereby designates Allan MacDonnell, who shall represent it and be its
sole contact and agent in all consultations with CITY during the performance of this
Agreement.
2. CITY STAFF ASSISTANCE
CITY shall assign a staff coordinator to work directly with CONTRACTOR in the
performance of this Agreement.
3. TIME OF PERFORMANCE
Time is of the essence of this Agreement. The services of the CONTRACTOR
are to commence as soon -as practicable after the execution of this Agreement and all tasks
specified in Exhibit "A" shall be completed no later than five (5) months from the date of this
Agreement. These times may be extended with the written permission of the CITY.
4. COMPENSATION
In consideration of the performance of the services described herein, CITY
agrees to pay CONTRACTOR a fee not to exceed Thirty Three Thousand Dollars ($33,000).
In consideration of the purchase of the Twelve Port Hub, CITY agrees to pay
CONTRACTOR the sum of Seventeen Hundred Dollars ($1,700).
5. EXTRA WORK
In the event CITY requires additional services not included in Exhibit "A," or
changes in the scope of services described in Exhibit "A," CONTRACTOR will undertake such
work after receiving written authorization from CITY. Additional compensation for such extra
work shall be allowed only if the prior written approval of CITY is obtained.
6. METHOD OF PAYMENT
A. CONTRACTOR shall be entitled to payment upon invoice at completion
of PROJECT.
B. Delivery of work product: A copy of every technical memo and report
prepared by CONTRACTOR shall be submitted to the CITY to demonstrate progress toward
completion of tasks. In the event CITY rejects or has comments on any such product, CITY

shall identify specific requirements for satisfactory completion. Any such product which has
not been formally accepted or rejected by CITY shall be deemed accepted.
C. The CONTRACTOR shall submit to the CITY an invoice for payment
due. Such invoice shall:
1 ) Reference this Agreement;
2) Describe the services performed and goods delivered;
3) Show the total amount of the payment due;
4) Include a certification by a principal member of the
CONTRACTOR's firm that the work has been performed in accordance with the
provisions of this Agreement.
Upon submission of any such invoice, if CITY is satisfied that
CONTRACTOR has satisfactory completed the PROJECT in accordance with this Agreement,
CITY shall promptly approve the invoice.
D. Any billings for extra work or additional services authorized by CITY shall
be invoiced separately to the CITY. Such invoice shall contain all of the information required
above, and in addition shall list the hours expended and hourly rate charged for such time.
Such invoices shall be approved by CITY if the work performed is in accordance with the extra
work or additional services requested, and if CITY is satisfied that the statement of hours
worked and costs incurred is accurate. Such approval shall not be unreasonably withheld.
Any dispute between the parties concerning payment of such an invoice shall be treated as
separate and apart from the ongoing performance of the remainder of this Agreement.
7. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS
CONTRACTOR agrees that all materials prepared hereunder, if any, including
all original drawings, designs, reports, both field and office notices, calculations, maps and
other documents, shall be turned over to CITY upon termination of this Agreement or upon
PROJECT completion, whichever shall occur first. In the event this Agreement is terminated,
said materials may be used by CITY in the completion of PROJECT or as it otherwise sees fit.

Title to said materials shall pass to the CITY upon payment of fees determined to be earned by
CONTRACTOR to the point of termination or completion of the PROJECT, whichever is
applicable. CONTRACTOR shall be entitled to retain copies of all data prepared hereunder.
,8. INDEMNIFICATION AND HOLD HARMLESS
CONTRACTOR hereby agrees to indemnify, defend, and hold and save
harmless CITY, its officers and employees from any and all liability, including any claim of
liability and any and all losses or costs arising out of the negligent performance of this
Agreement by CONTRACTOR, its officers or employees.
9. WORKERS COMPENSATION
CONTRACTOR shall comply with all of the provisions of the Workers
Compensation Insurance and Safety Acts of the State of California, the applicable provisions
of the California Labor Code and all amendments thereto; and all similar state or federal acts
or laws applicable; and shall indemnify, defend and hold harmless CITY from and against all
claims, demands, payments, suits, actions, proceedings and judgments of every nature and
description, including attorney fees and costs presented, brought or recovered against CITY,
for or on account of any liability under any of said acts which may be incurred by reason of any
work to be performed by CONTRACTOR under this Agreement.
CONTRACTOR shall obtain and furnish evidence to CITY of maintenance of
statutory workers compensation insurance and employers liability in an amount of not less than
$100,000 bodily injury by accident, each occurrence, $100,000 bodily injury by disease, each
employee, and $250,000 bodily injury by disease, policy limit.
10. INSURANCE
In addition to the workers compensation insurance and CONTRACTOR's
covenant to indemnify CITY, CONTRACTOR shall obtain and furnish to CITY the following
insurance policies covering the PROJECT:

A. General Liability Insurance
A policy of general public liability insurance, including motor vehicle coverage.
Said policy shall indemnify CONTRACTOR, its officers, agents and employees, while acting
within'the scope of their duties, against any and all claims of arising out of or in connection
with the PROJECT, and shall provide coverage in not less than the following amount:
combined single limit bodily injury and property damage, including products/completed
operations liability and blanket contractual liability, of $1,000,000 per occurrence. If coverage
is provided under a form which includes a designated general aggregate limit, the aggregate
limit must be no less than $1,000,000. Said policy shall name CITY, its officers, and
employees as Additional Insureds, and shall specifically provide that any other insurance
coverage which may be applicable to the PROJECT shall be deemed excess coverage -and
that CONTRACTOR's insurance shall be primary.
B. Professional Liability_ Insurance.
CONTRACTOR shall acquire a professional liability insurance policy covering
the work performed by it hereunder. Said policy shall provide coverage for CONTRACTOR's
professional liability in an amount not less than $500,000 per claim. A claims made policy shall
be acceptable.
11. CERTIFICATES OF INSURANCE: ADDITIONAL INSURED ENDORSEMENTS
Prior to commencing performance of the work hereunder, CONTRACTOR shall
furnish to CITY certificates of insurance subject to approval of the City Attorney evidencing the
foregoing insurance coverages as required by this Agreement; said certificates shall provide
the name and policy number of each carrier and policy, and shall state that the policy is
currently in force and shall promise to provide that such policies will not be canceled or
modified without thirty (30) days prior written notice of CITY. CONTRACTOR shall maintain
the foregoing insurance coverages in force until the work under this Agreement is fully
completed and accepted by CITY.

The requirement for carrying the foregoing insurance coverages shall not
derogate from the provisions for indemnification of CITY by CONTRACTOR under the
Agreement. CITY or its representative shall at all times have the right to demand the original
or a copy of all said policies of insurance. CONTRACTOR shall pay, in a prompt and timely
manner, the premiums on all insurance hereinabove required.
A separate copy of the additional insured endorsement to each of
CONTRACTOR's insurance policies, naming the CITY, its officers and employees as
Additional Insureds shall be provided to the City Attorney for approval prior to any payment
hereunder.
12. INDEPENDENT CONTRACTOR
CONTRACTOR is, and shall be, acting at all times in the performance of this
Agreement as an independent contractor. CONTRACTOR shall secure at its expense, and be
responsible for any and all payment of all taxes, social security, state disability insurance
compensation, unemployment compensation and other payroll deductions for CONTRACTOR
and its officers, agents and employees and all business licenses, if any, in connection with the
services to be performed hereunder.
13. TERMINATION OF AGREEMENT
All work required hereunder shall be performed in a good and workmanlike
manner. CITY may terminate CONTRACTOR's services hereunder at any time with or without
cause, and whether or not PROJECT is fully complete. Any termination of this Agreement by
CITY shall be made in writing, notice of which shall be delivered to CONTRACTOR as provided
herein.
14. ASSIGNMENT AND SUBCONTRACTING
This Agreement is a personal service contract and the supervisory work
hereunder shall not be delegated by CONTRACTOR to any other person or entity without the
consent of CITY.

15. COPYRIGHTS/PATENTS
CITY shall own all rights to any patent or copyright on any work, item or material
produced as a result of this Agreement.
16. CITY EMPLOYEES AND OFFICIALS
CONTRACTOR shall employ no CITY official nor any regular CITY employee in
the work performed pursuant to this Agreement. No officer or employee of CITY shall have
any financial interest in this Agreement in violation of the applicable provisions of the California
Government Code.
17. NOTICES
Any notice or special instructions required to be given in writing under this
Agreement shall be given either by personal delivery to CONTRACTOR's agent (as designated
in Section 1 hereinabove) or to CITY's Police Chief as the situation shall warrant, or by
enclosing the same in a sealed envelope, postage prepaid, and depositing the same in the
United States Postal Service, addressed as follows:

CONTRACTOR shall be responsible for full compliance with the immigration and
naturalization laws of the United States and shall, in particular, comply with the provisions of
the United States Code regarding employment verification.
19. LEGAL SERVICES SUBCONTRACTING PROHIBITED
CONTRACTOR and CITY agree that CITY is not liable for payment of any
subcontractor work involving legal services, and that such legal services are expressly outside
the scope of services contemplated hereunder. CONTRACTOR understands that pursuant to

CITY; and CITY shall not be liable for payment of any legal services expenses incurred by
CONTRACTOR.
20. ATTORNEY'S FEES
In the event suit is brought by either party to enforce the terms and provisions of
this agreement or to secure the performance hereof, each party shall bear its own attorney's
fees.

The foregoing, and Exhibit "A": attached hereto, set forth the entire Agreement
between the parties.

Huntington Beach Jail Management System
Overview
The Huntington Beach Jail Management System (HBJMS) is a PC -based system
which possesses key functionality of the Orange County Jail System. The
HBJMS will be developed under Windows NT using Microsoft Visual Basic,
Microsoft Access and SQL Server. The system will adhere to the standards
used within the Windows environment. Except for data entry, all functions are
performed using a mouse.
For example, the mouse drag and drop function would be used to move an
inmate within the system. A picture of the entire jail will be presented along with
booking numbers in every bunk that is occupied. When the mouse is clicked on
a bunk, the name of the inmate will be displayed. When a booking number is
dragged to an unoccupied bunk, the inmate will automatically be moved to that
bunk.
Data Files
The HBJMS will have three unique inmate data files; Current Housing file,
Historical Housing file, and a Repeat Offenders file.
• Current Housing File
This file contains information regarding all inmates currently housed in the.
Huntington Beach Jail.
• Historical Housing File
This file contains selected information on inmates that have been booked
in the Huntington Beach Jail. This data may be used for historical ad hoc
queries.
Repeat Offenders File
This file contains inmates that are frequent visitors to the jail. The deputy
need only indicate that the person is a frequent visitor and all prior data
for the inmate will be automatically moved to the Current Housing file.
The data will be displayed and portions may be modified for this new
arrest. This process will reduce the time that would be spent inputting
similar data for different arrests.

JMS/RIVIS
CDl will work with the Records Management system (RMS) vendor to establish a
TCP/IP interface between the Jail Management System (JMS) and RMS
computers. CDI will electronically send inmate information when either the
booking process is complete or when the booking process is complete and the
OCN number has been assigned. The format of the information to be
electronically transferred will be defined by the RMS vendor. CDI will meet with
the vendor to discuss the data elements to be transferred. CDI would like at
least one week of notice prior to the meeting.
Live Scan Print Interface
Cpl will download demographic/booking data from the JMS to any Live Scan
device in use at Huntington Beach using TPCIIP protocol. The demographic
data will be downloaded after the booking processes is complete.
AS Functionality
The transactions for the jail system are presented in chronological order. The
r =`: format of the transactions may be different at implementation time, but the
functionality will not change. New formats will be presented to the Huntington
Beach Police Department for approval. The formats are presented in Appendix
B.
HBMENU - The HBMENU screen allows the operator to access any JMS
screen by typing an `X' in the appropriate data field and enter the booking
number, if required. The requested screen will then be displayed.
• HBDE1 - The HBDE1 transaction is the first screen used to enter inmate
information into the JMS. The transaction can be performed while the inmate
is at the counter or the data can be entered at a later time from already
completed forms. All data fields are validated according to NCIC standards.
If all information is correct, the system will automatically assign the inmate a
booking number. Booking numbers are assigned in ascending order. The
JMS will automatically perform a warrant check in the following data bases:
AWSS, WPS, Restraining Order and NCIC. The responses can be sent to
any Datamax or CAD terminal. An inquiry is also made to the LARS data
base anticipating that a single fingerprint will be taken. The inmate will then
be housed in receiving (RE).

• HBDE2, HBJV2, and HBJV3 screens will be presented to the operator
following a successful entry of the HBDE1 screen.
• HBMED - The HBMED screen can be completed at any time. The screen is
accessed from the menu and the information is entered by the operator.
Data from this screen will be printed in the current medical forms format upon
request.
• HBVIS - The HBVIS screen can be completed at any time. The screen is
accessed from the menu and the information is entered by the operator.
Data from this screen will be printed at the bottom of the medical form upon
request. .
• PHOTO - The next steps in the process are to photograph the inmate and to
obtain a single print. When the booking number is entered, an inquiry is
made to JMS to display the inmate's name and date of birth. If the name is
correct, the inmate may then be photographed. The photo can be taken as
many times as necessary to obtain the desirable image on the video screen.
Next, the inmate's single fingerprint is obtained. The LARS data base is then
searched for possible matches using the data entered at time of intake. If a
match is made in LARS, the two most likely OCN matches are returned. The
single print is then sent to CAL -ID along with the two possible OCNs, booking
number, name, date of birth, physical descriptions, time of booking, and time
of print. If CAL -ID matches the print in their data base using the OCNs sent,
they will enter the corresponding OCN into the JMS. The system will
automatically update the JMS with the CII and FBI numbers if available. If no
match is made, CAL -ID will notify JMS to take a set of ten prints. This is
done by electronically transferring the inmate data to the DBI Live Scan
device via JMS. The operator then selects the inmate and initiates the ten
print scanning. Huntington Beach PD can either FAX or hand carry the finger
print cards to CAL -ID to do a technical search. CAL -ID will notify Huntington
Beach PD of the OCN to be entered into the JMS.
HBINQ - The HBINQ screen allows an inquiry to be made using any one or
combination of the following data elements: booking number, OCN, CII, FBI,
DR#, SOC, JUV, VEH LIC, MONIKER or name. The response will display all
of the data entered for the inmate.
• HBVLOG - The HBVLOG screen allows reports to be generated for a given
time period or booking number. These reports contain an audit trail of all
updates made to the inmate's Personal Data Record (PDR). Additional data
elements may be added to the HBVLOG screen.

• HBRPT -The HBRPT screen allows ad hoc reports to be selected for a given
time frame. JMS will keep an historical record of all inmates booked.
• HBTABM - The HBTABM screen is a list of all tables used in validating the
information entered in the Sheriffs jail system. There are over ninety unique
tables required for the county jail system. Huntington Beach will use
approximately twenty of these tables. The table most frequently used is the
Charge Code Table which consists of all charges used to book into the
county jail system. This table contains the charge code, the description of
the charge, whether the charge is considered retainable, and the UCR code.
HBTABU - The HBTABU screen allows an operator to update or modify any
entry in any table. The Charge Code Table would be updated most
frequently by Huntington Beach PO in order to add Huntington Beach
municipal codes.
• PHOTO LINEUP - CDI will provide inquiry capability into the Huntington
Beach photo data base for the purpose of creating a "six pack" lineup.
The operator will inquire into the Huntington Beach photo data base using
selected fields (height, sex, race, facial characteristics, etc.). The
selected booking numbers will be displayed on the screen. The operator
will select a booking number and insert it into the six pack window. The
photo will appear in the desired window. This process will continue until
all windows have photos. The photos may be rearranged, dropped or
replaced until the six pack is satisfactory. Photos from the Sheriff's data
base may be added to the six pack using the appropriate booking
number. CDI will not provide a generalized search capability against the
Sheriffs photo data base. The six pack may be printed on either the color
or laser printer.
• CAL -PHOTO STANDARDS - If the Cal -Photo standards change and the
Orange County Sheriff converts its data base to the new standard, CDI will
convert Huntington Beach's photos to the new standard.
• PHOTO RESPONSE TIMES - If an operator requests a photo from the
Huntington Beach data base, the photo will appear on the screen in less than
five seconds. The photo may be printed in less than sixty seconds. If the
selected photo is retrieved from the Sheriffs data base, the photo will appear
on the screen in less than fifteen seconds, if the 56KB communication line is
not in use.

• REPORTS - The following Huntington Beach reports will be produced
automatically by the system an a HP Laser IV printer.

• INSTALLATION - Huntington Beach Police Department will be responsible
for installation of all the required wiring in the facility for electrical and
communications. CDI will be responsible for the connection between the wall
and the computer equipment.
• EQUIPMENT - Huntington Beach will deliver computer systems to CDI for
installation of Systems Software and the Applications. CDI will install the
software for a cost of $200.00 per computer. Huntington Beach willbe
responsible for returning the equipment back to the City. If the hardware is
supplied by CDI, CDI will install the Systems Software and the Applications at
no charge.
'The arrest report cannot be produced on a laser printer in its current form.
An impact printer must be used. The approximate cost of a impact printer is
$1, 500.00.
