(hereinafter called the "City"), and DUNCAN PARKING METER CORPORATION, an
Illinois corporation (hereinafter called the "Company"), witnesseth, that:
THE COMPANY AGREES:
LEASE 1. To lease to the CityOne Hundred Bereo-seven (= 177— ), or more if needed in
the opinion of the City official,s, filler t4�1 parking meters (hereinafter called "meters"),

DISCOUNT 2. That if the agreed value shall be paid within sixty (60) days from date of
installation, the City may have a discount of throo per e.-nt ( —3— 70).
TIME 3. To furnish the meters with a mechanism regulated as to time and equipped with
REGULATION slots for coins as may be determined by the City, within the practicable limits of the meters
currently produced by the Company.
EXTRAS 4. To furnish without additional charge one (1) complete meter mechanism for service
purposes only for each fifty (50) meters installed under this Agreement.
INSTAILA71ON 5. At the request of the City, to advance all costs in connection with the delivery,
C10ST installation and installation supervision of the niet-ers and at time of installation to give
instruction to the City appointed maintenance man as to their maintenance.
REPLACEMENT 6. To replace any defective part, on the return thereof to the factory, within one (1)
DEFECTIVE PARTS year from date of installation of that meter.
OPTION 7. Eucept as provided in paragrapl: fourteen (14) the City may lease additional meters
for its use, at the same terms and at the agreed value in effect at that time. The City may
e:;erc.ise this privilege from time to tune until the agreed value of the meters described in
paragraph one (1) has been paid. The City need only indicate in writing to the Company
its devision to lease additional meters tinder this Agreement. In determinint, whether the
agreed value of any meters is paid, all rentals shall be averaged over all meters leased under
this ttii_*reeraent, whether they are the meters described in paragraph one (1) or additional
tneters leased heretmder.
TITLE 8. To Rive t ie City a bill of sale for the meters when the full agreed value thereof has
heen paid in ensh to the Company.
TRIP, CITY AGREES:
RENTAt :3. To lease the meters described in paragraph one (1), at said sigreed value, to install
them a: permit their instillation and to pay the following rentals for them: Thirty (30)
clays after the installation of the meters, and not later than the fifteenth (15th) day of
each calendar month thereafter, the City shall pay to the Company._ .tift...rpercent ( r %)
of the receipts front said meters until the costs, if any, advanced under paragraph five (5) and
the agreed value are paid or until the meters are removed under the provisions of paragraph
thirteen (13).

TAXES 10. Tl1:tt any personal property, real estate, sales, use or other tax (whether or not
similar to those enumerated) levied against the Company by reason of this transaction (other
than income or excess profits taxes) shall be added to the agreed value.
GOOD REPAIR 11. To maintain the meters in good operating condition until the agreed value is paid.
ENFORCE 12. Until the airreed value is Maid or this .ease is terminated under paragraph thirteen
ORDINANCES (13), to enact, maintain and enforce appropriate ordinances relating to the installation,
maintenance and operation of these meters and relating to vehicles perking next to them.
CONSEWENCES i 13. That if the City shall materially breach this Agreement, the Company may terminate
OF MACH this lease by giving to the City -written notice of its intention so to do and may remove saicl
meters. This right shall not be exclusive of tiny other rights or remedies given the Company
by law.
UNAVOIDABLE 14. That the Company shall not be liable for delay in furnishing meters leased under
DELAY, E1C. paragraph one (1), and shall be excused from its obligation to lease additional meters under
paragraph seven (7) if such delay is caused by, or if the manufacture, delivery, or installation
of meters is prevented, delayed, or made substantially more difficult or substantially more
expensive because of, a strike or other labor trouble, fire, tornado, flood, embargo, shortage
of transportation, material or labor, war, preparation for war, insurrection, civil commotion,
government regulation or other cause beyond the control of the Company.
AUTHORITY 15. No one shall have the poorer or authority to alter the terms and conditions of this
Agreement in behalf of the Company except its President, Executive Vice -President, a Vice -
President, Secretary or Treasurer.
