HomeMy WebLinkAboutEDWARD BONNANI - THE KAR KARE COMPANY - 1982-06-07LEASR AGREEMENT THIS LEASE AGREEMENT entered i_nfic this day of April, 1986 by and between the CITY OF HUNTINGTON BEACH, a municipal corporation of the State of California, hereinafter called "tLTY", and Edward Bonnani, doing business under the fictitious name of KAR KARE COLvL'ANY, a sole proprietorship, hereinafter called "TENANT" . 1. DE -SCRIP i'TON CITY hereby i.eases to TEkIANT those certain premises, herein called "PROPERTY", located in the City of Huntington Beach, -ui7ty of Orange, State of California, described as follows: Block 405 and Par. Blk. 505, Huntington Beach Main St. Tr. e.ct as shown:, on Exhibit A attached hereto and made a part hereof-P.KA Ap. #24-130-02 and Por.-01 (the old downtown civic center) on the terms and ccr., �tions sct out hereinafter. 2. TERM. The terra of t7iis Lease Agreement shall be for one s .:ason, consisting of the three holiday weekeols of: May 30, 31 and June 1, July 4, 5, 6, August 2.8, 29, 30 7.nd September 1, 1986, inclusive. It is understood and agreed that a any time o• for any purpose the City ma-1 cancel this Lease Agreement with 15 days notice. In the event that CITY determines to lease PROPERTY for the 1987 season for the same purpose as set forth in this Lease Agreement, TENANT is hereby granted an c5ption to renew this Lease Agreement fox. the 1987 season at the same rental and under the sate terms, Covenants an conditions as herein contained. Should CIT!t determine so to Lease PROPERTY, it shall Notify TENANT in (1) L writing of such intention on or before April 1, 1.987_ TENANT shall exercise thin option by delivering written notice of his election to exercise the option to CITY, in person or by United States mail, on or before April 29, 1987. 5. USE OF PREMISES TENANT agrees to use PROPF^TY for the purpose of establiahin.g and maintaining a public parking lot. TENANT shall keep rROPERT`t open for business during the hours of 9 a.m. to 5 p.m. daily during the term hereof. 4. MAINTENANCE AND IMPROVEMENTS. TENANT covenants and agrees to grade anJ o4.1 PROPERTY pzior to commencement of operations at his own cost and expense. TENlLNT shall make no other improvements on PROPERTY without prior written consent of CITY. T1:Lv&N agrees to maintain PROPERTY in safe and clean condition, free of rubbish and weeds during the term hereof.. TENANT'S failure so to maintain PROPERTY shall entitle CITY, at its option, to perform the necessary maintenance and bill TENANT for the cost of such services rendered, which bill TENAt"r shall pay within ten (10) days of receipt thereof. TENANT shall allow CITY to enter PROPERTY at all reasonable tines fo purposes of inspection. In the event 'TENANT should install any utilities on PROPERTY, 'TENANT shall obtain prior written consent of CITY and he shall be responsible for all charges associated with the utilities. TENANT shall restore PROPERTY to a condition satisfactory to CITY upon expiration or earlier termination hereof. (2) 5. RENT During TENANT'S operating season TENANT shall pay as rent to CITY 30 percent of the gross receipts of the preceding calendar month, due and payable on the tenth day of the following month. The term "gross receipts" as used herein shall include all money,; income, goods, notes, obligations, r(_::eivables, and all other revenues of any type collected by TENANT in, connection with the use of PROPERTY. TENANT shall maintain an accounting system based upon consecutively numbered receipts which shall issue to patrons of said parking lot. The minimum charge shall be $'3 per car per entry, or an amount equal to similar fees charged by CITY for parking in its beach parking lots, whichever is grea`.er. TENANT shall delive2 to CITY a statement of the gross- receipts for each month, on a form satisfactory to CITY, and, it shall be cue on the same date as rent. In addition, upon expira.'.,ion or earlier termination hereof, TENANT shall deliver to CITY, on a separate reporting form, a statement of the total gross receipts collected by TENANT during the term hereof_ CITY shall have the right at any time to inspect and audit all TENANT'S ledgers, journals, records, cash receipts, and all other pertinent data, and TENANT, on request, shall make all such materials available to CITY. 6 TAXES. TENANT shell be responsible for the timely "payment of all real property, personal property, sales and other taxes associated wit'_t TEtTANT*S interest _rn PROPERTY, sales and other taxes associated with-TEN,'n_NT"S ,'.interest in PROPERTY as set forth herein; (3)' including any possessory interest taxes levied of assessed against PROPERTY. 7. INSURANCE. (a) TENANT shall furnish to CITY and maintain in full force and effect, at its own cost and expense, for the term or any extension thereof, a bodily injury liability and property damage liability insurance policy in which CITY, its officers, agents and employees are named as Additional Insureds. Said inFlzrance shall protect and indemnify insureds against any and all claims arising out of or in connection with TENANT'S performance hereof. Such insurance at all Limas shall be in an amount not less than combined single limit death or bodily injury andjo:r property damage of t1,000,000 pet occurrence. TENANT shall furnish to CITY a certificate of insurance which discloses such insurance coverage; said certification shall irc>vide that the insurer shall not alter or cancel said. policy without thirty (30) days prior written notice to CITY. (b) TENANT shall comply with all the provisions of the Worker's Compensation Insurance and Safety "Iets of the State of California, and shall indemnify, defend and hold hazndl.ess CITY from and against all claims, demands, payments, suits, actions, proceedings and judgments of every nature and description, including attorney's fees and costs, presented, brought or recovered against CITE, for or on account of any liability under any )f said acts which may be incurred by reason of any worlc to be performed by TENANT hereunder, and shall provide to CITY evidence t of said Workers' Compensation Insurance or comparab e self-insurance satisfactory to the City Attorney on CITY'S 'Form. (4) S. INDEMNIFICATIONS, DEFENSE, HOLD HARMLESS. TENANT hereby agrees to defend, indemnify and, hold haxmle-s CITY, its officers, -gents and employees from and against' any and all liability, damages, costs, losses, claims and expenses, however caused, arising from TENANT"i negligence or willful misconduct in the performance hereof. Any concurrent negligence or willful misconduct of CITY, its officers or employees shall in no way diminish TENANT'S obligations hereunder. 9. LAWS .AND REGULATIONS. TENANT shall comply with all Federal, State, County and v. CITY laws, ordinances and regulations in his use of PROPERTY and his performance hereof. 10. INDEPENDENT CONTRACTOR: TENANT is, and shall be, acting at all times in the performance hereof as an indeperdent contractor. TENANT shall. secure at its expense, and be responsible For any and. all payments of all, taxes, social security, state disability insurance compensation, unemployment compensation and other payroll deductions for TENANT and its officers, agents and employees and all business licenses, if any, in connection with this Lease Agreement. 11. ASSIGNMENT, TENANT shall not assign this Lease or any interest therein axed shall not sublet PROPERTY or any part thereof or any right or privilege appurtenant thereto without the prior written consent of CITY. Any such assignment or 4i3blettinq without: such written consent shall be void atd shall constitute a breach hereof. (5) 12. LITIGATION FEES. in the event CITY or TENANT shall commence any legal action to enforce the terms, covenants or conditions of this lease, the prevailing party of said action shall be entitled to reasonable attorney's fee s. 13 ENTIRETY. TENANT 'shall restore the property to a condition satis- factory to, CITY upon expiration of this lease. 5. RENT TENANT shall pay as rent twenty-five percent (251) of the gross receipts of the preceding; calendar month, due and payable on the 10th day of the following Month, beginning, on June 10, 1982, and ending Cctohpr 10, 1982. INSURANCE TENANT shall furnish to CITY and maintain in full force and effect, at its own cost and expense, for the term of the lease or any extension, thereof, a bodily injury liability and property damage liability insurance policy in which CITY, its officers, agents and employees are named as additional insured. TENANT shall furnish to CITY a cprtit'icate of insurance which discloses such insurance coverage as afforded to CITY and TENANT, their officers and employees, against anus and all claims arising out of or in connection with TENANT's performance of this lease.
