SUBJECT: Approve Contract between the City of Huntington Beach and General

Statement of Issue: General Learning Climates, Inc. is a professional services firm
selected to assist the Huntington Beach community create the Huntington Beach
Collaborative. A professional services contract needs to be approved by City Council.
Funding Source: The Community Development Block Grant (CDBG) administrative
account, E-HR-ED-894-3-90-00
Recommended Action:
1. Motion to approve the professional services contract between the City of Huntington
Beach and General Learning Climates, Inc. for $30,000, including the provision to
increase the contract by $10,000 given City Administrator's approval.
2. Motion to waive the professional liability insurance requirements.

Approve a contract as modified by the City Council.
Analysis: On June 2, 1997, City Council approved in concept the initiation of a Huntington
Beach Collaborative, and authorized staff to issue a request for proposals (RFP) for a
professional consultant to assist in organizing the Huntington Beach Collaborative. Mayor
Ralph Bauer and Mayor Pro-Tempore Shirley Dettloff provided the initial leadership in
encouraging the formation of this Collaborative.

Three consultants responded to the RFP and were interviewed by the selection panel
consisting of Mayor Ralph Bauer; Fran Andrade, Oak View Community Liaison; Kathy
Green, representing the Huntington Beach Community Clinic; and Carol Runzel, Economic
Development. General Learning Climates, Inc., under the direction of Dr. David Hard, was
selected as the most qualified firm to assist in this community effort.
The $30,000 contract with General Learning Climates, Inc. is for a one year period, with the
provision to increase the contract by $10,000 if approved by the City Administrator. Before
the additional $10,000 is. approved, an assessment of the progress in forming the
collaborative will be conducted. If additional assistance is warranted, then the additional
amount may be authorized.
As the Huntington Beach Collaborative is a community outreach effort to create a networking
of resources and services to organize the community, it is appropriate to expend funds from
the administrative portion of the CDBG monies. It is anticipated that the Collaborative may
assist in evaluating various strategies applicable to the CDBG program, particularly those
efforts to assist low-income persons and families.
After the contract is approved, Dr. Hartl will meet with a core group to begin discussions on
basic collaborative foundations. The core group comprises of a selection of representatives
from various fields and will meet prior to initiating meetings with a steering committee.
Attachment 3 lists those requested to serve as core group members who will assist Dr. Hartl
with information gathering and initial organizing efforts.
As the Consultant does not carry Professional Liability Insurance, as the firm is primarily
educational and facilitates group discussions, there are no foreseen risks in waiving the
Professional Liability Insurance requirement. Staff recommends that Council waives the
Professional Liability Insurance requirement.

Learning Climates, Inc.
PROFESSIONAL SERVICES CONTRACT BETWEEN
THE CITY OF HUNTINGTON BEACH AND GENERAL LEARNING
CLIMATES, INC. TO FORMULATE A COLLABORATIVE
THIS AGREEMENT, made and entered into this Jl� day of
h1a re- 7n h4eX , 1997, by and between the City of Huntington Beach, a
municipal corporation of the State of California, hereinafter referred to as "CITY", and
GENERAL LEARNING CLIMATES, INC., a California corporation, hereinafter referred to as
"CONSULTANT."
WHEREAS, CITY desires to engage the services of a consultant to formulate a
Huntington Beach Collaborative; and
Pursuant to documentation on file in the office of the City Clerk, the provisions of
HBMC Chapter 3.03 relating to procurement of professional service contracts has been
complied with; and
CONSULTANT has been selected to perform said services,
NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows:
1. WORK STATEMENT
CONSULTANT shall provide all services as described in the Request for
Proposal, and CONSULTANT's proposal dated July 14, 1997, (hereinafter referred to as
Exhibit "A"), which is attached hereto and incorporated into this Agreement by this reference.
Said services shall sometimes hereinafter be referred to as "PROJECT."
CONSULTANT hereby designates David Hard, who shall represent it and be its sole
contact and agent in all consultations with CITY during the performance of this Agreement.
2. CITY STAFF ASSISTANCE
CITY shall assign a staff coordinator to work directly with CONSULTANT in the
performance of this Agreement.

3. TIME OF PERFORMANCE
Time is of the.essence of this Agreement. The services of the CONSULTANT
are to commence as soon as practicable after the execution of this Agreement and all tasks
specified in Exhibit "A" shall be completed -no later than one (1) year from the date of this
Agreement. These -times may be extended with the written permission of the CITY. The time
for performance of the tasks identified in Exhibit "A" are generally to be shown in the Scope of
Services on the Work Program/Project Schedule. This schedule may be amended to benefit
the PROJECT if mutually agreed by the CITY and CONSULTANT.
4. COMPENSATION
In consideration of the performance of the services described herein, CITY
agrees to pay CONSULTANT a fee not to exceed Thirty Thousand Dollars ($30,000). Upon
the approval of the City Administrator the contract shall be increased by an additional Ten
Thousand Dollars ($10,000).
5. EXTRA WORK
In the event CITY requires additional services not included in Exhibit "A," or
changes in the scope of services described in Exhibit "A," CONSULTANT will undertake such
work after receiving written authorization from CITY. Additional compensation for such extra
work shall be allowed only if the prior written approval of CITY is obtained.
6. METHOD OF PAYMENT
A. CONSULTANT shall be entitled to progress payments toward the fixed .
fee set forth herein in accordance with the progress and payment schedules set forth in
Exhibit "A".
B. Delivery of work product: A copy of every technical memo and report
prepared by CONSULTANT shall be submitted to the CITY to demonstrate progress toward
completion of tasks. In the event CITY rejects or has comments on any such product, CITY

shall identify specific requirements for satisfactory completion. Any such product which has
not been formally accepted or rejected by CITY shall be deemed accepted.
C. The CONSULTANT shall submit to the CITY an invoice for each
progress payment due. Suchoinvoice shall:
1) Reference this Agreement;
2) Describe the services performed;
3) Show the total amount of the payment due;
4) Include a certification by a principal member of the
CONSULTANT's firm that the work has been performed in accordance with the
provisions of this Agreement; and

Upon submission of any such invoice, if CITY is satisfied that
CONSULTANT is making satisfactory progress toward completion of tasks. in -accordance with
this Agreement, CITY shall promptly approve the invoice, in which event payment shall be
madeWthin thirty (30) days of receipt of the invoice by CITY. Such approval shall not be
unreasonably withheld. If the CITY does not approve an invoice, CITY shall notify
CONSULTANT in writing of the reasons for non -approval, within seven (7) calendar days of
receipt of the invoice, and the schedule of performance set forth in Exhibit "A" shall be
suspended until the parties agree that past performance by CONSULTANT is in, or has been
brought into compliance, or until this Agreement is terminated as provided herein.
CONSULTANT will not retain any of its funds for political campaign or religious
contributions or for promotion of political candidates or any other political or religious purpose.
D. Any billings for extra work or additional services authorized by CITY shall
be invoiced separately to the CITY. Such invoice shall contain all of the information required

above, and in addition shall list the hours expended and hourly rate charged for such time.
Such invoices shall be approved by CITY if the work performed is in accordance with the extra
work or additional services requested, and if CITY is satisfied that the statement of hours
worked and costs incurred is accurate. - Such approval shall not be unreasonably withheld.
Any dispute between the parties concerning payment of such an invoice shall be treated as
separate and apart from the ongoing performance of the remainder of this Agreement.
7. REPORTING REQUIREMENTS.
CONSULTANT will prepare and file with the City financial reports showing in
detail the expenditures made by CONSULTANT for the programs and services identified in this
Agreement. The report will be filed with the City upon request covering the detailed
expenditures of CONSULTANT during the period of the Agreement. Subject financial reports
will be certified by CONSULTANT that all expenditures are supported by receipts, invoices,
vouchers or other appropriate documentation and that the expenditures are valid in
accordance with the terms and attachments of this contract. CONSULTANT will maintain
books, financial records and files as necessary to support its financial statements.
Representatives of the City Treasurer, the City Administrator, the U.S. Department of Housing
and Urban Development ("HUD"), and the Comptroller General of the United States will be
permitted to examine and review the records of the CONSULTANT at all reasonable times for
the purpose of ascertaining compliance with provisions of this contract and to make excerpts
and transcriptions. The examinations and reviews will be conducted during the
CONSULTANT's regular business hours in a manner which causes as little inconvenience to
the CONSULTANT as possible. CONSULTANT shall retain all records pertinent to this
Agreement for four (4) years after the termination of this Agreement.

8. BANK ACCOUNT
CONSULTANT must maintain a current commercial -type checking account with
an established commercial bank in which all funds granted under this contract are immediately
deposited intact as received and from which all payments are made covering expenses for
programs and for services outlined in the RFP and Consultant's proposal. This bank account
may be the official bank check account of CONSULTANT, provided transactions involving this
Agreement are clearly and separately designated in the bank account and its supporting books
and records. The balance in this bank account must be reconciled monthly to statements from
the bank, and reconciliation must be certified by the CONSULTANT.
9. ._ DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS
CONSULTANT agrees that all materials prepared hereunder, including all
original drawings, designs, reports, both field and office notices, calculations, maps and other
documents, shall be turned over to CITY upon termination of this Agreement or. upon
PROJECT completion, whichever shall occur first. In the event this Agreement is terminated,
said materials may be used by CITY in the completion of PROJECT or as it otherwise sees fit.
Title to -said materials shall pass to the CITY upon payment of fees determined to be earned by
CONSULTANT to the point of termination or completion of the PROJECT, whichever is
applicable. CONSULTANT shall be entitled to retain copies of all data prepared hereunder.
10. INDEMNIFICATION AND HOLD HARMLESS _
CONSULTANT shall protect, defend, indemnify and hold harmless CITY, its officers,
officials, employees and agents from and against any and all liability, loss, damage, -expenses,
costs (including without limitation costs and fees of litigation of every nature) arising out of or in
connection with the performance of this agreement or its failure to comply with any of its
obligations contained in the agreement, except such loss or damage which was caused by the
sole negligence or willful misconduct of the CITY.

11. WORKERS COMPENSATION
CONSULTANT shall comply with all of the provisions of the Workers
Compensation Insurance and Safety Acts of the State of California, the applicable provisions
of Division 4 and 5 of the Califomia Labor Code and all amendments thereto; ,and all similar
state or federal acts or laws applicable; and shall indemnify, defend and hold harmless CITY
from and against all claims, demands, payments, suits, actions, proceedings and judgments of
every nature and description, including attorney fees and costs presented, brought or
recovered against CITY, for or on account of any liability under any of said acts which may be
incurred by reason of any work to be performed by CONSULTANT under this Agreement.
12. PROFESSIONAL LIABILITY INSURANCE
CONSULTANT shall furnish a professional liability insurance policy covering the
work performed by it hereunder. Said policy shall provide coverage for CONSULTANT's
professional liability in an amount not less than $1,000,000 per occurrence and in the
aggregate. A claims made policy shall be acceptable if the policy further provides that:
1. The policy retroactive date coincides with or precedes the professional services
CONSULTANT's start of work (including subsequent policies purchased as
renewals or replacements).
2. Consultant will make every effort to maintain similar insurance during the
required extended period of coverage following project completion, including the
requirement of adding all additional insureds.
3. If insurance is terminated for any reason, Consultant agrees to purchase an
extended reporting provision of at least two (2) years to report claims arising
from work performed in connection with this Agreement.
4. The reporting of circumstances or incidents that might give rise to future claims.

13. CERTIFICATES OF INSURANCE.
Prior to commencing performance of the work hereunder, Consultant shall
.furnish to City certificates of insurance subject to approval of the City Attorney evidencing the
foregoing insurance coverages as required by this. Agreement; said certificates shall:
a. provide the name and policy number of each carrier and policy;
b. shall state that.the policy is currently in force; and
C. shall promise. that such policies shall not be suspended, voided or canceled by
either party, reduced in coverage or in limits except after thirty days prior written
notice; however, ten days prior written notice in the event of cancellation for
nonpayment of premium.
Consultant shall maintain the foregoing insurance coverages in force until the
work under this Agreement is fully completed and accepted by City.
The requirement for -carrying the foregoing insurance coverages -shall not
derogate from the provisions for indemnification of City by Consultant under the Agreement.
City or.its representative shall at all times have the right to demand the original or a copy of all
said policies of insurance. Consultant shall pay, in a prompt and timely manner, the premiums
on all insurance hereinabove required.
14. INDEPENDENT CONSULTANT
CONSULTANT is, and shall be, acting at all times in the performance of this
Agreement as an independent CONSULTANT. CONSULTANT shall secure at its expense,
and be responsible for any and all payment of all taxes, social security, state disability
insurance compensation, unemployment compensation and other payroll deductions for
CONSULTANT and its officers, agents and employees and all business licenses, if any, in
connection with the services to be performed hereunder.

15. TERMINATION OF AGREEMENT/LEGAL REMEDIES

notice.- In addition to the above, in the event that CONSULTANT violates any provision of this
contract or applicable federal regulations, CITY may (1) temporarily withhold cash payments to
CONSULTANT pending correction -of such violation; (2) disallow all or any portion of the cost
of the activity or action found not in compliance; (3) immediately terminate this contract; or (4)
invoke all other legally available remedies. Upon the termination of this contract, in the event
any funds paid by the CITY to CONSULTANT have not been used, the unused portion will be
returned by CONSULTANT to the CITY within twenty (20) days following the termination or
expiration of this contract. In the event that CITY finds that CONSULTANT has expended
funds in.violation of this Agreement or applicable federal regulations, CONSULTANT shall
repay to CITY such funds within ten;(10) days of termination of this Agreement. In the event
that such funds are not repaid within this time period, CITY may invoke all applicable legal
remedies in order to obtain such repayment.
16. ASSIGNMENT AND SUBCONTRACTING
This Agreement is a personal service contract and the supervisory work
hereunder shall not be delegated by CONSULTANT to any other person or entity without the
consent of CITY.
17. COPYRIGHTS/PATENTS
CITY shall own all rights to any patent or copyright on any.work, item or material
produced as a result of this Agreement. CONSULTANT is aware that CITY shall comply with
HUD regulations at 24 C.F.R. 85.34 by which by which the CITY and HUD reserve a royalty -
free, nonexclusive, and irrevocable license to reproduce, publish or otherwise use, and to

authorize others to use, for Federal Government or CITY purposes: the copyright in any work
developed under CITY's grant to CONSULTANT; any rights of copyright to which the
CONSULTANT purchases ownership with funds given to CONSULTANT by the CITY. The
CITY shall similarly retain the aforementioned rights to any data or patent developed by
CONSULTANT in performance of this Agreement.
18. CITY EMPLOYEES AND OFFICIALS
CONSULTANT shall employ no CITY official nor any regular CITY employee in
the work performed pursuant to this Agreement. No officer or employee of CITY shall have
any financial interest in this Agreement in violation of the applicable provisions of the Califomia
Govemment Code.
19. NOTICES
Any notice or special instructions required to be given in writing under this
Agreement shall be given either by personal delivery to CONSULTANT's agent (as designated
in Section 1 hereinabove) or to CITY's Director of Economic Development as the situation shall
warrant, -or by enclosing the same in a sealed envelope, postage prepaid, and depositing the
same in the United States Postal Service, addressed as follows:

CONSULTANT shall be responsible for full compliance with the immigration and
naturalization laws of the United States and shall, in particular, comply with the provisions of
the United States Code regarding employment verification.

21. LEGAL SERVICES SUBCONTRACTING PROHIBITED
CONSULTANT and CITY agree that CITY is not liable for payment of any
subCONSULTANT work involving legal services, and that such legal services are expressly
outside -the scope of services contemplated hereunder. CONSULTANT understands that
pursuant to Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal
counsel for CITY; and CITY shall not be liable for payment of any legal services expenses
incurred by CONSULTANT.
22. ATTORNEY'S FEES
In the event suit is brought by either party to enforce the terms and provisions of
this agreement or to secure the performance hereof, each party shall bear its own attorney's
fees.
23. FAIR EMPLOYMENT PRACTICES/EQUAL OPPORTUNITY ACTS
In the performance of this Agreement, CONSULTANT shall comply with all
applicable provisions of the California Fair Employment Practices Act (California Govemment
Code §12940, et seq.) and the applicable equal employment provisions of the Civil Rights Act
of 1964 (U.S.C. 2000e, et seq.).
The CONSULTANT certifies and agrees that he will not discriminate against any
person in the provision of any service or activity or in any program funded in whole or in part by
the CITY because of race, color, religion, national origin, ancestry, sex, age or handicap,
except where such exclusion is a bona fide service, activity or programmatic necessity.
The CONSULTANT further agrees to treat recipients and participants of the
services, activities or programs on an equal basis.
CONSULTANT will comply with the provisions of the Huntington Beach
Municipal Code, and further agrees to comply with all applicable state, federal and local

regulations, including, but not limited to, those federal regulations pertaining to the use of
community development block grant funds.
24. ENTIRETY
The foregoing, and Exhibit "A": attached hereto, set forth the entire Agreement
between the parties.

CONSULTING SERVICES
General Learning Climates, Inc., shall provide professional services to assist the
Huntington Beach community formulate a Huntington Beach Collaborative. Activities
will include:
1. Facilitate core group, steering committee, and/or larger community meetings
2. Assist in the development of a mission, vision and goals for the Collaborative
3. Identify and guide the Collaborative in identifying its organizational structure
4. Provide summarized meeting notes
5. Identify resources for grants
6. Develop a strategy (written document) that will serve as a guide to continue
the Collaborative.
FEES
Professional Fees for Consulting Services (exclusive -of travel time) not to exceed
$30,000:

CITY SUPPORT
City support to the Huntington Beach Collaborative for this contract period shall include
the following:
1. Staff liaison support through the Community Services Department and the

purpose of bulk mailings
4. Postage for mailings
5. Reproduction services.

DR. DAVID E. HARTL
♦ David Hard is President of General Learning
Climates, Inc., a consulting, education, training, and
research firm headquartered in Tustin, California. For
more than a decade the firm has been dedicated to
creating organizational climates conducive to learning
and change. The firm helps organizations, executives,
and managers improve bottom -line effectiveness through
executive consultation, management education,
supervisory training, comprehensive training
program development, organizational surveys and
research, restructuring design, change management,
total quality initiatives, team building, stress
management, leadership development, managing
technology infusion, conflict resolution,
organizational diversity, and other strategies. He also
provides conference/meeting designs and facilitation
services for involving people in policy analysis,
decision -search, program development, consensus
building, and alignment with common goals.
♦ Dr. Hard has more than 30 years experience as a line
manager, department head, executive, teacher,
consultant, researcher, trainer, and speaker. He has
earned a distinguished national and international
reputation through hundreds of successful consulting
relationships with organizations in California,
throughout the United States, and in the Middle East and
the Far East. Corporate clients have included Chevrolet
Motor Division, Saturn Corporation, Hughes Aircraft,
IBM, Polaroid, Allergan Pharmaceuticals, Coca Cola
Foods, World Citrus West, Taco Bell, Silicon Systems
International, Smartflex Systems, Syntex Animal Health,
Western Digital Corporation, and others. Government
clients have included the cities of Boston, New York, Los
Angeles, San Diego, Santa Ana, Irvine, Beverly Hills,
Orange, San Juan Capistrano; Counties of Los Angeles,
Orange, Riverside, and San Bernardino; the State of
California, Commonwealth of Massachusetts; the U.S.
Marine Corps, National Institute of Mental Health; the
Governments of Bahrain, Hong Kong, and Singapore,
and others. Health care clients have included FHP
HMO, Kaiser Permanente HMO, UCI-Orange County

♦ Since 1965, Dr. Hard has taught at the graduate level
in management, organization dynamics and leadership,
adult education, organization development, and the
consulting process. His academic association with USC
began in 1976 where he currently teaches in the graduate
program of public administration. He formerly served as
director of the USC Center for Training and
Development, and chair of the organization behavior
department. He is also a member of the Associated
Faculty in the Graduate School of Management, UCI.
Previously he taught at Boston University and The Johns
Hopkins University.
♦ Hard is the author of more than 100 articles, book
chapters, monographs, research reports, and papers in the
fields of adult education, training, planned organizational
change, leadership, management, team building, stress
management, and psychological and temperament type
in organizations. He is currently preparing a book
manuscript on effective organizational performance.
♦ Hard holds a doctorate in adult education and social
psychology awarded by Boston University in 1974. He
is professionally certified in the use of the Myers -Briggs
Type Indicator and other psychological instruments.
♦ Dr. Hard is a professional member of the American
Management Association, national member of the
American Society for Training and Development and
past president of the ASTD Orange County Chapter,
national member of the Organization Development
Network and a Founder and first Coordinator of the
Orange County OD Network, member of the American
Society for Public Administration, life member of the
Association for Psychological Type, and member of the
World Future Society. He has been a presenter at the
local and/or national conferences of all of these
professional associations. Achievements and other

General Learning Climates agreed to scale down their work to a $30,000

$10,000 given the City Administrator's approval. This provision is included
in the contract and is to be considered by City Council.
