Council-appointed boards and committees was sent to Council on June 4, 1979 (RCA 79-54 ) , we noted that 'the Equal Employment Opportunity Board was not included and requested Council direction as to whether that board should be continued. Council did not' direct its inclusion in the other ordinance '.(No. 2385) ,which ,was approved. Thus, the Equal Employment Opportunity Board will be t nated July 18, 1979• ROBE C . SAN Deputy City Attorney RCS: lm RESOLUTION NO. 3973 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF HUNTINGTON BEACH ESTABLISHING THE HUNTINGTON BEACH EQUAL EMPLOYMENT OPPORTUNITY COMMISSION WHEREAS, the City Council of the City, of Huntington Beach recognizes the importance of equal employment opportunity with regard to the proper functioning of city government and the well-being of the citizens of Huntington Beach; and The City desires to establish an Equal Employment Opportunity Commission to assist the City in the promotion of equal employment opportunity within Huntington Beach, NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Huntington Beach as follows : SECTION 1. EQUAL_ EMPLOYMENT OPPORTUNITY COMMISSION. There is hereby created for the City of Huntington Beach the Huntington Beach Equal Employment Opportunity Commission, hereinafter referred to as the "Equal Employment Opportunity Commission. " SECTION 2 . COMPOSITION AND APPOINTMENT OF MEMBERS . The Equal Employment Opportunity Commission shall consist of five (5) members who must be residents of the City of Huntington Beach and must continue to reside in the City in order to continue such membership. The City Council has the option to change members at any time or to renew their appointments by motion of the City Council, adopted by the affirmative votes of the total membership thereof. The members of the Commission shall serve for terms of four years , except that the initial terms shall include two members with two-year terms for the first term only so that the terms shall be staggered thereafter. The initial two-year terms shall expire November 1, 1976; the four-year terms , November 1, 1978 . All members shall serve without compensation and none shall hold any office or employment in the City government . SECTION 3. REMOVAL OF MEMBERS. Any member of the Equal /k 1 . the Equal Employment Opportunity Commission shall be vacated if such member absents himself from three (3) consecutive regular meetings of the Equal Employment Opportunity Commission, unless by permission of such Commission, or ceases to continue to comply with the requirements of new members as to residence . SECTION 4 . BYLAWS. The Equal Employment Opportunity Com- mission may adopt bylaws and rules , as it deems necessary for the selection of its officers, the time and place of its meetings, and such other matters relative to its work and administration of its duties which are not otherwise provided for by -this , resolution. SECTION 5 . PURPOSE OF THE COMMISSION. The Equal Employment Opportunity Commission may advise the Council and communicate with employers in regard to fair employment practices , strengthening personnel procedures , and developing affirmative action programs . Name and Boundaries 1 . 1 The name of this Commission shall be the Equal Employment Opportunity Commission . 1 . 2 The area served by the HBEEOC shall be designated as the City of Huntington Beach. ARTICLE II 2 . 0 Objectives 2 . 1 The Equal Employment Opportunity Commission is a public advisory commission established to communicate with employers and the public in regard to fair employment practices , affirmative action programs , and to educate employers and the public regarding the application of these laws . ARTICLE III 3 . 0 Members 3 . 1 Eligibility 3 ..1 . 1 The Equal Employment Opportunity Commission shall consist of five (5 ) members who must be residents of the City of Huntington Beach and must continue to reside in the city in order to continue such membership . 3 . 1 . 2 Individuals seeking membership on the Commission shall subscribe to and .support the objectives of. the Commission , shall be familiar with and interested in the problems of Equal Employment Opportunity and Affirmative Action . 3 . 2 Membership 3 . 2 . 1 The members of the Commission shall serve for terms of four years , except that the initial terms shall include two members with two year terms . The initial two year terms shall expire November 1 , 1976 ; the four year terms , November 1 , 1978 . ( 3 . 3 Removal of Members 3 . 3 . 1 Any member of the Equal Employment Opportunity Commission , including the chairman , shall be subject -to removal by motion of the City Council , adopted by at least four (4 ) affirmative votes . 3 . 3 . 2 The seat of any member of the Equal Employment Opportunity Commission shall be vacated if such member absents himself from three ( 3 ) consecutive. regular meetings of the Equal Employment Opportunity Commission , unless by permission of such Commission , or ceases -to continue to comply with the requirements of new members as to residence . 3 . 4 Resignation from Membership 3 . 4 . 1 Any member of the Commission may resign from same by filing written notice with the current chairperson . 3 . 5 Vacancy on Commission 3 . 5 . 1. If vacancies shall occur otherwise than by expiration of terms , they shall be filled by appointment for the unexpired portion of the terms . 3 . 5 . 2 The Commission may also recommend one or more candidates to -the City Council for filling the unexpired term of any vacancy created by resignation or other reasons . 3 . 5 . 3 At the expiration of each term of service , a member may apply to the Council for re-appointment to the Commission . 3 . 5 . 4 The Commission may recommend to -the City Council that a member be removed from the Equal Employment Oppor- tunity Commission for. just cause . ARTICLE IV 0 Meet:i.ngs �i . .1 Regular Meetings 4 . 1 . 1 The Equal Employment Opportunity Commission shall meet regularly as agreed upon by quorum of commission members . 14 . 1 . 2 The majority vote of commission members is required for additional special meetings as necessary. The chairperson shall also be able to call special meetings . -2- . 3 All meetings of -the Equal Employment Opportunity Commission shall be open and public . 4 . 1 . 4 A regular meeting may be adjourned to a date certain which shall be specified in the order of adjournment ; and , when so adjourned , shall be a regular meeting for all purposes . 4 . 2 Conduct of Meetings 4 . 2 . 1 Names of the members present and absent shall be entered into the minutes . 4 . 2 . 2 A quorum shall consist of a simple majority of the current membership of -the EEOC. Less than a quorum present may adjourn any meeting. A quorum must be present to conduct meetings . 4 . 2 . 3 Each member of the EEOC shall have one vote . No proxy votes will be counted. The election of officers shall be by secret ballot , all other votes shall be by voice . A roll call vote may be requested by any member. 4 . 2 . 4 . The rules ' contained in Robert ' s Rules of Order (latest edition ) shall govern the EEOC in all cases to which they are applicable , and in which they are not inconsistent with the By-laws or standing rules . ARTICLE V 5 . 0 Standing Rules 5 . 1 The EEOC may adopt Standing Rules covering meeting times , conduct of business , communications , and any other matters which do not conflict with these By-laws . . 5 . 2 Any resolution or ordinance of the City. Council which is in conflict with these By-laws shall be considered an automatic amendment of the By-Laws to incorporate such resolution or ordinance . ARTICLE VI 6 . 0 Officers 6 . 1 The officers of the Equal Employment Opportunity Commission shall be the Chairperson and Vice Chairperson.. Officers shall be elected by majority vote at the first general meeting in November , and shall take office on December 1 for a one year term. -3- G . 2 No person shall occupy the same elected office for more than two consecutive terms . G . 3 Election of officers shall be by secret ballot . 6 . 4 A majority vote ,is necessary to remove any officer . ARTICLE VII 7 . 0 Duties of Officers 7 .1 Chairperson : The duties of the chairperson will include but not be limited to : Presiding at the EEOC meetings , calling special meetings , being the EEOC spokesperson at public meetings other than the EEOC meetings , making reports to the City Council as needed. When necessary the chairperson may delegate these duties to another EEOC member . 7 . 2 Vice-Chairperson : The duties of the Vice-Chairperson will be to : aid and assist the Chairperson , assume the duties of the Chairperson in the absence of the Chairperson or when otherwise delegated , . act as Parliamentarian , and ensure that the By-Laws and standing rules are conformed to . ARTICLE VIII 8 . 0 Committees 8 . 1 Committee members shall come from EEOC membership . 8 . 2 Special committees may be created by the Commission or Chairperson as needed and shall disband after completing their task . A majority vote of the Commission may also authorize special committees . 8 . 3 Representatives of the community should be permitted and encouraged to participate in the committee activities , but shall have no vote in the committee . 8 . 4 Standing committees may be created by the Commission or by the Chairperson . Chairperson shall determine the number and size , and the assignments of the committees as required to conduct business . All determinations of chairperson are subject to majority . approval of EEOC members . 8 . 5 Any committee may appoint . such advisors as deemed necessary by the committee and approved by the EEOC general membership . 8 . 6 Multiple committee memberships will. be allowed . -4- y� n R T IC 1,1-: I X 9 . 0 Amendment of By-Laws 9 . 1 These By-Laws may be amended or repealed and new By-Laws adopted by the vote of a majority of a quorum of the voting members of the Commission at any Commission meeting , subject to 14 days prior notice in writing. ARTICLE X in . 0 General Provisions 10 . 1 No member-of the Commission shall vote on any matter in which h has a conflict of interest . -5-
