CONSTITUTION AND BY-LAWS
OF
HUNTINGTON BEACH POLICE OFFICERS ASSOCIATION
INCORPORATED APRIL 21, 1964
CORPORATION NO. I-18129
CONSTITUTION
PREAMBLE
We the members of the Huntington Beach Police Officers Association,
recognizing that our objectives and purposes can be best accomplished by -
cooperative action and can best be served by concerted efforts; do hereby
adopt the following Constitution and. By-Laws:
ARTICLE I

SECTION I: The name of this organization shall be known as the Huntington
Beach Police Officer Association.
ARTICLE II
OBJECTIVES
SECTION I: The objectives and purposes of this organization shall be to
promote a closer bond of fraternity for mutual protection; to
encourage and improve professionalization; to promote charity;
to further efficiency within the ranks of the department; and
to maintain and improve the working conditions, pay, pension
benefits and job tenure of the members of the department.
SECTION 2: Membership in this organization does not effect a member's
duties or responsibilities to the service. Rank does not
exist in this organization.
SECTION 3: This organization shall be absolutely non-political and shall
not be used .for dissemination of partisan principles or for the
promotion of the candidacy of any person seeking public office or
preferment.

ARTICLE III
MEMBERSHIP
SECTION I: Qualification for Membership
Membership in this Association shall be confined to sworn
y officers of the Police Department who are peace officers as
defined in the California Penal Code Section 830, and all
retired peace officers who wish membership. Dues of honorably
retired members will be absorbed by the association.
SECTION 2: Vestment of Authority
The power to carry out Association objectives, shall be vested
in its membership, through a Board of Directors, consisting of
the President; Vice President; Secretary; Treasurer; and five
(5) Directors; of whom the President, Vice President, Secretary,
and the Treasurer, together with the other Directors, shall con-
stitute the Board of Directors of the Association.
SECTION 3: Associate Membership
Associate membership to the Huntington Beach Police Officers
Association is restricted to those associate members presently
holding such positions. On date of adoption of these by-laws,
no further associate memberships shall be appointed. Current
associate members shall be deleted by normal attrition. Re-
tiring associate members are not entitled for continuing member-
ship.
Associate members shall enjoy the same benefit and privileges
as other members with the following exceptions;
A. Associate members shall not have the right to vote in
any and all matters pertaining to the Association.
B. No associate member shall be allowed to make or entertain a
motion or resolution from the floor at any association meet-
ing, but may join in any discussion on the floor concerning
any motion or .resolution.
C. Associate members shall not be members of the Board of
Directors.
SECTION 4: Termination of Membership .
Membership in this Association shall terminate by the removal from
or resignation from office of the member, or by his death. Non-
payment of dues for a period of forty-five (45) days after the date
upon which the dues become payable shall result in a suspension of
rights of membership as such suspended member shall forfeit all
rights as a member.

SECTION 5: Reinstatement
Any member, active or retired, whose membership has been terminated
by reason of his non-payment of dues, may be reinstated upon paying
a year's dues in advance and any other penalty which the Board of
Directors may direct.
SECTION 6:. In the event a member shall become incapacitated and unable to per-
form his duties by reason of illness or injury, and during such period
of his incapacity his dues should become delinquent, such delinquency
shall not alter his status as a member. After returning to duty from
such an absence, the member shall be allowed six (6) months to make
up the amount of dues which have become delinquent.
SECTION 7: Termination Nullifies Claim for Refund of Dues
Whenever any member shall have terminated his membership in this
Association by any of the methods herein provided, such member or
anyone claiming under him shall have no claims whatever upon any
fees, dues or contributions which he may have made or paid to this
Association at any time.
SECTION 8: Sick Leave
Any member of this Association .in good standing who is on "sick `
leave" shall remain a member in good standing in this Association
as long as he pays his dues as required.
SECTION 9: Leave of Absence for Military Service
Any member of this Association in good standing who should enter
the Armed Forces of the United States, and who, by reason thereof
shall upon his discharge therefrom, shall not lose his membership
in this Association while serving in such Armed Forces, but the
rights to any benefits occuring to such member by reason of his
membership in this Association shall be suspended while such member
is serving in the Armed Forces, but shall be restored immediately
upon his reinstatement in the Huntington Beach Police Department.
ARTICLE IV
DUES
SECTION Ii Dues, Fees, Assessments
Membership dues of this Association shall be Twenty Four Dollars
($24.00) per fiscal year, which amount is due and payable on January
l,, or pro-rated depending on the anniversary date of members per-
manent employment.

SECTION 2: Dues Payroll Deduction
An alternate method of paying dues is provided through payroll
deduction incorporated with the PORAC insurance program.
ARTICLE V
OFFICERS
SECTION I: Powers and Duties and Officers Defined
The officers of this Association shall Vp a President, Vice
President, Secretary, Treasurer and five (5) board members. The
total number of directors shall be nine (9) from whom the President
and Vice President shall be elected by the directors and each 'of
them shall hold office for a term of two (2) years or until their
successors have been duly elected and qualified.
SECTION 2: Qualification of Officers and Candidates
No member may be a candidate for office who is not in good standing,
no officer may continue in office or do or perform, the duties, or
exercise the powers of any office, who is not in good standing.
Twenty five percent (25%) of the Board of Directors may be rated
personnel.
SECTION 3: Officers to Serve Without Compensation
Each of the officers, members of the Board of Directors, and
members of committees and sub-committees shall serve without
compensation.
SECTION 4: President and Vice-President - Powers and Duties
The President, and in his absence, inability or refusal to act, the
Vice-President, shall call and preside at all meetings, appoint
committees, and shall have, subject to the control of the Board of
Directors, the general management and direction of the affairs of
this Association, and shall perform such duties.as maybe consistant
with his office.
SECTION 5: President Pro Tem
If at any time the President, and/or the Vice-President shall refuse
or shall be unable, or disqualified to act, the Board of Directors
shall appoint some other member of the Board to do so, in whom shall
be vested for the time being all duties, powers, and functions of
such office.

SECTION 6: Treasurer - Powers and Duties
The treasurer shall receive all funds of this Association and shall
disperse such funds under the direction of the Board of Directors
and shall keep an accounting o< all receipts and disbursements of the
funds of this Association. In case of his absence, inability, refusal
or neglect to do or perfrom any of the duties of his office, such
duties will be performed by the Director who is so appointed by the
President or Board of Directors.
SECTION 7: Secretary - Duties
The Secretary shall keep a record of all the proceedings of the Board
of Directors and' of all general and special meetings and every other
record made under or required by the provisions of the By-Laws of the
Association, and receive and file all correspondence and other papers,
and he or she shall serve, issue and publish all notices required to
be given, prepare all ballots under the direction of -the Board of
Directors; receive all applications for membership; prepare all certi-
ficates or records required to be prepared and keep a complete record
thereof. He or she shall also perform such other duties as may be
related to his office or as may be directed by the President or the
Board of Directors. In case of his absence, inability, refusal or
neglect to do or perform any of his duties of his office, such duties
may be performed by any person directed to do so by the President or
Board of Directors.
ARTICLE VI
PROCEDURE
SECTION I: "Roberts Rules of Order" shall 'govern the conduct of all meetings
except as may be otherwise provided in this ConstLtution and By-Laws.
SECTION 2: The order of business shall be:
1. Roll call of officers.
2. Reading of the minutes of the previous meeting.
3. Communications and bills.
4. Report of the Treasurer.
5. Reports of the standing committees.
6. Reports of special committees.
7. Unfinished business.
8. New business.
9. Good and welfare of the Association.

SECTION 3: General Meetings
Regular meetings of the Board of Directors of this Association shall
be held at least monthly or at any other time so designated by the
President. For the purpose of holding meetings. a majority of Directors
shall constitute a quorum sufficient for the transaction of any busi-
ness which may regularly and properly be brought before it.
SECTION 4: Majority Not Less Than Four (4) to Pass onQuestion
No question or proposal, proposition, affair, or transaction which may
be wholly and within the jurisdiction of the Board of Directors to
decide shall be so decided except upon a majority vote of the Members
of the Board of Directors present at the time such matter is presented,
provided that such majority shall in no event be less than four (4)
in number even though a quorum be present.
SECTION 5: President Officer Not to Vote - Exceptions:
The Presiding officer shall not vote on any question before the Board
at any meeting, which has been duly presented to and is therefore
before the Board for consideration, except when his vote is necessary
to overcome a deadlock or tie vote of the Board of Directors or when
this vote shall be necessary to constitute the necessary minimum major-
ity of four (4) votes as prescribed in Section 2 of this Article.
SECTION 6: Special Meetings - By Call or Initiative
Special meetings may be called by the President at hi's discretion or,
in his absence or inability to act, by the Vice-President, or any four
(4) Directors; or when such meeting is requested in writing by a
majority of the members in good standing of the Association. The
President must, or in his absence or inability to act any other officer
of the Association shall call such meeting within fifteen (15) days
after the filing of such initiative petition. Petitions requesting suc:
meetings shall state fully in clear and concise language the matter
or proposition for which such meeting is requested to be called.
.Notice of such Special Meetings shall be given by posting on the
Association Bulletin Board located in the Police Department. Such
notices shall state the proposition for which the meeting is being
called and in clear and concise language shall outline the proposi-
tion or matter to be decided. At such Special Meetings a majority of
those present shall constitute a quorum sufficient for the transaction
of the business for which such special meetings are called; provided
however, that a majority vote of all members present shall decide any
questions or matters, propositions or affairs properly brought before
it. The general membership should b& notified of decision made.

ARTICLE VII
OFFICERS
APPOINTMENT, NOMINATION, ELECTIONS, .
REMOVAL FROM OFFICE OR RECALL
SECTION I: Generally
In the event that any permanent vacancy shall occur in any office,
the same shall be filled by appointment made by the President with
the consent and approval- of the majority of the remaining members
of the Board of Directors. Such appointee shall hold office until
his successor has been duly elected at the next regular election
of officers, following the date of such appointment, and qualified.
In the event of any temporary vacancy occurring in any office which
vacancy may continue for a period of two (2) months or more, such
vacancy may temporarily be occupied by any member appointed by the
President with the consent and approval of the remaining members of
the Board. Such appointee shall hold office only during the absence
of the duly elected officer.
SECTION 2: Election of Officers
Election of officers shall be held bi-annually during the month of
June, and officers duly elected and qualified shall take office and
assume the duties and functions thereof at the regular meeting in
``�`✓✓ July or at a special meeting called for the purpose of installing
officers.
SECTION 3: Preparation of Ballots
After the nominations (as prescribed in Section 2, above) , the
Secretary shall cause 'the ballot to be prepared by May 25th of
election year. The nominated members will be placed in alphabetical
order on the ballot.
SECTION 4: Balloting
In voting, each member shall mark the names of the persons for whom
he wishes to vote for Director, in the spaces provided on such ballots.
All ballots will be placed in a ballot box provided at the Police De-
partment.
Elections begin between May 251h through June loth of election year.
SECTION 5: Canvassing Committee
The President shall appoint a Canvassing Committee consisting of not
more than five (5) or less than three (3) members, no member of
which .shall be an officer of the Association. The ballot box shall
be delivered by the Secretary to the Canvassing Committee who will

be charged with the responsibility of counting the ballots. The
jballots after they have been counted, shall be retained by the
' Secretary for two (2) weeks, during which time they may be inspec-
ted by any member desiring to inspect same.. Said ballots will be
i destroyed by the Secretary after this two (2) week period.
SECTION 6: Election Results

The persons receiving the plurality vote will be the duly elected
officers to fill the vacancies on the Board of Directors for the
following two (2) years. The results of this election shall be
posted on the Association Bulletin Board'.

SECTION 7: Removal and Recall of Officers
Any officer of this Association may be recalled or removed therefrom
for willfull neglect of performance of his duties in relation to this
Association of for the commission of any acts inimitable to the wel-
fare of this Association.

Provided, however, that whenever such officer is to be removed he
? Q shall be served with a copy of the notice of his suspension pending
hearing on the charges forming the basis of his contemplated removal. '
Such charges'must be set forth in clear and concise language signed
by the President upon the direction of the majority of the Board of
Directors. Provided, further, however, that if the officer against
whom charges are pending should be the President, then such charges
may be signed by the Vice-Pres.ident or any other officer directed to
do so by the said Board.
The officer charged shall have the right to a full, fair and impartial
hearing before the Board of Directors concerning the charges, the
said Board shall submit a copy of the charges together with a copy
of their findings to the members and shall call a special recall elec-
tion not less than thirty (30) nor more than sixty (60) days from the
original date of suspension. If two-thirds of the members voting
shall vote for his removal from office the said Board of Directors
shall thereupon declare such office vacant.
Provided, further, however, that if a petition requesting the removal
of any officer be signed by more than Thirty percent (30%) of the
membership of the Association and filed with the Secretary, the Board
of Directors shall temporarily suspend such officer pending results
of special recall election and shall immediately thereafter designate
the date for such recall election and shall submit the charges as
contained in such petition to the members.

SECTION 7: Removal and Recall of Officers (continued)
If two-thirds of the members voting thereon shall vote for his
recall or removal, the Board of Directors shall declare such
office vacant.
In any case where written charges are submitted to the membership
the accused officer shall have the right to answer in defense or
mitigation of the nature or gravity of the offense charged, together
wick such charges.
ARTICLE VIII
AMENDMENTS AND REPEALS
SECTION I: Requirements - Definition of Words
Words used in this Constitution and By-Laws in the present tense
include the future as well as the present. Words used in the
masculine gender shall include the female or feminine gender as
well as the masculine. Words used in the singular shall include
the plural and words used in the plural shall include the singular.
The use of the words "association" and "corporation" herein shall
be synonymous.
SECTION 2: Amendments
This Association may from time to time make additional By-Laws or
revise, amend, or repeal the By-Laws or any part thereof by affirma-
tive vote of two-thirds of the total votes cast, of the membership.
Amendments, additions or repeals may be proposed by the Board of
Directors or by an initiative petition signed by Thirty percent
(30%) of the members. Whenever the Board of Directors shall adopt
a proposed amendment or a resolution for any addition or repeal, or
when an initiative petition therefore signed by Thirty percent
(30%) of the membership shall be filed with the Secretary, the
Secretary shall post copies thereof for a period of two (2) weeks.
Such postings to consist of the posting of a copy on the Association
Bulletin Board. At the expiration of two (2) weeks, ballots upon
such an amendment, shall be cast in the manner. provided for election
of officers.

SECTION 3: These By-Laws Effective When Approved
RATIFICATION
These By-Laws shall be in full force and effect immediately .
upon'adoption and shall supersede and render null and void
any existing Constitution and By-Laws of the Association.
ARTICLE IX
CONTROL AND EXPENDITURE OF FUNDS
SECTION I: Division of Funds
All monies received into this association shall be divided into
two funds: Death Benefit and Emergency Relief Fund; General Fund.
(a) Exception - Any monies donated to this Association for an
explicit purpose shall be disbursed by the Board
of Directors for that purpose.
SECTION 2: Death Benefit and Emergency Relief Fund
Monies for a Death Benefit and Emergency Relief Fund shall be
maintained in the amount of Five Thousand Dollars ($5,000.00)
when such funds are available.
A. Death Benefit:
A sum of Two Hundred and Fifty Dollars ($250.00) will
be paid immediately upon the death of any member to
his or .her beneficiary. In any case where a beneficiary
is not named by the deceased member, the, Board of Directors
shall select a beneficiary.
B. Emergency Relief:
Emergency relief may, at the discretion of the Board of
Directors, be allotted to members when the need may arise.
Due to the numerous types of emergencies that may exist,
emergency shall not be defined but left to _ the discretion
of the Board of Directors.
(a) Emergency relief shall be given in the following manner:
1. The sum of Two Hundred Dollars (200.00) may be
loaned to a member without interest and repaid
in a manner and time set forth at the time of such
loan.
Note, A majority of four (4) votes of the. Board of
Directors will be required under this clause.

SECTION 2: Death Benefit and Emergency Relief Fund (continued)
B. - (a) - 2. A maximum sum of Five Hundred Dollars ($500.00)
may be loaned to a member without interest and
repaid in a manner and time set forth at the time
of such loan.
Note* A unanimous vote of the Board of Directors
shall be required under this clause.
3. The sum of One Hundred Dollars ($100.00) may be
given to any member and be given without re-payment.
Note* A unanimous vote of the Board of Directors
shall be required under this clause.
SECTION 3: General Fund
A General Fund shall be established and shall consist of all monies
not otherwise designated. These funds may be used for the below
listed purposes:
A. The purchase and maintenance of materials and properties,
fees and other costs deemed necessary for "the operation of
this Association, including the Huntington Beach Police
Officers Association's Range and Facilities.
B. The promotion of goodwill and understanding with the general
public.
C. Dues and all other costs involved in maintaining membership
in organizations approved of by this Association.
D. Donations to charity.
�t E. Donations to person(s) in need, not members of this
Association.
F. Investment of funds to be used for the purposes as outlined
in this article.
G. To provide-recreation for members.
H. Awards to members when appropriate.
Note%', Sub-section E of the above shall require a unanimous vote
of the Board of Directors. All others shall pass on a
majority vote of four (4) .

SECTION 4: Control of Funds
The Board of Directors of this Association shall, subject to
terms, conditions, and provisions in these By-Laws, have the
full custody, control and management of all funds received or
disbursed by or for this Association.
SECTION 5: Deposit and Withdrawal of Funds
The funds of this Association shall without delay after its
receipt, be deposited in any bank, banks or like institutions
which are members of the Federal Reserve System and designated
by the Board of Directors as the depository for such funds.
Withdrawals therefrom for anh of the purposes of this Association
may be made only upon an authorization by the President and the
Treasurer except that in the basence and/or inability to act of
the President and/or the Treasurer the Vice-President is authorized
to sign.
In no case can withdrawals be made with less than two valid
signatures.

-Gentlemen:
The Huntington Beach Police Officers Association, a California
corporation, hereby petitions the City of Huntington Beach, to
recognize this association as the bargaining agency, on behalf
of the police officers of.the City of Huntington Beach, in resolving
disputes regarding wages, hours, and other terms and conditions
of employment, in accordance with and.under the authority of Sections
3500 through 3511 of the Government Code of the State of California.
In accordance with Resolution No, 2468 of the City of Huntington
Beach, passed on November 7, 1966, the Huntington Beach Police
Officers Association hereby.furnishes to the City of Huntington
Beach the following information and documentation:
(1) The name and address of the organization is as follows:

(2) The Huntington Beach Police Officers Association is affiliated
with the Peace Officers Research Association of the State.of
California (P,O R.A.C,), a state-wide association composed of
peace officers .through their individual associations. The address
of P O.R,A,C` `.is P.O, Box 536,. Stockton, California.
(3) The present officers of the Huntington Beach Police Officers
Association is as follows:

Vice-President Edward Pratt
Treasurer Jack L. Welsh
Secretary James Howe
(4) The Huntington Beach Police Officers Association represents
all sworn police officers employed by the City of Huntington Beach
in accordance with the Articles of Incorporation and By-Laws of
said association. The association at the present time has a
membership consisting of all police officers presently employed
by the City of Huntington Beach, a list of wlich personnel is
maintained by the City .of Huntington Beach.
That all members of this association are-employed by the Police
Department of the City of Huntington Beach. That.the governing
Board of Directors of the association is as follows:

(5) . Attached hereto and incorporated herein is a copy of the
Articles of Incorporation filed by the Huntington Beach Police
Officers Association with the Secretary of State on April- 21, 1964,
together with a copy of the Constitution and By-Laws as amended
by Resolution and vote of the membership adopted August 14, 1969.
That Section I of the Constitution and By-Laws provides as follows:
"The objectives and purposes of this organization
shall be to promote a closer bond of fraternity for
mutual protection; to encourage.and improve
professionalization; to promote charity; to further
efficiency within the ranks of the department; and
to maintain and.improve the working conditions, pay,
pension benefits and job tenure of the members of
the department. "
(6) The Huntington Beach Police Officers Association hereby
appoints the three following individuals to whom notices may be.
sent by regular -United States mail on behalf of the association:

(7) The Huntington Beach Police Officers Association hereby
acknowledges receipt of a copy of Resolution No. 2468 passed by
the City of Huntington Beach on November 21,. 1966, and agrees to
abide by the rules and regulations as set forth therein, insofar as
no conflict occurs in accordance with Section 3508 of the Government
Code'of the State of California.
(8) The Huntington Beach.Police Officers Association recognizes
that Section 3509 provides that the enactment of this chapter does not
make Section 923 of the Labor Code of 1M State of California applicable
to the employees of the City of Huntington Beach.
(9) The Huntington Beach Police Officers Association has no
restriction on its membership based on race, color, creed, national
origin or age. That any police officer hired by the City of Huntington
Beach is hereby eligible for membership.

In accordance with the Government Codes set forth herein, and in
accordance with the Resolution of the City of Huntington Beach
identified as No 2468, the foregoing information and declarations
have been made, for the purpose of allowing the City of Huntington
Beach to formally recognize the Huntington Beach Police Officers
Association as the bargaining agent for the police officers of the
City of Huntington Beach. That the president and secretary of the
Huntington Beach Police Officers Association hereby declare and
designate those individuals identified inParagraph (6) as the
representatives of this association with whom communications will
be had with the City of Huntington Beach.
WHEREFORE, the Huntington Beach Police Officers Association
hereby petitions that the City of Huntington Beach acknowledge the
Huntington Beach Police Officers Association as the recognized
employee association for the police officers of the City of Huntington
Beach,
