A consulting engineering firm is needed to prepare the necessary reports and plans
for the modification of traffic signals and median islands on Pacific Coast I-Idghway
at Main Street and at. Sixth Street.

Progress or. the implementation of the dom-itown area redevelopment plans will necessi-
tate the closure of a portion of lupin Street north of Grange Averae. In order to
attract business into the dicyrintown area., consideration of methods to =dify traffic
access for improved flea and convenience were considered, As a .result, a proposal
to reverse the one-way traffic flow on Main Street has been forms-'ate`l. That plan
requires modification. of Pacific Coast Highway facilities; e.g., reestablishment of
the left turn from downcoast P.C.H. onto Main Street, relocation of the traffic
signal from Fifth Street to Sixth Street on P.C.H., modification of the median
islands, and relocation of the driveway serving the parking facilities north of the
pier.
Since these proposals im-olve working with CALTIR:AI+IS and the Coastal Ccalmission for
timely a,,.3proval of the projects by those agencies, project reports and plans shc%ling
the proposed work must be prepared. Herman Kimmel and Associates is one of several
traffic engineering consultants wbo have part; '. ated in this type of work, and
also performed vorl satisfactorily for HuntLrv, c- .�n Beach in the p-a5t. The scope of
work invr�,lved rill cover the preparation of the necessary project reports for review
are approval by CALTRMS, preparation of plans, specifications, and estimates for
the Work to be done at each traffic signal location, and attendance at any meetings
required to obtain C1 .TRALNS approval of the proposed wDrk. These documents v--111 also
be. used in preparation of the necessary Coastal Ccxssni_ssion documents by staff.
The majority of cost for this construction project will be funded through the Federal
Jobs Bi 1.1 Program. Because these funds mast be e rded by Match, 1983, it is im-
perative that design work on this .project.begin as soon as possible. For this reason,
staff proposes to retain Hern-an i irrrw' & Associates Without obtaining proposals o,.t
other consultants pursuant to Sections 3.03.080 arid; 3.03.090 of the Municipal Code..

to have the traffic flow direction of Main Street reversed.

Main Street. However, w-- think the least amount of expense
would be incurred by having one-way traffic from Pacific

arrows will have to be reinstated on Pacific Coast Hwy. New
signs will be necessary at orange and Main to deflect that t-aff4r.

but to the redevelopment of the downtown area in general.

THIS AGPEEMENT, made and entered into this day
of 19 , by and between the CITY OF HUNTINGTON BEACH?,
a municipal corpc.,ation of the State of California, hereinafter
referre4 to as "CITY," and HERIMAN KIM14EL AND ASSOCIATES,
hereinafter referred to as "CONSULTANT."
WHEREAS, the CITY OF HUNTINGTON BEACH desires to engage t,ie
services of an engineering consultant to prepare the necessary
reports and plans for the modification of traffic signals and
median islands on Pacific Coast Highway at Main Street and at 6th
Street, and
WHEREAS, CONSULTANT has been selected to perform said services,
NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follow:
1. WORK STATEMENT
CONSU TANT shall provide all engineering services as
described in the document entitl.d Proposal -Traffic Engineerinn
Services -- Coast Highway at Main, Sth and 6th, hereinafter
referred to as Exhibit "A", and incorporated luto this Agreement
by this reference. Said services (hereinafter referred to as
"PROJECT'") shad, include, but no, be limited to surveys,
investigations, consultations, and advice, preparation of detail:
design, construction plans, quantities and costs, preparation of
special pxovisions and any other miscellaneous engineering
services .required to permit CITY to advertise far bids for
construction of PROJECT. 1

CONSULTANT shall attend and assist in all coordination
meetings.
CONSULTANT shall designate a registered civil engineer who.
shall represent it and Le its sole contact and agent in all
consultations with CITY during fulfillment of the terms of this
Agreement.
2. DISPOSITION OF PLANS, ESTIMATES AND OTBER DOCUMENTS
CONSULTANT agrees that all original drawings, reports,
both field and office notes, calculations, maps and other
documents, shall be turned over to CITY capon any termination of
PROJECT.
3. INDEMNIFICATION, DEFENSE, HOLD HARMLESS
CONSULTANT hereby agrees to defend, indemnify and hold
harmless CITY, its officers, agents and employees, from and
against any and all liability, damages, costs, losses, claims and.
expenses, however caused, resulting directly or indirectly from or
connected with CONSULTANT'S performance of this Agreement
(including, but not limited to such liability, cost, damage, loss,
claim, or expense arising from the death or injury to an agent or
employee of CONSULTANT, subcontractor, or of CITY or damage to the
property of CONSULTANT, subcontractor, or of CITY or of any agent
or employee of CONSULTANT, subcontractor, or of CITY), regardless
of the aetiv%% or passive nature of any negligence of CITY, t,ccept
where such liability., damages, costs, Josses, claims or expenses
are caused solely by the negligent or wrongful acts of CITY or any
of 4.ts agents or emplo-ces including negligent omissions or

commissions of CITY, its agents or employees, in connection with
the general supervision or direction of the work to be performed
hereunder.
4. WORKERS' COMPENSATION
CONSULTANT shall yomply with all of the provisions of the
Workers' Compensation Insurance and Safety Acts of the State of
California, the applicable provisions of Division 4 and S of the
California Labor Code and all amendments thereto; and all similar
state or federal acts or laws applicable; and shall indemnify,
defend and hold harmless CITY from and against all claims,
demands, payments, suits, actions, proceedings and judgments of
every nature and description, including attorney's fees and costs
presented, brought or recovered against CIT"i, for or on account of
any liability under any of said acts which may be incurred by
reajon of any work to be performed by CONSULTANT under this
Agreement_
5. INSURANCE
In addition to the Workers' Compensation Insurance and
CONSULTANT'S Agreement to indemnify CITY, CONSULTANT shall furnish
to CITY and maintain in force until the completion of PROJECT a.
policy of general liability insurance (including automotive
liability) in which. CITY is named as an additional insured. The
policy shall indemnify CITY, its officers and employees, while
acting within the scope of their duties, against any and all
claims arising out of or in conn.e^tion with PROJECT. The policy
shall provide coverage in not less that tnP following amounts::

combined single limit bodily injury and/or property damage of
t300,000 per occurrence. Such policy insurance shall specifically
provide that any other insurance coverage which may be applicable
to ..he loss shall be deemed excess coverage and CONSULTANT'S
insurance shall be primary. A Certificate of all such insurance
policies required by this Agreement shall be delivered to the City
A_torney prior to the commencement of any work and shall be
approved by her in writing. No such insurance shall be cancelled
or modifiea without thirty (30) days' prior written notice to CITY.
6. INDEPENDENT CONTRACTOR
CONSULTANT is, and shall be, acting at all times in the
performance of this Agreement as an independent contractor.
CONSULTANT shall secure at its expense, and be responsible for any
and all payments of al-L taxes, social security, state disability
insurance compensation, unemployment compensation and other
payroll deductions for CONSULTANT and its officers, agents and
employees and all business licenses, if any, in connection with
the s•�rvices to be performed hereunder.
7. CITY STAFF ASSISTANCE
CITY shall assign a staff coordinator to work directly
with CONSULTANT in connection with the work of this Agreement.
8� PROVISION FOR PAYMENT
In consideration of the performance of the above
described engineerng services, CITY agrees to pay CONSULTANT a
fee according to the compensation rates set out in Exhibit "A."

determined by CITY. Total payment shall not exceed six thousand
dollars ($6,000).
5. EY "RA WORK
In the event of authorization, in writing by the City
Engineer of chenges from the work as indicated in Exhibit "A" or
for other written permission authorizing additional work not
contemplated herein, additional compensation shall be allowed for
such extra work, so long as the prior written approval of CITY is
obtained.
10. TERMINATION OF CONTRACT
All work shall be done in a good and workmanlike manner,
CITY may terminate CONSULTANT'S services hereunder at any time
with or without cause, and whether or not PROJECT is fully
complete. Any termination and any special instructions hereunder
from CITY shall be made through the City Engineer, and in writing,
which may be delivered in person to CONSULTANT or mailed through
the normal course of mail to its now -established 'business address..
In the event this Agreement is terminated, all drawings, designs,
specifications and appurtenant data may be used by CITY.
11. DURATION OF CONTRACT
CONTRACTOR agrees to complete PROJECT within forty-five
(45 ) calendar days of the time set for the "first plan check" by
the Schedule section of Exhibit "A."
This Agreement is a personal service contract and the
supervisory work hereunder shall not be delegated to any person or
entity without the consent of CITY.

13. ADDITT7NAL PRC.':ISIOD.'S
CONSULTANT agrees that no regular employee of CITY shall
be employed by its firm during the times that this Agreement is in
effect.
IN WITNESS WHEREOF, the parties hereto have caused this

Coast Highway @ Main, 5th, and 6th
Gentlemen:
In response to your request, as outlined in this mornings meeting
with Paul Grimm and Lew Gluesing, we are submitting this proposal
for engineering services necessary to modify traffic signals on
Coast Highway in the vicinity of Main Street.
Scooe of work
Eerman Kimmel & Associates, Inc. will provide the following tasks:
1. Prepare a report for submittal to Caltrans seeking
their approval of a project on Coast Highway allowing
the City of Huntington Beach to:
a. Close the median on Coast Highway at 5th Street.:
b. Relocate the traffic signal from 5th to 6th Street.
C. Modify the traffic signal at Main Street for com-
patibility with the proposed .reversing of Main
Street, from one ---way westbound to one-way eastbound..
d. Meet with Caltrans, as necessary, to obtain approval
of the report and to determine Cal,,:rans requirements
for the proposed modifications..
2. Prepare P.S.&E. for traffic signal modifications at
Main Street, 5th Street, and 6th Street, requiring
three plan sheets.

it is our understanding that plans for modifications
to the median will be prepared by the City.
3. Extra work; not now contemplated, may be required after
Agency reviEw of the report and/or the project. The
extent of that extra work, including possible inter-
section counts, will be negotiated at the time of the
request.
Schedule
The Traffic Report, Task 1, would be submitted to the City for
review within 10 working days after approval of this proposal.
Task 2, preparation of P.E.&E., would be ready for first plan
check within 20 working days after receipt of all required as-
bnilt data.
Confirmation of a service point may require City assistance,
in order to meet the anticipated schedule.
Compensation
our fee for performing the services outl4-ned in the Scope of Work
would be:
