and the CITY OF HLINTING'<GiK BEACH, a California municipal corporation, hereinafter
termed Grantee,
WITNESSETHt
1. Grantor, for and in consideration of the full and prorr.,)t perfo, manse of „
the things to be performed by the Grantee as hereinafter yet out and contained, hereby
grants to Grantee, for the term of ten (10) years from the date hereof, at which time all
interest of the G, antee herein named or its successors or assigns, shalt revert to and
become the exclusive property of the Grantf,r in. named, or its successors or assigns,
without any further notice or demand on the A said Grantor, -,id also „ibject to
termination as hereinafter provid J and under she terms, conditions and provisions
hereinafter contained, a right of way and non-exclusive, easement to lay, construct,
maintain, operate, repair, renew, from time to time change the size of and remove a
three inch (311) pipeline for the transporation of water in, under, along and across that
certain real property (hereinafter called 'said premises") situate In the County of Orange, it
State of CaliforniA and more particularly described as s--!t forth in Exhibit "A" attached
hereto and made a part hereof.
2. Grantee shall not interfere with or obstruct the use of said ;:remises by
Grantor, or injure or interfere with any person or property on or about said premises.
3. Grantee, in the exercise of the rights granted to it hereunder, shall not
do ndr permit to be done any welding or operations involving sparks or flame within a
distance of i0D feet from ,any oil or gas well, or oil, gas or gasoline container, or place of
dischLgf%�4no the atmosphere f oil, gas o: gasoline. whether located on said premises or
on a4icent land, without pr, _:r .consent of Grantor, and then only subject to and in
accordance with the proy'sions hereof and such ether conditions as may be expressed in
said consent.

4. Grantee shah bury and maintain its pipe line underground so that it will
pass beneath previously laid pipe lines which it may cross, and so that it will be at all
points at least thirty-six inches (36") below the surface of the ground, and shall promptly
and property back -fill and compact all excavations -nade by or for Grantee on said
premises. Before any such excavations are ma,?_-, during all times that work is being
performed Grantee shall asce-tain and plainly mar the exact locaiiwr: of all pipe lines or
other facilities which may be below the surface of the ground or otherwise net plainly 7
visible. Grantee hereby accepts sole responsibility for so doing and shall be solely liable,
for all loss, damage, Injury or death cauv,fs or contributed to by any lack of or improper
marking.
5. Grantee at its sole risk and expense shall do all things necessary to
assure that the pip -line will not be damaged by, and hereby wa yes_all cla'irns for damage
tv said pipeline re - ?.ing from, electrolysis or similar action resulting from or connected
with Grantor's= operation of any existing c.-.r future cathodic prQ'ection system on or in the
vcinity of said premises.
6. At such time or times as, in the sole opinion of Grantor, said pipe line
interferes with Grantor's use of or operations upon said premises, Grantee shall, at its own
expense and risk, within sixty, (60) days after written request therefor by Grantor, lower
or relotate and reconstruct said pipe ling upon and `cross said premises to th;, depth
beneath the surrface oh the ground or along the route, specified Ly Grantor In such : equest,

and shall restore said premises as nearly as possible to tb-` same state and cond.,-Ion io
whi4-h they existed pri6r to the construction, undergrounding, loviering cr reconstruction
of said pipe line; provided, however, if all or any part of said premises N acquired in any
manner ? y the federal or state or any local government or political subdivision or other
public body or agency, the obligations of Grantee under this paragraph shall be null and
void with respect to the lands so acquired and shall not inure to the benefit of any sv h
Bove. nment, subdivision, body or agency.
7. Gra,ttee and its employees e,od agents shall have free access to said pipe
Tina over stich reasonable route as Grantor may designate or approve feom time to time
for the purpose of exercising the fights herein given.
3 This grant of right cA way is personal to Grantee and shall not be
assigned or t. ansferred by Grantee voluntarily, by operation of law, by merger,
recapitalization, or other corporate proceedings, or otherwise, in whole or in part, wl chout
the written consent of Grantor first becng had. No written consent by Grantor hereunder
shall be deemed a waiver by Gr anto, of arty of the: provisions hereof, except to the extent
of such consent:.
9. Upon the violation by Grantee of any of the ter:r. and conditions set
forth herein and the failure to remedy the same with thirty (30) bays after written notice
from Grantor so to do, then at the option of Grantor this agreement and the rights herein
given Grantee shall forthwith terminate.

the event that Grantee shall fail for a continuous period of one year to maintain and
operate said pipe litre.
11. Upon the termination of th- rights herein given, Grantee shall at its own
risk and expense remove 4:11 pipe and a.iy bL r property ;nlaced by Or for Grantee upon
said premises hereunder and restore said premises as nearly as poi sible to the same state
and condition in which they existed prior to any corstruc-'.on of s.a. d pipe line, but if it
should fail so to do within sixty (60) days after Such termination, Grantor may so do, at
the r.sk of Grantee, and all cost and expense of such removal and the restoration of said
premises as aforesaid, together with interest thereon at the maximum rate permitted by
law, shall be paid by Grantee upon demand; and in case of a suit to enforce or collect the
same., Grantee agrees to pay Gr;tator in addition a reasonable attorney's fee to be fixed
and allowed by the court.,
12. Upon the termination of the rights herein given, Grantee shall execute
and deliver to Crantar within thirty (30) days after service of a written demand therefor,
a good and sufficient quitclaim deed to the rights herein given, Should Grantee fail or
refuse to deliver to Grantor a quitclaim deed as aforesaid, a written notice by Grantor
reciting the failure or refusal of Grantee to execute and deliver said quitclaim deed as
herein provided and terminating this agr :cement shall, after ten (10) days from the date of
recordation of said notice, be conclusive evidence against Grantee and all perso:ts
claiming under Grantee of the termination of the rights herein given.
13. Grantee shalland will pay, before the some become delinquent, all
r charges, taxes, rates and assessments upon or against said pipe tine and any other property
or improvements placed by or for Grantee upon said premises hereunder, but Grantor may
at all times after any delinquency pay and discharge all of such delinquent charges, taxes,
rates and assessments after reasonable veriflcatic,� , thereof, anO all succ. payments so
made by Grantor, with interest thereon at the maximum rate permitted by 'I3w frGm date
of payment, shaft be paid by Grantee upon demand. The amount of such payments and
interest shall he a charge and lien against all pipe and other property placed by or for
Grantee on .-,aid premises, and in case of a :suit after such demand to enforce or collect
the same, Grantee agrees "o pay Grantor in addition thereto a reasonable attorney's fee to
be fixed and allowed by the court

acAve Our passive negligence of Grantor. Grantee agrees to hold Grantor harmless from
and to indemnify Grantor against any claim for damage to or loss of property of Grantee
in, on, or about said premises, or .injury to rr death of any person oil or about, salad
prem.iases on behalf of or at the invitation of Grantee, regardless of the passive or active
negligence of Grantor.

15. grantee hereby recognizes Grantor's title and interest in and to said
premises and ap-, ws rpver to assail or resist Grantor's title or interest therein.
16. Except as oth -wise provided herein, the terms and conditions of this
agreement shall inure to the benefit of and be binding 'upon the successors and assigns of
the parties hzt-c to.
7. This grant s made subject to all valid and existing licenses, .leases,
gt•ants, exceptions, reservations and conditiooes affecting said premises.
18. Any notice pr-)vid(--d herein to be given by either party hereto to the
other may be served by 6,2positing in the United States Post Office, postage prepaid, a
seated envelope containing a copy )f such notice and addressed to said other party at its
prinr_inal place of business, and the same shall be sufficient service of such notice.

KNOW ALL MEN BY THESE PRESENTS
That INOIL USA, INC., a Delaware corporation ("AMINOIL"),
as a gifr, does hereby assign, transfer and donate to the City of
Huntington Beach, California ("the City") that .certain pipeline
system more particularly described in Exhibit "A" attacked hereto
"'said property") and as shown on the plat attached hereto as
Exhibit ",B".
AMINOIL makes no warranty with respect to 4 s title to said
property, nor as to its merchzutabililty or fitness for any parti-
cular use or uses, and the City, by its acceptance of this
asti nment agrees that it accepts said property in its resent `

The City, by its acceptance of this agreement:, releases
and discharges AMINOIL from all further liability or responsibility �
with respect to said property and further agrees to indemnify

all damages, costs and/or liability of any nature whatsoever
arising,either directly or indirectly out of, or in connection.
with, Lhe transfer of said property to the City and/or the use
or operation of said property by the City.

In response to the requested consensus of the Community Services, Development Services
and Pul lc Works Bepa��tments, a Financial Impact Report has been prepared and submitted

relative to the. increased funding level for the Blufftop Landscape project to compensate
far the understated City estimate of the project's cost. It has been estimated that
an appropriation of $126000 will be required to provide full funding for this project.
Sufficient monies are available it the General Fund unappropriated fund balance for
this purposie. An affirmative response by the City Council will reduce the unappropriated
hal-:tnce in the fund to 981,5:`42.
