4. The sales price for such acreage is the sum of $163,376.00, of
which $153,562.00 shall be paled to HOW upon delivery of Grant Deed to City,
duly executed by HBIls, oar the property descrii:ed in Exhibit "A -Fated the balanct,

Graham Avenue as sold Graham Avenue abuts the property which City is acquiring.
NIIIIP will notify City in writing when such storm drain improvetrents are c'ompieted.

and agreed that by reason of such realignment of Graham Avenue, the City will

7_ Payment of the Furchase price and delivery of the Grant Deed to
Cie shall be done as soon as
y eras:Ible after approval of the preliminary title
report referred to in Paragraph 5. of this Agreement. If City has ob,jectnd.
to any of the terms$ covenants, conditions or restrictions which appear ire said
report and 1481P has caused the same to be removed and thereafte- has furnished
a revised title report to Cityg it will then be proper for delivery of the
Deed and payment of the purchast price. Hale does hereby represent and warrant
that the property as described In said title report will have no terms, covenants,
conditions or restrictions against the same other than that which appears in
said preliminary title report as approved.

not purchase certain property which is cross -patched on Exhibit 11A-211, wlrich by
such reference is i-ncorporated herein,for the reason that when said Graham
Avenuee is realigned they property across the street from the subject property
and which is now a part of an existing righr.-of-stay will be vacated by the City
as such right -of -wiry and title to svch vactited property will revert of HBIP.
5. HBIP has delivered to City an undated executed copy of this
Agr,dement , Upon the City certifying In writing to HB I P that the terms and
conditions of this Agreement have been aroperly approved by its governing
board and departments,.an executed copy by City of this Agreement will be
delivered to HBIP. At such tinte as an executed copy of this Agreement and the
Certification above -referred to is received by HBIP, HBIP will order a pre1im-
Inary tittle report cn said property from Title Insurance and Trust Co'mpaay and
will cause the same to be delivered to City as soon as possible. City will
have t.,o days after receipt of the same to object to any terms, covenants,
conditions nd restrictions which appear its said report and if It fails to do
so within said period, the report shall be deemed approved. If City does so
object in writing to HBIP, HEIP will have a period of thirty days to remove_
such objectionable provisions and if it fails or refuses to do so, thv terms
and provisiotts of this Agreement shall be automatically cancelled and shall
be of no fu�-thur ioo-ce and effAct .
b. HB!F does hereby represent and warrant. that. the: execution of
this Agreement by the General Partner is in acrordcnce with the provisions of

BEACH INDUSTRIAL PARK
i WHEREAS, it is in the best interest: of the ,City of Hunt-
ington Beach to acquire certain real property for community
park facilities; and
r; Huntington Beach industrial Park desires to sell,, and
the City of H►antingtcn Beach desires to buy,' 11.907 acres,
generally located in a.n . area north and south of Edinger
Avenue and east and west of Graham Street,
NOW, THEREFORE, BE IT RESOLVED by the City Gouneit of
the City of Huntington Beach as follows:
1. That it does hereby agree to buy frc.n Huntington
Beach lr►dustrial Park real property, consist)ng of 4.907
acres, generally located north and south of Edinger Avenue
and east, and west of Graham Street, for the sari► of One
Hundred Slxty-three Thousand Three Hundred Seventy-six and
no/100t;hs Dullars.($163,376.00).
2. That the Mayor and City Clerk are authorized to
execute a contract by and between the city and Huntington
Beach Industrial Park to acquire said 4.907 acres to be used
for community park facilities.
3. That Huntington .BeB lh .Industrial Park shall execute
and deliver-, and the City Clerk is hereby a,uthoriwcld' to accept,
a grant deed to the herein -described real property, .
