HomeMy WebLinkAboutHUNTINGTON HARBOUR CORP - 1970-07-301 2 3 4i 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 29 30 31 32 RIGINAL COPY for Master File MAST BE- R TURil D AGREEMENT BETWEEN TO CITY CLERK ;. sr S`- CITY OF HUNTINGTON BEACH AND IS- %.,.s"V HUNTINGTON HARBOUR CORPORATION THIS AGREEMENT is entered into by and between the CITY OF HUNTINGTON BEACH, a municipal corporation, hereinafter for conven- ience referred to as CITY, and HUNTINGTON HARBOUR CORPORATION, hereinafter for convenience referred to as HUNTINGTON, R E C I T A L S Section 11546 of the Business and Professions Code of the State of California authorizes CITY to adopt an ordinance, and CITY has adopted such an ordinance, requiring that the subdivider of land dedicate land for park and recreational facilities as a condition precedent to the approval of a final tract map. HUNTINGTON has subdivided lands within CITY and is planning to subdivide other lands within CITY in the future. "Huntington Harbour", a development of HUNTINGTON, is situated and constructed to provide recreational waterways and small beaches for the use of residents within said subdivided land, and such development is being expanded and enlarged over a period of time. HUNTINGTON desires that certain of such waterways be deemed park and recreational facilities as contemplated by the Business and Professions Code and the CITY ordinance. It is necessary that CITY provide harbor and beach pro- tection and fire protection for the citizens and properties within the "'Huntington HarbourSe development, and HUNTINGTON owns land within the development which is situated in a location reasonable for use as a fire station site and harbors and beaches station. CITY, therefore, desires to acquire such land. Warner Avenue has been realigned with the result that a portion of the property is designated as Warner Avenue even though Warner Avenue is no longer in such location and CITY desires to vacate the street easement on such property. 1. 0 a 1 NOW, THEREFORE, CITY and HUNTINGTON do hereby mutually agree 2 as follows: 3 1. On July 15, 1970, at 8:00 A.M. (the "closing"), 4 HUNTINGTON shall grant to CITY, and CITY shall accept, the follow- s ing real property: 6 Parcel 1.• County beach (adjacent to Pacific 7 Coast Highway) 8 Parcel 2.' Davenport Beach 9 Parcel 3A. Approximately a 2 1/2 acre site #33 10 Parcel 3B. Approximately a 2 1/2 acre site #24 11 Saybrook 12 Parcel 4., Humbolt Beach 13 Parcel 5.' Park site in Tract 4677 14 Parcel 6. Park site in Tract 5050 15 Parcel 7. Beaches, harbor and fire facility 16 All of said real property is described in Exhibits 1 through 17 7, inclusive, attached hereto and made a part hereof. 18 2. At the closing, CITY shall initiate and complete proceed- 19 ings to vacate the easement for road purposes described as Parcels 20 A and B in Exhibit A attached hereto and made a part hereof. 21 3. At the closing, HUNTINGTON shall pay to CITY Five 22 Thousand Seven Hundred Eighteen and no/100ths Dollars ($5,718.00) 23 and such sum, together with Parcels 3A and 3B above, shall satisfy 24 fifty percent (50%) of HUNTINGTON's duty to provide park and 25 recreational facilities with respect to Tract 6429. CITY hereby 26 grants as substitute credit toward satisfaction of the second 27 fifty percent (50%) of such duty (which is credit for community 28 parks pursuant to Section 9989, Huntington Beach Ordinance Code), 29 the previously dedicated waterways adjacent (to midchannel) or 30 within said tract, and agrees that such credit plus the conveyance 31 of said Parcels 1, 2 and 4 (which are small local beaches) fully 32 satisfies said second fifty percent (50%). Thus, by reason of 2. 0 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 29 30 31 32 this Agreement, such duty is, as to said Tract 6429, fully satis- fied, and CITY so acknowledges and shall hold HUNTINGTON harmless from any claim by CITY to the contrary. CITY further acknowledges that HUNTINGTON has no comparable duty with respect to any other previously subdivided tract and shall hold HUNTINGTON harmless from any claims by CITY to the contrary. Without either party being contractually obligated so to do, and without waiver of HUNTINGTON's future obligation under Articles 974 and/or 998 of the Huntington Beach Ordinance Code, both acknowledge that it is their intention, as to future tracts subdivided by HUNTINGTON, to have fifty percent (50%) of HUNTINGTON's duty to provide park and recreational facilities with respect thereto met by dedication of future waterways and beaches in a manner comparable to that pro- vided above with respect to said "second fifty percent (50%)" 4. The parties hereto agree that the land bordered by Warner Avenue, Los Patos and Marina View Streets, shown on Exhibit B. attached hereto and made a part hereof, which is being retained for use by CITY, is excluded from this exchange of property, pro- vided that if within twenty (20) years after the date hereof CITY ceases the use of such land, HUNTINGTON will have the option to lease the land for a period of fifty (50) years upon terms and conditions at least as favorable as CITY is then prepared to offer any other party. HUNTINGTON shall exercise said option within ninety (90) days after receipt by its Secretary of written notice of such opportunity, or said option shall lapse of its own terms and be of no further effect; provided, however, that during the five (5) year period following such notice, HUNTINGTON shall have (i) the right of first refusal upon the sale of said property at the fair market value thereof; or (ii) in the event CITY wishes to lease such property on different terms than those offered to HUNTINGTON, HUNTINGTON shall have a ninety (90) day opportunity to accept a lease on such different terms. 3• 1 5. The conveyance by HUNTINGTON of Parcels 5, 6 and 7 to 2 CITY is for and in consideration of the conveyance by CITY of 3 Parcels A and B to HUNTINGTON and CITY's obligation to HUNTINGTON 4 under paragraph 4 hereof. 5 6. The closing shall take place at the Santa Ana office 6 of the First American Title Insurance Company, and shall be con- 7 ditioned upon such company being prepared to issue its owner's 8 policy of title insurance to the grantee of each parcel to be 9 conveyed at the closing, with only such exceptions shown in such 10 policy as the grantee approves, unless such grantee waives this 11 requirement. Each grantee shall pay for any such policy which it 12 elects to have issued to it. Should such title company charge 13 any escrow fee in connection herewith, the parties shall share 14 the expense thereof and in all events, shall share the expense 15 of all applicable conveyance taxes. The parties shall execute 16 any other documents reasonably required to carry out the provisio 17 hereof. 18 7. CITY shall arrange with the assessor's office to adjust 19 real property taxes and send HUNTINGTON revised bills and any 20 applicable refunds with respect thereto so as to achieve the 21 same economic effect with respect to the parcels conveyed by 22 HUNTINGTON as if such taxes had been prorated to the date of the 23 closing. 24 (Rest of page not used) 25 -------- 26 -------- 27 -------- 28 -------- 29 -------- 30 -------- 31 32 -------- 4. 1' 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 8. HUNTINGTON will deliver title to the former temporary Security Pacific Bank Building, located on the corner of Saybrook land Davenport, as a community center for the Harbour View site.
