W I T N E S S E T H: WHEREAS, CITY has conducted a search through the Allied Arts Commission for Fire artist to create a sculpture to be placed in the Huntington Beach Civic Center, and The Allied Arts Commission has chosen ARTIST, JACK ZAL*.'AC, to receive the ccnmi.ssion to build the work of art from the specifications and maquett:e submitted to the Commission, and CITY agrees to purchase and ARTIST agrees to create the commissioned sculpture in accord with the plans grid specifications herein attached, IJOW, THEREFORE, the parties covenant and agree as followr; : 1. The specifications, descriptions, and ma,`.er-ials to be used in the completion of this contract are described in Exhibit "A" attached here-tc and by reference incorporated herein. 2. The agreed consideration for this contract,, including all work, materials, installation, shipping, insuran^.e and any other attendant ccsts, shall be the fixed price of FORTY --FIVE THOUSAND DOLLARS ($45, 000) . ARTIST warrants that the concept, design and execution of the Huntington Beach Civic Center sculpture are unique and original and will not be duplicated without the prior written consent of CITY. 7. ARTIST agrees to provide insurance in favor of CITY for the period of the contract in a:cord w1.th Resolution No. 4013 of the City Council of the City of. Huntington Beach, which resolution is fully set for�h in Exhibit "B" attached hereto and by reference incorporated herein. Further, ARTIST agrees to assist CITY in perfe%tion of any and all such rights at any future time. 9. ARTIST shall neither sell, a Sign•, transfer, convey nor encumber this agreement nor any right or interest therein or thereunder, nor suffer or permit an, such assignment, transfer or encumbrance to occur by operation of law without the prior written consent cf CITY. 10. Any controversy between thE.- parties hereto involving the construnticn or application of any of the terms, covenants., or conditions o." this agreemer?t; shall, on written request of one party served on another, be submi•.;ted to arbitration and such arbitration shall. ccmply with and be governed by the provisions of the California Arbitration Act., Sections 1280 through 1294.2 of the Code of Civil Procedure. The parties sh&..11 each appoint one person to hear and deter- inine the dispute and if' they shall be unable to agree, then the persons so chosen shall select an impartial arbitrator whose decision shall be final and conclusive upon the parties hereto.
