UMMENUMUT OF PRO,I CT CONTRACTOR agrees to commence the project with 10 working - 3 - days after- notice to proceed is issued and shall diligently prose- cute it to the completion within 90 calendar days from the execution of this contract by CITY, excluding delays provided for• in Section 16 herein. 4. TIME -QF 'TH_E ESSENCE Time is of the essence of this contract. CONTRACTOR shall prepare and obtain approval as required by the Contract Documents for all shop drawings, details, samples, ?.nd do all other things necessary and incidental to the prosecution of his work in conform - ante with the said progress schedule. He shall coordinate the work covered by this contract with that of dl1 other- contractors, ,subcon- tractors and of the. CONTRACTOR t,er•eby agreen t.o wake any and all changes, furnish materials and perform work as directed ir. westing by the DPW when such charges are within the ncope of work of this agreement. Otherwise, CONTRACTOR shall adhere strictly to the Flans and Speci- fications. Under nc condition shall CONTRACTOR, make any changes, either- in additions or, deductions, Without a written order from the DPW. CITY will not pay any extra charges made, by CONTRACTOR unless - 4 - such charges have been agreed upon in writing by the DPW. When directed to change the work, CONTRACTOR shall submit immediately to the DPW a written cost proposal in reflecting the effect of the change. Should the DPW not agree to such cost proposal, any disputed work shall be performed as ordered in writing by the D9W and the cost, thereof, shall be negotiated by the parties upon cost and pricing data submitted Cy the CONTRACTOR. CITY will promptly issue a change order to CONTRACTOR and the contract price will be adjusted upward or, downward accordingly. 6. NOTICE TO PROCEED No work, services, mater•!a.I or• equipment shall be per•for•med or. fur•ninhed under this agr•eermer.t uniess and until a notice to proceed has been giver, to the CONTRACTOR by CITY. In event of a delay in commence- ment due to such unavailability, rel_ef to the CONTRACTOR shall be limited to a tame exter:s.on equal tc the delay due to such ava.l- abili}y. 7. BOU CG!i T RACTOR 3ha l l , prior, to entering upor. the performance of tnis contract., 1urr..:jh boi,,,is appi,oved ay the City A%.tornay: one in the amount of one nundred percent ( 1 OUS ) of the contr•act price, to guarantee the CONTRACTOR IS faithful performance of the work and to warrant such performance for a period of one ( 1) year after CITY'S acceptance thereof; and one in the amount of fifty percent (50%) of tore contract price, to guarantee payment of all claims for 1 4 labor and materials furnished. 5 - The CONTRACTOR unconditionally guarantees all work done under this agreement, including but not 1 haired to any workmanship, installation, fabrication, material of. structural facilities constructed. CONTRACTOR, within ten (10) days asters notice by CITY of any defect in the work, shall have the option to make appropriate repairs or replace the defective item or lteas. Upor, expiration of such ten (10) day period, CITY may then make appropr• :ate repair or replacement at CONTRACTOR'S risk and expense. COHPEN,gATIdN CITY agrees to pay and CDNTRAcru agrees to accept as full compensation for, the faithful performance of this contract, :subject to any additions or, deductions as provided in the Contract Docu- ments, the sum of one hundred seventy --eight' ,,housana, five hundred fifty dollars ($178,550.00) as set forth in the Contract Documents and provided for in paragraph 2 herein. 13. The final payment, if unencumbered, or any part thereof unencumbered, shall be made thirty-five (35) days after the acceptance of the work and the 9 M w filing of a Notice of Compl,:tion by CITY. Payr:ents shall be made on demands drawn in the manner required by law, .accompanied by a certi- ficate nigned by the DPW, stating that the work for which payment is demanded has been performed in accordance with the terms of the contract., and that the amount stated in the rsrtificate Is due under the terms of the contract. Partial payments orr the contract price shall not. be consi.der•ed as an acceptance of any part of the work. 14. WQ�i{S' CtiMPFNSAT jj CONTRACTOR acknowle-4geo and undertakes its duty under the pc•c+v!s+ions of Section 3700 et seq. of the Labor Code to insure aga.nst liability for kovkers' Compensation and covenants to comply -a'_th such provisions prior to commencing tt;e performance of the week her•eundec• . CON T RACTOn shall maintain iior•kers' Comppensation Insurance and otne-wlse comoly with all of the pr•ov.s'_ons or the Workers' Compensation and Safety Acts of the State of California, the appl i- cable pr•ovis-onof L.v:s'_or,s u and 5 of the California Labor, Code and all amendments thereto; and all simi'_at• State or Federal acts or la 5 applicable ar,' shall furnish to CITY 3 cert-f.cate of Workers Compensati�?n. Insurance evitier.cing such compliance. The insurer shall furnish to CITY a cNrt'_f1cata cf Workers Compensation Insurance. The pr-ovlaev of insurance shall not cancel or, modify any such policy so pr•ov4.dP(1 without Thirty (30) days priot• written riot-ce to CITY. CONTRAC'�OR shall further t•equir•e all subcontractors to similarly provide such workers' compensation insurance for• all of the subcontractors' employees. CONTRACTOR shall furnish a cert:- I ficate of walvet, of subrogation under the terms of the workers' compensatlon insurance, and CONTRACTOR shall similarly require all subcontractors to waive subr•ogat ion . CONTRACTOR'S Workers' Compensation Insurance shall be in forms and underwritten by insurance companies satisfactory to CITY. Said insurance shall remain in force until the work under this contract is fully completed and accepted by CITY. Said insurance shall not derogate from the pro•iisions for indemnification of CITY by CONTRACTOR under section. 16 cf this contract. CONTRACTOR shall require its insurer to waive its subrogation_ rights against CITY and agrees ►.o ?rovide c:artifica;es evidencing the same. - 12 - Before CONTRACTOR performs any work at, or prepares or delivers materials to the site of construction, CONTRACTOR shall furnish to CITY certificates of insurance subject to approval of the City Attorney evidencing the foregcing insurance coverages and such certificates shall provide the name and policy number• of each carrier and policy and that the insurance is in force and will not be cancelled without thirty (30) days written notice to CITY. CONTRACTOR shall maintain all of the forego+ng insurance coverages in force unt i1 the work under this contract Is fully completed and accepted by CITY. The tequir•ement for• cat•rying tha fot•egoing insurance shall not derogate ft•om the pt•ovisions for• indemnification of CITY by CONTRACTOR under• Section 16 of this contract. Notwithstanding or diminishing the obligations of* CONTRACTOR with t•espect to the foregoing, CONTRACTOR shall nubsct•ibe fov and maintain in fu1i force and effect during the life of this contr•act the following insurance amounts: not less than tht•ee hundred thousand dollars ($300,000) combined single 1'mit covet -age for• Items A and B. Property Damage Liability and Autors�)tive Property Damage Liability The City Attorney shall at All times have the tight to demand the or•l.ginal ot• a copy of all said policies of insurance. - 13 - CONTRACTOR shall pay the premiums on all insurance hereinabove required. 19 • PEEAULI AND 19AMINAXIM If CONTRACTOR fails or refuses to prosecute the work with diligence, or, fails to complete the work within the time specified, or, is adjudged a bankrupt, or, makes an assignment for the benefit of creditors, or becomes insolvent, or violatE;s any prevision of the Contract Documents, CITY may give notice in writing of its intention to terminate the contract. Unless the violation is cured within ;.en (10) days after- said notice of intention has been nerved on CONTRACTOR, CITY may terminate triis agreement upon the expiration of that time. 20. Q,E PLAU, ESTIMATES AND OTHER DOCUNEN.0 CONTRACTOR agrees that upon completion of the work to be performed hereunder or upon e��r•lier• termination of this agreement, all original drawings, reports, calculaoLions, maps and other docum,Rnts, pertaining to said contract, shall be delivered to CITY and become its sole property at no further cost. M 21. DISSATISFACTION Wi Tti PERi'ORMANCE In the event that CITY is dissatisfied with performance of CONTRACTOR and the procedures t':H termination set forth in Paragraph 26 are followed, CITY may elect to assume complete control over PROJECT. 22. NON-AU1Q iAb1L1U No assignment or- delegation by the CONTRACTOR of this contract or- any part hereof, ot• of funds to be received hereunder, - 14 - I will be recognized by CITY unless such assignment or delegation has had prior written approval or• consent of CITY and the surety. 23. CITY EMPLOYEES CONTRACTOR shall employ no regular, employee of CITY in the work performed pursuant to this contract. 24. ATTORNEY'S FEES If any action at law or• in equity is necessary to enforce or interpret the te►•ms of this agreement, the prevailing party shall be entitled to reasonable attor•ney,s fees, costs and necessary disbursements in addition to any other relief to which he may be entitled. If any action is brought against CONTRACTOR or any subcontractor to enforce, a Stop Notice or• Notice to Withhold, which names CITY as a party to said action, or by reason of which CITY incurs expenses, CITY shall be entitled to reasonable administrative and attorney's fees, costs and necessary disbursements. arising out of the processing of Stop Notices or- hetices to Withhold or any similar legal document arising out of the performance of this agreement. Said obligation shall be provided for In the labor• and materials payment bond required of CONTRACTOR. RECOMMENDATION: Accept the completed work and authorize the City Clerk to file the Notice of Completion. ANALYSIS: On February 22, 1983, the City Council awarded a contract to Jan G. Earnest Construction Company for the replacement of water mains and appurtenances ill portions of Park, Pine and Utica Streets. The construction of this work, in accordance with the approved plans and specifications, is now complete and, therefore, the Director of Public Works rec.o=ends acceptance of the project and requests that the notice of completion be filed by the City Clerk.
