'�i'�. ittL •e. .'i.-,„. .rM it .. ,r , :Y���7R.4r+, .Arr.,�i �„,4t.+` 'F':�.. r. requirements, and special provisions reference is hereby made, and by such reference they are made a part of this contract as if herein set out in full; and WHEREAS, the City Council at a regular meeting thereof and at the time and place appointed therefor received the report of the results of the bids submitted by the respective bidders for the construction and completion of the above mentioned work, and after careful consideration of all bids submitted the City Council awarded the contract therefor to the CONTRACTOR therein named at the prices set forth in his bid, it being the lowest and best bid received by the said City Council, NOW, 'TIM-REFORE, in consideration of the covenants and agreements herein contained, being done and performed by the parties hereto, it is hereby agreed as follows: I. By my signature hereunder, as Contractor, I certify that I am aware of the provilsions of Section 3700 of the Labor Code which require every employer to be insured against liability for workmen's compensation or to undertake self-insurance in accordance with the provisions of that code, and I will comply with such provisions before commencing the performance of the work of this contract. II. Contractor agrees to receive and accept as full compensation for furnishing all materials and for doing all the work contemplated and embraced in this agreement, the total bid amount Contractor submitted in his Proposal which was accepted by the City Council. A copy of said Proposal is attached hereto and incorporated herein by reference and made a part hereof. Contractor further agrees that said payment by City shall include all payments for all loss or damage arising out of the nature of the work aforesaid, or from the action of the elements, or from any unforeseen difficulties or obstructions which may arise or be encountered in the prosecution of the work until its acceptance by the City, and for all risks of every description connected with the work; also for all expenses incurred by or in consequence of the suspension or discontinuance of work and for well and faithfully completing the work, and the whole thereof, in the manner and according to the plans and specifica- tions, and the requirements of thE- Engineer under them. III. City agrees with the said Contractor to employ, and does hereby employ, the said Contractor to provide the materials and to do the wort: according to the teams and conditions herein contained and referred to, for the prices aforesaid, and hereby contracts to pay the same at the time, in the manner and upon the conditions as set forth in the general requirement; and the said parties for themselves, their heirs, executors, administrators, successors and assignv, do hereby agree to the full performance of the covenants herein contained. IV. It is mutually agreed that submission of a proposal shall be considered prima facie evidence that the bidder has made such examination. SECTION 2. PROPOSAL REOU IREM -14TS (a) Proposal form -• All proposals must be made upon blank forms to be obtained from the office of the Director of Public Works at the City Hall, Huntington Beach, California. All proposals must give the prices proposed, both in writing and figures, and must be signed by the bidder with his address and telephone number. If the proposal is made by an individual, his name, post office address and telephone number must: be shown. The right is reserved to reject any or all proposals. (e) Award of Contract - The award of t contract, if it be awarded, will be made within thirty five (35) da; -ifter the opening of the proposals. (f) Contract Bonds - The Contractor shall furnish the two good and sufficient bonds in accordance with the requirements of the State Contract Act. Said bonds shall be cash, cashiers check, certified check, � surety bonds or instruments of credit from one or more financial insti- tutions, subject to State or Federal regulation. One of the said bonds shall be executed in a sum equal to 100 % of the contract price to guarantee the faithful performance of said contract by the Contractor. Any work done beyond the limits of the lines and grades shown on 1 the plans or established by the Director of Public Works, or any extra work done without written authority, will be considered as unauthorized and will not be paid for, Upon failure on the part of the Contractor to comply forthwith with any order of the Director made under the provisions of this article, the Director shall have authority to cause defective work to be remedied, or removed and replaced, and unauthorized work to be removed, and to deduct the costs thereof from any moneys due or to become due the Contractor. (k) Final Inspection - Whenever the work provided for and contem- plated by the contract shall. have been satisfactorily completed and the final cleaning performed, the Director will make the Final inspection. SECTION 5. CONTROL OMATERIALS , (a) Samples and Tests - At the option of the Director, the source of supply of eac:. of the materials shall be approved by the Director before delivery is started and before such material is used in the work. The Contractor shall furnish at no cost to the City, such samples of materials as are requested by the Director of Public Works. No material shall be used until it has been approved by the Director of Public Works. .0 (b) Defective Materials - All materials not conforming to the requirements of these specifications shall be considered as defective, and all such materiels, whether in place or not, shall be rejected and shall be removed immediately from the site of the work unless other- wise permitted by the Director of Public Works. (b) Alien Labor - The Contractor shall forfeit as penalty to the CAty, Ten Dollars ($10) for each alien knowiiigly employed in the execution of the contract, by him or by any subcontractor iinder hin.9 on any of the work herein mentioned; for each calendar day, or portion thereof, during which such alien is permitted or required to labor in violation of the provisions of the Labor Code and in particular, Section 1850 to 1854 thereof, inclusive. (c) Hours of Labor - Eight hours constitutes a legal days work. The Contractor shall forfeit, as a penalty to the City, $25.00 for each workman employed in the execution of the contract by the Contractor or any subcontractor under him for each calendar d"y during which such workman is required or permitted to work more than eight hours in any one calendar day and 40 hours in any one calendar week in violation of the provisions of the Labor Code, and in particular, &Actions 1810 and 1815 thereof, inclusive, except that work performed by employees of Contractors in excess of eight hours per day, and 40 hours during any one week, shall be permitted upon compensation for all hours worked in ti e:ccess of eight hours per day at not less than one and one-half times the basic rate of pay, as provided in said Section 1815. (d) Prevailing Wages - The Contractor shall comply with Labor Code Section 1775, In accordance with said Section 1775 the Contractor shall forfeit %s a penalty to the City, $25.00 for each calendar day or portion thereof, for each workman paid less than the stipulated prevailing rates for such work or craft in which such workman is employed for any work done under the contract by him or by any subcontractor under him in violation of the provisions of the Labor Code and in particular, Labor Code Sections 1770 to 1780, Inclusive. (e) Domestic Materials - Only such unmanufactured articles, materials, and supplies as have been mined or produced in the United States, and only such manufactured articles, materials, and supplies as have been manufactured in the United States, substantially all from articles, materials and supplies mined,produced, or so manufactured, as the case may be, in the United :hates, shall be used in the performance of the Contract in accordance with the provisions of an Act entitled: "The Buy American Act", and in accordance with subsequent amendments thereto and judicial decisions interpreting said Act. Any person, firm, or corporation who fails to comply with the provisions of the Act shall not be awarded any contract to which this act applies for a period of three years from the date of the violation. (f) California - made - Materials - Notice is hereby tendered that the City shall maintain a preference for materials or supplies manufactured, grown, or produced in the State of California in full accordance with the provisions of an act. entitled: "The Buy California Act". (g) Registration of Contractors - Before Submitting bids, Contractors shall be licensed in accordance with the provisions of Chapter 9 of Division III of the Business and Professions Code. (h) Permits and Licenses - The Contractor shalt procure all permits and licenses, pay all charges and fees, and give all notices necessary and incidental to the due and lawful prosecution and comple- tion of the work. Residents along the road, street, or other alignment of improve- ments shall be provided convenient access to driveways, houses, and buildings along the road or street, and temporary crossings Shall be provided and maintained in good condition. Not more than one cross street or intersecting street or road shall be closed at any one time without the approval of the Director of Public Works. The Contractor shall furnish, erect, and maintain such fences, barriers, lights, and signs as are necessary to give adequate warning to the public at all times that the road or street- is under construction and of any dangerous conditions to be encountered as a result thereof, and he shall also erect and maintain such warning and directional signs as may be furnished by the'City. (k) Responsibility for Damage - The City of Huntington Beach, the City Council, or any City employee shall not be liable for any loss or damage to the work performed pursuant to the contract or any part thereof, or for any material or equipment used in performing the work, or for injury or damage to any person or persons, either workmen or the public:, or for damage to property adjoining the property on which the work is being performed from any causes whatsoever during the progress of the work or at any time before final acceptance by the City. C/ tn' Contractor's Responsibility for Work - Except as provided above until the formal acceptance of the work by the City Council, the Con- tractor shall have the charge and care thereof and shall bear the risk of injury or damage to any part thereof by the action of the elements or from any ocher cause, whether arising, from the execution or from the non -execution of the work. The Contractor shall rebuild, repair, restore, and make good all injuries or damages to any portion of the = work occasioned by any of the above causes before final acceptance and f shall bear the expense thereof, except such injuries or damages occasioned by acts of the Federal Government or the public enemy. (n) No personal Liability - Neither try City Council, the Director of Public Works nor any other officer or authorized assistant or agent shall be personally responsible for any liability arising under the contract. (o) Responsibility of City - The City of Huntington Beach shall not be held responsible for the care or protection of any material or parts of the work prior to final acceptance, except as expressly pro- vided in these specifications. SECTION 7. PROSECUTION AND PROGRESS (a) Subletting and Assignment - The Contractor shall give his personal attention to the fulfillment of the contract and shall keep the work under his control. Subcontractors will not he recognized as such, and all persons engaged in the work of construction will be considered as employees of the contractor, and their work shall be subject to the provisions of the contract and specifications. (b) Progress of the work and time for completion -The Contractor shall begin work within tort (10) days after re6eiving notice that the r contract has been approved and shall diligently prosecute the same to t: t completion before the expiration of the time specified in the proposal, specifications, and/or contract.. (c) Character of Workme s - if any subcontractor or person employed by the Contractor shall fail or refuse to carry out the directions of the Director of Public Works or shall appear to the Director of Public i • Works to be incompetent or to act in a disorderly or improper manner, he shall be discharged immediately upon request of the Director of Public Works, and such person shall not again be employed on the work. (d) Temporary Suspension of Work - The Director of Public Works shall have the authority to suspend the work wholly or in part, for such period as he may deem necessary, due to unsuitable weather, or to such other conditions as are considered unfavorable for the suitable prosecu- tion of the work, or for s;ach time as he may deem necessary, due to the failure on the part of the Contractor to carry out orders give, or to perform any provisions of tha work. The Contractor shell immediately obey such order of the Director of Public Works and shall not resume the work until ordered to do so in writing by the Director of Pubic Works. A (f) Suspension of Contract - If at any time in the opinion of the City Council the Contractor has failed to supply an adequate working force, or material of proper quality, or has failed in any other respect to prosecute the work with the diligence and force specified and intended by the terms of the cortract, notice thereof in writing will be served G; upon him, and should he neg•L.ect or refuse to provide means for a satis- factory compliance with the contract, as directed by the Director. of Public Works, within the time specified in such notice, the City Council 4, shall have the power to suspend the operation of the contract. Upon receiving notice of such suspension, the Contractor shall discontinue performance of said work, or such parts of it as the City Council may designate. Upon such suspension, the Contractor's control shall termi- nate and tcheretipon the City Council or its duly authorized representative may take possession of all or any part of the Contractor's materials, tools, equipment and appliances upon the premises, and use the same for the purpose of completion of said contract, and hire such Labor and buy or rent such additional machinery, tools, appliances, and equipment, at the Contractor's expense as may be necessary for the proper conduct of the work and for the completion thereof, or may employ other parties to carry the contract to completion, or employ the necessary workmen, substitute other machinery or materials, and purchase the materials r contracted for by Contractor, in Such manner as the City Council may deem proper; or the City Council may annul and cancel the contract and reiet the work or any part thereof. Any excess of cost arising there- from over and above the contract price will be charged against the Con- tractor and his sureties, who will be liable therefor. In the event of ' such suspension, all money due the Contractor or retained under the terms of this contract shall be forfeited to the City; but such for- feiture will not release the Contractor or his sureties from liability I or failure to fulfill the contract. In the deternjiniation'of the question whether there has been any such non-complian6e with the contract as to warrant the suspension or annulment thereof, the decision of the City Council is final and shall be binding, on all parties to the contract. (g) Right- of- Hay - The right of way for the work to be construct- ed • will be provided by the City. The Contractor shall make his own arrangements, and pay all expenses for additional area required by him outside of the limits of right-of-way. SECTION 8. MEASUREMENT AND _FA ['I 1�T, ' (a) Extra and Force Account Work - Extra work as hereinbefore defined, when ordered and accepted, shall be paid for under a written work order in accordance with the terms therein provided. Payment for extra work will be made at the unit price or lump sum previously agreed i upon by the Contractor and the Director of Public Works; or by force account. f 1 If the work is dome on force account the Contractor shall receive the actual cost of all materials furnished by him as shown by his paid I vouchers, plus fifteen per cent (15%), and for all labor and equipment i y necessary he shall receive the current privies in the locality, which shall have been previously determined and agreed to in writing by the 1 , Director of Pulic Works and Contractor, plus fifteen per cent (15/0), provided, how4ver, that the C.lty reserves the right to furnish such materials required as it deems expedient, and the Contractor shall have 1• no claim or profit on the cost of such materials. (b) Progress Payments . The City shall, once in each month, cause an estimate in writing to be made by the Director of Public Works of the total amount of work done and, the acceptable materials furnished and delivered by the Contractor to the job site and not used -as of the time of such estimate and the value thereof. The City of Huntington Beach shall retain money in the amount of ten per rent (10%) of such estimated value of the work done and fifty per cent (50%) of the value of the materials so estimated to have been furnished and delivered and unused as aforesaid as security for the fulfillment of the contract by the Contractor and shall monthly past to the Contractor, while carrying on the work, the balance not retained as aforesaid, after deducting therefrom all previous payments and all sums to be kept of retained under the provisions of the contract:. No estimate or payment shall be required to be made when ir, the judgment of the Director of Public Works , the work is not proceeding in accordance with the provisions of the contract or when in his judement the: total value of the work done since the last estimate amounts to less than three hundred dollars ($300)., (c) Final Payment - The Director of Public WoA.ks shall, after comItleti.on of the contract, make a final estimate of the amount of work: done thereunder and the value of such work, and the Carty of Huntington Beach shall pay the entire sum found to be tine after deduct- ing therefrom all previous payments and all amounts to be kept and all amounts to be retaina-ld under the provisions of the contract.
