Statement of Issue, Funding Source, Recommended Action, Alternative Action(s), Analysis, Environmental Status, Attachment(s) Statement of Issue: A Memorandum of Understanding (MOU) is required to allow the City to act as lead co -applicant for the processing of Tentative Parcel Map 2008-175. Funding Source: Funding in the amount of $6,000 is budgeted in the Professional Services for the Development Processing Account No. 10085251.69365. Recommended Action: Motion to: 1.) Approve and authorize the Mayor and City Clerk to execute the Memorandum of Understanding By and Among the City and Joseph Gergen, Paul Geil and John Gustafson regarding proposed Tentative Parcel Map Number 2008-175 in the City of Huntington Beach. 2.) Upon receipt of funds, allocate unanticipated revenue in the amount of $36,264 into Development Processing Account No. 10085251.69365. Alternative Action(s): Do not approve the MOU and direct staff on how to proceed. REQUEST FOR CITY COUNCIL ACTION MEETING DATE: 7/20/2009 DEPARTMENT ID NUMBER: PW 09-029 Analysis: A Memorandum of Understanding (MOU) is required for the City to enter into a cost sharing agreement for the processing of Tentative Parcel Map 2008-175. The City portion of the consultant cost for preparation of Tentative Parcel Map 2008-175 is $5,148. The MOU includes responsibilities of Joseph Gergen, Paul Geil and John Gustafson and the City of Huntington Beach. In the MOU, the City of Huntington Beach will agree to: 1) Act as Lead Co -Applicant on all entitlement applications necessary for implementation of this MOU; 2) Prepare and submit, for City Council determination and action, a "Resolution of Street Vacation" for Crystal Street; 3) Prepare a legal description, sketch and proposal for City parcel located easterly of the Gergen property to be sold to Joseph Gergen by a separate action of the City and Gergen; and 4) Prepare the Tentative Parcel Map 2008-175 for consolidation of properties, if vacated. In addition, Joseph Gergen, Paul Geil and John Gustafson agree to: 1) Submit a letter authorizing City to act as Lead Co -Applicant on all entitlement applications necessary for implementation of this MOU; 2) Submit their respective portions of costs to complete the tasks identified in MOU in the collective amount of $36,264; and 3) Allow access to their properties by City for surveying, engineering, and monumentation purposes. Planning Commission Resolution No. 1632 -3- 7/15/2009 12:43 PM �. — — — — i. i I r _ e o �. r it d l �� � �� J �� __ _ _ --- MEMORANDUM OF UNDERSTANDING BY AND AMONG THE CITY OF HUNTINGTON BEACH AND JOSEPH GERGEN, PAUL GEIL, & JOHN GUSTAFSON REGARDING PROPOSED TENTATIVE PARCEL MAP NUMBER 2008-175 IN THE CITY OF HUNTINGTON BEACH THIS MEMORANDUM OF UNDERSTANDING ("MOU") is made and entered into on p?6 , 2009, by and between the CITY OF HUNTINGTON BEACH, a municipal corporation of the State of California (hereinafter referred to as "City"), and Joseph Gergen, Paul Geil, and John Gustafson, collectively, (hereinafter referred to as "Owners"). The foregoing parties may sometimes hereinafter be referred to as "the Parties." WHEREAS, the Parties are all owners of certain real properties generally located at or near the southerly terminus of Gothard Street in the City of Huntington Beach, as more specifically depicted on the proposed Tentative Parcel Map No. 2008-175, a copy of which is attached hereto as Attachment No. 1, and incorporated by this reference as though fully set forth herein; and The Parties collectively desire to process and implement the proposed Tentative Parcel Map No. 2008-175 for approval by the City of Huntington Beach, in order to subdivide and map the area in a manner consistent with the Subdivision Map Act of the State of California; and The Parties desire to enter into this MOU to memorialize their collective objectives and responsibilities regarding implementation of the proposed Tentative Parcel Map No. 2008-175, NOW, THEREFORE, the Parties do hereby agree as follows: 1. PURPOSE. The purpose of this MOU is to define roles and responsibilities of the Parties regarding the implementation and processing of the proposed Tentative Parcel Map No. 2008-175. The Parties acknowledge that this MOU requires certain subsequent actions and approvals by each Party, and that some of these actions, such as approval of the Tentative or Final Parcel Map and/or any accompanying entitlements or discretionary City actions, cannot be predetermined. Nevertheless, the Parties agree that the benefits of this MOU are dependent on such actions and therefore commit to using their respective best efforts to accomplish the goals and objectives of this MOU. 2. TERM. This MOU will become effective on the date it is approved by the City Council of City, and shall terminate upon recordation of the Final Parcel Map No. 2008-175, or as otherwise set forth in this MOU, except for any continuing obligations that may arise from this MOU. 3. DUTIES. The duties of each Party are as follows: A. The City shall: 07-962.001 / 33622 1. Act as Lead Co -Applicant on all entitlement applications necessary or required for the implementation of this MOU and the processing of proposed Tentative Parcel Map No. 2008-175, including but not limited to, applications for environmental determinations or General Plan Conformances. 2. Prepare and submit for City Council determination and action a "Resolution of Street Vacation" for Crystal Street, in order to generally accomplish the following vacation of rights -of -way: Gergen, as owner of Lot 21 of Block B of the Garfield St. Addition, shall be vacated the 30 feet east of the centerline of Crystal Street as it fronts his property, together with that certain triangular portion previously fronting his property prior to the City's Final Order of Condemnation for the re -alignment of Gothard Street, excepting therefrom the Right-of-way so created for Gothard Street per City Ordinance Number 3102. Gustafson, as owner of Lots 22 and 23 of Block C of the Garfield Street Addition, shall be vacated the property west of the centerline of Crystal Street as it fronts his property, excepting therefrom the Right-of-way so created for Gothard Street per City Ordinance Number 3102. Geil, as owner of Lot 21 of Block C of the Garfield Street Addition, shall be vacated the 30 feet west of the centerline of Crystal Street as it fronts his property. The City may retain such easements as necessary or required for sewer, water, utility or other public purposes. 3. Prepare a legal description, sketch and proposal for the transfer to Gergen of certain City -owned real property generally located easterly of Gergen's property, westerly of the current fire access from Gothard Street onto Clay Avenue, northwesterly of the proposed Clay Avenue right-of-way, and southerly of the southerly right-of-way line created for Gothard Street pursuant to City Ordinance No. 3102. The acceptance and implementation of such transfer proposal is not a part of this MOU, but, if acceptable to both the City and Gergen, may be implemented by separate action of the City and Gergen at a later date. 4. Prepare the proposed Tentative Parcel Map as generally depicted on Attachment No. 1, with the following parcel lines drawn for the consolidation of each property: Parcel 1. Geil's Lot 21 of Block C and approximately two- thirds of vacated Crystal Street. Parcel 2. Gustafson's Lots 22 and 23 of Block C, including the vacated portion of Crystal Street and Gergen's triangular piece of Crystal Street. 2 07-962.001 / 33622 Parcel 3. Gergen's Lot 21 of Block B, including his vacated portion of Crystal Street, the remaining 1/3 of Geil's vacated portion of Crystal Street, and potentially the portion of current city property, if transferred by separate action of the City and Gergen as set forth in the City's Duty No. 3, above. Parcel 4. The City owned property in Gothard Street, so as to define the right of way lines, excluding the most northeasterly triangular piece that abuts Deboe's residential property. This parcel is the subject of lot line adjustment LLA 08-02. Parcel 5. The City owned property that now makes up the Clay Avenue cul de sac. The proposed Tentative Map shall define the right-of-way lines of this cul de sac. Parcel 6. The "Residual Parcel" located at the east end of the Clay Avenue cul de sac and westerly of Main Street, north of the centerline of Clay Avenue. B. Owners shall: 1. Within ten (10) days following approval of this MOU by the City Council of the City, submit a letter of authorization for the City to act as their Agent and Lead Co - Applicant for all entitlement applications necessary or required for the implementation of this MOU and the processing of proposed Tentative Parcel Map No. 2008-175, including but not limited to, applications for environmental determinations or General Plan Conformances. 2. Within twenty (20) days following approval of this MOU by the City Council of the City, submit their respective portion of costs as described in the cost -sharing matrix attached hereto as Attachment No. 2 and incorporated by this reference as though fully set forth herein. Said costs shall be non-refundable except as provided in Section 4 of this Agreement, entitled "Termination." 3. Following approval of this MOU by the City Council of the City, and upon three days advance notice from the City, allow access to their respective properties by the City or its authorized agent for survey, engineering, and monument purposes for the proposed Tentative Parcel Map No. 2008-175 and final mapping. 4. TERMINATION. This MOU may be terminated by any Party with or without cause upon thirty (30) days notice in writing. If this MOU is terminated by City prior to public hearing on the Tentative Map, Owners shall receive a refund of fifty percent (50%) of their respective portion of costs previously deposited with City, and Owners shall have the right to obtain copies of all maps, documents and reports prepared by City's consulting engineer pursuant to this Agreement. 5. ASSIGNING AS BREACH. No Party shall encumber, assign, or otherwise transfer this MOU, or any right or interest in this MOU, without the express written consent of the 3 07-962.001 l 33622 other Parties. A consent by a Party to one assignment or transfer to another person shall not be deemed to be a consent to any subsequent assignment or transfer to another person. Any encumbrance, assignment or transfer, without the prior written consent of the other party, whether it be voluntary or involuntary, by operation of law or otherwise, is void and shall, at the option of the other Parties, terminate this MOU. 6. CUMULATIVE REMEDIES. The remedies given to the Parties in this MOU shall not be exclusive but shall be cumulative and in addition to all remedies now or hereafter allowed by law or elsewhere provided in this MOU. 7. WAIVER OF BREACH. The waiver by any Party of any breach by any other Party of any of the provisions of this MOU, irrespective of the length of time for which such failure continues, shall not constitute a waiver of such breach or a waiver of any subsequent breach by any Party either of the same or another provision of this MOU. 8. NOTICES. Any written notice, given under the terms of this MOU, shall be either delivered personally or mailed, certified mail, postage prepaid, addressed to the party concerned, as follows: To City: Director of Public Works City of Huntington Beach 2000 Main Street, P.O. ATTORNEY'S FEES. In the event suit is brought by either Party to enforce the terms and provisions of this MOU or to secure the performance hereof, each Party shall bear its own attorney's fees. The prevailing Party shall not be entitled to recover its attorney's fees from the non -prevailing Party. 10. CONTROLLING LAW AND VENUE. The rights and liabilities of the Parties, and the interpretation and construction of this MOU, shall be determined in accordance with the laws of the State of California. Any controversy arising out of or under this MOU, if litigated, shall be adjudicated in a court of competent jurisdiction in Orange County, California. 4 07-962.001 / 33622 11. SURVIVAL OF INDEMNITIES. Termination of this MOU shall not affect the right of the City to enforce any and all indemnities given or made by Owners under this MOU, nor shall it affect any provision of this MOU that expressly states that the provision shall survive termination thereof. 12. HOLD HARMLESS. Owners shall protect, defend, indemnify and hold harmless the City, its officers, officials, employees, and agents from and against any and all liability, loss, damage, expenses, costs (including without limitation, costs and fees of litigation of every nature) arising out of or in connection with performance of this MOU or its failure to comply with any of its obligations contained in this MOU except such loss or damage which was caused by the sole negligence or willful misconduct of the City. 13. NONLIABILITY OF CITY OFFICIALS, EMPLOYEES OR AGENTS. No elective or appointed City or City affiliated board, commission or member thereof, or officer, official, employee or agent of City shall be personally liable to Owners, their successors and assigns, of any default or breach by the City under this MOU or for any amount which may become due to Owners, their successors and assigns, under this MOU or for any obligation of the City under this MOU. 14. MOU IN WRITING. This MOU contains and embraces the entire agreement between the Parties hereto and neither it nor any part of it may be changed, altered, modified, limited or extended orally or by any other agreement between the parties unless such agreement be expressed in writing, signed and acknowledged by the City and the Owners, or their successors in interest. 15. PARTIAL INVALIDITY. Should any provision of this MOU be held by a court of competent jurisdiction to be either invalid, void, or unenforceable, the remaining provisions of this MOU shall remain in full force and effect unimpaired by the holding, so long as the reasonable expectations of the Parties hereto are not materially impaired. Gothard Street currently provides sufficient access to the surrounding industrial and residential uses. As a result of the past Gothard Street widening and realignment, the subject right of way easement is no longer necessary to support the circulation needs of the adjacent areas. LU Goal 4: Achieve and maintain high quality architecture, landscape, and public open spaces in the City. The vacation of the subject easement would allow for some private enhancement of the property that will advance the visual character of the Gothard Street corridor. Circulation Element CE Objective 1.1: Balance the circulation system with the circulation demands generated by the implementation of the City's Land Use Element. CE Goal 2: Provide a circulation system which supports existing, approved, and planned land uses throughout the City while maintaining a desired level of service on all streets and at all intersections. Due to the Gothard Street realignment, the subject right of way easement is no longer necessary to provide circulation to the surrounding area. The vacation of the Crystal Street easement will not have a detrimental impact on the circulation system.
