referred to as "AGENCY," and KATZ, HOLLIS, CORN AND ASSOCIATES,
INC., hereinafter referred to as "CONSULTANT:"
WHEREAS, the REDEVELOPMENT AGENCY OF THE CITY OF HUNTINGTON
BEACH desires to engage the services of a consultant to assist in
the development study of the Huntington Center Commercial District
and the Talbert Gap Flood Control Redevelopment :Projects; and
WHEREAS CONSULTANT has been selected to perform said

NOW, THEREFORE, it is agreed by AGENCY and CONSULTANT as

t 1. WORK STATEMENT
CONSULTANT shall provide the services (hereinafter
referred to as PROJECT) described inthe document entitled "}Fork
Schedule" attached as Exhibit "A," hereto and made a part L;f this
agreement.
CONSULTANT shall attend and assist in all coordination
meetings:
2 DISPOSITION OF FLANS, ESTIMATES AND OTHER DOCUMENTS
CONSULTANT agrees that all original, drawings,
reports, both field and gffice notes, calculations, maps and other
documents, shall be turned over to. AGENCY upon any termination of
PROJECT.

3. INDEMNIFICATION, DEFENSE, HOLD HARMLESS
CONSULTANT hereby agree, to defend, indemnify and
hold harmless AGENCY, its officers, agents and employees, from and
against any and all liability, damages, costs, losses, claims and
expenses, however r :used, resulting directly or indirectly from or
connected with CONSULTANT'S performance of thi:� agreement
(including the death or injury to an agent or employee of
CONSULTANT, subcontractor, or of AGENCY or damage to the property
of CONSULTANT, subcontractor, or of AGENCY or of any agent or
employee of CONSULTANT, subcontractor, or of AGENCY), except where
such liability, damages, costs, losses, claims or expenses are
caused solely by the negligent or wrongful acts of AGENCY or any
<of its agents or employees including negligent omissions or
commissions of AGENCY, its agents ,or employees, in connection with
the general supervision or direction of the work to be performed-
hereunder.
4. WORKERS COMPENSATION
CONSULTANT shall comply with all of the provisions of
the Workers' Compensation Insurance and Safety Acts of the State
of California, the applicable provisions of Division 4 and 5 of
the California Government Code and all amendments !:hereto; and all
similar state or federal acts or Taws applicable; and shall
indemnify, defend and hold harmless AGENCY from and against all
claims, demands, payments, suits, actions, proceedings and
judgments of every nature and description, including attorney's
fees and costs presented, brought or recovered against AGENCY, for
or on account of any liability under any of said acts which may be
incurred by reason of any work to be performed by CONSULTANT under
this agreement.

S. I.NSURANCE
In addition to the Wor1ers' Compensation insurance
and CONSULTANT'S agreement to indemnify AGENCY, CONSULTANT shall
furnish to AGENCY and maintain in force until the completion of
PROJECT a policy of general liability insurance in which AGENCY is
named as an additional insured. The policy shall indemnify
-AGENCY, its officers and employees, while acting within the scope
of their duties, against any and all claims arising our of or in
connection with PROJECT. The policy shall provide coverage in not
less than the following amounts: Combin-ld single limit bodily
injury and/or property damage of $300,000 per occurrence. Such
policy insurance shall specifically provide that any other
insurance coverage which may be applicable to the lass shall be
deemed excess coverage and CONSULTANT'S insurance shall be
primary. A certificate of all such insurance policies required by
this Agreement shall be delivered to the City Attorney prior to
the commencement of any work and shall be cancelled or modified
without thirty (30) days prior written notice to AGENCY.
6. INDEPENDENT CONTRACTOR
CONSULTANT is, and shall be, acting at all times in
the performar_ze of this agreement as an independent contractor.
CONSULTANT shall secure at its expense, and be re,.,)nsibl:e for any
and all payments of all taxes, social security, state disability
insurance compensation, unemployment compensation aitd other
payroll deductions for CONSULTANT and its officeYs, agents and
employees andall business licensesif any, in connection with
the services to be performed hereunder.
7. 71TY STAFF ASSISTANCE
,.�'qNI:Y shallassign a staff coordinator to work
directly w th CONSULTANT in connection with the work of this
Agreement.
B. PROVISION FOR PAYMENT
In consideration of the performance of the above
described services, AGENCY agrees to pay CONSULTANT a :fee
according to the schedule of hourly rates set out in Exhibit "B"
payable monthly based upon the amount of work performed as
determined by AGENCY. Total payment shall .not exceed fifty
thousand dollars ($50,000).
9. EXTRA WORK
In the event of authorization, in writing by the
Chief Executive Officer of changes from the work as indicated in
Exhibit A or for other written permission authorizing additional
work not contemplated herein, additional compensation shall be
allowed for such extra work, so long as the prior written approval
of AGENCY is obtained:
10. TERMINATION OF CONTRACT
All work shall be done in a good and workmanlike
manner. AGENCY may terminate CONSLILTANT's services hereunder at
any time with or without cause, and whether or not PROJECT is
fully complete. Any termination and any special, instructions
hereunder from AGENCY shall be made through the Chief Executive'
Officer, and in writing, which may be delivered in person to
CONSULTANT or mailed through the normal course of mail to its
now -es tablshed business address In the event this Agreement is
terminated, all drawings, designs, specifications and appurtenant;

11. DURATION OF CONTRACT
CONSULTANT agrees to complete the work required under
this Agreement within six (6), Months of 4he date of execution
hereof.
12. SUBCONTRACTORS
This Agreement is a personal service contract and the
supervisory work heizunder shall t he delegated to any person or
entity without the nnsent of AGENCY.
13. ADDIT'IONAL PROVISIONS
CONSULTANT agrees that no regular employee of AGENCY
shall be employed by its firn during the times that this Agreement;
is in effect

The City Clerk/Clerk presented a communicat'on. from the Deputy City Adm ni
strator/Redevelopment transmitting an agreement for consulting services rela-
tive to the preparation of the documents necessary to create the Beach Boule-
yard. Redevelopment Project Area.
The 'Deputy Director of Redevelopment/Deputy City Administrator presented a
staff report.
Discussion was held regarding a possible flyover when Beach Boulevard is
developed as a Super Street.
A motion was made by Kelly, seconded by MacAllister, to approve and authorize
execution of the contract between the Redevelopment Agency and the firm of
Katz, Hollis, Coren & Associates, Inc. to provide the plan adoption services
and Environmental Impact Report preparation in connection with the Beach. Bou-
levard Redevelopment Project Area in an amount not -to -exceed of t55,000. The
motion carried by the following roll call vote:

stated his concern regarding,' reported deaths attributed to an illness caused
by asbestos fibers.

STATEMENT OF ISSUE:

Usk August 6, 1984, the City Council authorized the staff to
distribute a request for proposals for a consultant to assist with
preparation of the required redevelopment documents for the proposed
Huntington Center Commercial District and Talbert G'-ap Flood Control
project areas. Staff has received proposals and selected the
consultant named in the attached contract to perform the necessary
work.
The contract between the City- and the consultant has been prepared
by the City Attorney's office and is attached for your approval.
RECOMMENDATION:

Approve the attached contract for assistance with the preparation of
redevelopment documents.
ANALYSIS
Recent State legislation will significantly alter the process'
through which local jurisdictions designate Redevelopment Project
Areas. This legislation will become effective January 1, 1985, and
if the Huntington Center and Flood Control Areas ar4 to become
adopted and effective Redevelopment Project Areas prior to this
date, it is necessary to move forward with all possible speed.
To assure that this plan adoption process goes as smoothly and
expeditiously as possible, the City will secure the services of a
reputable consultant firm to assist in the preparation of the
"F'eport to City Council" and other documents necessary for plan
adoption, and to assure that the schedule of this plan adoption will
allow the Project Areas to become effective prior to January 1, 1985.
The consultant will be performing specific tasks in this process to
augment City staff efforts in areas where technical expertise may be
needed. These areas will probably include traffic circulation,
finance, biology and documentation of blight. Most of the work,
however, will be done by staff.

FUNDING SOURCE:
The cost of consultant services is outlined in the attached
contract. It is recommended that the City Council authorize a loan
from the City unappropriated fund valance to the Redevelopment
Agency for this purpose and that repayment of thisloan be surject
to the terms and conditions of the current Cooperation Agreement
between the Ctiy and the Redevelopment Agency.
ALTERNATIVE ACT -ON
Do not approve the attached contract. In this case. staff will
attempt to complete all necessary work preparing the redevelopment
project documents. This may result in the documents being less
comprehensive and more vulnerable to legal challenge.

1. HUNTINGTON CENTER:
On -fond y, July 2, 1984, the City Council adopted a resolutions to
establish the area, including a+rd surrounding, huntington Center as a
Redevelopment Survey Area, The Agency is now interested in pursuing, as
quickly as pos_ilrle, the adoption of this survey area as a Redevelopment
Project Area. (Attac`,ed for your, information is the Request for Council
Action through which the survey area was adopted).
The private sector concerns whi-ch prompted the consideration of this area
for,.redevelopment are:;

The Redevelopment Agency's concerns for the area are:

Traffic congestion and circulation problems on Edinger
adjacent to the Canter

strip comr;aercial on the south side of Edinger and commercial
area north of Center, Drive
` Vehicular circulation between Huntington Center and the
Levitz comi:ercial area

Redevelopment Project Area are as follows:

The Agency, through the study of the Redevelopment Survey Area, will
consider amendment to 'Lhe boundary established in the Survey Area
resolution,
2 . FLOOD CONTROL
On Monday, AvSusL 6, 19,134, tite survey area resolution will be presented
to the City Council to incorperate a flood control channel and
surrounding area, ir':-r a redevelop^iunt survey area. This survey area
boundary will trart Life flood control channel from the Fountain Valley
corporate boundary to the Pacific Ocean. Selected adjacent vacant
parcFls will also 0e incorporatod within this survey area. The principal
purpose of the; creation of this as a survey area and eventually a
redevelopment project area is to enarce the Orange County Flood Control'
District's flood control channel throughout this areatoeliminate future
flooding probinrr.s. Since flooding will no Longer be considered a
blighting influence in redevelopment project areas effective after
January 1, 1985, it is the City's intention to process this project
adoption in sufficient time to avoid this restriction on definition of
blight.
It is expected that this survey area will be created as an independent
redeveloproent project area, but its adoption will be conducted
simultaneous withthe pro ,i}Pt area adoption fear 'tie above described
Huntington Center project area.
