Castle, Assistant Administrator DATE: March 29, 1971 SUBJECT: ARCHITECTURAL AGREEMENT - CIVIC CENTER & POLICE FACILITY Attached is an addendum to the architectural agreement with Kurt Meyer & Associates. It provides for a lump sum total dollar amount on the balance of the architectural contract. Also, it agrees to a lump sum dollar amount for all interior design and graphic services on our civic center and police facility. It is the Administrator's recommendation that this addendum be accepted and become a part of our architectural agreement. Kurt Meyer briefly reviewed the progress of the project to date and the subsequent steps the Architect will take leading to the submittal of the final schematic package for -approval by the Design Review Board and the City Council. 11he inforiml presentation today of the design concept is the further development and extension of the design direction approved by the City on April 30 and is also a progress report of the work accomplished to date. Br Walter Case described the Civic Canter Complex design concept. The complex consists of a Poll-e and City Hall facility and a Council Chamber. The Police Facility will be a three- story scrurture with a basement facing and along Main Street, The City Hall consists of a lower levelJbasernent and a one-stoilf developmental department wing facing Mansion Avenue with a five - story office tower as part of this facility. The Council Chamber and meeting rooms is a lower element adjacent to the towe,+ facing a plaza/park area sett;;ng to the south and went. This plaza area is also common to the Police racility. Discussion 1, The Ceneept locates the City Clerk's Offieb and record storage on the second level, Mr. Jones questioned the location of the record storage with reference to the SUA Study. SUA suggests this room to be located underground. It was noted by Kurt Meyer that a record ~vault need not be located underground to attain required fire rating or security. A meeting will be arranged with Mr. ,zones to discuss this item in more detail. 2. Mr. Arguello questioned the physical separation of the Data Processing Room which is located on the basement and the Finance Department which is located on the First Level, A meeting will be arranged with Mr. Arguello, Mr. Miller and Mr. Castle to discuss this matter in further detail. 3. Mrs. Wall questioned police parking area fading Main Street. Kurt Meyer noted that Main Street would become a secondary street with the development of Mansion and Lake Avenues, and the proposed freeway. In addition, the scheme calls for police parking to be slightly depressed and there will be landscaping along Main Street, 4. idr. Coen inquired about a heliport and its location. Present thinking calls for a heliport to be located on the Police Facility wing. A meting has been arranged with the California Eepartment of Aeronautics to secure necessary details and requirements to accomplish this, 5. Mr, Coen inquired if the Architect will present alternate schemes in the final sehematic presentation to the City Council, Kurt Meyer stated that there will be no alternate schemes presented. Mr, Castle brought up the question of the cost of the project. Kurt Meyer stated - that a detailed cost estimate will be made based on the final schematic plans. At this time, however, certain cost factors can be applied based on the square footages. This has been done with the result being that the SUA Study with the figure of six million dollars was found to be inadequate and unrealistic considering the scope of the project. Paragraph 1.3 - Additlonal....92rvices The lump sum agreed to under Paragraph A, covers the basic services that are outlined in the Agreement. The Paragraph 1.3 will remain in force as it is. Most specifically, there are a number of items that need discussion and further clari- fication, such as the off -site work and that part of the on - site work which Public Works Department desires to engineer and design themselves - but possibly bid out together with our project. Furthermore, additive alternates to the basic scope and Owner -origin change ordeals would add additional fee to the stipulated lump sum. It is to be noted in this respect that the design drawings for the Civic Center have been based on a Centrex Telephone System .in accordance with instructions received from the City. If the City desires to change their telephone system, it will require a change of the approved drawings inasmuch as other systems w:LU need a telephone switeh-gear room within the building, a feature not presently provided. It wotilwd be very important to make these communication and telephone questions at an early date, because our electrical. engineer is in process of designing the final drawings and the later this decision is atade, the higher the cost for this change wjJ.1 be. THE ARCHI"ECT shall provide professional services for the Project in accordance with the Terms and Conditions of this Agreement. II. By issuing a Certificate for Payment, the Architect shall not be deconed to represent that he has made any examina- tion to ascertain how and for what purpose the Contrac- tor has used the moneys paid on account of the Contract Sum. 1.1.16 The Architect shall bt:, in the first instance, the interpreter of the requirements of the Contract Docu- ments and the impartial judge of the performance there- under by both the Owner and Contractor. The Architect shall make decisions on all claims of the Owner or Con- tractor relating to the execution and progress of the Work and on all other matters or qu.nstions related thereto. The Architect's decisions in matters relating to artistic effect shall be final if consistent with the intent of the Contract Documents. 1.1.17 The Architect shall have authority to reject Work which does not conform to the Contract Docurents. It is recognized, however, that neither the Architect nor the Owner has any control over the cost of labor, materials or equipment, over the con- tractors' methods of determining bid prices, or over cora- petitive bidding or market ccnditions. Accordingly, the Architect cannot and does not guarantee that bids will not war,, f•orn any Statement of Probable Construction G'st ur other cost estimate prepared by him. 3.5 When a fixed limit of Construction Cost is estab- lished as a condition of thi= Agreement, it shill include a bidding contingency of ter per cent unless another amount is agreed upon in writing. When such a fixed limit is established, the Architect shall be oermitted to deter- mine what rnaterials, equipment, component systems and types of construction are to be included in the Contract Documenti-, and to make reasonable adjustments in the scope of the Project to bring it within the fi-ged limit. Neither the Owner nor the Architect shall assign, sublet or transfer his interest in this Agreement without the written consent of the other. ARTICLE 11 ARBITRATION 11.1 All claims, disputes and other matters in question arising out of, or relating to, this Agreement or the breach thereof shall be decided by arbitration in accord- ance with the Construction Industry Arbitration Ruies of the American Arbitration Association then obtaining. This agreement so to arbitrate shall be specifically enforceable under the prevailing arbitration !aw. 11.2 Notice of the demand for arbitration shall be filed in writ'ing with the other party to this Agreement and with the American Arbitration Association. The demand shall be made within a reasonable time after the claim, dispute or other matter in question has arisen. In no event shall the demand for arbitration be made after institution of legal or equitable proceedings based on such claim, dispute or other matter in question would be barred by the applicable statute of limitations. 11.3 the award rendered by the arbitrators shall be final, and judgment may be entered upon it in any ,,:ourt having jurisdiction thereof. ARTICLE 12 EXTENT OF AGREEMENT This Agreement represents the entire and integrated agreement between the Owner and the Architect and supersedes all prior negotiations, representations or agreements, either written or oral.
