A G R E E M E N T
THIS AGREEMENT, made and entered into this ' day
19by ,and between the CITY OF
HUNTINGTON BEACH, CALI_FOM IA, a municipal corporation, herein-
after referred to as CITY, and L. D. KING, INC., a licensed firm,
hereinafter referred to as CONSUT,TANT,
R E C I T A L S:
1. The City Council of CITY is authorized to engage
-the services of a professional engineering consultant for the
performance of necessary engineering services for andon behalf
of CITY; and
2. It is necessary and desir that professional
engineering services be performed for .. more specifically
described in the Request for Proposal fog ,:lysis of the City's
Existing and Needed Drainage Facilities,, ,ierw i,nafter referred to
as PROJECT. Said proposal is attacbee: b.-to, marked Exhibit "A",
and by this reference incorporated he. .3nd made a part hereof;
and
3. CONSULTANT shall have that degree ox, _-;;:ecialized
expertise contemplated within California Government Code Section,
37103 and shall. have all necessary licenses therefore to practice
and perform the services herein contemplated; and
4. CONSULTANT agrees to perform the engineering servic f
necessary for this PROJECT: and '

5. CITY hereby employs CONSULTANT to perform the
following services, as required by PROJECT and CONSULTANT agrees
to provide those services in accordance with recognized standards t
of the engineering profession; and
6. No official or employee Of CITY has a financial
interest in the subject matter of this agreement contemplated
within the provisions of California Government Code Sections
1090-1092; and
7. CONSULTANT 'warrants that i-6 shall perform the
services herein contemplated in compliance with the California
laws related to minimum hours and wages (California Labor Code
Section 1171 et seq.), occupational health and safety 29 U.S.C.
651 et s8q. and the California Labor Code Section 6300 et seq.),
and fair employment practices (29 U.S.C. Section 201 et seq. and
California Labor Code Section 1410 et seq.) to the extent same
are applicable herein and
S. The parties hereto desire to set forth their
rights, duties and liabilities i.i connection with the services
to be performed under this PROJECT,
NOW, THEREFORE, it is agreed by CITY and CONSULTANT
as follows:
SECTION 1 GENERAL DESCRIPTION OF WORK TO BE DONE:
(a) CONSULTANT shall provice all engineering services
as described in Exhibit "A" including but not limited to surveys,
investigations, consultations and advice, preparation of pre-
liminary designs, hydrology studies, hydraulic calculations,
estimates of costs, preparation of the drainage facility maps

and any other miscellaneous engineering services required for
PROJECT. PROJECT shall include the pump station analysis
identified as Task 3 in the request for proposals.
(b) CONSULTANT shall attend and assist in all
coordination meetings.
(c) CONSULTANT shall designate a registered civil
engineer who shall represent it and be its sole contact and
agent in all consultations with CITY during fulfillment of the
terms of this agreement.
SECTION 2. DISPOSITION OF PLANS, ESTIMATES AND OTHER
DOCUMEOTS t
CONSULTANT agrees that all original drawings, reports,
}both field and office notes, calculations, maps and other docu-
ments, shall be turned over to CITY upon completion of PROJECT.
SECTION 3 DISCRIMINATION:
CONSULTANT agrees that in the performance of the terms
of this agreement, it will not engage in, nor permit its agents
to engage in, discrimination in employment of persons because
of race, reliq,ous creed, color, national origin, ancestry,
physical handicap, medical condition, marital status, cr sex
of such persons, except as provided io; Section 1420. Violation
of this provision may result in the imposition of penalties
referred to in Division 2-,, Part 7., Chapter 1 of the California
Labor Coat.
SECTION 4 INDEMNIFICATION, DEFENSE., HOLD HARMLESS
CONSULTANT hereby agrees to defend, indemnify and

hold harmless CITY, its officers, agents and employees, from

and against any and all liability, damages, costs, losses, claims
.and expenses, however caused, 1cesulting directly or ink"Airectly
from or connected with CONSULTANT'S performance of this agree-
ment (including but not limited to such liability, cost damage,
loss, claim, or expense arwing from the death cr injury to an
agent or employee of CONSULTANT, subcontiaotor, or of CITY or
damage to the property of CONSULTANT, subcontractor, or of CITY
or of any agent or employee of CONSULTANT, subcontractor, or
of CITY), except where such, liability, damages, costs, losses,
claims or expenses are caused solely by the negliger or wrongful
acts of CITY or any of its agents or employees including negligent
omissions .or commissions of CITY, its.agents or. -employers-, in
connection_ with the general, supervision or direction of -the work
to be performed hereunder.
SECTION 5. WORKER' C-)MPENSATION:
CONSULTANT shall comply with all of the provisions of
the Workers' Compensation Insurance and safety Acts of the State
of California, the applicable provisions of 'Division;, 4 and 5
of the California Labor Code and all amendments thereto; and all
similiar state or Federal acts or laws applicable, and shall
indemnify, defend and hold harmless CITY from and against .all
claims, demands, payments, suits, actions, proceedings and judg-
ments of every nature and description, Including attorney's fees
and costs, presented, brought or recovered agai.ist CITY, for
or on account of any liability under any of said acts which may
be incurred by reason of any work t; be performed by CONSULTANT
under this agveement.
SECTION 6 INSURANCE:
CONSULTANT.' agrees to furnish to CITY and maintain in

force until the completion of PROJECT a -general liability in-
surance policy in which CITY is named as an additional insured.
The policy shall insure CITY, its officers and employees, while
acting within the scope of their duties, against all claims
arising out of or in connection with PROJECT. The policy shall
provide for not "less than the following amounts: Combined
single limit bodily injury and/or property damage of $11t000,000
per occurrence. Such policy of insurance shall specifically
provide that any other insurance carried by CITY which may be
applicable shall be deemed excess and CONSULTANT'S insuranoe h,
primary despite any conflicting provisions in CONSULTANT'S
policy to the crntr-ry.,
SECTION 7. INDEPENDENT CONTRACTOR:
It is further understood and agreed that CONSULTANT
is, and shall be, acting at all times as an independent contrac-
tor herein and not as an employee of CITY. CONSULTANT shall
secure at its expense, and. be responsible for any and all pay-
ment of income tax, social security, state disability insurance
compensation, unemploymFnt compensation and other payroll de-
ductions for CONSULTANT and its officers, agents and employees
and all business licenses, if any, in connection with the serv-
ices to be performed hereunder.
SECTION8. CITY STAFF ASSISTANCE:
CITY shall ..-.i�sign a staff coordinator to work directly
with 3'ICASULTANT in connection ,, i.th the work of this agreement.
SECTION 9. PROV18ION FOR PAYMENT:
In consideration of the performance of the above de-
scribed engineering services, CITY agrees to pay CONSULTANT an

amount based upon the fee schedule breakdown set forth below:

Payment for engineering services shall be as set fOrtn
in this agreement and outlined in the Request .for Proposal and
shall be r,,sed upon the following hourly rates biat shall not
exceed $47,000.00
Division Director $47.00 per hour
Project Manager $40.00 per hour
Project Engineer $34.00 per hour
Design Engineer $32.00 per hour
Designer/Draftsperson $30.00 per hour
Draftsperson $21.00 per hour
Technicial $19.00 per hour
Production Typist $15.00 per hour
(a) In the event of authorization, in writing by the
City Engineer of changes from the work as indicated in Exhibit
"A" or for other written_ permission authorizing additional work
not contemplated herein, additional compensation shall be allowed
for such extra work but extra compensation shall not exceed 10
percent of the total Contract, as specified above, without
approval of CITY.
(b) CONSULTANT shall submit monthly invoices which
specify the area where work was -completed and the associated
time for completion to the City Engineer for approval. Work
performed, at the request of CITY, outside the limit specified
in this agreement is to be designated as "EXTRA WORK"'on monthly
invoices. Work performed in connection with an authorized written

change order will be so designated on said invoice.
SECTION 11. TEMINATION OF CONTRACT:
All work shall be done in a good and workmanlike
manner ar— CITY reserves the right to terminate services here-
under at any time with; or without cause, and whether or not
PROJECT has been fully completed. Any termination hereof, and f
any special instructions hereunder from CITY shall be made
through the City Engineer, and in writing, which may be delivered
in person to CONSULTANT or mailed through th.p normal course of
maih-_to its now -established business address. In the event
this agreement is cancel -led, all drawings, designs, specifications
and appurtenant data may be used by CITY without additional
cost to CITY. Should CITY decide to terminate this agreement
for any reason, CONSULTANT shall be entitled to payment, on
an hourly basis in accordance with the rate schedule herein,
for work completed prior to written notification.
SECTION 12. SUBCONTRACTO
RS:
This agreement is a_personal service contract and the
supervisory work hereunder shall not be delegated to any person
or entity without the consent of CITY.
SECTION 13. ADDITIONAL PROVISIONS:
CONSULTANT agrees that no regular employee of CITY
shall be employed by its firm during the time that this agree-
ment is in effect.
INWITNESS:WHEREOF, the parties hereto have caused
this agreement to be executed by and through their authorized

States-nt of Issue:
As previously authorized by the City Council, proposals have been received
from private consultants for the preparation of an analysis of the City's
existing, proposed, and needed drainage facilities.
Recommended Action:
Accept the proposal from L. D. King, Inc. to prepare an analysis of the City's
needed and proposed drainage facilities for a maximum fee of $47,000 and
authorize the execution of a professional service agreement.
Analysis: r
At the March 20, 1978 Council meeting, authorization was given to solicit
proposals from consulting engineers for the preparation of an analysis of the
City's needed and proposed drainage facilities (refer to attached Council
correspondence from the March 20, 1978 meeting). Proposals were received
from the following firms by the purchasing officer:

Subject: Request for Proposals for Professional
Services - Analysis of the City's Existing and
Needed Drainage Facilities
Gentlemen:
The City of Huntington Beach is accepting proposals for a
comprehensive analysis of the City's existing and needed drainage
facilities. Your firm is boing considered for this assignment.
The City of Huntington Beach for the last several years has
been experiencing; very ,rapid growth. Because of this rapid
growth, the City's drainage facility planning has been centered
around solving known drainage problems. The City has been unable
to direct its efforts to the overall planning of drainage
facilities throughout its limits. This, combined with the fact
that many older drainage facilities have been sized based on the
now outdated Orange County Flood control District Hydrology Manual
which resulted in lower design flows, now points to the need for a
comprehensive study of the existing and future drainage system of
the City.
T..e selection of a consultant for this project will be based
on the following;
1. Familiarity and prior experience with this type of
assignment.
2. Ability of the consultant to complete the assignment and
prepare the Drainage Study Report by December 15, 1978.
Time is of the essence for completion of this
assignment. If it is felt that this time span is
unreasonable, please estimate the time needed to complete
this assignment.
3. " A review of the ,firm's approach to this assignment as
expressed in the Proposal.

increase the effectiveness of the assignment.
It is desired that the following be submitted along with your
proposal.
1. A list of personnel who will work on the assignment and a
brief resume of each including recent projects they have
worked on. Indicate who would be the project manager.
2. A list of similar assignments which your firm has
previously completed.
3. A brief outline of a proposed schedule for implementation
and completion of this assignment.
4. Information which will indicate the firm's understanding
of the scope of the work and also the firm's basic
approach.

project or special oncerns the City shouldbemade aware

It is anticipated that the scope of work to be performed by
the consultant will include but is not limited to the following;
1. The preparation of a drainage facility map of the entire
City using City furnished 1" equals 4001 Use of Property
Maps as the base map. (See accompanying sample, "Use of
Property Map.") The drainage facility maps shall show
the size and location of all Existing drainage facilities
in the City including channels, pump stations, culverts,
pipelines, catch basins, connector pipes, and Orange
County Flood Control District facilities. The drainage
facility map shall show the boundary of each tributary,
area and the direction of flow ofeachstreet shall be
indicated. Proposed planned facilities to be determi-Itod
as a part of this assignment shall also be shown on the
drainage facility map. The use of Property Maps shall be
retitled to indicate Drainage Facility Maps and an
appropriate legend added.

Information needed to prepare the Drainage Facility Map
may be obtained from existing City records, plan files,
field review and discussion with City office and
maintenance staff. Consultant shall furnish all
necessary manpower to retrieve information from City
records. During this phase of the assignment, consultant
staff may occupy a drafting table within the City Hall.
The end result shall be a reliable and current drainage
facility map with all information shown in a clear and
concise manner.
2. A hydrologic analyses shall be prepared for each
tributary drainage area in the City. The studies shall
be based on the methods and criteria as specified in the
latest edition of the Orange County Flood Control
District Hydrology Design Manual. Using the volumes and
rates of runoff established from the hydrology study,
evaluate the adequacy of all existing systems including
pump stations and also determine the adequacy of these
existing systems at ultimate development of the City. In
addition, ^stablish the planned drainage facilities
needed for ultimate development of the City. Orange
County Flood Control District drainage facilities need
not be included in this analysis., In presently
undeveloped areas the hydrology and planned facilities
shall be based on the City's General Plan Land Use
Designations. This study need not include the Slater
Channel which was recently analyzed by the Orange County
Flood Control District.
In addition to the criteria expressed in the County
Hydrology Design Manual, City policy_ requires that on
local streets the street flow shall not exceed the top of
curb for a ten-year frequency storm, On arterial
highways, one 12 foot wide travel lane in each direction
should remain clear on a ten-year frequency storm.. In
sump conditions 25 year frequency storms shall be
provided for without property damage.
All hydrologic studies and hydraulic calculations stall
be submitted to the City in a format 'to facilitate recall
and future updating.
All facilities shall interface with existing; and proposed
drainage facilities of the Orange County Flood Control
District.

3. A field review and physical condition inventory shall be
made of each of the City's 16 drainage pump stations to
determine if the pumps are capable of operating at their
original design capacity. Recommend to the City any
maintenance operations or other improvements which would
be needed to bring the pumps up to their design
capacity. Also, based on sound engineering practice
recommended other improvements such as updating of
control systems, etc., which would improve the
dependability and efficiencies of the pump stations.
4. Prepare cost estimates of all facilities required to
complete the City's drainage system as identified in Task
2 & 3, including facilities needed to correct existing
deficiencies. Establish construction priorities of
needed drainage facilities based on the potential for
flooding of private property and inconvenience to the
public. Evaluate the City's current funding policies and
drainage development fees to determine their adequacy for
funding of the ultimate drainage plan and suggest changes
needed to fund construction 9f the recommended drainage
projects. Review the drainage fee boundaries as
established by the City and recommend changes so ghat the
drainage fee boundaries correspond to the major tributary
areas. Suggest to the City an appropriate definition of
those facilities which should be funded using the City's
development drainage fees as contrasted by the local
facilities which are normally installed by developers.
5. Following approval by the City of the consultant's
recommended drainage plan the final drainage study report
shall be prepared and shall consist of;
a) A discussion of the drainage pattern within each
tributary area outlining any special considerations
or unique problems respective to the area. The
drainage deficiencies should, be discussed and the
recommended method of solving the existing
deficiencies and providing for the drainage of
future development should be outlined.
b) Bach proposed drainage project shall be listed by
the consultant's recommended priority, and the
reasons for the priority rankings shall be outlined.
c) Sufficient maps to depict existing irainage
deficiencies and planned future facilities.

d) A discussion of the adequacy of the City's current
drainage fee schedule to fund the construction of
the needed drainage projects. A recommendation
should be made for the appropriate fees needed to
construct all drainage facilities.
6. The consultant shall furnish 5 copies of the preliminary
report and., after review and approval by the City, 25,
copies of the final report shall be furnished. The
originals Qf the drainage facility map shall be delivered
to the City and no prints will be needed.
Attached for your information in preparing your proposal is
I-iunt.ngton Peach's standard form agreement for professional
services which will inform you of our insurance and other
miscellaneous requirements. Also attached is a sample Use of
Property Map to illustrate the drainage facility base maps.
Although the professional services required for this project
will not be awarded based on competitive bidding, it is desired
that your fee be included with your .proposal. It is desired that
two fees be ,submitted, one for all the tasks as outlined in ,this
request for proposals, and also a fee for all the tasks except
task 3, uhich at the option of the City may be eliminated.
Huntinton Beach has preferred to retain consultants on an hourly
basis up to a, fined maximum amount for the project; therefore, it
is requested that your fee be expressed inthismanner. Following
the proposals the most qualified firms

If your firm is interested in submitting a proposal for this
work it is requested that it be submitted �Lo the Purchasing
Office by August 7, 1978. Please identify the proposal by a
