PROFESSIONAL SERVICES CONTRACT BETWEEN
THE CITY OF HUNTINGTON BEACH AND
MIKE LINARES FOR CDBG MANAGEMENT SERVICES
THIS AGREEMENT, made and entered into this day of , 1999,
by and between the City of Huntington Beach, a municipal corporation of the State of California,
hereinafter referred to as "CITY", and Mike Linares, a sole proprietor, hereinafter referred to as
"CONSULTANT."
WHEREAS, CITY desires to engage the services of a consultant to provide management
services for the City's CDBG Program; and
Pursuant to documentation on file in the office of the City Clerk, the provisions of HBMC
Chapter 3.03 relating to procurement of professional service contracts has been complied with;
and
CONSULTANT has been selected to perform said services,
NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows:
WORK STATEMENT
CONSULTANT shall provide all services as described in the Request for
Proposal, and CONSULTANT's proposal dated December 18, 1998 (hereinafter collectively
referred to as Exhibit "A"), which is attached hereto and incorporated into this Agreement by
this reference. Said services shall sometimes hereinafter be referred to as "PROJECT."
CONSULTANT hereby designates Mike Linares who shall represent it and be its sole
contact and agent in all consultations with CITY during the performance of this Agreement.
2. CITY STAFF ASSISTANCE
CITY shall assign a staff coordinator to work directly with CONSULTANT in the
performance of this Agreement.
3. TIME OF PERFORMANCE
Time is of the essence of this Agreement. The services of the CONSULTANT are
to commence as soon as practicable after the execution of this Agreement and all tasks specified

in Exhibit "A" shall be completed no later than one year from the date of this Agreement. These
times may be extended with the written permission of the CITY. The time for performance of
the tasks identified in Exhibit "A" are generally to be shown in the Scope of Services on the
Work Program/Project Schedule. This schedule may be amended to benefit the PROJECT if
mutually agreed by the CITY and CONSULTANT.
4. COMPENSATION
In consideration of the performance of the services described herein, CITY agrees
to pay CONSULTANT on a time and materials basis a fee not to exceed Twenty Thousand
Dollars ($20,000.00), at the rates shown on Exhibit "A."
5. EXTRA WORK
In the event CITY requires additional services not included in Exhibit "A," or
changes in the scope of services described in Exhibit "A," CONSULTANT will undertake such
work after receiving written authorization from CITY. Additional compensation for such extra
work shall be allowed only if the prior written approval of CITY is obtained.
6. METHOD OF PAYMENT
A. CONSULTANT shall be entitled to progress payments toward the fixed
fee set forth herein in accordance with the progress and payment schedules set forth in
Exhibit "A".
B. Delivery of work product: A copy of every technical memo and report
prepared by CONSULTANT shall be submitted to the CITY to demonstrate progress toward
completion of tasks. In the event CITY rejects or has comments on any such product, CITY shall
identify specific requirements for satisfactory completion. Any such product which has not been
formally accepted or rejected by CITY shall be deemed accepted.
C. The CONSULTANT shall submit to the CITY an invoice for each
progress payment due. Such invoice shall:
1) Reference this Agreement;
2) Describe the services performed;

3) Show the total amount of the payment due;
4) Include a certification by a principal member of the
CONSULTANT's firm that the work has been performed in accordance with the
provisions of this Agreement; and
S) For all payments include an estimate of the percentage of work
completed, or a task -by -task basis.
Upon submission of any such invoice, if CITY is satisfied that
CONSULTANT is making satisfactory progress toward completion of tasks in accordance with
this Agreement, CITY shall promptly approve the invoice, in which event payment shall be made
within thirty (30) days of receipt of the invoice by CITY. Such approval shall not be
unreasonably withheld. If the CITY does not approve an invoice, CITY shall notify
CONSULTANT in writing of the reasons for non -approval, within seven (7) calendar days of
receipt of the invoice, and the schedule of performance set forth in Exhibit "A" shall be
suspended until the parties agree that past performance by CONSULTANT is in, or has been
brought into compliance, or until this Agreement is terminated as provided herein.
D. Any billings for extra work or additional services authorized by CITY
shall be invoiced separately to the CITY. Such invoice shall contain all of the information
required above, and in addition shall list the hours expended and hourly rate charged for such
time. Such invoices shall be approved by CITY if the work performed is in accordance with the
extra work or additional services requested, and if CITY is satisfied that the statement of hours
worked and costs incurred is accurate. Such approval shall not be unreasonably withheld. Any
dispute between the parties concerning payment of such an invoice shall be treated as separate
and apart from the ongoing performance of the remainder of this Agreement.
7. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS
CONSULTANT agrees that all materials prepared hereunder, including all
original drawings, designs, reports, both field and office notices, calculations, maps and other
documents, shall be turned over to CITY upon termination of this Agreement or upon PROJECT

completion, whichever shall occur first. In the event this Agreement is terminated, said materials
may be used by CITY in the completion of PROJECT or as it otherwise sees fit. Title to said
materials shall pass to the CITY upon payment of fees determined to be earned by
CONSULTANT to the point of termination or completion of the PROJECT, whichever is
applicable. CONSULTANT shall be entitled to retain copies of all data prepared hereunder.
8. HOLD HARMLESS
CONSULTANT shall protect, defend, indemnify and hold harmless CITY, its
officers, officials, employees and agents from and against any and all liability, loss, damage,
expenses, costs (including without limitation costs and fees of litigation of every nature) arising
out of or in connection with performance of this Agreement or its failure to comply with any of
its obligations contained in this Agreement, except such loss or damage which was caused by the
sole negligence or willful misconduct of the CITY.
9. WORKERS COMPENSATION
CONSULTANT shall comply with all of the provisions of the Workers'
Compensation Insurance and Safety Acts of the State of California, the applicable provisions of
Division 4 and 5 of the California Labor Code and all amendments thereto; and all similar state
or federal acts or laws applicable; and shall indemnify, defend and hold harmless CITY from and
against all claims, demands, payments, suits, actions, proceedings and judgments of every nature
and description, including attorneys' fees and costs presented, brought or recovered against
CITY, for or on account of any liability under any of said acts which may be incurred by reason
of any work to be performed by CONSULTANT under this Agreement.
10. PROFESSIONAL LIABILITY INSURANCE
Requirement waived by Settlement Committee on 2/16/99.
1 l . CERTIFICATES OF INSURANCE
Prior to commencing performance of the work hereunder, CONSULTANT shall
furnish to CITY certificates of insurance subject to approval of the City Attorney evidencing the
foregoing insurance coverages as required by this Agreement; said certificates shall:

a. Provide the name and policy number of each carrier and policy;
b. shall state that the policy is currently in force; and
C. shall promise to provide that such policies shall not be suspended, voided
or canceled by either party, reduced in coverage or in limits except after thirty days prior written
notice; however, ten days prior written notice in the event of cancellation for nonpayment of
premium.
CONSULTANT shall maintain the foregoing insurance coverages in force until
the work under this Agreement is fully completed and accepted by CITY.
The requirement for carrying the foregoing insurance coverages shall not derogate
from the provisions for indemnification of CITY by CONSULTANT under the Agreement.
CITY or its representative shall at all times have the right to demand the original or a copy of all
said policies of insurance. CONSULTANT shall pay, in a prompt and timely manner, the
premiums on all insurance hereinabove required.
12. INDEPENDENT CONTRACTOR
CONSULTANT is, and shall be, acting at all times in the performance of this
Agreement as an independent contractor. CONSULTANT shall secure at its expense, and be
responsible for any and all payment of all taxes, social security, state disability insurance
compensation, unemployment compensation and other payroll deductions for CONSULTANT
and its officers, agents and employees and all business licenses, if any, in connection with the
services to be performed hereunder.
13. TERMINATION OF AGREEMENT
All work required hereunder shall be performed in a good and workmanlike
manner. CITY may terminate CONSULTANT's services hereunder at any time with or without
cause, and whether or not PROJECT is fully complete. CONSULTANT may terminate this
Agreement upon thirty (30) days prior notice to CITY. Any termination of this Agreement by
CITY or CONSULTANT shall be made in writing, notice of which shall be delivered to CITY or
CONSULTANT as provided herein.

14. ASSIGNMENT AND SUBCONTRACTING
This Agreement is a personal service contract and the supervisory work hereunder
shall not be delegated by CONSULTANT to any other person or entity without the consent of

15. COPYRIGHTS/PATENTS
CONSULTANT shalI-retain all rights to any patent or copyright on any work,
item or material owned by CONSULTANT and used in the performance of this Agreement.
16. CITY EMPLOYEES AND OFFICIALS
CONSULTANT shall employ no CITY official nor any regular CITY employee in
the work performed pursuant to this Agreement. No officer or employee of CITY shall have any
financial interest in this Agreement in violation of the applicable provisions of the California
Government Code.
17. NOTICES
Any notice or special instructions required to be given in writing under this
Agreement shall be given either by personal delivery to CONSULTANT's agent (as designated in
Section 1 hereinabove) or to CITY's Director of Public Works as the situation shall warrant, or
by enclosing the same in a sealed envelope, postage prepaid, and depositing the same in the
United States Postal Service, addressed as follows:

19. LEGAL SERVICES SUBCONTRACTING PROHIBITED
CONSULTANT and CITY agree that CITY is not liable for payment of any
subcontractor work involving legal services, and that such legal services are expressly outside the
scope of services contemplated hereunder. CONSULTANT understands that pursuant to
Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel for
CITY; and CITY shall not be liable for -payment of any legal services expenses incurred by
CONSULTANT.

20. ATTORNEY' S FEES
In the event suit is brought by either party to enforce the terms and provisions of
this agreement or to secure the performance hereof, each party shall bear its own attorney's fees.
21. ENTIRETY
The foregoing, and Exhibit "A" attached hereto, set forth the entire Agreement
between the parties.

RE: Community Development Block Grant Consultation — Request For Proposal
The City of Huntington Beach is currently without its CDBG Coordinator. The position is
vacant and it will be that way for the next few months. Correspondingly, the city is
recruiting an experienced CDBG consultant to assist the city in a variety of management
and administrative tasks related to the program. The consultative process is anticipated
to last until the end of the city's fiscal year (September 30, 1999).
The selected firm or individual must be experienced in the following:
• CDBG Regulations, public notice and reporting requirements, environmental
review and subgrantee monitoring,
• In depth experience with the Integrated Disbursement and Information System
(IDIS),
In depth experience with the Community 2020 software,
• Experience in a city setting in public administration and contracting, and
• City participation procedures.
The consultant must have excellent writing and oral communication skills and must be
able to work with a variety of people within the city, including the Citizen Participation
Advisory Board.
The consultant will need to spend a few hours a week in the city offices in order to
coordinate his/her work with the Economic Development management and staff. Hours
and days will be flexible, depending on the program's workload.
Please submit a letter proposal with a separate attachment on a fee schedule. A dollar
amount is not required. The hourly fee schedule will assist the city in deciding the

ADDITIONAL CITE( REQUIREMENTS FOR REQUEST FOR PROPOSAL
FOR CONSULTANT SERVICES
The proposal shall include the following:
A. Company Experience and History. In addition to a brief description of the
company, please provide descriptions of similar situations in which your firm
has participated
B. Staff Experience. Include the educational and professional experience working
with governmental agencies in the administration of the CDBG Program.
C. Client List. Provide a minimum of three clients your firm represented within the
last three years.
D. Insurance Information. The consultant must provide Workers Compensation
Insurance for its employees and provide $1,000,000 general liability insurance
and professional liability insurance naming the City as additional insured. To
be effective, such certificates must be approved by the City Attorney's office.
For the RFP, the consultant may either provide the required insurance
certificates or state that the required certificates shall be delivered prior to the
contract award.
2. City Commitment. The City is prepared to facilitate the success of the
assignments by providing a reasonable amount of staff support and access to
needed information, where available.
3. Selection Process. Of primary importance in the selection of a consultant will
lie the overall quality of the proposal as evidenced by previous
accomplishments and a demonstrated willingness to work with city officials.
The selection process includes staff screening the RFP responses to evaluate
the consultant's capability to do the work. Staff, at its own discretion, may also

A. CONSULTANT'S EXPERIENCE AND HISTORY
Mike Linares (Consultant), is a sole proprietor. Mr. Linares has close to 15
years of professional experience in the public sector. The Consultant has been
providing contract management services for the public sector since January
1995.
Mr. Linares has provided contract services to several Orange County
communities under various scenarios. These scenarios include on -going
program administration, temporary program administration, special
projects/assignments, preparation of grant applications, program
design/implementation, and general program consultation. Areas of consultation
include federal Community Planning and Development (CPD) programs (e.g.,
CDBG, HOME, homeless funds); redevelopment funded housing programs,
Welfare to Work programs, and general government services.
The Consultant has provides services to several Orange County communities
with similar needs as those of Huntington Beach. In April 1997, Mr. Linares was
engaged by the City of Buena Park to provide interim CDBG program
coordination services. Duties included preparation of the 1997 Annual Update
for CDBG funds and ancillary activities (e.g., preparation of environmental
reviews, sub -grantee monitoring). Similarly, in July 1997, the City of Tustin
retained the Consultant while its part-time CDBG Coordinator was out on
maternity leave. Services provided included preparation of the Annual Update,
Grantee Performance Report, implementation of IDIS, and other related tasks.
For the past four years, Mr. Linares has provided comprehensive
CDBG/HOME program management services for the City of Costa Mesa, and
related services to various other Southern California communities and non-
profits.
The Consultant is proficient with HUD's IDIS and 2020 software, and various
word processing and spreadsheet programs. The Consultant also is fluent in
Spanish.
B. STAFF EXPERIENCE
Mr. Linares has earned a Bachelor of Arts Degree in Political Science and a
Masters Degree in Public Administration - both from California State University,
Long Beach. The Consultant has continued to build his program knowledge by
attending specialized training programs and seminars. The Consultant has
attended several training programs for sponsored by HUD including
CDBGIHOME programs, prevailing wage, Section 3, and IDIS. The Consultant
also has attended several redevelopment housing seminars. Furthermore, as a
member of APA and NAHRO, the Consultant has earned several certificates of
completion for numerous training programs.
As stated above, the Consultant has close to 15 years of professional
experience in the public sector. He has worked for the cities of Santa Ana and
Anaheim. Positions held included Housing Programs Analyst and Neighborhood
Improvement Coordinator, respectively. These positions required
comprehensive program knowledge and the development of various project
management and administrative skills (including personnel supervision). The
Consultant also served as an Executive Assistant to former County Supervisor
Roger Stanton. This high -profile position required Mr. Linares to work closely
with constituents, elected officials, executive county administration, various
County commissions/committees, and county residents in general.
In 1995, Mr. Linares struck out on his own entrepreneurial venture - providing
professional services to Southern California local government agencies - with a
special focus on housing and CPD programs. Services provided have ranged in
scope, however, primary focus has been on the administration of the
CDBGIHOME program. A partial list of clients is provided below.

D. INSURANCE INFORMATION
As a sole proprietor the Consultant does not carry Workers Compensation
insurance coverage and will attest to this fact. The Consultant carries auto and
general liability insurance policies with coverage up to $1,000,000. Attached is a
copy of this existing policy for the City of Costa Mesa approved by the Costa
Mesa's Risk Manager. The City of Huntington Beach will be listed as additionally
insured on this policy prior to award of contract.

FEEg FOR PROFESSIONAL SERVICES
Fees for professional services will be billed at a rate of $60.00 per hour.
The Consultant will invoice the City on a monthly basis, and will provide a matrix
displaying dates and hours of service, with a short description of services
provided during the billing period.
Special order materials (e.g., computer -generated slides, overheads,
report binding, etc.) will be billed at cost plus 10%. Outlay (e.g., air faire, hotel,
transportation, etc.) for travel required by the City outside of the Orange/Los
Angeles metro area will be billed at cost. Auto mileage reimbursement for
required travel outside of the Orange/Los Angles metro area will be billed at the
current IRS approved rate.

Introduction
This is in response to your request for a proposal for Community Development Block Grant
(CDBG) Consultation
Qualifications of Firm
Shaw and Associates (the " Consultant") is a multi -disciplinary economic development consulting
firm specializing in Economic Development, Housing and Commercial Rehabilitation, CDBG
administrative management and grant funded program implementation. Specific areas of expertise
include housing and commercial rehabilitation program design and implementation; identification,
application and implementation of supplemental government funding; establishing and packaging
business attraction and retention incentives; and, commercial district management.
Specifically related to the area of CDBG program administration, the consultant has nearly twenty
years of experience managing CDBG programs. Program activities have included the preparation
of applications for funding, including annual and five-year consolidated plans; completion of
Grantee Performance Reports, completion of Consolidated Annual Performance Reports
(CAPERS); Impediments to Fair Housing Reports, environmental clearance documentation;
finance management, management of IDIS systems and project implementation. We also have
extensive experience with other HUD related grant programs including Section 202 housing
applications and Section 108 Guaranteed Loan applications.
Services
CDBG Administrative Services
Annual Action Plan: Prepare the annual application in accordance with CDBG
guidelines utilizing HUD 2020 software. Preparation includes all required public
notices, public hearings, liaison with public service organizations,
recommendations for funding, preparation of the annual plan, Council approval
and submission to HUD by the required date and in the required format.
2. Environmental Clearances: Upon Plan approval by HUD, prepare all
environmental clearance documentation in accordance with HUD regulations, to
allow program implementation Activities include document preparation, required
notices, release of fund certifications to HUD.
Sub -contracts: Any and all sub -contractors, including CBOs, will require contracts
for utilization of HUD funds. Activities include preparation and execution of
contracts, confirmation of insurance, notification of accounting and auditing
procedures, fund disbursement, project monitoring, recordkeeping and project
close-out.

d. Project maintenance/IDIS: HUD requires the use of the on-line IDIS system for
maintenance of projects, allocation of funds and drawdown of funding
reimbursements to the City. All projects will be maintained on the IDIS system as
required by HUD. All reimbursements will be implemented upon request and
reconciliation by the City's Finance Department.
Grantee Performance Report: Completion of the City's Grantee Performance
Report (GPR) at the close of each program year. Activities include completion of
required GPR documents, close-out of projects on the IDIS system, public
notification and submission to HUD
G. Consolidated Annual Performance Report: Completion of the City's Consolidated
Annual Performance Report (CAPER) as required by HUD. Activities include
completion of narrative report in relation to existing Five-year Consolidated Plan.
Public notices and submission to HUD.
7. Five-year Consolidated Plan: Assist in the development of the Five-year
Consolidated Plan. Ensure that all required components are completed accurately
and completely. Assist with information gathering. Assist in development of goals
and objectives for long-term HUD funding.
Technical Assistance: Provide technical assistance in interpreting HUD regulations
and in the development of programs utilizing HUD funds.

KIM SHAW-
Kim Shaw will be the Contract Manager and principal contact for the project. Ms. Shaw
is known Statewide for the Business Development, Attraction and Retention efforts. She
pioneered the concept of " Red Teams" and " Red Team Training" through the State
Trade and Commerce Agency. Ms. Shaw also has extensive experience in managing
CDBG grant funds and is known for her ability with CDBG technical assistance and
processing. Expedited processing of grant applications, including Section 108 Guaranteed
Loan funds are her expertise. Communities Ms. Shaw has previously worked for or on
behalf of include Anaheim, Brea, Coachella, Fullerton, Hesperia, Rolling Hills Estates,
Indio, Lancaster, Los Angeles, Palm Springs, Palmdale, Paso Robles, Redding, San
Francisco, San Jose, Santa Ana, Upland, the County of Los Angeles and the County of
San Bernardino.
Ms Shaw has a Bachelor of Arts Degree from the University of Southern California.
BILL SHAW-
Mr. Shaw has extensive background in commercial and public finance, mortgage banking
and community development. Has been involved with administration of Housing
Rehabilitation and Commercial and Industrial revitalization in Hesperia, Upland, Palmdale
and the County of Los Angeles.
Mr. Shaw has a Bachelor of Science Degree from the University of the Pacific
JIM HEIDENREICH-
Mr. Heidenreich has extensive expertise in construction management, bidding, plan
development, commercial rehabilitation, public improvements and permit processing. Mr.
Heidenreich's extensive background in code -related building renovation and downtown
revitalization has proved invaluable to the success of many difficult conunercial reuse
projects throughout Los Angeles County. Mr. Heidenreich has developed rehabilitation
programs ranging from individual building rehabilitation to comprehensive district -wide
revitalization carried out by the agency in cooperation with the property owners.

Subject: Proposal for Consulting Services - CDBG Program
(A) Company Experience and History. Thank you for your letter
of Request for Proposals. I have been working with CDBG programs
since the federal program started 23 years ago. After serving as
Grants Coordinator for the City of Santa Ana for 10 years, I have been
an independent consultant to cities for the last 13 years. I normally
work with cities on a fairly informal basis, invoicing them only for actual
hours spent consulting or writing. I have helped the cities of Santa Ana,
Pomona, Monterey Park, and Westminster develop and successfully
file HUD Section 108 Loan Applications
My first consulting job was with the City of Pomona, a 20 hour
per -week one year contract. The contract was extended for several
more years. I helped both the redevelopment and CDBG staff. Since
then, I have worked with Monterey Park (several times), Newport Beach
(for five years), Irvine (for three years), Westminster (for nine years),
LaVerne (three years), Oceanside (for 6 months), and Hawthorne
(since three years ago). Twice with the City of Westminster, when a
staff person left, they chose to promote an untrained employee into the
Coordinator's position with the understanding that I would continue my
contract and train the employee. That was also the case with Irvine
when they recruited, then decided to transfer one of their Planners into
the CDBG Coordinator's position. I have attended all the HUD trainings
concerning the Integrated Disbursement and Information System (IDIS)
and the Community 2020 software, and have taught city staff to use the
systems. I have developed several of the processes into flow chart
form to make them easier to follow.
(B) Staff "x rience. I usually work alone. People are normally
paying for my years of experience and I have found very few tasks that I
could comfortably turn over to an assistant. I have several friends who
are also consultants, and we sometimes help each other, but I would
only do that with your permission. I work with a professional typist when
necessary, but usually cities prefer to have me work with their support
staff. Perhaps because I started my professional career as a high
school teacher, I usually view my primary role as a staff trainer. I have
a good working relationship with the staff at both the L.A. Area Office of
HUD and the Washington, D.C. National Headquarters for HUD.
(D) Insurance information. The required general liability
insurance and professional liability insurance certificates will be
provided to the City.
Currently, I am working with Ralph Castanada to consult with the
City of Hawthorne. I also teach management training seminars for
middle managers in the City of Los Angeles one or two days a week.
My schedule is still flexible, though, and this would leave time

My fee is $241hr. with a 200% overhead factor, which totals $721hr. I
do not charge for travel time, but there is a one hour minimum for site
visits and a 10 minute minimum for phone calls. I carry a pager with
me at all times and can usually return calls within a few minutes. There
is a $281hr. charge for my typist's time.
