Service Contracts
Statement of Issue, Funding Source, Recommended Action, Alternative Action(s), Analysis, Environmental Status, Attachment(s)
Statement of Issue: The Public Works Department requires professional corrosion
engineering services on an as needed basis to support staff for the design and construction
of capital projects.
Funding Source: Funds are available within budgeted water capital improvement
projects. Additional City Council authorization will be requested for unbudgeted projects, if
necessary.
Recommended Action: Motion to:
1. Approve and authorize the Mayor and City Clerk to execute Amendment No.1 to
the Maintenance and Professional Service Contracts for DeC Consultants Inc. for
as -needed Corrosion Engineering Service Contracts.
2. Approve and authorize the Mayor and City Clerk to execute Amendment No.1 to
the Maintenance and Professional Service Contracts for M.J. Schiff & Associates
Inc. for as -needed Corrosion Engineering Service Contracts. -
Alternative Action(s): Do not authorize the amendments and direct staff to request
proposals from other corrosion -engineering firms for maintenance and design services for
various capital projects.

Analysis: The City's potable water Capital Improvement Program is approximately $11
million in FY 2005/06. Projects include the installation of new water mains, and corrosion
control on more than 13 miles of the City's transmission mains. The design and
maintenance of corrosion control facilities for these projects is assigned to either of the two
firms specializing in corrosion engineering.
In April 2005, the City retained the services of two Corrosion Engineering firms, DeC
Consultants Inc., and M. J. Schiff and Associates Inc. The original contracts were for three
(3) year durations and for amounts not to exceed $90,000 each. In the first year of these
contracts the City has utilized approximately 45% of the value of the contracts. Amending
these contracts to amounts not to exceed $250,000 each will insure adequate funds are
available through the contract term. The contract term is not changed by the amendments.
Project assignments are rotated between the two consultants. Proposals were requested
and submitted in compliance with Chapter 3.03 of the Huntington Beach Municipal Code.
Funding sources will be capital project accounts, using the approved project budgets.

AMENDMENT NO. 1 TO MAINTENANCE AND PROFESSIONAL SERVICES
CONTRACT BETWEEN THE CITY OF HUNTINGTON BEACH AND
M. J. SCHIFF & ASSOCIATES, INC. FOR AS -NEEDED CORROSION
ENGINEERING AND MAINTENANCE SERVICES
THIS AMENDMENT is made and entered into by and between the City of Huntington
Beach, a municipal corporation of the State of California, hereinafter referred to as "CITY," and
M. J. SCHIFF & ASSOCIATES, INC., a California corporation, hereinafter referred to as
"CONSULTANT."
WHEREAS, CITY and CONSULTANT are parties to that certain agreement, dated April
26, 2005, entitled "Maintenance and Professional Services Contract Between the City of
Huntington Beach and M. J. Schiff & Associates, Inc. for As -Needed Corrosion Engineering
And Maintenance Services" which agreement shall hereinafter be referred to as the "Original
Agreement," and
CITY and CONSULTANT wish to amend the Original Agreement to reflect additional
compensation to be paid to CONSULTANT,
NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows:
1. ADDITIONAL COMPENSATION
Section 4 of the Original Agreement, entitled "Compensation," is hereby amended to read
as follows:
In consideration of the performance of the services described herein, CITY agrees
to pay CONSULTANT on a time and materials basis at the rates specified in Exhibit "B," ( the
Fee Schedule) which is attached hereto and incorporated by reference into this Agreement, a fee,
including all costs and expenses, not to exceed Two Hundred Fifty Thousand Dollars
($250,000.00).
2. REAFFIRMATION
Except as specifically modified herein, all other terms and conditions of the
Original Agreement shall remain in full force and effect.

1.0 PROJECT APPROACH
MJS&A submits this proposal for As -needed Corrosion Engineering Services as requested by the
City of Huntington Beach Public Works Engineering Division (City) in their Request For
Proposals dated September 9, 2004. MJS&A will provide qualified personnel to meet the needs
of the City. Team members were chosen primarily based on extensive experience on similar
projects. Our team members are well experienced in the implementation and development of
corrosion control programs of this size and complexity, as we specialize primarily in water and
wastewater corrosion mitigation. As can be seen from our discussion and layout of the Scope of
Work below, our approach to the essential elements for this project will be a comprehensive and
thorough completion of individual tasks or all scope -of -Work items in an integrated fashion.
Mention is made. in the description of scope of work the consultant shall perform corrosion
engineering services on an "as -needed" basis and the scope for any one project may involve all
phases of project development. This works well with MJS&A's philosophy that individual
project tasks are integral to previous and subsequent tasks. Field services naturally lead into
preliminary engineering and then into permits, etc. Any one task is important and can be
accomplished as a stand-alone item, yet the overall project relies on successful completion of the
individual tasks as building blocks in order to provide a comprehensive package. MJS&A
recognizes this and our services are tailored to this effect.
A sometimes unstated, though basic goal, of corrosion evaluation on pipelines is to develop
recommendations_ to meet the City's objective of an increased life cycle. Extending each
pipeline's life cycle, and ultimately the entire pipeline network, utilizing the economical tools
available to the corrosion engineer is the basic goal. For a pipeline network therefore, the goal of
MJS&A's evaluation will be to: provide conclusions regarding the condition of the pipeline; a
ranking of the pipelines based on overall corrosion susceptibility; and specific recommendations
to extend pipeline life through monitoring, remedial repairs, cathodic protection, and
maintenance.
Field Services:
MJS&A has experience in collection of soil samples and evaluation of corrosivity of the soil
environment. Soil resistivity is a major determiner of corrosion, and three methods are used to
evaluate the soil resistivity:
• Wenner four -pin: this test _method is done at a variety of depths to calculate the resistivity
of the soil where the structure is buried;
• Electromagnetic conductivity (Emag): The advantage of the Emag is efficiency, where
the data collection can be performed by a hand held unit. The Emag produces a measure
of soil conductivity, however, so Wenner four -pin testing is used in combination i with
Emag to provide for evaluation against the industry accepted categories of corrosivity;
• Laboratory analysis: Additional soil resistivity data will be measured through laboratory
analysis. along with the concentration of soluble chemical species. Soil samples will be
analyzed n "LVUS&A's in-house soil laboratory, measuring the resistivity in both the.as.;
received and saturated state to determine the corrosivity of the soil based on the most

corrosive condition. Laboratory testing will also provide the concentration of soluble
chemical species that are known to contribute to corrosion. All of the soil corrosivity data
types will be weighed to refine the evaluation and provide a quantitative basis of material
selection.
MJS&A's laboratory will analyze more than 5,000 samples this year and our day-to-day work
includes corrosivity evaluation. James Keegan is our laboratory manager and will be responsible
for all soil analysis as well as water corrosivity analysis. MJS&A laboratories are also capable of
analyzing paint samples for heavy metals.
With respect to forensic engineering services, MJS&A's approach is to investigate the corrosion
problem, collecting all the information that can be retrieved in order to develop what is the most
probable failure mode consistent with the test data and results, laboratory analysis, and physical
findings. We collect the necessary on -site information and samples for metallurgical, chemical,
and ASTM C856 petrographic analysis.
MJS&A personnel are experienced in collection of corrosion control data as part of our day-to-
day business. These data give information on the corrosion condition and/or efficiency and
sufficiency of cathodic protection. Proper positioning of reference electrodes is critical in
providing accurate and repeatable data used in analysis of cathodic protection system efficacies.
An integrated approach using soil data, pipe -to -soil potentials, knowledge of the structure (or
facility) and if necessary, information derived from forensic services obtained from various
existing facilities is analyzed and used to provide prioritized recommendations for corrosion

A unique approach that MJS&A has developed is the training of utility personnel in the accurate
and proper collection of corrosion field data. This allows the people most familiar with the
facilities to collect the data. Once data are collected, they are reviewed and if necessary, verified.
This process has-been put into practice with Irvine Ranch Water district, Calleguas Municipal
Water district and San Diego County Water Authority.
Preliminary Engineering:
To assure efficiency and consistency, MJS&A helps develop and implement standardized details
and specifications for use in providing system wide conformance. Along with development of
detail drawings,com alternative layouts, estimates for probable costs and calculations 4he+0AJ-
permit value engineering choices to be made. Development of alternate layouts is a culmination
of efforts performed by a contractor, City and/or MJS&A personnel. Information obtained
during the Field Services is utilized during the Preliminary Engineering.
Permits:
MJS&A would be available to- assist the City in developing the information necessary as well as
performing the legwork in obtaining approvals from applicable agencies for environmental,
and/or other permits as may be required. MJS&A has performed similar services for Irvine

Construction Documents:
MJS&A regularly prepares documents for various agencies in our day -to day work. Documents
I
ould consist of engineering calculations, designs, plans, specifications, estimates of most
probable cost and contract bidding documents. Documents suitable for Bidding including
General Provisions (provided by the City), Special Provisions, Technical Specifications, Cathodic
Protection system design drawings, Contract Documents (provided by the District), Bid Schedule
and Cost Estimate are typically provided.
Submittals are typically made for review by the client (City) during the preliminary design phase,
at, 60% completion and final stage. Documentation would be submitted as required in a
hardbound copy as well as electronically in Microsoft Office format. Drawings would be
submitted electronically as well in AutoCAD 2000 and on inked mylars in size D (24x36).
Bidding Stage:
As part of our Project Management services, MJS&A would be available to assist the City in
answering bidders' questions, attend pre -bid conferences and job walks, prepare addenda,
analyze bids and recommend award.
Construction Stage:
Success in construction projects is often based in a solid and positive working relationship with
the Owner: and'contractor personnel. This often begins with the pre -construction conference and
.lasts through the final completion and acceptance of the project by the Owner. MJS&A works
hard to achieve a harmonious environment and would assist the engineer, contractor and
inspector with the interpretation of the plans specifications, analysis of changed conditions,
development of corrective action(s), review of shop drawings and other submittals and the
review and negotiation of change orders with respect to the project. At the completion of a
project, MJS&A often prepares "As -built" drawings.
Construction Inspection:
As part of the Construction Stage, MJS&A is often asked to coordinate and perform construction
inspection services. Should these services be requested, they typically include either part-time or
full-time inspection attendance. The inspection services, be they for cathodic protection
appurtenances or for coatings, include daily inspection reports and assessment reports for records
keeping.
A regular part of MJS&A's daily operations is Coatings Consulting. Services provided include:
Review or develop specifications for coatings and/or linings projects. Investigate sources of
coatings failures or defects and make recommendations for corrective actions. Provide expertise
in selecting materials for various service environments.
MJS&A maintains full time Coatings Inspectors. Services provided include: Provide full time
or develop surveillance inspection programs to ensure specification compliance of major coatings
projects. These services include survey assessments of existing structures, specification
development, failure analysis, material selection, and installation inspection of both liquid

Design/Build:
Should the City identify the need at the onsei of a project, MJS&A could and has teamed or
partnered with a contractor to provide design/build services. Services provided would typically
be a compilation of the above services and result in a functionally operable system upon
completion.

Dr. Graham E.C. Bell, P.E., is the Principal Engineer. Dr. Bell will be the Project Principal, and
will have a time commitment of 10%. Dr.. Bell has more than 20 years of experience in the
designing and testing of corrosion control facilities and in the forensic evaluating of corrosion
damage on buried and submerged structures, and his commitment to excellence was reflected in
the NACE International Western Region Engineer of the Year. Dr. Bell spent more. than seven
years in basic corrosion research at Oak Ridge National Laboratory. Dr. Bell has managed multi-
million -dollar research programs as well as tests for hundreds of structures and. pipelines. Dr. Bell
is a registered Corrosion Engineer in the State of California and a registered Mechanical Engineer
in the States of Tennessee, Nevada, and Arizona. He is a NACE International Certified Corrosion
Specialist P and Cathodic Protection Specialist.
Mr. John W. French, P.E., is Chief Engineer with M.J. Schiff & Associates. Mr. French will be
responsible for the technical direction of the project and have QA/QC responsibility, and will have
a time commitment of 15%. Mr. French is registered in the State. of California as a Corrosion
Engineer and is a Certified NACE International Cathodic Protection Specialist. Mr. French has 20
plus years experience in the corrosion engineering field, extending from design, testing, and

4.0 STATEMENT OF QUALIFICATIONS
M.J. Schiff & Associates (MJS&A) has provided corrosion. engineering consulting services for
more than 45 years. Established in 1959 by our founding engineer, Mr. Melvin Schiff, MJS&A
is one. of the. oldest independently owned and operated corrosion engineering firms in the United
States.
Our firm focuses on corrosion engineering, corrosivity and coating -related services to assist
architects/engineers and owners in having structures with low maintenance costs and long
trouble -free lives. MJS&A neither sells nor installs cathodic protection or corrosion control
equipment, nor are we connected in any way with firms that do. This independence allows us to
provide unbiased recommendations, specifications, and designs. If clients request or require
corrosion control materials and facility installation, MJS&A assists them in obtaining and
evaluating bids from qualified contractors.
MJS&A is one of the very few consulting corrosion 'engineering firms that have continuously
carried professional liability insurance. Our no -claims -made track record is attributable to
MJS&A's attention to detail, quality assurance, and quality control for its projects.
MJS&A operated as a sole proprietorship until December 31, 1993, at which time we
incorporated. M.J. Schiff & Associates, Inc., operates as a succeeding entity to the previous sole
proprietorship. The corporation is closely held in the state of California and operates under
subchapter S of the federal tax code with two principal shareholders. MJS&A is financially
stable and has adequate access to capital. The corporation, its predecessor, and its officers have
never filed for bankruptcy or for protection under the bankruptcy laws. There are no plans for
dissolution of the Company, and plans for continued operation and expansion are in place.

Failure Analysis and Corrosion Damage Assessments — Determine cause and extent of corrosion

circulation improvements. MJS&A prepared the plans and specifications and assisted the owner
during the bid process completed in 2003 (contract value $94,000). MJS&A was selected. to
perform construction services (contract value of $256,000) to review submittals and inspect
coating and cathodic protection work, and hired a civil engineering firm to inspect water
circulation and structural work.
The work must be performed during the winter when water demands are lower, and the work

Situation:
CMWD provides water wholesale to communities in the eastem Ventura County including
Moorpark, Simi Valley, Thousand Oaks, and to the west to include Camarillo and Oxnard.
CMWD receives water from MWD in western Los Angeles County and delivers it through two
conduits to the Bard Reservoir and treatment facility. CMWD's infrastructure includes water
treatment, storage, and hundreds of miles of water transmission pipelines. Corrosion control
ranges from cement -mortar coatings, joint bonds, insulated joints, and test stations to active
impressed current cathodic protection systems. In 1986 and 1997, CMWD experienced failures
in one of its PCCP conduits.
MJS&A's Response:
MJS&A has reviewed existing reports, designs, and survey data and developed work plans for
the next step of investigation of CMWD's existing steel and PCCP pipelines. Recommendations
for continued operation have been made based on soil and groundwater corrosivity in
conjunction with the needs of CMWD and affected communities. Our work has included
electromagnetic conductivity surveys, corrosion and cathodic protection surveys, obtaining and
testing soil and groundwater samples, internal inspections, cathodic protection and coating
evaluation for steel reservoirs, cathodic protection and corrosion control design, and stray current

Personnel -time is billed in one -hour increments. These rates apply to regular and travel time.
Charges for travel time will be limited to eight (8) hours per day. Overtime, if required in the
interest of the project, will be charged at the above rates for professional personnel and 1.5 times
the above rates for inspector, technician, and clerical personnel. Coating inspection has a four (4)
hour minimum charge.
EQUIPMENT AND MISCELLANEOUS CHARGES:
Personnel charges include the indicating instruments commonly used in corrosion testing.
However, specialized instrumentation, test equipment, and facilities may require an additional
charge. Other direct costs, such as outside consultants and rental equipment; will be charged at cost
plus fifteen percent (15%). Travel expenses including subsistence and local transportation, special
permits and fees, special reproduction, binding, overnight mail or courier services, insurance, and
other similar expenses are charged at cost plus eight percent (8%). .
Vehicles will be charged at $0.50 per mile or $50/day, whichever is greater.
Photographs and micrographs are $5 per image and include report, client and record files copies.
Digital copies of images can be provided on CD-ROM for an additional charge of $1 per image.

MAINTENANCE AND PROFESSIONAL SERVICES CONTRACT
BETWEEN THE CITY OF HUNTINGTON BEACH AND
M. J. SCHIFF & ASSOCIATES, INC. FOR AS -NEEDED CORROSION
ENGINEERING AND MAINTENANCE SERVICES
THIS AGREEMENT ("Agreement") is made and entered into by and between the City of
Huntington Beach, a municipal corporation of the State of California, hereinafter referred to as
"CITY," and M. J. SCHIFF & ASSOCIATES, INC., a California corporation, hereinafter
referred to as "CONSULTANT."
WHEREAS, CITY desires to engage the services of a consultant to provide as -needed
corrosion engineering services as well as limited adjunct maintenance and repair services; and
Pursuant to documentation on file in the office of the City Clerk, the provisions of the
Huntington Beach Municipal Code and City Charter relating to procurement of professional
service contracts have been complied with; and
CONSULTANT has been selected to perform these services,
NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows:
1. SCOPE OF SERVICES
CONSULTANT shall provide all services as described in Exhibit "A," which is
attached hereto and incorporated into this Agreement by this reference. These services shall
sometimes hereinafter be referred to as the "PROJECT."
CONSULTANT hereby designates Graham Bell, who shall represent it and be its
sole contact and agent in all consultations with CITY during the performance of this Agreement.
2. CITY STAFF ASSISTANCE
CITY shall assign a staff coordinator to work directly with CONSULTANT in the
performance of this Agreement.

3. TERM, TIME OF PERFORMANCE
The services of CONSULTANT are to commence as soon as directed by the
Director of Public Works or his designee after the execution of this Agreement by CITY. This
Agreement shall automatically terminate three (3) years from the execution date, unless extended
or sooner terminated as provided herein. If directed by the CITY, all tasks specified in the Scope
of Services shall be completed no later than three (3) years from the Commencement Date. The
time for performance of the tasks identified in the Scope of Services are at the direction of the
Director of Public Works or his designee. This schedule may be amended to benefit the
PROJECT if mutually agreed to in writing by CITY and CONSULTANT.
4. COMPENSATION
In consideration of the performance of the services described herein, CITY agrees
to pay CONSULTANT on a time and materials basis at the rates specified in Exhibit "B," ( the
Fee Schedule) which is attached hereto and incorporated by reference into this Agreement, a fee,
including all costs and expenses, not to exceed Ninety Thousand Dollars ($90,000.00).
5. EXTRA WORK
In the event CITY requires additional services not included in the Scope of
Services or changes in the scope of services described in the Scope of Services CONSULTANT
will undertake such work only after receiving written authorization from CITY. Additional
compensation for such extra work shall be allowed only if the prior written approval of CITY is
obtained.
6. METHOD OF PAYMENT
CONSULTANT shall be paid pursuant to the following:
CONSULTANT shall submit to CITY an invoice for each monthly progress
payment due. Such invoice shall:

A) Reference this Agreement;
B) Describe the services performed;
C) Show the total amount of the payment due;
D) Include a certification by a principal member of CONSULTANT's firm
that the work has been performed in accordance with the provisions of this
Agreement; and
E) For all payments include an estimate of the percentage of work completed.
Upon submission of any such invoice, if CITY is satisfied that CONSULTANT is
making satisfactory progress toward completion of tasks in accordance with this Agreement,
CITY shall approve the invoice, in which event payment shall be made within thirty (30) days of
receipt of the invoice by CITY. Such approval shall not be unreasonably withheld. If CITY
does not approve an invoice, CITY shall notify CONSULTANT in writing of the reasons for
non -approval and performance may at the option of CITY be suspended until the parties agree
that past performance by CONSULTANT is in, or has been brought into compliance, or until this
Agreement has expired or is terminated as provided herein.
7. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS
CONSULTANT agrees that title to all materials prepared hereunder, including,
without limitation, all original drawings, designs, reports, both field and office notices,
calculations, computer code, language, data or programs, maps, memoranda, letters and other
documents, shall belong to CITY, and CONSULTANT shall turn these materials over to CITY
upon expiration or termination of this Agreement or upon PROJECT completion, whichever
shall occur first. These materials may be used by CITY as it sees fit.
8. DIFFERING SITE CONDITIONS
A. Notice: The CONSULTANT shall promptly, and before any
conditions are disturbed, notify the Director of Public Works ("DPW") in writing of:

(1) Subsurface or latent physical conditions at the job site differing
materially from those indicated in this Agreement or other CITY documents; or
(2) Unknown physical conditions at the job site, of an unusual nature,
differing materially from those ordinarily encountered and generally recognized as inherent to
work of the character to be performed under this Agreement. The DPW shall promptly
investigate the conditions and if it finds that such conditions do materially so differ and cause an
increase or decrease in the time required for performance of any part of the work under this
Agreement, whether or not changed as a result of such conditions, an equitable adjustment shall
be made and the Agreement modified in writing accordingly.
B. Time Extension: No claim of the CONSULTANT under this Section
shall be allowed unless the CONSULTANT has given the notice required hereunder, provided,
however, the time prescribed therefor may be extended by CITY.
9. SAFETY PRACTICES
CONSULTANT shall comply fully with all laws, orders, citations, rules,
regulations, standards and statutes, with respect to occupational health and safety, the handling
and storage of hazardous materials, accident prevention, safety equipment and construction
practices. CONSULTANT shall conduct inspections to determine that safe working conditions
and equipment exist and accepts sole responsibility for providing a safe place to work for its
employees and for employees of its subcontractors and suppliers of material and equipment, if
any, for adequacy of and required use of all safety equipment and for full compliance with the
aforesaid laws, orders, citations, rules, regulations, standards and statutes.

10. HOLD HARMLESS
CONSULTANT hereby agrees to protect, defend, indemnify and hold harmless
CITY, its officers, elected or appointed officials, employees, agents and volunteers from and
against any and all claims, damages, losses, expenses, demands and defense costs (including,
without limitation, costs and fees of litigation of every nature or liability of any kind or nature)
arising out of or in connection with CONSULTANT's performance of this Agreement or its
failure to comply with any of its obligations contained in this Agreement by CONSULTANT, its
officers, agents or employees except such loss or damage which was caused by the sole
negligence or willful misconduct of CITY. CONSULTANT will conduct all defense at its sole
cost and expense, and CITY shall approve selection of CONSULTANT's counsel. This
indemnity shall apply to all claims and liability regardless of whether any insurance policies are
applicable. The policy limits do not act as a limitation upon the amount of indemnification to be
provided by CONSULTANT.
11. PROFESSIONAL LIABILITY INSURANCE
CONSULTANT shall furnish a professional liability insurance policy covering
the work performed by it hereunder. This policy shall provide coverage for CONSULTANT's
professional liability in an amount not less than One Million Dollars ($1,000,000) per occurrence
and in the aggregate. The above -mentioned insurance shall not contain a self -insured retention,
"deductible" or any other similar form of limitation on the required coverage except as provided
by the insurance waiver on file with this Agreement. A claims -made policy shall be acceptable
if the policy further provides that:

A. The policy retroactive date coincides with or precedes the initiation of the
scope of work (including subsequent policies purchased as renewals or
replacements).
B. CONSULTANT shall notify CITY of circumstances or incidents that
might give rise to future claims.
CONSULTANT will make every effort to maintain similar insurance during the
required extended period of coverage following PROJECT completion. If insurance is
terminated for any reason, CONSULTANT agrees to purchase an extended reporting provision
of at least two (2) years to report claims arising from work performed in connection with this
Agreement.
12. WORKERS' COMPENSATION INSURANCE
Pursuant to California Labor Code section 1861, CONSULTANT acknowledges
awareness of section 3700 et seq. of said Code, which requires every employer to be insured
against liability for workers' compensation; CONSULTANT covenants that it will comply with
such provisions prior to commencing performance of the work hereunder.
CONSULTANT shall maintain workers' compensation insurance in an amount of
not less than One Hundred Thousand Dollars ($100,000) bodily injury by accident, each
occurrence, One Hundred Thousand Dollars ($100,000) bodily injury by disease, each employee,
Two Hundred Fifty Thousand Dollars ($250,000) bodily injury by disease, policy limit.
CONSULTANT shall require all subcontractors to provide such workers'
compensation insurance for all of the subcontractors' employees. CONSULTANT shall furnish
to CITY a certificate of waiver of subrogation under the terms of the workers' compensation
insurance and CONSULTANT shall similarly require all subcontractors to waive subrogation.

13. INSURANCE
In addition to the workers' compensation insurance and CONSULTANT's
covenant to indemnify CITY, CONSULTANT shall obtain and furnish to CITY, a policy of
general public liability insurance, including motor vehicle coverage covering the PROJECT.
Said policy shall indemnify CONSULTANT, its officers, agents and employees, while acting
within the scope of their duties, against any and all claims of arising out of or in connection with
the PROJECT, and shall provide coverage in not less than the following amount: combined
single limit bodily injury and property damage, including products/completed operations liability
and blanket contractual liability, of $1,000,000 per occurrence. If coverage is provided under a
form which includes a designated general aggregate limit, the aggregate limit must be no less
than $1,000,000. Said policy shall name CITY, its officers, and employees as Additional
Insureds, and shall specifically provide that any other insurance coverage which may be
applicable to the PROJECT shall be deemed excess coverage and that CONSULTANT's
insurance shall be primary.
Under no circumstances shall said above -mentioned insurance contain a self -insured
retention, or a "deductible" or any other similar form of limitation on the required coverage.
14. CERTIFICATES OF INSURANCE, ADDITIONAL INSURED
ENDORSEMENTS
Prior to commencing performance of the work hereunder, CONSULTANT shall
furnish to CITY certificates of insurance subject to approval of the City Attorney evidencing the
foregoing insurance coverages as required by this Agreement; said certificates shall:
1. provide the name and policy number of each carrier and policy;
2. shall state that the policy is currently in force;

3. shall promise to provide that such policies will not be canceled or
modified without thirty (30) days' prior written notice of CITY; and
4. shall state as follows: "The above -detailed coverage is not subject to any
deductible or self -insured retention, or any other form of similar -type
limitation. "
CONSULTANT shall maintain the foregoing insurance coverages in force while
working under this Agreement.
The requirement for carrying the foregoing insurance coverages shall not derogate
from the provisions for indemnification of CITY by CONSULTANT under the Agreement.
CITY or its representative shall at all times have the right to demand the original or a copy of all
said policies of insurance. CONSULTANT shall pay, in a prompt and timely manner, the
premiums on all insurance hereinabove required.
A separate copy of the additional insured endorsement to each of
CONSULTANT's insurance policies, naming the CITY, its officers and employees as Additional
Insureds shall be provided to the City Attorney for approval prior to any payment hereunder.
15. CERTIFICATE OF INSURANCE
Prior to commencing performance of the work hereunder, CONSULTANT shall
furnish to CITY a certificate of insurance subject to approval of the City Attorney evidencing the
foregoing insurance coverage as required by this Agreement; the certificate shall:
A. provide the name and policy number of each carrier and policy;
B. state that the policy is currently in force; and
C. promise that such policy shall not be suspended, voided or canceled by
either party, reduced in coverage or in limits except after thirty (30) days'

prior written notice; however, ten ( 10) days' prior written notice in the
event of cancellation for nonpayment of premium.
CONSULTANT shall maintain the foregoing insurance coverage in force until the
work under this Agreement is fully completed and accepted by CITY.
The requirement for carrying the foregoing insurance coverage shall not derogate
from the provisions for indemnification of CITY by CONSULTANT under the Agreement.
CITY or its representative shall at all times have the right to demand the original or a copy of the
policy of insurance. CONSULTANT shall pay, in a prompt and timely manner, the premiums on
the insurance hereinabove required.
16. INDEPENDENT CONSULTANT
CONSULTANT is, and shall be, acting at all times in the performance of this
Agreement as an independent contractor herein and not as an employee of CITY.
CONSULTANT shall secure at its own cost and expense, and be responsible for any and all
payment of all taxes, social security, state disability insurance compensation, unemployment
compensation and other payroll deductions for CONSULTANT and its officers, agents and
employees and all business licenses, if any, in connection with the PROJECT and/or the services
to be performed hereunder.
17. TERMINATION OF AGREEMENT
All work required hereunder shall be performed in a good and workmanlike
manner. CITY may terminate CONSULTANT's services hereunder at any time with or without
cause, and whether or not the PROJECT is fully complete. Any termination of this Agreement
by CITY shall be made in writing, notice of which shall be delivered to CONSULTANT as
provided herein. In the event of termination, all finished and unfinished documents, exhibits,

report, and evidence shall, at the option of CITY, become its property and shall be promptly
delivered to it by CONSULTANT.
18. ASSIGNMENT AND DELEGATION
This Agreement is a personal service contract and the work hereunder shall not be
assigned, delegated or subcontracted by CONSULTANT to any other person or entity without
the prior express written consent of CITY. If an assignment, delegation or subcontract is
approved, all approved assignees, delegates and subconsultants must satisfy the insurance
requirements as set forth in Sections 9 and 10.
19. COPYRIGHTS/PATENTS
CITY shall own all rights to any patent or copyright on any work, item or material
produced as a result of this Agreement.
20. CITY EMPLOYEES AND OFFICIALS
CONSULTANT shall employ no CITY official nor any regular CITY employee
in the work performed pursuant to this Agreement. No officer or employee of CITY shall have
any financial interest in this Agreement in violation of the applicable provisions of the California
Government Code.
21. NOTICES
Any notices, certificates, or other communications hereunder shall be given either
by personal delivery to CONSULTANT's agent (as designated in Section 1 hereinabove) or to
CITY as the situation shall warrant, or by enclosing the same in a sealed envelope, postage
prepaid, and depositing the same in the United States Postal Service, to the addresses specified
below; provided that CITY and CONSULTANT, by notice given hereunder, may designate

different addresses to which subsequent notices, certificates or other communications will be

When CITY's consent/approval is required under this Agreement, its
consent/approval for one transaction or event shall not be deemed to be a consent/approval to
any subsequent occurrence of the same or any other transaction or event.
23. MODIFICATION
No waiver or modification of any language in this Agreement shall be valid
unless in writing and duly executed by both parties.
24. SECTION HEADINGS
The titles, captions, section, paragraph and subject headings, and descriptive
phrases at the beginning of the various sections in this Agreement are merely descriptive and are
included solely for convenience of reference only and are not representative of matters included
or excluded from such provisions, and do not interpret, define, limit or describe, or construe the
intent of the parties or affect the construction or interpretation of any provision of this
Agreement.
25. INTERPRETATION OF THIS AGREEMENT
The language of all parts of this Agreement shall in all cases be construed as a
whole, according to its fair meaning, and not strictly for or against any of the parties. If any
provision of this Agreement is held by an arbitrator or court of competent jurisdiction to be

unenforceable, void, illegal or invalid, such holding shall not invalidate or affect the remaining
covenants and provisions of this Agreement. No covenant or provision shall be deemed
dependent upon any other unless so expressly provided here. As used in this Agreement, the
masculine or neuter gender and singular or plural number shall be deemed to include the other
whenever the context so indicates or requires. Nothing contained herein shall be construed so as
to require the commission of any act contrary to law, and wherever there is any conflict between
any provision contained herein and any present or future statute, law, ordinance or regulation
contrary to which the parties have no right to contract, then the latter shall prevail, and the
provision of this Agreement which is hereby affected shall be curtailed and limited only to the
extent necessary to bring it within the requirements of the law.
26. DUPLICATE ORIGINAL
The original of this Agreement and one or more copies hereto may be prepared
and signed in counterparts as duplicate originals, each of which so executed shall, irrespective of
the date of its execution and delivery, be deemed an original. Each duplicate original shall be
deemed an original instrument as against any party who has signed it.
27. IMMIGRATION
CONSULTANT shall be responsible for full compliance with the immigration
and naturalization laws of the United States and shall, in particular, comply with the provisions
of the United States Code regarding employment verification.
28. LEGAL SERVICES SUBCONTRACTING PROHIBITED
CONSULTANT and CITY agree that CITY is not liable for payment of any
subcontractor work involving legal services, and that such legal services are expressly outside
the scope of services contemplated hereunder. CONSULTANT understands that pursuant to

Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel for
CITY; and CITY shall not be liable for payment of any legal services expenses incurred by
CONSULTANT.
29. ATTORNEY' S FEES
In the event suit is brought by either party to construe, interpret and/or enforce the
terms and/or provisions of this Agreement or to secure the performance hereof, each party shall
bear its own attorney's fees, such that prevailing party shall not be entitled to recover its
attorney's fees from the nonprevailing party.
30. SURVIVAL
Terms and conditions of this Agreement, which by their sense and context survive
the expiration or termination of this Agreement shall so survive.
31. GOVERNING LAW
This Agreement shall be governed and construed in accordance with the laws of
the State of California.
32. ENTIRETY
The parties acknowledge and agree that they are entering into this Agreement
freely and voluntarily following extensive arm's length negotiation, and that each has had the
opportunity to consult with legal counsel prior to executing this Agreement. The parties also
acknowledge and agree that no representations, inducements, promises, agreements or
warranties, oral or otherwise, have been made by that party or anyone acting on that party's
behalf, which are not embodied in this Agreement, and that that party has not executed this
Agreement in reliance on any representation, inducement, promise, agreement, warranty, fact or
circumstance not expressly set forth in this Agreement. This Agreement, and the attached

exhibits, contain the entire agreement between the parties respecting the subject matter of this
Agreement, and supersedes all prior understandings and agreements whether oral or in writing
between the parties respecting the subject matter hereof.

1.0 PROJECT APPROACH
MJS&A submits this proposal for As -needed. Corrosion Engineering Services as requested by the
City of Huntington Beach Public Works Engineering Division (City) in their Request For
Proposals dated September 9, 2004. MJS&A will provide qualified personnel to meet the needs
of the City. Team members were chosen primarily based on extensive experience on similar
projects. Our team members are well experienced in the implementation and development of
corrosion control programs of this size and complexity, as we specialize primarily in water and
wastewater corrosion mitigation. As can be seen from our discussion and layout of the Scope of
Work below, our approach to the essential elements for this project will be a comprehensive and
thorough completion of individual tasks or all scope -of -Work items in an integrated fashion.
Mention is made in the description of scope of work the consultant shall perform corrosion
engineering services on an "as -needed" basis and the scope for any one project may involve all
phases of project development. This works well with MJS&A's philosophy that individual
project tasks are integral to previous.and subsequent tasks. Field services naturally lead into
preliminary engineering and then into permits, etc_ Any one task is important and can be
accomplished as a stand-alone item, yet the overall project relies on successful completion of the
individual tasks as building blocks in order to provide a comprehensive package. MJS&A
recognizes this and our services are tailored to this effect.
A sometimes unstated, though basic goal, of corrosion evaluation on pipelines is to develop
recommendations_ to meet the City's objective of an increased life cycle. Extending each
pipeline's life cycle, and ultimately the entire pipeline network, utilizing the economical tools
available to the corrosion engineer is the basic goal. For a pipeline network therefore, the goal of
MJS&A's evaluation will be to: provide conclusions regarding the condition of the pipeline; a
ranking of the pipelines based on overall corrosion susceptibility; and specific recommendations
to extend pipeline life through monitoring, remedial repairs; cathodic protection, and
maintenance.
Field Services:
MJS&A has experience in collection of soil samples and evaluation of corrosivity of the soil
environment. Soil resistivity is a major determiner of corrosion, and three methods are used to
evaluate the soil resistivity:
• Wenner four -pin: this test method is done at a variety of depths to calculate the resistivity
of the soil where the structure is buried;
• Electromagnetic conductivity (Emag): The advantage of the Emag is efficiency, where
the data collection can be performed by a hand held unit. The Emag produces a measure
of soil conductivity, however, so Wenner four -pin testing is used in combination)with
Emag to provide for evaluation against the industry accepted categories of corrosivity;
• Laboratory analysis: Additional soil resistivity data will be measured through laboratory
analysis along with the concentration of soluble chemical species_ Soil samples will be
analyzed kn MJS&A's in-house sail laboratory, measuring the resistivity in both the ,as-
received and saturated state to determine the corrosivity of the soil based on the most

corrosive condition. Laboratory testing will also provide the concentration of soluble
chemical species that are known to contribute to corrosion. All of the soil corrosivity data
types will be weighed to refine the evaluation and provide a quantitative basis of material
selection.
MJS&A's laboratory will analyze more than 5,000 samples this year and our day-to-day work
includes corrosivity evaluation. James Keegan is our laboratory manager and will be responsible
for all soil analysis as well as water corrosivity analysis. MJS&A laboratories are also capable of
analyzing paint samples for heavy metals.
With respect to forensic engineering services, MJS&A's approach is to investigate the corrosion
problem, collecting all the information that can be retrieved in order to develop what is the most
probable failure mode consistent with the test data and results, laboratory analysis, and physical
findings. We collect the necessary on -site information and samples for metallurgical, chemical,
and ASTM C856 petrographic analysis.
MJS&A personnel are experienced in collection of corrosion control data as part of our day-to-
day business. These data give information on the corrosion condition and/or efficiency and
sufficiency of cathodic protection. Proper positioning of reference electrodes is critical in
providing accurate and repeatable data used in analysis of cathodic protection system efficacies.
An integrated approach using soil data, pipe -to -soil potentials, knowledge of the structure (or
facility) and if necessary, information derived from forensic services obtained from various
existing facilities is analyzed and used to provide prioritized recommendations for corrosion
mitigation methods based on the critical nature of the facility.
A unique approach that MJS&A has developed is the training of utility personnel in the accurate
and proper collection of corrosion field data. This allows the people most familiar with the
facilities to collect the data. Once data are collected, they are reviewed and if necessary, verified.
This process has been put into practice with Irvine Ranch Water district, Calleguas Municipal
Water district and San Diego County Water Authority_
Preliminary Engineering:
To assure efficiency and consistency, MJS&A helps develop and implement standardized details
and specifications for use in providing system wide conformance. Along with development of
detail drawings, corin alternative layouts, estimates for probable costs and calculations 4he J V4
permit value engineering choices to be made. Development of alternate layouts is a culmination
of efforts performed by a contractor, City and/or MJS&A personnel. Information obtained
during the Field Services is utilized during the Preliminary Engineering.
Permits:
MJS&A Would be available to assist the City in developing the information necessary as well as
performing the legwork in obtaining approvals from applicable agencies for environmental,
and/or other permits as may be required. MJS&A has performed similar services for Irvine
Ranch Water District, Orange County Sanitation District and Metropolitan Water district

Construction Documents:
MJS&A regularly prepares documents for various agencies in our day -to day work. Documents
would consist of engineering calculations, designs, plans, specifications, estimates of most
probable cost and contract bidding documents. Documents suitable for Bidding including
General Provisions (provided by the City), Special Provisions, Technical Specifications, Cathodic
Protection system design drawings, Contract Documents (provided by the District), Bid Schedule
and Cost Estimate are typically provided.
Submittals are typically made for review by the client (City) during the preliminary design phase,
at 60% completion and final stage. Documentation would be submitted as required in a
hardbound copy as well as electronically in Microsoft Office format. Drawings would be
submitted electronically as well in AutoCAD 2000 and on inked mylars in size D (2406).
Bidding Stage:
As part of our Project Management services, MJS&A would be available to assist the City in
answering bidders' questions, attend pre -bid conferences and job walks, prepare addenda,
analyze bids and recommend award.
Construction Stage:
Success in construction projects is often based in a solid and positive working relationship with
the Owner. and contractor personnel. This often begins with the pre -construction conference and
lasts through the final completion and acceptance of the project by the Owner. MJS&A works
hard to achieve a harmonious environment and would assist the engineer, contractor and
inspector with the interpretation of the plans specifications, analysis of changed conditions,
development of corrective action(s), review of shop drawings and other submittals and the
review and negotiation of change orders with respect to the project. At the completion of a
project, MJS&A often prepares "As -built" drawings.
Construction Inspection.:
As part of the Construction Stage, MJS&A is often asked to coordinate and perform construction
inspection services. Should these services be requested, they typically include either part-time or
full-time inspection attendance. The inspection services, be they for cathodic protection
appurtenances or for coatings, include daily inspection reports and assessment reports for records
keeping. .
A regular part of MJS&A's daily operations is Coatings Consulting. Services provided include:
Review or develop specifications for coatings and/or linings projects. Investigate sources of
coatings failures or defects and make recommendations for corrective actions. Provide expertise
.in selecting materials for various service environments.
MJS&A maintains full time Coatings Inspectors. Services provided include: Provide full time
or develop surveillance inspection programs to ensure specification compliance of major coatings
projects. These services include survey assessments of existing structures, specification
development, failure , analysis, material selection, and installation inspection of both liquid
applied and sold sheet linings (t-lock). MJS&A fi.sW inspectors have years of experience and

diverse backgrounds in the. industrial coatings industry. Each inspector is assigned to projects
based on their level of experience with the individual project scope.
Design/Build:
Should the City identify the need at the onset of a project, MJS&A could and has teamed or
partnered with a contractor to provide design build services. Services provided would typically
be a compilation of the above services and result in a functionally operable system upon
completion.
2.0 PROJECT TEAM
Dr. Graham E.C. Bell, PE., is the Principal Engineer. Dr. Bell will be the Project Principal, and
will have a time commitment of 10%. Dr. Bell has more than 20 years of experience in the
designing and testing of corrosion control facilities and in the forensic evaluating of corrosion
damage on buried and submerged structures, and his commitment to excellence was reflected in
the NACE International Western Region Engineer of the Year. Dr. Bell spent more than seven
years in basic. corrosion research at Oak Ridge National Laboratory. Dr. Bell has managed multi-
million -dollar research programs as well as tests for hundreds of structures and.pipelines. Dr. Bell
is a registered Corrosion Engineer in the State of California and a registered Mechanical Engineer
in the States of Tennessee, Nevada, and Arizona. He is a NACE International Certified Corrosion
Specialist P and Cathodic Protection Specialist.
Mr. John W. French, P.E., is Chief Engineer with M.J. Schiff & Associates. Mr. French will be
responsible for the technical direction of the project and have QA/QC responsibility, and will have
.a time commitment of 15%. Mr. French is registered in the State. of California as a Corrosion
Engineer and is a Certified NACE International Cathodic Protection Specialist. Mr. French has 20
plus years experience in the corrosion engineering field, extending from design, testing, and
troubleshooting of corrosion control systems for a variety of buried and submerged structures. He
has experience with investigation and control of corrosion on transmission and distribution
pipeline systems within the water/wastewater and oil and gas industries, working for private and
public agencies, both domestically and internationally. Work has included investigations to
evaluate extent of corrosion and the need for corrosion mitigation measures where required.
Mr. Steven Fox, F.E., a Corrosion Engineer with our staff, and will be Project Manager with a time
commitment of 50%. Mr. Fox's experience of more than 8 years in the field of corrosion
engineering has been in soil corrosivtty evaluations, corrosion protection design, cathodic
protection surveys and troubleshooting, and internal inspections of large diameter pipe. Mr. Fox is
registered in the State of California as a Corrosion Engineer and is a .Certified NACE International

Mr. Gary Barton, a Cathodic Protection Specialist with our staff, and will be Assistant Project
Manager with &time commitment of 50%. Mr. Barton's experience of more than 20 years in the
field of corrosion engineering has been widely diversified including corrosion control for water
distribution systems, ship berthing facilities, fuel and water storage reservoirs and systems, soil
corrosivity evaluations, corrosion protection design, cathodic protection surveys and
troubleshooting, and corrosion control of large diameter pipe. Mr. Barton is a Certified NACE
International Cathodic Protection Specialist.
Mr. Eric Frechette, E.I.T., is General Manager with our staff and will provide administrative
support. Mr. Frechette is registered in the State of California as an Engineer -in -Training, and is
registered in Canada as a Professional Engineer. Mr. Frechette has more than 10 years of
experience in the field of cathodic protection and corrosion control_ He has extensive experience
on water transmission and distribution piping, bridges, heat exchangers, storage tanks, wastewater
piping systems and digesters. He has worked with private industry, public, and governmental
agency in North America and the Middle East, performing various corrosion engineering tasks
including field surveys, analysis, and reports for corrosion studies, and construction inspection.
Mr. Frechette is a Certified NACE International Cathodic Protection Specialist.

4.0 STATEMENT OF QUALIFICATIONS
M.J. Schiff & Associates (MJS&A) has provided corrosion. engineering consulting services for
more than 45 years. Established in 1959 by our founding engineer, Mr. Melvin Schiff, MJS&A
is one of the. oldest independently owned and operated corrosion engineering firms in the United
States.
Our firm focuses on corrosion engineering, corrosivity and coating -related services to assist
architects/engineers and owners in having structures with low maintenance costs and long
trouble -free lives. MJS&A neither sells nor installs cathodic protection or corrosion control
equipment, nor are we connected in any way with firms that do. This independence allows us to
provide unbiased recommendations, specifications, and designs. if clients request or require
corrosion control materials and facility installation, MJS&A assists them in obtaining and
evaluating bids from qualified contractors.
MJS&A is one of the very few consulting corrosion engineering firms that have continuously
carried professional liability insurance. Our no -claims -made track record is attributable to
MJS&A's attention to detail, quality assurance, and quality control for its projects.
MJS&A operated as a sole proprietorship until December 31, 1993, at which time we
incorporated. M.J. Schiff & Associates, Inc., operates as a succeeding entity to the previous sole
proprietorship. The corporation is closely held in. the state of California and operates under
subchapter S of the federal tax code with two principal shareholders. MJS&A is financially
stable and has adequate access to capital. The corporation, its predecessor, and its officers have
never filed for bankruptcy or for protection under the bankruptcy laws. There are no plans for
dissolution of the Company, and plans for continued operation and expansion are in place.

Situation:
In order to meet and maintain the expanding water needs of San Diego County, SDCWA
initiated Capital Improvement and Aqueduct Protection Programs. Capital improvement

Situation:
In order to meet the expanding water needs of Riverside County, EMWD has constructed

Now in a maintenance mode, with the majority of new construction complete, corrosion
evaluations are required on the older backbone of EMWD's system
MJS&A's Response:
At initial project stages, MJS&A works with civil and geotechnical engineers to evaluate route
corrosivity and provide corrosion control for candidate pipe materials. During construction,
MJS&A performs testing to ensure corrosion control facilities are installed as .specified. For
existing pipelines, MJS&A provides corrosion evaluation as requested which includes physical
inspection, metal thickness testing, tests of mortar for chloride, laboratory tests of soil samples,
pipe -to -soil measurements, continuity and current requirement testing, and recommendations and
design for cathodic protection.

Narrative: MJS&A performed a condition assessment of the District's 43 water reservoirs in
2000, and prepared a Corrosion Control Master Plan (contract value of $44,000). From the
Master Plan, 34 tanks were identified for coatings, cathodic protection, structural and water
circulation improvements. MJS&A prepared the plans and specifications and assisted the owner
during the bid process completed in 2003 (contract value $94,000). MJS&A was selected to
perform construction services (contract value of $256,000) to review submittals and inspect
coating and cathodic protection work, and hired a civil engineering firm to inspect water
circulation and structural work.
The work must be performed during the winter when water demands are lower, and the work
schedule must consider tank clusters where certain tanks cannot be removed from service
simultaneously.

Situation:
CMWD provides water wholesale to communities in the eastern Ventura County including
Moorpark, Simi Valley, Thousand Oaks, and to the west to include Camarillo and Oxnard.
CMWD receives water from MWD in western Los Angeles County and delivers it through two
conduits to the Bard Reservoir and treatment facility. CMWD's infrastructure includes wafer
treatment, storage, and hundreds of miles of water transmission pipelines. Corrosion control
ranges from cement -mortar coatings, joint bonds, insulated joints, and test stations to active
impressed current cathodic protection systems. In 1986 and 1997, CMWD experienced failures
in one of its PCCP conduits.
MJS&A's Response:
M]S&A has reviewed existing reports, designs, and survey data and developed work plans for
the next step of investigation of CMWD's existing steel and PCCP pipelines. Recommendations
for continued operation have been made based on soil and groundwater corrosivity in
conjunction with the needs of CMWD and affected communities. Our work has included
electromagnetic conductivity surveys, corrosion and cathodic protection surveys, obtaining and
testing soil and groundwater samples, internal inspections, cathodic protection and coating
evaluation for steel reservoirs, cathodic protection and corrosion control design, and stray current
tests.
